Today we can look back on nearly 60years of history as a successful familyenterprise. During all this time, wehave worked hard to establish andmaintain an outstanding performance– a performance that we have beenable to demonstrate repeatedly.Based on this consistently high per-

formance, a set of values has emer-ged that make us attractive, credibleand trustworthy to you as a customer,partner or employee. We can sum up these values in one sentence:WAREMA is the leading SunLight-Manager.

On our journey, we have been fortu-nate to have loyal customers andbusiness partners with whom we

maintain close relationships. Withyour help, we have developed andcontinue to develop solutions thatmove our SunLightManagementmission forward. Last year, our colla-borative innovative capabilities wereagain acknowledged by a number ofhighly respected juries. Not only didwe receive the iF product designaward for our new P40 pergolaawning and the Plus X Award for ourBAline room automation system, butwe were also awarded Gold at theArchitects' Darling Awards.

Our work was also recognised at theBAU trade fair in Munich and the ISHin Frankfurt. We showed our solu-tions and innovations at these exhibi-tions and consistently received positi-ve feedback. We unveiled the largeslat systems from our Lübeck subsi-diary Wings Professional ProjectGmbH at the BAU in January 2013,generating considerable interest.WAREMA Nederland B.V. has beenpart of the WAREMA Group since themiddle of last year. The specialistsfrom Weert work closely with archi-tects and property developers todevelop solutions with an emphasis

on sliding, wing and folding shuttersas well as textile sun shading in awide variety of designs. These pro-ducts extend our range and offer new options for custom shadingconcepts.

We are therefore well equipped forthe new year and for the challengesthe future holds for us.

■ At the BAU in Munich, the world’s leading tradefair for architecture, materials and systems, welaunched our new “large slat” product line to thetrade.

■ From January, our staff benefited from the intro-duction of working-life accounts which allowthem greater workplace flexibility.

■ Under the banner of “Let's talk about the future”, we also focused on SunLightManagement at theISH in Frankfurt.

■ The P40 pergola awning received the red dot design award.

■ WAREMA’s innovative capacity impresses in thefield of control systems too. The BAline modular,freely programmable room automation system wins the Plus X Award in the categories “High Quality”and “Functionality”.

■ Our membership of and contribution to the baymevbm model project on demographics managementis announced to the public.

■ Over 750 visitors made good use of the wide rangeof information available at the “Vocational TrainingDay”.

■ In summer, the WAREMA Group welcomed a newsubsidiary based in the Netherlands. WAREMANederland B.V. is a well respected company whichoffers us additional opportunities in our domestic and international markets.

■ Our trade partners can now benefit from the newinstallation centre and showroom at our “Dillberg II”site in Marktheidenfeld.

■ In September the Group welcomes its new apprentices.

■ A total of 3,030 years of service with the Group werehonoured at the anniversary celebrations in October.

■ The high quality advice provided by WAREMA onarchitectural solutions matters was recognised by aGold at the Architects’ Darling awards, the “Oscars”of the construction industry.

■ Advising architects and planners was also an important topic at our major partner events held in Frankfurt and Würzburg.

WAREMA supplied the sunshading and anti-glare protec-tion for the property. Around1,300 double glazed venetianblinds with 25 mm slats and24 V motor ensure glare-freeworking conditions and a pleasant room climate. Thebuilding received the Gold certificate from the GermanSustainable Building Council (DGNB) in August 2013 and isone of only four buildings in Germany to have achieved Goldin the “New office and administrative buildings” category. Inits report, the DGNB gave the building top marks for both itsenvironmental and economic performance.

Customer dialogueWe don’t just pay lip service to theconcept of customer focus. It guidesour actions and is an important partof our mission statement. Our entirecompany is focused on our domesticand international customers, anddelivering customer benefits globallyis a primary objective at every level.Before we develop a new product, weexamine the needs and requirementsof our partners.

We maintain a permanent dialoguewith customers all over the world: we welcome their suggestions anduse these to develop new ideas andsolutions. We are increasingly beingasked for customised solutions andfor purchasing and handling proces-ses that are more efficient and moreconvenient. A willingness to enterinto constructive and open dialogue iscritical to the perception of our com-pany as a reliable and trustworthy

partner. Informative customer eventsand a regular presence at the mostimportant trade shows and tradeconferences are therefore importantplatforms for us.

Our partners also benefit from ourstrong sales network, which ensuresshort lines of communication to cap-able customer services specialists. A continuously expanding customerbase, a high percentage of repeatorders and our satisfied customersare the best proof of the quality of therelationships we enjoy with our busi-ness partners.

example, and in an extensive trainingprogramme that goes far beyondmerely imparting product and instal-lation know-how. We can now do thisvery effectively in our new installationcentre, which is located next to ourlarge, modern showroom. Here wedemonstrate new products and offerconsultation on arranging and pro-moting showrooms to our partners.Our planning and consulting supportfor intelligent, object-specific andenergy-efficient sun shading solu-

tions is second to none. No other pro-vider has such a wide portfolio onoffer, including interactive tools suchas a sun shading planner, a collectionguide, sector-specific brochures andshowroom samples.

For all of this we have our customersto thank, because their high stan-dards are what motivates us to reachnew levels of excellence.

Exploiting new prospectsIn the dynamic market environment inwhich we work we rely on excellentcustomer relations, innovation, profi-table growth and international sales.To ensure our company’s financialsuccess and independence, we mustalso continually explore new areas ofactivity.

This includes using efficient, moderntechnologies and innovative materialsas well as reviewing developmentsand opportunities in the field ofinformation and communicationtechnology, new production proces-ses, and energy and environmental

technology. Here, our aim is to alwaysmatch our existing capabilities withmarket opportunities.

We do this by systematically obser-ving and analysing customers, targetgroups and markets. This is in fact theonly sure way to strategically identifyand exploit new markets and opportu-nities for our products and services.One important market in which weincreasingly become involved isenergy efficient construction, inwhich our proven, optimised andinnovative system solutions andservices are setting benchmarks forthe entire sun shading industry.

11,500TELEPHONE ENQUIRIES and over3,200 e-mail enquiries were ans-wered by our architects’ hotline in2013. On average, the architects’hotline rings 55 times a day – a figure that continues to rise.

2,235SUPPORTERS, FANS AND FOLLOW-ERS were counted on our social media sites by the end of 2013. Weuse Facebook, Twitter and Google+ to provide regular information on different aspects of the company and engage in dialogue with social media users.

OPENING UP NEW MARKET OPPORTUNITIES

Establishing new product linesOur newest subsidiaries Wings Professional Project GmbH andWAREMA Nederland B.V. are alsocreating new business opportunitiesfor us. Both companies focus ondeveloping special architectural solu-tions within the field of technical sunshading. They strengthen and extendour product portfolio in a special wayby introducing new product lines suchas large slats, sliding and foldingshutters – which benefits our interna-tional business in particular.

And they support us in our vision tocontinue supplying solutions for activeSunLightManagement that have beencarefully designed to satisfy the needsof architects and property developers.

The introduction of large slats and othernew solutions, such as sliding, wing andfolding shutters, enlarges our range of solutions for architecture, shading, energyefficiency and indoor climate.

Thanks to maximum stability, customs designs and enduring quality, they are making it possible to construct exciting facades in technically challenging areas.

Intelligent control systems are indispen-sable for active SunLightManagement.Design and functionality do not have to bemutually exclusive.Energy-efficient living means making the most of the sun’s free energy.Large slats give building exteriors a uniquelook and are very wind-stable.

Ladies and Gentlemen,

In the past fiscal year 2013, the Super-visory Board regularly advised theExecutive Board and monitored therunning of the business. In threeregular meetings and on the basis ofmonthly reports by the ExecutiveBoard, the Supervisory Board wasinformed thoroughly of the economicsituation of the companies within theWAREMA Group and their areas ofresponsibility.

The Supervisory Board regularly keptitself informed about the economicsituation of the company and its divi-sions, the development of businessand corporate planning, and it con-sulted with the Executive Board withregard to the company’s businesssituation and strategic orientation.

During the course of these meetingsand in a written procedure, the Super-visory Board examined in detail anddiscussed matters requiring approvalbased on written reports prepared bythe Executive Board. The SupervisoryBoard agreed with the decisions pro-posed by the Executive Board in allcases. The Chairman of the Super-visory Board also held regular dis-cussions with the Executive Board.

The company has taken the opportuni-ty to combine the management reportand the notes to the consolidatedfinancial statements for WAREMARenkhoff SE and the Group.

The financial statements and consoli-dated financial statements of WAREMARenkhoff SE for the year ended 31December 2013, and the manage-

ment report, which is combined withthe Group management report, wereaudited by Max Zimmermann, cer-tified auditor in Augsburg, and wereissued an unqualified audit opinion.The Supervisory Board also examinedthese documents submitted by theExecutive Board.

The reports prepared by the auditorwere made available to all members of the Supervisory Board. The Super-visory Board agrees with the resultsof the final audit and approves thefinancial statements for the 2013 fiscalyear. The annual financial statementsare thus formally adopted and final.

The Executive Board’s proposal for theuse of the unappropriated profit avail-able for distribution was examined bythe Supervisory Board. The Super-

visory Board endorses the ExecutiveBoard’s proposal. After having exami-ned them, it raises no objections to the auditor’s findings.

The Supervisory Board wishes to thankthe Executive Board and the manage-ment of the WAREMA Group and itsemployees for their great personalcommitment and excellent perfor-mance throughout the past fiscal year.
