Utilize the flight plan by scheduling the SAME camera ready orto be set ad 4 times within a seven-day period, and your rate is reducedto $24.00 per column inch. Utilizing the flight plan program, addcolor for a reduced rate. Color on the first day is at the regular price,receive 25% discount on the second day and 50% discount on the thirdand fourth day!

II. FREQUENCY DISCOUNTS: Repeat the same ad more than once with-in a seven-day period to take advantage of the following discounts.1.) First Ad @ Open Rate or Contract Rate2.) 25% DISCOUNT off the open rate on the second ad run.3.) 35% DISCOUNT off the open rate on any subsequent run.

* FLIGHT PLAN/FREQUENCY DISCOUNT rates are contingent on meet-ing the 25-day payment term and no existing “past due” charges.(Minimum six inch ad size, ads must run within seven days.)

• A commissionable agency rate for retail advertising (15%) above the list-ed rate is offered to local advertising agencies and their clients. If agenciesrequest direct billing, agency credit procedures must be followed.• Advertising reservation, copy and reproduction must be submitted on orbefore scheduled deadlines. All components must be exact size or suitablefor reducing or enlarging to exact size as shown on layout.

Payments of Ads — All placement of advertising requires cash with copy or approved credit.Credit applications are available through the advertising department or guampdn webiste.Advertiser shall pay for the advertising purchased under its ad contract according to the termsindicated on the Newspaper’s invoices, and, in the event that it fails to timely pay as providedfor in the invoices, the Newspaper may reject advertising copy and/or immediately cancelAdvertiser’s contract, and Advertiser agrees to indemnify the Newspaper for all expensesincurred in connection with the collection of amounts payable, including court costs and attor-ney’s fees. If Advertiser’s contract is canceled due to advertiser’s failure to make timely payment,the Newspaper may rebill the Advertiser for the outstanding balance due at the open or earnedcontract rate, whichever is applicable.

Rate Schedule Changes — The Newspaper may revise its advertising rate schedule, and shouldadvertising rate schedule changes occur, you will be given a 30-day notice. You may, withoutpenalty, cancel by written notification, your advertising contract with the Newspaper at any timeprior to the time the new rates become effective.

Standards — The Newspaper may, in its sole discretion, edit, classify or reject, at any time, anyadvertising copy and/or photos.

Retail Rates — Retail advertising rates are available for the advertising of a single store, individ-ual or service established or a group under single ownership operating under a single namefrom one or more local addresses and selling merchandise or services at wholesale or directlyto consumers at retail or a centralized group of individual stores or services, operating at a sin-gle location as a shopping center, engaged in joint advertising of merchandise and services soldat that shopping center. No commissions are allowed to advertising agencies for advertisingbilled at retail rates. Retail rates do not apply to any advertising for which the publisher will estab-lish other rates, such as General (National) or classified. Classification of such advertising willbe determined by the Newspaper.

Indemnification — Advertiser agrees to indemnify, defend and hold harmless the Newspaperfrom all claims (whether valid or invalid), suits, judgements, proceedings, losses, damages, costsand expenses, of any nature whatsover (including reasonable attorneys' fees) for which theNewspaper or any of its affiliates may become liable by reason of Newspaper's publication ofAdvertiser's advertising.

Joint and Several Liability — If the Advertiser utilizes an agency (“Agency”) recognized and billedby the Newspaper, Advertiser and the Agency shall be jointly and severally liable for paymentand for compliance with all the terms and conditions of the Advertiser's contract, including pay-ment for all advertising.

Copyright — All advertising copy which represents the creative effort of the Newspaper and/orthe utilization of creativity, illustration, labor, composition or material furnished by it, is andremains the property of the Newspaper, including all rights of copyright there in. Advertiserunderstands and agrees that it cannot authorize photographic or other reproduction, in wholeor in part, of any such advertising copy for use in any other medium without the Newspaper’sprior written consent.

Government Ads — All government advertising must be accompanied by a valid original pur-chase order covering the charges for insertion dates requested, or a purchase order which com-mits funds in advance of publication.

Extended Credit — Where credit is extended, terms are 30 days. Reductions in inch rate dueto volume are no longer applicable if payment is not made on or before the 25th day of theperiod immediately following that in which the advertisement ran, and if all previous charges arepaid.

Contracts — Each party’s obligations under the advertising agreement are conditional on strikes,fires, acts of God or the public enemy, war or any cause not subject to the control of such party.

Short Rating — If after any termination of this Agreement, the Advertiser shall have used more orfewer space than the contracted advertising space agreed to in the ad contract, to the extentthat a different rate would be applicable according to the Newspaper’s current rate schedule,Advertiser’s rate for all space used during the term shall be reduced or increased to the appro-priate rate indicated on said rate schedule, and the Advertiser shall pay, or receive a credit forthe difference. Specifically in the case of a short rate, Advertiser will pay the rate that wasearned. In the case of a rebate, there will be a ceiling of 2 contract levels.

No Sequential Liability — The Advertiser’s contract renders void any statements concerning lia-bility which appears on correspondence from Advertiser or its Agency, and is irrevocable with-out the written consent of the Newspaper’s Credit Department. It is further agreed that theNewspaper does not accept advertising orders or space reservations claiming sequential liabil-ity.

Taxes — If any federal, state or local taxes are imposed on the printing of advertising materialor on the sale of advertising space, such taxes shall be assumed and paid by Advertiser.

Correction to Advertising Order — When orders are forwarded by Advertiser or its Agencywhich contain incorrect rates or conditions, the advertising call for will be inserted and chargedat the correct rate in force governing such advertising as provided for in the Newspaper’s rateschedule and in accordance with the conditions contained in Advertiser’s contract.

Acceptance — All advertising published in the Newspaper is subject to the applicable ratecard, copies of which are available from the Newspaper's Advertising Department. All ads aresubject to the approval before publication. Newspaper reserves the right to edit, refuse, rejector cancel any ad at any time.

Advertising Copy — The subject matter, size wording, illustration and typography of all adver-tisements are subject to the approval of the Newspaper.

All advertisements less than a full page must have a full border. Full Page ads must have a min-imum of top & bottom orders.

Upside down, mirror image or vertical advertising copy less than 72 points is not acceptablefor publication.

Advertising which stimulates editorial contact not accepted unless clearly marked as advertising.Font styles and design must be cleared by the Newspaper's Advertising Director prior to publi-cation.

Alcohol and tobacco advertising accepted.

Personal ads are subject to the approval of the Newspaper. Newspaper reserves the right toedit all copy. Ad should be done in good taste. Publisher has the right to refuse any ad.

The Newspaper and The Sunday News deal directly and individually with its local advertisersand does not accept local brokered advertising.Each ad must be at least one inch deep for every column width. All advertisements greater than11 inches will be billed at the maximum depth of 14 inches. 85 line screen will be acceptedfor camera-ready half tones. All centerspreads reserved will be billed as an 11 col. inch x 14inches.

Cancellations — Cancellation of ad space must be done at the time of space reservation dead-line. The space will be charged to the advertiser if cancelled after this time. Cancellations willnot be accepted after the applicable closing time. Advertiser shall be responsible for any pro-duction or creative services provided by the Newspaper regardless of the cancellation ofAdvertiser's advertising.

Responsibility of Errors — The Newspaper will not be responsible for errors after the first day ofpublication on any advertisement. Errors noticed on the first day should be called to the atten-tion of the advertising department on the first working day after publication. Request for creditfor errors must be made within 30 days of the ad publication.

Typographical Errors, Incorrect Insertions or Omissions — The Advertiser’s contract cannot beinvalidated, and the Newspaper will not be liable, for (a) the incorrect publication (including,without limitation typographical errors), or insertions or omissions in advertising published by theNewspaper, or (b) any resulting losses.

Proof Policy — The purpose of a proof is to check for errors in price, phone number, sizes,address, etc. Changes from original copy and resetting for any other reasons will be chargedto the advertiser. Changes to copy on proofs except correction and “price” charged by the hour.Includes substituting of item price listing.

Additional Proofs — Customers will be provided up to two proofs. The first will be for correctionand the second for minor items either missed in the first proof or not corrected by the artist. Oncethe second proof is received, the artist will correct the ad, the ad will be sent to our camera,and a copy will be faxed to the customer. If customers would like additional proofs (i.e. 3rd,4th), they need to add 24 hours to the deadline for each proof requested. If ads or proofs arenot submitted on deadline, the customers may not be provided their first and /or second proofs.If deadlines are missed because of production delays, we will spend additional overtime hoursto provide proofs to customers after business hours.

Holiday Deadlines — A holiday deadline notification will publish 2 weeks prior to publicationdate indicating advance deadline schedule.

Assignment — Advertising contracts may not be assigned or transferred by Advertiser or itsAgency if any.

Positioning of Advertisements — Newspaper shall have full latitude with respect to positioningall advertisements; provided, however, that Newspaper will use its reasonable efforts to accom-modate the Advertiser's positioning requests.

Credit Check — The effectiveness of advertising contracts is subject to a satisfactory credit checkon Advertiser and/or Agency. Any finance charge relative to the issuance of said credit infor-mation to the Pacific Daily News will be applied to said account.

Agency Commissions — Agency commissions, if any, shall apply to all space charges andadjustments under the Advertiser's contract.

Photo Releases — Photographs of individuals to be used in advertising must be accompaniedby a signed release from the individual permitting the use of the photograph(s). Release formsare available from your account executive.

RETAIL/CLASSIFIED POLICIES

ONLINE POLICIESPAYMENT. Payment by Advertiser is due within twenty-five (25) days after receipt of an invoice byAdvertiser. In the event any amount is not paid by Advertiser when due, such amount shall bear inter-est at the rate of 1 and 1/2% per month or the maximum amount permitted by law (whichever islower), computed from the original due date until paid.

INVOICES. Invoices shall contain: (a) the dates and times upon which Advertiser’s advertising mate-rial was displayed and could be accessed on Company’s web site(s), (b) where applicable, the num-ber of impressions, and/or click-throughs reported during such dates, and (c) the charge to Advertiser.The invoice shall serve as Company’s certificate of performance.

ADVERTISING AGENCIES. If Advertiser is using an advertising agency for the purposes of thisAgreement, Advertiser and such agency (the “Agent”) shall be jointly and severally liable hereunder,and Company may pursue any applicable remedies in the event of default of this Agreement againstAgent or Advertiser or both without any requirement of first seeking a remedy from one or the other.The person or entity signing this contract on behalf of Advertiser warrants that such person or entity isduly authorized and has the full power to bind Advertiser to this contract, and agrees to indemnifyand hold Company and its subsidiaries and affiliated companies, and all of their respective employ-ees, officers, directors, agents, successors and assigns, harmless from any and all claims, losses, dam-ages or costs (including reasonable attorneys’ fees) arising out of a breach of the foregoing warran-ty. Advertiser shall be solely responsible for any commission or other payment due to Agent.

EXPENSES. All expenses connected with the delivery of advertising material or other web content toCompany and the return of such materials from Company (if return is directed in writing by Advertiser)shall be paid by Advertiser. Company may dispose of any advertising materials delivered to it unlessacceptable prepaid return arrangements have previously been made.

OWNERSHIP. All advertising material or other content which represents the creative effort ofCompany and/or the utilization of creativity, illustrations, labor, composition or material furnished byit, is and remains the property of Company, including all rights of copyright therein. Advertiser under-stands and agrees that it cannot authorize electronic, photographic or other reproduction, in wholeor in part, of any such material for use in any other medium without Company’s prior written consent.

INFORMATION RELATING TO USERS. Any information collected by Company or its site vendorsrelating to users or subscribers to the Company’s site (including without limitation any personally iden-tifiable transactional data (i.e., “clickstream” data) or demographic information relating to users of thesite) shall be the property of Company and Advertiser shall not obtain any rights in such informationby virtue of this Agreement.

TECHNICAL QUALITY. Company shall not be responsible for any material that is not properly dis-played or that cannot be accessed or viewed by any user because the material was not received byCompany in the proper form, in a timely manner, or in an acceptable technical quality for display onthe site(s), or is not compatible with any software or hardware used by Company or its site vendors.

DEFAULT BY ADVERTISER. Company may terminate this Agreement at any time upon notice toAdvertiser in the event of default by Advertiser in the payment of any invoice or any other breach ofthe terms of this contract. Upon such termination, all charges for services completed hereunder shallbecome immediately due and payable, including interest on any sums not paid when due, as pro-vided in paragraph 1 of these Terms and Conditions. Notwithstanding anything in this Agreement tothe contrary, any termination or cancellation of this Agreement shall not release Advertiser from its obli-gation to make payment for all Advertisements that have been displayed on the Company’s site(s) orfor other charges as provided herein incurred prior to the date such termination or cancellationbecomes effective.

FAILURE TO DISPLAY ADVERTISING MATERIAL. If, due to public emergency or necessity, forcemajeure, restrictions imposed by law, acts of God, labor disputes or for any other similar or dissimi-lar cause, including mechanical or electronic failure or breakdowns, there is an interruption or omis-sion of the display of any Advertisement(s) or other web page material contracted to be displayedhereunder, Company may suggest a substitute time period for the display of the interrupted or omittedAdvertisement or material. Alternatively, in cases where Advertiser is paying on a fixed fee basis orhas paid in advance, and if no such substitute time period is acceptable to Advertiser in Advertiser’sgood faith business judgment, Company shall provide a “make good” reduction in the amount of feesdue to Company (or credit of fees already paid) equal to the proportionate amount of money assignedto the interrupted or omitted display of Advertisement(s) or other material. Such substitution in time peri-od or reduction in fees shall be Advertiser’s sole remedy for any failure to display advertising materi-al and Company shall have no further liability.

REMOVAL OR CHANGE OF CONTENT ON THE SITE(s). Company may, in its sole discretion,remove any of Company’s site(s) or portions thereof, or change the content or the nature, subject mat-ter, design, structure or feel of any of the content areas on such site(s) covered by this contract with orwithout cause, in Company’s sole discretion. If any such removal or changes can be reasonablyexpected to alter the value of the Advertisement(s) on such site(s), Company will promptly notifyAdvertiser, in advance if practicable. If Advertiser and Company cannot agree upon a satisfactorysubstitute time period and position to display any Advertisement affected due to such removal orchange, Advertiser may cancel this Agreement with respect to such Advertisement(s) and shall nothave to pay (or shall receive a refund) for the canceled display. Such cancellation shall be Advertiser’ssole remedy and Company shall have no further liability whatsoever. Company may also changethe URL for any site upon reasonable notice to Advertiser.

CHANGE IN LAW. In the event of a material change in law, government policy or regulation thateffectively prevents a party from lawfully performing any of its obligations under this Agreement, theparties shall negotiate in good faith to reform or amend this Agreement so that performance may bemade possible. If the parties are unable to reform or amend the Agreement in a mutually acceptablemanner within 30 days of the date of such change, then this Agreement shall terminate automatical-ly, without any penalty or further liability to either party.

RATES. Company reserves the right to increase its rates under this Agreement from time to time uponat least 30 days prior written notice to Advertiser. If Advertiser objects to such rate increases, it shallhave the option to discontinue display of Advertiser’s material on the site(s) by giving written notice toCompany prior to the date that such rate increase is to become effective. Advertiser’s right to discon-tinue the display of its Advertisement(s) or other material shall be its sole remedy in the event of such

rate increase. If Advertiser does not discontinue display of its Advertisements, then Advertiser shall besubject to the increased rate.

RESERVATION OF RIGHTS. Company may, in its sole discretion, edit, classify, or reject at any timeany advertising or other material submitted by advertiser or Agent.

REPRESENTATIONS AND WARRANTIES. Advertiser represents and warrants that all advertising orother material it supplies to Company (a) is original and shall comply with all applicable laws, rules,and regulations, and (b) does not contain libelous or slanderous material, or violate the personal orproprietary rights of any person or other entity (including without limitation rights of copyright, trade-mark, privacy or publicity).

INDEMNITY. Advertiser hereby agrees to indemnify and hold Company, its site vendors, GannettCo., Inc., and its subsidiaries and affiliated companies, and all of their respective employees, offi-cers, directors, agents, successors and assigns (each an “Indemnified Party”), harmless against allclaims, losses, damages, and costs (including reasonable attorneys’ fees), resulting from (a) the dis-play of any Advertisement or other material (including without limitation claims that the Advertisementor material contains libelous or slanderous material, or violates applicable law or the personal or pro-prietary rights of any person or other entity, or claims based on Advertiser’s negligence or strict liabil-ity for a defective product), or (b) the breach of any representation or warranty made by Advertiser inthis Agreement. Advertiser shall defend at its own expense any litigation instituted by any person orentity against an Indemnified Party resulting from a claim covered by the preceding sentence. AnIndemnified Party shall have the right, at its option, to defend such litigation jointly with Advertiser. Theprovisions of this paragraph 15 shall survive any termination or expiration of this Agreement.

MUSIC PERFORMANCE RIGHTS. If any Advertisement or material provided by Advertiser containsmusic not covered by a blanket license held by Company, Advertiser shall obtain and furnish toCompany suitable written permission for the use of such music. Company shall have the right, butnot the obligation, to omit music which does not comply with this requirement. Advertiser’s failure toprovide the written permission required herein shall in no way alter, lessen, or diminish Advertiser’sobligation to indemnify Company hereunder.

DISCLAIMER; LIMITATION OF LIABILITY. COMPANY MAKES NO WARRANTIES EXPRESS ORIMPLIED, AND COMPANY SHALL HAVE NO LIABILITY OR RESPONSIBILITY TO ADVERTISER ORANY OTHER PERSON WITH RESPECT TO ANY LIABILITY, LOSS OR DAMAGES, INCLUDING,WITHOUT LIMITATION LOSS OF PROFITS OR SPECIAL OR CONSEQUENTIAL DAMAGES,CAUSED BY OR ARISING OUT OF, EITHER DIRECTLY OR INDIRECTLY, ANY BREACH BY COM-PANY OF ANY OF THE TERMS OF THIS AGREEMENT, OR IN ANY MANNER ARISING OUTOF OR IN CONNECTION WITH ANY ADVERTISEMENT OR OTHER MATERIAL DISPLAYEDON COMPANY’S OR ADVERTISER’S SITE(S), THE MANNER IN WHICH ANY MATERIAL IS DIS-PLAYED ON COMPANY’S OR ADVERTISER’S SITE(S), OR THE FAILURE TO DISPLAY ANYADVERTISEMENT OR OTHER MATERIAL ON COMPANY’S OR ADVERTISER’S SITE(S). SPECIF-ICALLY, AND WITHOUT IN ANY WAY LIMITING THE FOREGOING, COMPANY DOES NOTREPRESENT OR WARRANT THAT ANY ADVERTISEMENT(S) OR OTHER MATERIAL WILL BE DIS-PLAYED ON COMPANY’S OR ADVERTISER’S SITE WITHOUT INTERRUPTION OR ERROR. INNO EVENT SHALL COMPANY’S LIABILITY FOR ANY REASON OR UNDER ANY THEORYEXCEED THE AMOUNT PAID TO IT BY ADVERTISER UNDER THIS AGREEMENT.

LEVEL OF AUDIENCE. Unless otherwise specified in this Agreement, Company does not guaranteeany minimum level of audience, or minimum number of impressions or click-throughs with respect tothe Advertisement(s) or other material provided by Advertiser.

TAXES. In the event that any federal, state or local taxes are imposed on the display of Advertiser’sAdvertisements or other material on the site(s), such taxes shall be assumed and paid by Advertiser.

EXTENSION. Upon mutual agreement of the parties evidenced by a written document signed byboth parties, this Agreement may be extended to cover additional Advertisements, material or timeperiods upon the same terms and conditions.

CORRECTIONS OR MODIFICATIONS. Unless Advertiser is provided by Company with password-protected access to its site, Advertiser agrees that all desired corrections and modifications to theAdvertisement(s) or other material shall be submitted to Company for inclusion on the site and thatAdvertiser will not perform HTML code modifications itself, either directly or through the use of anyHTML editing software program, nor will Advertiser permit any other individual to make such modifi-cations.

THIRD PARTY BENEFICIARIES. Advertiser acknowledges and agrees that the disclaimers and limita-tions of liability made by Company, and the representations and warranties made by Advertiser inthis Agreement, including without limitation the provisions of Sections 7, 9, 14, 15, and 17, shallapply to Company’s vendors as intended third party beneficiaries of this Agreement.

MISCELLANEOUS.(a) This Agreement may not be assigned or transferred by Advertiser without obtaining the prior writ-ten consent of Company. Company is not required to display any Advertisement or other material forthe benefit of any person or entity other than Advertiser.(b) Failure of Company to enforce any provision of this Agreement shall not be construed as a gener-al relinquishment or waiver as to that provision or any other provision hereof.(c) This Agreement contains the entire understanding between the parties relating to the subject mat-ter herein contained, and no change or modification of any of its terms and provisions shall be effec-tive unless made in writing and signed by both parties. Any language contained in any letter, pur-chase order or other form relating to the subject matter for this Agreement shall be of no force or effect.In the event of any conflict between the terms of this Agreement (including these Additional Terms andConditions) and the terms of any Exhibit attached to it, the Exhibit shall be controlling.(d) This Agreement is to be interpreted and enforced in accordance with the laws of New York appli-cable to Agreements executed and to be fully performed therein (without reference to conflict of lawrules).(e) The terms of this Agreement may be subject to a satisfactory credit check on Advertiser and/orAgent. Company may request advance payment for any Advertisement(s) or other material providedby Advertiser or Agent if periodic credit checks are not satisfactory.
