PANINI FOOTBALL PRO TERMS AND CONDITIONS

1. The Organiser of the service

The Services is operated and maintained by Velti, FZ (hereinafter referred to as “the

Organizer”), located at Office No. 2003A, P.O. Box 500663 Business Central Towers, Twentieth

Floor, Dubai Technology and Media Free Zone, United Arab Emirates.

2. Information regarding the service

All information regarding the PANINI FOOTBALL PRO subscription service will be published at

https://uae.paninifootballpro.com.

3. Overview of the service

PANINI FOOTBALL PRO is a 2-player Web App to which you can subscribe in order to:

Play games against other online subscribers. Each game consists of 3 thematic rounds with 2 questions each. The theme of each round is chosen by the game opponents in turns. For each correctly answered question, round victory and game victory, players collect points for prizes.

Gather points to advance your level.

The first calendar day of the service is FREE of charge. After the free period, there will be a

daily charge:

Etisalat: 3.25 AED (VAT inclusive)

Du: 3 AED + 5% VAT

For which you are awarded:

3 games

100 points

At any time, you can purchase additional games in the online store of the Web App.

The Organiser reserves the right to offer more games and points as bonuses on selected

occasions and timeframes.

4. Time frame of the service

4.1. The PANINI FOOTBALL PRO Subscription Service is the extension of the ongoing Panini

Football Arena service. This new concept will start on the 3rd of March 2020.

4.2. The Organiser reserves the right at its discretion or due to governmental authorities’

decision to end the service at any time. Before the service ends, an announcement will be

publicly available on https://uae.paninifootballpro.com.

5. Acceptance of Terms of Use

5.1. You warrant that you have read the Terms and Conditions (hereinafter referred to as

the “Terms and Conditions”) carefully and fully understood them. The terms and conditions

are publicly available on https://uae.paninifootballpro.com.

5.2. By sending an SMS with any registration keyword in English or Arabic to, or by clicking

the relevant online link “Subscribe now” on https://uae.paninifootballpro.com, you accept the

“Terms and Conditions” of the service and agree to:

5.2.1. Receive SMS communication from the Organiser on your mobile phone, related to the

PANINI FOOTBALL PRO Subscription Service.

5.2.2. Receive SMS communication/advertising offers from the Organiser or from other

companies that cooperate with the Organiser during the PANINI FOOTBALL PRO

Subscription Service or after the end of it;

5.2.3. Be included into Opt-in programs and Communities created by the Organiser with the

data gathered during the PANINI FOOTBALL PRO Subscription Service or after the end of it.

5.3. The Organiser reserves the right to make changes to the “Terms and Conditions” at

any time. Revised Terms will be publicly available on https://uae.paninifootballpro.com. You

are expected to check this page from time to time to take notice of any changes. Your

continued use of the service after the posting of any change, will be deemed as acceptance of

the change.

5.4. In the event of dispute regarding the “Terms and Conditions”, conduct, results, and all

other matters relating to the PANINI FOOTBALL PRO Subscription service, the decision of the

Organiser shall be final, and no correspondence or discussion shall be entered into.

5.5. This agreement between the Organiser and you will remain in full force and effect

while the Organiser provides the service (not taking into account temporarily suspensions of

the service for operational reasons, e.g. for repairs, planned maintenance or upgrades).

6. Participation in the PANINI FOOTBALL PRO subscription service

6.1. Eligible to participate in the PANINI FOOTBALL PRO subscription service are:

6.1.1. Natural persons (other than persons, who are employed by Du, Etisalat or the

Organiser, and close relatives and spouses of persons, who are employed by Du, Etisalat or

the Organiser as well as persons who are board members of Du, Etisalat or the Organiser,

during the time of the PANINI FOOTBALL PRO subscription service) who are Du or Etisalat

mobile post-paid or pre-paid customers (hold a valid Du or Etisalat SIM card) during the

period of the PANINI FOOTBALL PRO subscription service are eligible to subscribe to the

subscription service.

6.1.2. Legal entities who are Du or Etisalat mobile pre-paid or post-paid customers (hold a

valid Du or Etisalat SIM card) during the period of the PANINI FOOTBALL PRO Subscription

Service, are also eligible to subscribe to the subscription service. Only an authorized

signatory on behalf of the legal entity will be entitled to take receipt of the prize.

6.2. It is assumed that the person or legal entity that uses the Du or Etisalat SIM card, which

has been used to subscribe to the PANINI FOOTBALL PRO Subscription Service by sending an

SMS with any of the registration keywords in English or Arabic to 1111 (Etisalat) or 2969 (du),

or by clicking the relevant online link “Subscribe now” on https: //uae.paniniarena.com, is the

owner of the SIM card, or an authorized user.

6.3. The Organiser reserves the right to disqualify any entrant if it has reasonable grounds

to believe the entrant has breached any provision of the “Terms and Conditions”.

6.4. The Organiser of the PANINI FOOTBALL PRO Subscription Service shall not release

personal information about the participants of the service to third persons, unless: i) required

to do so by law or ii) to comply with orders or instructions by the applicable governmental

entities of the United Arab Emirates or iii) if the participant has first given his/her consent and

iv) in accordance with the present Terms and Conditions.

6.5. The Organiser reserves the right not to enter into written negotiations or otherwise

contact with the participants of the PANINI FOOTBALL PRO Subscription Service other than in

accordance with the present Terms and Conditions or in accordance with the requirements of

the current legislation of United Arab Emirates.

7. Registration, Gameplay and opt-out mechanism

7.1. Registration

You can register to the PANINI FOOTBALL PRO Service in the following 2 ways:

1) By sending an SMS with the keyword “PFA” to 1111 (Etisalat) or “WIN” to 2969 (Du).

2) By registering online (you enter your mobile number online and receive a validation code via SMS, which you will enter into the respective entry field on the Web Portal. Thereafter you review and accept the “Terms and Conditions” of the service).

Registration is free of charge. Upon successful registration, you will receive a welcome SMS,

explaining you the details of the service (how to access the Web App, how to play, daily costs

and how to opt-out).

If you do not explicitly opt-out from the PANINI FOOTBALL PRO Subscription Service until the

end of your free period trial, your billed subscription will automatically start on the 2nd day.

Etisalat subscribers: AED 3.25 (VAT inclusive)

Du subscribers: AED 3.15 (VAT inclusive)

Your profile is created automatically and your login credentials are your mobile number and PIN you received to register.

7.2. Web App access

In order to access the Web App, where you can play games, you need to visit

https://uae.paninifootballpro.com and login to the Web App.

7.3. Gameplay

You can start a game at any time. Once you select to play a game, you will be matched with

another online opponent or with a bot, if no other player is online.

Each game consists of 3 thematic game rounds, with 2 questions in each round. You and your

opponent will choose the theme of round 1-2 in turns. The theme of the 3rd round is randomly

determined by the system.

For each question, you need to choose the correct answer among 4 answer options.

Throughout the game of 3 rounds, you might use 2 assistances:

• “50/50” assistant (eliminates 2 wrong answers)

• “Pass” assistant (eliminates 3 wrong answers)

For every correct answer, every round victory and every game victory you win points.

7.4. Opt-out

7.4.1. You can opt-out of the PANINI FOOTBALL PRO subscription service at any time by

sending an SMS with the keyword “STOP” in English or “وقف” in Arabic to 2969 (for DU) or C

PFA to 1111 (for Etisalat) (SMS is free of charge)

7.4.2. As an unsubscribed user, you can still access the Web App and play your remaining

games. However, you cannot unlock new games, unless you re-subscribe.

7.4.3. If you send an SMS with “AGAIN” in English or “تسجيل” in Arabic to 2969 (for DU) or PFA

to 1111 (for Etisalat) (SMS is free of charge), you will be considered re-subscribed to the

service.

8. Points

The following points will be awarded to you:

100 points daily during your free trial period (1 day);

100 points daily, upon receiving a notification that 3 games have been added to your account;

50 points for every round won;

500 points for every game won;

100 or more points for levelling up (the higher you level up, the higher the amount of points awarded to you for reaching a new level).

The Organizer reserves the right to offer more points as bonuses on selected occasions and during specific timeframes (special bonus phases).

9. Prizes

Three types of prizes will be awarded to subscribers of the PANINI FOOTBALL PRO subscription

service for the period 3rd of March 2020 to 31st of December 2020:

Grand Prize: 1 (one) winner will win a smartphone Samsung Galaxy S20 for the period

starting 1st of December 2020 until 28th of February 2021.

Grand Prize: 1 (one) winner will win a smartphone Samsung Galaxy S20 for the period

starting 1st of March 2021 until 30th of April 2021.

Grand Prize: 1 (one) winner will win a smartphone Samsung Galaxy S20 for the period

starting 1st of May 2021 until 30th of June 2021.

Grand Prize: 1 (one) winner will win a smartphone Samsung Galaxy S20 for the period

starting 1st of July 2021 until 30th of September 2021.

Grand Prize: 1 (one) winner will win a smartphone Samsung Galaxy S20 for the period

starting 1st of October 2021 until 30th of November 2021.

9.1. Weekly Prize

9.1.1. One (1) subscriber per week (from 3rd of March 2020 to 22nd of August 2020) will win 2,000 AED in cash. The winners of the weekly Prize will be determined via the top scorer mechanism and announced on the 10th of November 2020 and 10th of March 2021. The record consists of the total points, earned by each participant from every Sunday (00:00:01) to Saturday (23:59:59). The participant with the highest number of points wins the Weekly prize.

The participant has to collect points during that week (Sunday 00:00:00 until Saturday 23:59:59) in order to be eligible to win the prize. In case of a tie at the number of most points accumulated during the week, the prize will be awarded to the participant that reached first the winning amount of points.

9.1.2. 1 (one) winner will be determined for each weekly prize.

9.1.3. Every week the points for the weekly prize will be reset.

9.1.4. The winners will be notified via SMS or via call to their mobile number within 60 (sixty)

calendar days after determining them. The name of the winner might be announced on the

PANINI FOOTBALL PRO Web app page, in newspaper ads, or via SMS to all subscribers of the

Subscription Service

9.1.5. One winner cannot win more than one Cash weekly prize1

9.2. Monthly Prize

9.2.1. One (1) subscriber (from 28th of October 2020 to 30th of November 2020) will win a

Noon gift card worth AED 500 (powered by yougotagift.com). The winner of the Prize will be

determined via a draw mechanism and announced on the 10th of December 2020.

9.2.2. The winners will be notified via SMS or via call to their mobile number within 60 (sixty)

calendar days after determining them. The name of the winner might be announced on the

PANINI FOOTBALL PRO Web app page, in newspaper ads, or via SMS to all subscribers of the

Subscription Service

9.3. Grand Prize

9.3.1. The winner of the Grand Prize is determined via the draw mechanism on the 31th of

January 2021. The record consists of the total points, earned by each participant from 3rd of

March 2020 until 31st of December 2020 (23:59:59). Each point that the user earns during the

respective period, corresponds to one draw entry.

9.3.2. The Grand Prize draw will determine 1 (one) winner.

9.3.3. The winner of the Grand prize will be awarded AED 50,000 in cash.

9.3.4. The winners will be notified via SMS or via call to their mobile number within 60 (sixty)

calendar days after the draw. The name of the winner might be announced on the PANINI

FOOTBALL PRO Web app page, in newspaper ads, or via SMS to all subscribers of the

Subscription Service

9.3.5. One winner cannot win more than one Grand prize2

9.4. Surprise Prizes

More prizes will be announced within the year.

9.5. Winner designation of any prize category by the Organiser will be final, and no

correspondence will be entered into.

9.6. The Organiser shall be responsible to ensure that gift distribution (draws) are executed

in such a way as to avoid any miss-clarification by the relevant authorities

9.7. If the PANINI FOOTBALL PRO subscription Service is interrupted or terminated, the

Organiser will publish a message announcing such termination on

https://uae.paninifootballpro.com.

9.8. Interruption or early termination of the PANINI FOOTBALL PRO Subscription Service

shall not release the Organiser from its obligation to give out already awarded prizes and

execute other actions required, except for the cases when termination or interruption of the

PANINI FOOTBALL PRO Subscription Service was called by actions or events which are not

under the Organiser’s control.

10. Terms of the Prizes

10.1 The winners of the weekly prizes the winner of the grand prize draw will be officially

determined in presence of an officer of the Department of Economic Development (DED) and

announced on the same day.

10.2 The winners will be contacted by the Organiser. The winners must confirm in writing

that they are the legal holder of the subscription and that they are entitled to the prize and

shall complete all the necessary documents provided by the Organiser. All winners must

provide identification documents in order to receive the prizes. Prizes may be received by a

representative of the winner by proxy upon written confirmation from the winner.

10.3 If the winner of a prize is under 18, then at the date of delivering the prize, the winner’s

guardian must appear to collect the prize having his/her ID as well as a certification proving

that (s)he is the guardian.

10.4 For each prize only 1 winner would be determined and validated by the regulator’s

official agent. Winners will be contacted on the spot after the official execution of the contest

results (See 10.1). If the winner cannot be reached the Organiser will make further attempts

in order get in contact with him during the day of the draw. If a player cannot be reached or

is refusing the prize then the Organizer will have to determine another winner in presence of

the regulator’s official agent. The prize distribution will take place maximum 60 days after the

official results, if the winner has not claimed his prize over that period, the prize will be

collected by the DED in accordant with the laws in place.

10.5 The winners shall be responsible for payment of due taxes and collections for the prizes

under any relevant current legislation.

10.6 Prizes are not transferable.

10.7 By participating in the Service, the winners agree that any of their data, including

names, surnames, photos and video images, can be used by the Organiser for advertising

purposes with no prior consent of the winner and free of charge.

11. Costs

13.1 Registration to the PANINI FOOTBALL PRO Subscription Service is free of charge. One

free day of trial is also given to you upon first subscription.

13.2 From day two onwards, a subscription charge of 3 AED (+5% VAT) (for Du) per day and

3.25 AED (VAT inclusive) (For Etisalat) will be charged, which unlocks 100 points and 3 games.

13.3 Subscription charges will be applied as per current Du and Etisalat subscription

charging policy.

13.4 Additional games can be purchased within the Web App (limit: 10 purchases per day) .

13.5 Game bundles might change over time (bundles will be added/deleted offered at

different price points). Any change will be published on https://uae.paninifootballpro.com.

12. Limitation of liability

12.1. The organizer reserves the right, at its discretion, to change, modify, add, or remove

portions of these Terms at any time by posting the amended Terms. Please check these Terms

periodically for changes.

12.2. The Organiser accepts no responsibility whatsoever for, including without limitation,

any decision of the governmental authorities to prematurely end the service, any error,

omission, interruption, defect, delay in operation or transmission, communications line failure

when it is not under its direct control and execution.

12.3. The Organiser reserves the right to whenever is deemed necessary, temporarily

suspend the PANINI FOOTBALL PRO Subscription Service for operational reasons (e.g. for

repairs, planned maintenance or upgrades). The Organiser promises to restore the PANINI

FOOTBALL PRO Subscription Service as soon as possible after any temporary suspension

period.

12.4. The Organiser will organize regular events to distribute the prizes to the winners.

12.5. The Organiser advises participants to use caution and common sense when

participating in the PANINI FOOTBALL PRO Subscription Service at all times.

The Organiser shall not be liable for any failure to fulfil any of its obligations under the present

“Terms and Conditions” in so far as such failure is due to Force Majeure. Force Majeure shall

mean all events beyond the control of the Organiser, which cannot be reasonably foreseen,

or if necessary, cannot be avoided. Force Majeure shall include, but not by way of limitation.,

war hostilities, invasion, riot, political unrest, civil commotion, government control, lock-outs,

fire, flood, storm, or other natural catastrophe. In such circumstances, the Organiser may

suspend the PANINI FOOTBALL PRO Subscription Service for which event shall promptly notify

the participants on the official website of the PANINI FOOTBALL PRO Subscription service at

https://uae.paninifootballpro.com. The Organiser may extend the duration of the PANINI

FOOTBALL PRO Subscription Service for the number of days that it was suspended due to Force

Majeure issues and award the prizes that were not given during the suspension period.

13. Disclaimer of warranties

15.1 Participants understand and agree that they participate in the PANINI FOOTBALL PRO

Subscription Service at their own risk and willingness and have not been coerced in any

manner to enter the PANINI FOOTBALL PRO Subscription Service

15.2 The Organiser makes no warranty, implied or express, that any part of the PANINI

FOOTBALL PRO Subscription Service will be uninterrupted and error-free

15.3 Neither the Organiser nor any of its directors, employees, agents or suppliers shall

accept any responsibility for any damage, loss, injury or disappointment suffered by any

entrant participating in the PANINI FOOTBALL PRO Subscription Service or as a result of

accepting the prizes

15.4 The Organiser is not responsible for any problems or technical malfunction of any

telephone network or lines, computer on-line systems, servers, or providers, computer

equipment, software failure of any email or entry to be received on account of technical

problems or traffic congestion on the Internet, telephone lines or at any web site, or any

combination thereof, including any injury or damage to entrant's or any other person's

computer or mobile telephone related to or resulting from participation or downloading any

materials in the PANINI FOOTBALL PRO Subscription Service

15.5 By entering the PANINI FOOTBALL PRO Subscription Service, participants agree that no

claim relating to such losses or injuries (including special, indirect and consequential losses)

shall be asserted against the Organiser, its parent companies, affiliates, directors, officers,

employees or agents from any and all losses, damages, rights, claims and actions of any kind

resulting from acceptance or user of any prize, including without limitation, personal injuries,

death and property damage.

14. Data protection and Publicity

16.1 Personal data related to voice, image, name or address and any other relevant

information will be included in a filing system belonging to the Organiser and can be used for

taking part in the PANINI FOOTBALL PRO Subscription Service as well as publicity mailing, or

other purposes relating to the Organiser’s Service, unless otherwise indicated.

16.2 The Organiser will use such data in a confidential manner and participants could

exercise the rights of access, rectification, deletion and objection to prior consent for sending

publicity through a written communication addressed to the Organiser.

16.3 Participants agree that if they win a prize then their first name and the first letter of

their last name will be published for informational purposes only.

15. Governing Law

17.1 In any case that any disagreement arises, participants can present their complaint to

the Organiser and the issue will be decided in accordance with the laws of United Arab

Emirates.
