COMPANY INTRODUCTION Overview Project Development International (PDi) Limited is a dynamic, experienced and completely independent company offering development solutions to the oil and gas industry from discovery to production. PDi provides the highest quality project management and specialised engineering support services. Our exceptional team of knowledgeable and enthusiastic professionals combine proven methods with modern techniques to deliver the best possible solution on budget and on schedule. The company was formed in 2003 by a team of highly experienced project, facilities and pipeline managers who had worked together as a project management team for over ten years. Today we are a blend of industry regarded professionals from operator, design house and contractor backgrounds who have technical, commercial and contractual experience. We remain totally independent from any exploration & production companies, contractors and manufacturers enabling us to represent the best interests of our clients and provide the optimum development solution. We have completed and have experience of projects from all four corners of the world with dedicated offices in England, Scotland and Egypt. Our approach to any project is to complement the client's team by providing fully integrated and co-ordinated planning to deliver the most cost effective solution which fits the reserves and production requirements. We continually seek and evaluate new techniques and technology to offer our clients any advantage they may offer but always keeping our responsibility towards safety and environment very much in mind. Corporate Mission Statement The Mission of PDi is to provide a total management solution for the development and expansion of onshore and offshore oil and gas fields from discovery to production and finally through to decommissioning. Our goal is to win repeat business through being known as a trustworthy dependable organisation. Qualifications & Capabilities PDi’s skilled consultants, engineers and project managers have acquired significant experience and specialized skills by designing, implementing and delivering specialised solutions and services to the Oil and Gas industry around the globe. The acquired knowledge, skill sets, competence and confidence of our project management team members, has contributed to the development of mature systems, processes and procedures utilized by PDi in achieving excellence in project management. We craft our solutions with commitment to unparalleled customer value. With our performance and deliverables we have gained international recognition with customers in Europe, Africa, USA and South America. Our People With dedication and persistence PDi has managed to assemble a most impressive team of professionals. As of the end of 2008 the company employs over 70 qualified engineers all with considerable industrial experience. Our Services PDi professionals are capable to cover the complete spectrum of the project services requirements, from discovery to production by offering a number of services, either in London, Aberdeen or Cairo offices, including the following:

Project Management Our core strengths and skills lie in the field of project management; we can supply experienced, practical individuals than can provide project management services, either for short duration assignments and ad-hoc assistance or for more long-term roles. Consultancy Services PDi has a wide experience with its clients in carrying out conceptual studies, cost reduction reports, pipeline installation studies, insurance valuations, conceptual screening support, and CAPEX and OPEX estimates for offshore projects worldwide. Tendering Support PDi have experience in conceptual field studies, tendering, contract management and tendering support. PDi can support its clients in the production of tenders including conceptual engineering, method statements, overall project planning and costing. In addition PDi are able to represent its clients in negotiations with the contractors on both technical and commercial issues during and after the tendering process.

Planning PDI can develop project schedules for FEED / Tender / Onshore Preparation / Offshore Execution phases of works scope activities, with all schedules issued on Microsoft Project or any other client provided software as required. Alternatively, PDi can review pre-prepared schedules to provide an independent sense check based on our experience. In addition, with our experience of offshore operations, PDi are able to identify the risk areas in schedules and identify appropriate contingency as required. Installation and construction support In addition to our strong core of project managers, we can provide talented and experienced installation and construction support personnel, covering all the necessary skills for successful project delivery. Technical and construction support can be provided either for short duration assignments, ad-hoc assistance for more long-term roles. Project Engineers PDi can perform the Project Engineering role with the development of installation procedures, identify project equipment, source & procure project equipment and support of operations offshore. Site Supervision & Load out Engineers We can provide knowledgeable and professional personnel for site supervision of such items as spools, structures, cable and umbilical load outs, temporary installation aids and also to witness testing / inspection and other load out activities, if required. Co-ordination of Third Party Interfaces PDi recognise that specialist support service disciplines, such as installation analysis, marine warranty surveyors and geotechnical assessments require to be engaged to assist the core project team. We can assist in sourcing, co-ordinating and managing third party specialist services required to ensure successful project delivery. Installation Analysis PDi can manage the preparation of ITT’s / tender review / manage the installation analysis from specialist analyst consultants. PDi perform this function with a number of clients and we have interfaced with MCS, KW, Pegasus and DeepOcean on recent projects. Inspection Services For the oil & gas production, processing and transportation, PDi provide management supervision and implementation of all statutory and non statutory Quality Control and Third Party Inspection activities associated with ongoing manufacturing or related activities, both on and offshore. This includes supporting client materials, supply chain management and logistics departments as well as assurance of operators’ materials requirements. PDi can also provide surveillance services during the fabrication, construction and commissioning stages of complete plants or module sub assemblies across a wide range of industries including; oil & gas, petrochemical, nuclear, steel manufacture and civil engineering. QA PDi has a robust quality assurance and control system in accordance with ISO 9001. The system comprises of a suite of corporate procedures which are utilised to control and manage our business processes.

SECTION THREE

BOARD OF DIRECTORS Nigel Danhash Director Nigel Danhash has over 23 years oil and gas experience in the project management, engineering, construction and installation of pipelines, platforms and subsea facilities. Experience includes design, onshore fabrication, onshore and offshore construction and commissioning, bid preparation, high-value contract negotiation and administration, government and partner liaison. Miles Jones Managing Director Miles Jones has over 22 years oil and gas experience in the project management of on and offshore pipeline and associated facilities developments, including concept definition, engineering, installation and commissioning. Experience includes design, construction, tender preparation and negotiation, contract management, and government and partner representation. Hugh Frayne Director Hugh Frayne has over 35 years experience in the upstream oil & gas industry, and specialises in Project Management, with particular emphasis on facilities design and project execution. Hugh worked for Conoco from 1971 to 1997, ultimately appointed as Manager of Project Engineering, accountable for a major part of the company's project budget and mainly focused on Southern North Sea offshore and onshore facilities. Craig Stenhouse Business Development Director Craig has over 17 years experience in the offshore oil and gas industry involved in all aspects of tendering, engineering and construction with considerable exposure to deepwater projects. Current experience includes technical and commercial screening of all projects tendered with a value over $100 million for one of PDi's major clients. Work experience includes responsibilities for the tendering, negotiating, installation and project execution on a number of major subsea developments both in the UK, Africa, Asia and the Americas.

QA POLICY STATEMENT

The scope of Project Development International Ltd (PDi) business activity encompasses the provision of Project Management, Engineering, Quality and Third party inspection services providing development solutions to the oil and Gas and Renewable industry from discovery to implementation. Project Development International Ltd (PDi) recognises the importance to its future of adopting a strategy, which bases the development of its business on the pursuit of quality throughout the organisation. This commitment to quality is based on the principle that the effective and consistent implementation of operational systems, which reflect both customer and business requirements, will result in the continuous satisfaction of customer needs. It is the policy of the Company to achieve this through the continual improvement of the Company’s activities by the planning, setting and implementation of specified and measurable quality objectives by the Management Team and the regular review of the effectiveness of the management system via the Management Review process. This commitment is based on the implementation of a management system that reflects the business requirements of the Company. This management system is defined in a documented management manual, which provides clear standards and guidelines in all the appropriate areas of the Company’s activities. It is the intent of the Company that its management system will, at minimum, satisfy the requirements of its customers, the EN ISO 9001:2000 Quality management Systems standard, and all legal and regulatory requirements.

HEALTH, SAFETY & ENVIRONMENTAL POLICY STATEMENT Project Development International Ltd (PDi) is committed to establishing and maintaining the highest standards of Occupational Health, Safety & Environmental performance, and the minimising the impact of its business operations on the Health, Safety and Welfare of its employees, suppliers, customers and general public and Environment. PDi will therefore provide a safe and risk free workplace and will integrate the protection of Health, Safety & Environment into the management of its operations. PDI will respect and commit to the HS&E Laws, Regulations and working practices of the countries in which we work, in the UK this is covered by compliance with the Health and Safety at Work Act (HASAWA) 1974. The PDi chairman has overall accountability for Health, Safety, & Environmental performance in our operations, and is responsible for the implementation and monitoring of this policy. The HSE Manager is responsible for providing advice and guidance on matters relating to the Health, Safety and Welfare of employees and on Environmental matters. PDI Managers are responsible and accountable for the Health and Safety of their staff by:

• Ensuring that all applicable Health, Safety, & Environmental Legislation and Codes are adhered to and that appropriate actions are taken to ensure a safe working environment.

• The active participation of all employees in the achievement of Health, Safety, & Environmental objectives.

• Conducting all activities in accordance with the requirements of the Health, Safety, & Environmental Management System.

Employees are responsible for ensuring that they comply with relevant legislation and the Health, Safety, & Environmental Management System, to ensure prevention of harm to themselves, their colleagues and the Environment. To meet our Policy Statement, PDI will:

• Demonstrate active Health, Safety, & Environmental leadership and communication of this policy.

• Comply with relevant Laws, Regulations and applicable Codes. • Investigate and report all incidents and accidents with the potential to cause risks to

Health, Safety, & Environmental damage. • Ensure that all employees understand that working safety is a condition of employment,

and that everyone is responsible for their own safety and for minimising environmental impacts of our operations.

• Create a culture where Health, Safety, & Environmental considerations are integrated into all our activities.

• Manage all projects and processes through their life cycles in a manner that protects Health and Safety and prevents pollution and manages waste.

• Develop safe systems of work for all potentially hazardous situations, and identify and assess major accident hazards.

• Include Environment consideration in our business decisions and minimise the impacts of our activities on the Environment.

• Require all employees and suppliers to attend periodic Health, Safety, & Environmental meetings.

• Provide employees and suppliers with the training, knowledge and resources necessary to achieve our Health, Safety, & Environmental commitments.

• Provide effective emergency response and evacuation systems allowing onshore and offshore personnel to deal effectively with emergency situations.

• Continually review and communicate our HS&E performance against set objectives and targets, and maintain a programme of continual improvement to improve HS&E performance and minimise incidents and accidents from our operations and activities.
