the arrival of the Royal impala on the exotic game breeding scene. Please

join us in welcoming them at the Pilanesberg Game Breeders auction

presented at the Royal Marang on 7 May 2016.

Originally from Botswana with the true gene that occurs naturally and

approximately 40 recorded to date, be sure to recognise the

distinguishing characteristics separating this noble breed from the ordinary:

• Its rich, pearl white coat,

• black nose and horns,

• black ear tips and eyes,

• black hooves and socks, as well as

• the black tail and vertical markings on the back of both thighs, like its

common cousin.

Experience has shown that no royal lambs are born by breeding a royal ram

with common ewes, and only after the second or third generation between

20% and 40% of royal off-spring will be produced.

Though born with the tell-tale white spot on the throat and the same

distinctive triple colouring of the common impala, the royal lambs start

changing colour from two to four months old, displaying the characteristics

of the breed. As the animals mature, their noble qualities manifest

themselves, creating great excitement among the exotic game breeding

community.

1) In this section, ‘‘auction’’ includes a sale in executionof or pursuant to a court order, to the extent that theorder contemplates that the sale is to be conducted byan auction. 2) When goods are put up for sale by auction in lots,each lot is, unless there is evidence to the contrary,regarded to be the subject of a separate transaction. 3) A sale by auction is complete when the auctioneerannounces its completion by the fall of the hammer, or

in any other customary manner, and until thatannouncement is made, a bid may be retracted. 4) Notice must be given in advance that a sale byauction is subject to—

a) a reserved or upset price; or b) a right to bid by or on behalf of the owner or

auctioneer, in which case the owner orauctioneer, or any one person on behalf of theowner or auctioneer, as the case may be, maybid at the auction.

5) Unless notice is given in advance that a sale byauction is subject to a right to bid by or on behalf of theowner or auctioneer—

a) the owner or auctioneer must not bid or employany person to bid at the sale;

b) the auctioneer must not knowingly accept anybid from a person contemplated in paragraph(a); and

c) the consumer may approach a court to declarethe transaction fraudulent, if this subsection hasbeen violated.

6) The Minister may prescribe requirements to be

complied with by an auctioneer, or different categoriesof auctioneer, in respect of—

a) the conduct of an auction; b) the records to be maintained with respect to

property placed for auction; and c) the sale of any such property by auction.

4. The auction is conducted for the normal andvoluntary disposal of the Owner’s / Seller’s goods.

5. The auction will start at the published time. Theauction will not be delayed to allow any specificperson or more persons to take part in the auction.

6. All goods sold at the auction are sold by theAuctioneer as agent on behalf of the Owner /Seller. The Owner / Seller hereby authorises theAuctioneer to issue invoices, credit and debit notesas applicable on its behalf and agrees not to issuethe aforementioned for the same supply. TheOwner/Seller also hereby authorizes the Auctioneerto collect the purchase price from the Buyer andthe Owner / Seller do hereby cede to theAuctioneer all the Owner / Seller’s rights, title and

Wildswinkel Veilings (Pty) Ltd – Registration Number: 2015/316030/07(As auction house herein after referred to as the “Auctioneer” and the person conducting the auction referred to as the “auctioneer”)

interest in and to its claim for payment of thepurchase price against the purchaser, which sessionthe Auctioneer do hereby accept.

7. The purchase price of the goods sold by auctionspecifically excludes VAT and VAT must be addedto the purchase price and paid by the Buyer unlessspecifically indicated otherwise. Declaration andcompliance related to all applicable taxes is theresponsibility of the Owner/Seller and Buyer asrelevant.

8. All goods shall, immediately after the bid has beenknocked down (fall of the hammer) and acceptedby the Owner / Seller, be deemed to have beendelivered to the Buyer. As such, all risk in profit andloss in the goods will pass to the Buyer after thebid has been knocked down (fall of the hammer)and accepted by the Owner / Seller.Notwithstanding delivery and the passing of risk inprofit and loss in the goods, ownership of thepurchased goods will remain reserved and will notpass from the Owner / Seller to the Buyer until thefull purchase price plus interest, if any, is paid. Assuch, the Buyer shall not be entitled to remove anypurchased goods until the total amount reflectedon the Auctioneer’s invoice in respect of suchgoods has been paid in full.

9. The parties specifically agree that no bid may beretracted after the bid has been knocked down (fallof the hammer) and accepted by the Owner /

Seller, unless the Owner / Seller consents thereto inwriting.

10. Subject to any reserve price placed on any of thegoods by the Owner / Seller, and the provisions ofclause 11 and 12 below, the Buyer at any sale byauction shall be the highest bidder indicated by theauctioneer by the fall of the hammer or by suchother means as the auctioneer may select.

11. The auction shall take place under the direct andexclusive control of the auctioneer. The auctioneerreserves the right, in its sole discretion, to refusethe bid of any person, to regulate the bidding andto indicate the highest bidder. If the auctioneersuspects that a bidder has not made a bona fidebid, or is unable to pay the purchase price or hasnot made satisfactory arrangements for payment ofthe purchase price, he may refuse to accept the bidof such bidder or accept it provisionally until thebidder has satisfied him that he is in a position topay the purchase price or that he has madesatisfactory arrangements for payment thereof. Onrefusal of a bid under such circumstances thegoods may immediately be re-auctioned.

12. In the event of a dispute arising amongst thebidders and / or the Auctioneer, the goods indispute shall, at the sole discretion of theAuctioneer, be re-auctioned.

13. Any error by the auctioneer shall be entitled to becorrected by him or her immediately upon

discovery.14. All profit, loss or risk in the goods will pass to the

Buyer once the bid has been knocked down (fall ofthe hammer) and accepted by the Owner / Seller(deemed delivery), who shall at his own risk andexpense remove it from the sale venue, subject to 8above. The Buyer shall be responsible for all costsincurred by either the Owner / Seller or theAuctioneer in respect of the keeping of the gameat the auction venue or anywhere else, until theactual removal of the game.

15. Should any contractor remove any goods from thesale venue on instruction of the Auctioneer, actingon behalf of the Buyer, the contractor will bedeemed to be the contractor of the Buyer whoaccepts all costs and risks connected with suchremoval.

16. The Owner / Seller warrants that there are noencumbrances on such goods, that the said goodsare the property of the Owner / Seller, and that theOwner / Seller is competent and legally entitled todispose of the goods.

17. The Owner / Seller, who offers the goods for sale,accepts all liability regarding the informationfurnished as to pedigrees, ages, dates of service,state of health or gestation or any other particularswhich might be incorrect. In the event of anydispute the Buyer shall only have a claim againstthe Owner / Seller and not against the Auctioneer.

The Owner / Seller and Buyer indemnify theAuctioneer against any claim(s) regarding theinformation furnished as to pedigrees, ages, datesof service, state of health or gestation or any otherparticulars which might be incorrect.

18. The Owner / Seller warrants that the goods sold arefree of any patent and latent defects and that anyright or claim ceded to the Auctioneer in terms ofthese Rules of Auction is free of any defect or rightof deduction or set-off, and that the said right orclaim is fully and immediately enforceable againstthe Buyer.

19. The Buyer shall, prior to the sale, ascertain whetherthere are any defects in the goods and any bid by aBuyer shall be considered as acceptance of thegoods with any patent or latent defects in theircondition at the time of sale.

20. The Buyer shall not be entitled to withholdpayment of the purchase price to the Auctioneer asa result of any possible or pending claim that hemay have against the Owner / Seller on thegrounds of misrepresentation or for any otherreason whatsoever.

21. The purchase price is payable by the Buyer to theAuctioneer via electronic transfer (“EFT”) on thedate of sale (“the payment date”) unless otherpayment terms and or means are agreed betweenthe Auctioneer and the Buyer. The Auctioneerreserves the right to refuse any other method or

means as payment. Payment by way of EFT will onlybe regarded as done as soon as the fundstransferred reflects and are available in theAuctioneer’s bank account.

22. In the event that the Auctioneer agrees to facilitatethe purchase of the goods by paying an amountequal to the purchase price to the Owner / Sellerbefore the Buyer makes payment to the Auctioneer(“the Payment Terms Agreement”), then thefollowing shall apply:22.1 The election to make any payment to the

Owner / Seller shall be in the sole andabsolute discretion of the Auctioneer, whichdiscretion may be exercised separately inregard to each transaction entered into bythe Buyer.

22.2 Upon payment of the amount referred to in 22.1 above the Owner / Seller's right, titleand interest in and to any claims and otherrights against the Buyer in terms of orconnected with the sale of the goods shallforthwith be ceded and transferred to theAuctioneer, which session the Auctioneerhereby accepts.

23. In the event of any Payment Terms Agreementbetween the Auctioneer and the Buyer, thefollowing shall apply;23.1 No Payment Terms Agreement shall be valid

unless reduced to writing and duly signed on

behalf of the Auctioneer. The facilitation ofany sale by the Auctioneer as referred to inthis paragraph 23 shall be strictly subject tothe terms and conditions of the PaymentTerms Agreement.

23.2 In the event of any conflict between thecontents of this document and the PaymentTerms Agreement, the provisions of thePayment Terms Agreement shall prevail.

23.3 No application for credit as defined in section8 of the National Credit Act, Act 34 of 2005,will be received or considered by theAuctioneer.

24. Anyone that intends to bid at the auction (Buyer)must register his or her identity on the bidder’srecord prior to the commencement of the auctionand such registration must meet the requirementsof the FICA (Financial Intelligence Centre Act, 2001)in respect of the establishment and verification ofidentity of the person. The prospective Buyer mustsign the registration entry and furnish theAuctioneer with a copy of his/her identitydocument and proof of residence (not older than 3months).

25. Any person who purchases on behalf of a Principal(i.e. natural person) must furnish the Auctioneerwith a written signed Power of Attorney, prior tothe commencement of the auction, failing whichhe/she will be personally liable for payment of any

purchases made by him/her. The person biddingon behalf of or signing any document on behalf ofthe purchaser pursuant to a successful bid herebybinds himself/herself personally as co-principaldebtor with the Buyer for payment of the purchaseprice and personally guarantees all the obligationsof the Buyer under these Rules of Auction.

26. A person who attends the auction, to bid and tosign the bidder’s record, on behalf of anotherperson (i.e. on behalf of a company or legal entity)must produce a signed letter of authority thatexpressly authorizes him or her to bid or sign thebidder’s record on behalf of that person. Where aperson is bidding on behalf of another entity theletter of authority must appear on the letterhead ofthe entity and must be accompanied by a certifiedcopy of the resolution, if required, authorizing himor her to bid on behalf of the entity. The personbidding on behalf of or signing any document onbehalf of the Buyer pursuant to a successful bidhereby binds himself personally as co-principaldebtor with the Buyer for payment of the purchaseprice and personally guarantees all the obligationsof the Buyer under these Rules of Auction.

27. In the event where a Buyer allows another personto purchase on his or her buyer’s number, theregistered Buyer shall be liable for payment of suchpurchases. No bid by an unregistered Buyer will beaccepted by the Auctioneer and the Buyer will have

no claim to any of the goods allegedly purchasedby him.

28. Until all amounts owing by the Buyer have beenpaid in full, the Buyer hereby:28.1 irrevocably undertake to identify the

purchased goods in such a manner that hecan at any time identify and indicate thegoods deemed to be the property of, andpledged to, the Auctioneer.

28.2 grants the Auctioneer at all reasonable timesaccess to the premises where the goods arestored or kept for the purposes of perfectingits pledge and exercising any other rights interms of these Rules of Auction.

29. The Owner / Seller, Buyer and Auctioneer herewithconfirm that any action instituted by the Auctioneeragainst the Owner / Seller and / or Buyer may beinstituted in any competent Court. This agreementwill be governed in accordance with the laws of theRepublic of South Africa.

30. A certificate issued by a Manager of theAuctioneer, whose appointment and authority shallnot be necessary to prove, shall be prima facieproof of the amount owing by the Buyer to theOwner / Seller or the Auctioneer.

31. Any indulgence granted by the Auctioneer to theBuyer or the Owner / Seller will not prejudice therights of the Auctioneer in terms of these Rules ofAuction and such indulgence will not constitute an

amendment or waiver or novation of these Rules OfAuction.

32. The entries made in the Auctioneer’s auction rollshall be prima facie evidence of the transaction andshall be binding on the Owner / Seller and theBuyer.

33. The bidder’s record and the vendor or vendu rollwill be made available for inspection withinreasonable time after the auction at the office ofthe Auctioneer during normal business hours freeof charge.

34. All money will be paid into a trust account for thebenefit of the Owner / Seller, minus the agreedcommission and additional costs agreed upon byand between the Auctioneer and Owner / Seller.

35. Any goods entered or offered for sale are subjectto payment by the Owner / Seller / Buyer of theagreed commission, or in absence of agreementthe usual commission by the Owner / Seller / Buyerto the Auctioneer at the rate customarily chargedby the Auctioneer from time to time, whether thegoods are sold at the auction or thereafter, or atany time thereafter by private treaty. Unlessotherwise agreed in writing, commission shallbecome due and payable by the Owner / Seller/Buyer upon the fall of the hammer or upon theentering into of any private treaty involving theOwner / Seller’s said goods, whichever date is theearlier, and notwithstanding any breach on the part

of the Owner / Seller/ Buyer.36. Every bid shall constitute an offer to purchase the

property or goods for the amount bid, which theOwner / Seller or the Auctioneer may accept orreject in their absolute discretion. The Owner /Seller and Auctioneer are entitled, in their absolutediscretion to withdraw the property or goods fromthe sale prior to acceptance by the Owner / Seller.

37. If no bid equals or exceeds the reserve price, if any,the property or goods may be withdrawn from theauction.

38. The Auctioneer accepts no liability for anywithdrawal of goods from sale.

39. The Buyer will be responsible to obtain all permits,certificates and transport documents pertaining tothe game purchased at the auction. The Buyer willbe liable for the payment of the purchase priceeven if he is unsuccessful in obtaining the requiredpermits, certificates or transport documents. Assuch it is specifically stated that no sale on theauction is subject to the Buyer’s successfulapplication for any permit, certificate or transportdocument.

40. No bid may be withdrawn after the fall of thehammer until the expiry of the confirmation period(if any) that is provided for in the Conditions ofSale, during which time the offer shall be open foracceptance by the Owner / Seller or his agent andif the offer is accepted the sale shall be deemed to

be a sale by auction for purposes of the Act.41. In the event of the sale requiring the consent of any

statutory authority or any court of law, then thisauction will be subject to the granting of suchconsent.

42. The Buyer and the Owner / Seller do herebyconsent to the payment of attorney and own clientcosts in the event of any legal action beinginstituted against them by the Auctioneer or Owner/ Seller.

43. Any agreement contrary to these Rules of Auctionshall not be binding unless it is confirmed in writingand signed by a manager of the Auctioneer.

44. If any clause or term of these Rules of Auctionshould be invalid, unenforceable and illegal, thenthe remaining terms and provisions of these Rulesof Auction shall be deemed to be severable therefrom and shall continue in full force and effectunless such invalidity, unenforceable or illegalitygoes to the root of these Rules of Auction.

45. Default by Buyer: Should the Buyer/Purchaserrefuse or otherwise fail to pay the purchase pricewithin 7 days of the due date, the Auctioneer shallbe entitled to;45.1 claim interest from the Buyer/Purchaser the

prescribed mora interest rate calculated fromthe date of purchase to date of payment,and/or

45.2 repossess the goods to resell same at the risk

of the defaulting Buyer/Purchaser who shallbe liable for all costs in connection with theresale and any loss or damage incurred, andwill not be entitled to any profit that mayarise from the resale, and/or

45.3 institute legal proceedings for the payment ofany amount owing or for the return of thegoods in which event the provisions of clause45.2 will apply,

45.4 recover the Auctioneer’s legal costscalculated at the Attorney and own Clienttariff as well as collection, tracing, storageand transport costs, and

45.5 retain in pledge any goods or other propertyin the possession of the Auctioneerbelonging to either the Buyer / Purchaser orthe Owner / Seller as security for the duefulfilment of any obligation owed to therelevant party or the Auctioneer.

46. Any dispute between the parties will be governedby the South African legal system and legislation.

47. The Auctioneer reserves the right to amend theseRules of Auction in writing.

48. By entering a bid any prospective Buyer bindshimself or herself to these Rules of Auction, as wellas any special conditions of sale set forth in theauction catalogue.

Insurance Rules1. The Seller will purchase comprehensive

insurance on all animals purchased by thepurchaser; together with all risk andresponsibility for the well-being of suchanimal; from the fall of hammer until theearlier of 30 days after delivery of animals to the purchaser, or 45 days afterfall of hammer, unless otherwise arranged with Kuda and the seller.

2. Insurance will include and cover all risks of mortality relating to the animalfrom fall of hammer, i.e. while the animal is still on the seller’s farm, the risksrelating to transport of the animal, the delivery of the animal, as well as thefirst 30 days following the date of delivery, subject to a maximum numberof 45 days from fall of hammer. Risks relating to mal-adaptation will be fullycovered. Risks relating to predation will be fully covered. Excess paymentof 15% will be applicable during the 30 day ARM period and this will bepayable by the Purchaser. The date of sale recorded on the catalogue foreach lot will be the date of delivery for the specific lot. It will be theresponsibility of the Purchaser to familiarize him or herself with this dateand make appropriate arrangements with the seller. 3. The purchaser confirms that the animal may only be conveyed by a vehiclewhich is fit, proper, acceptable and approved by the insurer responsible forthe insurance, failing which all insurance cover will lapse and then thepurchaser will carry the full risk and responsibility for all involved animalfrom the date on which the insurance has lapsed, onwards.

4. Should it happen that any animal sold is not insured and delivery on anyspecific animal becomes impossible due to sickness or death or forwhatever reason, then the seller will be liable to replace such animal withanother of the same standard, quality and value alternatively refund thepurchaser with the full purchase price, should that be the purchaser’schoice;

5. Transport requirements must be discussed with the seller who can assistbuyers in sourcing suitable transport.

Additional conditions applicable to Pilanesberg Game Breeders (Pty) Ltd1. Under no circumstances will any buyer or seller have any claim against

Pilanesberg Game Breeders (Pty) Ltd resulting from either of theirparticipating in or transacting business either before or after theauction.

2. Both the seller and the purchaser indemnify Pilanesberg GameBreeders (Pty) Ltd against any and all claims which may be institutedagainst Pilanesberg Game Breeders (Pty) Ltd by either the seller or thepurchaser or their successors in title and assigns. This indemnity coversall charges, claims expenses and costs.

3. All animals of which their gestation is to be confirmed:

3.1 The purchaser will be informed on which date the animal’sgestation will be tested by a veterinary together with the specificdate on which the animal will be delivered to the purchaser;

3.2 All animal of which their gestation is guaranteed, will be deliveredas indicated on the catalogue;

3.3 It will be required from the purchaser or his/her representative toattend the process of testing the animal’s gestation, failing whichthe present veterinary who did the procedure, will sign off allrelevant documentation and certification confirming the animal’sgestation;

3.4 Documents that confirms the gestation of the purchased animalwill be presented to the purchaser within 21 days after delivery ofthe animal;

3.5 The origin of only the Zambian Sables and Buffalo’s will beconfirmed and proved by submission of the necessary DNAcertification and paternity.
