    1. Why are the organizations looking to consolidate? Several reasonsa. Survey of both organizations this past summer showed a desire to do some sort of

    merge/consolidation

    b. Both organizations do very similar things that could be consolidated and possibly reduceoverhead costs

    i. Recruitingii. Training

    iii. Meetingsiv. Assign gamesv. Officiate games

    vi. Bill customersvii. Pay officials

    viii. Evaluate officialsix. Have Varsity and JV listsx. Have similar boards that manage the organizations similarly.

    xi. Only main difference really is that one group officiates boys basketball, othergroup officiates girls basketball

    c. 174 of 283 total officials already work JV/Varsity in both organizations (approximatenumbers)

    i. 41 of 85 PNBOA Varsity listii. 57 of 72 SOWB Varsity list

    iii. 44 of 62 PNBOA NonVarstiyiv. 32 of 64 SOWB JV List

    d. Could put more money back in officials pockets by having less assessment, moreflexibility and opportunities to officiate games

    e. New organization may alleviate have tax incentives (savings)f. Would make managing all membership rosters simpler for volunteer board membersg. Make it easier for schools and leagues

    i. Deal with only one organization to manage all their gamesh. Consolidating organizations has potential to give officials more opportunities, flexibility

    and less administration for game assignments

    2. Have other Basketball organizations consolidation?a. Yes, Spokane has done a complete consolidation (approx 2009?)b. Snohomish stopped exploring merge in Dec 2011

    3. Are there groups like ours not considering doing this and if so, why not?a. Yes, TriCities and Tacomab. Couple of reasons

    i. Organizations dont really get alongii. Few officials work both sides

    4. What would a single organization look like?a. New nameb. Single board of directorsc. One set of duesd. One set of meetings/traininge. One Website

    5. Would officials have to work both boys and girls basketball?a. Current officials would have choice (flexibility)

    i. Boys onlyii. Girls only

    iii. Both6. How would assignments be made?

    a. With over 21,000 games that we assign, it will not be a one person jobb. Officials will have flexibility on giving availability for games they are wanting work.

    7. How many lists?a. We would continue to have separate lists for Boys/Girls Varsity/JV

    8. Evaluationsa. Officials would continue to be evaluated separately on Boys and Girls games for

    ranking on either list

    9. This looks like a mergera. This is not a merger. By definition, a Merger can imply one company taking over

    another.

    10.This is consolidation. By definition, Consolidation means to bring together (separate parts) intoa single or unified whole, to combine, to unite. That is what we are doing

    11.Duesa. Would we still need them?

    12.Cost to do thisa. Spokane cost was around $2,000 (several years ago approx 2009)b. Had several attorneys within both organizations who helped keep the costs downc. Cost for attorney fees, filing, etc will range in $1015,000 total for both PNBOA & SOWBd. Costs would be shared equally by both SOWB & PNBOA

    13.Time to do thisa. Spokane took 2 yearsb. PNBOA plans to take vote for consolidation (2/3 approval required) in Jan 2013c. Merge would be authorized for 201314 season, but may take longer

    14.What we are voting on in January 2012. This vote will be taken electronically. This vote is notrequired, but the PNBOA Board wants ALL PNBOA MEMBERS to have input on this process

    before dedicating time and money to move forward.

    a. To have the PNBOA and SOWB spend the time, money and effort to nail down thespecifics of becoming a new organization based on this model

    i. New nameii. New board of directors (and associated voting)

    iii. 2 assignors and their dutiesiv. Separate Varsity/JV Lists for boys and girlsv. Develop new Governing Documents

    1. Constitution2. Bylaws3. Board Policies4. Service Agreement5. Implementation Schedule

    vi. Financial implicationsvii. Legal Impliciations

    viii. Other, unforeseen items15.Goal is that by January 2013, both memberships will need to vote on dissolving current

    organizations and creating new one

    a. This will take 2/3s majority of all members from each organizationb. Would take effect for 20132014 seasonc. Time frame depends on how long it takes to take care of

    i. Legal issuesii. Financial Issues

    d. Monthly updates to be sent out to all members of both organizationse. Will take a dedicated effort by members of each organization to make happen

    i. If you have a skill set you think would be beneficial help!ii. If you have questions ASK ANY BOARD MEMBER or COMMITTEE MEMBER

    16.WOA (to our understanding) is supportive of our groups consolidating. WOA has been advised ofour actions, progress, and planned next steps

    17.PNBOA is in a good financial position to support the costs associated with a consolidationConsolidation Committee (We dont have all the answers, but were happy to help/discuss!):
