IMPORTANT ANNOUNCEMENT As you know, our country is currently facing serious public health and epidemiological
concerns regarding the transmission of contagious disease and illness, specifically relating to
the coronavirus (COVID-19). Public health officials and authorities have recommended that in
person meetings and gatherings be temporarily limited to the extent feasible in order to limit
the risk of transmission. Sadly, the current situation is so dire that Pennsylvania Governor
Thomas Wolf has proclaimed the existence of a disaster emergency throughout the
Commonwealth and imposed a mandatory closure of all non-life sustaining businesses.
President Donald Trump has declared a national emergency. Unfortunately, we cannot comply
with our current Bylaws under these circumstances. The present Bylaws require that the
Association conduct an Annual Meeting of Members to take place on the last Sunday in March.
In accordance with that mandate, the 2020 Annual Meeting of Members was scheduled to take
place at the Association's clubhouse on March 29,2020. Many homeowners who would be
attending the Annual Meeting of Members are older adults and persons with severe
underlying health conditions. These are the same people who the Centers for Disease Control
and Prevention has determined "to be at increased risk of more serious illness after contracting
COVID-1 9.' Our Bylaws also mandate that "Directors and Alternates must attend meetings in
person; they may not attend by telephone or any other electronic means." Simply stated,
compliance with the current Bylaws would unreasonably jeopardize the health and safety of
the Association's members, Directors and staff. In response, the Board has adopted Emergency
Bylaws that shall be in effect for the next eight weeks. These Emergency Bylaws (which are
attached hereto) allow the Board and members to meet electronically, as opposed to in-person.
ln the very near future, the Board will conduct its first telephonic/electronic meeting and it is
expected that the Annual Meeting of members will be postponed until early May. In
accordance with the Emergency Bylaws, the Annual Meeting will take place electronically and
appropriate notice will be provided to Members in Good Standing. Additionally, in accordance
with the Emergency Bylaws, all voting on the Election and proposed Annual Budget will been
done via mail ballot only, with the results announced at the Annual Meeting. A Member in
Good Standing who has already cast a mail ballot does not need to do so again. Any Member
in Good Standing who has not yet cast a mail ballot should do so now. The new deadline to
submit your mail in ballot to William Owens and Company is April 30, 2020. If a replacement
mail ballot is needed; it will be provided upon request. The Association did not undertake the
actions lightly. These decisions were made after consultation with legal counsel and
considerable thought. The Board is acting with the greatest concern for the health and
wellbeing of the community and the continued viability of the Association. An alternative
approach would have been to simply postpone the Annual Meeting indefinitely. That,
however, would have disenfranchised the members from voting on new Directors and on the
proposed Annual Budget. The Board understands that an electronic Annual Meeting likely will
not be without its challenges. Nonetheless, it believes that this approach best allows the
Association to continue to operate while also protecting the Community from possible disease
transmission. Thank you for your understanding and cooperation during these trying times.
Due to Governor Wolfe's required shut down of all non-life sustaining businesses the
Administrative Office will be closed until further notice. All emails to
[email protected] will be responded to as quickly as possible. Maintenance will be
on call for any emergencies, and plowable events. Public Safety (570-335-3620) will remain on
all shifts to respond to any and all emergencies for all residents. The dump (trash) will be open
during regular hours: Saturday 8 am - noon; Sunday 10 am - 5 pm and Tuesday & Thursday 3
pm - 9 pm. Interest will be suspended until further notice on all member accounts. We'll work
together on payment options when business returns to normal. Payments can still be mailed

Emergency By-Laws
Article I – Annual Meeting of Members
A. The Annual Meeting of Members shall be held on a date determined by the Board of
Directors that is no later than the second Sunday in May.
B. The Annual Meeting of Members shall be conducted by conference telephone or other
electronic means, including without limitation, the internet.
C. Notice of the Annual Meeting of Members, including its date and time, shall be mailed to
the Members in Good Standing no less than thirty (30) days prior to its occurrence. No
other notice requirement shall apply.
Article II – Voting on Elections and the Proposed Annual Budget
A. Voting on the Election and the proposed Annual Budget shall be by mail ballot only.
B. Members must mail their ballots to the company contracted by the Association to count
the ballots (the “Company”) so as to be received by the Company at least three (3) days’
prior to the Annual Meeting of Members. Any ballot received by the Company less than
three days prior to the Annual Meeting of Members will be deemed invalid and not
counted.
C. Mail Ballots received by the Company prior to the adoption of these Emergency Bylaws
shall remain effective for the matters voted upon.
D. Voting results shall be announced at the Annual Meeting of the Members. No voting on
Elections or the proposed Annual Budget shall occur at the Annual Meeting of Members.
Article III – Board of Director Meetings and The Organizational Meeting
A. Board of Director Meetings and the Organizational Meeting shall be conducted by
conference telephone or other electronic means, including without limitation, the internet.
Participation in such a meeting shall constitute presence in person at the meeting. Notice of
Board of Director Meetings shall be provided by email to the Directors no less than eight (8)
hours prior to their occurrence. No other notice requirement shall apply.
Article IV – Term and Effect
A. These Emergency Bylaws shall be in effect for eight (8) weeks from the date of adoption
and may be amended, extended or terminated as deemed necessary by the Board.
B. These Emergency Bylaws supersede and replace all prior Bylaws with respect to the
matters covered herein. Additionally, meetings missed while these Emergency Bylaws are in
effect shall not be counted toward Director absence provisions in prior Bylaws
RESOLUTION ADOPTING EMERGENCY BYLAWSWHEREAS, the Pocono Woodland Lakes Property Owners Association (the “Association”) is
duly organized under the laws of the Commonwealth of Pennsylvania as a Non-Profit
Corporation;
WHEREAS, the Association maintains and administers the common areas and facilities in the
planned community known as Pocono Mountain Woodland Lakes (the "Planned
Community") which is located in Dingman Township, Pike County, Pennsylvania;
WHEREAS, the United States of America, including Pike County, is currently facing serious
public health and epidemiological concerns regarding the transmission of contagious
disease and illness, specifically relating to the coronavirus (COVID-19);
WHEREAS, public health officials and authorities have recommended that in-person
meetings and gatherings be temporarily limited to the extent feasible in order to limit the
risk of transmission;
WHEREAS, the current situation is so dire that Pennsylvania Governor Thomas Wolf has

WHEREAS, President Donald Trump has declared a national emergency;
WHEREAS, the Association currently operates under a set of Bylaws adopted March 26, 2017
(the “2017 Bylaws”);
WHEREAS, the 2017 Bylaws require that the Association conduct an Annual Meeting of
Members to take place on the last Sunday in March;
WHEREAS, in accordance with the 2017 Bylaws, the 2020 Annual Meeting of Members has
been scheduled to take place at the Association’s clubhouse on March 29, 2020;
WHEREAS, the Centers for Disease Control and Prevention has determined that “[o]lder
adults and persons with severe underlying health conditions are considered to be at
increased risk of more serious illness after contracting COVID-19”;
WHEREAS, many unit owners within the Planned Community who would be attending the
Annual Meeting of Members are older adults and persons with severe underlying health
conditions;
WHEREAS, the 2017 Bylaws also mandate that “Directors and Alternates must attend
meetings in person; they may not attend by telephone or any other electronic
means”;WHEREAS, under current social distancing recommendations and requirements,
compliance with the 2017 Bylaws would substantially risk the health and safety of the
Association’s members and Directors;
WHEREAS, Pennsylvania’s Non-profit Corporation Law (the “NCL”) provides for adoption of
emergency bylaws in the event of a “catastrophe”;
WHEREAS, the current situation constitutes a “catastrophe” so as to allow for the adoption
of emergency bylaws;
WHEREAS, it is still very important to conduct meetings so as to allow the Association to
function; and
WHEREAS, the NCL authorizes non-profit corporations to conduct meetings by conference
telephone or other electronic means, including without limitation, the internet (15 Pa.C.S.A.
§5704 and §5708).
NOW THEREFORE, be it resolved that the Board of Directors does hereby adopt the
attached Emergency Bylaws so as to, among other things, allow for the postponement of
the 2020 Annual Meeting of Members and allow the Association to utilize electronic
meetings during this time of emergency.
IT IS FURTHER RESOLVED, that the Emergency Bylaws shall (a) supersede and replace the
2017 Bylaws with respect to the matters covered and (b) remain in effect for eight
(8) weeks from adoption unless otherwise amended, extended or terminated by the Board.
CONSENT TO ACTION OUTSIDE OF MEETING
And now, this ___ day of March, 2020, as a Director of the Pocono Woodland Lakes Property
Owners Association, Inc., pursuant to the authority granted under the Pennsylvania
Nonprofit Corporation Law (15 Pa. C.S. § 5727(b)), I hereby consent, outside of a meeting, to
this Resolution Adopting Emergency Bylaws, effective immediately.
This consent shall have the same force and effect as action taken at a regular meeting of the
Board of Directors. This consent shall be filed with the Secretary of the Association.

conducted by conference telephone or other electronic means, including without limitation,
the internet.
NOW THEREFORE, be it resolved that the Annual Meeting of Members that was scheduled
for March 29, 2020 at the clubhouse is hereby rescheduled to take place on May 3, 2020, at
10:00 AM.
IT IS FURTHER RESOLVED, that (a) the Annual Meeting of Members shall take place
electronically via Zoom or a similar platform, (b) notice of the Annual Meeting of Members
shall be mailed to the Members in Good Standing, and (c) replacement mail ballots shall be
provided to all Members in Good Standing who request same.

With this in mind we have closed the tennis & basketball courts, playground, lake and gazebo areas until further notice.

The clubhouse will be closed from March 18, 2020 until further notice. Pocono Woodland Lakes P.O.A. is committed to the safety and well-being of our residents, guests and staff. All committee meetings and clubhouse rentals have been cancelled. This decision was made in relation to the declaration of the national emergency in response to the coronavirus(covlD-l9) situation. This decision will be re-evaluated as the situation continues to develop.
The Administration office staff will be working during normal business hours (8 - 4) Tuesday - Friday and 8 - 12 Saturday to assist you with any questions via telephone (570- 296-8511) and email ([email protected]). There is a mailbox to the left of the front entrance door to the clubhouse where payments and other documents can be dropped off.
We strongly encourage Members to avoid shared public spaces and practice "social distancing" in order to help slow the spread of the coronavirus. For the most reliable and

The Dump hours will remain the same at this time only 2 cars will enter at a time.
Hello Pocono Woodland Lakes Property Owners. As we all struggle to get through this difficult time, let's take this opportunity to measure our strength and band together to help one another.
Although the Administration office is currently closed to the membership in an effort to prevent the spread of COVID19, the staff is still available via telephone and email. We are willing to do what we can to help. If you are aware of anyone in need of help and cannot leave their home, please contact the administration office at 570-296-8511.

Faces of the Woodlands:Maryanne and Eric Ford moved here about 24 years ago and rented a house on the Cul-D-Sac on Apple Drive. They eventually bought a lot on East Mulberry where they raised their three sons. Maryanne is a 2nd degree black belt from the club house group and was very involved in the new pool planning stage. “The fun part of our story is that we moved to NC at the beginning of last summer to care for Maryanne’ s 92-year
old father, planned to remain down there forever. We put our house up here on the market and had a few offers, a last-minute deal fell through. Maryanne’s father passed away and we settled in to our new house in beautiful New Bern NC. We cameback here often to take care of the house and enjoying local activities. One day backin New Bern we looked around and said
WE WANT TO GO HOME”. They pulled their Woodlands house off of the market and, leaving everything behind in NC, they moved back into their empty house on East Mulberry. They’ve kept busy refurnishing and deciding what to do withthe house in NC. “We just know we’re happy to be back.”
