AN ORDINANCE ADOPTING AND PURSUING A PUBLIC-PRIVATE PARTNERSHIP (PPP) APPROACH TOWARDSDEVELOPMENT, CREATING A PPP OFFICE !" PPPSELECTION COMMITTEE, AND PROVIDING GUIDELINES ANDINCENTIVES THEREFOR AND FOR OTHER PURPOSES

Sec 1. Short Title. This Ordinance shall be known and cited as the 2014 PPPCODE.

Sec. 2. Declaration o Polic!. "t is hereb! declared as a #olic! that the$%nici#alit! shall ad&ance the 'eneral wel are and #ro(ote the interest o theco((%nit! and the $%nici#alit! within the ra(ework o s%stainable andinte'rated de&elo#(ent) and shall ens%re the #artici#ation o the #ri&ate sector inlocal 'o&ernance thro%'h e ecti&e and &iable P%blic*Pri&ate Partnershi#s.

Sec. +. O#erati&e Princi#les. The acco(#lish(ent o the stated #olic! shall be'%ided b! the ollowin' #rinci#les,

-a The $%nici#alit!/ #%rs%ant to Sections 1/ 2 and / rticle o the 13 5Constit%tion/ is a territorial and #olitical s%bdi&ision which en6o!s locala%tono(! and iscal a%tono(!. 7nder Section +/ rticle o the 13 5Constit%tion/ local a%tono(! (eans a (ore res#onsi&e and acco%ntablelocal 'o&ern(ent str%ct%re instit%ted thro%'h a s!ste( o decentrali8ation.9iscal a%tono(! (eans that local 'o&ern(ents ha&e the #ower to createtheir own so%rces o re&en%e in addition to their e:%itable share in thenational ta;es released b! the national 'o&ern(ent/ as well as the #ower to allocate their reso%rces in accordance with their own #riorities.

-b The $%nici#alit! e;ists and o#erates in its 'o&ern(ental and#ro#rietar! ca#acities thereb! (akin' the $%nici#alit! an a'ent o and isthere ore acco%ntable to the State and its co((%nit!.

-c The $%nici#alit! (%st de&elo# into a sel *reliant co((%nit! and ass%ch/ is in a better #osition to address and resol&e (atters that are local insco#e.

Sec. 4. ?ationale or PPP. PPPs shall be #ro(oted to #ro&ide (ore/ better/a ordable and ti(el! ser&ices to the co((%nit!. "n #%rs%in' PPPs/ the$%nici#alit! shall be '%ided b! the ollowin' reasons and dri&ers,

-a PPPs sho%ld be ado#ted to address a #ressin' and %r'ent or critical#%blic need. 7nder the #rinci#le o dditionalit!/ the increasedecono(ic bene its to cons%(er wel are o ha&in' needed #%blicser&icesB in rastr%ct%re accessible now beca%se o the PPP/ rather than ha&in' to wait %ntil the $%nici#alit! co%ld #ro&ide the #%blicser&ices (%ch later. PPP wo%ld also enco%ra'e the acceleratedi(#le(entation o local #ro6ects.

-b PPPs can be ado#ted to a&oid costs and #%blic borrowin'. !contractin' with the #ri&ate sector to %ndertake a new in rastr%ct%re#ro6ect/ scarce =o&ern(ent ca#ital b%d'ets can be directed to other #riorit! sectors s%ch as social ser&ices/ ed%cation/ and health care.

-c PPPs allow or technolo'! trans er/ and i(#ro&ed e icienc! and:%alit! o ser&ice. These co%ld be &al%able contrib%tion o the #ri&atesector in local 'o&ernance.

-d PPPs sho%ld be easible and a ordable. 9ro( the onset/ the #ro6ectsho%ld be easible/ de(onstratin' the need or the #ro6ect/ broadle&el #ro6ect costs esti(ation/ and indicati&e co((ercial &iabilit!. Theassess(ent o a ordabilit! will need to be the cornerstone or all PPP#ro6ects/ both to the $%nici#alit! and the 'eneral #%blic.

-e PPP Pro6ects sho%ld be bankable. PPPs sho%ld be bankable asinanciers will be rel%ctant to co((it %ndin' when a #ro6ect entails

hi'h #artici#ation costs/ %nreasonable risk trans er or len'th! andco(#le; contract ne'otiations. PPP #ro6ects will re(ain attracti&e tothe #ri&ate sector thro%'h cost reco&er! #ricin' #olic!. This is criticalto ens%re that the #ro6ect de&elo#erB in&estor are ass%red o stead!and #redictable tari s o&er the li e o the #ro6ect in order to '%aranteeser&ice deli&er!.

- PPP Pro6ects sho%ld #ro&ide al%e or $one! as ar as #racticable.

PPPs sho%ld #ro&ide &al%e or (one! to the $%nici#alit! and 'oodecono(ic &al%e and incl%des allocatin' risks to the #art! best able tocontrol and (ana'e the(/ and (a;i(i8in' the bene its o #ri&atesector e icienc!/ e;#ertise/ le;ibilit! and inno&ation.

-' ?isk allocation sho%ld be based on the #art! (ost ca#able to(ana'e the risk. PPPs alwa!s co(#rise a hi'her le&el o risk d%e tothe (a'nit%de o the inancial stakes in&ol&ed/ %ncertainties o&er constr%ction and o#eratin' costs/ and re&en%e related %ncertainties.

PPPs rel! on balancin' the allocation o risk/ and enables trans er o the sa(e to the #ri&ate #art! when the said #art! is better able to(iti'ateB (ana'e the risk than the #%blic a%thorit!. "n ret%rn/ the#%blic #art! si'ni icantl! red%ces its risk e;#os%re while o&erseein'#ro6ect o#ti(i8ation e orts. The #ri&ate #art! e;#ects a ret%rn that is

in line with the risks it shall %ndertake.-h PPP Pro6ects sho%ld #ro&ide econo(ic and social bene its. PPP

#ro6ects sho%ld alwa!s be e&al%ated or econo(ic and social bene itsrather than oc%s on the inancial considerations. PPPs %nderl!in'#rinci#le ste(s ro( the act that the #%blic a%thorit! re(ainsres#onsible or ser&ices #ro&ided to the #%blic/ witho%t necessaril!bein' res#onsible or corres#ondin' in&est(ent.

-i PPP Pro6ects sho%ld ha&e d%e consideration or e(#ower(ent o 9ili#ino citi8ens. The i(#le(entation o PPP #ro6ects sho%ld ha&ed%e consideration or the e(#ower(ent o the citi8ens as a strate'!

PPP Pro6ectssho%ld be #roc%red thro%'h o#en co(#etiti&e biddin'. owe&er/where co(#etiti&e biddin' is not a##lied/ arran'e(ents shall be(ade to introd%ce co(#etition into the #rocess in order to ens%reboth trans#arenc! and econo(icall! e icient o%tco(e.

- Credit Enhance(ent * This shall re er to direct and indirect s%##ort toa de&elo#(ent acilit! b! the PSP andBor $%nici#alit!/ the #ro&isiono which is contin'ent %#on the occ%rrence o certain e&ents andBor risks/ as sti#%lated in the PPP contract. Credit enhance(ents areallocated to the #art! that is best able to (ana'e and ass%(e theconse:%ences o the risk in&ol&ed. Credit enhance(ents (a! incl%deb%t are not li(ited to 'o&ern(ent '%arantees on the #er or(ance or the obli'ation o the $%nici#alit! %nder its contract with the PSP/s%b6ect to e;istin' laws on indirect '%arantees. "ndirect =%aranteesshall re er to an a'ree(ent whereb! the $%nici#alit! ass%(es %ll or #artial res#onsibilit! or or assists in (aintainin' the inancialstandin' o the PSP or #ro6ect co(#an! in order that the PSPB #ro6ectco(#an! a&oids de a%ltin' on the #ro6ect loans/ s%b6ect to %l ill(ento the PSPB #ro6ect co(#an! o its %ndertakin's and obli'ations%nder the PPP contract.

-t P%blic*Pri&ate Partnershi#s -PPP PPP is a or( o le'all!en orceable contract between the $%nici#alit! and PSP/ whichre:%ires new in&est(ents ro( the PSP and which trans ers ke! risksto the PSP in which #a!(ents are (ade in e;chan'e or #er or(ance/ or the #%r#ose o deli&erin' a ser&ice traditionall!#ro&ided b! the #%blic sector. PPP shall also incl%de dis#osition o anasset/ acilit!/ #ro6ect owned or entit! created b! the $%nici#alit! to aPSP) ass%(#tion b! a PSP o a #ro#rietar! %nction o the$%nici#alit!) 'rant o a concession or ranchise to a PSP b! the$%nici#alit!) or %sa'e b! the PSP o #%blic #ro#ert! owned or #ossessed b! the $%nici#alit!.
