What is covered: All products are warranted against defects in materials and fabrication.

WHAT IS NOT COVERED. Inadequate transportation and or storage.. Improper installation.. Operation with inadequate electrical installation, including poor ground or lack of protection against electrical surges or brown outs.. Installation and operation in humid environment.

. Modification of any part of the motor with the exception of motor brackets provided by Vertilux.. Cutting the cable, drilling into the motor, using drill to set limits..Transportation expenses, labor, installation or removal of the replacement.

WARRANTY FOR SOMFY MOTORS: Warranty period is 5 years from date of purchase on original invoice.

WHAT IS NOT COVERED. If usage, adaptation or installation are not in accordance with our installation and operating instructions.. If the product has been opened, dismantled or returned with clear evidence of abuse or other damage.. If our written specifications are not properly applied by the Buyer when selecting the equipment.. If our written instructions for installation and wiring of the electrical connections have not been followed.. If our equipment has been used to perform functions other than the functions it was designed to handle,

namely motorizing window and door enclosures e.g. shades, rolling shutters, awnings and projection screens which subject the SOMFY equipment to conditions which exceed its rated capacity. Please consult SOMFY about warranty for any uses other than that above.. If SOMFY equipment is used with electrical accessories (switches, relays, etc.) that have not been previously approved in writing by the SOMFY Engineers Department.. If electrical accessories and other components have been used in disregard of the basic wiring diagram for which they were designed.

WHAT IS COVERED

• SOMFY’S only obligation shall be to repair or replace defective equipment which does not conform to the warranty. SOMFY shall not be liable for any injury, loss or damage, direct or consequential, arising out of, or the inability to use, the equipment. Before using, Buyer and/or the ultimate User shall determine the suitability of the product for its intended use, and User assumes all risks and liability in connection therewith.

Note: All costs related to installation and reinstallation of the SOMFY equipment covered by this warranty are not the responsibility of SOMFY. SOMFY will not be responsible for any consequential damages during the following installation procedures. If the buyer resells any SOMFY products to another Buyer or End User, it shall include all of the terms and provisions of this warranty in such resale. SOMFY’s responsibility to any such Third Party shall be no greater than SOMFY’s responsibility under the warranty of the Buyer.

I. TERMS: SALES ARE MADE ON A CASH BASIS ONLY, UNLESS PRIOR CREDIT ARRANGEMENTS HAVE BEEN MADE. Please call or write to or credit customer service department for a credit application. BALAN-CES UNPAID AFTER 30 DAYS FROM THE DATE OF INVOICE WILL BE SUBJECT TO INTEREST OF 11/2 % PER MONTH, or the maximum allowed by Florida law, including other comparable payment laws in states in which Bandalux/PBS Corporation (hereafter “Bandalux”) supplies material and/or furnishes labor. Such Balances unpaid after 30 days from the date of invoice will also be subject to expenses incidental to collections, including reasonable attorney’s fees and all amounts recoverable under Florida law, including other comparable payment laws in states in which Bandalux/PBS Corporation (hereafter “Bandalux”) supplies material and/or furnishes labor. A CHARGE OF $25.00 WILL BE ASSESSED ON EACH “NON SUFFICIENT FUNDS” CHECK RETURNED BY THE BANK and the account will be placed on “Cash In Advance (CIA) or certified funds only” status. Customer grants Bandalux a security interest under the Uniform Commercial Code in the goods purchased from Bandalux as security for customer’s obligation to Bandalux. Bandalux and Customer agree that all of materials, including the initial and any subsequent request, orders or purchases, by customer from Bandalux that relate to the same project constitute a single contract and a “running account” and are governed by the terms of this Agreement.II. PRICES: Prices in USD. Unless otherwise specified, PRICE QUOTED FOR GOODS IS WITHOUT SHIPPING OR STORAGE from Bandalux warehouse location. Customer assumes the risk of loss of goods at time of pick-up or shipment. All prices on our price list are shown without applicable federal, state, or local taxes. Bandalux reserves the right to change prices and conditions of sale without notice. Unless otherwise specified in writing, price quoted are good for 30 days and subject to the availability of material. III. ACCEPTANCE AND FILLING OF ORDERS: The orders of Bandalux products shall be made in written, with signature and stamped. At the end of each chapter of this pricelist, you will find a model of an order sheet, where you can see all the required information for the orders to be made. (We recommend photocopying this Order Sheet and making the orders by filling it out. On orders made in written on a different format of the Bandalux order sheet, all the required information should be given. We will not accept any complaints regarding orders where the information is not complete. All order is subject to Bandalux’s acceptance, in whole or in part, upon their receipt by Bandalux and are subject to Bandalux’s ability to fill any orders so accepted. All unfilled ordered are subject to the condition of sale in effect on date of shipment. Bandalux will be under no liability for its failure to fill any accepted order when such failure is due to causes and contingencies beyond its control, including but not limited to, delays in production or shipping, strikes, labor troubles wars domestic or foreign, fire, floods, storms, explosions, accidents, sabotage, inability to obtain essential material or equipment, and orders or requisitions. It is understood and agreed by customer that in no event shall Bandalux be liable for direct, resultant, incidental, consequential or any other damages.IV. SHIPPING: Specify on your order whether shipment is to be made by United Parcels Service or common carrier, or whether you will pick-up. When no instructions are given, our customer service department will use its best judgment to select the method of transportation. There is a packing charge of $5.00 per package for all United Parcels Service or common carrier. If you are a pick-up customer all orders must be picked up within 15 days of notification that order is ready. Orders not picked up will result in future orders being placed on hold. A 5% stocking fee will be charged for orders not picked up before the 30days. After 60 day abandoned order will be referred to collection and, in any case, an invoice will be issued. All custom made products will incur a delivery surcharge of $3 per blind/shade. There will be a delivery surcharge of $5 for drapery hardware. The orders requiring redelivery are the responsibility of the customer and will incur a $10 surcharge. Box length over 100” must ship common courier and will incur a minimum surcharge of $65. A minimum invoice of $50.00 is required. All residential fees are the responsibility of the customer.V. PACKAGING /DAMAGES: 1. All shipments are packed with great care by experienced packers using approved packing methods. If any damage occurs in transit, do not refuse shipment. This may cause you unnecessary shipping expenses and delay. When delivery of a shipment is made by the carrier, the consignee must examine each container to see if it is in apparent good order. If the container shows evidence of damage, the package should be opened immediately and examination of contents must be made by carrier and consignee. The result of the examination of contents should be endorsed on both the carrier’s delivery receipt and the consignee’s copy of delivery receipt. Clearly indicate the extent of the loss or damage to enable the carrier to handle the consignee’s claim properly and efficiently. File claim with carrier for loss or damage within 15 days of receipt. They are responsible for shortage or breakage in transit. Bandalux will assist you in every possible manner. However, Bandalux is not responsible for damage or shortage during shipping as Bandalux liability ceases after carrier is in receipt of the product in good order. NOTE: On United Parcel Service deliveries, if any merchandise is recei-ved in damaged condition, please report United Parcel Service damage to Bandalux at once and hold original carton and merchandise of inspection. If Bandalux is not notified within 10 days from delivery, liability will be waived. 2. Concealed loss or damage discovered after delivery of the shipment must be reported to the delivering carrier upon discovery and, in any event, within 15 days after delivery. Hold goods, container, and packing material in exact condition as found for inspection by the carrier. An inspection for the carrier should call within 48hours. If nothing is heard in that time notify them by registered mail, return receipt requested. The carrier will issue an inspection report and give you a copy, which must be used to support your claim. Make your claim promptly. The carrier will not consider a claim unless presented within 9 months after receipt of shipment.3. PLEASE DO NOT DEDUCT THE AMOUNT LOSS OR DAMAGE FROM BANDALUX’S INVOICE while awaiting adjustment of the claim, as Bandalux does not guarantee safe delivery.VI. CLAIMS: 1. Material used to fabricate our goods is subject to shade caliber variation from batch to batch. Sample color charts, color illustration and reproduction in catalogs are not represented to match the color or shade of blind or any other Bandalux product (collectively referred to as “blind” or “blinds”) available. There is a manufacturing tolerance for the height and width of the blind which is established in +/-0,5%. Damage may occur if blind is not installed properly. Therefore all the reasons included in this paragraph not will be admitted as a claim.2. DISCLAIMER OF WARRANTY. SELLER MAKES NO REPRESENTATION OR WARRANTY, EXPRESSED OR IMPLIED, AS TO THE MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE BLIND OR ANY OTHER REPRESENTATION OR WARRANTY OF ANY KIND WHATSOEVER, except as such warranties, guarantees, premises, statements, representations or information are expressed and specifically set forth he-rein or in any written amendment hereto. BLIND IS NOT WEAR RESISTANT AND BANDALUX DOES NOT GUARANTEE IT TO BE SO. SPECIFICALLY, BANDALUX IS NOT RESPONSIBLE FOR, SHALL HAVE NO LIABILITY FOR, AND DOES NOT WARRANT AGAINST: shade variation, scratching, or wear on the blind surface; defects discovered after installation or alteration of the blind or other materials; abrasion on installed blind; shipping mishaps, or other injury due to the surface characteristic of the blind.3. Notice of claim. Any claim for color variation or any other visual defect, or for merchandise shipped in error, must be made prior to installation, as use constitutes acceptance. WE WILL NOT RECOGNIZE ANY CLAIMS FOR BLIND SAID TO BE INCORRECTLY SIZED, SHAPED, OR OTHERWISE UNSATIFACTORY UNLESS SUCH CLAIM IS MADE IN WRITING 30 DAYS AFTER DELIVERY OR BEFORE INSTALLATION, whichever occurs first.4. Limitation of Customer’s Remedy. Bandalux’s liability in all cases, and CUSTOMER’S SOLE AND EXCLUSIVE REMEDY, is limited to blind replacement of like kind merchandise claimed to be defective, and under no circumstances will Bandalux’s liability exceed the price of the material paid by the customer.5. LIMITATION OF LIABILITY. Bandalux shall not be liable for any damages caused by reason of blinds which are in any way defective. BANDALUX SHALL NOT BE LIABLE, HEREUNDER OR OTHERWISE, FOR LOST PROFITS, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, WHETHER OR NOT OCCASIONED BY BANDALUX’S OWN NEGLIGENCE OR THE NEGLIGENCE OF ANY EMPLOYEE OR AGENT OF BANDALUX.6. Indemnification. Customer hereby agrees to indemnify and save Bandalux, its employees and its agents harmless from and against any and all liability imposed by law upon Bandalux on account of any loss, damage, or injury to property and from all claims for death or injury to persons arising in any manner out of the sale of goods hereunder, WHETHER OR NOT OCCASIONED BY BANDALUX OWN NEGLI-GENCE OR THE NEGLIGENCE OF ANY EMPLOYEE OR AGENT OF BANDALUX. Customer’s duty to indemnify hereunder shall include all costs or expenses arising out of all claims specified herein, including all court and / or arbitration costs, filing fees, attorney’s fees and cost of settlement. The agreement and indemnities contained in this section shall survive the expiration of earlier termination of this agreement. Customer agrees to hold Bandalux harmless for negligent or faulty installation by Blind installer. VII. RETURNS: NO RETURNS ACCEPTED, since product is produced to the customer’s specification. It is the customer’s responsibility to verify all product dimensions before submitting to customer service. VIII. REPRESENTATIONS: No representation shall bind Bandalux, unless incorporated into the invoice in writing, and no modifications or additions to the terms of the purchase shall bind Bandalux unless they are in writing. IX. JURISDICTION AND VENUE: Customer agrees that jurisdiction and venue shall lie in Miami-Dade County Florida in the County Court or the Circuit Court for the 11th Judicial Circuit in Miami-Dade County, Florida. X. AGREEMENT TO COOPERATE: Customer agrees to provide accurate and timely information to complete orders and to prepare Notice to Owner, Claims of Lien, or any other document used to preserve or enforce Bandalux lien or claim against bond rights in any state, including physical address where product will be incorporated into real property.
