NAME OF PARTNERSHIP FIRM

That the partnership business shall be carried on in the name and style of"Shree Ganesh lnfra Homes" andfor in such other name or names as the parties

hereto may from time to time mutually agree upon.

NATURE OF BUSINESS

That the business of the partnership shall be that of Construction of Residential

Complexes, Commercial & Office Complexes, Purchase and Sale of Land, Estate

Property, Land Development and all other activities incidental to the main

activities including such other services in relation thereto and/or such otheractivity or activities as the parties hereto may from time to time mutually agreed

upon.

3. PLACE OF PARTNERSHIP FIRM

The principal place of the business of the partnership shall be situated at Site

Office, Opp. Shreem Shrushti, Near Shyamal Enclave, Sun Pharma Road, Tandalja,

Vadodara-390012. The business of the partnership may also he carried out at

such other place or places as the partners may from time to time agree upon for

the greater interest of the firm.

4. COMMENCEMENT

That the partnership as evidenced by this Deed of Partnership shall be deemed tohave commenced with effective from 11th Day of April, 2016.

CAPITAL OF THE FIRM

The capital of the firm shall be contributed and managed by the parties as per

the mutual agreement from time to time.

6. ADDITIONAT CAPITAT

Any additional finance that may be required, in addition to the capital

contributed by the Partners as aforesaid, shall be raised from such Persons,

Firms, Companies, Banks, Financers and Financial lnstitutions on such terms and

conditions as per mutual agreement from time to time.

DURATION OF PARTNERSHIP

That the partnership as evidenced by this Deed of Partnership shall be "AT WlLL".

WORKING PARTNERS

All the parties to this deed, having agreed to actively engage themselves in

conducting the affairs of business of the partnership shall be classified as the

'l orking Partners" of the firm.

9. REMUNERATION TO PARTNERS

The working partners shall be paid annual remuneration for the services

rendered by them during the year which shall be computed in the manner laid

down for deduction uls aO(bXv), read with Explanation 3 ofthe lncome Tax Act,

1961 or any other applicable provision as may be in force in the income tax

assessment of the partnership firm for the relevant accounting year.

Upon the mutual understanding of the partners, the remuneration paid to the

partners can be modified within the scope of the lncome-tax Act, 1961 or any

other applicable provision as may be In force in the income tax assessment of the

The remuneration payable as stated above shall be payable to the working

partners and the same shall be credited to their respective capital accounts.

Monthly withdrawals can be made by the partners if they wish; against the

remuneration payable to them and if their withdrawals during the accounting

year exceeds the amount of remuneration found payable to them then the

excess shall be treated as drawings from their capital accounts.

INTEREST ON CAPITAT

The funds contributed by the partners as capital and/or loans shall bear simple

interest @ tZYo per annum or at such rates as may be determined from time totime under section 40(b) of the lncome Tax Act, 1961 or any other applicableprovision as may be in force in the income tax assessment of the partnership firmfor the relevant accounting year. Similar interest shall be charged on the debit

balance in the account of any partner. Such amount of interest shall be workedout and credited/debited to the capital accounts of the partners at the end of the

accounting year. However, no interest shall be provided or charged as the case

may be or the interest shall be provided or charged at a lesser rate if agreed upon

by the partners with mutual consent.

No partner shall raise any finances, loans(s) on and for behalf of the said firm

except with the written consent of the other partners. Any partner raising such

finances, loan(s) in contravention of this clause shall personally be responsible forits repayment"

AUTHORITY OF PARTNERS

The Partners shall be entitled and empowered to sign the agreements, contracts

or any other document for and on behalf of the firm. He / She shall also be

entitled to draw and accept, against issue of discharge or receipt or acceptance

documents, the payments either in cash or by cheques/drafts, etc from the

Government departments, undertakings, local authorities, or any other

person(s), concern(s), company/companies etc. pertaining to the business of the

firm. All the acts, actions and deeds of each partner, on and for behalf of the

firm, shall be deemed to have been done for and on behalf of the firm which shall

be binding on the other pa*ner, in all respects.

BANKERS OF THE HRM

That the bank account(s) of this partne all be opened, maintained

and closed with such bank or bank(s) as the parties hereto may, frorn time totime, decide. Such bank account(s) shall be operated by the joint signatures ofany two parties or in such other manner as the partners may by mutual consent,

from time to time, decide.

ACCOUNTING YEAR

That the accounting year of the firm shall be 'financial year' ending on the 31st

day of March of every year.

BOOKS OF ACCOUNTS

Regular books of accounts shall be kept by the partners and entries made therein

of such matters, transactions and things as are usually written and entered in the

books of accounts,'kept by a firm doing business like nature and such books

together with all papers, documents and vouchers concerning partnership shall

be kept at a place ofthe business. Each partner shall have access to the books ofaccounts of the firm at all times and shall be entitled by himself or through his

agent to make such copies thereof or to take such extracts as he may deem fit.

ADMISSION OF NEW PARTNER

The partners hereto may admit any new partner or partners upon such terrns and

conditions as may be agreed upon and the partnership shall be deemed to be

continuing on the admission of the new partner or partners.

RETIREMENT OF PARTNERS

That any partner may retire at any time by giving a notice for not less than 2(two) months of his/her intention to retire from the firm and after the expiry ofthe said notice period, he/she shall not be entitled to and liable for profits and

losses of the firms. lt is expressly agreed and declared by and between the

parties that upon such retirement of any partner, the firm name and goodwill of

the partnership as also all rights and privileges of the partnership shall belongto

the firm.

20. EFFECTOF DEATH

It is hereby mutually agreed by and between the parties that in case of death of

any one or more partners (God forbid), the firm shall not be dissolved but shall

continue to be carried on by and between the surviving partners and the heirs

and/or representatives of the deceased partner, as a continuing concern, on the

same terms and conditions as incorporated in this Deed or on such other terms

and conditions as may be agreed to by and between them from time to time.

2L. UPON DISSOLUTION OF PARTNERSHIP

Upon dissolution of the partnership a full account shall be taken of the assets and

liabilities of the partnership and of the transactions thereof and such assets and

*edits shall be sold/realized and the proceeds thereof applied in discharging

outside debts and liabilities together with interest accrued thereof, if any, and

the expenses of and incidental to the winding up of the partnership affairs and

the balance if any shall be applied in paying out the loans or borrowings from theparrners and in paying out the unpaid profits which may be due to himlher and

his/her contribution to the capital of the partnership and the balance, if any, ofsuch proceeds shall be divided between the partners in profit sharing ratio as

stated in clause '11'.

22. ARBITRATION

All disputes and questions which may arise during the continuance of thispartnership or thereafter between the partners or their representatives or legal

heirs concerning this indenture or construction or the application thereof or any

clause or thing therein contained, in any account, valuation, division of assets and

liabilities or any other matter in anyway relating to this partnership's business orthe affairs thereof or the rights, duties or liabilities of any person hereunder shall

be referred to arbitration in accordance with and subject to the provisions ofArbitration Act, as may be in force from time to time.

23 MOprFrcATroN

Notwithstanding anything stated or provided herein the parties hereto shall have

full powers and discretion to modify, add, alter or annul any terms and conditions

of this partnership deed in any manner whatsoever they think fit by mutual

agreement by executing a supplementary deed and any such deed when

executed shall have effect, unless otherwise provided, from the first day of the

accounting year ln which such supplernentary deed is executed and the same

24. qOODVYTLL

That the Goodwill of the firm is the property of the firm and shall belong to thefirm only.

25. PROVISIONS OF.THE INDIAN PARTNERSHIP ACT. 1932

Any dispute among the partners, as to the construction, meaning interpretation

of any of the above clauses or any other manner concerning the business of the

firm shall be dealt with in accordance
