RESOLUTION
OF THE COUNCIL OF THE CiTY OF BOWIE MARYLANDTO APPROVE AN AMENDMENT OF ANNEXATION AGREEMENT AND
DECLAKATION OF COVENANTS RESTRICTING THE USE OF THE PROPERTY
KNOWN AS MELFORD TO PERMIT RESIDENTIAL COMPONENTS OF A MIXEDUSE DEVELOPMENT UPON CERTAIN PORTIONS THEREOF ANll UNDER
CERTAIN CIRCUMSTANCES AND SUBJECT TO THE APPROVAL OF THE CITYCOUNCIL AS SET FORTH IN AN AGREEMENT BETWEEN THE PARTIES
INCORPORATED HEREIN BY REFERENCE
WHEREAS in 1985 Carley Capital Group and the University of Maryland
Foundation Inc collectively hereinafter the Original Declarant owncd that certain real
property located in the northeast quadrant of the intersection ofUS Route 50LTS Route 301
and MD Route 3 which real property is presently known as Melford and was formerly
known as thc Maryland Science and Technology Center hereinafter the Property and
WHERFAS the Original Declarant subjected the Property to an Annexation
Agreement dated August 19 1985 recorded among the Land Records of Prince Georges
County at Liber 6256 Polio 112 et seq hereinafter the Annexation Agreement as
amended by an Amendment to Annexation Agreement dated December 9 1988 and
recorded in the Land Records of Prince UeorgesCounty at Liber 7181 Folio 139 et seq and
a Declaration of Covenants dated December 18 1985 in favor of the City of Bowie the
City and recorded among the Land Records of Prince GeorgesCounty at Liber 6256 Folio
142 et seq hereinafter the Covenants and
WHEREAS pursuant to the Annexation Agreement and the Covenants the Original
Declarant agreed that only certain specific uses would be permitted on the Property and
WHEREAS in litigation known as City of Bowie v MIE Properties Inc 398 Md
657 922 A2d 509 Md 2007 the Maryland Court of Appcals determined that the

I Covenants remain in force and are valid and binding upon the Original Declarant and itssuccessors and assigns and
WHEREAS the Property is currently primarily owned by a group of limited liability
entities hereinafter collectively the MSTC Entities owned or controlled by St Johni
Properties Inc SJPI and
WHEREAS Columbia Properties LLC Institute For Defense Analyses Maryland
Masonry Training Center LLC BAC Bowie LLC MarylandNational Capital Park and
Planning Commission hereinafter Third Party Entities together with Prince Georges
County and the MSTC Entities collectively Declarant Successors and the City entered
into an Amendment to Annexation Agreement and Declaration of Covenants on or about July
26 2011 the Previous Amendment filed among the land records of Prince Georges
County in Liber 32834 Iolio 618 and
WHEREAS the Previous Amendment expanded the uses permitted on certain
portions of the Property and established among other things that the Covenants may be
amended by exclusive agreement between the MSTC Entities and the City regarding the uses
to be developed on the MSTC Parcels provided that changes in property uses are subject to
the absolute discretion of the City and conform with the underlying zoning of the Property
and
WHEREAS the entire Yroperty is cunently zoned MXT Mixed Use
Transportation under the Prince GeorgesCounty 7oning Ordinance which allows for a mix
of residential commercial recreational open space employment and institutional uses and
WHEREAS mixeduse development is a proven land planning option that genuinely
reflects the principles of smart growth comprised of at least three 3 significant land uses

Ithat are mutually supporting and which work synergistically to create a whole that is greater
than the sum of its parts and
WHEREAS the parties have mutually agreed that mixeduse development willi
strengthen the prospects for highquality economic development opportunities on the Properiy
that will help fulfill the original intended objective for the site to develop as a mixeduse
commercial development including a science and technology research and office park and
WHEREAS the parties have mutually agreed that it is in the best interests of all
parties and the public that the uses permitted on the Property pursuant to the Annexation
Agreement and Covenants as amended by the Previous Amendment should be expanded to
allow for residential uses subject to certain restrictions contained herein to be located on
portions of the MSTC Parcels as conceptually depicted in Exhibit 2 attached hereto and
incorporated herein by reference
NOW THEREFORE BE IT RESOLVED by the Bowie City Council that the
attached Amendment to Annexation Agreement and Declaration of Covenants the
Amendment is hereby approved and ratified by the Bowie City Council and the City
Manager is hereby authorized to sign the Amendment on behalfoithe City
INTRODUCED AND PASSED by the Council of the City of Bowie Maryland at a
meeting of the City Council on March 4 2013

AND DECLARATION OF COVENANTS
THIS AMENDMENT TO ANNEXATION AGREEMENT AND DECLARATION OF
COVENANTS hereinafter Amendment is made this day of
2013 by MSTC ILLC MSTC II LLC MSTC TV LLC MSTC VLLC MSTC VI
LLC MSTC VIILLC MSTC VIIILLC MSTC IXLLC MSTC XIV LLC MSTC
XVI LLC MSTC III HOLDINGS LLC MSTC ITI E LLC MSTC OPEN SPACE 2
LLC MARYLAND SCIENCE AND TECHNOLOGY CENTER ILLC and MARYLAND
SCIENCE AND TECHNOLOGY CENTER II LLC hereinafter collectively the MSTC
Entities in favor of the City of Bowie a municipal corporation of the State of Maryland
hereinafter the City
RECITALS
WHEREAS in 1985 Carley Capital Group and the University of Maryland Foundation
Inc collectively hereinafter the Original DeclaranY owned all of that certain real property
located in the northeast quadrant of the intersection of US Route 50JS Route 301 and MD
Route 3 which real property is presently known as Melford and was formerly known as the
Maryland Science and Technology Center hereinafter the Property and
WHEREAS the Original Declarant subjected the Property to an Annexation Agreement
dated August 19 1985 recorded among the Land Records of Prince Georges County at Liber
6256 Folio 112 et seq hereinafter the Annexation Agreement as amended by an
Amendment to Annexation Agreement dated December 9 1988 and recarded in the Land
Rccords of Prince Georges County at Liber 7181 Folio 139 et seq and a Declaration of
Covenants dated December 18 1985 recorded among the Land Records of Prince Georges

County at Liber 6256 Folio 142 et seq hereinafter the Covenants which property is more
particularly described in Exhibit 1 attached hereto and incorporated herein by reference and
WHEREAS pursuant to the Annexation Agreement and the Covenants the Original
Declarant agreed that only certain specific uses would be permitted on the Property and
WHEREAS in litigation known as Ciry of Bowie v MIE Properties Inc 398 Md 657
922 A2d 509 Md 2007 the Maryland Court of Appeals determined that the Covenants remain
in force and are valid and binding upon the Original Declarant and its successors and assigns
and
WHEREAS thc MSTC Entities own several parcels of land within Melford the MSTC
Parcels that are either developed with various approved structures or are currently
undeveloped and
WHEREAS Columbia Properties LLC Institute For Defense Analyses Maryland
Masonry Training Center LLC BAC Bowie LLC MarylandNational Capital Park and
Planning Commission hereinafter Third Party Entities Prince Georges County and the
MSTC Entities are successors to the Original Declarant and are bound by the Annexation
Agreement and Covenants MSTC Entities and Third Party Entities shall be collectively referred
to herein as Declarant Successors
WHEREAS the Declarant Successors constitute all the transferees of all the parcels of
land located within the Property that are currently subject to the Annexation Agreement and
Covenants and
WHEREAS The United States of America the Census Bureau is the only other
transferee of a parcel of land located within the Property however pursuant to the terms and
conditions of a certain Declaration of Covenant Extinguishment and Rcinstatement filed among

the land records of Prince Georges County in Liber 10088 folio 388 the Census Bureau is
presently exempt from the Annexation Agreement and Covenants until such time as it conveys
its parcel of land more particularly described therein to a nonfederal entity and therefore is not
a required party for the execution and effectuation of this Amendment and
WHEREAS the Declarant Successors and the City entered into an Amendment to
Annexation Agreement and Declaration of Covenants on ar about July 26 2011 the Previous
Amendment filed among the land records of Prince Georges County in Liber 32834 folio
618 and
WHEREAS the Previous Amendment expanded the uses permitted on certain portions of
the Property and established among other things that the Covenants may be amended by
exclusive agreement between the MSTC Entities and the City regarding the uses to be developed
on the MSTC Parcels provided that changes in property uses are subject to the absolute
discretion of the City and conform with the underlying zoning of the Property and

WIIEREAS the parties have mutually agreed that it is in the best interests of all parties

Covenants as amended by the Previous Amendment should be expanded to allow for
residential uses subject to certain restrictions contained herein to be located on portions of the
MSTC Parcels as conceptually depicted in Exhibit 2 attached hereto and incorporated herein by
reference
DECLARATION
NOW THEREFORE in consideration of the foregoing premises and the sum of100
and other good and valuable consideration the MSTC Entities declare that the aforesaid portions
of the MSTC Parcels shall be held andor conveyed by it their successors and assigns subject to
the following covenants and restrictions which shall run with the land permanently or until such
time as the MSTC Entities its successors andor assigns and the City mutually shall terminate or
modify them in whole or in part by recording a termination or modification statement duly
executed by said parties
1 The foregoing recitals are incorporated herein as operative provisions hereof
2 For the purposes of this Amendment the term MixedUse Parcels shall mean
the portions of the MSTC Parcels shown on Exhibit 2
3 All uses currently permitted by the Annexation Agreement and the Covenants
shall continue to be permitted upon the MixedUse Parcels

4 Residential uses shall be permitted upon the MixedUse Parcels subject to the
following restrictions
A The City shall have the ability to approve or deny in its sole and absolutediscretion any Conceptual Site Plan the CSP application on theMixedUse Parcels prior to submission to the Prince Georges CountyCouncil the County The MSTC Entities shall not submit any CSPapplication on the MixedUse Parcels to the County unless saidapplication is first approved by the City in its sole and absolute discretionThe MSTC Entities shall not construct any improvements on the MixedUse Parcels unless based upon a CSP approved by the City pursuant tothis paragraph
B The City shall approve design guidelines the Guidelines as part of anyCSP application on the MixedUse Parcels The Guidelines shall be
carried forth and reflected in all subsequent DSP applications on theMixedUse Parcels
C The City shall have the ability to approve or deny any Detailed Site Planthe DSP application on the MixedUse Parcels prior to submission tothe County The MSTC ntities shall not submit any DSP application onthe MixedUse Parcels to the County unless said application is firstapproved by the City The Citys approval of a DSP application on theMixedUse Parcels shall not be unreasonably withheld The MSTC
Entities shall not construct any improvements on the MixedUse parcelsunless based upon a DSP approved by the City pursuant to this paragraph
D Residential development on the MixedUse Parcels shall be generallybased upon the principles shown in Exhibit 3
E Senior agerestricted housing 55 and older shall constitute a minimum of20 of the total residential units contained on the MixedUse Parcels
Senior agerestricted units shall be constructed prior to ar at the sametime as any nonage restricted residential units far each phase ofresidential development Senior agerestricted units shall at all timesconsist of at least 20 of the overall residential unit count for the Mixed
Use Parcels
F The MSTC Entities shall encourage participation in the development ofthe MixedUse Parcels by minority women andor disadvantagedbusiness owners
5 No other residential uses other than those identified in Paragraph 4 of this
Amendment shall be constructed upon the Property

6 Concurrent with the development of the MixedUse Parcels with residential uses
the MSTC Entities thcir successors andor assigns shall work collaboratively with the City and
make every reasonable effort to encourage the relevant State andor County public transportation
agencies to provide public transit service to the Property The provision of public transit service
to the Property shall have a goal of providing minimum service levels of 15 minute frequency
during peak periods and 30 minute frequency during off peak periods
7 This Amendment shall be deemed to amend the Covenants and to supersede the
Annexation Agreement but only with respect to the residential uscs permitted upon the portions
of the MSTC Parcels described herein and with respect to the grant of CSP and DSP approval
authority to the City by the Developer as outlined herein In all other respects the terms of both
the Annexation Agreement Land Records of Prince GeorgesCounty at Liber 7181 Folio 139 et
seq the Declaration of Covenants Land Records of Prince Georges County at Liber 6256
Folio 142 et seq and the Previous Amendment Land Records of Prince Georges County at
Liber 32834 Folio 618 et sey shall remain in full force and effect
8 This Amendment may be executed in any number of counterparts each of which
when executed shall be deemed to be an original and all of which shall be deemed to be one and
the same Amendment

Amendment to Annexation Agreement and City CovenantsMelford Proposal

I Background
The Citys Annexation Agreement and Declaration of Covenants were executed and recorded in1985 when the project formerly known as The University of Maryland Science and Technology Centerwas annexed into the City The document recognized the devclopersintention to improve the propertywith a mixed use commercial developmenY containing ultimately 64 million square feet assumingstructured parking of office building hotel and retail space and related facilities in an integrateddevelopment Ihe developer pledged to proceed with development of a science and technology researchand office park Both the Annexation Agreement and attendant covenants pennitted only a very narrowlist of 14 acceptable uses on the Properiy compatible with this purpose
In 2003 the City identified numerous unpermitted uses at Mclford and filed suit in the CircuitCourt for Prince GeorgesCounty seeking enforcement of the terms of the 1985 annexation agreementand covenants The Circuit Court agreed with the Citys right to enforce the covenants St JohnProperties appealed the Circuit Court decision to the Court of Special Appeals which reversed the CircuitCourtsdecision The City then appealed to the Court of Appeals highest court in Maryland and won adecision upholding the validity of the covenants 2007
St John Properties originally proposed residential development in 2003 working with CountyCouncil Member poug Peters who created County legislation to accommodate it at Melford In 2006the Prince GeorgesCounty Council approved the Bowie and Vicinity Master Plan recommendingresidential development at Melford However because the City was pursuing and eventually woncovenant enforcement through the Maryland court system the Master Plans recommendations have noeffect unless residential development is allowed by the City in the revised covenants The PrinceGeorgesCounty Council however rezoued the property to theMXTMixed Use TransportationOriented zone during the Master Plans Sectional Map Amendment
During the pending court reviews the City Comcil considered several settlement proposals fromSt John Properties After many months of effort the final result was the direction to focus on covenantamendments that would address the outstanding issues with the flex space tenants The understandingwas that once a covenant amendment was executed and recarded to reconcile the flex space issues StJohn Properties eould revisit the subject of residential development at Melford

Melford Covenant Amendment
In July 2009 City Council passed Resolution R4609 and established the policy direction tocreate some additional flexibility in the City covenants At that time there was an action pending in theCircuit Court involving two of the flex space tenants that had occupied their space in violation of theoriginal covenants The City Council directed the City Attorney to draft a covenant amendment thatexpanded the list of fles uses and instituted a new procedure for reviewing new land uses on the propertyThe City Council required that the amendment be signed by all of the owners of the Property assuccessors to the original covenants The covenant revision was submitted to the other owners and ittook over a year to get all of the necessary signatures The amendment was finally executed by the CityManager on July 26 2011 and recorded in the Land Records
One provision of the recorded covenant amendment was the following
7 The Declarant Succcssors and the City mutually agree that these Covenantsmay be amended in the future by exclusive agreement between the MSTCEntities or their successors or assigns and the CiTy regarding the uses to bedeveloped on the MSTC parcels provided that changes in property uses aresubject to the absolute discretion of the City and conform with the underlyingzoning of the Property
A proposed residential development schematic plan was provided to City staff in late 2011Informal comments were offered to St John Properties representatives at a meeting in early 2012 Asecond more rendered illustrative drawing was provided to City staff shortly thereafter and generaldesign comments were offered by staff In July 2012 a letter was received from St John Propertiesrequesting the City Councilsreview of a proposed amendment of the covenants to allow residentialdevelopment at Melford Mr Andrew Roud of St John Properties and Attorney Robert Antonettipresented this proposal to City Council at a public hearing held on September 18 2012 After hearingfrom several speakers and deliberating on the request the City Council directed staff to meet with StJohn Properties to shape the parameters of the discussion and return to City Council noting it would takesome time to accomplish
After several meetings and discussions with staff St John Properties presented their mixeduseresidential concept to City Council at a public hearing held on January 7 2013 At the conclusion of thepublic hearing Council directed staff to prepare an amendment to the City covenants to permit residentialdevelopment and return for a public hearing on the matter on March 4
II Proposed Covenant Amendment
As instructed by Council staff worked with Mr Andrew Roud and his legal counsel on covenantlanguage that will authorize residential development as a permitted use under the Citys covenants Theattached covenant document reflects these provisions as well as the items specified by City Council at theJanuary 7 meeting
A summary of the main aspects of the covenant language which will be binding on all futureproperty owners is included below
1 Two 2 paragraphs on pages 34 under the Recitals have been written to explain therationale for mixeduse development at Melford and how it is envisioned that suchdevelopment will strengthen the prospects for highquality economic developmentopportunities on the property

Melford Covenant Amendment
2 The Declaration section specifically designates the Mixed Use parcels where residentialdevelopment is intended in Exhibit 2
3 Paragraph 3 on page 5 sets forth the parameters for residential uses at Melford including thecommitment by St John Properties to cede to the City absolute discretion to approve or denyany Conceptual Site Plan for the Mixed Use parcels and to give the CiTy approval authorityover Detailed Site Plans A further commitment is made that prohibits St John Propertiesfrom submitting these plans to Prince GeorgesCounty until the plans are first approved bythe City Paragraph 3 also requires that the City approve design guidelines as part of anyConceptual Site Plan application and that residential development be generally based on theIllustrative Site Plan presentation shown to City Council at the January 7 2013 meeting andattached to the document as Exhibit 3
4 Paragraph 3E on page 5 also includes a specific condition that senior agerestricted housing55 and older constitute a minimum of 20 of the total residential units and that the agerestricted units be constructed prior to or at the same time as any non agerestricted unitsand further stipulating that agerestricted units at all times shall consist of at least 20 of thetotal residential units
5 Paragraph 3F on page 5 reflects City Councilsdesire to encourage parlicipation byminority women andor disadvantaged business owners
6 Paragraph 6 beginning on page 5 contains a statement of intent that St John Properties aswell as their successors shall work with the City to encourage public transit service to theproperty
IIi Analxsis
During the course of stafPs review of the proposal to amend the Annexation Agreemcnt and CityCovenants for Melford numerous questions were raised regarding the implications of the City Councilschange in policy The attached memoranda address these questions and include a staff evaluation of thelikely fiscal consequences of allowing residential land use at Melford In addition the proposedAmendment to Annexation Agreement and Declaration of Covenants is consistent with the parametersestablished by Council at the January 7 meeting The attached analyses provide sufficient justificationfor staff to recommend approval of the draft amendment document
