UniFirst- Two-year contraot for Uniforms for the Motor Pool and Animal Control Departrnents for the period of July 1, 2015 thru June 30,2017. (Revised contract distributed) Commissioner White made a motion to approve and to forward to County Commission with a recommendation for approval. Commissioner Isbel seconded the motion and the motion passed. 2, Automotive / Vehicle Parts Discount (OEM) - Fiscal year bids for the Motor Pool Deparhnent, with the intent to award to West Chevrolet, Rusty Wallace Ford, Ken Smith Auto, Secret City, Inc. & Ray Vamer Ford, for the period of July 1, 2015 through June 30, 2016 with an option to renew for an additional three (3) years. Commissioner White made a motion to approve and to forward to County Commission with a recommendationfor approval. Commissioner Isbel seconded the motion and the motion passed.

5, PitneJ Bowes - Five year Postage machine rental agrcement for the Anderson County Health department for theperiod of July 1, 2014 through June 30, 2019.

Commissioner Isbel made a motion to approve and to forwaxd to County Commission with a recommendation forapproval. Scott Daugherty seconded the motion and the motion passed.

6, Mobil Bait - Two mobile bait store machines for the Anderson County Parks for the period of April 1 4, 20 1 5

through June 30, 2017.

Commissioner Isbel made a motion to approve and to forward to County Commission without a recommendationfor approval. Commissioner White seconded the motion and the motion passed.

8, State of Tennessee Denartment of Mental Health & Substance Abuse Services- Contract for Evaluation and

treatment of adults only charged with Misdemeanor crimes for the period ofJuly l, 2105 through June 30, 2016,with an option to renew for twelve ( 12) additional months, but not to exceed sixty (60) months.

Commissioner White made a motion to approve and to forward to County Commission with a recommendationfor approval. Scott Daugherty seconded the motion and the motion passed.

9, West Wolf Vallev Convenience Center - The current lease expires on June 301 , 2015 , and my office is in theprocess of preparing a new one-year lease, at the monthly rate of $600 per the letter received from Ridenour &Ridenour.

Commissioner White made a motion to approve and to forward to County Commission with a recommendation

for approval. Scott Daugherty seconded the motion and the motion passed.

10. Disitech Computer Inc. -- Contract for the EMS Departrnent for the Collection of Ambulance Services

Receivables piggybacking on the contract from the City of Memphis. (Waiting on the city of Memphisto send

fi nalized signed contract).

Commissioner White made a motion to approve contingent on receiving and reviewing signed City of Memphis

contract and to forward to County Commission with a recommendation for approval. Scott Daugherty seconded

the motion and the motion passed.

11. Disnosal of Non-Caoitalized Surnlus Items - Listing of non-capitalized surplus items with no apparent valu€ to

be disposed of.

Description: Disposal ofBleachers at Claxton Elementary and Anderson County High Schools. The bleachers at

Claxton Elementary have been deemed unsafe by the School Maintenance Departrnent. The school Maintenance

departrnent will be scrapping the motors and wheels from the bleachers at Anderson County High for use at other

schools. David Crowley is working with the Sheriffs Department to have the inmates demolish both sets ofbleachers.

Commissioner Isbel made a motion to dispose of bleachers and donate to a non-proftt. Scott Daughertyseconded the motion and the motion passed. (Requires Purchasing Committee approval only')

12. Auction of 831 Clinch Avenue nronertv- (Information Only) The auction was held on Saturday, May l'r, at

10:00 a.m., and the property was sold to Duan Brewer for $25,200, with a 10% buyer premium for a final price of$27,720, (92,520 being paid directly to the auction company the day ofthe auction). At this point I'm waiting on

the final closing date to be set.

Contract for Services

This Agreement is made on this the lst dav of Julv, 20l5. between Anderson County, Tennessee,

a governmental entity and political subdivision of the State of Tennessee (hereinafter, "County") and Ken

Smith Auto parts (hereinafter, "Contractor") and for good and valuable consideration, the sufficiency of

which is hereby acknowledged, the parties agree as follows:

Contractor Services. Contractor agrees to provide services to County in the form of:

Automotive / Vehicle Discount (OEM), as Per Bid # with an option to renew

additional three vears.

Standard of performance. Contractor agrees to perform the services in a manner consistent with

the standard in the industry and to the satisfaction of the County.

Contractor Compensation. Contractor shall be paid by County for the Contractor's services

within thirty (30) days of invoicing from Contractor and completion of the contracted services. The

compensation to Contractor shall b-e calculated by: Bid #4609. Contractor-shall not receive additional

compensation for expenses including travel, hotel, food, etc., and only upon application to County'

Term. The term of this agreement shall begin on Julv 1.2015 and shall end on June 30.2016,

with an option to renew for an additional three (3) vears.

Release. Contractor hereby agrees to release and hold County harmless from and against any and

all claims, lawsuits, orthe like associated with County's performance of this agreement, or as it relates to

the past, present, or future financial condition of the County or the performance of Contractor's services

under this Agreement.

Default. In the event of default by the Contractor hereto, the County may bring suit against the

Contractor to enforce the terms of this Agriement. In such event, the prevailing party shall be entitled to

recover any remedies available at law and/or equity including reasonable afforney's fees and costs

associated with the default.

No Oral Modification. No modification, amendment, supplement to or waiver of this Agreement

or any of its provisions shall be binding upon the parties hereto unless made in writing and duly signed by

all the parties.

Waiver. A failure of any party to exercise any right provided for herein, shall not be deemed to

be a waiver of any right hereunder.

Entire Agreement. This Agreement sets forth the entire understanding of the parties as to the

subject matter and may not be modified except in a writing executed by all parties.

Severability. In the evenr any one or more of the provisions of this Agreement is invalid or

otherwise unenforceible, the enforceability of the remaining provisions shall be unimpaired.

Cancellation. In the event any party materially breaches, defaults or fails to perform hereunder,

this Agreement may be cancelled by the other party with cause on thirty (30) days written notice to the

other, if tt1. event constituting the breach, default, or failure is not cured during that tirne.

Exhibits. Any Exhibits attached hereto or incorporated herein are made a part of this Agreement

for all purposes. The expression "this Agreement" means the body of this Agreement and the Exhibits.

Multiple Counterparts; Effectiveness. This Agreement may be executed in multiple

counterparts, eich of which shall be deemed an original for all purposes and all of which shall be deemed,

collectively, one Agreement. This Agreement shall become effective when executed and delivered by all

the parties.

Jurisdiction. Each party hereby irrevocably consents to the jurisdiction of all state courts sitting

brought in connection with this Agreement shall lie exclusively in such courts.

Binding Effect. This Agreement shall be binding upon and inure to the benefit of the parties and

upon their respective successors, heirs, or assigns.

Choice of Law. This Agreement shall be governed and construed in accordance with the laws of

the State of Tennessee.

Notice. Any notice required or provided pursuant to this Agreement shall be in writing and sent

or delivered to the parties.

Titles and Subtitles. Titles of paragraphs and subparagraphs are for convenient reference only

and shall not have the effect of modi$ing, amending, or changing the express terms of this Agreement'

Assignment. This Agreement shall be assignable only upon the written consent of the non-

assigning partt. Consent to an issignment shall not be unreasonably withheld. In the event of assignment

or. *...irion, the terms and conditions of this Agreement shall be binding upon the parties and their

successors, assigns, heirs, executors, and/or administrators.

Further Documentation. The parties agree for themselves and their successors and assigns to

execute any and all instruments in writing which are or may become necessary or proper to carry out the

purpose and intent of this Agreement.

Contractor to enforce the terms of this Agreement. In such event, the prevailing party shall be entitled to

recover any remedies available at law and/or equity including reasonable attorney's fees and costs

associated with the default.

No Oral Modification. No modification, amendment, supplement to or waiver of this Agreement

or any of its provisions shall be binding upon the parties hereto unless made in writing and duly signed by

all the parties.

Waiver. A failure of any parry to exercise any right provided for herein, shall not be deemed to

be a waiver of any right hereunder.

Entire Agreement. This Agreement sets forth the entire understanding of the parties as to the

subject maffer and rnay not be modified except in a writing executed by all parties.

Severability. In the event any one or more of the provisions of this Agreement is invalid or

otherwise unenforceable, the enforceability of the remaining provisions shall be unimpaired.

Cancellation. In the event any party rnaterially breaches, defaults or fails to perform hereunder,

this Agreement may be cancelled by the other parry with cause on thirty (30) days wriffen notice to the

other, if the event constituting the breach, default, or failure is not cured during that time.

Exhibits. Any Exhibits attached hereto or incorporated herein are made apart of this Agreement

for all purposes. The expression "this Agreement" means the body of this Agreement and the Exhibits.

Multiple Counterpartsl Effectiveness. This Agreement may be executed in multiple

counterparts, each of which shall be deemed an original for all purposes and all of which shall be deemed,

collectively, one Agreement. This Agreement shall become effective when executed and delivered by all

the parties.

Jurisdiction. Each party hereby irevocably consents to the jurisdiction of all state courts sitting

Binding Effect. This Agreement shall be binding upon and inure to the benefit of the parties and

upon their respective successors, heirs, or assigns.

Choice of Law. This Agreement shall be governed and construed in accordance with the laws ofthe State of Tennessee.

Notice. Any notice required or provided pursuant to this Agreement shall be in writing and sent

or delivered to the parties.

Ti6es and Subtitles. Titles of paragraphs and subparagraphs are for convenient reference only

and shall not have the effect of modifuing, amending, or changing the express terms of this Agreement.

Assignment. This Agreement shall be assignable only upon the written consent of the non-

assigning partt. Consent to an assignment shall not be unreasonably withheld. In the event of assignment

or *..riiion, the terms and conditions of this Agreement shall be binding upon the parties and their

successors, assigns, heirs, executors, and/or administrators.

Further Documentation. The parties agree for themselves and their successors and assigns to

execute any and all instruments in writing which are or may become necessary or proper to carry out the

purpose and intent of this Agreement.

Binding Effect. This Agreement shall be binding upon and inure to the benefit of the parties and

upon their respective successors, heirs, or assigns.

Choice of Law. This Agreement shall be governed and construed in accordance with the laws of

the State of Tennessee.

Notice. Any notice required or provided pursuant to this Agreement shall be in writing and sent
