CONTRACT 6: ELECTRICAL, INSTRUMENTATION & CONTROLS Sealed bids marked "Bid for City of Yorkton, Queen Street Water Treatment Plant, Contract 6: Electrical, Instrumentation and Controls" will be received at the office of Associated Engineering, 1 - 2225 Northridge Drive, Saskatoon, SK S7L 6X6 up to Thursday, October 15, 2009 at 2:00 p.m. The work involves the design and construction of the electrical and controls systems for the Queen Street Water Treatment Plant. Contract Documents may be examined at the offices of Associated Engineering in Saskatoon or on-line at www.yorkton.ca/tenders. Contract Documents will be available for pickup by interested General Contractors at the offices of Associated Engineering in Saskatoon on or after Thursday, October 1, 2009 upon deposit of $200.00 per set, GST included. Deposits will be refunded only to those General Contractors submitting bona fide bids. 1 General 1.1 INVITATION

.1 Bid Call

.1 Offers signed under seal, executed, and dated will be received by the Engineer located at #1-2225 Northridge Drive, Saskatoon, SK S7L 6X6 before 2:00 pm local time on Thursday, October 15, 2009.

.2 Offers received after the above time will be returned to the bidder unopened.

.3 Offers will be opened privately immediately after the time for receipt of bids.

1.2 INTENT

.1 The intent of this bid call is to obtain an offer to perform work that involves the design and construction of the electrical and controls systems for the Queen Street Water Treatment Plant located near the City of Yorkton for a Lump Sum contract, in accordance with the Contract Documents. Refer to Section 01001 for a description of work required and conditions under which work will be carried out.

1.3 CONTRACT/BID DOCUMENTS

.1 Availability

.1 Bid Documents may be obtained at the office of Engineer located at #1-2225 Northridge Drive, Saskatoon, SK S7L 6X6.

.2 General Contractors can obtain Bid Documents upon receipt of refundable deposit by cash or certified cheque payable to the City of Yorkton in the amount of $200.00 per set, GST included. Full size drawings are available to Contractors in the amount of $200.00 per set, non-refundable.

.3 Deposit will be refunded to General Contractors who submitted a bona fide bid if Bid Documents are returned complete, undamaged, unmarked and reusable within three (3) days of bid submission. Failure to comply will result in forfeiture of deposit.

.4 Bid Documents are made available only for the purpose of obtaining offers for this project. Their use does not confer a license or grant for other purposes.

.2 Examination

.1 Bid Documents may be viewed at the office of Engineer or on-line at www.yorkton.ca/tenders.

.2 Upon receipt of Bid Documents verify that documents are complete. Notify Engineer should the documents be incomplete.

.3 Immediately notify Engineer upon finding discrepancies or omissions in Bid Documents.



.3 Queries/Addenda

.1 Direct questions to Shengtao Weng, P.Eng., email: [email protected] or telephone (306) 653-2137 ext 222.

.2 Addenda may be issued during the bidding period. All addenda become part of the Contract Documents. Include costs in the Total Bid.

.3 Verbal answers are only binding when confirmed by written addenda.

.4 Clarifications requested by Bidders must be in writing not less than five (5) working days before date set for receipt of bids. The reply will be in the form of an addendum, a copy of which will be forwarded to known Bidders no later than three (3) working days before receipt of bids.

.4 Proposed Substitutions

.1 Base Total Bid on use of specified products.

.2 Products other than those specified will be considered only if information is provided on the Substitution List in the Supplements to Bid Form.

.3 The submission shall provide sufficient information to enable Engineer to determine acceptability of such products.

.4 Provide complete information on required revisions to other work to accommodate each substitution. The dollar amount of additions to or reductions from the Total Bid, including revisions to other work, is to be shown on the Substitution List.

.5 Unless substitutions are submitted in this manner and subsequently accepted, provide products as specified.

.6 Approval to submit substitutions prior to submission of bids is not required.

.7 No ruling on a proposed substitution will be made prior to bid submission.

.8 Documentation supporting the proposed substitution(s) is to be submitted within 24 hours of a request to do so.

1.4 SITE ASSESSMENT

.1 Site Examination

.1 Visit the project site and surrounding area before submitting a bid.

1.5 QUALIFICATIONS

.1 Bidder’s Qualifications

.1 Submit completed Bidders' Qualification form, Document 00451, with the Bid Form.



.2 Subcontractors

.1 Owner reserves the right to reject a proposed subcontractor for reasonable cause.

.2 Refer to Article 15 of General Conditions.

.3 Indicate on the Subcontract List in the Supplements to Bid Form the names of all subcontractors proposed to be employed on the work.

1.6 BID SUBMISSION

.1 Bid Ineligibility

.1 Bids that are unsigned, improperly signed or sealed, conditional, illegible, obscure, contain unbalanced prices, arithmetical errors, erasures, alterations, or irregularities of any kind, may at the discretion of Owner, be declared informal. If so declared, the bid will be rejected.

.2 Bids with Bid Form Supplements to Bid Form, bid bond, or enclosures which are improperly prepared may, at the discretion of Owner, be declared informal. If so declared, the bid will be rejected.

.3 Bids that fail to include bonding or insurance requirements may, at the discretion of Owner, be declared informal. If so declared, the bid will be rejected.

.2 Submissions

.1 Bidders shall be solely responsible for the delivery of their bids in the manner and time prescribed.

.2 Submit one copy of the executed offer on the Bid Form provided, signed and corporate sealed together with the required bid bond, Consent of Surety, Supplements to Bid Form in a closed opaque envelope, clearly identified with Bidder’s name, project name and Owner’s name on the outside. The second copy of the Bid Form is provided for Bidder’s records.

.3 Do not submit Bid Documents with Bid Form.

.3 Bid Modifications

.1 Amendments to the submitted offer will be permitted if received in writing or by FAX, at (306) 242-4904 or email: [email protected] at the office where bids are being opened prior to the time stipulated in the Invitation, provided that bid amendments are endorsed by the same party or parties who signed and sealed the offer.

.2 The onus is on Bidder to ensure timely receipt of bid modifications. Owner makes no assurances regarding availability of FAX or email communication lines or equipment. To be considered, FAX or email transmissions of bid modifications must be received in full prior to the time stipulated for receipt of bids.

.4 Bid Withdrawal

.1 Bidder may withdraw Bid without prejudice, provided a request, in writing or by FAX or email, signed by the same person or persons who signed the Bid Form, is



received at the office designated in the Bid Documents on or before the closing hour of the date specified on the Bid Form. Error on the part of Bidder in preparing the Bid confers no right to the withdrawal of the Bid after it has been opened.

1.7 BID ENCLOSURES/REQUIREMENTS

.1 Bid Security

.1 Bids shall be accompanied by a bid bond in an amount not less than 10 percent of the Total Bid in the form of a bond or certified cheque.

.2 Endorse the Bid Bond in the name of Owner as obligee, signed and sealed by the principal (Contractor) and surety.

.3 Use standard surety industry CCDC prescribed Bid Bond form.

.4 The bid bond will be returned after delivery to Owner of the required Performance and Labour and Materials Payment Bond(s) by the accepted Bidder.

.5 If no contract is awarded, all security deposits will be returned.

.6 If the accepted Bidder fails for any reason to execute the Contract Agreement and to provide the surety bonds stipulated in the General Conditions within the time agreed to in the Bid Form, and such extension of time as may be granted by Owner, that portion of the security deposit will be forfeited to and retained by Owner in the amount of the difference in money between the Total Bid and the amount for which Owner may legally contract with another party to perform the work, if the latter amount be in excess of the former.

.2 Consent of Surety

.1 Submit with the Bid Form, a letter of consent in accordance with CCDC, stating that the surety providing the Bid Bond is willing to supply the required Performance and Labour and Materials Payment Bond.

.3 Surety Company

.1 Bid Bond and Consent of Surety must be issued by a surety company licensed to conduct business in the province or territory where the work is located.

.4 Performance Assurance

.1 The accepted Bidder shall provide a Performance and Labour and Materials Payment bond as described in the General Conditions.

.5 Cost of Bonds

.1 Include the cost of bonds in the Total Bid.

.6 Bid Form Requirements

.1 Fill in prices where indicated on Bid Form.

.2 Include in price(s) bid supply of all materials except those specified to be supplied by others, all supervision, labour and equipment, and a provision for overhead and



profit. Total Bid shall represent the entire cost to Owner for the completed works as specified and shown on the drawings, exclusive of GST payable by Owner.

.3 Bid analysis will be based on the Total Bid price, exclusive of GST.

.4 Bidder, in submitting an offer, agrees to complete the work by the date indicated in the Bid Form.

.5 Refer to Supplementary Conditions for tax inclusions or exclusions.

.7 Bid Signing

.1 The Bid Form shall be signed under seal by Bidder.

.2 Sole Proprietorship: Signature of sole proprietor in the presence of a witness who will also sign. Insert the words "Sole Proprietor" under the signature. Affix seal.

.3 Partnership: Signature of all partners in the presence of a witness who will also sign. Insert the word partner under each signature. Affix seal to each signature.

.4 Limited Company: Signature of a duly authorized signing officer(s) in their normal signatures. Insert the officer's capacity in which the signing officer acts, under each signature. Affix the corporate seal.

.5 Joint Venture: Each party of the joint venture shall execute the bid under their respective seals in a manner appropriate to such party as described above, similar to the requirements of a Partnership.

.8 Supplements to Bid Form to be submitted with Bid:

.1 Bid Bond (CCDC).

.2 Consent of Surety (CCDC).

.3 Document 00436 – Substitution List. List substitute products and resulting price variations proposed. Base Total Bid on specified products.

.4 Document 00437 - Subcontract List. List the names of all subcontractors. Identify portion(s) of the work to be performed by Bidder and by each subcontractor.

.5 Document 00441 - Equipment Suppliers List. Indicate the manufacturer or product brand name of each item listed, and the name of the supplier or distributor from whom each item will be purchased.

.6 Document 00451 - Bidders' Qualification. Complete in all details and submit with the Bid Form.

1.8 OFFER ACCEPTANCE/REJECTION

.1 Duration of Offer

ARTICLE 1. DEFINITION OF TERMS "OWNER" shall mean the Owner named in the Contract Agreement. "CONTRACTOR" shall mean the Contractor named in the Contract Agreement. "SUBCONTRACTOR" shall mean any person, firm, or corporation having a contract with the Contractor for the execution of a part or parts of the work included in this Contract, and a person, firm, or corporation furnishing material called for in this Contract and worked to a special design according to the drawings or specifications but does not include one who merely furnishes material not so worked. "ENGINEER" shall mean Associated Engineering (Sask.) Ltd., also referred to herein as Associated Engineering, acting through a delegate duly appointed to act on its behalf, or such other engineer as may from time to time be duly authorized and appointed in writing by the Owner. "ENGINEER'S REPRESENTATIVE" shall mean a person appointed by the Engineer with the authority described in Article 6. "INSPECTOR" shall mean a person or company authorized by the Engineer, the Engineer's Representative or the Owner to inspect the Works or any part thereof. "CONTRACT DOCUMENTS" or "CONTRACT" shall mean the complete set of documents, specifications, drawings, and addenda incorporated therein, as listed in the Table of Contents; Document 00003. "WORK" or "WORKS" shall, unless the context otherwise requires, mean the whole of the work, equipment, materials, labour, matters, and things required to be done, furnished, and performed by the Contractor under this Contract. "MATERIAL" or "MATERIALS" shall, unless otherwise specified, mean anything and everything other than persons or the Contractor's equipment which is manufactured, processed, or transported to the site, or existing on the site, and incorporated into the completed works. "EQUIPMENT" or "PLANT" shall mean anything and everything except persons used by the Contractor in performance of the Work and except Material as defined herein. "HEREIN" and "HEREOF", and similar expressions wherever used in the Contract Documents, shall relate to the whole of the Contract Documents and not to any one (1) paragraph alone, unless the context specifically requires it. "SUPPLY" or "PROVIDE" shall mean supply and pay for or provide and pay for. "SPECIFIED" shall mean as specified in the Contract Documents.



"CONTRACT TIME" shall mean the date by which the provisions of the Contract require the total performance of all Work, other than the Contractor's obligations in respect of the performance of the warranty provisions set out in Article 40 of the General Conditions. The date is either a fixed date as provided in the Contract Documents or may be established by reference to a stated number of calendar days from the Notice to Proceed, as provided in the Contract Documents. "CONTRACT AMOUNT" shall mean, if the Contract is on the basis of a stipulated or lump sum, the sum stated in the Contract Agreement as the contract price. If the contract calls for payments on a unit price basis whether including lump sums or not, Contract Amount shall mean the product of the units of work actually performed and the appropriate unit prices plus the total of the lump sums. "CHANGE ORDER" shall mean a written order signed by the Owner or the Engineer authorizing or ordering a change in the Work and/or an adjustment in the Contract Amount and/or the Contract Time. "SITE" shall mean the lands on, under, in, through or over which the Works are to be executed and any other lands or rights to land provided by the Owner for the purposes of the Contract and so designated in the Contract Documents. "SUBSTANTIAL PERFORMANCE" shall have the meaning as described in the current Saskatchewan Builders' Lien Act with respect to the work of the Contractor and Subcontractors under this Contract. ARTICLE 2. INTENT OF CONTRACT The intent of the Contract is that the Contractor shall provide all materials, supervision, labour, equipment, and all else necessary for or incidental to the proper execution of the Work unless specifically noted otherwise. The Contractor shall do all the work shown on the drawings or described in the specifications and all other things necessary to complete the Works. The Contractor shall be fully responsible for the adequacy, stability and safety of all Site operations and methods of construction. ARTICLE 3. DOCUMENT CONFLICT In case of any inconsistency or conflict between the provisions of the Contract Documents, the provisions of such documents and addenda thereto will take precedence and govern in the following order: (a) Contract Agreement (b) Supplementary Conditions (c) General Conditions (d) Specifications (e) Drawings (f) Executed Bid Form



(g) Instructions to Bidders (h) Invitation to Bid (i) All Other Documents Figured dimensions on a drawing take precedence over measurements scaled from the drawing, and large-scale drawings take precedence over those of smaller scale. Supplementary drawings and specifications supersede their antecedents. In case of conflict between figured dimensions on a drawing and the dimensions of a specified product, the dimensions of the specified product will govern. The drawings and specifications complement each other and anything called for by one will be as binding as if called for by both. Documents of a later date will govern over earlier documents of the same classification. ARTICLE 4. DISCREPANCIES Any discrepancies found between the drawings and specifications or any errors or omissions in the drawings or specifications shall immediately be reported to the Engineer. The Engineer may promptly issue an additional instruction to clarify the discrepancy or, if he agrees that there is an error or omission, he will promptly issue an instruction in writing to correct the error or omission. Any work done after discovery of such discrepancies, errors, or omissions shall be done at the Contractor's risk. ARTICLE 5. LOCAL CONDITIONS The Contractor shall, by personal inspection, examination, calculations or tests, or by any other means, satisfy himself with respect to the local conditions to be encountered and the quantities, quality, and practicability of the work and of his methods of procedure. ARTICLE 6. ENGINEER'S STATUS The Engineer will be the Owner's representative during the construction period and will observe work in progress on behalf of the Owner. He will have authority to act on behalf of the Owner only to the extent expressly provided in the Contract Documents or otherwise in writing. The Engineer will have the authority to stop the Work whenever such stoppage may be necessary, in his opinion, to ensure the proper execution of the Work in accordance with the provisions of the Contract. If, at any time, the Engineer is of the opinion that there exists a danger to life or to property, he may order the Contractor to stop work or to take such remedial measures as he considers necessary. The Contractor shall obey such orders immediately. Neither the giving or carrying out of such orders shall thereby entitle the Contractor to any extra payment. In an emergency affecting the safety of life, or of the works, or of adjoining property, the Contractor, without the necessity of authorization from the Engineer, shall act in a reasonable manner to prevent loss or injury.



The Engineer is in the first instance the interpreter of the Contract and is the sole judge of its performance. The Contractor shall obey, perform, and comply with the Engineer's orders or instructions with respect to the Work or concerning the conduct thereof, promptly, efficiently and to the satisfaction of the Engineer. However, if the Contractor is of the opinion that such orders or instructions are not authorized under the provisions of the Contract or involve a change for which a Change Order should be issued as described in Article 27, he shall so notify the Engineer in writing before proceeding to carry them out and, in any event, within ten (10) days of the receipt of such orders or instructions. If the Contractor does not so notify the Engineer within the time so limited, he shall not claim at any time thereafter that the orders or instructions were not authorized or should have been subject to a Change Order. Nevertheless, the giving of such notice to the Engineer shall not relieve the Contractor of his obligations to carry out and obey such orders and instructions. The Engineer or the Owner may appoint any person to be the Engineer's Representative. The Engineer's Representative shall have all the powers of an Inspector and such other powers as may be delegated to him. Any direction or order given to the Contractor or decision made by the Engineer's Representative shall have the same effect as if given or made by the Engineer. ARTICLE 7. INSPECTION OF WORK The Contractor shall allow the Engineer, the Owner, the Engineer's Representative, or any Inspector access and provide adequate facilities for access to any part of the Works at all times. If the specifications, Engineer's instructions, laws, ordinances, or regulations of any public authority require any work to be specially tested or approved, the Contractor shall give the Engineer advance notice of his preparedness for the appropriate test or inspection, and if the inspection is by an authority other than the Engineer, of the date fixed for such inspection. The Engineer will inspect the work promptly and without causing unreasonable delay to the Contractor. Extra payment will not be made to the Contractor for delay occasioned by any inspection, and no extension of Contract Time will be allowed for such delay. On request by the Engineer, the Contractor shall open for inspection any part of the Work that has been covered up. If the Contractor refuses to comply with such request, the Owner may employ other persons to uncover the work. If the work is found to be in accordance with the Contract requirements then the cost of uncovering and recovering the work shall be borne by the Owner. If any of the work was covered by the Contractor in contravention of the specification or the Engineer's instructions, or if the uncovered work is found not to be in accordance with the Contract requirements, then the cost of uncovering and recovering the work shall be charged to the Contractor. The Engineer may, if he deems it appropriate, recommend to the Owner that the Contractor be granted an extension of Contract Time to compensate for any delays caused by the uncovering, inspection and recovering of the work, in accordance with Article 30. Approval by, or the lack of comment on the part of the Engineer, of methods of construction employed by the Contractor or the results of the work by the Contractor, shall not relieve the Contractor of his responsibility for any errors therein, and shall not be regarded as acceptance of work done by the Contractor.



ARTICLE 8. SUPERVISION AND LABOUR The Contractor shall keep on the Site at all times during the progress of the Work a competent superintendent who is approved by the Engineer, which approval may be withdrawn at any time. The superintendent shall represent the Contractor in his absence and directions given to him shall be held to be given to the Contractor. The superintendent shall give efficient and effective supervision to the Work until its completion. The superintendent shall not be changed by the Contractor except for good and sufficient reason and only then after consultation with and agreement by the Engineer. When competent personnel are available locally they shall, whenever possible, be employed by the Contractor. All workers employed by the Contractor on the work must have sufficient knowledge, skill and experience to perform properly the work assigned to them. Any supervisor or worker employed by the Contractor or Subcontractor who, in the opinion of the Engineer, does not perform his work in a skilful manner, or appears to be incompetent or to act in a disorderly or intemperate manner shall, at the written request of the Engineer, be removed from the Site immediately and shall not be employed again in any portion of the Work without the approval of the Engineer. ARTICLE 9. LANDS BY OWNER The Owner will provide the Site. Where work is to be performed on lands owned by others, the Owner will obtain the necessary easements or rights of-way. Delay in providing these lands, or in obtaining easements or rights-of-way which, in the opinion of the Engineer, delays the work or results in extra cost to the Contractor, will be deemed proper cause for extension of the Contract Time in accordance with Article 30 and/or adjustment of the Contract Amount as provided for in Article 27. ARTICLE 10. ASSIGNMENT OF CONTRACT Neither party shall sublet, sell, transfer, assign, or otherwise dispose of the Contract or any portions thereof, or his right, title, or interest therein, or his obligations thereunder without written consent of the other party, except for an assignment to a bank of the payments to be received hereunder. ARTICLE 11. SUSPENSION OF WORK BY OWNER A suspension of the work because of seasonal climatic conditions, whether ordered by the Owner or the Engineer or not, shall not be deemed to be a suspension of the Work within the meaning of this Article. The Owner may at any time suspend the Work, or any portion thereof, provided he gives the Contractor five (5) days written notice of suspension. The Contractor shall resume work upon written notice of the Owner within ten (10) days after the date set forth in such notice, or in a subsequent notice to resume work.



The Owner will reimburse the Contractor for direct and provable costs and expenses incurred by the Contractor necessitated by such suspension of work or portion thereof, but the Contractor shall not recover from the Owner payment for any loss of profits or damages. If the suspension notice lasts more than ninety (90) days, the Contractor may on ten (10) days notice terminate the contract as provided for in Article 13(c). ARTICLE 12. OWNER'S TERMINATION OF THE CONTRACTOR'S RIGHTS The Owner may terminate the Contractor's right to continue with the Work if the Contractor at any time becomes bankrupt, makes an assignment of his property for the benefit of his creditors, or if a receiver or liquidator should be appointed. Such termination shall be effective upon the Owner giving notice thereof. If at any time the Engineer is of the opinion and so states in writing to the Owner that the Contractor:

(a) has failed to commence work or to recommence work after a suspension within the time specified in the Contract Documents;

(b) has failed or is failing to furnish or to maintain a detailed construction schedule; (c) has failed or is failing to use diligence or has failed to comply with the

instructions of the Engineer to expedite his work or is otherwise failing to make such progress with the Work as is necessary to ensure the completion of the Work or any part thereof in the time specified in the Contract Documents;

(d) has failed or is failing to supply enough competent workmen, management,

materials, or suitable equipment; or

(e) has become in any way unable to carry on the Work or any part thereof; the Owner may give notice in writing to the Contractor of such opinion and require that such default or defaults be remedied forthwith. If, within five (5) days of such notice, such default or defaults are not remedied to the satisfaction of the Engineer, the Owner may terminate the Contractor's right to perform further the Work under the Contract. Such termination shall be effective immediately. Upon such termination, the Owner may take all work out of the Contractor's hands and employ such means as he may see fit to complete the Works. In such case:

(a) The Contractor shall have no claim for any further payment in respect of work performed, but shall be liable for all damages and expenses which may be suffered by the Owner by reason of the Contractor's default or delay, or the noncompletion by the Contractor of the Works;

(b) No objection or claim shall be raised or made by the Contractor by reason of or on

account of the ultimate cost of the Works so taken over for any reason proving greater than, in the opinion of the Contractor, it should have been;



(c) All materials and all rights, proprietary or otherwise, licences, powers and

privileges, whether relating to or affecting real or personal property, acquired, possessed, or provided by the Contractor for the purposes of the Work will become or remain and be the property of the Owner for all purposes incidental to the completion of the Works and may be used, exercised, and enjoyed by the Owner as fully to all intents and purposes connected with the Works as they might theretofore have been used, exercised, and enjoyed by the Contractor;

(d) The Owner may forthwith enter into possession of all the Contractor's equipment

on the Site and may use the same in any way it sees fit in order to complete the Works without the Owner being in any way liable for damage or any other cost in connection with such use by the Owner. Upon completion of the Work, such equipment may be returned to the Contractor or may be sold by the Owner and the net proceeds of such sale credited to the Contractor's account; and

(e) The Owner may assign all rights and privileges granted to the Owner in this

Article to another contractor retained by the Owner to continue the Work. If the Contractor's right to perform the Work is terminated in accordance with the provisions of this clause, the Contractor shall not be entitled to receive any further payment until the work is completed. Upon completion of the work the Engineer shall determine:

(a) the amount which would have been due to the Contractor under the Contract if all of the Work had been performed by him;

(b) the costs and expense borne by the Owner in completing the Work and damages

for delay in completion, if any. The Contractor shall be entitled to receive the balance of the Contract Amount less such costs and expense, or if such costs and expense exceed such amount the Contractor shall pay such excess to the Owner on demand. The Owner shall have the option, under the provisions of this Article, to be exercised in its absolute discretion, to terminate the right of the Contractor to perform any part or parts of the Work and permit the Contractor to continue to perform the rest of the Work. The Contractor shall receive payment for that part or parts of the Work which he is permitted to perform in accordance with the Contract Documents except for the Progress Payments following Partial or Final Acceptance and the release of Builders' Lien holdback funds. These payments will not be made until the Engineer has made his determination of costs as required by this Article. ARTICLE 13. CONTRACTOR'S TERMINATION OF THE CONTRACT The Contractor shall have the right to terminate the Contract for any of the following reasons:



(a) In the event of an Order of any Court or other public authority, other than the Owner, causing the Work to be stopped or suspended, and when the period of such stoppage or suspension has exceeded ninety (90) days, and when such stoppage or suspension occurs through no act or fault of the Contractor, his agents, or servants and after giving ten (10) days written notice to the Owner to do so.

(b) In the event the Owner fails to pay, except as provided in the Contract

Documents, any sum certified by the Engineer within twenty (20) days from the due date of payment, and fails to remedy such default within ten (10) days of the Contractor's written notice to do so.

(c) In the event the Owner suspends work as provided for in Article 11 for more than

ninety (90) days. In such event, the Contractor will receive from the Owner payment for all work performed and losses sustained in respect of any materials. For termination under (a) above, the Owner will not be liable for any loss of profits, damages, or expenses incurred by the Contractor as a result of such stoppage or suspension, but under (b) or (c) above, the Contractor will be paid for loss of profits, damages and expenses. Such termination shall be effective upon the Contractor giving notice thereof. The amount due to the Contractor for work performed and losses sustained shall be determined by the Engineer and certified by him to the Contractor and to the Owner. ARTICLE 14. SEPARATE CONTRACTS The Owner reserves the right to let other contracts in connection with the Work. The Contractor shall afford other contractors reasonable opportunity for the introduction and storage of their materials and the execution of their work and shall properly connect and coordinate his work to and with theirs. If any of the Contractor's work as specified herein and shown on the drawings depends upon the work of any other contractor, the Contractor shall inspect and measure the other contractor's work in place. He shall promptly report the results of such inspection and measurement to the Engineer if anything in such work renders it unsuitable for proper execution of his work. His failure to inspect and report promptly shall constitute an acceptance of the other contractor's work and he shall then have no claim against the Owner by reason of anything in such work rendering the same unsuitable for proper execution of his work. ARTICLE 15. SUBCONTRACTS No Subcontractor other than those named in the Bid Form shall be employed by the Contractor without the written approval of the Engineer. Subcontractors named in the Bid Form and those subsequently approved shall not be changed without the written consent of the Engineer. The Contractor is responsible to the Owner for the acts and omissions of his Subcontractors and of their employees, to the same extent that he is responsible for the acts or omissions of persons



employed by himself. Nothing in the Contract Documents shall create any contractual relation between any Subcontractor and the Owner. The Contractor shall bind every Subcontractor to the terms of the Contract Documents. All subcontracts shall contain the following provisions:

(a) If the Subcontractor requests, either directly or through the Contractor, a Certificate of Substantial Performance, it shall submit with such request a complete copy of the subcontract, a statement of the amount of the subcontract price and a statement of the amount of holdback under the Builders' Lien Act which it claims is due following Substantial Performance.

(b) An agreement that on receipt of a request for a Certificate of Substantial

Performance, the Engineer is authorized to obtain the comments of the Contractor on any aspect of such request and an instruction and authority to the Contractor to reply to any request from the Engineer.

(c) The Subcontractor shall include the like provisions in any subcontract it may enter

into. ARTICLE 16. ORAL AGREEMENTS No oral instruction, objection, claim, or notice by any party to the others shall affect or modify any of the terms or obligations contained in any of the Contract Documents and none of the provisions of the Contract Documents shall be held to be waived or modified by reason of any act or failure to act whatsoever, other than by a waiver or modification thereof in writing and agreed to by the parties to the Contract. ARTICLE 17. NON-WAIVER Any failure by the Owner or the Engineer at any time or from time-to-time to enforce or require the strict keeping and performance of any of the terms or conditions of the Contract will not constitute a waiver of such terms or conditions and will not affect or impair such terms or conditions in any way or the right of the Owner or the Engineer at any time to avail itself or himself of such remedies as it or he may have for any breach or breaches of such terms or conditions. No provision in the Contract which imposes or may be deemed to impose extra or specific responsibilities or liabilities on the Contractor will restrict the general or other responsibilities or liabilities of the Contractor in any way.



ARTICLE 18. DAMAGE TO WORK The Contractor shall be responsible for all loss and damage whatsoever which may occur on or to the Works, completed or otherwise, until such time as the entire Works have been completed and the Completion Certificate has been issued by the Owner. In the event of any loss or damage occurring, the Contractor shall, on notice from the Engineer, immediately put the Works into the condition they were in immediately prior to such loss or damage, all at the Contractor's expense, except where such loss or damage was caused solely by an act of the Owner. ARTICLE 19. INDEMNITY The Contractor shall indemnify and save harmless the Owner and the Engineer from and against all losses and all claims, demands, payments, suits, actions, recoveries and judgements of every nature and description brought or recovered against him, and/or the Owner and/or the Engineer, by reason of any act or omission or alleged act or omission of the Contractor, his agents, employees, or Subcontractors in the execution of the Work. ARTICLE 20. BONDS To ensure the faithful execution and proper fulfilment of the Contract, the Contractor shall provide the Owner with the following bonds at the time of his execution of the Contract Agreement:

(a) A Performance Bond in the amount of fifty percent (50%) of the Contract amount covering the faithful performance of the Contract; and

(b) A Labour and Material Payment Bond in the amount of fifty percent (50%) of the

Contract amount. These bonds shall be issued by a surety company licensed to conduct business in the Province of Saskatchewan. Notwithstanding anything contained elsewhere in the Contract Documents, the Owner shall not be required to make any payment whatever to the Contractor until the above bonds, duly executed, have been delivered to the Owner. ARTICLE 21. PATENTS AND ROYALTIES The Contractor shall pay all royalties and licence fees with respect to and shall assume the defence of and indemnify the Owner and the Engineer, their employees, officers and agents from all claims relating to inventions, copyrights, trademarks or patents used in doing the Work and in the subsequent use and operation of the Work or any part thereof upon completion. The Contractor shall not be liable hereunder with respect to any claims arising from a construction method, process or equipment specified by the Owner in the documents submitted to the Contractor before he submitted his bid. ARTICLE 22. PERMITS AND REGULATIONS



The Contractor shall, at his own expense, procure all permits, certificates and licences required by law for the construction of the Work and shall comply with all federal, territorial, provincial, and local laws, regulations and ordinances affecting the execution of the work, save insofar as the Contract Documents specifically provide otherwise. The Owner will obtain all necessary governmental approvals for the design of the completed Work, and all permits and licences required by law for the completed Works. ARTICLE 23. NOTICE TO PROCEED The Contractor shall not enter on the Site until he has received written Notice to Proceed from the Owner or the Engineer. The Notice to Proceed will not be issued until the Contractor has furnished the Owner with the required certificates of insurance, has executed and returned the Contract Agreement and has furnished the required bonds. The Contractor shall begin work promptly following receipt of the Notice to Proceed and shall prosecute the work regularly and uninterruptedly thereafter, unless otherwise directed in writing by the Engineer or Owner, in such a manner as to secure completion of the work within the Contract Time. Time shall be of the essence of the Contract. ARTICLE 24. PROGRESS If the Engineer should be of the opinion and so state in writing to the Contractor that the rate of progress of the work is insufficient to enable the whole of the Work or any part or parts thereof to be completed within the time or times specified for such completion in the approved construction schedule or in the Contract Documents, the Contractor shall take whatever steps the Engineer may in his absolute discretion specify in writing to the Contractor to expedite the progress of the Work. Such steps may include, but shall not be limited to, adoption of shift work and/or the provision of additional workers or equipment. The Contractor shall not be entitled to any extra payment by reason of such order of the Engineer. ARTICLE 25. REJECTED WORK AND MATERIALS All Materials which do not conform to the requirements of the Contract Documents, are not approved by the Engineer, or are in any way unsatisfactory or unsuited to the purpose for which they are intended, will be rejected.



Any defective work, whatever the cause thereof, and without limiting the generality of the foregoing, whether the result of poor workmanship or use of defective materials, shall be removed within ten (10) days after written notice is given by the Engineer, and the work shall be re-executed by the Contractor. The fact that the Engineer may have previously overlooked such defective work shall not constitute an acceptance. The removal of work and the re-execution thereof shall be at the expense of the Contractor and he shall pay the cost of replacing the work which shall include materials of other contractors destroyed or damaged by the removal of the rejected work or materials and the subsequent replacement with acceptable work. The Contractor shall also reimburse the Owner for any additional engineering, inspection, testing or other related costs incurred in respect of rejected work or materials, whether such work or materials are replaced or not or are accepted at a lower price. If, in the opinion of the Engineer, it is not expedient to re-execute defective work, the Owner may deduct from the Contract Amount the difference in value between the work as done and that called for by the Contract, the amount of which shall be determined by the Engineer. ARTICLE 26. OWNER'S RIGHT TO CORRECT DEFICIENCIES Upon failure of the Contractor to perform the Work in accordance with the Contract Documents, and after ten (10) days written notice to the Contractor or without notice if an emergency or danger to the work or public exists, the Owner may, without prejudice to any other remedy he may have, correct such deficiencies. The cost of work certified by the Engineer as having been performed by the Owner in correcting deficiencies shall be paid by the Contractor, or may be deducted by the Owner from any payment then or thereafter due to the Contractor. ARTICLE 27. CHANGES IN THE WORK The Owner or Engineer, without invalidating the Contract, may make changes by altering, adding to, or deducting from the Work. The Contractor shall proceed with the work as changed and the work shall be executed under the provisions of the Contract. No change shall be undertaken by the Contractor, without a written Change Order issued by the Engineer, except in an emergency endangering life or property, and no claims for additional compensation shall be valid unless the change was so ordered. The value of the addition or deduction from the Contract amount, or the method of determining such value, shall be decided by the Engineer. The Engineer will use one (1) or more of the following methods in deciding such value: (a) by unit prices or combinations of unit prices in the Bid Form;

(b) by unit prices submitted by the Contractor and accepted by the Owner;

(c) by lump sum submitted by the Contractor and accepted by the Owner; (d) on a force account basis as specified in Article 28.



ARTICLE 28. FORCE ACCOUNT WORK Compensation for work done on a force account basis, authorized by a Change Order issued by the Engineer, shall be calculated as follows:

(a) Labour - All classifications of labour not priced separately in the Bid Form will be paid for at rates actually paid by the Contractor. A payroll assessment of twenty-five percent (25%) will be allowed to cover all costs including pension, holiday pay, payroll administration, insurance and similar fringe benefits. Small tool allowance will be at the rate of four percent (4%) of gross cost of labour. The Contractor will be allowed a ten percent (10%) profit based on the gross cost of labour as described above.

(b) Equipment - The rates for equipment, vehicles and power tools shall include

operator's wages, all maintenance and operating costs and Contractor's profit. All equipment not priced separately in the Bid Form will be paid for at rates listed in the latest edition of the Saskatchewan Highways and Transportation Equipment Rental Rates.

(c) Materials supplied by the Contractor shall be paid for at supplier's invoice price

plus an additional payment of ten percent (10%) of cost to cover handling and indirect overhead costs, plus ten percent (10%) of all costs including indirect overhead as profit.

(d) Building Equipment Rentals - The allowance to the Contractor for profit,

superintendence, and all other expense related shall be ten percent (10%) of the rental agency's invoice to the Contractor for the rental of tools and miscellaneous building equipment.

(e) For subcontract work, the allowance to the Contractor for profit, superintendence,

and all other expenses shall be ten percent (10%) of the subcontractor's invoice for such work performed.

The costs of force account work done each day shall be recorded and submitted to the Engineer in a satisfactory form on the next working day and will be approved or adjusted by the Engineer. Subcontractor's force account invoices to the Contractor shall be calculated and submitted for approval as described in items (a) to (e) above, unless otherwise instructed by the Engineer. The submission to, or acceptance or approval by, the Engineer of daily force account cost records shall not at any time be deemed to be an admission that the work is properly chargeable to force account.



ARTICLE 29. FAILURE TO COMPLETE ON TIME If the Contractor fails to complete the Work within the Contract Time, the Owner shall be entitled to deduct from any payments due to the Contractor the additional costs to the Owner of the engineering services incurred as a result of the Contractor's failure to complete on time. The Owner shall also be entitled to deduct from any payments due to the Contractor the additional costs which have been incurred by the Owner as a result of the Contractor's failure to complete the Work within the time required or failure to meet the specified milestone dates for parts of the Work, which costs may include, but are not limited to, costs paid by the Owner to other contractors engaged on the project. The above rights are in addition to any other rights the Owner may have and are in no way exclusive. No bonus will be allowed by the Owner for completion of the works in less than the Contract Time. ARTICLE 30. EXTENSION OF CONTRACT TIME The Contract Time may be extended in the event of one (1) or more of the following:

(a) Where changes to the Work are made as provided for in Article 27. (b) Where the Work is suspended as provided for in Article 11.

(c) Where the Work is delayed on account of conditions which could not have been foreseen or which were beyond the control of the Contractor and which were not the result of fault or negligence of the Contractor, his agents, or employees, provided however that rain, wind, flood, or other natural phenomena of normal intensity for the area shall not be construed as cause for an extension of Contract Time.

(d) Where delay occurs in the progress of the work as a result of the act or neglect of

the Owner or his employees, or by other contractors employed by the Owner. (e) Where delay occurs as a result of an act of a public authority.

(f) Where the Engineer causes delay in furnishing drawings or necessary information.

(g) Where strikes, lockouts, or labour disputes prevent or substantially interfere with

the progress of the Work. If a strike or lockout affects workers of several classifications and such strike or lockout ends on different dates, the end of the strike or lockout will be deemed to occur when all workers of a classification required to organize or begin performance of the work are permitted to work for the Contractor.



(h) Where, in the opinion of the Engineer, the Contractor is entitled to an extension of

Contract Time. A claim for extension of Contract Time shall only be considered when submitted by the Contractor to the Engineer in writing within seven (7) days of the occurrence on which the claim is based, provided, however, that in the case of a continuing cause of delay only one (1) claim shall be necessary. Within a reasonable period after the Contractor submits a request for an extension of Contract Time, the Engineer will present his written recommendation to the Owner stating his opinion on whether or not an extension of Contract Time is justified; and, if so, the number of days extension due to the Contractor. The Owner will make the final decision on all requests for extension of Contract Time. The granting of an extension of Contract Time pursuant to this Article shall not give the Contractor grounds to make any claims whatsoever for additional payment, save on the grounds set out in (b) or (d) above. ARTICLE 31. USE OF COMPLETE PORTIONS The Owner has the right to take possession of and use any completed or partially completed portions of the Work, whether the time for completing the entire Work or such portions has or has not expired, but such taking possession and use will not be deemed an acceptance of any work so taken possession of or used. If such prior use increases the cost of, or delays the completion of, uncompleted work or causes refinishing of completed work, the Contractor shall be entitled to such extra compensation or extension of Contract Time, or both, as the Engineer may determine. ARTICLE 32. PROGRESS PAYMENT CERTIFICATES The Engineer will prepare monthly progress payment certificates for payment by the Owner. Each payment certificate will show, as of the end of the last day of the preceding month, the value of all labour and materials incorporated into the works and all materials stored at the site thereof, including all adjustments previously made, whether additions or deductions. The certificate will also show the aggregate value of labour and materials previously certified. This document may also show the aggregate of previous values, amounts withheld to comply with the Builders' Lien legislation and the amount, if any, of the holdback released in respect of the Contract or subcontracts. These additional amounts shall not be deemed to be part of the Engineer's certificate. Except in respect of the final progress payment certificate, the gross amount shown on such certificate, less the aggregate of all previous values, previous sums withheld, and amount then required to be withheld to comply with the Builders' Lien legislation as set out below, shall become due and be payable by the Owner to the Contractor within 10 working days after receipt of the certificate.



The monthly progress payment certificates shall not bind the Owner or Engineer in any manner in the preparation of the final progress payment certificate, but shall be construed and held to be approximate only, and shall in no case be taken as an acceptance of the Work or as a release of the Contractor from his responsibility therefor. The amounts withheld to comply with the Builders' Lien legislation will be retained by the Owner, or paid into the Lien Trust Fund by the Owner, as the case may be, until payment is due in accordance with the provisions of the relevant legislation. In those cases where work is such that the Builders' Lien legislation does not apply or does not require the retention of holdback, the Owner will nevertheless retain holdbacks to the same extent as if such legislation applied to the work. No monthly progress payment certificates will be processed after the work has reached ninety-four percent (94%) completion, in the Engineer's estimation, until a Certificate of Substantial Performance has been issued. At the time of Substantial Performance, the Contractor shall submit an estimate of the value of uncompleted, defective or deficient work for the Engineer's review. The Engineer may, at his discretion, adjust the estimated value of uncompleted, defective or deficient work. The value, as determined by the Engineer, will be multiplied by a factor of two to establish the amount of the Owner's Retainage Fund. Once the amount of the Owner's Retainage Fund has been established, monthly progress payment certificates will again be processed, less the value of the Owner's Retainage Fund and Builders' Lien or other holdback, as applicable. Amounts withheld for the correction or completion of the defects or deficiencies will be released monthly as the defects or deficiencies are corrected or completed. The Owner's Retainage Fund will be maintained at a minimum level of twice the value of uncompleted work, defects or deficiencies until Final Completion. ARTICLE 33. PAYMENT WITHHELD The Owner may withhold or nullify, on written notice to the Contractor specifying the ground or grounds relied on, the whole or part of any progress payment to the extent he deems reasonably necessary to protect himself from claims or loss. The right hereby provided is dependent on either:

(a) receipt of a certificate in writing from the Engineer stating his opinion that justification exists for withholding payment on account of one (1) or more of the following: (i) That the Contractor is not making satisfactory progress in the opinion of

the Engineer. (ii) That defective work is not being remedied at all or in a manner

satisfactory to the Engineer. (iii) That the Contractor is failing to make prompt payments as they become

due to Subcontractors or for material or labour.



(iv) That there exist unsatisfied claims for damages caused by the Contractor to anyone employed on the Site or in connection with the Work.

(b) evidence that there is an affidavit of claim of lien, or a lien, filed against the lands and premises on which the Work is done or is being done, or reasonable evidence of the probable filing of an affidavit of claim of lien or of filing or registration of a lien.

Where Subcontractors or suppliers of material are not receiving prompt payment and the Builders' Lien Legislation does not provide for an exclusive procedure, the Owner may make payment to such Subcontractors or suppliers directly and deduct the amount of such payments from amounts otherwise due to the Contractor. ARTICLE 34. BUILDERS' LIENS The Contractor shall remove or cause to be removed all affidavits of claim of lien or liens filed or registered against the lands and premises on which the Work is being performed or has been performed which claim of lien or liens arise out of anything done or to be done under the Contract. Such removal shall be effected by the Contractor forthwith upon demand by the Owner or the Engineer. Notwithstanding anything elsewhere contained in the Contract Documents, the Contractor shall indemnify and hold harmless the Owner against and from all demands, damages, costs, losses and actions arising in any way out of claims of lien or liens which arise out of anything done or to be done under the Contract. The obligations imposed on the Contractor by the provisions of this Article shall not extend to claims of lien or liens properly filed by the Contractor himself. ARTICLE 35. COMPLETION When the Contractor is of the opinion that he has completely performed the Work, he shall inspect the Work to ensure that all work has in fact been performed, that it is in a clean and tidy condition and that it is ready in all respects for acceptance by the Owner. He shall then submit a written request to the Engineer that he make a final inspection. The Engineer will make an inspection and will notify the Contractor in writing of any defects or deficiencies which require to be corrected before all the Work has been performed. When the defects or deficiencies, if any, have been corrected and the Contractor has submitted to the Engineer a written statement that all claims and demands of the Contractor for extra work or otherwise in connection with the Contract have been presented in writing to the Engineer, the Engineer will recommend to the Owner that a Completion Certificate be issued to the Contractor. The Owner, subject to his acceptance of this recommendation, will issue the Completion Certificate. For the purposes of the Builders' Lien Act of Saskatchewan, final completion is defined under Section 4 of the Act when the price of:



(a) completion; (b) correction of a known defect; and (c) last provision of services or materials; is not more than; (d) 1% of the contract price; and (e) $1,000 whichever is less. ARTICLE 36. HOLDBACK RELEASE DOCUMENTS The following documents shall be obtained by the Contractor and received by the Owner before payment of any holdback monies will be made:

(a) A certified copy of the title to the property upon which the work of this Contract is being performed proving that, as of a date two days after the expiry of the applicable 40-day holdback period, no notice or affidavit of lien or liens have been filed or other matters recorded to make effective any lien.

(b) A certificate from the Workers' Compensation Board certifying that, as of a date

after the expiry of the applicable 40-day holdback period, all assessments due to the Board by the Contractor have been paid.

(c) If there is no person who can provide the land title certificate referred to in (a)

above, the Contractor shall furnish to the Owner a Statutory Declaration, dated not earlier than seven (7) days after the expiry of the applicable 40-day holdback period, stating why no land title certificate is possible and stating that all materials, labour, work and services incurred directly or indirectly on account of the work in respect of which holdback monies are being released have been paid for by the Contractor.

ARTICLE 37. FINAL PROGRESS PAYMENT The final progress payment certificate will be prepared by the Engineer following issuance of the Completion Certificate. The Engineer will review with the Contractor all work quantities and all claims and demands of the Contractor for extra work in connection with the Contract. The final progress payment certificate will show the total amount due to the Contractor less the aggregate value of labour and material previously certified. This document may also show the amount to be retained under the applicable lien legislation, but this shall not be deemed to be part of the Engineer's certificate.



The final progress payment shall be made by the Owner within thirty (30) days of the date of the final progress payment certificate. ARTICLE 38. RELEASE OF LIEN FUND HOLDBACK If a Subcontractor or the Contractor deliver to the Engineer a written request for a Certificate of Substantial Performance of the Subcontract or the Contract, the Engineer shall within seven (7) days after the day of the request either issue such certificate or refuse to issue such certificate. If the Engineer refuses to issue such certificate he shall give written notice setting out the basis of his refusal to the Contractor and the Subcontractor or to the Contractor as the case may be. If the Engineer issues such certificate he will give copies thereof as required by the Builders' Lien Act. If the Engineer issues such certificate, the appropriate amount of holdback applicable to the Subcontract or Contract, as the case may be, shall be released from the lien trust fund by the Trustee for the Owner and the other Trustee, or, if there is no separate lien trust fund, by the Owner alone, seven (7) days after the latest of:

(a) the date upon which the release is permitted under the provisions of the Builders' Lien Act; or

(b) the receipt by the Owner of the holdback release documents described in Article

36 in a form satisfactory to the Owner. Where the request for a Certificate of Substantial Performance is from a Subcontractor, or is related to a Subcontract, the Contractor shall submit, to the Engineer, verification that the Subcontract, in accordance with the work covered by the Subcontract agreement, is indeed substantially complete. ARTICLE 39. SUBSTANTIAL PERFORMANCE Substantial Performance is defined under Section 3 of the Builders' Lien Act of Saskatchewan as:

(a) when the improvement to be made under that contract or subcontract or a substantial part of the improvement is ready for use or is being used for the purposes intended; and

(b) when the improvement to be made under the contract or subcontract is capable of

completion or where there is a known defect, correction, at a cost of not more than the aggregate of: (i) 3% of the first $500,000 of the contract price or subcontract price; and (ii) 2% of the next $500,000 of the contract price or subcontract price; and

(iii) 1% of the balance of the contract or subcontract price. And, as defined in the Act:

(a) where the improvement or a substantial part of the improvement is ready for use or is being used for the purposes intended and the remainder of the improvement



cannot be completed expeditiously for reasons beyond the control of the Contractor or Subcontractor, as the case may be; or

(b) where the Owner and the Contractor or the Contractor and Subcontractor, as the

case may be, agree not to complete the improvement expeditiously; the price of the services or materials remaining to be provided and required to complete the improvement shall be deducted from the contract or subcontract price in determining substantial performance. ARTICLE 40. GUARANTEE PERIOD Neither the Completion Certificate nor a Certificate of Substantial Performance nor any payment by the Owner shall relieve the Contractor of responsibility for faulty materials or defective workmanship. The Contractor guarantees to maintain the Work against any defects arising from faulty installation, faulty materials supplied under the Contract or faulty workmanship which may appear within one (1) year of the date of the Completion Certificate. If a Certificate of Substantial Performance has been issued, the guarantee period shall begin from the date of such notice except for the work still to be performed and the defects and deficiencies still to be corrected which are listed on such notice. Faulty materials shall be replaced and any defects discovered and failures which occur during the guarantee period shall be rectified to the satisfaction of the Engineer and in accordance with the Contract Documents, including, if deemed necessary by the Engineer, replacement of all or a portion of the Work. The same guarantee as is herein provided and for the same period shall attach to such replacement materials or rectified work and the period shall begin on the date the Engineer or Owner accepts such replacement material or rectified work. If the Owner observes through use of the Works, or if it is discovered by tests or inspection of the Works prior to the end of the guarantee period, that a deficiency or defect exists in the materials or workmanship in respect to the Works, the Owner shall immediately notify the Contractor, by whatever means are available, of the defect or deficiency and instruct him to rectify the fault. Such notification shall be confirmed by the Owner in writing to the Contractor. In the event that remedial work, in the opinion of the Owner, must be done immediately to prevent serious damage, injury, loss of life, or to avoid inconvenience to the public or possible claims by the public, the Owner may perform or cause to be performed the necessary work and shall notify the Contractor accordingly. Work required under guarantee shall, except as otherwise provided herein for emergencies, be carried out by the Contractor or his representative within ten (10) days of the Owner's written instruction to perform the work. In the event that this work is not done by the Contractor within the ten (10) day period, or such period as may be approved by the Engineer, the Owner may take whatever action is necessary to have the work done. All costs resulting from a necessity to do work under the guarantee requirement, whether it be done by the Contractor, his representative, or the Owner, as provided herein, shall be borne by the Contractor. The Contractor shall, in addition, be liable to the Owner for all expenses, losses



or damages incurred by the Owner as a result of such faulty materials and defective workmanship as are referred to in the first paragraph of this Article, or as a result of the Contractor's failure to meet the guarantee requirements as specified herein, including, but without limiting the generality hereof, all costs of engineering, inspection and testing work.

ADDITIONAL ARTICLES The following Articles are hereby added to the General Conditions: ARTICLE 41. TERMINOLOGY The term "bid" and "tender" have the same meaning in this document and may be used interchangeably. This applies as well to derivatives of these terms, such as "bidder" and "tenderer", "bid form" and "tender form", "total bid" and "total tender", "bid price" and "tender price", or similar terms. The term Supplementary Conditions and Supplementary General Conditions have the same meaning in this document and may be used interchangeably. ARTICLE 43. INSURANCE Without limiting any of Contractor’s obligations or liabilities under the Contract Documents, Contractor shall, and shall cause its Subcontractors to, obtain and continuously carry, while Work is being performed and while any remedial or warranty work is being undertaken, at Contractor’s own expense and cost, the following insurance coverage with minimum limits not less than those stated: Liability Insurance

General Liability Insurance, in a form acceptable to Owner, with limits of not less than $2,000,000.00 inclusive per occurrence for bodily injury, death and damage to property, including loss of use thereof. Such coverage shall be endorsed to include Products and Completed Operations hazards, Contractual Liability (including liability assumed under this Contract), and Owners and Contractors Protective Liability coverages, and shall cover liability arising out of this Contract and all operations necessary or incidental thereto.

The liability insurance shall include the Owner and the Engineer as additional insureds with respect to this contract and contain a cross liability clause.

Automobile Insurance (Owned and Non-Owned)

Automobile Liability Insurance with respect to licensed vehicles, with coverage limits of not less than $2,000,000.00 inclusive per occurrence for bodily injury, death and damage to property, covering all licensed vehicles owned, leased, rented or used by Contractor.

All policies of insurance shall be in a form acceptable to Owner and shall not allow subrogation claims by the insurer against Owner. All policies of insurance shall provide that at least 30 days prior written notice be given to Owner in the event of cancellation or amendment restricting coverage.



Prior to commencing Work, Contractor shall provide Owner with Certificates of Insurance in a form acceptable to Owner, and with a letter from the insurer stating that the insurance provided complies with the requirements of the Contract. Deductibles, if any, which are applicable to the insurance specified herein, shall be borne by Contractor. The specified limits of insurance and coverages in no way define or limit the obligation of Contractor to indemnify Owner in the event of loss. ARTICLE 44. GOODS AND SERVICES TAX Unit and lump sum prices and the Total Bid price in the Bid Form are to be shown exclusive of GST. The amount of GST payable by Owner on goods and services provided under this Contract is in addition to the Contract Amount and is to be shown on a separate line on the Bid Form. It is also to be shown separately on all Progress Claims and/or Progress Payment Certificates. If Owner is exempt from GST, a Certificate of Exemption will be issued to Contractor following Award. Any tax rebates which may be applicable under current legislation will be claimed by Owner and will accrue to the benefit of Owner. Contractor may be required to provide documentation, in support of Owner's claim, regarding the costs of supply of certain materials incorporated into Work. ARTICLE 46. SASKATCHEWAN E & H TAX Unit and lump sum prices and the Total Bid Price in the Bid Form are to be shown inclusive of Saskatchewan E&H Tax. The terms invoice price and price when used in the Contract Documents will be deemed inclusive of Saskatchewan E&H Tax. Any tax rebates which may be applicable under current legislation will be claimed by the Owner and will accrue to the benefit of the Owner. The Contractor may be required to provide documentation regarding the costs of supply of certain materials incorporated into the Work in support of the Owner’s claim. In the event the Contractor is a non-resident of Saskatchewan, the Contractor shall forthwith, upon the execution of Contract Documents, furnish the Owner with written evidence:

(a) That payment of a sum equivalent to the product of the Saskatchewan Provincial Tax rate and the total contract amount has been received by the Saskatchewan Minister of Finance; or

(b) That a bond or other security acceptable to the Minister has been posted, in the

amount of the product of the Saskatchewan Provincial Tax rate and the total contract amount.



Final payments under the contract may be withheld by the Owner pending the Owner’s receipt of a certificate form the Director of E&H Tax Branch for Saskatchewan Revenue and Financial Services confirming that all non resident contractors have fully paid the E&H Tax. ARTICLE 48. TITLE TO MATERIALS Title to all Materials shall, unless otherwise agreed in writing, vest in the Owner absolutely upon delivery to the Site or upon payment therefore, whichever shall first happen. The risk for all materials on site or paid for by the Owner shall remain absolutely with the Contractor until such time as accepted as being fully incorporated into the work and the work is substantially complete. Title to any Materials which are rejected by the Engineer or are ordered by him to be removed from the Site for any reason shall revest in the Contractor immediately upon receipt of notice of rejection or order for removal. ARTICLE 51. EMPLOYEE CLAUSE The Owner has not, by virtue of this agreement, appointed the Contractor or any employee thereof, as an agent for, servant of or employee of the Owner. ARTICLE 52. OCCUPATIONAL HEALTH & SAFETY CLAUSE The Contractor shall, at all times, conduct his work to ensure the least possible obstruction to traffic and inconvenience to the general public and the residents in the vicinity of the work and to ensure the protection of persons and property.

(a) The Contractor shall comply with The Occupational Health and Safety Act, 1993, S.S.c. 0-1.1 and the Regulations passed pursuant to the said Act, as both may be amended from time to time, throughout the term of the within Agreement.

(b) The Contractor shall co-operate with any Occupational Health and Safety Committee

or any Occupational Health and Safety Representative appointed by the Owner.

(c) The Contractor shall, at all times, ensure protection of persons and property and provide such equipment and medical facilities as are necessary to supply first aid services to anyone who may be injured in connection with the work.

(d) The Contractor shall give all required notices, hold all required meetings and comply

with all laws, ordinances, rules, regulations, codes, guidelines, directives and permits of all authorities having jurisdiction relating to the work or workers, which are or become in force during the term of this Agreement to ensure preservation of the public health and safety.

(e) Every Contractor shall, for himself, his heirs, executors, administrators, successors

and assigns, from time to time and at all times save harmless and keep indemnified the Owner, its successors and assigns, from and against all claims and demands upon or in respect of compliance with the above paragraph and the provisions of The Occupational Health and Safety Act, as amended, and the Regulations passed



pursuant to the said Act, as amended, and also from and against all actions, suits and other proceedings whatsoever which at any time or times hereafter shall or may be brought or prosecuted against the Owner, its successors and assigns, upon or in respect of compliance with the said paragraph and the said Act and Regulations, and also from and against all costs, damages, interest and expense, which the Owner may bear or incur for or by reason of any such claim as aforesaid being made upon or in respect of compliance by the Contractor with the said paragraph and the said Act and said Regulations.

In the event of any accident caused by or related to the work being carried out under this Contract, the Contractor shall, in addition to compliance with Provincial Regulations, submit to the Owner on Owner supplied Incident/Accident Report forms, within twenty-four (24) hours of its occurrence, a full and complete written report of the accident, including names of persons involved, nature and character of injury and property damage.

.1 Title and description of work: City of Yorkton Queen Street Water Treatment Plant, Contract 6: Electrical, Instrumentation and Controls consisting of the design and construction of the electrical and controls systems for the Queen Street Water Treatment Plant located near the City of Yorkton.

.3 Owner’s Occupancy: The Owner, Engineer and other Contractors working on the site and within the WTP are to be provided access to the WTP at all times. Careful coordination with these parties is required to ensure work outside this contract is not disrupted.

.2 Drawings and Specifications Furnished

.1 Owner will provide three (3) copies of drawings and specifications to Contractor.

.2 Additional copies of drawings and specifications are available upon request at an additional cost.

.3 Maintain at Site one complete set of drawings and specifications. Make available to Engineer at any time.

1.2 ALLOWANCES

.1 Includes: Prime Sum Allowance.

.2 Allowances, unless otherwise specified, cover net cost to Contractor of services, products, construction machinery and equipment, freight, handling, unloading, storage, installation and other authorized expenses incurred in performing the Work.

.3 The Contract Amount, and not the allowance(s), includes Contractor's overhead and profit in connection with such allowance(s).

.4 The Prime Sum Allowance is to cover the cost of PLC and HMI programming by Stockales Eletric Motor Corp. as per the quotation located in the Appendix of these documents.

1.3 PROJECT COORDINATION

.1 Coordinate progress of the Work, progress schedules, submittals, use of site, temporary utilities, construction facilities and controls.



1.4 HOURS OF WORK

.1 Perform Work in conformity with all municipal bylaws with respect to noise control, hours of work, night work and holiday work.

.2 Obtain written permission of Engineer before undertaking holiday work or night work.

1.5 RELICS AND ANTIQUITIES

.1 Relics and antiquities and items of historical or scientific interest such as cornerstones and contents, commemorative plaques, inscribed tablets, and similar objects found on site or in buildings to be demolished, remain property of Owner. Protect such articles and request directives from Engineer.

.2 Notify Engineer immediately if evidence of archaeological finds is encountered and await Engineer's written instructions before proceeding with work in area.

1.6 CUTTING AND PATCHING

.1 Approvals

.1 Submit written request in advance of cutting or alteration which affects: .1 Structural integrity of any element of Project.

.2 Integrity of weather-exposed or moisture-resistant elements.

.3 Efficiency, maintenance, or safety of any operational element.

.4 Visual qualities of sight-exposed elements.

.5 Work of Owner or separate contractor.

.6 Floors due to hydronic heating.

.2 Inspection .1 Inspect existing conditions, including elements subject to damage or movement during cutting and patching.

.2 After uncovering, inspect conditions affecting performance of work.

.3 Beginning of cutting or patching means acceptance of existing conditions. .3 Execution

.1 Perform cutting, fitting, and patching to complete the Work.

.2 Remove and replace defective and non-conforming work.

.3 Provide openings in non-structural elements of Work for penetrations of mechanical and electrical work.

.4 Perform Work to avoid damage to other work.

.5 Prepare proper surfaces to receive patching and finishing.



.6 Perform cutting and patching for weather-exposed and moisture-resistant elements and sight-exposed surfaces equivalent to original or better.

.7 Cut rigid materials using power saw or core drill. Pneumatic or impact tools not allowed.

.8 Restore work with new products in accordance with Contract Documents.

.9 Fit work airtight to pipes, sleeves, ducts, conduit, and other penetrations through surfaces. .10 At penetration of fire-rated wall, ceiling, or floor construction, completely seal voids with fire-rated material. Refer to Appendix.

.11 Refinish surfaces to match adjacent finishes; for continuous surfaces, refinish to nearest intersection; for an assembly, refinish entire unit.

1.7 PROJECT MEETINGS

.1 Administrative

.1 Engineer will administer the preconstruction meeting and construction progress meetings to be held at intervals of approximately once per month.

.2 Contractors’ superintendent and senior representatives of major subcontractors and suppliers to attend all meetings.

.3 The Engineer will record the minutes. Minutes will include significant proceedings and decisions and identify action by parties.

.4 Representatives of Contractor, subcontractor and suppliers attending meetings to be qualified and authorized to act on behalf of the party each represents.

1.8 SUBMITTALS

.1 Administrative

.1 Submit to Engineer for review the submittals listed. Submit with reasonable promptness and in an orderly sequence so as to not cause delay in Work.

.2 Work affected by submittal shall not proceed until review is complete.

.3 Review submittals prior to submission to Engineer. This review represents that necessary requirements have been determined and verified, or will be, and that each submittal has been checked and coordinated with requirements of the Work and Contract Documents. Submittals not stamped, signed, dated and identified as to the specific project will be returned without being examined and will be considered rejected.

.4 Verify that field measurements and affected adjacent Work are coordinated.

.5 Adjustments made on submittals by Engineer are not intended to change the scope of work. If adjustments affect the value of Work, state such in writing to Engineer prior to proceeding with the work.



.2 Design Drawings

.1 All design drawings to be sealed by a Professional Engineer licensed to practise engineering in Saskatchewan.

.2 Design drawings are required for, but not limited to, the following design items:

.1 Grounding.

.2 MCC and Control Panel Installation.

.3 Electrical conductor sizing.

.4 Size and location for following: cable tray, junction box, pull box, terminal box, receptacle, switch, and instrumentation.

.5 Lighting layout.

.6 Control wiring.

.7 Equipment installation details.

.8 Field loop drawings.

.3 Submit one (1) electronic copy (DWF or PDF) in 11 x 17 plot size to engineer for review prior to proceeding with any other work.

.4 Following final review of the design drawings by Engineer, provide two (2) originally professionally signed and sealed set of drawings in both 11 x 17 (ANSI B) and 22 x 34 (ANSI D).

.5 Engineer will provide the Contractor with an AutoCAD copy of the tender drawings, drawings issued as addenda during the bid period and drawings issued as change orders during the construction period.

.3 Shop Drawings and Product Data

.1 The term "Shop Drawings" means drawings, diagrams, illustrations, schedules, performance charts, brochures and other data which are to be provided by Contractor to illustrate details of a portion of Work.

.2 Indicate materials, methods of construction and attachment or anchorage, erection diagrams, connection, explanatory notes and other information necessary for completion of Work.

.3 Make changes in shop drawings as Engineer may require.

.4 Contractor's responsibility for errors and omissions in submission is not relieved by Engineer's review of submittals.

.5 Contractor's responsibility for deviations in submission from requirements of Contract Documents is not relieved by Engineer's review.

.6 Keep one reviewed copy of each submission on Site.

.7 Detail all shop drawings using the metric system. Prepare to a drafting standard equivalent to that of Contract drawings.



.8 Transmittal form or shop drawing stamp to be signed by Contractor’s authorized representative certifying approval of submission, verification of field measurements and compliance with Contract Documents.

.9 Submit one (1) electronic copy (DWF or PDF) of product data sheets or brochures for all equipment to be provided.

.10 Submit one (1) electronic copy (DWF or PDF) of shop drawings for each requirement listed above. .11 During review, Engineer will mark drawings to indicate review status:

.1 "REVIEWED" - Make and distribute additional copies as required for execution of the Work.

.2 "REVISE & RESUBMIT" - Make the necessary revisions and resubmit revised drawings for review. Show the drawing number of the first such revised drawing and show the latest revision number applicable to the drawing by adding a suffix to the drawing number as - "REV. 1", "REV. 2", etc.

.3 "NOT REVIEWED" - This notation indicates that Engineer has not reviewed the drawing. It may also be used in combination with the notation to revise and resubmit the drawing where Engineer lacks sufficient information to complete the review and requires resubmission of the drawing for review after revision.

.4 Drawings will be marked "REVIEWED" together with the notation "REVISE & RESUBMIT" when Engineer requires resubmission of a revised drawing showing corrections made as a result of Engineer's notations on the shop drawings. This procedure will not relieve Contractor of responsibility for errors or omissions in the shop drawings or of responsibility for meeting all requirements of Contract.

.12 Use only those shop drawings on the work that bear the "REVIEWED" notation.

.13 Do not revise shop drawings marked "REVIEWED" unless resubmitted to Engineer for further review. .14 Determine which shop drawings have, in addition to those drawings specifically mentioned in Contract, design elements requiring the seal of a Professional Engineer registered in the Province or Territory where Work is located, in accordance with the applicable provincial or federal engineering acts or other governing legislation. Seal such drawings before submitting them for review. Submit for review engineering calculations signed by the registered Professional Engineer responsible for the shop drawing design elements.

.15 Review by Engineer is for the sole purpose of ascertaining conformance with the general design concept. This review does not mean that Engineer approves the detail design inherent in the shop drawings, responsibility for which remains with Contractor, and such review does not relieve Contractor of responsibility for errors or omissions in the shop drawings or of responsibility for meeting all requirements of Contract Documents. Contractor is responsible for dimensions to be confirmed and correlated at the job-site, for information that pertains solely to fabrication processes



or to techniques of construction and installation and for coordination of the work of all sub-trades.

.4 Samples

.1 Submit for review, samples in duplicate as requested by Engineer.

.2 Deliver samples prepaid to Engineer's business address.

.5 Operating and Maintenance Manuals

.1 Two weeks prior to Substantial Performance of the Work, submit to Engineer, one (1) digital copy and two (2) hard copies of operating and maintenance manuals.

.2 Manual to contain professional sealed record drawings (11x17), record equipment and wiring schedules, operational information on equipment, cleaning and lubrication schedules, filters, overhaul and adjustment schedules and similar maintenance information.

.3 Bind contents in a three-ring, hard covered, plastic jacketed binder. Organize contents into applicable categories of work, parallel to CSC numbering system.

.6 Record Drawings

.1 During progress of the work, accurately and neatly record deviations from Contract Documents caused by site conditions and changes ordered by Engineer.

.2 Record locations of concealed components of mechanical and electrical services.

.3 Identify drawings as "Project Record Copy". Maintain in good condition, keep continuously updated and make available for inspection on site by Engineer.

.4 On completion of Work and prior to final inspection, submit digital AutoCAD record documents to Engineer.

1.9 SCHEDULE

1.10 QUALITY CONTROL

.1 Inspection

.1 Owner and Engineer shall have access to Work.

.2 Give timely notice requesting inspection if Work is designated for special tests, inspections or approvals by Engineer instructions, or law of Place of Work. .3 If Contractor covers or permits to be covered Work that has been designated for special tests, inspections or approvals before such is made, uncover such Work, have inspections or tests satisfactorily completed and make good such Work.

.2 Independent Inspection Agencies

.1 Independent Inspection/Testing Agencies may be engaged by Owner for purpose of inspecting and/or testing portions of Work. Cost of such services will be paid by Owner.

.2 Provide equipment required for executing inspection and testing by appointed agencies.

1.11 CONSTRUCTION FACILITIES AND TEMPORARY CONTROLS

.1 Installation/Removal

.1 Provide construction facilities and temporary controls in order to execute Work expeditiously.

.2 Remove from site all such work after use.

.2 Weather Enclosures

.1 Provide weathertight closures to unfinished door and window openings, tops of shafts and other openings in floors and roofs.

.2 Close off floor areas where walls are not finished; seal off other openings; enclose building interior work area for temporary heat.

.3 Dust Tight Screens

.1 Provide dust tight screens or partitions to localize dust generating activities, and for protection of workers, finished areas of Work and public.

.2 Maintain and relocate protection until such Work is complete.

.4 Site Storage/Loading

.1 Confine the Work and operations of employees to limits indicated by Contract Documents. Do not unreasonably encumber premises with Products.



.2 Do not load or permit to be loaded any part of the Work with a weight or force that will endanger the Work.

.5 Sanitary Facilities

.1 Provide sufficient sanitary facilities for workers in accordance with local health authorities.

.2 Maintain in clean condition.

.3 The washrooms located in the WTP are not to be used during construction.

.6 Temporary Water

.1 The City will make available temporary water from the nearest hydrant.

.2 The cost of the water will be borne by Owner.

.3 The service piping to point of use, pipe insulation, heat trace, and hook-up is the responsibility of the Contractor.

.7 Temporary Heating

.1 It is anticipated that the permanent heating system will be partially working during the course of construction, which will provide the some of the building heat requirements to maintain the inside temperature above 0 degrees Celsius. However, temporary heating may be required in certain areas of the facility during construction period, including attendance, maintenance and fuel.

.2 Construction heaters used inside building must be vented to outside or be non-flameless type. Solid fuel salamanders not permitted.

.3 Ventilate heated areas and keep building free of exhaust or combustion gases.

.4 Permanent heating system of building, or portions thereof, may be used when available. Be responsible for damage thereto.

.8 Temporary Power

.1 Owner will pay for temporary power during construction for temporary lighting and operating of power tools, to maximum supply of 230 volts and 200 amps.

.2 The temporary power is to be used by Owner, Engineer, and other contractors working within the building. Coordinate and share use of power available.

.9 Temporary Telephone

.1 Provide and pay (including monthly rental costs) for temporary telephones necessary for own use

.10 Equipment/Tool/Materials Storage

.1 Provide and maintain, in clean and orderly condition, lockable weatherproof sheds for storage of tools, equipment and materials.



.2 Locate materials not required to be stored in weatherproof sheds on site in manner to cause least interference with work activities.

.11 Project Cleanliness

.1 Maintain the Work in tidy condition, free from accumulation of waste products and debris.

.2 Remove waste material and debris from site and deposit in waste container at end of each working day.

1.12 PERMITS, FEES AND INSPECTION

.1 Submit to Electrical Inspection Department necessary drawings, specifications and schedules for examination and approval prior to commencement of work.

.2 Pay associated fees.

.3 Notify Engineer of changes required by Electrical Inspection Department prior to making changes.

.4 Furnish Certificates of Acceptance from Electrical Inspection Department on completion of work to Engineer.

1.13 BASIC PRODUCT REQUIREMENTS

.1 Product and Material Quality

.1 Products, materials, equipment and articles (referred to as Products throughout specifications) incorporated in Work shall be new, not damaged or defective, and conforming to specifications for purpose intended. If requested, furnish evidence as to type, source and quality of Products provided.

.2 Defective products will be rejected, regardless of previous inspections. Inspection does not relieve responsibility, but is precaution against oversight or error. Remove and replace defective Products at own expense and be responsible for delays and expenses caused by rejection.

.2 Storage, Handling and Protection

.1 Handle and store Products in manner to prevent damage, adulteration, deterioration and soiling and in accordance with manufacturer's instructions when applicable.

.2 Store packaged or bundled Products in original and undamaged condition with manufacturer's seals and labels intact.

.3 Store products subject to damage from weather in weatherproof enclosures.



.3 Manufacturer's Instructions

.1 Unless otherwise indicated in specifications install or erect Products in accordance with manufacturer's instructions. Do not rely on labels or enclosures provided with Products. Obtain written instructions directly from manufacturers.

.2 Notify Engineer in writing, of conflicts between specifications and manufacturer's instructions, so that Engineer may establish course of action.

.3 Improper installation or erection of Products, due to failure in complying with these requirements, authorizes Engineer to require removal and reinstallation at no increase in Contract Amount.

.4 Workmanship

.1 Execute Work by workers experienced and skilled in respective duties for which they are employed. Immediately notify Engineer if required Work is such as to make it impractical to produce required results.

.2 Do not employ any unfit person or anyone unskilled in their required duties. Engineer reserves the right to require the dismissal from site of workers deemed incompetent, careless, insubordinate or otherwise objectionable.

.5 Concealment

.1 In finished areas, conceal pipes, ducts and wiring in floors, walls and ceilings, except where indicated otherwise.

.2 Before installation, inform Engineer if there is a contradictory situation. Install as directed by Engineer.

1.14 EQUIPMENT IDENTIFICATION

.1 Provide each piece of equipment with an identification tag as indicated on P&ID.

.2 Nameplates for terminal cabinets and junction boxes to indicate system and/or voltage characteristics.

.3 Disconnects, starters and contactors: indicate equipment being controlled and voltage.

.4 Terminal cabinets and pull boxes: indicate system and voltage.

.5 Transformers: indicate capacity, primary and secondary voltages.

.6 Tag dimensions: 20 mm high, 75 mm long and 1.5 mm thick c/w hole suitable for #6 stainless steel bead chain or as approved by Engineer.

.7 Material: 24 gauge, 316 stainless steel.

.8 Lettering Process: Laser.

.9 Font: Arial, 6 mm (0.25”) height.



.10 Each equipment item to be identified as indicated on the drawing legend sheets.

.11 Affix tags to equipment with stainless steel chains or mechanically fastened.

.12 Provide samples to engineer for review.

1.15 WIRING IDENTIFICATION

.1 Identify wiring with permanent indelible identifying markings, either numbered or coloured plastic tapes, on both ends of phase conductors of feeders and branch circuit wiring.

.2 Maintain phase sequence and colour coding throughout.

.3 Colour code: to CSA C22.1.

.4 Use colour coded wires in communication cables, matched throughout system.

1.16 CONDUIT AND CABLE IDENTIFICATION

.3 Locate light switches on latch side of doors. Locate disconnect devices in mechanical and elevator machine rooms on latch side of floor.



1.21 MOUNTING HEIGHTS

.1 Mounting height of equipment is from finished floor to centreline of equipment unless specified or indicated otherwise.

.2 If mounting height of equipment is not specified or indicated, verify before proceeding with installation.

1.22 LOAD BALANCE

.1 Measure phase current to panelboards with normal loads (lighting) operating at time of acceptance. Adjust branch circuit connections as required to obtain best balance of current between phases and record changes.

.2 Measure phase voltages at loads and adjust transformer taps to within 2% of rated voltage of equipment.

.3 Submit, at completion of work, report listing phase and neutral currents on panelboards, dry-core transformers and motor control centres, operating under normal load. State hour and date on which each load was measured, and voltage at time of test.

1.23 CONDUIT AND CABLE INSTALLATION

.1 Install conduit and sleeves prior to pouring of concrete. Sleeves through concrete: schedule 40 stainless steel pipe sized for free passage of conduit, and protruding 50 mm.

.2 Install cables, conduits and fittings to be embedded or plastered over, neatly and close to building structure so furring can be kept to minimum.



1.24 FIELD QUALITY CONTROL

.1 All electrical work to be carried out by qualified, licensed electricians or apprentices as per the conditions of the Provincial Act respecting manpower vocational training and qualification. Employees registered in a provincial apprentices program shall be permitted, under the direct supervision of a qualified licensed electrician, to perform specific tasks - the activities permitted shall be determined based on the level of training attained and the demonstration of ability to perform specific duties.

.2 Conduct and pay for following tests:

.1 Power distribution system including phasing, voltage, grounding and load balancing.

.2 Circuits originating from branch distribution panels.

.3 Lighting and its control.

.4 Motors, heaters and associated control equipment including sequenced operation of systems where applicable.

.5 Systems: communications.

.3 Insulation resistance testing.

.1 Megger circuits, feeders and equipment up to 350 V with a 500 V instrument.

.2 Megger 350-600 V circuits, feeders and equipment with a 1000 V instrument.

.3 Check resistance to ground before energizing.

.4 Carry out tests in presence of Engineer.

.5 Provide instruments, meters, equipment and personnel required to conduct tests during and at conclusion of project.

.6 Submit test results for Engineer's review.

1.25 CO-ORDINATION OF PROTECTIVE DEVICES

.1 Ensure circuit protective devices such as overcurrent trips, relays and fuses are installed to required values and settings.

1.26 PROJECT CLOSEOUT

.1 Final Cleaning

.1 When the Work is Substantially Performed, remove surplus products, tools, construction machinery and equipment not required for performance of remaining Work.

.2 Remove waste materials and debris from site at regularly scheduled times or dispose of as directed by Engineer. Do not burn waste materials on site, unless approved by Engineer.



.3 Leave work broom clean before inspection process commences.

.4 Clean and polish glass, mirrors, hardware, wall tile, stainless steel, chrome, porcelain enamel, baked enamel, plastic laminate, mechanical and electrical fixtures. Replace broken, scratched or disfigured glass.

.5 Remove stains, spots, marks and dirt from decorative work, electrical and mechanical fixtures, furniture fitments, walls, and any other system components.

.6 Vacuum clean and dust building interiors, behind grilles, louvres and screens.

.7 Wax, seal, shampoo or prepare floor finishes, as recommended by manufacturer.

.8 Broom clean and wash exterior walks, steps and surfaces.

.9 Remove dirt and other disfigurations from exterior surfaces.

.2 Systems Demonstration

.1 Prior to final inspection, demonstrate operation of each system to Owner and Engineer.

.2 Instruct personnel in operation, adjustment, and maintenance of equipment and systems, using provided operation and maintenance data as basis for instruction.

.3 Review contents of manual in detail to explain all aspects of operation and maintenance.

.4 Prepare and insert additional data in operations and maintenance manuals when the need for additional data becomes apparent during instructions.

.5 Submit schedule of time and date for demonstration of each item of equipment and each system two weeks prior to designated dates, for Engineer's approval.

.6 Submit reports within one week after completion of demonstration, that demonstration and instructions have been satisfactorily completed.

.7 Give time and date of each demonstration with list of persons present.

.3 Documents

.1 Collect reviewed submittals and assemble documents executed by Subcontractors, suppliers, and manufacturers. .2 Submit material prior to final Application for Payment.

.3 Submit operation and maintenance data, record drawings.

.4 Provide warranties and bonds fully executed and notarized.

.5 Submit a final statement of accounting giving total adjusted Contract Amount, previous payments, and monies remaining due.

.6 Engineer will issue a final change order reflecting approved adjustments to Contract Amount not previously made.



.4 Inspection/Takeover Procedures

.1 Prior to application for certificate of Substantial Performance, carefully inspect the Work and ensure it is complete, that major and minor construction deficiencies are complete, defects are corrected and building is clean and in condition for occupancy. Notify Engineer, in writing, of satisfactory completion of the Work and request an inspection.

.2 During Engineer inspection, a list of deficiencies and defects will be tabulated. Correct same.

.3 When Engineer considers deficiencies and defects have been corrected and it appears requirements of Contract have been performed, make application for certificate of Substantial Performance. Refer to General Conditions for specifics of application.

1 General 1.1 SECTION INCLUDES

.1 Requirements for placing Work in a state of readiness for acceptance by Owner.

.2 Section supplements, but does not supersede, specific requirements of other Sections.

1.2 DEFINITIONS

.1 Pre-Start-Up: Pre-start-up consists of the non-operating functions required to bring Work to a state of readiness for placing systems into service. It includes, but is not limited to: cleaning, leakage and pressure testing, cold alignment checks, disinfection, system flushing, lubrication of mechanical equipment, rotation checks and wiring loop checks. Contractor shall conduct inspections of all components and sub-components and shall arrange for inspections of equipment installations by qualified equipment manufacturers’ representatives as required by Contract Documents. At this stage, deficiency lists are prepared and Contractor is to remedy outstanding incomplete or incorrect work in accordance with terms of Contract. Contractor shall obtain completed Equipment Installation Certification Forms for each specified piece of equipment and shall submit these to Engineer for review. Once Engineer is satisfied that each piece of equipment in a system or subsystem has been properly checked out and all apparent deficiencies have been remedied, a Green “Ready-to-Start” tag shall be placed on the equipment designating that the Pre-Start-Up Phase for that particular system is complete.

.2 Start-Up: Once each piece of equipment within a defined system carries a “Ready-to-Start” tag, then that individual system shall be started and tested. Both “Dry-Run” and “Wet-Run” tests are required. Contractor shall conduct performance tests of all equipment in conjunction with the manufacturers’ representatives as required by the Contract Documents and under the witness of Engineer. Deficiencies that are uncovered shall be corrected and retesting shall be conducted as required. Start-Up Completion Certificates shall be prepared by Contractor certifying that the equipment or system is complete, successfully tested, started and ready for commissioning and continuous operation.

.3 Commissioning: Commissioning consists of placing all the various systems in Work into continuous operation in an orderly manner. Contractor is responsible for the commissioning activities and shall have equipment manufacturer representatives at the site, as well as qualified mechanical, electrical, control and instrumentation personnel. Contractor may be assisted by Engineer relative to process considerations and by Owner’s operations and maintenance staff. Commissioning is considered to be complete when all systems have been operating continuously for a period of 80 hours without fault and in accordance with the specified performance requirements.



1.3 QUALITY CONTROL

.1 Appoint a qualified operations specialist as Testing and Commissioning Manager to manage, coordinate and supervise the Testing, Start-up and Commissioning Program. Qualifications to include minimum 5 years experience instrumentation, building systems and piping system. Provide resume to Engineer for review prior to commencement of program.

.2 When specified in individual Sections of Contract Documents, require manufacturer or supplier to provide authorized representative(s).

.3 Testing:

.1 Provide all required testing equipment and ancillary equipment to verify specified performance.

.2 Calibrate all test equipment to plus or minus 2 percent of actual value at full scale.

.3 Employ recognized, industry standard calibration procedures or as specified in individual Sections.

.4 Submit calibration plans and results to Engineer.

.4 Attend and participate in Pre-start-up, Start-up and Commissioning workshops with Engineer and Owner representatives.

1.4 SAFETY

.1 Ensure all requisite safety equipment, devices, detectors, materials and procedures are in place, tested and operational before commencing.

.2 Conform to requirements of all regulatory authorities having jurisdiction.

.3 Maintain communications with fire, police, environmental and health authorities.

1.5 ENVIRONMENTAL PROTECTION

.1 Comply with all requirements of federal, provincial and local jurisdictions having authority.

1.6 PRE-START-UP

.1 Prepare Pre-start-up Equipment Checkout Listing which includes all Process Mechanical, Commodity-retaining Structures, Building Mechanical, Instrumentation and Controls and Electrical Equipment. Group listing into logical systems or sub-systems for orderly progression of activities during start-up.

.2 Identify all pieces of equipment by Tag Numbers.

.3 To extent practical, remove all scaffolding, debris, planks tools and other construction-related material.



.4 Remove all sand, silt, dirt and debris from tanks, channels, chambers, instrumentation and control panels and electrical panels and vacuum clean.

.5 Clean all surfaces of tanks and conduits, including walls, roofs, floors and columns with high pressure water jets or as specified in individual Sections.

.6 Clean interior of all pipes and fluid-carrying equipment, including pumps and inspect with Engineer present.

.7 Conduct leakage and pressure tests in accordance with individual Sections.

.8 Conduct disinfection procedures in accordance with requirements of individual Sections.

.9 Provide Checkout Tag for each piece of equipment.

.10 Checkout Tags to be filled in by each applicable trade verifying that all appropriate checks have been made, including but not limited to, cleaning, inspection, leakage testing, lubrication, rotation, calibration, adjustment and wire loop checks.

.11 Equipment Manufacturer’s Representatives to inspect equipment in accordance with applicable individual Sections. Certify equipment has been properly installed and is ready to start.

.12 Contractor to submit Equipment Checkout Listing to Engineer. Equipment Checkout Listing to include the following:

.1 System description.

.2 Equipment Name and Tag Number of each component within System.

.3 Supplier’s Name of each equipment component, complete with sign-off where applicable.

.4 Mechanical Trade sign-off (Blue and White Cards completed).

.5 Electrical/Instrumentation Trades sign-off (Red, Yellow and White Cards completed).

.6 Contractor sign-off (all cards completed).

.13 Attach the following to Equipment Checkout Listing:

.1 Manufacturer’s Representatives’ Installation Certification Form.

.2 Hydrostatic Test Certification Forms for Process Tanks.

.3 Pressure Test Certification Forms for Process Tanks.

.4 Disinfection Certification Forms where applicable.

.5 Instrumentation and Electrical Equipment Loop Check Forms.

.6 Instrumentation Calibration Forms.



.7 Listing of outstanding contract deficiencies for each system.

.14 Request, in writing, a Pre-Start-Up Inspection by Engineer. Once Engineer has conducted the Pre-Start-Up Inspection and is satisfied that each piece of equipment has been properly checked-out, a green “Ready-to-Start” tag will be attached to each piece of equipment in the system.

1.7 START-UP

.1 Conduct workshop with Owner’s Representatives and Engineer to identify and integrate activities of all parties in start-up of Work. Prepare Start-up Plan which includes the following:

.1 Plan objectives.

.2 Facilities to be started.

.3 Sequence of events and start-up schedule.

.4 Responsibilities of each party.

.5 List of individuals involved complete with contact telephone numbers.

.6 English language description of each systems’ intended means of operation.

.7 Initial operating conditions and parameters.

.8 Intended final operating conditions and parameters.

.9 Laboratory requirements and arrangements for outside testing services.

.10 Sampling and monitoring requirements.

.11 Contingency plans to respond to potential emergencies.

.12 Safety and environmental considerations.

.2 Develop Owner Training plan and implement.

.3 Provide Operating and Maintenance Manuals as required by individual Sections.

.4 Conduct Dry Run Tests for all equipment, witnessed by Engineer.

.5 Conduct Wet Run Tests for all equipment, witnessed by Engineer.

.6 Correct any deficiencies uncovered during testing.

.7 Provide Pre-Commissioning Certification Form.

1.8 COMMISSIONING

.1 Assemble Contractor’s commissioning team to respond to requests for assistance by Engineer or Owner. Team to consist of representatives of Contractor and Contractor’s mechanical, electrical and instrumentation staff or subcontractors, as appropriate.



.2 Contractor’s representative to be at site during normal working hours for entire commissioning period. Contractor’s commissioning team to be at site during normal working hours for the first 5 days of commissioning of each identified commissioning package and available within 4 hours’ notice during remainder of each commissioning period. Contractor’s representative and the commissioning team may be required to be at site outside of normal working hours during the commissioning period, at the discretion of Owner or Engineer and shall be available within four hours’ notice.

.3 Remove and clean or replace as required all permanent and temporary filters and strainers in pipeline systems; replace HVAC filters; dewater and clean sumps and leave process systems clean and filled with clean water, unless otherwise directed by Engineer.

.4 Owner to commission Work in stages based on commissioning packages. Each commissioning package to consist of fully functional portions or groups of operationally tested systems capable of operating in concert to provide a complete service or function that is of value to Owner.

.5 Commissioning to be generally conducted in manual mode first, followed by automatic operation.

.6 Period of time for continuous automatic operation for acceptance of commissioning is 80 hours with all systems operating continuously without fault and all process, mechanical, control and electrical equipment free of vibration, overloading or overheating and functioning in accordance with specified rates, methods and performance.

.7 Failure of any part of Work during the period of continuous automatic operation will require restart of that portion or system of Work, following rectification of the fault or failure.

.8 If it is necessary to suspend start-up, commissioning or continuous operation during the commissioning period due to deficiencies or failure in any system, the full cost of interruption, call-back, testing and resumption of start-up, commissioning, or continuous operation shall be paid by Contractor.

General Information In this proposal we are supplying MCCs from Rockwell Automation with Stockdales Electric Motor Corp installing Rockwell Automation Control Logix Processors and hardware into Control Bay MCCs Sections. The MCCs are split into Main MCCs and Control Bay MCCs. The Control Bay MCC sections are the sections that Stockdales are mounting the hardware into. The Main MCCs has the hardware based off your motor lists. The following pages detail the MCC quotes, hardware and bill of material, along with the Stockdales quote, hardware and bill of material. We were able to add the Feeder Circuit Breakers for the manual starters without increasing the size of the MCC line-up. Other information included is the spec’s for the Automatically Switched Harmonic Filter / Capacitor Bank which has the provision to be increased in KVar rating to a total of 300Kvar with no additional floor space requirements. The remaining pages are the drawings showing the MCC single lines along with the layout drawings, and the final drawings are sample typical wiring diagrams. The wiring diagrams will be modified to meet the control needs of this project. Pricing as Follows: Main MCC (Includes) -27 Sections of MCC containing Motors Starters, Feeder C-Bs (For Harmonic Filter and Manual Motor Starters) - Power Monitor with Ethernet mounted in Incoming Section -Automatically Switched Harmonic/Filter Capacitor Bank -Transformers and lighting Panels (Circuit Breaker Panels) -Mounting and installing of transfer switch that will be supplied through the Generator Package -Spaces for Future Motor Starters -Project Management Services -Freight from Rockwell Automation to City of Yorkton WTP Site. Price: $ 232,521.00 Automation (Includes) -Rockwell Automation Control Logix Processors and hardware mounted into Control Bay MCCs Sections -Freight from Stockdales in Regina to City of Yorkton WTP Site. This revised quote reflects the recent design changes to incorporate all PLC hardware into the motor control center control bays. All control bays are supplied by Rockwell PLC hardware counts have been based on an I/O count spread sheet provided by AE on Thursday June 04, 2009. Clarifications 1. No programming included in price 2. No onsite support or commissioning included in price. 3. No HMI or SCADA system included in price. 4. There is no provision for a Master Radio in this quote. 5. Without details on field connections and loop configurations, we are unable to
