Pre-Qualification Requirements (PQRs):

The prospective bidders have to comply with the following pre-qualification requirements and submit documentary proofs thereof.

(i) The bidder should be an Accredited Energy Auditing agency certified by Bureau of Energy Efficiency (BEE)/ empanelled by BEE for carrying out the proposed job. Documentary proof such as authorization issued by BEE/ inclusion of its name in the list of Empaneled Accredited Energy Audit Firms (EmAEA), must be furnished alongwith the tender.

(ii) The firm should have sufficient number of certified Energy Auditors duly accredited from BEE for carrying out the proposed job.

(iii) The firm should have experience of minimum three years of conducting Energy Audit of TPPs. The firm shall submit satisfactory performance certificates and copies of the work orders for conducting Energy Audit or similar type of work.

(iv) The firm should not be blacklisted by any Government/ Public sector Power Utility during the last three years. A self-attested undertaking to this effect shall be given by the bidders.

(v) Obligations of accredited energy auditor: - For the work of M&V Audit, the accredited energy auditor shall constitute a team comprising of a team head and other members including experts: (a) Provided that a person who was in the employment of PSPCL within the previous 4 years, shall not be eligible to perform the work of M&V Audit for PSPCL. (b) Provided further that any person or firm or company or other legal entity, who was involved in undertaking energy audit of any of the designated consumer (GHTP, Lehra Mohabbat/ GGSSTP, Ropar) within the previous four years, shall not be eligible to perform the work of M&V Audit for such designated consumer.

GURU HARGOBIND THERMAL PLANT, LEHRA MOHABBAT STANDARD TERMS AND CONDITIONS

The instructions given below must be read very carefully, as failure in compliance with any of these may render the offer liable for rejection.

TERMS AND CONDITIONS:

1. A set of tender documents containing technical specifications, general instructions, terms & conditions can be purchased from this office/ downloaded from PSPCL website

https://pspcl.abcprocure.com or www.pspcl.in and the cost of tender specification

must be paid through PSPCL Cash Receipt or through Demand draft of Rs. 1180/-(Rupees one thousand one hundred eighty only) in favour of Accounts Officer/O&M, GHTP, Lehra Mohabbat, payable at State Bank of India, GHTP, Lehra Mohabbat or at any other scheduled bank payable at Rampura-Phul, Distt. Bathinda. It shall be clearly indicated on the envelope that “DD of cost of tender specifications is enclosed herein”.

2. The bidder should submit all the relevant documents along with the offer/bid including the detail of offices, communication facilities available at such offices along with full addresses and telephone & Fax numbers and e-mail address.

3. Tenders of the firms, which do not submit the hard copy of the Demand Draft / Cash Receipt towards cost of specification by the last date and time of bid submission shall not be accepted/ opened. Tender document fee should be sealed in envelope containing Part-I of the bid.

4. Bidders have to upload Technical and Price bid in Electronic format on PSPCL website https://pspcl.abcprocure.com till the last due date & time for submission. However, the hard copy of the technical bid alongwith all documents shall be submitted by the bidder in the office of Superintending Engineer/FE&T, GHTP, Lehra Mohabbat before the due date of opening.

5. While submitting the tender, the tenderer shall be required to file an affidavit duly attested by the notary public that contents of the documents submitted by him are correct. In addition to this, a comprehensive detail of the documents satisfying the eligibility criteria shall be submitted along with the technical/ commercial bid.

6. In case the due date of opening of the tender happens to be a holiday, the tenders will be received and opened on the next working day at the same time and place.

7 PSPCL reserves the right to reject any or all tenders without assigning any reason and no claim on this account will be accepted. PSPCL will not be held responsible for this and will not pay any expenses or losses that may be incurred by the tenderers in the preparation/ submission of tender.

8. The tenderers are required to submit the tenders in accordance with the Notice Inviting Tender (NIT)/ PSPCL’s Tender specification, clearly stating that all the terms and conditions of the PSPCL’s Tender specification/ NIT are acceptable to them. Any deviation from PSPCL’s standard terms and conditions (Technical & General Conditions) should be clearly mentioned in “Deviations Schedule” (Annexure-IV), otherwise all terms and conditions shall be deemed to have been accepted by the tenderer.

9 The tenderers shall supply a list of two authorized persons with their signatures duly attested on the firm’s letter head so that they may represent on behalf of the firm and participate in the opening process of the tenders. The firm shall supply one such copy in

the tender and one copy should be with the authorized person, otherwise he will not be allowed to participate in the opening of tender. Tender must bear full /complete signature of a person authorized as per constitution and composition of the firm. Authenticating documents to prove authority of signatory (Legal power of attorney in favour of signatory) must be attached with the tender. Name and Designation of the so authorized signatory must be indicated with each signature. It may be noted that in case signatures do not tally or differ, such signatures shall not be considered authentic. All the correspondence with PSPCL shall also bear signature of the so authorized signatory, in this manner. Any correspondence with improper signatures shall not be entertained.

10. Tenderers should submit their offer in unambiguous wording failing which PSPCL’s interpretation will be final.

11. No relaxation, whatsoever of any sort, would be given in the NIT specifications after the tenders have been received, opened/ processed.

12. The qualifying criteria shall be evaluated by SE/ FE&T, GHTP, Lehra Mohabbat, whose decision shall be final.

13. In case of any dispute regarding issue of tender documents or any other dispute,

Chief Engineer/ GHTP, Lehra Mohabbat shall be the final authority and no claim on this account shall be accepted.

14. The price bid of the tenderers who fulfil the pre-qualification conditions prescribed in the tender specifications shall be opened later on for which the date & time shall be intimated to the qualifying bidders. In case the above scheduled date happens to be a holiday, the bids shall be opened on the next working day.

15. The tenderers are required to estimate the quantum of work for which they should study for themselves and anticipate their commitments towards the work and quote their rates carefully taking into account all the probable contingencies.

16. Negotiations if at all required shall be held only with lowest tenderer.

17. Tenders received after the due date and time specified in the notice inviting tender/Tender Specifications shall not be considered and will not be opened.

18. PSPCL/GHTP, Lehra Mohabbat reserves the right to reject any or all the bids without assigning any reason and no claim on this account will be accepted.

19. SPECIFIC INSTRUCTIONS:

(i) The bidders may download tender specifications from PSPCL’s website

https://pspcl.abcprocure.com or www.pspcl.in. The bidders should read all the terms

& conditions mentioned in the Tender Document and seek clarification, if any, from the Tender Inviting Authority.

(ii) The tender shall be prepared as a 3-part bid and submitted as under: Part-I : Tender Document Fee & Earnest money. Part-II : Technical & Commercial bid. Part-III : Price bid. The tender shall be submitted in two separate sealed envelopes marked accordingly to Superintending Engineer/ FE&T, GHTP, Lehra Mohabbat before due date and time.:- First envelope containing the tender document fee & earnest money (EMD) and Second envelope containing the main tender (three copies of technical/ commercial bid). The envelopes containing the tender document fee and earnest money shall be opened first and in case the deposit of tender document fee and earnest money is in accordance with the terms of notice inviting tender, only then the envelope containing the technical/ commercial bid shall be opened.

Technical and Commercial bid (Part-II) consists of following components:- a) Technical qualification: Tenderer shall submit technical bid as per Annexure-II as

required in tender documents. b) Commercial Conditions: Tenderer will submit detailed commercial conditions except

the price.

Tenderer will submit Price Bid (Part-III) in Annexure-III electronically through e- tendering. Part-III (Price Bid) shall be opened after finalization of technical evaluation of the received tenders and tenderers will be informed accordingly. Price bid (Part-III) of the tenderers who do not submit requisite EMD or not qualify commercial and technical conditions will not be opened. In addition to this every document submitted by the tenderer shall be serially numbered and bound in a booklet form. The details of the experience, manpower etc. as per the pre-qualification conditions shall be properly exhibited in a comprehensive manner in the tender. Bidders have to submit Technical/ Commercial and Price bids in the office of Superintending Engineer/ FE&T, GHTP, Lehra Mohabbat. till the last due date & time for submission along with all documents. Tenders received through telegraph/telex/FAX, conditional tenders and incomplete tenders shall not be accepted.

(iii) In case the contractor fails to deliver the results in the initial trial period of three months, the order shall be terminated. In such event, the work may be considered for allotment to the next successful tenderer without inviting fresh tenders. However, in case it is decided to invite fresh tenders, the contractor who had failed to execute the order to the satisfaction of GHTP/ GGSSTP and on whom order was cancelled after three months trial, shall not be eligible to participate.

(iv) Prices quoted by the bidder should be competitive and as per prevailing in the market and should be firm. Prices should be quoted per Thermal Power Plant.

(v) Before tendering, bidders are advised to inspect the site of work to take view the actual work & other prevalent conditions, facilities available, position of material & labour. No claim will be entertained later, on the ground of lack of knowledge.

(vi) Plant authorities will plan and give the contractor a schedule for carrying out the job for each Thermal Power Plant. The contractor shall furnish the bar chart/ PERT schedule of all the activities to be carried out for completing M&V audit assignment before start of the work.

(vii) The participation in the tender does not confirm the eligibility of the tenderer, which shall be subsequently adjudged after opening of the tender.

(viii) Tender shall be opened on the date and time as specified in the 'Notice Inviting Tender', in the presence of the tenderers or their authorised representatives who may like to be present.

(ix) The quantum of work mentioned in the NIT can be increased/ decreased by GHTP at the time of award of the contract or at any time during the pendency of the contract.

(x) All stages of work shall be done to mutual convenience.

(xi) Accommodation at TPP Guest Houses, if available, shall be provided at the rates applicable to PSPCL officers/ employees.

(xii) The prospective bidders are requested to visit the PSPCL website periodically even after down loading the specification to check for corrigendum issued, if any.

(xiii) The work’s inspection, if need is felt may be carried out by PSPCL.

(xiv) PSPCL may distribute the total quantity of work mentioned in the NIT among more than

one bidder or any item of the work may be dropped from the scope at the time of allotment of work. The contractor shall neither be entitled for charges for the particular item dropped nor it shall raise any damages on that account.

(xv) No deviation will be agreed and Tenderer should agree to all terms and conditions as per the tender documents.

20. EARNEST MONEY DEPOSIT

(i) All tenders must be accompanied by Earnest Money at the rates prescribed in the tender documents except in case of those tenderers who are specifically exempted thereunder. The tenders of those bidders who do not submit requisite EMD before the due date shall not be considered. The Tenderer shall be required to submit the EMD @ 2% of tender value rounded off to the next multiple of Rs. 10/- on the higher side subject to a minimum of Rs. 5000/- in form of demand draft in favour of Accounts Officer/O&M, GHTP, Lehra Mohabbat payable at State Bank of India, GHTP, Lehra Mohabbat or at any other scheduled bank payable at Rampura Phul, Distt. Bathinda, Public Sector undertakings fully owned by Punjab Government/Central Government / other state Governments are exempted from depositing earnest money provided that a certificate of Government ownership shall be submitted in the envelope of earnest money.

(ii) The details of the Bank draft and amount thereof should be superscribed on the cover of the bid.

(iii) The bid/s or the offer/s, without the Earnest Money, shall be summarily rejected.

(iv) The Earnest Money Deposit shall be liable to be forfeited if the bidder withdraws his bid for any reason, whatsoever, during the validity period or the successful bidder who fails to deposit the Security Deposit or to execute the order in full or part as per terms of the order.

(v) No interest shall be payable on the above Earnest Money Deposit.

21. RATES: The rates quoted by the bidder should be firm. Any taxes, duties, any other government levies and Goods & Service Tax (GST) applicable at the time of submission of tender shall be clearly indicated. Tenderers must carefully study the technical specification and general terms & conditions before preparation/ submission of Tender. The rates should be quoted as per Price Bid Proforma (Annexure-III). The rates quoted must be valid for a period of at least 120 days from the date of opening of tenders.

22. SECURITY DEPOSIT: The EMD in respect of successful tenderer shall be converted into security deposit.

(i) The security deposit will be deducted from the running bills at the rate of 5% of the gross value of the work done from time to time after taking into account the EMD converted as security.

(ii) The amount of said security deposit shall remain with the PSPCL till the contract is satisfactorily executed. No interest shall be payable on the amount of the Security Deposit.

23. PAYMENT SCHEDULE: The contractor shall submit the bills after completion of work for each PSPCL Thermal Power Plant (TPP) to concerned TPP. The said bills shall be duly audited and passed by the concerned TPP for payment. 100% payment with full taxes and duties is payable within 30 days after the acceptance of final Report of M&V Audit by the respective plant

authorities and BEE. The invoices/bills in Triplicate shall be submitted to SE/ FE&T, GHTP, Lehra Mohabbat/ GGSSTP, Ropar for processing and further submission to Accounts section for making payment.

24. PERIOD OF CONTRACT: The work of PAT M&V is to be completed and submitted to BEE by 25-07-2019 or upto 5 working days before any other date in case it is revised by BEE. However, if it is observed at any time that the obligation under this contract are not performed up to PSPCL’s satisfaction, PSPCL may terminate this contract during tenure of the contract, without any liability to PSPCL on any account, towards the contractor.

25. PENALTY FOR LATE COMPLETION: The penalty @ 0.5% of value of uncompleted portion of work for every week of delay in completion will be levied. However, the total penalty for late completion will not exceed 10% of the total contract value.

26. BASIS OF CONTRACT:-

(i) The firm shall depute a team of certified Energy Auditors/experts for collection of data/details.

(ii) The firm shall bring all the required instruments (i.e. calibrated) for conducting of M&V

Audit.

(iii) Superintending Engineer/FE&T shall nominate the required O&M Engineers who are fully conversant with different equipments & system of the power plant for overall coordination and execution of the assignment.

27. DELIVERABLES: - (i) On completion of M&V audit, the preliminary report shall be submitted to SE/FE&T, for

comments/suggestions. GHTP, Lehra Mohabbat/ GGSSTP, Ropar shall give comments on preliminary report facilitating for submission of final report.

(ii) The firm shall submit six copies of the final audit report (including soft copy) to SE/FE&T, duly incorporating the suggestions mutually agreed upon between GHTP, Lehra Mohabbat/ GGSSTP, Ropar & the bidder.

28. RESPONSIBILITIES OF THE CONTRACTOR:- The contractor and all persons engaged by him on the subject work shall confirm in all respects with the provisions of all Acts, Orders, Regulations, etc made by the competent authority with regard to Insurance, Safety, Health & Welfare of the persons engaged and for this all necessary precautionary measures has to be taken by the contractor only. The contractor shall hold complete responsibility for all the accidents to their workers taken place within & outside premises and consequences there from. GHTP/ GGSSTP shall not pay any compensation.

29. DEDUCTION OF INCOME TAX:- Income tax at the prevailing rates shall be deducted at source from the bills of the contractor as per the income tax Act and Rules. Necessary TDS certificate will be issued by the paying authority.

30. GOODS AND SERVICE TAX (GST): PSPCL is registered centrally in the state under GSTIN 03AAFCP5120Q1ZC. The firm must have GST Registration number and same should be provided while quoting the rates. If the firm is registered under Composite Levies’ then the same should be clearly mentioned in the quotation.

(i) GST shall be paid extra (as applicable) as per prevailing provisions of GST Act & Laws against submission of documentary proof of having deposited the same.

(ii) Further, a Declaration Certificate as given below shall be submitted by the supplier.

a) Certified that the transaction on which the GST is being claimed has been/will be included in the return submitted/to be submitted to the GST Authorities and the amount claimed from Punjab State Power Corporation Limited has been/shall be paid to the GST authorities.

b) Certified that the services on which the GST has been charged has not been exempted under GST act or the rules made there under and that the GST charged on these services is not more than what is payable under the provisions of relevant act.

c) Certified that we shall indemnify the Punjab State Power Corporation Limited in case, it is found at a later stage that wrong or incorrect payment had been received on account of the GST, the same will be refunded.

d) Certified that any loss due to non-availability of ITC or Levy of penalty /interest payable by PSPCL on account of non-filing of return or non-compliance or any mis-statement given under the provisions of GST Act shall be recoverable from us.

e) Certified that we are registered dealer under the GST Act and our Registration no. is__________________________________

(iii) Input Tax credit:-The firm shall quote the rate after considering the input tax credit available under GST.

(iv) GST-TDS: GST-TDS (CGST @ 1% and SGST @ 1% or IGST @ 2%) will be applicable in case total value of taxable supply under a contract (excluding GST) exceeds Rs. 2.5 lakhs.

(v) GST @ 18% will be applicable on penalty amount (if levied).

31. Validity of Tender: The offer shall be kept valid for at least 120 days from the date of opening of price bid. The offers shall be firm and must be valid for atleast 120 days from the date of opening of tenders. Any withdrawal or modification of the offer shall not be permitted. The tenderers revising their offer or withdrawing the same within the validity period after opening of the tenders are liable to be rejected. It may also lead to forfeiture of the Earnest Money without assigning any reason.

32. If the bidder is registered under MSMED Act-2006 then the bidder will submit the documentary evidence of being a Micro, Small or Medium Enterprise. If the bidder does not submit the proof at the time of submission of its bid, it shall be considered as a Large Enterprise.

33. All other terms and conditions are as per tender specifications.

NOTE: In case there is any conflict in the interpretation of provisions given in the Sections and the Annexures, then provisions laid down in Sections shall have overriding effect.

SCOPE OF WORK

The scope of work involves conducting Monitoring and Verification (M&V) audit of

Two no. Thermal Power Plants of PSPCL as listed below:

(i) Guru Hargobind Thermal Plant (2x210 + 2x250 MW), Lehra Mohabbat

(ii) Guru Gobind Singh Super Thermal Plant (4x210 MW), Ropar

The scope of work shall comprise of the following:-

1) To Check-verify and certify all the relevant data of Assessment Year 2018-19 and to

prepare the following Forms after the completion of 2nd PAT Cycle on 31-03-2019,

which are to be submitted to BEE upto 25-07-2019:

i) Form A: Performance Assessment Document ii) Form B: Certificate of Verification iii) Form C: Certificate of Check Verification iv) Form D: Compliance of Energy Consumption Norms & Standard

Document v) Form-1: Verification of Form-1, Sector Specific Performa as per BEE

guidelines

2) The Accredited Energy Auditor (AEA) is to ensure that these forms are ready and

available to respective PSPCL TPP for submission to BEE as per the stipulated dates.

3) The AEA is to undertake the certification and checking-verification of all the relevant

documents at site at respective PSPCL TPP for the above job as per BEE guidelines.

4) Any other left out activity essential for PAT M&V and all activities enlisted in guidelines

issued by Bureau of energy Efficiency (BEE)/GOI shall deemed to be included in the

scope of work. The work of PAT M&V should be carried out as per the latest guidelines

of BEE/ GOI.

5) All the Bidders have to submit one declaration to the effect that the entire work of PAT

M&V has been executed as per various statutory notifications and guidelines by the govt.

ANNEXURE-I

PUNJAB STATE POWER CORPORATION LIMITED GURU HARGOBIND THERMAL PLANT, LEHRA MOHABBAT

GENERAL TERMS AND CONDITIONS

1 SUBMISSION OF TENDERS: Notwithstanding anything contained to the contrary in the specifications of tenders or in subsequent exchange of correspondence, these conditions of contract shall be binding on the contractor and any change or variation expressed or implied, however, made in the said conditions shall not be valid or operated unless expressly approved by the competent authority. The contractor shall be deemed to have fully apprised himself and to have special knowledge of the provisions of the conditions of contract herein contained. The following instructions must be carefully observed by all Tenderers: Quotations/ tenders not strictly in accordance with these instructions will be liable to be rejected. Failure to comply with any of these instructions or to offer explanation for non-compliance is likely to render effective comparison of the tender as a whole impossible and may lead to rejection of an otherwise apparently lowest offer.

(i) The tenders must be complete in all respects. (ii) Tenders shall be submitted through e-tendering only. (iii) Tele-fax/ Email quotations shall not be accepted. (iv) The tenders shall be submitted in three parts as explained at Section-2

Sr. No. 18 (ii). (v) The main envelope containing the tender will be opened in the

presence of the bidders’ representatives who may like to be present at the notified date and time and at the given address. The envelopes containing the tender document fee and earnest money (Part-I) shall be opened first and in case the deposit of tender document fee and earnest money is in accordance with the terms of notice inviting tender, only then the envelope containing the technical/ commercial bid (Part-II) shall be opened. Part-III (Price Bid) shall be opened after finalization of technical evaluation of the received tenders and tenderers will be informed accordingly.

(vi) The bids without tender document fee & earnest money shall be out rightly rejected.

In case due date of bid opening falls on a holiday, the tenders will be accepted on next working day and tender will be opened at the same time on next day.

2 INSPECTION OF SITE BY TENDERERS:

Tenderer should inspect the site and examine and obtain all information required and satisfy himself regarding all matters and things before submission of his tender such as:-

(i) Whether any existing access to the site is available on the highway, its suitability for transporting his equipment and the extent of maintenance required to keep it into a serviceable condition.

(ii) The type & extent of access to be provided by the bidder including its maintenance for the transportation of equipment.

(iii) The type and number of equipment and facilities required for the satisfactory completion of work the quantities of various sections of the work, the availability of local labour, availability and rates of materials, local working conditions, extreme weather conditions, uncertainties of weather, obstructions and hindrances that may arise etc. all which may affect the work or cost thereof.

3 TENDER TO CONFORM TO SPECIFICATIONS Tender which proposes any alternation in the work specified in the Tender Specification, or in time allowed for carrying out the work or which contains many other terms & conditions of any sort will be liable to rejection

4 TENDERS TO BE INVALIDATED The tenders must be complete in all respects. Conditional, incomplete or not properly sealed tenders and tenders received late due to any reason whatsoever will be rejected.

5 SIGNING OF THE TENDERS All pages and tenders shall be signed by the owner or his authorized persons holding such authorization to do so. Necessary documents in support thereof should be enclosed with the bid at the time of submission, failing which tender may not be considered.

6 RIGHT TO REJECT ALL OR ANY TENDER The officer inviting tenders/contracting agency/Corporation reserves the right to reject any or all the tenders received without assigning any reasons. PSPCL will not be responsible for and will not pay any expenses or losses that may be incurred by the bidder in preparation of the tender.

7 SEGREGATION OF WORK The officer inviting tender/Board reserves the right to allot the work to a number of tenderers by segregating the items of work or same item of the work may be allotted to a number of agencies by distributing the work without any compensation or commitment to any of the bidder.

8 POST TENDER MODIFICATIONS No modification to the bid shall be made by the bidder after opening of the bids unless specifically requested by PSPCL/ GHTP. The earnest money of any bidder who modifies bid after opening, without any specific reference from PSPCL shall be forfeited without any further reference to the bidder and bidder shall be liable to further action like suspension of business dealings/blacklisting.

as a token of having examined the same. Any correction in the rates quoted in the schedule of quantities shall also be signed with date by tenderer before submitting the tender. All corrections and additions or pasted slips should beavoid but if any it should be initialed by the contractor. Non-compliance with these conditions will make the tender liable to rejection.

10 VALIDITY OF TENDERS The tenders as submitted should be valid for acceptance for at least 120 days from the date of opening of tenders, unless specified otherwise.

11 EARNEST MONEY The tenderer shall be required to submit earnest money as per rules & regulations of the Corporation. Public sector undertakings fully owned by the Punjab Government/Central Government/other State Governments shall be exempted from depositing earnest money, provided that a certificate of Government Ownership shall be submitted in the envelope for Earnest Money. In case of tenders not accepted, the earnest money shall be refunded within 30 days of the award of order/contract, to the unsuccessful tenderer or after the expiry of additional period whichever is later.

12 RATES The bidders should quote his rate only in Annexure-III i.e. price schedule and it should be firm. The rates shall be quoted in the words as well as in figures, and if any mistake found between the words and figures, rates quoted in the words shall prevail and considered for evaluation.

13 TERMS OF PAYMENT The contractor shall submit the bills, in triplicate, for the work done in respect of PAT M&V of each Thermal Power Plant along with all relevant documents. In absence of any of the documents if the payment is delayed, the Corporation shall not be responsible for such delays. PSPCL shall not be liable or responsible for any loss of the party towards idleness of the work force, Personnel, equipment deployed by the party for performing the contract for any period during the tenure of the contract. The firm will have the option to get the payment through RTGS system of digital payments instead of cheques if it give option in this regard to PSPCL & charges for the same shall be recovered from the firm.

14 PLANT & EQUIPMENT

(i) The bidder, shall at his own expense supply tools, plant & equipment (hereinafter referred to as T&P) required for the execution of the contract other than those listed in tender documents/contract agreement which subject to their availability maybe hired from PSPCL to the contractor or issued free for use in the execution of the work, as specified in the tender documents.

(ii) The details of plant, equipment & machinery available with the tenderer in working Order for deployment on the work shall be submitted alongwith relevant information on the capability, financial resources and experience about himself.

15 PATENT RIGHTS: The contractor shall fully indemnify PSPCL/GHTP/ GGSSTP or the officer-in-charge against any action, claim or proceeding relating to infringement or the use of any patent or design or any alleged patent or design rights and shall pay any

royalties which may be payable in respect of any article/or part thereof included in the contract. In the event of any claim being made or action brought against PSPCL or Officer-in-Charge in respect of the matters aforesaid, the contractor shall immediately be notified thereof for taking necessary action provided that payment on indemnity shall not apply when such infringement has taken place in complying with the specific directions issued by PSPCL but the contractor shall pay any royalties payable in respect of any such use.

16 SPLITTING OF WORK The PSPCL reserves the right to split up the work in the scope of this contract among more than one contractor during the progress of work due to unsatisfactory progress of work of the contractor. The PSPCL will not entertain any claim from any contractor as a result of such splitting up. The PSPCL also reserves the right to exclude/include any items of work from/into the scope of the contract during the progress of work due to any reason whatsoever. The Engineer-in-charge reserves the right to inject labor, T&P & materials at the contractor's cost at any stage of work if the progress is not commensurate with the committed schedule and the contractor will not have any right to object.

17 SIGNING OF THE CONTRACT The contractor shall execute the contract agreement on stamp paper within specified dates of the issue of such intimation failing which acceptance of his tender shall be cancelled and his earnest money will be forfeited.

18 ASSIGNMENT OR TRANSFER OF CONTRACT The contractor shall not without the prior written approval of the Accepting Authority assign or transfer the Contract or any part thereof, or any share, or interest therein to any other person.

19 SUB-CONTRACT The contractor shall not sublet any portion of the contract without the prior permission of the PSPCL.

20 CONTRACTOR LIABLE FOR DAMAGE DONE: If the contractor or his work people, or servants shall break, deface, injure or destroy any part of a building if they may be working on any building, road, fence, enclosures or grass land or cultivated ground contiguous to the premises on which the work or any part of it is being executed, or if any damage shall happens to the work, while in progress, from any cause whatsoever, the contractor shall make the same good at his own expense, or in default, the Engineer may cause the same to be made good by other workman, and deduct the expense for which the certificate of the Engineer shall be final, from any sums that may be at any time thereafter may become, due to the contractor, or from his security deposit or the proceeds of sale thereof, or a sufficient portion thereof .

21 POWERS TO VARY OR OMIT ANY ITEM OR WORK No alternations, amendments, omissions, additions, suspensions or variations in (hereinafter referred to as 'variation' in the work as shown in Section-3) "Scope of Work" shall be made by the firm except as directed in writing by the SE/FE&T,GHTP or GGSSTP in connection with the contract, but CE/ GHTP or GGSSTP shall have full powers subject to the provision herein after contained from time to time during the execution of the contract by notice in writing, to instruct the firm to make such variations and be bound by the same conditions as far as applicable although the said variations occurred in the specifications., If any suggested variation would, in the opinion of the firm carried-out, prevent the

tenderer from fulfilling any of its obligations or guarantee under contract, the firm shall notify to the SE/FE&T, GHTP or GGSSTP, thereof in writing, and the Punjab State Power Corporation Limited shall decide forthwith whether or not the same shall be modified accordingly with mutual agreement. The difference of rates, if any, occurs by any such variations, shall be added to or deducted from the contract rate as the case may require in accordance with the rate specified in the work order, but the Punjab State Power Corporation Limited shall not become liable for the payment of any charges in respect of any such variations unless instructions for the performance of the same shall have given in writing by the SE/FE&T, GHTP or GGSSTP.

22 NEGLIGENCE AND DEFAULT a) In case of negligence on the part of supplier/contractor to execute the

order/contract with due diligence & expedition to comply with any reasonable orders given in writing by the PSPCL in connection with the Purchase Order/Contract or any contravention in the provisions of the purchase order/Contract, the PSPCL may give 21 days’ notice in writing to the supplier/contractor to make good the failure or neglect or contravention and if the supplier/contractor fails to comply with the notice within time considered to be reasonable by the purchaser, the purchaser will suspend business/dealing with the firm for specific period.

b) Further in case of such default by supplier/contractor the purchase may also suspend business dealing with the supplier/contractor apart from claiming reasonable compensation/damages, forfeiture of security etc.

23 BANKRUPTCY If the firm shall commit any action of bankruptcy or being a corporation commences to be, would be except for reconstruction purposes or carry on its business under a receiver, the executors, successors or other representatives in law of the estate on company or any such receiver, liquidator or any person in whom the contract may become vested, shall forthwith give notice thereof in writing to PSPCL and shall for one month during which the firm shall take all reasonable steps to prevent a stoppage of work, have the option of carrying out the contract subject to the contract providing such guarantee as may be required by all power plants but not exceeding the value of work. In the event of the stoppage of work, the period of option under this clause shall be of 15 days provided that, should the above option not exercised, the contract may be terminated by PSPCL by notice in writing to the firm and the same power and provisions reserved to PSPCL on the last proceeding clause, of taking the work out of the Firm's hands, shall immediately become operative.

24 FORCE MAJEURE If at any time during the continuance of the work the performance in whole or in part by either party of any obligation under this contract, shall be prevented or delayed by reasons, of any war, hostility, acts of public enemy ,Civil Commotion, sabotage, floods, explosion, epidemics, fires or other acts of God, strikes and lockout hereinafter referred to as "eventualities" then, provided notice of the happening of any such eventuality is given by either party to the other within 15 days from the date of occurrence thereof, neither party shall because of reasons of such eventuality be entitled to terminate this contract nor shall either party have any claim for damages against the other in respect of such non- performance or delay in performance under this contract and work shall be resumed as soon as practicable after such eventuality has ceased. Appropriate extension in time of completion shall be granted on submission of his request along with documentary evidences.

If the contractor shall desire an extension of the time limit for completion of the work on the ground of his having been unavoidably hindered in execution or of any other ground, he shall apply in writing to the Chief Engineer and the Chief Engineer may if in his opinion there are reasonable grounds for granting extension, allow such extension as he thinks necessary or proper. The decision of the Chief Engineer in this regard shall be final and binding. For any delay in work on account of act of omission or commission at the part of PSPCL viz. delay in issue of material alterations, omission, additions, substitutions in original specifications, drawings, design etc. only extension of time will be agreed for the period so lost and no compensation would be given on this account.

25 PENALTY FOR DELAY: The time allowed for carrying out the work as entered in the contract shall be strictly observed by the contractor. The work shall throughout the stipulated period of the contract be proceeded with all due diligence (time being deemed to be the essence of the contract on the part of the contractor). In case the contractor fails to complete the work in stipulated time frame, the whole security deposit shall be forfeited and no remuneration shall be paid to the contractor for the work claimed to be done by the contractor. Matter will be taken up with BEE/Ministry of Power, GOI to penalize the Contractor/Firm/Accredited Energy Auditors regarding the negligence/default and the same will be blacklisted.

26 SECURITY DEPOSIT The earnest money deposited at the time of tender will be converted into security deposit and shall be considered as part of the security deposit. The bidder/contractor whose tender shall be accepted (hereinafter called the contractor) shall permit to the owner/ Chief Engineer at the time of making any payments to the contractor for the works done under the contract to deduct an amount @ 5%(five percent) of gross value of work done. Such deductions are to be held by the owner/ Chief Engineer as security deposit. All compensation or other sums of money payable by contractor to the owner/Engineer under the terms of this contract may be deducted from or paid by the sale of sufficient part of security deposit or from any sums which may be due or may become due to the contractor by owner/Engineer on any account what-so-ever and in the event of his security deposit being reduced by reasons of any such deduction or sale as aforesaid, the contractor shall within 10 days thereafter make good in cash any sum or sums which may have been deducted from or raised by sale of his security deposit or any part thereof. The security deposit shall be refunded to the contractor after the expiry of defects liability period which is six months from the date of issue of completion certificate or payment of final bill whichever is later. No interest shall be payable to the contractor on the amount of security deposit. The security deposit is to be deducted on the gross amount of running bills.

27. ACTION WHEN WHOLE OF SECURITY DEPOSIT IS FORFEITED a) In any case in which under any clause or clauses of the contract, the

contractor shall have rendered himself liable to pay compensation amount equal to whole of his security deposit (whether paid in lump-sum or deducted by installment,) or in case of abandonment of the work owing to serious illness or death of contractor or any other cause, the Chief Engineer on behalf of the Corporation shall have power to adopt any of the following courses as he may deem best suited to the interest of the Corporation:

i) To rescind the contract (of which recession notice of 15 days in writing

to the contractor under the signature of Chief Engineer shall be conclusive evidence) and in that case the security deposit of contractor shall stand forfeited and be absolutely at the disposal of the PSPCL.

ii) To employ labour paid by the Corporation to supply materials to carry out the works, or any part of the works debiting the contractor with the cost of the labour and the price of the material (as to correctness of which cost and price, the certificate of the Senior Executive Engineer shall be final and conclusive against the contract) and crediting him with value of the work done, in all respects in the same manner and at the same rates as if it had been carried out by the contractor under the terms of the contract and in that case the certificate of the Senior Executive Engineer as to the value of the work done shall be final and conclusive against the contractor.

iii) To order that the work of the contractor be measured up and to take such part thereof as shall be unexecuted out of his hands and to give it to another contractor to complete in which case any expenses which may be incurred in excess of the sums which would have been paid to the original contractor if the whole work had been executed by him (as to the amount of which excess expenses, the certificate in writing of the Senior Executive Engineer shall be final, conclusive) shall be borne and shall be paid by the original contractor and shall be deducted from any money due to him by the Corporation under the contract or otherwise or from his security deposit or the sale proceeds thereof or a sufficient part thereof. In the event of the above courses being adopted by the Chief Engineer the contractor shall have no claim to compensation for any loss sustained by him by reasons of his having purchased or procured any materials or entered into any engagement, made any advance on account of or with a view to the execution of the work or the performance of the contract. And in case the contract is rescinded under the provision aforesaid the contractor shall not be entitled to recover or be paid any sum for any work thereof actually performed by him under the contract unless and until the Senior Executive Engineer have certified in writing performance of such work and the amount payable to the contractor in respect thereof and contractor only be entitled to be paid the amount as certified.

b) In any case in which the power conferred by clauses referred to above, shall have become exercisable and the same shall not be exercised, the non-exercise thereof shall not constitute a waiver of any of the conditions thereof and such powers shall be exercisable in the event of any future case of default by of the contractor when he is declared liable to pay compensation amounting to the whole of his security deposit, and the liability of the contractor for past and future compensation shall remain unaffected. In the event of the person conferred the power by clause referred to above putting in force by any of the alternatives (i) to (iii) above vested in the Engineer in charge under the preceding clause, Chief Engineer may, if so desires, take possession of all or any tools plant, materials and stores, in or upon the work or the site thereof or belonging to the contractor or procured by him and intended to be used for execution of the work or any part thereof, paying or allowing for the same in account at contract rates or in case of these not being applicable at current market rates to be certified by the Sr. Executive Engineer whose certificate thereof shall be final and conclusive Senior Executive Engineer may by notice in writing to the contractor or any of his

authorized agent required him to remove such tools, plants, materials or stores from the premises (within a time to be specified in such notice) and in the event of the contractor failing to comply with any such requisition, Senior Executive Engineer may remove them at the contractor's expense or sell them by auction or private sale on account of the contractor and at contractors risk in all respects and the certificate of the Senior Executive Engineer as to the expense of any such removal and the amount of the proceeds and expense of any sale shall be final and conclusive against the contractor.

28 DEDUCTION OF INCOME TAX Income tax at the prevailing rates shall be deducted at source from the monthly bills of the contractor as per the Income Tax Act and Rules. Necessary TDS certificate will be issued by the paying authority.

29 GOODS AND SERVICE TAX (GST):- PSPCL is registered centrally in the state under GSTIN 03AAFCP5120Q1ZC.

i) GST shall be paid extra (as applicable) as per prevailing provisions of GST Act & Laws against submission of documentary proof of having deposited the same.

ii) Further, a Declaration Certificate as given below shall be submitted by the supplier:-

a) Certified that the transaction on which the GST is being claimed has been/will be included in the return submitted/to be submitted to the GST Authorities and the amount claimed from Punjab State Power Corporation Limited has been/shall be paid to the GST authorities.

b) Certified that the services on which the GST has been charged has not been exempted under GST act or the rules made there under and that the GST charged on these services is not more than what is payable under the provisions of relevant act.

c) Certified that we shall indemnify the Punjab State Power Corporation Limited in case, it is found at a later stage that wrong or incorrect payment had been received on account of the GST, the same will be refunded.

d) Certified that any loss due to non-availability of ITC or Levy of penalty /interest payable by PSPCL on account of non-filling of return or non-compliance or any mis-statement given under the provisions of GST Act shall be recoverable from us.

e) Certified that we are registered dealer under the GST Act and our Registration no. is__________________________________

(iii) Input Tax credit:-The firm shall quote the rate after considering the input tax credit available under GST.

(iv) GST-TDS: GST-TDS (CGST @ 1% and SGST @ 1% or IGST @ 2%) will be applicable in case total value of taxable supply under a contract (excluding GST) exceeds Rs. 2.5 lakhs.

(v) GST @ 18% will be applicable on penalty amount (if levied).

30 COMPLIANCE OF LABOUR LAWS The firm shall comply with all the provisions of the contract labor (regulation and abolition) Act, 1970 and the rules made thereunder which may be applicable to them. The firm shall also comply with other labor and industrial laws and such other acts and statutes as may be applicable to them in respect of their employees and shall indemnify the Corporation and reimburse the Corporation against all the actions, claims, demands, costs and expenses whatsoever arising

out of or in connection with any liability that the Corporation may be required to discharge on account of the default or otherwise on their part.

31 INSURANCE OF WORKERS The contractor will be solely responsible for any liability for his workers in respect of any accident, injury arising out and in course of contractor’s employment. To meet his aforesaid obligation under the workmen Compensation Act, the contractor will ensure to obtain cover note from the Insurance Company under W.C. Policy in respect of persons employed by him for carrying out his work and obligation under the agreement. The premium payable for the aforesaid Insurance Policy shall be borne by the contractor. The Contractor shall deposit the ESI contribution towards his workers.

32 SAFETY RULES Contractor shall have to comply with all the provisions of safety rules. The Safety Officer shall impose penalty of Rs.200/- per day per head if the workers of contractor are found to be working carelessly without proper protective equipments in unsafe conditions.

33 DEDUCTION FROM CONTRACT RATE All costs, damages, or expenses, the PSPCL may have incurred, under the contract the firm is liable and such sums shall be deducted by the PSPCL from any money due or becoming due to the firm under the contract or shall be recovered by action of law or otherwise from the firm or his security money.

34 CHANGE IN CONSTITUTION OF FIRM AND ADDRESS In case any change in partnership, any change in constitution of the firm it shall be forthwith notified by the contractor to the Corporation for information. Any change in the address of the contractor shall also be intimated to the CE, GHTP/ GGSSTP.

35 ARBITRATION a) If at any time, any question/dispute or difference whatsoever shall arise

between the Firm/Purchaser/Corporation and the contactor upon or in relation to or in connection with purchase order/contract, either party may forthwith give to the other notice in writing of the existence of such question, dispute or difference and the same shall be referred for arbitration to a nominee of the PSPCL, who shall give a reasoned/speaking awards. The award of the sole arbitrator shall be final and binding on the parties under the provisions of the Indian Arbitration Act, 1996 and of the rules, there under. Any statutory amendment, modification or reenactment thereof for the time being in force, shall be deemed to apply and be incorporated in the contract. It will not be objectionable, if the Sole Arbitrator as an officer of the PSPCL and he has expressed his views on all or any of the matter in question of dispute or difference. Such a notice of the existence any question or dispute or difference in connection with contract shall be served by either party within 180 days of the taking over the supplies failing which all rights and claims under this contract shall be deemed to have been forfeited and absolutely barred.

b) Upon every or any such reference, the costs of sole incidental to the references and award respectively shall be in discretion of the arbitrators so appointed who may determine the amount thereof or direct the same to be fixed as between solicitor and client or as between party and party shall direct by whom & to whom and in what manner the same is to be borne and paid.

c) The work under the contract shall, if reasonably possible, continue during the arbitration proceedings and no payment due or payable by the Purchaser/PSPCL shall be withheld on account of such proceedings.

36 TERMINATION OF CONTRACT

In the event, the firm repeatedly defaults in rendering services to the satisfaction of PSPCL/ GHTP/ GGSSTP, the PSPCL reserves its rights to terminate the contract after giving one month 's notice to the firm without assigning any reason.

37 DEDUCTION OF AMOUNTS DUE TO CORPORATION Any excess payment made to the firm inadvertently or otherwise under this contract or on any account whatsoever and any other sum found to be due to Corporation by the firm in respect of this contract or any other contracts of work order or on any account whatsoever may be deducted from any sum whatsoever payable by the Corporation to the firm either in respect of this contract or any work order of firm on any other account by any other office of the Corporation.

38 JURISDICTION All legal proceedings in connection with contract shall be subject to the territorial jurisdiction of local civil courts at Bathinda/ Ropar.

39 All terms & conditions of PSEB Works Regulation amended from time to time, will be applicable.
