REPORT OF INDEPENDENT CERTIFIED PUBLIC ACCOUNTANTS ON THE SCHEDULE OF EXPENDITURES OF FEDERAL AWARDS

To the Board of Trustees of Georgia Tech Research Corporation and Georgia Tech Applied Research Corporation:

We have audited the financial statements of the business-type activities and each major fund of the Georgia Tech Research Corporation and Georgia Tech Applied Research Corporation, (collectively the “Research Corporation”), as of and for the year ended June 30, 2007, which collectively comprise the Research Corporation’s basic financial statements and have issued our report thereon dated November 15, 2007. Our audit was conducted for the purpose of forming opinions on the financial statements that collectively comprise the Research Corporation’s basic financial statements. The accompanying Schedule of Expenditures of Federal Awards for Georgia Tech Research Corporation, Georgia Tech Applied Research Corporation, and Georgia Institute of Technology is presented for purposes of additional analysis as required by OMB Circular A-133 and is not a required part of the financial statements. We did not audit the financial statements of Georgia Institute of Technology which represent 20% of the expenditures in the accompanying Schedule of Expenditures of Federal Awards. Such information related to the Research Corporation has been subjected to the auditing procedures applied in our audit of the Research Corporation’s basic financial statements and, in our opinion, is fairly stated, in all material respects, in relation to the financial statements of the Research Corporation taken as a whole.

Note A – Basis of Presentation

The accompanying schedule of expenditures of federal awards includes the federal grant activity of Georgia Tech Research Corporation, Georgia Tech Applied Research Corporation, and Georgia Institute of Technology and is presented on the accrual basis of accounting. The information in this schedule is presented in accordance with the requirements of OMB Circular A-133, Audits of States, Local Governments, and Non-Profit Organizations. Therefore, some amounts presented in this schedule may differ from amounts presented in, or used in the preparation of, the basic financial statements.

Note B – CFDA Numbers

Research and Development programs included in the Schedule of Expenditures of Federal Awards are presented by federal agency and major subdivision within the federal agency. Pass-through awards have been presented by pass-through entity and federal identification number or pass-through entity identification number, when available. In accordance with instructions distributed by the Federal Audit Clearinghouse, when federal identification numbers are not available, federal awards are presented by federal agency number and the suffix “OFA” for the federal identification number.

Note C – Student Financial Aid Program Expenditures

Expenditures for student financial aid programs include the Federal Pell grants to students, the federal share of students’ Federal Supplemental Educational Opportunity Grant (FSEOG) program grants, the Federal Work Study (FWS) program earnings, certain other federal financial aid for students, and administrative cost allowances, where applicable.

The Georgia Institute of Technology is responsible only for the performance of certain administrative duties with respect to the Federal Family Education Loan Program and, accordingly, balances and transactions relating to this loan program are passed through the Georgia Institute of Technology’s basic financial statements. During the fiscal year ended June 30, 2007, the Georgia Institute of Technology disbursed $47,625,830 in new loans under the Federal Family Loan Program which included Federal Stafford Loans and Federal PLUS loans.

The Federal Perkins Loan Program is administered directly by the Georgia Institute of Technology and balances and transactions relating to the program are included in the Georgia Institute of Technology’s financial statements. During the fiscal year ended June 30, 2007, the Georgia Institute of Technology disbursed $1,568,909 in new loans under the Federal Perkins Loan Program. The balance of loans outstanding under the Federal Perkins Loan program was $6,315,338 as of June 30, 2007.
