Dear Sirs/Medames, Topic: Request for Proposal (RFP) for technical assistance services for the Development of a proposal for an Innovative Investment Mechanism with a positive impact on gender equality. 1. The United Nations Agency for Gender Equality and the Empowerment of Women, (UN Women), plans to

contract technical assistance services for an Innovative Investment Mechanism with a positive impact on gender equality, as described in this Request for Proposal and its related attachments. A. Summary

Programme "Win-Win Programme: gender equality means good business”

Aim of the contract To prepare a proposal which allows the launch of an Innovative Investment Mechanism with a positive impact on gender equality, based on the analysis of demand, a , un diagnostic of financing mechanisms existing in the region and mechanisms of innovative financing at a global level and an analysis of good practice in the establishment of innovative Financing Mechanisms in matters with social impact.

B. Description of Programme:

The UN Agency for Gender Equality and Empowerment of Women - UN Women, based on the vision of equality enshrined in the United Nations Charter, works to eliminate discrimination against women and girls; for the empowerment of women and to achieve equality among women and men as partners and beneficiaries of development, for human rights, in humanitarian acts, in peace and security. On placing the rights of women as the main thrust of its work, UN Women leads and coordinates the efforts of the United Nations System to ensure that the commitments of equality and gender mainstreaming translate into actions in the whole world. At the same time, it exercises a substantive and coherent leadership role to support the priorities and efforts of the Member States, building an effective association with the government, civil society, the private sector, as well as other relevant players. “Win-Win”, Gender Equality means Good Business1 is a joint programme of UN Women and the International Labour Organization(ILO), coordinated by UN Women and financed by the European Union (EU) Instrument of Association, to contribute to the economic empowerment of women, recognizing them as beneficiaries and drivers of growth and development, through the increase of commitment of private companies with gender equality and empowerment of of women and the strengthening of capacity of companies to implement these commitments. The last item mentioned will contribute to the achievement of gender equality in allowing women's participation in the work force the entrepreneurial spirit, economic empowerment and, therefore, their full and egalitarian participation in society. The programme will focus on strengthening capacities in players in the public and private sectors to fully understand the entrepreneurial benefits which gender equality offers, strengthening the leadership of women in business, promoting their participation in the work force, their access to decent work, security of payment, of entrepreneurship, and economic independence and empowerment with the aim of encouraging women's full and egalitarian participation in society. Aimed at businesses headed by women, networks and companies with an active commitment to promoting gender equality

and the empowerment of women and girls, the Programme will promote trade links, joint ventures and innovation between

women from the European Union, Latin America and the Caribbean, at the same time as supporting dialogue and

interregional exchange of good practices to increase the capacity of companies to implement business with gender

equality. In addition, the programme will adopt the perspective of inter-sectionality to address the challenges encountered

by indigenous women and those of African descent. Special attention will be given to identifying opportunities to increase

the economic empowerment of migrant and refugee women.

The programme is implemented in 6 countries in Latin America and the Caribbean (Argentina, Brazil, Chile, Costa Rica, Jamaica and Uruguay) and has a regional component coordinated by UN Women Brazil with the support of the Regional Office of UN Women for the Americas and the Caribbean, in Panama. The programme is implemented through several activities organized in 3 components:

1. Strengthening of networks and co-operation among companies directed by women; 2. Capacity reinforcement of companies and employers' organizations, exchange of knowledge and good practices and advocacy to support gender equality in the private sector; 3. Financing mechanisms to support ventures and innovation headed by women.

With regard to the last component, the programme defines as a result the establishment of an impact investment mechanism as a model of innovative and sustainable financing to attract the investment of the private sector with a positive impact on gender equality and achievement of Sustainable Development Objective 5. For this, UN Women needs to contract consulting services to prepare a proposals which allows the launch of the said Innovative Investment Mechanism with a positive impact on gender equality based on based on demand analysis, a diagnostic of existing financing mechanisms in the region and mechanisms of innovative financing at a global level and an analysis of good practices in the establishment of innovative Financing Mechanisms on social impact issues.

C. Scope of the consultation In order to carry out this work, consideration is given to dividing the consultation into three phases:

Phase I Diagnostic of the state of the situation in regard to investment and financing mechanisms with a positive impact on gender equality in the Latin American and Caribbean region and innovative practices at a global level, which includes: • Demand analysis and necessities of financing and related services differentiated by the different types of economic players with potential impact on gender equality including: Businesswomen, micro and small business women, small and medium businesses headed by women and large companies with institutional commitments established to promote gender equality in line with Women's Empowerment Principles (WEPs). The study will additionally identify the needs of financing of non-governmental organizations and women's organizations which work with capacity strengthening of businesswomen. • Analysis of the offer of financing mechanisms, products and services existing in the Latin American and Caribbean region and in the European Union for investments with a positive impact on gender equality from the private sector and in the promotion of female entrepreneurship. To include investment funds, financing products, specific lines of financing and other related services. Also included will be an evaluation analysis and lessons learnt with respect to financing programmes, looking at all the bibliography with respect to international organizations, the European Union, multilateral banks, etc. The analysis will prioritize the countries in which the programme is implemented, although it should also include analysis of other experiences relevant to the region. • Identification at a global level of innovative examples and practices of investment financing mechanisms with a social impact and related services, such as from institutions and leaders and movers of same, including models from UN agencies (such as UNDP and UN Environment) to manage this type of mechanism. The diagnostic should be prepared using both primary and secondary sources. Interviews should be held with key players from a wide representative group of countries in the region, as well as intuitional players linked to the Win-Win Programme.

Phase II Preparation and socialization of a proposal for the establishment of an Innovative Investment Mechanism with a positive impact on gender equality, based on the diagnostic prepared in Phase I. The work during this phase will include: • Preparation of draft proposal for the establishment of an Innovative Investment Mechanism with a positive impact on gender equality. • Organization of a seminar presenting the good practices identified during the diagnostic. • Composition of a working group of experts identified during the diagnostic and organization of a meeting to discuss and validate the draft proposal of an Innovative Investment Mechanism with a positive impact on gender equality. The composition of this group will be defined jointly with UN Women.

• Final presentation of the proposal for the establishment of an Innovative Investment Mechanism with a positive impact on gender equality. The seminar should have the participation of at least 3 presenters from countries outside the region, 10 international presenters of Latin America and the Caribbean and 5 national presenters. It will last two full days and at least 200 participants are expected to attend. It should include Spanish/English simultaneous translation. The working group should have participation of at least 10 international experts and will last one and a half days. The institution carrying out the consultation should take charge of all logistical arrangements for the development of the seminar and for the working group meeting, including the reservation of air tickets and accommodation of international participants.

Phase III

Technical assistance during the launch of the Innovative Investment Mechanism with a positive impact on gender equality, which means: • Technical Assistance in the development of the legal infrastructure the governance mechanism • Development of a promotion and communication strategy for the Innovative Investment Mechanism with a positive impact on gender equality promotion and communication strategy for the Innovative Investment Mechanism with a positive impact on gender equality • Support in identifying relevant players and potential partners for the investment mechanism

E. Institutional Agreements • UN Women will provide all available information for the development of the activities in the framework of the programme • UN Women will facilitate contact with the institutions linked to the Win-Win programme for the development of the activities planned within the framework of the programme • Supervision of the contract will be under the Specialist in Economic Empowerment Policies of the Regional Office for the Americans and Caribbean, in Panama, in close collaboration with the Repesentative of UN Women in Brazil and the Regional Coordination of the Win-Win Programme, situated in Sao Paulo, Brazil. The technical support for the development of the contract will be provided by the team of Private Sector specialists from the 6 countries of the Win-Win Programme(Argentina, Brazil, Costa Rica, Chile, Jamaica and Uruguay). • The approval of the final products and the authorizations for payment, upon delivery of products to satisfaction, will be under the Specialist in Economic Empowerment Policies of the UN Women Regional Office for the Americans and Caribbean • The company or institutions selected should remain in constant and smooth communication with UN Women • Products of the Programme should be presented in the city of Panama and in Brazil, and some presentations may be conveyed by videoconference. • The Programme, a priori, will not provide facilities, support personnel, support or logistics services for the development of products related to the contract. • The UN Women support will be mainly as facilitator of information, but will not have a logistic or administrative role. F. Obligations and responsibilities of the selected proposer • The company or institution selected should have the necessary team and personnel necessary to develop the products for this consultancy. • It should at all times behave ethically and respect the community dynamics within which its work fits. • It should act according to the principle of “action without damage”, in order to prevent any type of negative impact on the communities involved in the Programme. • It is its obligation to allow UN Women to provide up to 3 rounds of comments on each product delivered, without this implying any cost to the contracting body. • It will be responsible for the security of its personnel in any transfers that this consultancy may imply. All logistics in such transfers is the complete responsibility of the contracted company. G. Logistics of the work UN Women will facilitate the initial meetings between the company or institution selected and the different key persons of the UN Women team for the development of the consultancy. There should be an initial meeting in order to review and agree upon the work plan, within less than a week after the signing date of the contract. Afterwards meetings will be held to present and discuss the deliverables. Meetings will be developed virtually, although the company should include in its proposal resources so that the person leading the team may travel and take part physically in at least one meeting in Panama and another in São Paulo. H. Products, Payments and Deadlines The contract is at a price fixed by results, apart from the extension of the specific period of this service. Payments will be made during the following 15 working days by electronic transfer following the timetable previously described according to the details in the following timetable of payments. For greater detail refer to Annex 5 - Financial Proposal.

I. Profile of the Organization and the Work Team

Company/organization profile

• Minimum of 2 previous experiences in the last 5 years in similar works or Programmes. • Previous experience of at least 2 years in Programmes or consultancies linked to financial and investment matters. It will be positively valued if this is connected to investment with a social impact, or with a positive impact on gender equality and economic empowerment of women. • Experience in working with matters linked to promotion of gender equality and the rights of women and girls in the economic and financial area. • Participation of the institution in networks and space of international articulation will be positively valued.

Profile of work team Leader of the team: • University degree in economics or similar. • Specialized studies in financial systems and investment systems. • Gender studies and masters degree obtained in relevant areas. • At least 5 years working experience linked to the financial system and investment mechanisms. It will be positively valued if this has developed within the area of venture promotion, financing of SMEs and/or social impact projects. • Experience in Programmes related to gender equality and the economic promotion of women will be positively valued. • Experience in regional programmes. • Work experience in Latin American countries • Experience desirable as an investigator, panelist, advisor or promoter of investment programmes of social impact. • Membership and participation desirable in networks and spaces of international structure linked to the financial system and investment mechanisms, as well as networks related to the business world. • Fluent in English and Spanish

ANNEX 3

METHODOLOGY OF EVALUATION AND CRITERIA

1. Preliminary Evaluation The preliminary evaluation is made to determine if the offers comply or not with the administrative requirements of the RFP. In the proposals fulfillment of the following requirements is checked: • The company or proposing institution is not included among the suspended suppliers of the United Nations; • The proposals are signed by a legally authorized person, including power of attorney if so established; • The guarantees(format, quantity and duration) are included, if so requested; • The proposal is presented according to the instructions to the proposers according to reference in point 4.1 - Form of presentation, previously detailed in Annex 1 - Instructions to Proposers; • The offer is valid; • The offer is complete and eligible; • The proposal contains the following documents:

o Copy/scan of the legal constitution of the company according to the laws of the company where it is headquartered.

o Copies/scan of the financial records of the last 2 years, signed by a certified public accountant. o Resume of business/institutional activity with 3 references in the last 5 years in works or similar

programmes. o Copies/scan de university degrees, certifications of specific experience accrediting the team members. o Resume of each of the team members. o Technical Proposal. o Economic Proposal signed by the legal representative.

2. Methodology of Accumulative Analysis: The proposal will be selected on the basis of accumulative analysis; the overall score is arrived at by a combination of technical and financial qualifications. A procedure of stages will be used in the evaluation of the proposals; the technical proposal will be evaluated with a minimum level of 70% of the marks which can be obtained (1,000 marks) assigned to the technical proposal. The proposal will be rejected at this stage if it does not achieve the minimum level of 70% of the total qualification obtainable of 1,000 marks before the opening of any economic proposal and financial evaluation. Only the economic proposal of those organizations whose technical proposal has achieved the minimum level of 70% of the total qualification and has been determined to have fulfilled the technical criteria will be opened. Proposals which do not fulfill the technical requirements will not be eligible for financial evaluation. The total number of marks which a proposal may obtain is as follows:

In this methodology, the maximum number of marks assigned to the financial proposal is assigned to the lesser price. All the other price proposals receive marks in inverse proportion. FORMAT OF FINANCIAL PROPOSAL The financial proposal should be presented as a PDF file independent of the rest of the Proposal, as indicated in Clause 3.4.1 of the Instruction to Proposers. The components which make up the total price should provide sufficient details to allow UN Women to determine the compliance of the proposal with the requirements asked for in the terms of reference (TDR) according to the Proposal Request (RFP). The proposer should include a complete breakdown of the elements of the costs associated on each line item and the costs associated with each proposed subcontract/sub-award (breakdown separately) for the duration of the contract. Provide separate figures for each set, grouping or functional category. The estimates for the elements whose cost is re-embursable, if any, such as trips and extra expenses should be listed separately. In the case of an equipment item for presenting a service, the financial proposal should include figures for both options: purchase, lease/rental. UN Women reserves the option of lease/rental or direct purchase of the equipment through the contractor. In addition, the financial proposal should include, but not necessarily be limited to, the following documents: 1. A summary of the price in letters and figures i.
