1 Resolution of the Township of Freehold Monmouth County, New Jersey No: R-19-64 Date of Adoption: March 12, 2019 TITLE: RESOLUTION AUTHORIZING REDUCTION CHANGE ORDER NO. 3, DECLARING ACCEPTANCE AND FINAL PAYMENT OF CONTRACT 17-18 ROOFING REPLACEMENTS FOR MULTIPLE BUILDINGS REBID AT FREEHOLD TOWNSHIP - - - R E S O L U T I O N - - - WHEREAS, a Contract was awarded to VMG Group by Resolution R-17-254 on November 8, 2017 for Roofing Replacements for Multiple Buildings Rebid at Freehold Township; and, WHEREAS, Change Order Number 1 in the amount of $3,690.69 was authorized by Resolution R-18-125 and Change Order Number 2 in the amount of $9,387.03 was authorized by R-18-148 bringing the contract amount to $695,077.72; and, WHEREAS, the Township's Professional Architect, Spiezle Architectural Group Inc., by AIA Change Order Document dated September 20, 2018, and the Director of Facilities, by memorandum dated January 25, 2019, recommend reduction Change Order No. 3 in the amount of -$26,050.00 due to an increase in some contract quantities and a decrease in other contract quantities bringing the total contract amount to $669,027.72 and have advised the above-referenced project has been completed; and, WHEREAS, VMG Group has submitted a one-year Maintenance Bond in accordance with the terms of the bid specifications; and, WHEREAS, it is the intention of the Township Committee of the Township of Freehold to adopt the within Resolution only for the purposes described in N.J.S.A. 2A:44-132; NOW, THEREFORE, BE IT RESOLVED that the Township Committee of the Township of Freehold, based on the above referenced recommendations, authorizes reduction Change Order No. 3 in the amount of -$26,050.00, accepts the public project known as Contract 17-18 Roofing Replacements for Multiple Buildings Rebid at Freehold Township and authorizes final payment to VMG Group;

Resolution of the Township of Freehold Monmouth County, New Jersey

No: R-19-66 Date of Adoption: March 12, 2019 TITLE: RESOLUTION APPOINTING ANDREA DIGIOVANNI AS QUALIFIED PURCHASING AGENT

- - - R E S O L U T I O N - - - WHEREAS, the Local Public Contracts Law gives local contracting units the ability to increase their bid threshold up to the maximum threshold; and, WHEREAS, NJSA 40A:11-3a permits an increase in the bid threshold if a Qualified Purchasing Agent is appointed, as well as granted the authorization to negotiate and award such contracts below the bid threshold; and, WHEREAS, NJAC 5:34-5 et seq. establishes the criteria for qualifying as a Qualified Purchasing Agent; and, WHEREAS, Catherine M. Campbell also holds the position of Qualified Purchasing Agent, in accordance with Resolution R-19-5; and, WHEREAS, Andrea DiGiovanni, who effectively serves in the Township's Purchasing Department, also possesses the designation of Qualified Purchasing Agent, as issued by the Director of the Division of Local Government Services, in accordance with NJAC 5:34-5 et seq.; NOW, THEREFORE, BE IT RESOLVED that the Township Committee of the Township of Freehold hereby appoints Andrea DiGiovanni as Qualified Purchasing Agent, through December 31, 2019 to exercise the duties of a Purchasing Agent, pursuant to NJSA 40A:11-2(30), with specific relevance to the authority, responsibility and accountability of the purchasing activity of the contracting unit; BE IT FURTHER RESOLVED that the Township Committee of the Township of Freehold, in the County of Monmouth, State of New Jersey, hereby increases its bid threshold up to the maximum threshold;

- - - R E S O L U T I O N - - - WHEREAS, on June 22, 1999, the Township Committee adopted an Ordinance on Health Care Benefits Buy Outs, of the Revised General Ordinances of the Township of Freehold; and, WHEREAS, this section provides for payment to Township employees who are eligible for and who opted for health care coverage from a source other than the Township; and, WHEREAS, providing for such incentive and payment is of monetary benefit to the Township and to the employee; NOW, THEREFORE BE IT RESOLVED by the Township Committee of the Township of Freehold that the following employee is entitled to the following buy out payments for 2019 pursuant to the Ordinance in Chapter 47, Subsection 47-26: Kevin Carr Health $800.00 (revised amount)

- - - R E S O L U T I O N - - - WHEREAS, a certain property owner has a credit balance on their account; and, WHEREAS, the following Taxpayer Schedule includes an Overpayment of Taxes; creating an overpayment, applicable to the block and lot and in the amount set forth; and WHEREAS, the Tax Collector of the Township of Freehold has certified to the Township Committee of the Township of Freehold that the item designated with the word "REFUND" on Schedule A be refunded to the name appearing below; NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township of Freehold that the refund be made to the taxpayer appearing on Schedule A and the check for the aforesaid refund be issued by the Treasurer; BE IT FURTHER RESOLVED that the Tax Collector is hereby authorized to make corrections and notations upon the Municipal records as may be necessary to effect this Resolution; BE IT FURTHER RESOLVED by the Township Committee of the Township of Freehold that the Township Clerk is hereby authorized to forward a certified copy of the within Resolution to the Tax Collector and Treasurer/Director of Finance.

No: R-19-70 Date of Adoption: March 12, 2019 TITLE: RESOLUTION AUTHORIZING A CONTRACT WITH SIX FLAGS GREAT ADVENTURE FOR THEME PARK TICKETS FOR THE RECREATION SUMMER CAMP PROGRAM

- - - R E S O L U T I O N - - - WHEREAS, the Township of Freehold has a need for Theme Park Tickets from Six Flags Great Adventure for the Recreation Summer Camp Program as a non-fair and open contract pursuant to the provisions of N.J.S.A. 40A:11 and N.J.S.A. 19:44A-20.4 or 20.5 as appropriate; and, WHEREAS, the Purchasing Agent has determined and certified in writing that the value of the acquisition will not exceed that Township's bid threshold, but will exceed $17,500 in vendor aggregation; and, WHEREAS, the anticipated term of this contract is one year; and, WHEREAS, Six Flags Great Adventure can supply the Township with Theme Park Tickets for the Recreation Summer Camp Program in an amount not to exceed $25,000; and, WHEREAS, Six Flags Great Adventure has completed and submitted a Business Entity Disclosure Certification which certifies that Six Flag Great Adventure has not made any reportable contributions to a political or candidate committee in the Township of Freehold, County of Monmouth, in the previous one year, and that the contract will prohibit Six Flags Great Adventure from making any reportable contributions through the term of the contract; and, WHEREAS, the Director of Finance has certified to the Township Clerk that funds are available in the following Parks and Recreation Trust Account; T-49-56-100-509-299-Not to Exceed $25,000.00

No: R-19-71 Date of Adoption: March 12, 2019 TITLE: RESOLUTION AUTHORIZING THE PURCHASE OF DISTRIBUTION SYSTEM SUPPLIES FOR THE UTILITIES DEPARTMENT

- - - R E S O L U T I O N - - - WHEREAS, the Township of Freehold has a need to purchase distribution system supplies for the Utilities Department as a non-fair and open contract pursuant to the provisions of N.J.S.A. 19:44A-20.4 or 20.5 as appropriate; and WHEREAS, the Purchasing Agent has determined and certified in writing that the value of the acquisition will not exceed that Township's bid threshold, but will exceed $17,500 in vendor aggregation; and WHEREAS, the anticipated term of this contract is for 1 year; and WHEREAS, Core & Main LP can supply the Township with distribution system supplies for the Utilities Department in an amount not to exceed $40,000.00; and WHEREAS, Core & Main LP has completed and submitted a Business Entity Disclosure Certification which certifies that Core & Main LP has not made any reportable contributions to a political or candidate committee in the Township of Freehold, County of Monmouth, in the previous one year, and that the contract will prohibit Core & Main LP from making any reportable contributions through the term of the contract; and WHEREAS, the Director of Finance has certified funds are available in the following Budget Accounts, contingent upon the necessary funds being appropriated by the Governing Body in the 2019 and 2020 Municipal Budget: 9-09-55-502-502-292 and 0-09-55-502-502-292 Not to Exceed $40,000.00 NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township of Freehold that a contract for the purchase of distribution system supplies for the Utilities Department is hereby authorized with Core & Main LP.;

No: R-19-72 Date of Adoption: March 12, 2019 TITLE: RESOLUTION - TRANSFER OF APPROPRIATION RESERVES

- - - R E S O L U T I O N - - - WHEREAS, various 2018 bills have been presented for payment this year, which bills represent obligations of the prior year and were not recorded at the time of transfers between the 2018 Municuipal Budget in the last two months of 2018; and WHEREAS, N.J.S. 40A:4-59 provides that all unexpended balances carried forward after the close of the year are available, until lapsed at the close of the suceeding year, to meet specific claims, commitments or contracts incurred during the preceding year, and allow transfers to be made from unexpended balances to those which are expected to be insufficient during the first three months of the succeeding year; NOW, THEREFORE BE IT RESOLVED by the Township Committee of the Township of Freehold, in the County of Monmouth, State of New Jersey, (2/3 of the majority of the full membership concurring herein) that the transfers in the amount of $5,000.00 be made between the 2018 Budget Appropriation Reserves as follows: FROM TO Legal Services and Costs Other Expenses $ 5,000.00 Planning Board Other Expenses $ 5,000.00 BE IT FURTHER RESOLVED that a certified copy of this Resolution be forwarded to the Chief Financial Officer.

No: R-19-D Date of Adoption: March 12, 2019 TITLE: RESOLUTION - EXECUTIVE SESSION

- - - R E S O L U T I O N - - - WHEREAS, N.J.S.A. 10:4-13 of the Open Public Meetings Act permits the exclusion of the public from meetings of public bodies in certain circumstances which are set forth in N.J.S.A. 10:4-12 (b); and WHEREAS, the Township Committee of the Township of Freehold is of the opinion that such circumstances currently exist. NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township of Freehold as follows: 1. The public shall be excluded from the discussion of any action upon the hereinafter specified matters. 2. The nature of the subject matter to be discussed is as follows: 1. PERSONNEL 1A. Interview–Municipal Alliance to Prevent Substance Abuse Committee 1B. Professional Service Contract 2. ATTORNEY-CLIENT PRIVILEGE 2A. Affordable Housing 3. It is anticipated at this time the above-stated subject matter will be made public in approximately thirty days or at such time as any litigation discussed is resolved.
