1. Interpretation1.1 In these Conditions: ”BUYER” means the person

who accepts a quotation of the Seller for the saleof the Goods or whose order for the Goods isaccepted by the Seller; ”GOODS” means thegoods (including any installment of the goods orany parts for them) which the Seller is to supplyin accordance with these Conditions;”CONTRACT” means the contract for thepurchase and sale of the GOODS.

1.2 The headings in these Conditions are forconvenience only and shall not affect theirinterpretation.

2. Basis of the Sale2.1 The seller shall sell and the Buyer shall purchase

the Goods on these Conditions in accordancewith any quotation of the Seller accepted by theBuyer or any order of the Buyer accepted by theSeller. These Conditions shall govern the Contractto the exclusion of any other terms and conditionssubject to which any such quotation is accepted orpurported to be accepted or any such order ismade or purported to be made by the Buyer.

2.2. No variation to these Conditions shall be bindingunless agreed in writing between the Buyer andSeller.

2.3. The Seller’s employees or agents are notauthorised to make any representationsconcerning the Goods unless confirmed by theSeller in writing. The Buyer acknowledges that itdoes not rely on and waives any claim for breachof any such representations which are not soconfirmed.

2.4. Any advice or recommendation given by theSeller or its employees or agents to the Buyer orits employees or agents as to the storageapplication or use of the Goods which is notconfirmed in writing by the Seller is followed oracted upon entirely at the Buyers own risk.

2.5. Any typographical, clerical or other error oromission in any sales literature quotation price listacceptance of offer invoice or other document orinformation issued by the Seller may be correctedwithout any liability on the part of the Seller.

3. Orders and specifications3.1. No order submitted by the Buyer shall be

deemed to be accepted by the Seller unless anduntil confirmed by the Seller.

3.2. The Buyer shall be responsible to the Seller forensuring the accuracy of the order and for givingthe Seller any necessary information relating tothe Goods within a sufficient time to enable theSeller properly to perform the Contract.

3.3. The quantity, quality and description of and anyspecification for the Goods shall be those set outin the Sellers quotation (if accepted by the Buyer)or the Buyers order (if accepted by the Seller).

3.4. The Seller reserves the right to make anychanges in the specification of the Goods whichare required to conform with any applicablesafety or other statutory requirements.

3.5. No order which has been accepted by the Sellermay be cancelled by the Buyer except with theagreement in writing of the Seller and on terms thatthe Buyer shall indemnify the Seller in full against allloss, costs, damages, charges and expensesincurred by the Seller as a result of cancellation.

4. Price of the goods 4.1. The price of the Goods shall be the Sellers

quoted price. Unless otherwise agreed inwriting, all prices quoted are valid for 30 daysonly or until earlier acceptance by the Buyerafter which time they may be altered by theSeller without giving notice to the Buyer.

4.2. The Seller reserves the right by giving notice tothe Buyer at any time before delivery to increasethe price of the Goods to reflect any increase inthe cost to the Seller which is due to any factorbeyond the control of the Seller (such as withoutlimitation any foreign exchange fluctuation,currency regulation, alteration of duties,significant increase in the costs of labour,materials or other costs of manufacture) anychange in delivery dates, quantities orspecifications for the Goods which is requestedby the Buyer, or any delay caused by anyinstructions of the Buyer or failure of the Buyerto give the Seller adequate information orinstructions.

4.3. Unless otherwise agreed in writing, all prices aregiven by the Seller on an ex works basis andwhere the Seller agrees to deliver the Goodsotherwise than at the Sellers premises, the buyershall be liable to pay the Sellers charges fortransport, packaging and insurance.

4.4. The price is exclusive of any applicable ValueAdded Tax which the buyer shall be additionallyliable to pay to the Seller.

5. Terms of Payment5.1. The Seller shall be entitled to invoice the Buyer

for the price of the Goods on or at any time afterdelivery of the Goods unless the Goods are tobe collected by the Buyer or the Buyerwrongfully fails to take delivery of the Goods, inwhich event the Seller shall be entitled to invoicethe Buyer for the price at any time after theSeller has notified the Buyer that the Goods areready for collection or (as the case may be) theSeller has tendered delivery of the Goods.

5.2. The Buyer shall pay the price of the Goodswithin 30 days of the date of the Sellers invoicenotwithstanding that delivery may not havetaken place and the property in the Goods hasnot passed to the Buyer. The time of paymentof the price shall be of the essence of theContract. Receipts for payment will be issuedonly upon request.

5.3. If the Buyer fails to make any payment on thedue date, then without prejudice to any otherright or remedy available to the Seller, the Sellershall be entitled to:

5.3.1.cancel the Contract or suspend any furtherdeliveries to the Buyer;

5.3.2.appropriate any payment made by the Buyer tosuch of the Goods (or the Goods supplied underany other contract between the Buyer and theSeller) as the Seller may think fit (notwithstandingany purported appropriation by the Buyer); and

5.3.3.charge the Buyer (both before and after anyjudgement) on the amount unpaid at the rate ofeight per cent per annum above NationalWestminster Bank plc base rate from time totime until payment in full is made (a part of amonth being treated as a full month for thepurpose of calculating interest);

5.3.4.set off against the payment due to the Seller(including any applicable VAT payable) anyamount due from the Seller to the Buyerwhether in respect of the Contract or otherwise.

6. Delivery6.1. Delivery of the Goods shall be made to the

Buyer collecting the Goods at the Sellerspremises at any time after the Seller has notifiedthe Buyer that the Goods are ready forcollection or if some other place for delivery isagreed by the Seller delivering the Goods to thatplace.

6.2. Any dates quoted for delivery of the Goods areapproximate only and the Seller shall not beliable for any delay in delivery. Time for deliveryshall not be of the essence unless agreed by theSeller in writing. The Goods may be delivered bythe Seller in advance of the quoted delivery dateupon giving reasonable notice to the Buyer.

6.3 Where the Goods are to be delivered ininstallments, each delivery shall constitute aseparate contract and failure by the Seller todeliver any one or more of the installments inaccordance with these Conditions or any claimby the Buyer in respect of any one or moreinstallments shall not entitle the Buyer to treatthe Contract as a whole as repudiated.

6.4. If the Seller fails to deliver the Goods for anyreason other than any cause beyond the Sellersreasonable control or the Buyers fault and theSeller is accordingly liable to the Buyer, theSellers liability shall be limited to the excess (ifany) of the cost to the Buyer (in the cheapestavailable market) of similar goods to replacethose not delivered over the price of the Goods.

6.5. If the Buyer fails to take delivery of the Goods orfails to give the Seller adequate deliveryinstructions at the time stated for delivery(otherwise than by reason of any cause beyondthe Buyers reasonable control or by reason ofthe Sellers fault) then without prejudice to anyother right or remedy available to the Seller, theSeller may:

6.5.1.store the Goods until actual delivery and chargethe Buyer for the reasonable costs (includinginsurance) of storage; or

6.5.2.sell the Goods at the best price readilyobtainable and (after deducting all reasonablestorage and selling expenses) account to theBuyer for the excess over the price under theContract or charge the Buyer for any shortfallbelow the price under the Contract.

7. Risk and property7.1. Risk of damage to or loss of the Goods shall pass

to the Buyer: 7.1.1. in the case of Goods to be delivered at the

Sellers premises at the time when the Sellernotifies the Buyer that the Goods are availablefor collection; or

7.1.2. in the case of Goods to be deliveredotherwise than at the Sellers premises at thetime of delivery or if the Buyer wrongfully fails totake delivery of the Goods at the time when theSeller has tendered delivery of the Goods.

7.2. Notwithstanding delivery and the passing of riskin the Goods or any other provision of theseConditions, the property in the Goods shall notpass to the Buyer until the Seller has received incash or cleared funds, payment in full of the priceof the Goods and all other goods agreed to besold by the Seller to the Buyer for whichpayment is then due.

7.3. Until such time as the property in the Goodspasses to the Buyer, the Buyer shall hold theGoods as the Sellers fiduciary agent and baileeand shall keep the Goods separate from those ofthe Buyer and third parties and properly stored,protected and insured and identified as theSellers property. Until that time, the buyer shallbe entitled to resell or use the Goods in theordinary course of its business but shall accountto the Seller for the proceeds of sale orotherwise of the Goods whether tangible orintangible, including insurance proceeds separatefrom any moneys or property of the Buyer andthird parties.

7.4. Until such time as the property in the Goodspasses to the Buyer (and provided the Goodsare still in existence and have not been resold)the Seller shall be entitled at any time to requirethe Buyer to deliver up the Goods to the Sellerand if the Buyer fails to do so forthwith to enterupon any premises of the Buyer or any thirdparty where the Goods are stored and repossessthe Goods.

7.5. The Buyer shall not be entitled to pledge or in anyway charge by way of security for anyindebtedness any of the Goods which remain theproperty of the Seller but if the Buyer does so allmoneys owing by the Buyer to the Seller shall(without prejudice to any other right or remedy ofthe Seller) forthwith become due and payable.

8. Warranties and liability 8.1. Subject to the conditions set out below, the

Seller warrants that the Goods will correspondwith their specification at the time of delivery andwill be free from defects in material andworkmanship for a period of 12 months fromthe date of their initial use or 12 months fromdelivery whichever is the first to expire unless alonger period is specified in writing by the Seller.

8.2. The above warranty is given by the Seller subjectto the following conditions:

8.2.1.The Seller shall be under no liability in respect ofany defect in the Goods arising from any drawingdesign or specification supplied by the Buyer;

8.2.2.The Seller shall be under no liability in respect ofdefects arising from fair wear and tear wilfuldamage negligence abnormal working conditionsfailure to follow the Sellers instructions (whetheroral or in writing) misuse or alteration or repairof the Goods without the Sellers approval;

8.2.3.The Seller shall be under no liability under theabove warranty (or any other warranty conditionor guarantee) if the total price for the Goods hasnot been paid by the due date for payment.

8.2.4.The above warranty does not extend to partsmaterial or equipment not manufactured by theSeller in respect of which the Buyer shall only beentitled to the benefit of any such warranty orguarantee as is given by the manufacture to theSeller.

8.3. Subject as expressly provided in theseConditions all warranties, conditions or otherterms implied by statute or common law areexcluded to the fullest extent permitted by law.

8.4. Any claim by the Buyer which is based on anydefect in the quality or condition of the Goods ortheir failure to correspond with specification shall(whether or not delivery is refused by the Buyer)be notified to the Seller within 7 days from thedate of delivery. If the delivery is not refused, andthe Buyer does not notify the Seller accordingly,the Buyer shall not be entitled to reject theGoods and the Seller shall have no liability forsuch defect or failure, and the Buyer shall bebound to pay the price as if the Goods had beendelivered in accordance with the Contract.

8.5. Where any valid claim in respect of any of theGoods which is based on any defect in the qualityor condition of the Goods or their failure to meetspecification is not notified to the Seller inaccordance with these conditions the Seller shallbe entitled to replace the Goods (or the part inquestion) free of charge or at the Sellers solediscretion refund to the Buyer the price of theGoods (or proportionate part of the price) but theSeller shall have no further liability to the Buyer.

8.6. Except in respect of death or personal injurycaused by the Sellers negligence the Seller shallnot be liable to the Buyer by reason of anyrepresentation or any implied warranty conditionor other term or any duty at common law orunder the express terms of the Contract for anyconsequential loss or damage costs expenses orother claims for consequential compensationwhatsoever which arise out of or in connectionwith the supply of the Goods or their use orresale by the Buyer except as expressly providedin these Conditions.

8.7. The Seller shall not be liable to the Buyer or bedeemed to be in breach of the Contract byreason of any delay in performing or any failureto perform any of the Sellers obligations inrelation to the Goods if the delay or failure wasdue to any cause beyond the Sellers reasonablecontrol. Without prejudice to the generality ofthe foregoing the following shall be regarded ascauses beyond the Sellers reasonable control:

8.7.1.Act of God explosion flood tempest fire oraccident;

8.7.2.war or threat of war or sabotage insurrectioncivil disturbance or requisition;

8.7.3.acts, restrictions, regulations, bye-the laws,prohibitions or measures of any kind on the partof any governmental parliamentary or localauthority;

8.7.4. import or export regulations or embargoes;8.7.5.strikes, lockouts or other industrial actions or

trade disputes (whether involving employees ofthe Seller or a third party);

8.7.6.difficulties in obtaining raw materials, labour, fuel,parts or machinery;

8.7.7.power failure or breakdown in machinery.

9. Insolvency of Buyer9.1. This clause applies if:9.1.1. the Buyer makes any voluntary arrangement

with its creditors or becomes subject to anadministration order or (being an individual orfirm) becomes bankrupt or (being a company)goes into liquidation (otherwise than for thepurposes of amalgamation or reconstruction); or

9.1.2.an encumbrancer takes possession or a receiveris appointed to any of the property or assets ofthe Buyer; or

9.1.3. the Buyer ceases or threatens to cease to carryon business; or

9.1.4. the Seller reasonably apprehends that any of theevents mentioned above is about to occur inrelation to the Buyer and notifies the Buyeraccordingly.

9.2. If this clause applied, then without prejudice toany other right or remedy available to the Seller,the Seller shall be entitled to cancel the Contractor suspend any further deliveries under theContract without any liability to the Buyer and ifthe Goods have been delivered but not paid for,the price shall become immediately due andpayable notwithstanding any previous agreementor arrangement to the contrary.

10. General10.1. Any notice required or permitted to be given by

either party to the other under these Conditionsshall be in writing addressed to that other partyat its registered office or principal place ofbusiness or such other address as may at therelevant time have been notified pursuant to thisprovision to the party giving the notice.

10.2. No waiver by the Seller of any breach of theContract by the Buyer shall be considered as awaiver of any subsequent breach of the same orany other provision.

10.3. If any provision of these Conditions is held byany competent authority to be invalid orunenforceable in whole or in part, the validity ofthe other provisions of these Conditions and theremainder of the provision in question shall notbe affected thereby.

10.4. The Contract shall be governed by the laws ofEngland and the parties submit to the exclusivejurisdiction of the English courts.
