Executive Summary

Introduction

In response to Solicitation #DR11031 WSCA Small Package Delivery Services, Golden State Overnight Delivery Service, Inc. ("GSO") has crafted a proposal targeted to the State of California only. GSO cannot provide services outside the State of California, or Outside of the United States.

We have included pricing proposals for GSO service types that meet all the Intra-state service expectations outlined in this Solicitation. We expect to provide the best value option for California Agencies by providing a combination of on-time delivery and agency-specific services that cannot be matched by any other carrier, while offering a bottom line cost advantage over the national carriers.

GSO Background

GSO, a Ciilifornia Corporation, was created in 1995 to provide priority overnight package delivery throughout California. By focusing our pickup and delivery services in a specific geography, GSO is able to exceed the service capabilities versus our national competitors while reducing shipping costs for our customers.

GSO operates 32 regional sort centers for local management of our pickup and delivery operations. Our corporate offices including all executive staff, administration and technology are based in Alameda, California. GSO's Customer Service Center is located in Rancho Cordova, CA. GSO delivers more than 38,000 shipments per day with an on-time percentage goal of 97%. GSO employs approximately 1500 Californians and all packages are delivered by employee drivers. GSO does not utilize Independent Contractors or agents to make our deliveries.

GSO is committed to continually improving our technological capabilities. Shipper tools are equal to our national competitors, including web-shipping functions, PC-based shipping and labeling systems and cutting edge data-sharing technology. All packages are traced from pick up through delivery and signatures are captured for every shipment. Tracking and Proof-of-Delivery information is available through our web site www.gso.com.

Current Relationship with State of California

GSO entered into a Transportation Rate Agreement with the State of California in September, 1997. This agreement gave GSO the right to compete with other carriers for overnight delivery services to all state agencies. In 2006, GSO became a participant in the WSCA Small Package Delivery Service Solicitation# DR6917. Since that time, GSO has become the largest priority overnight delivery carrier for the State of California. We currently provide overnight delivery service for many California Agencies, delivering over 4,800 shipments daily from thousands of agency pickup locations throughout California.

Our success in this competitive environment is attributed to consistently performing pickup and delivery services at the highest levels, offering customized labeling and data transfer functions and unsurpassed customer care at competitive rates. Our Government Accounts Team is responsible for maintaining contact and ensuring timely and accurate response to aU agencies. Area of Service

Our proposal is specifically targeted to the State of California. GSO will provide pickup and overnight delivery service to and from every address in California.

Delivery Service Highlights

All GSO services provide next day delivery. GSO's PDS service levels assure that the majority of State packages requiring AM delivery will be delivered by our 10:30 AM deadline. Signatures are captured for every delivery and constant communication is maintained with every delivery driver. Delivery policies are designed to ensure that the agencies shipments are handled with complete control, limiting confidentiality exposure and ensuring on-time delivery. GSO deliveries are made by GSO delivery personnel.

Pickup Service Highlights

GSO offers daily pickup service within any Y, hour window of agency choice or On-call pickup service and drop box service as needed. GSO will provide daily pickup service as late as 8:00PM in most areas.

Labeling/Shipping Technology Tracking labels for shipments can be produced by using our web shipping function at www.gso.com. GSO can also provide many other means of labeling technology or provide custom labels when needed. Desktop training to every State of California employee is available and encouraged. We provide shipping envelopes and other packaging and also allow users to use their own packaging when more convenient.

Implementation As an incumbent carrier for WSCA since 2006, Golden State Overnight is uniquely positioned to continue the services outlined in this RFP. Thousands of California agency shipping locations have already selected GSO.as their small parcel carrier.

Company Qualifications and Agreement to Proposal Requirements

Qualifications of Carrier Golden State Overnight "GSO" is authorized pursuant to permits issued to transport shipments for portions-bid as described in this contract and will lawfully furnish all related services provided for in the contract. ·

Please see attached copy of State of California Department of Motor Vehicles Motor Carrier Permit# 0128448.

Golden State Overnight agrees to immediately notify Shipper of any threatened or actual suspension or revocation of any such permit or operating authority during the course of any awarded contract.

Golden State Overnight will not request, or be subject to, any law, provision or regulation that is inconsistent with the terms of the contract.

Insurance Requirements Golden State Overnight agrees to all insurance terms specified in the RFP

• GSO agrees to be covered for insurance types and amounts described in RPP.

• Prior to executing a Participating Addendum contract, Golden State Overnight shall furnish Participating States arid Shippers certificates of insurance as described in RFP.

• GSO agrees to require sub-haulers to maintain insurance types and amounts described in RPP.

• All liability and cargo policies provided shall name the Shipper (Utah and each participating state) as both a certificate holder and as an additional insured. Current insurance certificate(s) shall be sent to the Contract Administrator for the term of the contract.

WSCA Contract Terms and Conditions GSO Agrees to all terms and conditions detailed in document titled "Standard Contract Terms and Conditions- Western States Contracting Alliance Request for Proposal".

Summary of Requirements

Detailed Response - A

It is our understanding that this RFP # DR11031 solicits carriers to provide door to door Intrastate, and/or Interstate, and/or International shipments of small packages weighing up to 150 pounds, to commercial or residential addresses, with full service money back guarantee. Carrier must have a tracking system, offer a means for shipper to label packages, provide shipping supplies, customer service, an account management team, and customized reports to WSCA and the participating State(s). In addition, carrier must also have operating authority, Insurance, Workman's Camp coverage, and comply with other mandatory requirements as specified in "Proposal Requirements, sections A, B, and C" of this RFP.

For Intrastate service within the State of California, zone based pricing must include:

GSO Proposal of Service Golden State Overnight ("GSO") proposes the following scope of services for overnight small parcel delivery services to the State of California and its agencies.

GSO is uniquely positioned to offer services to the State of California as outlined in this RFP. Many California agencies and their various shipping locations have already selected GSO as their small parcel carrier. Since 1997, GSO has been a major Intra-State provider of delivery services to the various California agencies for overnight letters and packages weighing up to 150 pounds. GSO is the largest provider of overnight packages, p·ouch services and overnight hundredweight services for the State of California. Eighty-five percent of State agencies use GSO for payroll deliveries including master and daily payroll deliveries for the California State Controller's Office. GSO is used by most agencies and exclusively by the California Department of Motor Vehicles for overnight and ground parcel deliveries for their department and its branch offices. GSO is preferred by 90 percent of the California Department of Corrections and Rehabilitation and its Institutions because GSO performs its services using only company employees does not utilize independent contractors.

These California agencies have selected GSO over our various competitors for their overnight deliveries because we represent the best overall solution to their various needs and the best overall value available. GSO offers:

Proposed Service Area GSO will provide overnight delivery to and from every address in California

Description of GSO Services GSO provides Air Services and Ground Service. The categories are best defined by the guaranteed time of delivery rather than method of transportation.

GSO Air Services PDS (GSO Priority Overnight) guarantees next day delivery by 10:30 am, 12:00 noon or end of day depending on delivery destination. Over 90% of PDS deliveries are made to 10:30 am zones.

EPS (GSO Early Priority Overnight) ensures delivery by 8:00am or 9:30am depending on delivery location. Service is available to most areas.

SDS (GSO Saturday Delivery) offers delivery on Saturday with either PDS or EPS service standards.

HWS (GSO Priority Hundredweight) offers overnight delivery with PDS service standards for shipments with multiple boxes with aggregate weight greater than 100 lbs.

Priority Pouch Service ensures guaranteed overnight delivery. with either PDS or EPS service standards to pre-determined pickup and delivery locations- billed monthly per direction.

GSO Ground Services CPS (GSO Overnight Ground) provides guaranteed overnight delivery to every address in California by end of business day.

GSO offers daily pickup service within any Y, hour window of agency choice or on-call pick up service and drop box service as needed. GSO will provide daily pick-up service as late as 8:00pm in most areas. The number of pickups at each location is limitless if desired. Later pickup and exceptional after-hours pickup times are available by mutual agreement if necessary. Drop box pick up placement and pickups with keys or access cards are possible by mutual agreement. Del Ivery Services GSO provides overnight delivery to every address in California. All GSO services provide next day delivery. Our PDS service levels assure that the majority of State packages requiring AM delivery will be delivered by our 10:30 am deadline. GSO delivery routes start much earlier than the national competitors. Signatures are captured from every delivery and constant communication is maintained with every delivery driver. Delivery policies are designed to ensure that the agencies shipments are handled with complete control, limiting confidentiality exposure and ensuring on-time delivery.

GSO Delivery Staff GSO employs about 1,000 drivers. All GSO delivery drivers are employees. They are all uniformed, trained and provided with the tools necessary to execute their job functions. Every GSO driver wears a green GSO logo shirt with collar, tan pants or shorts, appropriate shoes and belt. Hats and other optional apparel items are provided with GSO logo. GSO driver compensation includes vacation/floating holidays, available health plan and 401K. GSO drivers also have full Workers' Compensation Insurance coverage.

All candidates for employment with Golden State Overnight are required to complete the following screening procedures prior to an Offer of Employment:

1. Behavioral Screening Test (Tescor) 2. Drug Screening Test 3. Background Check to include criminal and worker's compensation history. 4. GSO Delivery personnel are required to provide a DMV report and may be required to pass a

pre-employment physical evaluation.

Golden State Overnight maintains constant contact with all of our couriers while in performance of their duties. All GSO delivery staff are GSO employeesprovided with Nextel radios and handheld scanners for transmitting Proof-of-Delivery information. Proof-of-Delivery information is captured and transmitted by the driver from the field and is normally available within minutes of the delivery.

Package Tracking Every package that enters GSO's delivery system is tracked from the point of pick up to the point of delivery. All GSO dispatch and customer service staff has access to the same delivery information provided on the shipment tracking label to ensure constant and consistent communications. All GSO drivers carry Nextel communication devices and hand-held scanning devices utilized at various exchange points through the GSO delivery system. A delivery signature is captured at the point of delivery, and Proof-of-Delivery and other tracking information is constantly updated and available through our web tracking function at www.gso.com. Drivers can be contacted for shipment status, recall or re-direction in real time.

A unique internal process is the use of routing labels on all GSO shipments. When the bar-coded shipping label is scanned, based on the delivery zip code and service type, GSO system assigns a routing label to the package automatically directing the package to a delivery hub and a delivery route driver. This process minimizes miss-sorts thus reducing delayed deliveries. In addition GSO delivery branch has the ability to transfer packages to a larger vehicle route wirelessly so that multiple packages to the same recipient can be delivered all at the same time instead of splitting the shipments via different drivers.

Package labeling Every shipment tendered to GSO requires a bar-coded label for tracking and delivery. Shipment labels for most agency shipping locations are produced by using our web shipping function at www.gso.com. Webship is powerful, yet simple and generally self-guided. Web training is available if needed through our customer service center and on-site training is available through our Government Accounts Team. For high-volume shipping locations, GSO can provide a PC-based ShipGSO Shipping System that includes a scale, printer, scanner and other required Items at no charge to the shipping agency. We can also provide shipping labels created from customer data files for farge volume shipping projects and preprinted airbills for agencies without internet access. There are many way ways to transmit shipment data to GSO and for GSO to share shipment and tracking data with agencies. GSO is prepared to work with Agency IT staff to determine the best ")ethods for sharing data.

Customer Service Center ("CSC") The customer service center is available for obtaining information about GSO services or relating to any specific shipment or account. Use the esc for requesting shipping supplies, scheduling pickup services and obtaining the status of any shipment or any account. All Billing, IT, and Web support questions can be addressed by contacting the CSC. All CSC departments are staffed from 7:00AM to 8:00PM Monday through Friday and 7:00AM to 4:00PM on Saturdays. Emergency contacts are available 24 hours per day.

GSOWebsite -www.gso.com also provides information on tracking, pickup, guaranteed delivery times, rate information specific to customer account, drop box locator, supply requisitions, service guides, internet shipping, secured account billing information, invoicing, shipping reports, and other frequently asked questions.

Government Account Team In addition to our Customer Service organization, GSO maintains a team of trained personnel specifically for the purpose of maintaining quality assurance for the State of California. Our Government Accounts Team visits and maintains contact with all shipping agency locations on a regular schedule to ensure that their service expectations are being met, to introduce new technologies, services or procedures and to provide training to the agency personnel. New accounts for all state agencies are processed through our Government Accounts Team to ensure that all rating and other contract terms are met.

Agencies with special needs, such as intricate labeling requirements or sporadic high-volume projects are provided access to the Government Accounts Team by email and dedicated Toll-free 800 line to ensure seamless handling of their special needs.

Reporting Capabilities .

GSO captures detailed data for every shipment that is picked up and delivered. Shipment data retained includes, but is not limited to: All pickup and delivery address information, dates and times of pickup and delivery, package weight, billing information, reference numbers, and proof of delivery information. Every time a package is scanned in our system we are able to identify and capture the location and/or employee handling the packages and the vehicle route that possessed the package. The GSO system allows for internal or external notes to be entered into the system to record issues related to the status or resolution of a delivery.

GSO has worked with many customers including the State of California and its agencies to use this extensive data to develop meaningful reports and methods of reporting that meets the individual's needs. GSO has agreed to meet the reporting requirements specifically outlined in this RFP. GSO has the technological capability and resources to produce additional detailed reports as required by participating states and state agencies.

Detailed Response - B

Mandatory Requirements

1. Provide firm rates for one year.

GSO agrees to provide firm rates for one year.

2. Fuel Surcharge. If Carrier applies a fuel surcharge, an express air and ground cap not to exceed 7% for the full term of the Master Price Agreement will be Imposed. Authorized Users must also be able to confirm the accuracy of invoices by accessing the Carrier's website for fuel surcharge information. The Carrier's website shall also provide historical

fuel surcharge Information. The fuel surcharge assessed under this Master Price Agreement shall not exceed the

Carrier's published surcharge rate or 7% whichever is lower.

GSO's fuel surcharge will not exceed 7% for the full term of the Master Price Agreement. The GSO web site will provide historical fuel surcharge information for users to verify against their invoices. The fuel surcharge assessed under this Master Price Agreement shall not exceed the Carrier's published surcharge rate or 7% whichever is lower.

3. Carrier Service Guide In effect at time of Master Price Agreement award will be in effect for the first year of the

Master Price Agreement with no changes in rates or charges during that time without the prior written approval of

the WSCA Contract Administrator. The pricing in this Master Price Agreement is not tied to the Carrier's published list

pricing in the Service Guide.

GSO agrees to leave Service Guide at time of contract award in effect for the first year

of th.e contract. The pricing in this Master Price Agreement is not tied to GSO's published list pricing in the Service Guide.

4. No pick-up charges or weekly service charges shall be assessed for air or ground shipments tendered to the Carrier

due to aggregate WSCA volume anticipated. There shall be no required minimum number of packages per trip, per

day, per week, or per month. No pick charge may be assessed in addition to the contracted rate for the shipment.

GSO will not assess additional pick-up charges or weekly service charges for air or

ground shipments.

5. Carrier must pick-up packages directly from all requesting agencies and political subdivisions upon request. Offeror

shall state In its respon.se that all Master Price Agreement pricing will be extended to all participating state agencies

and political subdivision. Carrier must bill each Authorized User for shipments the Authorized User tenders to the

Carrier.

6. Carrier must provide clearly marked money back guaranteed zone based price sheets {schedules of rates and charges)

for each service showing rates and charges by weight and zone for california. Separate rates in.pages may be provided and clearly marked for Hawaii. Carriers offering pricing for Intrastate groUnd services only must provide

separate clearly marked zone based pricing for.the designated state. Rates will be In dollars and cents per pound.

GSO will provide clearly marked zone based price sheets (schedules of rates and charges) for

each service showing rates and charges by weight and zone for intrastate California shipping.

Rates are In dollars and cents per pound. Rate sheets are included in the Cost Proposal

section of this RFP.

7. Money Back Guarantee. The Carrier shall provide a 100% Money Back Guarantee. Upon request of the Authorized

User, the Carrier shall fully refund or credit the Authorized User account for the packages that are not delivered or

picked up in accordance with the guaranteed delivery service. Packages that are delivered 60 seconds after the

guaranteed delivery time are considered late. The Authorized User shall request the refund or credit within 30 days

of the scheduled delivery time. Carriers are encouraged to offer automatic refunds. lfthe late package meets one or

more of the Carrier's exception criteria, as stated in the Service Guide, the carrier is not obligated to issue a refund to

the Authorized User.

GSO agrees to provide a 100% Money Back Guarantee. Upon request of the Authorized User,

GSO will fully refund or credit the Authorized User account for the packages that are not

delivered or picked up In accordance with the guaranteed delivery service. Packages that are

delivered 60 seconds after the guaranteed delivery time are considered late. The Authorized

User shall request the refund or credit within 30 days of the scheduled delivery time. If the

late package meets one or more of GSO's exception criteria, as stated In the Service Guide,

then GSO is not obligated to issue a refund to the Authorized User.

8. Any Carrier terms and conditions, including internet terms and conditions, will not supersede any WSCA or

Participating State or Participating Entity Master Price Agreement or Participating Addendum terms or conditions.

GSO internet terms and conditions will not supersede any WSCA terms and conditions.

9. Offeror must demonstrate an established, successful track record of past performance In duties and responsibilities

related to domestic and International transportation services specified herein. This can be established by providing a

copy of reports such as a Carrier Annual report, report to Surface Transportation Board, or balance sheets and income

and expense statements. Data documenting on time delivery performance for express small package air and small

parcel ground services for the past twelve (12) months shall be Included.

10. Carrier shall have the capabilities of providing the services required under this Price Agreement. For Carriers

providing Intrastate service, Carrier shall serve every zip within the boundaries of the Participating State requesting

intra-state services as lndentlfied in this RFP, see Attachment B.

GSO has the capability of providing intrastate services for every zip code in the State of

California as Identified In this RFP.

11. Carrier shall have trained personnel that can research and maintain a quality assurance program through tracking and

monitoring deliveries. Carrier should describe its-ongoing quality control program.

Our on-time delivery performance goal is 97.0% and delivery performance Is tracked daily.

The following initiatives and related reports are utilized by management daily. The

information is used In assessing our needs and focusing resources in the areas needed to

continually employ best practices and Improve service:

• Our Service Audit documents our on time deliveries in each Operations facility and

compares it to our goal of 97%.

• Missorted packages are tracked by our Customer Service Supervisor. The Supervisor

monitors the same day recovery of all shipments whenever possible and notifies

customers of any delay.

• Missed pick ups are handled similarly. Communication with our customer In the event

of a service failure is key, and we require customer follow up within the hour of the

( customer notification.

• Our Customer Service Representatives are trained to obtain as much detail as possible

regarding customer complaints. A formal complaint notice Is competed and reviewed

by a Customer Service Supervisor. That Supervisor works closely with Operations to

assure that all appropriate steps to resolve and prevent future occurrence are taken.

minimize a chance of reoccurrence.

• Drivers are paid bonuses for achieving targeted on time performance goals.

Our Customer Service Center ("CSC") Is designed to support our customers by providing the

best service available in the industry. A key department of the esc is the GSO Tracking

Center, which processes all customer package tracking requests to provide detailed

information about shipment status in a timely manner. All tracking requests are recorded on

our performance is measured against our goal 95% on-time tracking resolution. We have

established the following procedures to ensure consistent quality standards:

• Tracking requests are instantly transmitted through the GSO Tracking Center to our

Tracking Department and Operations facilities.

• Tracking Representatives monitor all requests for resolution within one hour and

provide prompt updates to our customers.

• If further research is required, escalation procedures are in place to involve ail levels

of management to ensure issues are addressed properly and In a timely manner.

GSO also uses its Governments Account Team specifically for the purpose of evaluating the

quality of our service to the State of California. The Government Accounts Team makes

contact in person and by telephone with agency shipping locations on a Weekly, Monthly or

Quarterly schedule to secure detailed evaluation of GSO services and performance of our

various service departments, including:

• Pickup and delivery services

• Driver evaluations

• Customer Service response

• Tracking Center response

• Billing and Invoicing

• Labeling and package process training

Meetings are also used to deliver and review agreed reporting on performance results as well

as to introduce new services, policies or procedures. Results of these evaluations are

reviewed by marketing, operations and esc management.

12. Carrier shall have uniformed personnel who wlll adhere to all security procedures required by Authorized Users.

All GSO drivers are employees. They are all uniformed and trained to adhere to all security

procedures required by authorized users.

13. Authorized Users shall not be liable for any expense incurred by the carrier as a consequence of any traffic

infractions, parking violations or fees attributable to employees or drivers of the Carrier.

Authorized Users will not be liable for any expenses incurred by GSO as a consequence of any

traffic Infractions, parking violations or fees attributable to employees or drivers of GSO.

14. Drop Boxes and Shipping Supplies. Carrier must agree to place receptacles in convenient locations within

Participating States and describe other centralized collection procedures available. Containers must be of sufficient

size to contain 8 1/2"x 11" sheets of paper without folding, up to the weight limit for various categories. The carrier

shall provide express pack boxes and express tubes to Participating States at no cost. Carrier shall provide requested

materials and supplies within 48 hours of request, except for preprinted shipping forms. Pre~printed shipping forms

are Carrier's shipping forms pre-printed with users address and billing Information. Note: Any preprinted terms and

conditions on any Carrier forms, which are inconsistent with the terms and conditions of the Master Price Agreement

and any Participating Addendum are rejected and do not modify, change or replace the terms and conditions of this

Master Price Agreement or subsequent Participating Addenda. Carrier shall, at no additional charge, provide

Authorized Users with label printers, labels, etc. Or the abllity to print labels that are required to prepare articles for

shipment. Offeror shall describe its program for providing such printers, Including Its lease terms and conditions or

the ability to print labels.

GSO Drop Boxes and supplies are conveniently located throughout the State of California for

centralized collection. A drop box locator is available at www.gso.com. GSO will also provide,

within 48 hours of request, and at no cost to authorized users, express containers,

Pre-printed shippi!'g forms, and other labels as required. GSO will provide, at no additional cost, authorized users with the ability to print labels required to prepare articles for

shipments. For high volume users, GSO will provide label printers and shipping systems upon

mutual agreement between GSO and the authorized user. Note: Any preprinted terms and conditions on any GSO forms, which are inconsistent with the terms and conditions of the Master Price Agreement and any

15. Software, Carrier shall, at no additional charge, provide Authorized Users with any software that Is required to

prepare articles for shipment. Carrier shall provide Authorized Users the most current version of the software and provide upgrades and enhancements free of charge during the term of this Master Price Agreement. Software shall

be compatible with PC operating systems. It Is desirable for software to be compatible on Macintosh systems. Carrier

shall indicate If any such software is required or available.

GSO will provide, at no additional charge, authorized users with any software required to

prepare articles for shipment including all updates and enhancements free of charge during

the term of this Master Price Agreement. Software will be compatible with PC operating

systems. Software is not compatible on Macintosh systems; however, GSO Webship can be

used in lieu of software for users that have Macintosh platforms.

16. Carrier must provide its calendar or fiscal year 2009 Operating Ratio (operating expenses divided by operating

revenues multiplied by 100 give the percentage of the operating revenues which are required to pay the operating

expenses, this being the operating ratio)

18. Carrier must provide the name of the person who will work with the WSCA Contract Administrator during the term of

the Master Price Agreement. This person must be authorized to coordinate with other Carrier representatives In each

Participating State to ensure an efficient lmplementatioil of the Master Price Agreement. These representatives will

be able to quickly assign agency account numbers and Insure the WSCA contra~t rates are attached accordingly.

Carrier must describe the process required to obtain agency account numbers and Carrier personnel assigned must

have full knowledge of the WSCA Master Price Agreement.

Ernesto Diamonon is our Director of Government Accounts. He and his staff (Government

Accounts Team) will work with the WSCA Contract Administrator during the term of the

contract. Ernesto will work as liaison between Carrier and Shipper agencies to assign agency

account numbers and insure the WSCA contract rates are attached accordingly. Agency

account numbers can be obtained by contacting GSO dedicated Government Account Team

toll free at 1-800-743-9985. The Government Accounts Team has full knowledge of the WSCA

Master Price Agreement.

19. Carrier shall designate one person responsible for Carrier's work under this Master Price Agreement. Carrier shall

provlde.to each Participating State the name, address and telephone number of such person and shall keep this

Information current ·at all times. Should contact with such person require long distance calls, Carrier will provide a toil

free number to be used during normal business hours.

Since GSO filings are for California rates only, it will not be necessary to have a Contract

Manager coordinating WSCA rates with other participating states. GSO has a dedicated toll

free number 1-800-743-9985 for use by participants of this RFP.

20. Problem Resolution. Carrier shall be available for problem resolution on·slte at the Authorized User's location. In

addition, Carrier shall be available to Authorized Users via local or toll free phone number for normal problem

resolution Including but not limited to problems of shipment pickup, delivery, clai~s handling or incorrect billing.

Requests for on-site problem resolution shall be on an as needed basis per resolution within 24 hours of Authorized

User's request.

GSO field staff can be available for problem resolution on-site at the Authorized User's

location when necessary. In addition, GSO Customer Service staff and the GSO Government

Accounts Team will be available to Authorized Users via local or toll free phone number for

normal problem resolution including but not limited to problems of shipment pickup, delivery,

claims handling or incorrect billing. Requests for on-site problem resolution shall be on an as

needed basis per resolution within 24 hours of Authorized User's request.

21. Dangerous1 Hazardous or Otherwise Restricted Materials. Carrier shall be capable of shipping a variety of hazardous,

dangerous or other restricted types of materials. Carrier shall provide its policy for hazardous or restricted materials

shipments.

GSO is capable of handling Otherwise Restricted Materials in limited quantities or Other

Regulated Materials (ORM-D) In consumer quantities. GSO's policy is to accept shipments of

Hazardous materials only from Approved Known Shippers and in compliance with DOT

regulations under CFR 49.

22. Shipment of Materials. Carrier must be able to provide services for shipments of evidentiary materials in compliance

with any participating state laws, policies or procedures. A copy of these Participating State or Participating Entity

policies and procedures ls available upon request.

GSO can provide services for shipments of evidentiary materials in compliance with California

state laws, policies and procedures.

23. Deliver as Addressed. When requested by Authorized User, Carrier shall return undeliverable package to sender,

rather than performing an address correction. and forwarding the package to an address. Carrier shall work With the

Authorized User to adequately identify these items as "deliver as addressed" or in some mutually agreed language

rather than forwarding them on to a correct address. Authorized Users shall notify Carrier of such packages. Carrier

shall not charge an additional fee for returned items that are appropriately identified as "deliver as addressed".

When requested by Authorized User, GSO will return undeliverable package to sender, rather

than performing an address correction and forwarding the package to an address. GSO will

work with the Authorized User to adequately Identify these items as "deliver as addressed" or

in some mutually agreed language rather than forwarding them on to a correct address.

Authorized Users shall notify GSO of such packages. GSO will not charge an additional fee for

returned items that are appropriately identified as "deliver as addressed" .

. 24. Carrier Shall to:

a. Meet or conference call at least quarterly with the WSCA Contract Administrator to review

performance, usage under the Master Price Agreement, and discuss opportunities for improvements.

b. Provide all documentation necessary for any performance audit(s), as requested by any participating

state.

c. Notify the WSCA Contract Administrator In writing of any unresolved disputes of problems that have

been outstanding for more than thirty (30) days.

d. Provide an overview of reporting capabilities that includes report formats, standard reports available,

~nd ad-hoc report capabilities, and any sample reports.

GSO agrees to meet or conference call quarterly with WSCA as indicated above.

25. Offeror shall describe its Implementation plan for this RFP that would be used as a result of a Master Price Agreement

award. The plan shall be designated to assist Authorized Users in determining the optimal approach to maximize use

of Carrier services. immediately upon Master Price Agreement award, the Carrier(s) shall begin a WSCA statewide

Implementation of the Master Price Agreement.

GSO Is currently a major provider of Air and Ground Shipping Services for the majority of State

of California agencies. GSO is currently a WSCA approved carrier for the State of California.

The dally activities of our Government Accounts Team are designed to maximize the use of

GSO services by Shipper agencies. In the event we are awarded agencies that we do not

currently provide service for, a GSO Government Account Representative will immediately

upon award of the contract contact the agency directly to disseminate contract award

information and set a strategy and schedule for implementation. If necessary, the

Government Accounts Team can direct the activities of a larger group of GSO sales staff

throughout the state of California to meet with agency shipping locations for implementation

of service and training end users on shipping, labeling and tracking services.

26. Onllne Ordering, Document and Label Printing. Carrier shall provide online seJVices ordering capability as well as

online -printing of shipment documentation and labels. Online ordering and printing services shall be available to

Authorized Users via access through the Internet and be capable of being accessed utilizing standard documentation

printing services, Including a description of the security and privacy protection features that will be applicable to

online services. The system shall accommodate a reference field for internal for internal tracking numbers for Invoice

payment. The reference field shall accommodate up to 20characters.

GSO will provide online services ordering capability as well as online printing of shipment

documentation and labels. Online ordering and printing services shall be available to

Authorized Users via access through the Internet and be capable of being accessed utilizing

standard documentation printing services, including a description of the security and privacy

protection features that will be applicable to online services. The current GSO web shipping

method can accommodate a reference field of up to 50 characters for internal tracking

numbers for invoice payment.

27. Shipment Tracking. Carrier shall provide a twenty-four (24) hour shipment tracking system. Tracking shall be

available to Authorized Users through both a toll-free telephone number or via electronic and online access through

the Internet and be capabte of being accessed utlllzlng standard Internet Web Browsers. Carrier shall respond to all

shipment tracking requests ~y Authorized Users within four (4) hours of first request. Information from an inquiry

shall include acknowledgement of pickup, acknowledgement of in-transit destinations and final delivery. Upon

Authorized User's request Carrier shall provide copies of shipping receipt signed by recipient or shall otherwise

provide an online signature verification and shipment receipt verification function. Carrier shall fax signed receipt

upon request. Carrier shall provide these services to Authorized Users at no additional cost. Offeror shall describe its

online shipment tracking services, Including description of the security and privacy protection features that will be

applicable to online shipment tracking services.

GSO will provide a twenty-four (Z4) hour online shipment tracking system capable of being

accessed utilizing standard Internet Web Browsers. In addition, users can call our Customer

Service Toll Free number from 7:00AM to 8:00 PM Monday through Friday, and 7:00AM to

4:00 PM on Saturdays. Emergency contacts are available Z4 hours per day. GSO will respond

to all shipment tracking requests within four (4) hours of first request. Information from an

inquiry shall include acknowledgement of pickup, acknowledgement of in-transit destinations

and final delivery. Upon Authorized User's request GSO will provide copies of shipping receipt

signed by recipient or otherwise provide an online signature verification and shipment receipt

verification function. GSO will fax signed receipt upon request. GSO will provide these

services to Authorized Users at no additional cost. Tracking a shipment online with GSO will require the user to either know the tracking number or login to their secured account to track

their own shipments. GSO's Privacy and Security Policy terms and conditions can be viewed at

28. Negotiable Instruments. Carrier must be able to provide services for the shipment of negotiable

instruments up to $50,000 in value.

GSO can provide services for shipments of negotiable instruments up to $50,000 in value

provided that valuation Is declared at time of shipment and valuation fees paid in accordance

with GSO service guide for declared value shipments. In addition, shipments with value

exceeding $10,000 require advance notification by phone to GSO Customer Service prior to

acceptance of shipment.

30. Preference will be given to Offerors who participate in the EPA SmartWay Program or equivalent. Carriers must

describe their ongoing efforts to provide environmentally clean transportation services. Describe any reports

available from the Carrier, for participating States that summarizes the transportation related emission reductions,

etc.

GSO has demonstrated its commitment to the US EPA's Smartway Transport Partnership by

purchasing new Wabash 53' OHD Trailers equipped with Dura plane Aeroskirts and tractors

that meet Smartway specification. These trailers are the cleanest, most fuel efficient trailers

In today's market. They provide better fuel economy and a cleaner ride by creating a savings

of 5.6% In fuel consumption. Please see "GSO Green Initiative Program" as an attachment

within this RFP.

31. WSCA Administration Fee. Carrier(s} will remit to WSCA an Administration Fee in the mount of one half of one

percent (.5%) of the total sales from the resulting Master Price Agreement, In accordance with the terms and

conditions of the Master Price Agreement. The WSCA administration fee shall be submitted quarterly and Is based on

sales of services. The WSCA administration fee Is not negotiable. The WSCA quarterly check will be submitted per the

schedule listed below to the following address:

A copy of the check along with the quarterly report shall be sent to Dan Reisner, Contract Administrator. The

submitted reports are to coincide with the quarters and date ranges as outlined below:

Quarter 1: January 1't through March 31st- due by April 30th

Quarter 2: April15t through June 30th- due by July 30th

Qua.rter 3: July 15t through September 30th- due by October 30th

Quarter 4: October 1st through December 31~t- due by January 301h

The pricing submitted in response to this Proposal shall include the WSCA Administrative Fee.

-·Additionally, some Participating States may require that an additional fee be paid directly to the Participating State on

purchases made by procuring entities within that State. For all such requests, the fee level, payment method and

schedule for such reports and payment will be incorporated In the Participating Addendum. GSO may adjust the

Participating State's pricing accordingly for purchases made by Authorized Users within the jurisdiction of the

P_articlpatlng State. All such agreements may not affect the WSCA fee or the prices paid by the Authorized Users

outside the jurisdiction of the Participating State requesting the additional fee.

GSO agrees to pay WSCA fee quarterly with accompanying reports as described in this RFP.

32. Report Requirements: Carrier must provide a quarterly report to WSCA COntract Administrator listing, for Intrastate

shipments from the state of California, a total of all express and ground shipments by sum of net revenue, sum of pieces,

sum of weight for each month in the quarter. The grand total for the quarter will be listed for Intrastate California as well

as the calculation and dollar amount of the quarterly WSCA Fee.

GSO will provide intrastate California shipping reports on a quarterly basis to the State of California. The reports at

minimum shall contain the bulleted items stated below:

• Account number, agency/entity name and address.

• Shipping volume by type of service, I.e. ground, express air, etc.

• Pieces, weight and net charges,

• Individual account and total dollar expenditure

• Any other Information as requested by Participating States or Participating Entity from the following

general categories: 1) City/Town; 2) County; 3) Higher Education; 4) Public Education and 5) State

Agency.

GSO agrees to meet quarterly reporting requirements as described in this RFP.

33. Additional Non-WSCA States may be added with the consent of Carrier, Lead State (on

Behalf of WSCA) and the Director of Purchasing for each State or Entity through the

execution of Participating Addenda.

Not applicable for California Intrastate.

34. Shipper or Account Numbers: Carrier shall designate a shipper or account number for

each Authorized User. The shipper or account number shall be indicated on each

tendered shipment. The prices offered under this Master Price Agreement shall tie

directly to each shipper or account number.

GSO will designate a shipper account number for each authorized user. The shipper or

account number will be indicated on each tendered shipment. The prices offered under this

Master Price Agreement shall tie directly to each shipper or account number.

35. The Participating Addendum (PA) shall show the effective date for the application of the

Master Price Agreement rates. A copy of each fully executed PA shall be sent to the

WSCA Contract Administrator.

A copy of the fully executed signed Participating Addendum (PA) for California will be sent to

the WSCA Contract Administrator showing the effective date and the application of the

Master Price Agreement rates.

At Golden State Overnight (GSO), we care about keeping our planet healthy and green. Reducing Waste through Paperless Billing

A paperless billing not only save trees, but also helps reduce production wastes that themselves emit greenhouse gases, produce toxiC waste water, etc.

• GSO offers many paperless billing options to its customers. At present, over 25% of our customers have adopted paperless invoicing (an increase from 16% at the end of2009). Furthermore, 69% of GSO billed packages are set to thee-billing option, which equates to over 6.6 tons of annual C02 savings.

• GSO also encourages customers to make payments without a (paper) check

Reducing Waste by Conserving Paper in the Office

Paper is the number one material thrown away and also one of the biggest polluting industries. The average U.S. worker uses about 10,000 sheets of copy paper each year.

Since February 2007, GSO has been focused on reducing paper consumption. With over 27 offices throughout California, Nevada and Arizona, GSO leased new copiers with scanners. Fonns are now circulated electronically and are only printed when needed. Copiers default settings are set to print double-sided.

Reducing Energy through Fluorescent Lighting

GSO's headquarter uses eco-friendly fluorescent lamps that pass the U.S .. EPA's TCLP test and granted non-hazardous status at all stages of life by the State of California. These low-mercury fluorescent light

· tubes contain 40-50% less mercury than standard tubes.

Reducing Energy through Thin Clients

The choice ofThinSTARs over PCs for businesses has reduced C02 emissions. Energy consumption for ThinSTARs is up to 50% lower than an average PC.

As reported by Info World, "thin clients consume anywhere from 6 to 50 watts- far less than the 150 to 350 watts use<\ by a typical PC."

GSO currently utilizes 415 NCD ThinSTARs in place of desktops, which equates to over 42 metric tons of annual C02 savings.

Reducing Energy by switching to Data Centers

As the economy shifts from paper-based to digital information, data centers are significant consumers of energy. A strong focus on energy efficiency is essential with the increased energy costs and increased emissions from electricity generation.

In 2008, GSO decided on moving its IT infrastructure to a Colocation centre, which allows GSO to place its servers on Colocation racks and share their bandwidth. Not only does this strategy create cost savings for bandwidth, but also have better outage protection and additional physical security for our machines. We have chosen a green data center that is focused on energy efficient practice that supports our environment.

GSO Colocation site: • Certified by Bay Area Green Business Program • LEED Certification • Member of the Green Energy Grid • Deploying heat exchangers, air economizers & power generators • Retro-fitted with CFL light bulbs • Installed Variable Frequency Drives in its HV AC systems for efficiency.

Along with the move to Co location, GSO focused on improved server operations. We consolidated·our servers and eliminated unused servers in our effort to increase server utilization. In additional we also purchased "energy-efficient" servers for our Colocation site.

GSO's technology platform also extends green initiatives to its customers by offering SaaS (Software as a S'crvice) Cloud computing solution using GSOWebShip and GSOQuicRShip online shipping applications, web services integrations which minimize upfront investment & maintenance of servers on·customer's side. Reducing Energy through focus on Transportation

Transportation accounts for 30% of greenhouse emissions that humans release into the atmosphere. Pollution is not only generated through the burning of gasoline, but also in the production of gasoline.

GSO has demonstrated its commitment to the US EPA's Smartway Transport Partnership by_purchasing & new Wabash 53' OHD Trailers equipped with Duraplate Aeroskirts and_l2 tractors that meet Smartway specification. These trailers are the cleanest, most fuel efficient trailers in today's market. They provide better fuel economy and a cleaner ride by creating a savings of 5.6% in fuel consumption.

GSO also uses either electric or EPA certified forklifts for our facilities.

Reusing and Recycling

The United States produces approximately 210 million tons of solid waste each year. The only safe, clean way to reduce the GARBAGE PROBLEM is "Reuse and Recycle."

GSO launched its recycling program companywide in 2009. The _program began with paper, cans and bottles recycling. Printer toner cartridges are also reused and recycled. Our recycling program will also be expanded to include recycling for fluorescent lights, batteries, plastics, etc.

GSO also properly disposes of its electronic waste in accordance with California's Electronic Waste Recycling Act. '

Executive Summary

Introduction

In response to Solicitation #DR11031 WSCA Small Package Delivery Services, Golden State Overnight Delivery Service, Inc. ("GSO") has crafted a proposal targeted to the State of California only. GSO cannot provide services outside the State of California, or Outside oft he United States.

We have included pricing proposals for GSO service types that meet all the Intra-state service expectations outlined in this Solicitation. We expect to provide the best value option for California Agencies by providing a combination of on-time delivery and agency-specific services that cannot be matched by any other carrier, while offering a bottom line cost advantage over the national carriers.

GSO Background

GSO, a California Corporation, was created in 1995 to provide priority overnight package delivery throughout California, By focusing our pickup and delivery services in a specific geography, GSO is able to exceed the service capabilities versus our national competitors while reducing shipping costs for our customers.

GSO operates 32 regional sort centers for local management of our pickup and delivery operations. Our corporate offices including all executive staff, administration and technology are based in Alameda, California. GSO's Customer Service Center is located in Rancho Cordova, CA. GSO delivers more than 38,000 shipments per day with an on-time percentage goal of 97%. GSO employs approximately 1500 Californians and all packages are delivered by employee drivers. GSO does not utilize Independent Contractors or agents to make our deliveries.

GSO is committed to continually improving our technological capabilities. Shipper tools are equal to our national competitors, including web-shipping functions, PC-based shipping and labeling systems and cutting edge data-sharing technology. All packages are traced from pick up through delivery and signatures are captured for every shipment. Tracking and Proof-of-Delivery information is available through our web site www.gso.com.

Current Relationship with State of California

GSO entered into a Transportation Rate Agreement with the State of California in September, 1997. This agreement gave GSO the right to compete with other carriers for overnight delivery services to all state agencies. In 2006, GSO became a participant in the WSCA Small Package Delivery Service Solicitation# DR6917. Since that time, GSO has become the largest priority overnight delivery carrier for the State of California. We currently provide overnight delivery service for many California Agencies, delivering over 4,800 shipments daily from thousands of agency pickup locations throughout California.

Our success in this competitive environment is attributed to consistently performing pickup and delivery services at the highest levels, offering customized labeling and data transfer functions and unsurpassed customer care at competitive rates. All GSO services provide next day delivery. GSO's PDS service levels assure that the majority of State packages requiring AM delivery will be delivered by our 10:30 AM deadline. Signatures are captured for every delivery and constant communication is maintained with every delivery driver. Delivery policies are designed to ensure that the agencies shipments are handled with complete control, limiting confidentiality exposure and ensuring on-time delivery. GSO deliveries are made by GSO delivery personnel.

Pickup Service Highlights GSO offers daily pickup service within any Y, hour window of agency choice or On-call pickup service and drop box service as needed. GSO will provide daily pickup service as late as 8:00PM in most areas.

Labeling/Shipping Technology Tracking labels for shipments can be produced by using our web shipping function at www.gso.cbm. GSO can also provide many other means of labeling technology or provide custom labels when needed. Desktop training to every State of California employee is available and encouraged. We provide shipping envelopes and other packaging and also allow users to use their own packaging when more convenient.

Implementation As an incumbent carrier for WSCA since 2006, Golden State Overnight is uniquely positioned to continue the services outlined in this RFP. Thousands of California agency shipping locations have already selected GSO. as their small parcel carrier.

Company Qualifications and Agreement to Proposal Requirements

Qualifications of Carrier Golden State Overnight "GSO" is authorized pursuant to permits issued to transport shipments for portions.bid as described in this contract and will lawfully furnish all related services provided for in the contract. ·

Please see attached copy of State of California Department of Motor Vehicles Motor Carrier Permit# 0128448. ·

Golden State Overnight agrees to immediately notify Shipper of any threatened or actual suspension or revocation of any such permit or operating authority during the course of any awardeq contract.

Golden State Overnight will not request, or be subject to, any law, provision or regulation that is inconsistent with the terms of the contract.

Insurance Requirements Golden State Overnight agrees to all insurance terms specified in the RFP

• GSO agrees to be covered for insurance types and amounts described in RPP.

• Prior to executing a Participating Addendum contract, Golden State Overnight shall furnish Participating States and Shippers certificates of insurance as described in RFP.

• GSO agrees to require sub-haulers to maintain insurance types and amounts described in RPP.

• All liability and cargo policies provided shall name the Shipper (Utah and each participating state) as both a certificate holder and as an additional insured. Current insurance certificate(s) shall be sent to the Contract Administrator for the term of the contract.

Summary of Requirements It is our understanding that this RFP # DR11031 solicits carriers to provide door to door Intrastate, and/or Interstate, and/or International shipments of small packages weighing up to 150 pounds, to commercial or residential addresses, with full service money back guarantee. Carrier must have a tracking system, offer a means for shipper to label packages, provide shipping supplies, customer service, an account management team, and customized reports to WSCA and the participating State(s). In addition, carrier must also have operating authority, Insurance, Workman's Camp coverage, and comply with other mandatory requirements as specified in "Proposal Requirements, sections A, B, and C" of this RFP.

For Intrastate service within the State of California, zone based pricing must include:

GSO Proposal of Service Golden State Overnight ("GSO") proposes the following scope of services for overnight small parcel delivery services to the State of California and its agencies.·

GSO is uniquely positioned to offer services to the State of California as outlined in this RFP. Many California agencies and their various shipping locations have already selected GSO as their small parcel carrier. Since 1997, GSO has been a major Intra-State provider of delivery services to the various California agencies for overnight letters and packages weighing up to 150 pounds. GSO is the largest provider of overnight packages, pouch services and overnight hundredweight services for the State of California. Eighty-five percent of State agencies use GSO for payroll deliveries including master and daily payroll deliveries for the California State Controller's Office. GSO is used by most agencies and exclusively by the California Department of Motor Vehicles for overnight and ground parcel deliveries for their department and its branch offices. GSO is preferred by 90 percent of the California Department of Corrections and Rehabilitation and its Institutions because GSO performs its services using only company employees does not utilize independent contractors. ·

Proposed Service Area GSO will provide overnight delivery to and from every address in California

Description of GSO Services GSO provides Air Services and Ground Service. The categories are best defined by the guaranteed time of delivery rather than method of transportation.

GSO Air Services PDS (GSO Priority Overnight) guarantees next day delivery by 10:30 am, 12:00 noon or end of day depending on delivery destination. Over 90% of PDS deliveries are made to 10:30 am zones.

EPS (GSO Early Priority Overnight) ensures delivery by 8:00am or 9:30am depending on delivery location. Service is available to most areas.

SDS (GSO Saturday Delivery) offers delivery on Saturday with either PDS or EPS service standards.

HWS (GSO Priority Hundredweight) offers overnight delivery with PDS service standards for shipments with multiple boxes with aggregate weight greater than 100 lbs.

Priority Pouch Service ensures guaranteed overnight delivery with either PDS or EPS service standards to pre-determined pickup and delivery locations- billed monthly per direction.

GSO Ground Services CPS (GSO Overnight Ground) provides guaranteed overnight delivery to every address in California by end of business day.

All GSO services provide next day delivery. Our PDS service levels assure that the majority of State packages requiring AM delivery will be delivered by our 10:30 am deadline. GSO delivery routes start much earlier than the national competitors. Signatures are captured from every delivery and .constant communication is maintained with every delivery driver. Delivery policies are designed to ensure that the agencies shipments are handled with complete control, limiting confidentiality exposure and ensuring on-time delivery.

GSO Delivery Staff GSO employs about 1,000 drivers. All GSO delivery drivers are employees. They are all uniformed, trained and provided with the tools necessary to execute their job functions. Every GSO driver wears a green GSO logo shirt with collar, tan pants or shorts, appropriate shoes and belt. Hats and other optional apparel items are provided with GSO logo. GSO driver compensation includes vacation/floating holidays, available health plan and 401K. GSO drivers also have full Workers' Compensation Insurance coverage.

All candidates for employment with Golden State Overnight are required to complete the following screening procedures prior to an Offer of Employment:

1. Behavioral Screening Test (Tescor) 2. Drug Screening Test 3. Background Check to include criminal and worker's compensation history. 4. GSO Delivery personnel are required to provide a DMV report and may be required to pass a

pre-employment physical evaluation.

Golden State Overnight maintains constant contact with all of our couriers while in performance of their duties. All GSO delivery staff are GSO employees provided with Nextel radios and handheld scanners for transmitting Proof-of-Delivery information. Proof-of-Delivery information is captured and

( transmitted by the driver from the field and is normally available within minutes of the delivery.

-Package Tracking Every package that enters GSO's delivery system is tracked from the point of pick up to the point of delivery. All GSO dispatch and customer service staff has access to the same delivery information provided on the shipment tracking label to ensure constant and consistent communications. All GSO drivers carry Nextel communication devices and hand-held scanning devices utilized at various exchange points through the GSO delivery system. A delivery signature is captured at the point of delivery, and Proof-of-Delivery and other tracking information is constantly updated and available through our web tracking function at www.gso.com. Drivers can be contacted for shipment status, recall or re-direction in real time.

A unique internal process is the use of routing labels on all GSO shipments. When the bar-coded shipping label is scanned, based on the delivery zip code and service type, GSO system assigns a routing label to the package automatically directing the package to a delivery hub and a delivery route driver. This process minimizes miss-sorts thus reducing delayed deliveries. In addition GSO delivery branch has the ability to transfer packages to a larger vehicle route wirelessly so that multiple packages to the same recipient can be delivered all at the same time instead of splitting the shipments via different drivers.

Package labeling Every shipment tendered to GSO requires a bar-coded label for tracking and delivery. Shipment labels for most agency shipping locations are produced by using our web shipping function at www.gso.com. Webship is powerful, yet simple and generally self-guided. Web training is available if needed through our customer service center and on-site training is available through our Government Accounts Team. For high-volume shipping locations, GSO can provide a PC-based ShipGSO Shipping System that includes a scale, printer, scanner and other required items at no charge to the shipping agency. We can also provide shipping labels created from customer data fifes for large volume shipping projects and preprinted airbifls for agencies without internet access. There are many way ways to transmit shipment data to GSO and for GSO to share shipment and tracking data with agencies. GSO is prepared to work with Agency IT staff to determine the best methods for sharing data.

Customer Service Center ("CSC") The customer service center is available for obtaining information about GSO services or relating to any specific shipment or account. Use the CSC for requesting shipping supplies, scheduling pickup services and obtaining the status of any shipment or any account. All Billing, IT, and Web support questions can be addressed by contacting the CSC. All CSC departments are staffed from 7:00AM to 8:00PM Monday through Friday and 7:00AM to 4:00PM on Saturdays. Emergency contacts are available 24 hours per day.

GSOWebslte www.gso.com also provides Information on tracking, pickup, guaranteed delivery times, rate information specific to customer account, drop box locator, supply requisitions, service guides, internet shipping, secured account billing information, invoicing, shipping reports, and other frequently asked questions.

Government Account Team In addition to our Customer Service organization, GSO maintains a team of trained personnel specifically for the purpose of maintaining quality assurance for the State of California. Our Government Accounts Team visits and maintains contact with all shipping agency locations on a regular schedule to ensure that their service expectations are being met, to introduce new technologies, services or procedures and to provide training to the agency personnel. New accounts for all state agencies are processed through our Government Accounts Team to ensure that all rating and other contract terms are met.

Agencies with special needs, such as intricate labeling requirements or sporadic high-volume projects are provided access to the Government Accounts Team by email and dedicated Toll-free 800 line to ensure seamless handling of their special needs.

Reporting Capabilities GSO captures detailed data for every shipment that is picked up and delivered. Shipment data retained includes, but is not limited to: All pickup and delivery address information, dates and times of pickup and delivery, package weight, billing information, reference numbers, and proof of delivery information. Every time a package is scanned in our system we are able to identify and capture the location and/or employee handling the packages and the vehicle route that possessed the package. The GSO system allows for internal or external notes to be entered into the system to record Issues related to the status

· ( or resolution of a delivery.

GSO has worked with many customers including the State of California and its agencies to use this extensive data to develop meaningful reports and methods of reporting that meets the individual's needs. GSO has agreed to meet the reporting requirements specifically outlined in this RFP. GSO has the technological capability and resources to produce additional detailed reports as required by participating states and state agencies.

Mandatory Requirements

1. Provide firm rates for one year.

GSO agrees to provide firm rates for one year.

2. Fuel Surcharge. If Carrier applies a fuel surcharge, an express air and ground cap not to exceed 7% for the full term of

the Master Price Agreement will be Imposed. Authorized Users must also be able to confirm the accuracy of invoices

by accessing the Carrier's website for fuel surcharge information. The Carrier's website shall also provide historical fuel surcharge Information. ·The fuel surcharge assessed under this Master Price Agreement shall not exceed the

Carrier's published surcharge rate or 7% whichever is lower.

GSO's fuel surcharge will not exceed 7% for the full term of the Master Price Agreement. The GSO web site will provide historical fuel surcharge information for users to verify against their invoices. The fuel surcharge assessed under this Master Price Agreement shall not exceed the Carrier's published surcharge rate or 7% whichever Is lower.

3. Carrier Service Guide in effect at time of Master Price-Agreement award will be in effect for the first year of the

GSO agrees to leave Service Guide at time of contract award in effect for the first year

4. No pick-up charges or weekly service charges shall be assessed for air or ground shipments tendered to the Carrier

due to aggregate WSCA volume anticipated. There shall be no required minimum number of packages per trip, per

day, per week, or per month. No pick charge may be assessed in addition to the contracted rate for the shipment.

GSO will not assess additional pick-up charges or weekly service charges for air or

ground shipments.

5. Carrier must pick-up packages directly from all requesting agencies and political subdivisions upon request. Offeror

shall state In Its respon.se that all Master Price Agreement pricing will be extended to all participating state agencies

and political subdivision. Carrier must bill each Authorized User for shipments the Authorized User tenders to the

Carrier.

6. Carrier must provide clearly marked money back guaranteed zone based price sheets (schedules of rates and charges)

for each service showing rates and charges by weight and zone for california. Separate rates in pages may be

provided and clearly marked for Hawaii. Carriers offering pricing for intrastate ground services only must provide

separate clearly marked zone based pricing for.the designated state. Rates wilt be In dollars and cents per pound.

GSO will provide clearly marked zone based price sheets (schedules of rates and charges) for

each service showing rates and charges by weight and zone for intrastate California shipping.

section oft his RFP.

7, Money Back Guarantee. The Carrier shall provide a 100% Money Back Guarantee. Upon request of the Authorized

User, the carrier shall fully refund or credit the Authorized User account for the packages that are not delivered or

picked up in accordance with the guaranteed delivery service. Packages that are delivered 60 seconds after the

guaranteed delivery time are considered late. The Authorized User shall request the refund or credit within 30 days

of the scheduled delivery time. Carriers are encouraged to offer automatic refundS. If the late package meets one or

more of the Carrier's exception criteria, as stated in the Service Guide, the carrier is not obligated to issue a refund to

the Authorized User.

GSO agrees to provide a 100% Money Back Guarantee. Upon request of the Authorized User,

GSO will fully refund or credit the Authorized User account for the packages that are not

delivered or picked up in accordance with the guaranteed delivery service. Packages that are

delivered 60 seconds after the guaranteed delivery time are considered late. The Authorized

User shall request the refund or credit within 30 days of the scheduled delivery time. If the

late package meets one or more of GSO's exception criteria, as stated in the Service Guide,

then GSO is not obligated to issue a refund to the Authorized User.

8. Any Carrier terms and conditions, Including internet terms and conditions, will not supersede any WSCA or

Participating State or Participating Entity Master Price Agreement or Participating Addendum terms or conditions.

GSO internet terms and conditions will not supersede any WSCA terms and conditions.

9. Offeror must demonstrate an established, successful track record of past performance In duties and responsibilities

related to domestic and international transportation services specified herein. This can be established by providing a

copy of reports such as a Carrier Annual report, report to Surface Transportation Board, or balance sheets and income

and expense statements. Data documenting on time delivery performance for express small package air and small

parcel ground services for the past twelve (12) months shall be included.

10. Carrier shall have the capabilities of providing the services required under this Price Agreement. For Carriers

providing Intrastate service, Carrier shall serve every zip within the boundaries of the Participating State requesting

lntra·state services as lndentlfled In this RFP, see Attachment B.

GSO has the capability of providing intrastate services for every zip code in the State of

California as identified In this RFP.

11. Carrier shall have trained personnel that can research and maintain a quality assurance program through tracking and

monitoring deliveries. Carrier should describe Its ongoing quaJity control program.

Our on-time delivery performance goal is 97.0% and delivery performance Is tracked dally.

The following initiatives and related reports are utilized by management daily. The

information is used in assessing our needs and focusing resources in the areas needed to

continually employ best practices and improve service:

• Our Service Audit documents our on time deliveries in each Operations facility and

compares it to our goal of 97%.

• Missorted packages are tracked by our Customer Service Supervisor. The Supervisor

monitors the same day recovery of all shipments whenever possible and notifies

customers of any delay.

• Missed pick ups are handled similarly. Communication with our customer in the event

of a service failure is key, and we require customer follow up within the hour of the

customer notification.

• Our Customer Service Representatives are trained to obtain as much detail as possible

regarding customer complaints. A formal complaint notice Is competed and reviewed

by a Customer Service Supervisor. That Supervisor works closely with Operations to

assure that all appropriate steps to resolve and prevent future occurrence are taken.

• Operations maintain logs of accounts that have experienced service failures to

minimize a chance of reoccurrence.

• Every delivery route is audited every day for timeliness, on time% and assurance of

proper signature.

• Drivers are paid bonuses for achieving targeted on time performance goals.

Our Customer Service Center ("CSC") Is designed to support our customers by providing the

best service available in the industry. A key department of the esc is the GSO Tracking

Center, which processes all customer package tracking requests to provide detailed

Information about shipment status in a timely manner. All tracking requests are recorded on

r>ur performance is measured against our goal 95% on-time tracking resolution. We have

established the following procedures to ensure consistent quality standards:

• Tracking requests are instantly transmitted through the GSO Tracking Center to our

Tracking Department and Operations facilities.

• Tracking Representatil(eS monitor all requests for resolution within one hour and

provide prompt updates to our customers.

• If further research is required, escalation procedures are in place to involve all levels

of management to ensure issues are addressed properly and In a timely manner.

GSO also uses its Governments Account Team specifically for the purpose of evaluating the

quality of our service to the State of California. The Government Accounts Team makes

contact in person and by telephone with agency shipping locations on a Weekly, Monthly or

Quarterly schedule to secure detailed evaluation of GSO services and performance of our

various service departments, including:

• Pickup and delivery services

• Driver evaluations

• Customer Service response

• Tracking Center response

• Billing and Invoicing

• Labeling and package process training

Meetings are also used to deliver and review agreed reporting on performance results as well

as to introduce new services, policies or procedures. Results of these evaluations are

reviewed by marketing, operations and esc management.

12. Carrier shall have uniformed personnel who will adhere to all security procedures required by Authorized Users.

All GSO drivers are employees. They are all uniformed and trained to adhere to all security

procedures required by authorized users.

13. Authorized Users shall not be liable for any expense incurred by the Carrier as a consequence of any traffic

infractions, parking violations or fees attributable to employees or drivers of the Carrier.

Authorized Users will not be liable for any expenses incurred by GSO as a consequence of any

traffic infractions, parking violations or fees attributable to employees or drivers of GSO.

14. Drop Boxes and Shipping Supplies. Carrier must agree to place receptacles in convenient locations within

Participating States and describe other centralized collection procedures available. Containers must be of sufficient

size to contain 8 1/2"x 11" sheets of paper without folding, up to the weight limit for various categories. The Carrier

shall provide express pack boxes and express tubes to Participating States at no cost. Carrier shall provide requested

materials and supplies within 48 hours of request, except for preprinted shipping forms. Pre-printed shipping forms

are Carrier's shipping forms pre-printed with users address and billing Information. Note: Any preprinted terms and

conditions on any Carrier forms, which are inconsistent with the terms and conditions of the Master Price Agreement

and any Participating Addendum are rejected and do not modify, change or replace the terms and conditions of this

Master Price Agreement or subsequent Participating Addenda. Carrier shall, at no additional charge, provide

Authorized Users with label prlnters1 labels, etc. Or the ability to print labels that are required to prepare articles for

shipment. Offeror shall describe its program for providing such printers, Including its lease terms and conditions or

the ability to print labels.

GSO Drop Boxes and supplies are conveniently located throughout the State of California for

centralized collection. A drop box locator Is available at www.gso.com. GSO will also provide,

within 48 hours of request, and at no cost to authorized users, express containers,

Pre-printed shlppi!'g forms, and other labels as required. GSO will provide, at no additional

cost, authorized users with the ability to print labels required to prepare articles for

shipments. For high volume users, GSO will provide label printers and shipping systems upon

mutual agreement between GSO and the authorized user. Note: Any preprinted terms and conditions

on any GSO forms, which are inconsistent with the terms and conditions of the Master Price Agreement and any

Participating Addendum are rejected and do not ~odify, change or replace the terms and conditions of this Master

Price Agreement or subsequent Participating Addenda.

15. Software, Carrier shall, at no additional charge, provide Authorized Users with any software that Is required to

prepare articles for shipment. Carrier shall provide Authorized Users the most current version of the software and provide upgrades and enhancements free of charge during the term of this Master Price Agreement. Software shall

be compatible with PC operating systems. It Is desirable for software to be compatible on Macln~osh systems. Carrier

shall indicate if any such software Is required or available.

GSO will provide, at no additional charge, authorized users with any software required to

prepare articles for shipment Including all updates and enhancements free of charge during

the term of this Master Price Agreement. Software will be compatible with PC operating

systems. Software is not compatible on Macintosh systems; however, GSO Webship can be

used In lieu of software for users that have Macintosh platforms.

16. Carrier must provide Its calendar or fiscal year 2009 Operating Ratio (operating expenses divided by operating

revenues multiplied by 100 give the percentage of the operating revenues which are required to pay the operating

expenses, this being the operating ratio)

17. Carrier must provide its Shipment Claims Ratio for calendar or fiscal year 2009. The ratio shall be the ratio of claims

for shipment loss or damage to total shipments for both express small package air and expedited ground service

shipments.

18. Carrier must provide the name of the person who will work with the WSCA Contract Administrator during the term of

the Master Price Agreement. This person must be authorized to coordinate with other Carrier representatives in each

Participating State to ensure an efficient lmplementatloil of the Master Price Agreement. These representatives will

be able to quickly assign agency account numbers and insure the WSCA contra~t rates are attached accordingly.

Carrier must describe the process required to obtain agency account numbers and Carrier personnel assigned must

have full knowledge of the WSCA Master Price Agreement.

Ernesto Diamonon is our Director of Government Accounts. He and his staff (Government

Accounts Team) will work with the WSCA Contract Administrator during the term of the

contract. Ernesto will work as liaison between Carrier and Shipper agencies to assign agency

account numbers and insure the WSCA contract rates are attached accordingly. Agency

account numbers can be obtained by contacting GSO dedicated Government Account Team

toll free at 1-800-743-9985. The Governme,nt Accounts Team has full knowledge of the WSCA

Master Price Agreement.

19. Carrier shall designate one person responsible for Carrier's work under this Master Price Agreement. Carrier shall

provide to each Participating State the name, address and telephone number of such person and shall keep this

information current at all times. Should contact with such person require long distance calls, Carrier will provide a toll

free number to be used during normal business hours.

Since GSO filings are for California rates only, it will not be necessary to have a Contract

Manager coordinating WSCA rates with other participating states. GSO has a dedicated toll

free number 1-800-743-9985 for use by participants of this RFP.

20. Problem Resolution. Carrier-shall be available for problem resolution on-site at the Authorized User's location. In

addition, Carrier shall be available to Authorized Users via local or toll free phone number for normal problem

resolution including but not limited to problems of shipment pickup, delivery, claims handling or incorrect billing.

Requests for on~site problem resolution shall be on an as needed basis per resolution within 24 hours of Authorized

User's request.

GSO field staff can be available for problem resolution on-site at the Authorized User's

location when necessary. In addition, GSO Customer Service staff and the GSO Government

Accounts Team will be available to Authorized Users via local or toll free phone number for

normal problem resolution including but not limited to problems of shipment pickup, delivery,

claims handling or incorrect billing. Requests for on-site problem resolution shall be on an as

needed basis per resolution within 24 hours of Authorized User's request.

21. Dangerous, Hazardous or Otherwise Restricted Materials. Carrier shall be capable of shipping a variety of hazardous,

dangerous or other restricted types of materials. Carrier shall provide its policy for hazardous or restricted materials

shipments.

GSO is capable of handling Otherwise Restricted Materials in limited quantities or Other

Regulated Materials (OR M-D) in consumer quantities. GSO's policy is to accept shipments of

Hazardous materials only from Approved Known Shippers and in compliance with DOT

regulations under CFR 49.

22. Shipment of Materials. Carrier must be able to provide services for shipments of evidentiary materials in compliance

with any participating state laws, policies or procedures. A copy of these Participating State or Participating Entity

policies and procedures Is available upon request.

GSO can provide services for shipments of evidentiary materials in compliance with California

state laws, policies and procedures.

23o Deliver as Addressed. When requested by Authorized User, Carrier shall return undeliverable package to sender,

rather than performing an address correction and forwarding the package to an address. Carrier shall work with the

Authorized User to adequately identify these items as "deliver as addressed" or in some mutually agreed language

rather than forwarding them on to a correct address. Authorized Users shall notify Carrier of such packages. Carrier

shall not charge an additional fee for returned items that are appropriately Identified as "deliver as addressed".

When requested by Authorized User, GSO will return undeliverable package to sender, rather

than performing an address correction and forwarding the package to an address. GSO will

work with the Authorized User to adequately identify these items as "deliver as addressed" or

in some mutually agreed language rather than forwarding them on to a correct address.

Authorized Users shall notify GSO of such packages. GSO will not charge an additional fee for

returned items that are appropriately identified as "deliver as addressed".

24. Carrier Shall to:

a. Meet or conference call at leaSt quarterly with the WSCA Contract Administrator to review

performance, usage under the Master Price Agreement, and discuss opportunities for improvements.

b. Provide all dOcumentation necessary for any performance audit(s), as requested by any participating

state.

c. Notify the WSCA Contract Administrator In writing of any unresolved disputes of problems that have

been outstanding for more than thirty (30) days.

d. Provide an overview of reporting capabilities that includes report formats, standard reports available,

and ad-hoc report capabllltles, and any sample reports.

GSO agrees to meet or conference call quarterly with WSCA as indicated above.

25. Offeror shall describe Its Implementation plan for this RFP that would be used as a result of a Master Price Agreement

award. The plan shall be designated to assist Authorized Users in determining the optimal approach to maximize use

of Carrier services. Immediately upon Master Price Agreement award, the Carrler(s) shall begin a WSCA statewide

implementation of the Master Price Agreement.

GSO is currently a major provider of Air and Ground Shipping Services for the majority of State

of California agencies. GSO is currently a WSCA approved carrier for the State of California.

The daily activities of our Government Accounts Team are designed to maximize the use of

GSO services by Shipper agencies. In the event we are awarded agencies that we do not

currently provide service for, a GSO Government Account Representative will immediately

upon award of the contract contact the agency directly to disseminate contract award

Information and set a strategy and schedule for implementation. If necessary, the

Government Accounts Team can direct the activities of a larger group of GSO sales staff

throughout the state of California to meet with agency shipping locations for Implementation

of service and training end users on shipping, labeling and tracking services.

26. Online Ordering, Document and Label Printing. Carrier shall provide online services ordering capability as well as

online printing of shipment documentation and labels. Online ordering and printing services shall be available to

Authorized Users via access through the Internet and be capable of being accessed utilizing standard documentation

printing services, including a description of the security and privacy protection features that will be applicable to

online services. The system shall accommodate a reference field for internal for internal tracking numbers for invoice

payment. The reference field shall accommodate up to 20 characters.

GSO will provide online services ordering capability as well as online printing of shipment

documentation and labels. Online ordering and printing services shall be available to

Authorized Users via access through the Internet and be capable of being accessed utilizing

standard documentation printing services, including a description of the security and privacy

protection features that will be applicable to online services. The current GSO web shipping

method can accommodate a reference field of up to 50 characters for internal tracking

numbers for Invoice payment.

27. Shipment Tracking. ~arrier shall provide a twenty-four (24) hour shipment tracking system. Tracking shall be

available to Authorized Users through both a toll-free telephone number or via electronic and online access through the Internet and be capable of being accessed utilizing standard Internet Web Browsers. Carrier shall respond to all

shipment tracking requests by Authorized Users within four (4) hours of first request. Information from an inquiry

shall include acknowledgement of pickup, ai::knowledgement of in-transit destinations and final delivery. Upon

Authorized User's request Carrier shall provide copies of shipping receipt signed by recipient or shall otherwise

provide an online signature verification and shipment receipt verification function. Carrier shall fax signed receipt

up_on request. Carrier shall provide these services to Authorized Users at no additional cost. Offeror shall describe its

online shipment tracking services, including description of the security and privacy protection features that will be

applicable to online shipment tracking services.

GSO will provide a twenty-four (24) hour online shipment tracking system capable of being

accessed utilizing standard Internet Web Browsers. In addition, users can call our Customer

Service Toll Free number from 7:00AM to 8:00 PM Monday through Friday, and 7:00AM to

4:00 PM on Saturdays. Emergency contacts are available 24 hours per day. GSO will respond

to all shipment tracking requests within four (4) hours of first request. Information from an

inquiry shall include acknowledgement of pickup, acknowledgement of in-transit destinations

and final delivery. Upon Authorized User's request GSO will provide copies of shipping receipt

signed by recipient or otherwise provide an online signature verification and shipment receipt

verification function. GSO will fax signed receipt upon request. GSO will provide these

services to Authorized Users at no additional cost. Tracking a shipment online with GSO will

require the user to either know the tracking number or login to their secured account to track

their own shipments. GSO's Privacy and Security Polley terms and conditions can be viewed at

28. Negotiable Instruments. Carrier must be able to provide services for the shipment of negotiable

instruments up to $50,000 In value.

GSO can provide services for shipments of negotiable instruments up to $50,000 in value

provided that valuation Is declared at time of shipment and valuation fees paid in accordance

with GSO service guide for declared value shipments. In addition, shipments with value

exceeding $10,000 require advance notification by phone to GSO Customer Service prior to

acceptance ofshipment.

30. Preference will be given to Offerors who participate In the EPA SmartWay Program or equivalent. Carriers must

describe their ongoing efforts to provide environmentally clean transportation services. Describe any reports

available from the Carrier, for participating States that summarizes the transportation related emission reductions,

etc.

GSO has demonstrated Its commitment to the US EPA's Smartway Transport Partnership by

purchasing new Wabash 53' OHD Trailers equipped with Duraplane Aeroskirts and tractors

that meet Smartway specification. These trailers are the cleanest, most fuel efficient trailers

In today's market. They provide better fuel economy and a cleaner ride by creating a savings

of 5.6% In fuel consumption. Please see "GSO Green Initiative Program" as an attachment

within this RFP.

31. WSCA Administration Fee. Carrier(s) will remit to WSCA an Administration Fee in the mount of one half of one

percent (.5%)' of the total sales from the resulting Master Price Agreement, In accordance with the terms and

conditions of the Master Price Agreement. The WSCA administration fee shall be submitted quarterly and Is based on

sales of services. The WSCA administration fee is not negotiable. The WSCA quarterly check will be submitted per the

schedule listed below to the following address:

A copy of the check along with the quarterly report shall be sent to Dan Reisner, Contract Administrator. The

submitted reports are to coincide with the quarters and date ranges as outlined below:

Quarter 1: January lu through March 31st- due by April301h

Quarter 2: Aprlllstthrough June 30th- due by July 30th

Quarter 3: July 1st through September 301h- due by October 30th

Quarter 4: October 1st through December 31st_ due by January 301h

The pricing submitted In response to this Proposal shall include the WSCA Administrative Fee.

Additionally, some Participating States may require that an additional fee be paid directly to the Participating State on

purchases made by procuring entitles within that State. For all such requests, the fee level, payment method and

schedule for such reports and payment will be Incorporated in the Participating Addendum. GSO may adjust the

Participating State's pricing accordingly for purchases made by Authorized Users within the jurisdiction of the

Participating State. All such agreements may not affect the WSCA fee or the prices paid by the Authorized Users

outside the jurisdiction of the Participating State requesting the additional fee.

GSO agrees to pay WSCA fee quarterly with accompanying reports as described in this RFP.

32. Report Requirements: Carrier must provide a quarterly report to WSCA Contract Administrator listing, for Intrastate

shipments from the state of California, a total of all express and ground shipments by sum of net revenue, sum of pieces,

sum of weight for each month in the quarter. The grand total for the quarter will be listed for Intrastate California as well

as the calculation and dollar amount of the quarterly WSCA Fee.

GSO will provide Intrastate California shipping reports on a quarterly basis to the State of California. The reports at

minimum shall contain the bulleted items stated below:

• Account number, agency/entity name and address.

• Shipping volume by type of service, I.e. ground, express air, etc.

• Pieces, weight and net charges,

• Individual account and total dollar expenditure

• Any other information as requested by Participating States or Participating Entity from the following

general categories: 1) City/Town; 2) County; 3) Higher Education; 4) Public Education and 5) State

Agency.

GSO agrees to meet quarterly reporting requirements as described in this RFP.

33. Additional Non-WSCA States may be added with the consent of Carrier, Lead State (on

Behalf of WSCA) and the Director of Purchasing for each State or Entity through the

· execution of Participating Addenda.

Not applicable for California Intrastate.

34. Shipper or Account Numbers: Carrier shall designate a shipper or account number for

each Authorized User. The shipper or account number shall be indicated on each

tendered shipment. The prices offered under this Master Price Agreement shall tie

directly to each shipper or account number.

GSO will designate a shipper account number for each authorized user. The shipper or

account number will be indicated on each tendered shipment. The prices offered under this Master Price Agreement shall tie directly to each shipper or account number.

35. The Participating Addendum (PA) shall show the effective date for the app1ication of the

Master Price Agreement rates. A copy of each fully executed PA shall be sent to the

WSCA Contract Administrator.

A copy of the fully executed signed Participating Addendum {PA) for California will be sent to the WSCA Contract Administrator showing the effective date and the application of the

Master Price Agreement rates.

GSO will meet the service requirements of the State of California as described in the RFP by offering service types in two categories described by guaranteed delivery time rather than by mode of transportation:

Reducing Waste through Paperless Billing

A paperless billing not only save trees, but also helps reduce production wastes that themselves emit greenhouse gases, produce toxic waste water, etc.

• GSO offers many paperless billing options to its customers. At present, over 25% of our customers have adopted paperless invoicing (an increase from 16% at the end of2009). Furthermore, 69% ofGSO billed packages are set to thee-billing option, which equates to over 6.6 tons of annual C02 savings.

Reducing Waste by Conserving Paper in the·Office

Paper is the number one material thrown away and al~o one of the biggest polluting industries: The average U.S. worker uses about I 0,000 sheets of copy paper each year.

Since February 2007, GSO.has been focused on reducing paper consumption. With over 27 offices throughout California, Nevada and Arizona, GSO leased new copiers with scanners. Forms are now circulated electronically and are only printed when needed. Copiers default settings are set to print double-sided.

Reducing Energy through Fluorescent Lighting

GSO's headquarter uses eco-friendly fluorescent lamps that pass the U.S. EPA's TCLP test and granted non-hazardous status at all stages of life by the State of California. These low-mercury fluorescent light tubes contain 40-50% less mercury than standard tubes.

Reducing Energy through Thin Clients

The choice ofThinSTARs over PCs for businesses has reduced C02 emissions. Energy consumption for ThinSTARs is up to 50% lower than an average PC.

As reported by lnfoWorld, "thin clients consume anywhere from 6 to 50 watts- far less than the 150 to 350 watts used by a typical PC."

GSO currently utilizes 415 NCD ThinSTARs in place of desktops, which equates to over 42 metric tons of annual C02 savings.

Reducing Energy by switching to Data Centers

As the economy shifts from paper-based to digital information, data centers are significant consumers of energy. A strong focus on energy efficiency is essential with the increased energy costs and increased· emissions from electricity generation.

In 2008, GSO decided on moving its IT infrastructure to a Colocation centre, which allows GSO to place its servers on Colocation racks and share their bandwidth. Not only does this strategy create cost savings for bandwidth, but also have better outage protection and additional physical security for our machines. We have chosen a green data center that is focused on energy efficient practice that supports our environment.

Along with the move to Co location, GSO fucused on improved server operations. We consolidated·our servers and eliminated unused servers in our effort to increase server utilization. In additional we also purchased "energy-efficient" servers _for our Colocation site.

GSO's technology platform also extends green initiatives to its customers by offering SaaS (Soil ware as a Service) Cloud computing solution using GSOWebShip and GSOQuickShip online shipping applications, web services integrations which minimize upfront investment!$! maihtenimce of servers on·customer's side. Most of the internal soft.ware systems used by GSO are also based on SOA (service oriented architecture) which allows for interoperabijity across several business applications in a clustered environment minimizing the number of servers being utilized.

Reducing Energy through focus on Transportation

Transportation accounts for 30% of greenhouse emissions that humans release into the atmosphere. Pollution is not only generated through the burning of gasoline, but also in the production of gasoline.

GSO has demonstrated its commitment to the US EPA's Smartway Transport Partnership by_purchasing 8 new Wabash 53' OHD Trailers equipped with Duraplate Aeroskirts and. 12 tractors that meet Smartway specification. These trailers are the cleanes~ most .fuel e.flicient trailers in today's market. They provide better fuel economy and a cleaner ride by creating a savings of 5.6% in fuel consumption.

GSO also uses either electric or EPA certified forklifts for our facilities.

Reusing and Recycling

The United States produces approximately 210 million tons ofsolid waste each year. The only safe, clean way to reduce the GARBAGE PROBLEM is "Reuse and Recycle." ·

GSO launched its recycling program companywide in 2009. The .program began with paper, cans and bottles recycling. Printer toner cartridges are also reused and recycled. Our recycling program will also be expanded to include recycling for fluorescent lights, batteries, plastics, etc.

GSO also properly disposes of its electronic waste in accordance with California's Electronic Waste Recycling Act. · '

When submitting a response (proposal, quote or bid) electronically through BidSync, it is the sole responsibility of the supplier to ensure that the response is received by BidSync prior to the closing date and time. REQUEST FOR PROPOSAL - INSTRUCTIONS AND GENERAL PROVISIONSSTATE COOPERATIVE CONTRACT

1. SUBMITTING THE PROPOSAL: (a) The Utah Division of Purchasing and General Services (DIVISION)

prefers that proposals be submitted electronically. Electronic proposals may be submitted through a secure mailbox at BidSync (formerly RFP Depot, LLC) (www.bidsync.com) until the date and time as indicated in this document. It is the sole responsibility of the supplier to ensure their proposal reaches BidSync before the closing date and time. There is no cost to the supplier to submit Utah’s electronic proposals via BidSync. (b) Electronic proposals may require the uploading of electronic attachments. The submission of attachments containing embedded documents is prohibited. All documents should be attached as separate files. (c) If the supplier chooses to submit the proposal directly to the DIVISION in writing: The proposal must be signed in ink, sealed, and delivered to the Division of Purchasing, 3150 State Office Building, Capitol Hill, Salt Lake City, UT 84114-1061 by the "Due Date and Time.” The "Solicitation Number" and "Due Date" must appear on the outside of the envelope. All prices and notations must be in ink or typewritten. Each item must be priced separately. Unit price shall be shown and a total price shall be entered for each item offered. Errors may be crossed out and corrections printed in ink or typewritten adjacent and must be initialed in ink by person signing offer. Unit price will govern, if there is an error in the extension. Written offers will be considered only if it is submitted on the forms provided by the DIVISION. (d) Proposals, modifications, or corrections received after the closing time on the "Due Date" will be considered late and handled in accordance with the Utah Procurement Rules, section R33-3-209. (e) Facsimile transmission of proposals to DIVISION will not be considered.

2. PROPOSAL PREPARATION: (a) Delivery time of products and services is critical and must be adhered to as specified. (b) Wherever in this document an item is defined by using a trade name of a manufacturer and/or model number, it is intended that the words, "or equivalent" apply. "Or equivalent" means any other brand that is equal in use, quality, economy and performance to the brand listed as determined by the DIVISION. If the supplier lists a trade name and/or catalog number in the offer, the DIVISION will assume the item meets the specifications unless the offer clearly states it is an alternate, and describes specifically how it differs from the item specified. All offers must include complete manufacturer=s descriptive literature if quoting an equivalent product. All products are to be of new, unused condition, unless otherwise requested in this solicitation. (c) Incomplete proposals may be rejected. (d) Where applicable, all proposals must include complete manufacturer=s descriptive literature. (e) By submitting the proposal the offeror certifies that all of the information provided is accurate, that they are willing and able to furnish the item(s) specified, and that prices offered are correct. (f) This proposal may not be withdrawn for a period of 60 days from the due date.

3. FREIGHT COST: Suppliers are to provide line item pricing FOB Destination Freight Prepaid. Unless otherwise indicated on the contract/purchase order, shipping terms will be FOB Destination Freight Prepaid.

4. SOLICITATION AMENDMENTS: All changes to this solicitation will be made through written addendum only. Answers to questions submitted through BidSync shall be considered addenda to the solicitation documents. Bidders are cautioned not to consider verbal modifications.

5. PROTECTED INFORMATION: Suppliers are required to mark any specific information contained in their offer which they are claiming as protected and not to be disclosed to the public or used for purposes other than the evaluation of the offer. Each request for non-disclosure must be made by completing the “Confidentiality Claim Form” located at: http://www.purchasing.utah.gov/contract/documents/confidentialityclaimform.doc with a specific justification explaining why the information is to be protected. Pricing and service elements of any proposal will not be considered proprietary. All material becomes the property of the DIVISION and may be returned only at the DIVISION 's option.

6. BEST AND FINAL OFFERS: Discussions may be conducted with offerors who submit proposals determined to be reasonably susceptible of being selected for award for the purpose of assuring full understanding of, and responsiveness to, solicitation requirements. Prior to award, these offerors may be asked to submit best and final offers. In conducting discussions, there shall be no disclosure of any information derived from proposals submitted by a competing offeror.

7. SAMPLES: Samples of item(s) specified in this offer, brochures, etc., when required by the DIVISION, must be furnished free of expense to the DIVISION. Any item not destroyed by tests may, upon request made at the time the sample is furnished, be returned at the offeror's expense.

8. AWARD OF CONTRACT: (a) The contract will be awarded with reasonable promptness, by written notice, to the responsible offeror whose proposal is determined to be the most advantageous to the DIVISION, taking into consideration price and evaluation factors set forth in the RFP. No other factors or criteria will be used in the evaluation. The contract file shall contain the basis on which the award is made. Refer to Utah Code Annotated 65-56-408. (b) The DIVISION may accept any item or group of items, or overall best offer. The DIVISION can reject any or all proposals, and it can waive any informality, or technicality in any proposal received, if the DIVISION believes it would serve the best interests of the DIVISION. (c) Before, or after, the award of a contract the DIVISION has the right to inspect the offeror's premises and all business records to determine the offeror's ability to meet contract requirements. (d) The DIVISION will open proposals publicly, identifying only the names of the offerors. During the evaluation process, proposals will be seen only by authorized DIVISION staff and those selected by DIVISION to evaluate the proposals. Following the award decision, all proposals become public information except for protected information (see number 5



above). A register of proposals and contract awards are posted at http://purchasing.utah.gov/vendor/bidtab.html. (e) Estimated quantities are for bidding purposes only, and not to be interpreted as a guarantee to purchase any amount. (f) Utah has a reciprocal preference law which will be applied against offerors offering products or services produced in states which discriminate against Utah products. For details see Section 63G-6-404 and 63G-6-405, Utah Code Annotated. (g) Multiple contracts may be awarded if the DIVISION determines it would be in its best interest.

9. DIVISION APPROVAL: Contracts written with the State of Utah, as a result of this proposal, will not be legally binding without the written approval of the Director of the DIVISION.

10. DEBARMENT: The CONTRACTOR certifies that neither it nor its principals are presently debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded from participation in this transaction (contract) by any governmental department or agency. If the CONTRACTOR cannot certify this statement, attach a written explanation for review by the DIVISION.

11. ENERGY CONSERVATION AND RECYCLED PRODUCTS: The contractor is encouraged to offer Energy Star certified products or products that meet FEMP (Federal Energy Management Program) standards for energy consumption. The State of Utah also encourages contractors to offer products that are produced with recycled materials, where appropriate, unless otherwise requested in this solicitation.

12. GOVERNING LAWS AND REGULATIONS: All State purchases are subject to the Utah Procurement Code, Title 63 Chapter 56 U.C.A. 1953, as amended, and the Procurement Rules as adopted by the Utah State Procurement Policy Board. These are available on the Internet at www.purchasing.utah.gov. By submitting a bid or offer, the bidder/offeror warrants that the bidder/offeror and any and all supplies, services equipment, and construction purchased by the State shall comply fully with all applicable Federal and State laws and regulations, including applicable licensure and certification requirements.

13. SALES TAX ID NUMBER: Utah Code Annotated (UCA) 59-12-106 requires anyone filing a bid with the state for the sale of tangible personal property or any other taxable transaction under UCA 59-12-103(1) to include their Utah sales tax license number with their bid.
