President’s Message By Mark Cook/President

This is my last President’s Message for this program year, and as the president of the San Diego Chapter. It has given me great pleasure and has been a privilege serving the San Diego Chapter for the 2012-2013 and 2013-2014 program years.

I’d like to take this opportunity to say thank you to everyone who has supported me, supported our Chapter, supported our board members, and especially thank all of our speakers for giving up their time to help educate our Chapter.

One highlight was the addition of CAPT Scott J. Hoffman, SC, USN, Deputy Director of Contracts at SPAWAR, as the newly appointed created position of DoD Liaison. In this capacity, CAPT Hoffman has been establishing and coordinating relations between the Chapter and relevant DoD activities.

NCMA is here to assist its members in their educational and employment goals. One way to do that is through the webpage dedicated to employment (located at ncmasd.org/jobs.html) which is very useful tool in job searches for the San Diego area. We have seen a positive increase in the number of jobs being posted to the site recently. We’ve even had an LA non-profit ask to advertise their job on our site. The feedback we’ve received from two recruiters recently was that the candidates hired were candidates who stated they found the job on the webpage. Since the webpage is updated whenever we receive a new posting request, checking back frequently is always a great idea. We receive postings from federal contractors, public agencies, and private employers making it a great resource for all of our members.

We often receive requests from recruiters for resumes of suitable applicants in lieu of posting the job on the webpage. Because of that, if you would like to have your resume maintained in a file for forwarding to a possible employer, please feel free to email me a copy of your resume at [email protected]. When a resume is forwarded to a potential employer, an email is sent to the candidate to let them know it is being sent out.

Please feel free to let your HR departments know about this resource if your company is currently hiring. Welcome Captain Armstrong By Theresa Robinson Harris, CPCM/Vice President

Please join us in welcoming Captain Stephen E. Armstrong, SC, USN, as the new DoD Liaison for the NCMA San Diego Chapter. CAPT Armstrong is replacing CAPT Scott Hoffman in this position, which was established to facilitate DoD personnel and NCMA working together to achieve mutually beneficial goals. CAPT Armstrong is relieving CAPT Hoffman, who is relocating to the DCMA office in Boston, as Deputy Director of Contracts at SPAWAR. The Chapter Board looks forward to CAPT Armstrong’s participation in the Chapter’s activities and his support of NCMA.

Featured Member By Captain Stephen E. Armstrong

Supply Corps, U.S. Navy Space and Naval Warfare Systems Command, Deputy Director for Contracts/Dod Liasion

Captain Stephen E. Armstrong currently serves as the Deputy Director for Contracts for Space and Naval Warfare Systems Command in San Diego, CA. He previously served on the staff of the Deputy Assistant Secretary of the Navy (Acquisition & Procurement) in Washington, DC.

Captain Armstrong is a graduate of the University of California, Los Angeles (BS Applied Math) and Touro University International (MBA in Military Management). He earned his commission through the UCLA Naval Reserve Officer Training Corps (NROTC) program in 1991. Prior to his NROTC scholarship to UCLA, he was assigned to the Reactors Control Division of the USS Bergall (SSN 667) as an Electronics Technician 2nd Class from 1986-1987.

Following completion of Navy Supply Corps School in Athens, Georgia, Captain Armstrong was assigned to the Naval Support Force Antarctica Detachment McMurdo Station (OPERATION DEEP FREEZE) where he served as the Winter-Over Assistant Officer in Charge. His other shore tours include: Training Officer for Fleet Electronic Warfare Support Group Surface detachment TWO in San Diego, Ca.; Contract Administrator for Defense Contract Management Command – El Segundo, Ca.; Procurement Contracting Officer for F/A-18 Engines, Assistant Contracts Division Head for the F/A-18 Program, interim Contracts Division Head for Air-to-Air Missiles, EA-6B Prowler and Electronic Warfare programs at Naval Air Systems Command in Patuxent River, Md.; Director of Far East Contracting, Fleet Industrial Supply Center (FISC) Yokosuka, Japan; and Officer in Charge, FISC Sigonella detachment Bahrain Contracting.

Afloat assignments include Supply Officer for USS Portsmouth (SSN 707) based in San Diego, Ca. which involved a Western Pacific deployment with the Nimitz Battlegroup. He also served as the Stores Officer (S-8) and Stock Control Officer (S-1) aboard USS Boxer (LHD 4) during which it involved a Rim of the Pacific and two Western Pacific deployments. He also served as the Officer in Charge for USNS Charles Drew (T-AKE 10) and the interim Officer in Charge for USNS Robert E. Peary (T-AKE 5).

Individual Augmentation assignments include Contingency Contracting Officer duties in Iskenderun, Turkey while assigned to Joint Contracting Center (JCC) Incirlik, Turkey in 2003 and Coalition Military Assistance Training Team (CMATT) member in Ramadi, Iraq while assigned to the Multi-National Security Transition Command—Iraq (MNSTC-I) in 2006.

Events: Webinars/Seminars/Workshops March Event “NCMA Membership Anniversaries”

On March 19th, 2014, at the Sheraton Four Points in San Diego, NCMA members with milestone tenure were presented with Anniversary Certificates. The San Diego NCMA Chapter recognized members with 5, 10, 20, 25, 30, 35 and 40 years of membership and contribution to NCMA and the contracts profession. March Event “Subcontracting Under USG Contracts” By Victoria Marin/Publicity Chair

Steve Purcell is currently the Senior Contracts Manager at ViaSat and has spoken at several of our NCMA workshops. Steve is a long time member of NCMA and was recognized today at our March 19th workshop for 30 years of NCMA membership. Steve was generous to speak to our group again on the topic of “Subcontracting under USG Contracts”. Steve has provided some insight to what the Subcontractor should flow-down to their subcontractor, the differing viewpoints of each party as well as the risks we should be aware of.

Generally the USG dictates what terms and conditions go into a contract with little negotiation. In many cases, the Prime contractor will flow-down all clauses coming from the USG but as we learned today, this could be risky and costly to both parties. Our contract with USG in many cases will not be the same type of contract flowed down to our supplier. When flowing down clauses, we must read each clause to determine it is appropriate for the particular support and contract type. For example, a Fixed Price (FP) payment clause in a Cost-Plus Fixed Fee (CPFF) contract will be very different in terms of payment. The type of work and location of performance by a subcontractor will also affect which clauses to flow-down, i.e. working outside the US. Another item we must not ignore is the thresholds for TINA and CAS, as they could be different from the Prime contract. Each contract type, support and threshold will influence which clauses to flow-down and we must tailor them to better manage risks.

As most of us work predominantly government contracts, we must remember that when working with a commercial type contract there are very different terms and conditions that will apply. The FAR dictates Part 15 to government contracts, but commercial contracts have guidance from FAR Part 12. When working with a commercial type contract, a Prime should always seek to include the necessary clauses. An important clause to add is 52.244-6, Subcontracts for Commercial Items. The policy to the prime and subcontractors is to be mindful of their contracts and not to flow-down any clause not consistent with contract type, item, or services being purchased.

May Event “Bid Protests” By Victoria Marin/Publicity Chair

On May 21st the San Diego Chapter hosted a workshop at the Sheraton Four Points Hotel. The topic presented was “Bid Protest from a Small Business Perspective”, presented by Richard B. Oliver from McKenna Long & Aldrige. Richard Oliver discussed the bid protest process, how to most effectively pursue bid protests and the requirements on how to successfully support your bid protest. He started off by advising that there is not much of difference when protesting from a small or large company but the costs and impact to the smaller company are more meaningful and can have a larger impact to their future business. There are a few forums to file a federal bid protest. One option is to file your protest with the agency conducting the procurement. Some of the benefits to this first option is it is quick, usually within 35 days and the contract award and performance stays the same. Filing with an agency is less expensive since there is one plea. The customer finds this approach less objectionable and if you lose, you can still protest same grounds to the Government Accountability Office (GAO). Most protests are filed at the GAO. Approximately 2,400 GAO protests were filed in FY2013. These protests are relatively quick within 100 calendar days. GAO protests are relatively inexpensive as there may be only two pleadings. The protest is heard by independent GAO attorney who have well established case law. If you lose, you can usually protest still with Court of Federal Claims (COFC). There were approximately 100 COFC protests in 2013. The duration of a COFC protest may vary from 1 to 6 months or more. The protest could be expensive with multiple pleadings to file protest and expect motion to dismiss on procedural grounds. Your protest will be heard by COFC judge with still developing COFC case law and if you lose, you can appeal with Court of Appeals for the Federal Circuit (CAFC). Regardless of the forum that you file your bid protest, you must be well informed of the process to ensure you are most effectively pursuing your bid protest. The timeliness rule is one of the most important to follow and if you are late to file or to respond, your case can be dismissed automatically without consideration.
