Introduction

The SAP® BusinessObjects™ Disclosure Management, XBRL starter kit for Indian GAAP reporting is pre-configured content intended to accelerate and secure implementation of XBRL (eXtensible Business Reporting Language) filing to the Indian Ministry of Corporate Affairs by Commercial and Industrial (C&I) entities using Disclosure Management or XBRL Publishing. The starter kit is based on the latest release of the Indian GAAP taxonomy, and include Excel workbooks in order to produce Balance Sheet, Income Statement, Cash Flows instances.

This document explains how the tagging file has been done using UBmatrix Report Builder, and how it can accelerate both the implementation of your XBRL filing process when operating these files.

Indian-GAAP Taxonomy

Description

The starter kit includes 3 Excel templates which reflect the structure of the revised Indian-GAAP for C&I entities taxonomy, including the same concept labels in English:

1) Balance Sheet reporting

2) Profit and Loss reporting

3) Cash Flows reporting

The Indian GAAP Taxonomy for C&I entities is an extension of the Indian GAAP taxonomy as released by the Institute of Chartered Accountants of India (ICAI) and the Non-GAAP taxonomy for MCA reporting. It is composed of 3 folders (one per taxonomy)

The Technical Architecture of the Indian GAAP for C&I taxonomy is as follows:

Each of the above reports correspond to one instance document. All three instances share the same General Information and Disclosures information as defined in the following Extended Link Roles:

The content of the core financial statements is conditioned by the General Information data, for instance if

the Nature of Report as defined in the role [610000] General information about financial statements is equal to Standalone, then it is not allowed to enter any value in the Minority Interests, Net account of the [100010] Total Assets and Liabilities statement.

The MCA may also require disclosing additional information in the schedules in order to detail particular amounts of the main financial statements: Balance Sheet, Profit & Loss and Cash Flows.

For instance, Reserve Surplus is a mandatory account of the [100010] Total Assets and Liabilities financial statement, so you are required to populate an amount for the current year and the previous year (if applicable) but then you need also to provide detailed information in the [100200] Schedule - Reserves and Surplus to explain this amount.

Finally, the filers also need to provide narrative detailed information about the company, mostly inside text blocks:

In the XBRL portal of the MCA (http://www.mca.gov.in/XBRL/index.html), a validation tool is available for download to perform all checks regarding XBRL syntax, mandatory information, content formatting, data consistency… on the instance documents.

Organizing Concepts: Presentation, Calculation, Definition

The Indian GAAP taxonomy currently is not an extension of the IFRS taxonomy. The hierarchy of concepts can be browsed through the Presentation and the Calculation views and no XBRL dimension has been implemented.

Pre Tagged Workbook

In addition to sample instance documents for C&I entities, three Excel workbooks are delivered as part of the Indian GAAP XBRL starter kit: MCA2010-ANNUAL-BS.xlsm (Balance Sheet), MCA2010-ANNUAL-IS.xlsm (Profit and Loss) and MCA2010-ANNUAL-CF.xlsm (Cash Flow). The main consolidated financial statements have been populated from sample data provided in the ledger.xlsx Excel file. It can therefore be used as such for filing financial statements, unless some concepts, contexts or units must be added or removed in order to meet specific filing requirements. Regarding notes, additional cells can simply be tagged from Word documents with concepts to be inserted according to these requirements.

The following sections explain how to implement filing to the Ministry of Corporate Affairs using the pre-configured workbooks.

Who May Use this Form and When It Must be Filed

The following class of companies have to file the Financial Statements in XBRL Form from the year 2010-2011 :

All companies listed in India and their Indian subsidiaries;

All companies having a paid up capital of Rs. 5 crore (INR 50 millions) and above, or a turnover of Rs. 100 crore (INR 1 billion) or above .

Taxonomy

The Excel workbook is tagged with the revised Indian GAAP taxonomy for Commercial & Industrial entities which was released on the 27

th of August by the Indian Ministry of Corporate Affairs and the Institute of

Chartered Accountants of India (ICAI)

Download from this URL http://www.mca.gov.in/XBRL/pdf/Revised_taxonomy.zip the compressed archive which contains the taxonomy. Extract all taxonomy files to a folder on your hard drive.

The taxonomy entry-point is CI_taxonomy\Revised taxonomy\Taxonomy-27August2011\ci\ in-gaap-ci-2011-03-31.xsd.

Settings

The Info worksheet provides with all the settings of the tagged financial statements and notes. Excel formula names are used to retrieve the entity information and the reporting period date.

Any change of the Entity_URI, the Entity_Code, the Period_End_Date or the Currency (cells B2, B3, B4 or B5 of the Info worksheet) will cause an automated update of the headers of the financial statements, the column headers, the balance closing information of the financial statements and the XBRL contexts.

The Scale (cell B6 of the Info Sheet) is the level of rounding used in the financial statements. All monetary amounts of the reports (excluding Indian Rupees per Share or monetary general information about the company) should apply the Scale using the formula:

In the Statement worksheets, all financial statements related to Balance Sheet, Profit and Loss or Cash Flow reporting appears in an Excel treeview.

For each financial statement, you will find the number of errors so the unexpanded view can be used as a validation dashboard prior to creating the XBRL instance.

Tagging: Concepts, Contexts and Units

Tag each cell of the financial statements which contains significant amount with the following elements:

one Concept from the Indian GAAP taxonomy,

one of the XBRL Contexts defined for financial reporting to the MCA (corresponding to 2 years history)

one of the following Units: INR (Rupee), INRperShare (Rupee per Share) or shares.

Do not tag cells which contain no value, otherwise you might generate null facts in the instance document. Null values are not required by the MCA and might generate validation errors.

You must enter values in all mandatory cells (for the current and the previous year if applicable). The column H of the Statements worksheet may contain additional information to help you.

When you enter data in aggregated account, you might need to provide the detail for this account until the reporting is completed and no validation errors is generated.

Four contexts have been created in order to tag balance data (period type = instant) and periodic data (period type = duration) for both the current and the prior fiscal years. For balance data, we need one additional instant context to define opening balance of the prior fiscal year:

For the moment, there is no dimensional context derived from the base contexts above. Dimensional contexts might be created to tag the Statement of Changes in Equity by associating amounts with members of the Component of Equity axis, as defined in the IFRS taxonomy.

Example of duration context

When updating the filing period, the time-related properties of the contexts (Type, Instance Date, Start Date, and End Date) are automatically updated by a specific macro which leverages the Report Builder’s API (see http://docs.ubmatrix.com/webhelp/RBME/3_6/default.htm#Report_Builder_API.htm ).

Updating Contexts Automatically via the API

A VBA Macro, using the Report Builder API and attached to the Info worksheet, is triggered each time one of the following settings is modified:

Entity URI (cell B1 of the Info Tab)

Entity Code (cell B2 of the Info Tab)

Period End Date (cell B3 of the Info Tab)

The templates are Excel Macro-Enabled Workbooks and Report Builder should be started so the contexts are automatically updated.

If new contexts are created, the macro should be updated accordingly (Menu Developer > Code > Visual Basic of Excel)

Formatting

Microsoft Excel cell styles have been leveraged to streamline the layout applied to cells depending on their content: statement title, base-level account description, total account description, control formula, etc. As a result, you can update the cells layout consistently throughout the workbook by updating the pre defined cell styles.

All labels and financial data are displayed in black color

All calculation data are displayed in blue color

All controls are displayed in red color

Data Retrieval Formula

The data retrieval formula =(ROUND(<DataRetrievalFormula>*$A8*Rate,0)+E8)*Scale is designed to fetch source data (Excel add-in formula or external links) and manage the following issues:

Rounding source amounts to the nearest unit of scale Amounts filed in an XBRL instance must be integers.

Reversing the sign of the source amount Some amounts may have a reversed sign in the source system compared to the expected sign in the XBRL instance (e.g. expenses, treasury shares). For this reason a specific column exposes the multiplying factor to be applied to the source amount to reverse the sign in this case (column header = “N”).

Adjust the amount by 1 or -1 to ensure the rollup consistency on rounded amounts.

The sum of rounded amounts for base level accounts in the hierarchy does not necessary equal to the rounded amount for the respective parent account. Therefore the retrieval formula takes into account the content of a dedicated column where you can input the adjustment on an account by account basis (generally +1 or -1).

Adapt source amounts from one scale to another It is specified in the XBRL Filing Manual v1.0 released by the MCA: “Do not define or use units that imply a scale factor on a currency”.

If amounts are expressed in thousands in the source reporting application, they should be multiplied accordingly to turn them into units without factor in the instance file and rounded to the nearest million for example. Thus the retrieval formula finally takes into account the scale factor defined in the Settings. The scale factor is designed to expose monetary amounts rounded to millions, thousands….

For instance, 1,437,552 INR will be disclosed as follows:

1,000,000 INR if the scale is set to million (1,000,000)

1,400,000 INR if the scale is set to lakh (100,000)

1,437,552 INR if the scale is set to unit (1)

Groups

You may define external links to other Excel files or dimension members from source reporting systems in order to populate the tagging Excel file. If several values from the data source need to be aggregated, then provide the detail of each amount in Excel groups for better clarity and audit trail. In the example below, the lines in blue are fetched from the datasource and are aggregated into the taxonomy element which is tagged in the spreadsheet.

Rollup Consistency Controls

Worksheets where financial statements are tagged include control columns in which the difference between amounts stored on parent accounts and the sum of amounts stored on the respective child accounts is computed. These visual controls reflect the rollup calculation controls defined in the taxonomy, and therefore allow you to anticipate on possible rollup errors raised by the validation engine of Report Builder.

The workbook is consistent when all controls of the financial statements are equal to 0 or null. However, the final consistency check must be performed through the Validate button of the UBmatrix tab in the ribbon.

The instance document is consistent when no line appears in red column in the validation trace report and when there is no validation error in the Validation tab.

Warning: in order to comply with all controls of the current version of the MCA validation tool, it is necessary to keep calculation inconsistencies in the Alternative Income Statement when preparing the P&L filing and the type of Income Statement is “Main”.
