The University of Rochester invites inquiries, nominations and applications for its next Vice President and General Counsel. The General Counsel will be a key member of incoming President Sarah Mangelsdorf’s executive leadership team, as she begins her service to the University starting in July of 2019. The General Counsel provides direct counseling and legal services to the Board of Trustees and senior leaders of the University, and manages all legal services for the University, including the Medical Center and affiliate entities. The new General Counsel is expected to assume office by September 3, 2019.

THE SEARCH

Founded in 1850, the University of Rochester is a distinguished private research university that is a member of the Association of American Universities (AAU). The University’s Mission is to “Learn, Discover, Heal, Create‐‐and Make the World Ever Better,” a mission reflected in its Latin motto, Meliora (“ever better”), also an acronym for its recently adopted values: Meliora, Equity, Leadership, Integrity, Openness, Respect, and Accountability.

The University of Rochester is one of the country’s top-tier research universities and the fifth largest private employer in New York. In December of 2018, the University announced that Sarah Mangelsdorf, currently Provost at the University of Wisconsin-Madison and an experienced academic leader and professor of psychology, will become the University’s next chief executive.

Located in the City of Rochester on the southern shore of Lake Ontario and northwest of the picturesque Finger Lakes in New York State, the University of Rochester enrolls more than 11,800 full‐time and part‐time undergraduate, graduate, and professional students. The University’s academic programs are delivered through seven academic units: Arts, Sciences & Engineering (comprising the School of Arts & Sciences and the Hajim School of Engineering & Applied Sciences and the undergraduate College); the Eastman

School of Music; the School of Medicine and Dentistry; the School of Nursing; the Eastman Institute for Oral Health; the Simon Business School; and the Warner Graduate School of Education and Human Development. Academic programs are offered within three locations: the River Campus, which houses Arts, Sciences & Engineering, the Simon Business School, and the Warner School of Education; the Medical Center, which is next to the River Campus and houses the School of Medicine and Dentistry, the Eastman Institute for Oral Health, and the School of Nursing; and downtown Rochester, home to the Eastman School of Music. The University also operates the Memorial Art Gallery, one of the few university-affiliated art museums in the country that also serves as the local community’s civic art museum.

The University enrolls more than 6,500 undergraduate students and nearly 5,300 graduate and professional students, drawn from all 50 states, four U.S. territories, and close to 150 countries. Students from underrepresented minority groups make up approximately 12% of the undergraduate student population and 9% of the graduate and professional population; international students account for 24% of undergraduates and 39% of graduate and professional students, respectively. The University employs nearly 2,200 faculty across its seven schools.

For fiscal year 2019, consolidated budgeted revenues are projected to exceed $4.4 billion with anticipated activities of the Medical Center and related affiliates representing close to 90% percent of this total. The University’s endowment in December 2018 exceeded $2.4 billion. Total annual research awards last year totaled approximately $438 million.

Points of PrideWhile all programs attract strong faculty, staff, and students, the University of Rochester has numerous “Points of Pride” that bring exceptional distinction.

The Eastman School of Music, celebrating its centennial in 2021, has been long regarded as one of the world’s most prestigious musical institutions. Five Eastman-trained composers and three former professors have been awarded the Pulitzer Prize for Music. Eastman composition graduates have won the Prix de Rome, Guggenheim Fellowships, the Bearns Prize, the Charles Ives Award, and major awards from ASCAP and BMI.

The Institute of Optics, founded in 1929 as the nation’s first educational program devoted exclusively to optics, is widely considered one of the nation's premier schools of its kind. The Laboratory for Laser Energetics is the U.S. Department of Energy’s largest university-based research center; it houses two of the world's most powerful lasers and is a leading site for work in high-energy density physics and inertial-confinement fusion.

Dr. Donna Strickland, former Rochester graduate student, and Dr. Gerard Mourou, former U of R professor of optics, were awarded the 2018 Nobel Prize in Physics for work done at Rochester. The two discovered a method of using lasers that has aided a broad range of innovations from cancer treatments to eye surgery to smart-phone technology. These two awards bring the total number of Nobel Prizes won by faculty and alumni to 12.

The University of Rochester Medical Center (URMC) is a leader in professional education, biomedical research, and clinical care. URMC is part of an accountable care organization with 500 primary care providers and 1,500 specialists serving more than 500,000 patients across upstate New York. URMC and its affiliates employ more than 23,000 people. Building on a history of breakthrough discoveries in disease prevention and medical treatment, URMC employs more than 3,000 researchers in basic, translational and clinical science. Among schools that receive NIH funding, the School of Medicine and Dentistry ranks in the top 40 nationally, the School of Nursing ranks in the top 20, and Eastman Institute for Oral Health ranks in the top 10. The School of Medicine and Dentistry is known for developing progressive and innovative curricula. It is one of eight schools chosen by the Accreditation Council for Graduate Medical Education to help redefine residency training for the demands of 21st century health care. In the wider institution, URMC is creating multidisciplinary research programs of excellence in focused areas including aging, cancer, infection and immunity, musculoskeletal research, neuroscience, and RNA biology.

Operating under the “UR Medicine” brand, clinical services have grown more than 30% over the past four years. The six-hospital UR Medicine health system is anchored by Strong Memorial, an 846-bed, University-owned teaching hospital located on campus. Strong is the state’s only hospital outside New York City to provide liver and heart transplants, a maternal-fetal medicine program for congenital birth defects, and a range of pediatric surgical subspecialties.

Regional with a Worldwide Impact

As the largest private employer outside of the greater New York City area and the fifth largest private employer in New York State, the University of Rochester has a profound impact on the region’s cultural, social, educational, clinical, and economic strength. The University and its affiliates continue to expand their economic impact within New York State. In 2017, the University was responsible for directly and indirectly sustaining more than 59,000 jobs in the State.

The University provides a range of direct and indirect economic benefits, serving not only as an intellectual hub, a major employer, and the region’s largest health care provider, but also as the sponsor of technology transfer efforts that have helped launch more than 60 startup firms over the past 20 years and led to numerous transformational discoveries, including the “dithering” algorithm used for image rendering on almost every printer and computer screen; surfactants to boost lung development in premature infants; the Haemophilus influenzae type B (Hib) vaccine preventing meningitis in children; and the Human Papillomavirus (HPV) vaccine protecting against cervical cancer.

With a metropolitan area of 1.1 million residents, the city and the Rochester area offer the amenities and cultural milieu of a major urban area within a more accessible and welcoming environment. Rochester has been named one of the most livable cities in the U.S., with outstanding schools and housing, as well as a diverse cultural life.

Rochester is a place where nature beckons; numerous parks, trails, lakes and scenic areas invite residents and visitors to explore the region’s beauty. Outdoor winter sports are popular; 30 minutes south of Rochester is the highest vertical ski mountain between the Adirondacks and Colorado. The area also is host to approximately 100 golf courses. In addition, scores of high-quality

restaurants --- many chef-owned --- are flourishing in the area. A seemingly unending number of festivals, performances and cultural events are offered throughout the year in Rochester. The recently renovated airport, approximately 10 minutes from campus, makes air travel pleasant and convenient.

The University’s engagement with the Rochester community spans cultural opportunities provided by the Eastman School of Music and the Memorial Art Gallery, to direct participation in critical public institutions, such as the successful partnership with East High School, which may serve as a model for revitalizing urban public education.

Reporting directly to the President, the Vice President and General Counsel is the chief legal officer of the University and is a key member of the executive leadership team, contributing to the resolution of many of the most important issues that affect the University. The General Counsel also provides direct advice and counsel to the Board of Trustees on legal issues, governance, and related topics.

The Office of Counsel provides in-house legal services to the University of Rochester, including all its schools and divisions, the Medical Center, and its affiliates and related entities. The Office oversees all aspects of the University's legal services, is responsible for selecting and retaining outside counsel, and determining when outside counsel is needed to represent the University. The Office also manages all litigation and other legal proceedings on behalf of the University and its employees.

The new General Counsel will be selected by incoming President Mangelsdorf and, therefore, will have the exciting opportunity of being on the ground floor as a new administration takes shape.

In addition, the General Counsel will be an important convener for and implementer of policies that ensure that the University’s deep commitment to Meliora---ever better---as well as its embedded values of equity, leadership, integrity, openness, respect and accountability are honored throughout the campuses.

The General Counsel will manage the Office of Counsel and provide day-to-day legal counsel on issues, policies, technology, contracts, transactions, claims, litigations, proceedings and risks that concern the University and its owned or controlled affiliate entities, for the Trustees, President, Vice Presidents (including the Provost and the Senior Vice President for Health Sciences and CEO of the Medical Center), other senior leaders, administrators, faculty and staff, including the members of the Medical Center Board and the officers and directors of the University’s wholly owned or controlled affiliates.

The General Counsel makes employment decisions about and supervises the attorneys and other staff employed in the Office of Counsel of the University and the Medical Center and is responsible for retaining and supervising the work of outside counsel when appropriate. Together with the Senior Vice President for Health Sciences and CEO of the Medical Center, the General Counsel selects and supervises the General Counsel of the Medical Center, who reports jointly to the General Counsel of the University and to the Senior Vice President for Health Sciences and CEO of the Medical Center.

The Vice President and General Counsel oversees a staff of 12 attorneys and six allied professional staff.

Qualifications The successful candidate must: • hold a Juris Doctorate from an ABA accredited

institution, or equivalent;• be admitted, or eligible for admission, to the

New York State bar (admission may occur within one year after hiring); and

• have served in a significant legal leadership role with professional experience involving U.S. laws which govern or affect higher education, research, or health care and related risk management and compliance issues.

Strong candidates will have a track record as a general counsel or comparable executive experience with a higher education institution or similar environment. Practice of law in areas relevant to a research university with an academic medical center will be most compelling.

relating to a non-profit academic institution with a medical center, including hospitals and related healthcare affiliates;

• Fostering a legal office where University constituents will want to seek advice even before an issue has become a problem;

• Capacity to serve as a key counselor to the President and the Trustees;

• Ability to firmly and clearly convey to Trustees, senior officers, faculty, and staff the issues relevant to them in a manner that engenders the support of these critically important constituents of the University community;

• Excellent interpersonal skills, especially the ability to listen and quickly integrate new information;

• Ability to maintain perspective and diffuse tension, ideally with compassion and an active sense of humor;

• Empathy for others trying to lead or accomplish

something innovative who need to deal with, what may seem to them to be, undue restrictions;

• Ability to solve in a constructive manner, or find the appropriate person to solve, problems with legal implications;

• Ability to relate to faculty leadership, convey reasons for policies and secure buy-in, and respect the role of faculty governance;

• Ability to relate to student and staff leadership, convey reasons for policies and secure buy-in; respect the roles of students and staff within the broader University community;

• Management skills of one’s own time, as well as other professionals (i.e., the Office of Counsel and outside lawyers); and

• Understand and manage financial budget of the Office of Counsel, especially outside counsel selection and negotiation and management of services and fees.
