The defendants consented to the entry of the Final Judgment, without admitting or denying the allega- tions in the Commission's complaint. The commission's complaint filed February 16, 1982 alleged, inter alia, that during the period 1973 to the present, and at various times therein, LongIeil, Lawrence, and the entities violated the antifraud provisions of the federal securities laws in the offer and sale of the securities by making material misrepresentations of fact and/or omitting to state material facts concerning: (1) the financial condition of Longleaf and another entity; (2) the value of collateral pledged to secure the investment; (3) the payment of commissions, and (4) prior operating losses sustained by the issuers. In addition, the complaint alleged that at various times from 1973 to the present, Lawrence & Co. and LIC, aided and abetted by Lawrence, held themselves out as and engaged in business as investment companies while not registered with the Commission pursuant to Section 8 of the Investment Company Act. RICHMOND ORDERED INTO CUSTODY FOR WILLFUL CONTEMPT OF COURT The Los Angeles Regional Office announced that on February 1 the Honorable Consuelo B. Marshall, Judge of the U.S. District Court for the Central District of California ordered defendant Curtis R. Richmond of Los Angeles, California into the custody of the U.S. Marshall based upon its prior order of November 9, 1981. That order held defendant Richmond in civil contempt for failing to pay fees to a special auditor appointed by the Court to prepare certain financial information for investors in Ric~nd's investment program. Although Richmond appealed the order of civil contempt on December 9, 1981, he filed a motion in the District Court on February 1, 1982 seeking a stay pending appeal which the Court denied on that day. The Court stayed the order remanding Richmond into custody until February 4, 1982. On February 3, 1982, the Court denied Richmond's motion seeking to file a performance bond in the District Court providing for payment pending appeal. The Los Angeles Regional Office announced that on February 1 the Honorable Consuelo B. Marshall, Judge of the U.S. District Court for the Central District of California ordered defendant Curtis R. Richmond of Los Angeles, California into the custody of the U.S. Marshall based upon its prior order of November 9, 1981. The Denver Regional Office announced that pursuant to the consent of the defendant, an Order appointing a SIPC trustee to liquidate International Securities, lnc., a Denver, Colorado, broker-dealer, was entered by Chief Judge Fred Winner, U.S. District Court for the District of Colorado, on February 25, 1982. CRIMINAL PROCEEDINGS PAUL F. KENDRICK CONVICTED OF SECURITIES FRAUD AND PERJURY

The San Francisco Branch Office announced that on February 26 a jury returned a ver-dict of guilty on three of four counts against Paul F. Kendrick of Atherton, Califor-nia, after a federal criminal trial in San Francisco.

Kendrick had been charged with three counts of securities fraud and with one count of perjury. Kendrick, president of Paul Kendrick & Co., Inc., a securities broker-dealer, was charged with looting funds from customer accounts in 1976, and with lyingto an officer of the Commission during an investigation concerning his handling of his customers' accounts. Kendrick was found guilty of two of the three fraud counts and the perjury count. (U.S. v. Paul F. Kendrick, Crim. No. 8l-312-WWS, N.D. Calif.)(LR-9608)
