PLEASE TAKE NOTICE OF THE FOLLOWING:Bankruptcy Filing. On October 9, 2018 (the “Petition Date”), Westmoreland Coal Company and certain of

its affiliates, as debtors and debtors in possession (collectively, the «WLB Debtors”)2 and the WMLP Debtors,also as debtors and debtors in possession in the above captioned cases, each filed a voluntary petition forrelief pursuant to chapter 11 of title 11 of the United States Code (the“Bankruptcy Code”) in the United StatesBankruptcy Court for the Southern District ofTexas (the“Bankruptcy Court”).

Motion to Approve Sale.On January 18,2019,theWMLP Debtors filed the Expedited Motion ofWestmorelandResource Partners, LP and Its Subsidiaries for Entry of (I) An Order (A) Establishing Bidding and Sale Procedureswith Respect to the Sale of the Kemmerer Mine and Substantially All Assets Related Thereto, (B) Authorizing theEntry Into a Stalking Horse Agreement and the Provision of Stalking Horse Protections, (C) Scheduling an Auctionand Sale Hearing and Approving the Form and Manner of Notice Thereof and (D) Granting Related Relief; and (II)an Order Approving the Sale of such Assets and Granting Related Relief (the “Sale Motion”) [Docket No. 1101].3

Pursuant to the Sale Motion, the WMLP Debtors are seeking to sell substantially all of the assets of WMLPDebtor Westmoreland Kemmerer, LLC and WMLP Debtor Westmoreland Kemmerer Fee Coal Holdings, LLC,including certain executory contracts and unexpired leases (the “Kemmerer Assets”). The Sale Motion con-templates that the sale of the Kemmerer Assets will take place via an auction (the“Auction”) governed by theBidding Procedures attached to the Sale Motion as Annex 1 to Exhibit A (the“Bidding Procedures”). Pursuantto the Bidding Procedures, interested potential purchasers must fulfill certain requirements to, among otherthings, (a) participate in the bidding process, (b) become “Qualified Bidders” and (c) submit “Qualified Bids.”A bid shall not constitute a Qualified Bid unless it is submitted in accordance with the Bidding Procedures,anda bidder shall not constitute a Qualified Bidder unless it submits a Qualified Bid.The WMLP Debtors will deter-mine the winner of the Auction (the“Successful Bidder”) pursuant to the terms of the Bidding Procedures.

Free and Clear Sales; Good Faith Purchaser. Pursuant to section 363(f) of the Bankruptcy Code, and exceptas otherwise provided in the Successful Bidder’s asset purchase agreement approved by the Bankruptcy Court,all of the WMLP Debtors’ right, title and interest in, and to, the Kemmerer Assets are proposed to be sold freeand clear of all liens, claims (as such term is defined in section 101(5) of the Bankruptcy Code), interests andencumbrances (collectively,“Liens”), with any Liens to attach to the proceeds of the sale as provided in thefinal Sale Order. In addition, the Sale Order will include proposed findings that the successful bidder is a“goodfaith purchaser,” as that term is defined in section 363(m) of the Bankruptcy Code, and has not violated sec-tion 363(n) of the Bankruptcy Code.Attached as Exhibit B to the Sale Motion is an unexecuted proposed formof asset purchase agreement for the purchase of the Kemmerer Assets (the “Form APA”). Additionally, at anytime until February 7,2019 or such other date approved by the Bankruptcy Court after notice and a hearing,theWMLP Debtors may file one or more “stalking horse” Asset Purchase Agreements with the Bankruptcy Court(any such agreement,a“Stalking Horse Agreement”). Finally,promptly following the designation of the bid ofa Successful Bidder as the“Successful Bid,”the WMLP Debtors will file such bid (including the applicable assetpurchase agreement) with the Bankruptcy Court.

The Auction.In the event the Sellers receive more than one Qualified Bid,theWMLP Debtors shall conduct anAuction, which will start on February 19, 2019, at 9:00 a.m. (Central) and be held at 717 Texas Avenue,Suite 3300, Houston, Texas 77002-2712 or such later date, time or other location as the WMLP Debtors,after consultation with the Consultation Parties, may determine. At the request of the WMLP Debtors, eachbidder participating at the Auction shall be required to confirm in writing, that (a) it has not engaged in anycollusion with respect to the bidding; and (b) its Qualified Bid is a good faith, bona fide offer and it intends toconsummate the proposed transaction if selected as the Successful Bidder.

Successful Bid Notice. Following the designation of a Successful Bid, the WMLP Debtors shall file a noticeof the Successful Bid, along with copies of the asset purchase agreement associated with the Successful Bidand Sale Order (a“Successful Bid Notice”).Upon the selection of the Successful Bid, the WMLP Debtors will (a)file the Successful Bid Notice with the Bankruptcy Court and (b) post such notice on www.donlinrecano.com/westmoreland.No further notice will be provided.

Sale Hearing.A hearing to consider approval of the SaleTransaction (the“Sale Hearing”) is scheduled to takeplace on February 28, 2019, at 1:00 p.m. (Central) or as soon thereafter as counsel may be heard, beforethe Honorable David R.Jones,515 Rusk Street,Courtroom 400,Houston,Texas 77002,or before any other judgewho may be sitting in his place and stead.The WMLP Debtors may, in their discretion, adjourn or rescheduleSale Hearing after consultation with the Consultation Parties.No further notice of any such continuance will berequired to be provided to any party.

Michigan State’s upset lossto Illinois on Tuesday illumi-nated just how deep the Big Tenis this season.

The Illini are one of fourteams that aren’t in the mix forat-large bids, but the overalldepth of the league meansthere are no easy outs, whichthe Spartans learned the hard

way in dropping from the No. 2line to a No. 3 seed in the latestbracket projection.

Taking a look at the Big Tenas a whole, Michigan (project-ed No. 2 seed), Michigan State(No. 3), Purdue (No. 3), Wiscon-sin (No. 4), Iowa (No. 5), Mary-land (No. 6), Minnesota (No. 9),Ohio State (No. 9), Indiana(No. 10) and Nebraska (No. 11)all would be in the field of 68 ifthe season ended today.

Three of those teams are

well below .500 in their confer-ence, with the Cornhuskers 3-8in Big Ten play. Yet take a closerlook at their résumé and seethat their non-conferenceschedule speaks volumes andthey’re No. 33 in the NCAA’snew metric replacing the RPI,the NET. It just goes to showhow the Big Ten stacks up outof conference.

On the other side of thespectrum, Purdue struggled innon-conference action, start-

ing the season 6-5. But none ofthe Boilermakers’ losses was acomplete resume stain andthey’ve used a 9-2 Big Tenstance to climb to No. 11 in theNET.

For teams hovering aroundthe bubble, the Big Ten’sstrength could prevent a much-needed winning streak. Butthere’s also plenty of room tobulk up the profile each week, aluxury Big Ten bubble teamshaven’t had in recent years.

The record for teams to godancing from one conference is11, set by the Big East in 2011.Last year, the Big Ten sent sixteams to the tournament, so it’sclearly a better year for theleague, ranking second only tothe Big 12 in conference NET.

February is a key month forcollege men’s basketball teamsin determining their fate in thefield of 68 for the NCAA tourna-ment.

Here’s a look at five teamsthat spiraled in January duringthe first half of conference playand now have something toprove in February — on highalert as March Madness nears.(Note: Seeds are based on USATODAY’s tournament bracke-tology as of Wednesday)

❚ Seton Hall (projected No. 11 seed): The Pirates (13-9,4-6 Big East) beat Kentucky inan overtime thriller and haveanother quality road win overMaryland. But they haven’tfared well in Big East action,having lost their last six ofeight, including two against pe-rennial bottom feeder DePaul.Winning in February will be keyconsidering Seton Hall’s lasttwo games of the Big East reg-ular season are against the toptwo teams, Villanova and Mar-quette. Myles Powell (21.6points per game) and othersneed to step up.

❚ Indiana (projected No. 10seed): The Hoosiers (13-9, 4-7Big Ten) snapped a seven-

game losing streak that nearlyfoiled their Big Dance hopes bytaking down a projected No. 3seed, Michigan State, on theroad Saturday. But one hugewin will not revive a stainedresume. Indiana has its workcut out in February, with everyBig Ten matchup against anNCAA tournament-caliberteam, starting with Iowa onThursday. If freshman star Ro-meo Langford can start con-necting from beyond the arc,Indiana is a different team (cur-rently ranking 321st nationallyin made 3-pointers). Coach Ar-chie Miller’s ability to get Indi-ana playing defense like his oldDayton teams will be key head-ing into March.

❚ Ohio State (projected No. 9 seed): Coach Chris Holt-mann had this team in the top25 with only one loss at the endof December. Then the NewYear saw the Buckeyes (14-7,4-6 Big Ten) take a turn for theworse as they lost five in a rowin January. Ohio State’s Febru-ary schedule will be tough withroad tests against Indiana,Michigan State and Maryland.Defensively, this team is sound,allowing 65 points per game.Big man Kaleb Wesson also hasexcelled in his sophomore sea-son, scoring 27 points in Ohio

State’s Feb. 2 win over Rutgers. ❚ Mississippi (projected

No. 7 seed): Four consecutivelosses have pushed the Rebels(14-7, 4-4 Southeastern Confer-ence) back on the seeding line,and they’ve yet to face theSEC’s top teams in projectedNo. 1 seeds Tennessee and Ken-tucky. Mississippi can’t affordto lose to lower-tier teams if itwants to avoid the NCAA tour-nament bubble. Breein Tyreeand Terence Davis give theRebls a dynamic backcourt tolean on.

❚ Oklahoma (projected No. 7 seed): The Sooners (15-8,3-7 Big 12) have lost five of theirlast seven games and seven of their last 11.
