TERMS AND CONDITIONSGeneral terms and conditions

ADVERTISING SALES1. These general terms and conditions apply to the sale of adverts

(including the insertion of promotional material – "inserts") for the magazine "Servus in Stadt & Land" ("Servus Magazin"), published by Red Bulletin GmbH (the "Publisher"), Am Brunnen 1, A-5330 Fuschl am See.

ORDER PLACEMENT1. Any client ("Client") wishing to place an advert in "Servus Magazin"

shall place an appropriate order ("Order") with the Publisher.2. Orders are subject to the general terms and conditions, the

currently valid rate card for advertisements and the subsequent written order confirmation of the Publisher.

3. Orders as well as any changes to orders will only be processed once the Publisher has been notified accordingly in writing.

4. The Publisher reserves the right to reject advertising orders - including individual advertisements during the term of an order - at its own discretion.

ORDER PROCESSING1. Orders for the placement of advertisements in multiple editions of

"Servus Magazin" shall be placed within twelve months of recei-ving the order.

2. Advertisements shall be placed in "Servus Magazin" and in accordance with the relevant order.

3. The Publisher shall mark advertisements not recognizable as such on account of their editorial design as promotional material.

4. The Publisher shall undertake to flawlessly reproduce the adver-tisement from a typographical point of view. Proofs made available to the Publisher will not be returned to the client.

5. In the event that the publication of advertisements does not com-ply with these general terms and conditions, the client shall be entitled to demand flawless repeat advertising or repeat publication only in cases where:

a. the advertisement is illegible, incorrect or incomplete;b. the message of the advertisement is compromised; and c. this is due to defective duplication of the advertisement.

The Publisher's liability shall be limited to the scope specified in the general terms and conditions. Any claims must be asserted within eight days of receipt of the invoice.

6. If the material contains defects that are not immediately noticeab-le, but become apparent only during printing, the client shall not

be entitled to assert any claims for inadequate printing. The Publisher shall not be obliged to check the printing material in terms of specifications, quality or completeness. This is solely the responsibility of the client.

7. Proofs shall only be made available at the client's explicit request. These costs shall be borne by the client. The client shall be deemed to have given approval for printing if the proof, received in good time by the client, is not returned by the deadline specified by the Publisher.

8. The Publisher shall keep printing materials until two months after insertion of the last advertisement.

9. At the client's request, the Publisher will, against separate payment of costs, produce the design, text, artwork and photographic mate-rial for advertisements. This is on the understanding that all intel-lectual property rights to the resulting advertisement remain ex-clusively with the Publisher. Should the client wish to use said material in other media, the rights for such other publication shall be acquired from the Publisher.

10. Advertising rates do not include the costs of typesetting, reproduc-tion or lithography, which shall be billed separately insofar as such work is necessary.

POSITIONINGSpecial requirements as to the positioning of advertisements shall only be binding upon payment of a position surcharge; otherwise the publisher shall endeavour to meet the client's wishes, but shall not be obliged to do so.

INSERTS1. The content of inserts may only relate to the client's own

area of business. 2. Prior to order execution, the client is required to provide the

Publisher with a sample (10 units) no later than 4 weeks before the publication date.

CHARGING AND PAYMENT1. The Publisher shall be entitled, even during the term of the order,

to make publication of further advertisements conditional on the advance payment of a specified amount or on the settlement of open accounts.

2. The costs of printing plates, matrices, drawings and any reproduc-tion shall be borne by the client.

3. Unless otherwise explicitly agreed, any changes to the generally applicable advertising rates shall enter into effect immediately, and shall also apply to existing orders.

4. The client shall receive a free sample after publication of the advertisement.

5. Terms of payment: 2% discount on payments made within 7 days of the invoice date or net within 14 days of the date of invoice.

CANCELLATION1. Orders may only be cancelled up to one month prior to the date of

publication of the relevant edition (cancellation of advertisements on cover pages two months prior to date of publication).

2. Cancellation of an order in compliance with the above paragraph shall entail payment of a cancellation charge in the sum of 30% of the value of the advertisement. Cancellations after the deadlines specified above require payment in full and coverage of all costs by the client.

3. Costs resulting from changes to the originally agreed contract and from changes to ordered printing material shall be charged separa-tely to the client.

GENERAL1. The sole place of jurisdiction for all disputes arising from the sale

of advertisements is the competent court in Vienna – Innere Stadt, Austria. Austrian law applies, excluding the conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods.

2. All intellectual property rights to material produced by the Publisher shall remain with the Publisher. Advertisements which contain such material may not be reproduced without the consent of the Publisher.

3. The client hereby gives the Publisher permission to reproduce the advertisement for the purposes of this agreement.

4. The client is responsible for the content of its advertisements and shall hold harmless and fully indemnify the Publisher in all cases where claims are asserted by third parties as a result of or in relati-on to the advertisement – whether under civil law, criminal law or administrative (criminal) law. Indemnification shall also encom-pass the relevant defence costs as well as any tarnishing of image.
