Karnataka State Seeds Corporation invites sealed Bids for from Registered Seed Producing

Agencies or their authorized Agencies for supply of Fodder Maize, Fodder Sorghum, Hybrid

forage Bajra, Hybrid Sweet Sorghum, Fodder Cowpea, other fodder seeds and Forestry seeds

of Certified/TL catogory on consignment basis to Karnataka State Department of Animal

Husbandry and Veterinary Services, Forest department and other Departmental programmes. The

EOI documents are available on Website : www.ksscl karnataka.gov.in and can be obtained in

person from Marketing Division at the Registered Office of KSSC and the district offices of KSSC

or by sending a request by email to [email protected] / [email protected] from 02-03-2019

till 12.00 noon of 21-03-2019. Cost of Bid documents Rs1,000/-(Incl.of all taxes) shall be paid by

Cash or DD drawn in favour of KSSC Ltd, Bangalore or through RTGS shall accompany the Bid

documents. The sealed Bids along with a DD/ RTGS towards EMD at 1% of total value of seeds

offered or Rs.5.00 lakhs (Rupees Two lakhs only) whichever is less shall be submitted to the

undersigned on or before 1.30 PM. on 21-03-2019, the technical Bid opening is fixed on the same

day at 3.00 PM. at our Registered office, Hebbal, Bangalore. The right to accept or reject the Bids is

fully reserved.

1. ELIGIBILITY: The Registered seed producers/authorized suppliers are eligible for

participation. Seed producers registered with respective State Seed Certification

Agency (henceforth called “the Bidder”) who has organized the Seed Production

Programmes in their name/ Firms name required to produce the Area registration

certificate as documentary proof towards Seed production programme organized and

availability of the offered seeds with them.

2. The Bidders are requested to submit the Technical and Commercial Bids separately in

two separate Envelops. The Technical Bids shall be submitted duly mentioning “THE

TECHNICAL BID FOR SUPPLY OF FODDER & FORESTRY SEEDS OF CERTIFIED / TL

CATOGORY FOR 2019-20” in Annexure-I attached to this document.

3. The Commercial Bids shall be submitted in Annexure-II as per the Bid format attached

to this document. The Bid shall be submitted in sealed envelope addressed to the

Managing Director, KSSC Ltd., Bangalore duly mentioning “COMMERCIAL BID FOR

SUPPLY OF FODDER & FORESTRY SEEDS OF CERTIFIED / TL CATOGORY FOR

2019-20.”

4. The Technical and Commercial Bids complete in all respect shall be submitted on or

before 21-03-2019 up to 1-30 p.m. or shall be dropped in the Drop Box kept at the

MPD&C Division, KSSC Ltd., Hebbal, Bangalore.

5. The opening of Technical Bids is fixed on 21-03-2019 at 3-00 p.m. the opening of

Commercial Bids is tentatively fixed on 22-03-2019 at 11.30 AM. The Bidders who

qualifies in the Technical Bid Evaluation are only eligible to participate in the

Commercial Bid Opening. The qualified Bidders would be announced after the

evaluation of the Technical Bids.

6. Commercial bid: Commercial Bids shall have the details of the quantity offered, supply

rate per qtl, agreed time of Supply on FOR delivery basis anywhere in Karnataka State

(to other States if any on mutual consent) in the Brand name of the Producer. Primary

& secondary packing material shall be of the Producer (if necessary KSSC may desire

to pack the seeds in KSSC packing and in such case as per specified design and the cost

of packing material would be deducted from the offered price.)

7. Authorisation to quote the rate and quantity in the tenders of Karnataka State

department of Animal husbandary & veterinary services, Forest department and

any other organization’s to supply at L-1 rates.:

a) The Bidders shall authorize KSSC to include the crop/variety and quantities

offered by them under this EOI to quote to the Government

departments/organizations tender for supply of seeds during 2019-20, for

distribution under subsidy programmes or any other programmes.

b) The bidders shall abide to supply the seeds at the L1 rates fixed by the

respective departments/organizations tender and agree to pay the Service Margin

to KSSC as mentioned at point No.7 below.

A format for such authorization to KSSC and undertaking regarding L1 price

and service margin is attached to this document at ANNEXURE-III. This

authorization shall be duly signed and submitted along with the Technical Bid.

8. SERVICE MARGIN : 4% service margin is payable to KSSC on the value of seeds sold

by KSSC at L1 Prices finalized by the concerned departments.

9. Along with the Technical Bids, the Bidder shall submit the EMD and self attested

notarized copies of the following documents / Certificates along with the bids:

a. The bid should accompany an Earnest Money Deposit (EMD) amount of 1% of

the total value of the seeds offered for supply or Rs.5.00 lakhs whichever

is high by way of Demand Draft drawn on any Nationalized Bank, drawn in

favour of “Karnataka State Seeds Corporation Ltd.” payable at Bangalore or

through RTGS to the Corporation Bank account No.510341000692074,

IFSC:CORP0002021, Branch: Ganganagar, Bangalore

b. The cost of tender documents is Rs.1,000/- per set inclusive of all taxes.

The document shall be purchased by paying cash or by DD drawn in favour of

KSSC Ltd., Bangalore at Marketing Division, KSSC Registered Office or

through RTGS as mentioned in Sl.No.9 (a) above or the DD may be enclosed

to the Technical Bid.

c. Original Certificate issued by the concerned State Seed Certification

Agency towards the area organized under the crop / varieties and quantities

offered along with certified copies of source of production. In case of TL

seeds, source of the seeds shall be duly notarized.

d. Attested copies of the Registration Certificate issued by the concerned

Seed Certification Agency towards Processing Plant Registration.

e. Valid Seed License issued by the competent authority.

f. Annual Turnover of the firm for the year 2015-16,2016-17 & 2017-18

supported by audited balance sheet certified by Chartered accountants in

annexure-IV

g. Copies of fodder seeds sales invoices supplied to Govt. institutions including

other states during 2015-16, 2016-17 & 2017-18 as per annexure-V

h. Copy of the leaflets in Kannada /English indicating package of practices

i. Costing details of seeds offered varietywise in Annexure VI

j. Original authorization to KSSC to quote for AH&VS Tender and undertaking

regarding L1 supply price and Service margin in ANNEXURE-VIII

k. GST Registration Certificate

l. Firm Registration certificate

m. PAN card.

n. Declaration by the supplier/producer for having not blacklisted in last 3

years in any part of the country.

o. Two Packets of each variety as sample shall be submitted on the specified

day of Technical bid opening of the tender.

10. Wherever copies are submitted, the originals shall be produced for verification at the

time of opening of technical bids / before finalization of bids.

11. The successful Bidder shall give an undertaking to KSSC on the following issues.

a. Would not supply the seeds offered to KSSC either directly or indirectly to

the KSDA tender during the year 2019-20.

b. Would not supply the offered crop/variety of seeds at below L-1 price to

any other dealers or distributors in Karnataka.

12. The Bidder shall declare the Addresses of the seed storage godowns and seed

processing units where the offered seeds are stored, to KSSC for inspection.

13. In respect of Certified seeds offered, the Seed Producer shall supply certified seeds

which are certified by the competent Certification Agency of the concerned State as

per Seed Act with minimum seed certification standards. In respect of truthfully

labeled seeds, it shall meet the minimum seed certification standards as per Seed Act

and shall produce documentary proof to that effect.

14. The requirement of the seed is depends on the seasonal conditions and requirement by

the concerned departments. Hence, bidders are required to supply the quantities

accordingly.

15. The Bidder shall supply the seeds giving top most importance to the quality of the

seeds and the Corporation reserves the right to reject the seeds on the following

grounds:

“If the seeds are affected by rain, lusterless or on the grounds of admixture if

noticed by the officials of the Corporation / concerned receiving departments / any

customer who buys seeds. It can also be rejected on the grounds of damage in packing,

under weighment, poor processing quality or not meeting any quality standard as per

Seed Act and other stipulations in the State of Karnataka or on any other grounds

which serves as sufficient proof of substandard quality of the seeds.”

16. The Bidder shall supply the seeds in standard packing sizes for both certified /

truthfully labeled seeds as desired by the concerned departments.

17. The Successful Bidder is bound to supply / transport the seed on FOR delivery basis to

the destinations as per the quantity and destinations prescribed in the Supply Order.

18. Penalty:

The seed shall be supplied immediately on placement of Supply Order.

a) If the delivery of the seeds is delayed beyond 8 days after placement of the

Supply Order (Oral/E-mail/Fax), then a penalty of 1% shall be levied on the

supplier and deductible out of the payables to the supplier.

b) If the delivery of the seed is delayed beyond 5 days, supplies will not be

accepted and the Supply Order stands automatically cancelled.

c) The Managing Director also reserves the right to forfeit the EMD amount on

non-fulfillment or violation of any of the terms and conditions of this EOI

agreement and to blacklist such producers from future participation in any of

the EOI / tenders of KSSC.

19. The successful Bidder shall execute an agreement on Rs.200/- non-judicial stamp paper

within 7 days after finalization of the bids and communication to this effect from

KSSC.

20. The EMD paid does not carry any interest and will be refunded after successful

completion of the supply of the committed quantity of seeds as per Supply Orders

placed by KSSC and subject to non-receipt of any quality complaints from our user

farmers or during quality checks by any authorized officials of KSSC/ concerned

departments, till the end of the season.

21. The Corporation reserves the right to terminate the agreement without any notice on

account of non-compliance to the terms and conditions of the agreement to the

satisfaction of the Corporation or due to non-performance on any aspect of the supply

orders placed by the Corporation.

22. The Corporation reserves the right to accept or reject either in full or in part any or

all offers without assigning any reasons thereof. The Corporation also reserves the

right to accept one or more bids under this EOI and place the supply orders on any of

the Bidders.

23. The Corporation also reserves the right to modify / delete/ add / alter any terms &

conditions of this EOI or the Agreement to be executed after finalization of the Bids

at any time during the currency of agreement.

24. The agreement would be signed by Managing Director on behalf of KSSC and on behalf

of the bidder by the authorized signatory. Other than the Managing Director, no

other officials/ employees of KSSC are authorized to sign the agreement or to change

/ alter any of the terms and conditions of the EOI or the Agreement. It is a

compulsory requirement on the part of the bidder to execute bipartite agreement

after finalization of bids

25. QUALITY & INDEMNITY: The Successful Bidder shall be solely and comprehensively

responsible for any complaint with regards to quality of seeds supplied under this

contract and Indemnifies the Corporation and the users for any claims / damages

compensation which may arise due to use of the seeds supplied by the bidder. If any

dispute arises about seed quality at any point, the Bidder is liable to pay the

compensation/ damages as may be adjudicated by the Courts of Law or any other

competent authority to that effect, including the costs which may arise on account of

act samples drawn by concerned departmental officials.

26. Payment: The payment to the suppliers would be made based on the receipt of sales

proceeds in the form of farmer’s portion received to the Corporation at the first

instance. The subsidy portion on the sale of seeds realized from the department of

AH&VS and other departments would be paid on realization of the same to the

Corporation subsequently. However, the Corporation may release advances to the

suppliers at its discretion depending on the circumstances which may warrant such

payments, like abnormal delay in payment of farmer’s portion by the AH&VS, payment

of subsidy portion by the Department of AH&VS and other departments , etc. However

the right to payment of advances is reserved by the corporation.

27. ARBITRATION: All disputes or differences, which may at any time, arise between the

parties hereto as to the construction, meaning or effect thereof, or as to any clause,

matter or things herein contained or as to their rights or liabilities of the parties

aforesaid hereunder shall be referred to Arbitrator to be appointed by mutual consent

under and in accordance with and subject to the provisions of the Arbitration and

Conciliation Act, 1996, or any statutory modification or re-enactment thereof for the

time being in force. The Arbitrator / Arbitrators so appointed shall have their sitting

in Bangalore and it is mutually agreed that the Principal Secretary/secretary to

Government of Karnataka, Agriculture Department, Bangalore, shall be the sole

arbitrator whose decision is final and binding on all the parties.

28. The Courts of Law situated at Bangalore, shall only have the jurisdiction for any

disputes which may arise between KSSC and the bidder irrespective of the place of

business of the supplier.

29. The authorized signatory to sign the agreement with KSSC shall be the proprietor in

case of proprietary concern, Managing Partner in case of Partnership concern and

Managing Director in case of a limited company. In case, any person other than those

mentioned above is to execute the agreement, a power of attorney on stamp paper

should be furnished.

30. FORCE MAJURE:- The bidder shall not be liable for failure to perform any of its

obligations under or arising out of this agreement if such failure is a result of force

majure, act of God, Fire, Storm, Earthquake, Explosion, War like condition etc. which

makes it impossible for the Bidder to fulfill his obligations under this agreement,

provided a bidder brings to the notice of the Corporation of his inability to supply at

the first earliest opportunity supported with material facts / proof to give a fair

opportunity for the Corporation to counter verify and satisfy itself if required and

scope for the Corporation for making timely alternative arrangements. The Bidder

should not try to take shelter under this clause and use it as a means to bail himself

out of the situation without making efforts to think of alternative means of supply and

propose the same to the Corporation including seeking of time for extension of supply

and give a fair opportunity to the Corporation to act or to decide on the proposal of

the Bidder. This clause would equally apply to the Corporation.

AUTHORISATION LETTER TO KSSC TO QUOTE FOR THE CROP/VARIETIES AND

QUANTITIES OFFERED UNDER THIS EOI AND UNDERTAKING REGARDING L1

PRICES AND TO PAY THE SERVICE MARGIN

1.I /We hereby authorize KSSC to quote for the Crop/Varieties and quantities of seeds

offered by us under this EOI to the Departmental tender and also abide by all the Terms

and Conditions of the Departmental Tenders.

2. I/We hereby also undertake to supply the following offered seeds at the L1 supply

prices fixed by the Departments and agree to pay the Service Margins to Concerned

Departments and to KSSC as mentioned at point No.7 of the Terms and conditions of EOI

of KSSC vide. Notification NO.KSSC / MPD&C / 4633 / 2016–17, March 01, 2019

CHECKLIST OF DOCUMENTS TO BE SUBMITTED ALONG WITH TECHNICAL BID

1. The bid should accompany an Earnest Money Deposit (EMD) amount of 1% of the

total value of the seeds offered for supply or Rs.5.00 lakhs whichever is high by

way of Demand Draft drawn on any Nationalized Bank, drawn in favour of

“Karnataka State Seeds Corporation Ltd.” payable at Bangalore.

2. Copy of the C.R.No. or D.D.No. & Date towards payment of the cost of the EOI

document.

3. A Certificate issued by the concerned State Seed Certification Agency towards

the area organized under various crop / varieties and expected quantities.

4. Registration Certificate issued by the concerned Seed Certification Agency

towards Processing Plant Registration.

5. Copy of the valid Seed License issued by the competent authority.

6. Valid Sales Tax registration Certificate like VAT / CST

7. Copy of the PAN card.

8. Copy of the Income-tax Returns filed for the last two years i.e.2015-16 and 2016-

17.

9. Authorization to KSSC to quote for Departmental Tender and undertaking

regarding L1 supply price and Service margin in ANNEXURE-III.
