Title 1: Description of the Organization

The Lindner Student Association is the governing body of the Carl H. Lindner College of Business. We represent business students and faculty within Lindner and focus on our mission of Building Better Business Students.

Title 2: Duties of the Officers

Part A: Elected Officials

Section 1: The President of the Lindner Student Association (LSA) shall be the official student body representative of the Carl H. Lindner College of Business, not to supersede the powers of the President of the Undergraduate Student Body. The duties of the President of Lindner Student Association shall include:

A. Preside at all Lindner Student Association general and executive meetings.

B. Represent LSA and organizing the Strategic Student Leadership Team

C. Representing the Carl H. Lindner College of Business student body on the Undergraduate Council to the administration, and at all meetings where a representative is requested,

D. Recommend legislation to the Lindner Student Association and the senators of the Carl H. Lindner College of Business,

H. Receive and communicating all information to the organization and the students of the college

I. Shall, maintain equal permissions on the LSA PNC Bank account.

J. Attend all Executive board meetings and general body meetings

Section 2: The duties of the Vice-President of Finances:

A. Maintain the LSA bank account and ensuring that bank account does not get overdrawn and to monitor the balance.

B. Distribute reimbursements for LSA members who spend their own money on LSA events.

C. Coordinate with the Financial Advisor to turn in receipts and reimbursements

D. Manage the Grants directors and the grants process to ensure that LSA money is used through other Lindner organizations to build better business students.

E. Ensure the Lindner Student Association is abiding by University funding and all other policies,

F. Ensure the Lindner Student Association is abiding by Student Advisory Committee on the University Budget Policies,

G. Shall be responsible for the transitions of any account-holders on PNC bank account.

H. Attend all Executive board meetings and general body meetings

Section 3: The duties of the Internal VP of the Lindner Student Association:

A. Network and coordinating the Speaker Series with the directors assigned in order to give the members the opportunity to listen to the life story and advice of Cincinnati business professionals.

B. Create a fun and inclusive environment by planning social events that celebrate the hard work of the members.

C. Collaborate with upperclassmen, business professionals, and freshmen through the Cats on Deck mentoring program to provide closer relationships and professional mentoring.

D. Give a report every meetingE. Ensure that his/her directors are abiding by the LSA bylaws and

budgetF. Attend all Executive board meetings and general body meetings

Section 4: The duties of the External VP of the Lindner Student Association:

A. Be the liaison between all current and future umbrella organizations so that they adhere to the process outlined below, are financially responsible, and align with the mission statement of LSA

B. Create opportunities for the LSA members to give back to their college, campus and community through Lindner Outreach, iCats, Bearcat Launchpad, and any future umbrella organizations

C. Ensure that his/her directors are abiding by the LSA bylaws and budget

D. Attend all Executive board meetings and general body meetings

Section 5: The duties of the Operations VP of the Lindner Student Association:A. Manage the recruitment process to ensure that freshmen know

about the opportunities LSA provides and that the leadership team is selected through a fair and unbiased manner

B. Once we receive our new membership team, ensuring that their transition is smooth and that they are engaged right away

C. Oversee the R&D program to engage members, allow them to pursue projects they are passionate about, and approve the funding of the projects

D. Supervise the web development and internet presence of LSA through lindnerstudentassocation.com

E. Ensure that his/her directors are abiding by the LSA bylaws and budget

F. Attend all Executive board meetings and general body meetings

Section 6: The duties of the Communications VP of the Lindner Student Association:

A. Marketing the events of LSA through different forms of social media, flyers, and TV slides in the college to increase attendance and overall impact of LSA.

B. Provide a positive and accurate public image for LSAC. Record minute meetings and attendance D. Foster the alumni and LSA relationship through the Business

Achievement Awards and other eventsE. Ensure that his/her directors are abiding by the LSA bylaws and

budgetF. Attend all Executive board meetings and general body meetings

Section 7: The Career Fair VP is not elected. Every year, the Assistant Career Fair director will be elected. He/She will shadow the current Career Fair VP in order to gain a year of experience in learning how to plan a successful event. The following year, the Assistant Career Fair director will assume the Career Fair VP role and the new Assistant Career Fair director will be elcted. The duties of the Career Fair VP of the Lindner Student Association:

A. Represent Lindner in the Career Fair meetings with the Engineering Tribunal and College officials

B. Continuing the positive relationships with companies that are interested and/or attend our Career Fair

C. Manage the logistics of food, set up, parking, etc.D. Provide and tracking volunteers for the day of the Career Fair E. Ensure that his/her directors are abiding by the LSA bylaws and

budget F. Attend all Executive board meetings and general body meetings

Part B: Appointed Directors

At any time the LSA executive board can add or remove appointed positions as needed. The process for election of directors is at the discretion of the current administrative team at all times. The changes are to be added to the LSA bylaws at the next needed bylaws update.

Section 1: The duties of the LSA Directors shall include:

A. Attend the Academic Misconduct/ Grade Grievance Hearing at the assigned date, which are at the discretion of the staff member in charge of the hearings.

Section 2: The duties of the LSA Director of Programming shall include:

A. Preside over any Programming and Activities meetings,

B. Work with the Leadership Team to plan events that are relevant to Carl H. Lindner College of Business,

C. Shall field all requests involving the Lindner Student Association’s event calendar and information of all items owned by Lindner Student Association,

D. Shall coordinate two (2) community service events per term.

Section 3: The duties of the LSA Director of Recruitment shall include:

A. Work with the Leadership Team to increase membership within the Lindner Student Association,

B. Increase campus awareness of the Lindner Student Association,

C. Shall coordinate several recruitment activities per term.

Section 4: The duties of the LSA Director of Technology shall include:

A. The maintenance and accuracy of the Lindner Student Association online presence, including but not limited to the personal and university web pages, and social media accounts.

B. Shall also be responsible for the creation of content for promotions and the marketing of Lindner Student Association initiatives and events.

Section 5: The duties of the LSA Director of Professional Development shall include:

A. Shall coordinate and hold four (4) professional development events per term. Directors should collaborate with available campus resources to help facilitate successful events.

B. May be asked to Shall be in constant communication with campus resources regarding career advancement and shall act as a catalyst in at least one (1) activity for the purpose of advancing career development opportunities offered by the Carl H. Lindner College of Business.

C. Shall be up to date on professional development matters within the Carl H. Lindner College of Business to be able to communicate current initiatives with members.

D. Shall be responsible for advancing coordinate one exte career development initiative, either new or preexisting shall

coordinate one larger career development initiative, either new or preexisting through the Lindner Student Association or university, each term

Section 6: The duties of the LSA Speaker Series Director shall include: A. Reach out to and bringing in professionals from around the

country to speak at the College of Business.

B. Serve as the point of contact for all professionals coming to speak

C. Market all events to LSA members and the college as a whole

Section 7: The duties of the LSA Alumni Relations Director shall include:A. Keep in contact with COB alumni and working with the speaker

series director to bring in speakers and coordinate events.

Section 8: The duties of the LSA Bearcat Launchpad Director shall include:

A. Serve as the liaison between LSA and its subsidiary organization: Bearcat Launchpad

B. Communicate wants and needs to LSA executive members that come from Launchpad executive members

C. Communicate Wants and needs to Launchpad general body members from LSA executive members

D. Assist in recruitment and marketing of Bearcat Launchpad to LSA members and the college as a whole

Section 9: The duties of the LSA Cats on Deck Director shall include:

A. Serve as the coordinator of all mentorship activities that occur year round for Cats on Deck

B. Set up mentors and mentees, hold interviews for membership,

and coordinate continued growth and communication between members

Section 11: The duties of the LSA Lindner Outreach Director Shall include:A. Coordinate all service activities throughout the year by

collaborating with companies and external organizations around the community of Cincinnati

B. Promote service events to the general body of LSA and set up a team of dedicated members that is in charge of advancing Outreach as a viable, self-sustaining operation

Section 12: The duties of the LSA Intramurals shall include:

A. Set up teams through the UC Rec Center, purchasing jerseys, and coordinating the utter domination of other teams

Section 13: The duties of the LSA Marketing Director shall include:A. Ensure all events are properly broadcasted across the collegeB. Send out communication to the college to keep them updated

on events going on within LSA and the Lindner College of Business

Section 14: The duties of the LSA Membership Director shall include:A. Create the Leadership Team applicationB. Review applications and picking eligible candidates that show

true interest in the organization and potential to build better business students

C. Conduct fair and consistent interviews to students and document all decisions

D. Retain new members through individual communication and personalized engagement

Section 15: The duties of the LSA Social Media Director Shall include:A. Obtain the professional yet fun brand of LSAB. Market all events and opportunities via social mediaC. Expand our followers on all forms of social media

Section 16: The duties of the LSA Special Events Director Shall include:A. Plan fun socials to celebrate our team’s hard work and build

relationshipsB. Plan a Spring Formal

Section 17: The duties of the LSA New College Director Shall include:

A. Serve as the liaison between LSA Members, students, and college authorities on all issues regarding the new College of Business

B. Communicate all wants and needs to New College designersC. Be proactive in finding what the students want in the new

Section 18: The duties of the LSA Grants Shall include:

A. Coordinate directly with the LSA VP of finance in distributing and collecting grants applications

B. Review responsibly the requests of Lindner organizations and

analysing wants vs needs and acting accordingly

C. Distribute checks and ensuring they are used as promised

Section 19: The duties of the LSA iCats Shall include:

A. Serve as the coordinator of all mentorship activities that occur year round for International Bearcats

B. Help set up mentors and mentees, hold interviews for

membership, and coordinate continued growth and communication between members

Section 20: The Assistant Career Fair director will not be appointed by the executive team like the rest of the director positions. He/She will be elected during the executive team elections and will have a year of shadowing the current Career Fair VP. The following year, they will assume the position of Career Fair VP.

Title 3: Officer Elections

Section 1: Presidential Elections

The election of the President shall be held in March of the Spring semester classes by secret ballot with only the voting members. The outgoing president and selected VP will count the ballots. The candidate with the most votes will become president elect. The LSA president may not serve more than one term.

Section 2: Officer Elections

All Vice-Presidents, elections shall be held in March of Spring semester classes on the same day as the presidential election. The candidate with the most votes as determined by a simple majority will become officer elect of the respective offices.

Section 3: Election Drop-Down Procedure

In the event that multiple candidates are running for the same office, those candidates who are not elected to office have the option of running for any other office of their choice of which they are eligible for. If there is a need to suspend this rule, a two-thirds vote is required from the present voting body. The elections will proceed in the following order: President, Vice-President, Treasurer, and Secretary.

Section 4: Commencement of Terms

All Elected Officers President shall begin their term of office at the conclusion of the meeting following elections of the Spring semester and shall continue for one year. The Vice-President, Treasurer, and Secretary shall begin their term of office at the seventh meeting of the Spring semester following all of the officer elections.

Section 5: Officer Eligibility

Officer eligibility shall be any Carl H. Lindner College of Business student.

Section 7: Senator Elections

Senate elections shall occur with the last LSA meeting of Fall and during all other elections in the Spring semester. One senator shall be elected during the Fall semester, the other during Spring semester. Their terms shall last until their position is filled by a successor within the respective semester in which they were elected in the following calendar year.

Section 8: Appointed Directors

A. The Executive Officers shall appoint one more Directors of: Speaker Series, Alumni Relations, Launchpad, Cats on Deck, Lindner Outreach, Intramurals, Marketing, Membership, Social Media, Special Events, Technology, New College, R&D, Grants, and iCats, and all future umbrella organizations.

B. Additional positions may be created at the discretion of the Executive Board by a majority vote.

Title 4: Faculty Advisor Duties

A. The Faculty Advisor shall be a full-time faculty member of the Lindner College of Business.

B. The Faculty Advisor shall consult with the LSA and ensure that the activities of the LSA are consistent with the stated purposes of the organization.

C. The Faculty Advisor is required to file an official certification of academic standing of the organization’s officers with the Student Organizations and Activities Office (Student Life Pavilion North: Suite 150). Certifications are due each semester.

D. The Faculty Advisor has an obligation to know the rules and regulations governing the handling of all funds and to assist and advise the Vice President of Finance in all financial matter and to co-sign checks.

E. Based on the current needs of the Lindner Student Association, the duties listed in Paragraph D may be assigned to a separate full-time faculty member or staff member within the Lindner College of Business. When the duties listed in this title are fulfilled by two different individuals, the person fulfilling the duties is paragraphs A through C shall be known as the Faculty Advisor, and the person fulfilling the duties in paragraph D shall be known as the Financial Advisor.

Title 5: Attendance, Dismissals, and Vacancies

Section 1: Voting Privileges

Members shall have voting privileges after attending three (3) general meetings of the Lindner Student Association or be a part of the leadership team. Members shall retain voting privileges for the first two (2) general body meetings of each semester if voting privileges were held the previous semester in session. The VP of Communication will assign a member to be responsible for the this documentation and overall attendance.

Section 2: Loss of Voting Privileges

Members shall lose voting privileges if they fail to attend four (4) meetings and do not actively participate during the given academic semester. Should a vote occur during the first three (3) meetings of the semester, the four meeting rule can be waived by the President. If a potential member is unable to attend the meetings due to a conflict with a required class or work, but actively participates in the Lindner Student Association their membership will be at the discretion of the executive board. If an individual's membership status is in question, the executive board shall determine their status.

Section 3: Dismissals

A student whose membership in the Lindner Student Association has been terminated in any manner shall forfeit all interest in any funds or other property belonging to the Lindner Student Association and may not use the Lindner Student Association’s name in connection with any further activities.

Title 6: Bringing Lindner Organizations Under the LSA umbrella

Lindner organizations may request membership under the LSA umbrella via the following process:

A. Holding a meeting of their general body and voting via secret ballot for an amendment change,

B. Said organization must receive a 2/3 vote in favor of joining LSA under the umbrella,

C. The organization will reach out to the President of The Lindner Student Association and find a meeting that is convenient for both to present to the LSA student body.

a. The presentation will be a maximum of 10 minutes. In that time, they will explain who they are, what they do, and how they plan to integrate with LSA

D. We will let the presentation sit a week. At the next LSA meeting, the LSA members will have an open discussion about the pros and cons and whether or not they should join.

a. After the discussion, voting members of LSA will vote on whether not to allow the organization to become a part of LSA. the motion must receive a ⅔ majority vote to pass.

E. If the vote passes, the president and necessary exec will meet with the LSA President, Treasurer and External VP to discuss the plan for the rest of the semester/school year, the budget, and a plan discussing LSA members’ involvement in the organization.

a. LSA exec must approve the budget and LSA member involvement of the umbrella organization

b. The organization must provide a certain amount of Career Fair volunteers decided by LSA exec depending on their size and budget proposed.

F. After the involvement in the Career Fair and budget approval, the umbrella organization will officially be a part of the LSA organization.

G. The President and designated liaison will report to the External VP and all financial transactions must go through the financial VP.

H. The budget approval and schedule process must occur before each semester. LSA has the authority to deny funding due to lack of involvement in the Career Fair or other unseen extreme events or circumstances.

I. For an organization to officially dissolve itself from the relationship, LSA must pass with a 2/3 majority vote or a 2/3 majority vote of the umbrella organization.

a. The organization can re-apply for the following year.J. Each organization attempting to fall under LSA, must exist on

campus and be recognized by the SAB if they are applying after the 2016-2017 academic year

K. Each organization must apply separately to UFB before they receive any funding from LSA

Title 7: Finances

Section 1: Reimbursements

No reimbursements of any amount will be made without an itemized receipt. All persons who turn in receipts are responsible for being reimbursed. Therefore, members should retain a copy of all receipts until such time as the expenses are reimbursed. Receipts must be itemized. Should the treasurer misplace the receipt and the person requesting reimbursement does not have a copy, there will be no reimbursement. Canceled checks and credit card statements will suffice for receipts as supplementary proof of purchaser from said individual, but must be accompanied by an itemized receipt.

All checks from the organization will require one signature; one signature from the Treasurer. The checks will not be written until receipts are provided as stated above. Once a check has been drafted the receipt must be included with it for review by the second signer and a copy of the transaction filed for historical purposes.

All signers are responsible for seeing that the specific guidelines for spending approval are followed and assure there are adequate funds to cover the transaction.

Failure to abide by these policies will result in financial probation of the Lindner Student Association as defined by the Student Advisory Committee on the University Budget.

Section 2: Dues

Dues will not be charged to members of the Lindner Student Association.

Section 3: Bank Account

A. The bank account will allow the President, Treasurer and Faculty Advisor (or Financial Advisor) to maintain equal permissions for deposits and withdrawals. Each will maintain their own debit card from PNC.

B. Account information will change annually. Only the President, Treasurer and Faculty Advisor (or Financial Advisor) will hold the account information. Account information will remain neutral to the University and Lindner Student Association and will not be personalized to any account holder whatsoever - with the exception of the recovery telephone number.

C. The Treasurer will maintain account balances and records and make sure all information is accurate.

D. All statements and receipts shall be also be maintained in an online archive.

E. No third party sites or businesses (i.e. Paypal) shall be given account information without the written and documented permission of the President, Treasurer and Faculty Advisor (or Financial Advisor). Exceptions include online payments via debit card.

Section 4: Account Transition

A. The President, Treasurer, and Faculty Advisor (or Financial Advisor) shall release all account information to their successors upon the transition to new officers. All information tying the previous officers shall be removed from the account during transition. The aforementioned officers shall inform their successors of all responsibilities expected of them regarding the accounts.

B. The Lindner Student Association account shall remain with whichever bank is used by the University, and shall be transitioned to

a new bank should a transition occur on campus. Until that time, the bank in which we hold our account will not change.

Section 5: Grants

A. A Grant Application shall be made available to all Carl H. Lindner College of Business Organizations at the beginning of each Fall and Spring Academic Semesters.

B. Each Carl H. Lindner College of Business Organization can be granted but not guaranteed $5,000 over the combined period of a full academic year, consisting of one Fall Academic Semester and one Spring Academic Semester.

C. The Grant Director(s) shall complete an initial review of each completed application. During this review the Director(s) shall ensure the information listed is accurate, sufficient information is present and suggest a monetary value to be awarded to each respective organization based on outlined grading criteria.

D. Succeeding the review of the Grant Director(s), the President, Treasurer, Faculty Advisor, and Financial Advisor shall discuss the completed application. The aforementioned officers shall discuss the proposal made by the Grant Director(s) and shall have discussion regarding any concerns on the application to determine if the money granted will align with the Lindner Student Association of building better business students.

E. The President, Treasurer, Faculty Advisor, and Financial Advisor shall declare on a monetary value to award the respective organization. Following the decision, the President shall inform the leaders within the respective organization about the monetary value they are receiving.

F. If needed, the President can require volunteers from the receiving organizations to work at the respective Fall and/or Spring Career Fair, dependent on which academic semester the application is submitted.

G. The Treasurer shall meet and discuss with the Carl H. Lindner College of Business Accountant or the respective Accountant assigned to the Lindner Student Association to ensure the monetary value awarded to the respective organization is processed and received by the organization.

H. The receiving organization shall be responsible for diligently and accurately accounting for the money spent and reporting their transactions to the Treasurer of LSA. If this system is exploited, the Lindner Student Association has the right to withhold grants from said organization in future requests.

Title 8: Impeachment

Section 1: Procedure

Any member may initiate officer removal by the following procedure:

1. Petition Executive Board with signatures of 1/3 of all voting members. The petitions should state the reason(s) for removal.

2. The Executive Board shall then vote to determine if the officer should be suspended from office until a removal vote can be held and will call for a removal vote within fourteen days of the filing of the petition.

3. The membership of the Lindner Student Association shall be notified at least one week prior to the removal vote meeting.

4. At the meeting for removal, the petition’s stated grievances shall be made public and the officer charged shall be allowed to respond to the charges of the petition

5. Removal from office shall require a vote of 2/3 of all voting members.

Title 9: Vacancy of Office

Section 1: Procedure

In case of the absence of any officer, an interim acting officer shall be appointed by the Executive Board. An election shall occur during the second general body meeting following vacancy of the office. The election shall be conducted as stated in Title 2 of the Bylaws. Should the office of President become vacant, the Faculty Advisor will hold the authority of president until an election for President can be held. The Faculty Advisor shall moderate the election in the absence of the President during the second general body meeting following the vacancy of the office. The newly elected President will forfeit any officer position previously held, and they will hold elections as covered in this title to fill the position.

Section 2: Senate Vacancies

Should a vacancy in the position of Senator occur, the President shall, within seven (7) calendar days in the midst of an academic semester, excluding the period of finals, appoint an interim Senator until a new senator has been elected. Nominations shall be taken within one week of the vacancy occurring. Second nominations and voting, shall take place during the second general body meeting following the vacancy. The senatorial position shall be filled by the nominee who receives a simple majority of the votes.

Title 9: Dissolution

Section 1:Procedure

Upon the dissolution of the Lindner Student Association for any reason, all work, funds, and property controlled by the organization will be transferred to the University of Cincinnati or to an organization that models the organization’s purpose.

Section 2: Oversight

The Advisor and executive officers of the Lindner Student Association will oversee the dissolution process.

Title 10: Non-Hazing Clause

A. The laws of the state of Ohio and the University of Cincinnati policies concerning hazing shall be observed.

B. Hazing shall be defined as participating in or allowing any act or coercing another, including the victim, to do any act that creates a substantial risk of causing mental or physical harm to any person. A forced or coerced activity shall also be considered hazing when the initiation or administration into, or continued affiliation with, a university organization is directly or indirectly conditional upon performing the activity. In no event shall the willingness of an individual to participate in such an activity serve as defense in cases of hazing.

C. Actions and activities, which are explicitly prohibited, include, but shall not be limited to the following:

a. Any activity that creates a substantial risk of physical or mental harm.

b. Paddling, beating, or hitting individuals.c. Wearing anything designed to be degrading or to cause

discomfort.d. Depriving individuals of the opportunity to obtain a

minimum of six hours of sleep per day, proper and adequate means, or access to means, of maintaining body cleanliness.

e. Activities that interfere with an individual’s academic efforts by causing exhaustion of loss of reasonable study time.

Section 3: Prohibited Actions and Activities

Actions and activities, which are explicitly prohibited, include, but shall not be limited to the following:

a. Any activity that creates a substantial risk of physical or mental harm.

b. Paddling, beating, or hitting individuals.c. Wear anything designed to be degrading or to cause discomfort.d. Deprive individuals of the opportunity to obtain a minimum of six

hours of sleep per day, proper and adequate means, or access to means, of maintaining body cleanliness. e. Activities that interfere with an individual’s academic efforts by

causing exhaustion of loss of reasonable study time.

Section 4: Alcohol Policy

At the discretion of the LSA exec team, LSA social functions may include alcohol under these guidelines:

a. No person whose age is under the legal drinking limit may consume alcohol at any LSA activity.

b. LSA funds are not to be used to purchase alcohol. LSA event attendees must purchase their own alcohol if available.

c. Persons consuming alcohol at an LSA activity are responsible to drink responsibly, and they are responsible for their own behavior. LSA is not responsible for the actions of any event attendee who consumes alcohol.

d. Persons violating the alcohol clause are subject to criminal prosecution and disciplinary action by the university including sanctions by LSA.

e. LSA will follow all other University of Lindner College of Business policies regarding alcohol.

Title 11: Non-Discrimination

The Lindner Student Association does not discriminate against qualified members of the University on the basis of their race, color, creed, religion, ancestory, sexual orientation, gender identity, genetic information, national origin, sex, gender, age, marital status, ability, or veteran status, and abides by the Non-Discrimination Policy set in place by the University of Cincinnati.

Title 12: Amendment of Bylaws

These bylaws may be amended when the proposed amendment is passed by two-thirds of the voting members of the Lindner Student Association and with approval of the appropriate governing body. There shall be an Enactment Bill proposed by a Lindner Student Association Representative. No amendment may be proposed to the Lindner Student Association and voted upon during the same meeting, or sooner than one week after it is proposed. The process to amend the Bylaws may be conducted during the Fall Semester, and Spring Semester Lindner Student Association Meetings. If passed by the Lindner Student Association, the proposed Enactment shall be taken to the Undergraduate Student Senate by an LSA Senator for ratification.

Title 13: Rules of Procedure

The Lindner Student Association Rules of Procedure shall govern the Lindner Student Association. The current edition of Robert’s Rules of Order shall govern the Carl H. Lindner College of Business Lindner Student Association in all cases that The Lindner Student Association Rules of Procedure have failed to address the situation.
