GENERAL TERMS & CONDITIONS FOR ISSUE OF TENDER DOCUMENTS: 1. Tender documents can be had on request and payment of the requisite cost of Rs.500/- each. Tender document cost is to be deposited by the intending tenderer in the form of cash with the Chief Cashier, J&K Area, SECL on any working day between 10Am to 4.00 Pm and a money receipt be obtained . 2. Tender document can be had from the office of the General Manaer(Opr)/AFM, J&K Area during office hours from 01/01/2013 to 14/01/2013 by producing the money receipt obtained for the same. 3. Tender documents are also available on Website www.secl.nic.in which can be downloaded for submitting the tender. However, they have to pay the cost of the tender document in the form of Demand Draft in favour of “South Eastern Coalfields Liimited, J&K Area Account “ payable at SBI. Jamuna Colliery, Kotma Colliery, Kotma Branch and to be submitted in Part-I envelope of the tender. 4. The tenders will be accepted upto 4.00 Pm on 15/ 01/2013 and shall be opened at 4.30 Pm on the same day in the presence of tenderer or their authorised representative. 5. Tender is to be submitted in two parts viz (1) Part-I: The following details shall be submitted with Part 1 to be superscribed clearly as Part 1 on the envelop and all documents duly self attested with seal. 12) EMD should be submitted in the form of Demand Draft in favour of “South Eastern Coalfields Liimited, J&K Area Account “ payable at SBI. GENERAL TERMS & CONDITIONS: 1) The tenderer must be Owner of the vehicle with registration in the name of a firm or individual. 2) If bidders will deploy other owners vehicles ( a) Affidavit of Notary for authorisation to run the vehicle under the bidder must be given 3.) Engagement of vehicle on hire may be discontinued at any time by SECL without giving prior notice of intimation to the owner. 4) Engine Oil as per maintenance schedule shall be provided by the company. 5) The average consumption of diesel shall be calculated minimum as 12 Km/ Ltr of diesel or actual mileage rate whichever is more and shall be supplied by the company. 6) CMPF & Service Tax, as applicable, will be reimbursed on actual on submission of corresponding document. 7) Payment will be effected only through NEFT/ RTGS mode 8) No conditional tender will be accepted 9) Offer should remain valid for 120 days from the date of opening tender. NOTE/ GUIDELINES

1. Sealed (seal on shellac) tenders for the work as per “Notice Inviting Tender” (enclosed vide No. SECL/ GM(O)/ J&K/ dated___________) are invited from bonafide and experienced travel agents and Taxi Vehicle Owners as per NIT. Tenders will be opened as per schedule in presence of the bidder or their authorized representatives.

2. Penalty will be imposed for non-fulfilment of work as per provisions of tender

document. 3. Failure to ensure trouble free travel shall invite cancellation of Contract

automatically without any notice and without any financial implication/ claim. 4. Tenderer should study the terms and conditions before offering their rate. The Part-I

(Envelope-1) & Part-II (Envelope-2) of tender to be submitted in two separate properly sealed (with seal on shellac) envelopes containing the documents as detailed below:

(A) Part-I (Envelope-1 ) The bidder should submit the following required documents/ details in Envelope-1 for eligibility in Part-I of tender: 4.1 Earnest money deposit @ 1% of estimated value. 4.2 Furnish details of Fleet of vehicles as per format enclosed. Copies of vehicle registration

book, Taxi registration/ permit, Valid comprehensive insurance covering passenger insurance, and road tax payment etc. duly signed by the tenderer. Consent letter for hired vehicles, if any should be submitted on non-judicial stamp paper worth Rs.250/- in the affidavit form. Service Tax applicable will be paid by the tenderer as per the provisions of Service Tax Act and they will have to produce service tax registration with central excise. Service Tax, if any, will be reimbursed as admissible.

4.3 Ownership status of the firm: a) If Proprietorship - Documentary evidence to be enclosed. b) If Partnership Furnish copy of deed with registration c) If Company - Furnish copies of Memorandum and Articles of

4.10 Documents in support of ELIBIGILITY CRITERIA as per NIT, which is reproduced below:

“Bidder must have Ownership of diesel jeep Model & afterwards with Taxi Permit. Vehicles without valid Taxi Permit will not be considered.

4.11 Any other documents if the bidder wishes to submit along with the tender. (B) Part-II (Envelope -2 ) Part II of the offer shall be opened only in respect of such bidders who qualify in Part I to the satisfaction of the Management This should contain Part II (Price bid) of tender document (containing rate duly written in figures and words both & signed by the bidder) only. No other documents should be kept along with the Price bid. CONDITIONAL tenders shall be liable for rejection. 5. EARNEST MONEY DEPOSIT : Earnest Money @ 1 % of the estimated value & cost of tender document (in case of downloading from Website) to be deposited by bank draft in favour of “South Eastern Coalfields Limited J&K Area. A/c” on any Scheduled Bank, payable at SBI.Jamuna Colliery/Kotma Colliery/Kotma and attached to the Tender (Part I). NO CASH FOR EARNEST MONEY DEPOSIT WILL BE ACCEPTED. The Earnest Money shall be refunded to the unsuccessful tenderer after finalization of the tender and award which shall bear no interest. NO TENDER WILL BE CONSIDERED UNLESS IT IS ACCOMPANIED BY THE EARNEST MONEY DEPOSIT. 6. Bidder should acquaint with the scope of work before offering their rate for the tendered work. 7. Tenderer should quote their rates in prescribed tender form (Part II) only. The company reserves the right to distribute the jobs between two or more number of bidders for smooth functioning of the work. 8. The bidder must submit all the required documents as mentioned for Envelope -1 as above at the time of submitting the tenders (all at a time) on the date of receiving the tenders as per NIT, failing which their participation in the tender including their offer may be rejected. 9. Separate sheets may be attached, if necessary but full and correct information should be given. 10. Price bid may be opened on the date of tender opening. As such, the bidder or their authorised representative must come prepared for price negotiations too. Representatives should bring valid/ proper authorisation for carrying out such price negotiations. The authorisation letter shall have the signature of the authorised representative duly attested by the Proprietor/ Partner/ Director of the Firm/ Company. 11. Failure to comply with any of the instruction/ requirement will constitute submission of “INCOMPLETE BID” and may entail dis-qualification of the bidder (for further participation in the tender) without making any further reference and without assigning any reason what so-ever.

12. No additional terms/conditions other than prescribed in the tender documents will be entertained and “CONDITIONAL OFFER/TENDER SHALL BE REJECTED.” 13. The company is not bound to accept the lowest or any tender and reserves the right to accept or to reject any or all the offers without assigning/giving any reason whatsoever. 14. The bidder’s offer will be remain valid for 120 days (one hundred eighty days) from the date of opening of tender after which the same will automatically get cancelled. The Management, however, reserves the right to accept or reject any offer at any stage of time. 15. The bidder should sign all the papers of tender document as token of acceptance of all the conditions. Corrections, if any, should properly be authenticated. 16. The word Administration/ Company wherever occurs in terms & conditions means the Office of the General Manager, SECL. DETAILED NOTICE INVITING TENDER SCOPE OF WORK : Hiring of Diesel Jeep having TAXI PERMIT as per NIT of model …………. and afterwards in tip-top perfect working condition and to ensure trouble free travel on monthly rental basis, as per NIT for operating at SECL J&K Area, going outside the area of SECL and other places and in case of day to day local requirement.. FLEET REQUIREMENT : Number of fleet required is 01 RENTAL CHARGES: The hiring charges to be quoted separately.. Rates must be quoted as per formats enclosed in price bid/Part-II. Rates quoted by the bidder will be inclusive of all the taxes including Service Tax payable as per rule. PRICE VARIATION: Rates quoted should be inclusive of all Taxes, all Statutory Levies, Insurance etc., and will be valid and firm for initial and extended contract. However Service Tax during the contract period will be reimbursed as admissible. FUEL EFFICIENCY : NON AC DIESEL Average Kms. per litre. a) Diesel Jeep 12 Kms. MODE OF DEPLOYMENT (i) MONTHLY BASIS : 1. The vehicle shall be deployed on monthly basis for all days in a month for 24 (Twenty

Four) hours in a day basis. The period of 24 hours shall be reckoned from the time of reporting to next 24 hours. .. The vehicle shall also be deployed on local and outside tour as per requirement.

Rates quoted shall be inclusive of all costs covering, lubricants, wear and tear operation,

maintenance, repair, cost of driver etc. and all statutory levies applicable. However, toll taxes, parking charges initially paid by the Driver, if any shall be reimbursed on certification by the officer concerned by the Management.



(Page-6) DURATION OF CONTRACT : The initial contract will be awarded for the period as per NIT COMMENCEMENT OF WORK : The work will commence not later than 30th day of issue of work order/ Letter of Intent or actual date of commencement whichever is earlier. SECL reserves the right to enter into parallel rate contract with more than one bidder to engage vehicles by rotation or from any bidder at its discretion. VALIDITY : The offer submitted shall remain valid and open for acceptance up to 180 days from the date of opening of Part-I of tenders. PAYMENT TERMS: Payment shall be made within 30 days from the date of submission of accepted bills. Pre-receipted bills may be submitted once in a month in triplicate. PENALTY: SECL reserves the right to deploy vehicles from the market on failure of the contractor to provide vehicle on the date & time at risk & cost of failing contractor and difference of additional cost, if any for such deployment, will be recovered from the contractor’s bill. In case not turning up on the date & time and in case of poor services, the SECL reserves the right to deduct penalty 2 times of the approved rate per day of rental charges from the bidder’s bill for each such occasion. In case of failure more than five occasions in providing the vehicle, the management reserves the right to terminate the contract and the security deposit shall be forfeited.

GENERAL TERMS AND CONDITIONS 1) All the direct and indirect taxes levied on the vehicle shall be borne by the bidder 2) The vehicle should be of …………. onwards model. 3) The vehicle shall have all the statutory formalities completed as up to date as per

requirement of Motor Vehicles Act. 4) All the repairs required for the vehicles (either minor or major) on duty or otherwise shall be

borne by the owner/ bidder. 5) Vehicle offered shall have all taxes, insurance and statutory charges paid upto date. Vehicle

should be insured under comprehensive policy. Service Tax applicable will be paid by the bidder as per the provisions of Service Tax Act and will be reimbursed by SECL as admissible..

6) Vehicles offered shall be free from all legal implications. 7) The vehicle shall be driven by the Driver who should have a valid driving license. 8) In case of any accidents met by the vehicle during the course of contract, Owner/ bidder

shall be liable for settling and payment of all claims/ compensation and shall be liable for all legal implications and consequences, thereof; SECL in any case will not be liable for the same.

9) Drivers salary/ wages along with all other dues including all allowances that may be payable

to the Driver additionally during outstation tour shall be borne by the bidder. Drivers should be issued identity cards by the bidder.

10) The vehicle must be registered either in the name of bidder/ those who have consented to offer their vehicles in favour of the bidder. 11) The following documents must accompany the tender, duly self signed by the bidder (a) Vehicle Registration Certificate (b) Proof of payment of Taxes and Insurance upto date. (c)Latest Income Tax Return. 12) The vehicle should be properly equipped with tools, tackles, spare wheel and important emergency spares. 13) OFFERS WHICH DO NOT CONTAIN ALL THE INFORMATION REQUIRED IN THIS NOTICE INVITING TENDER ARE LIABLE FOR REJECTION. 14) SECL RESERVES ITS RIGHT TO REJECT/ OR TO ACCEPT ANY OFFER WITHOUT ASSIGNING ANY REASON THEREOF. 15) SECL RESERVES THE RIGHT TO CONCLUDE PARALLEL CONTRACT WITH MORE THAN ONE FIRM.



16) SECL RESERVES THE RIGHT TO FORE CLOSE THE CONTRACT DUE TO POOR PERFORMANCE OF THE CONTRACT HOLDER OR ANY OTHER CAUSE WITHOUT ASSIGNING ANY REASON.



(Page-8) 17. Security Deposit: i) Security deposit shall consist of two parts a) Performance Security to be deducted at award of work and b) Retention money to be recovered from running bill. Security deposit shall not bear interest ii) Performance security should be 5% of annualized value of contract amount and should be submitted within 28 days of receipt of LOI by the successful bidders in any of the form given below:- a) A Bank guarantee in the form given in the bid document b) Govt. Securities, FDR or any other form of deposit stipulated by the owner c) Demand draft drawn in favour of …………… Coalfields Ltd., on any scheduled Bank payable at its Branch at ………………….. The bid security deposit in the form of Bank Guarantee shall be duly discharged and returned to the contractors. The bid security deposited in the form of Demand Draft shall be adjusted against the Security Deposit. If the Performance Security is provided by the successful bidders in the form of Bank Guarantee, it shall be issued either :- a) Bidders’s option by nationalised/ scheduled Indian Bank of b) by a foreign bank located in India and acceptable to the employer c) the validity of Bank guarantee shall be for a period of one year or ninety days beyond the

period of contract, whichever is more. Failure of the successful bidder to comply with the requirement as above shall constitute sufficient ground for cancellation of the award of work and forfeiture of the bid security. iii) Retention money should be deducted at 5% from running bills. Total of performance security and retention money should not exceed 10% of contract amount or lesser sum indicated in the bid document. iv) 50% Performance Security should be refunded within 60 days of the completion of the work ( The date of the completion of the work will be certified by the Engineer-in- charge). 18) The Company shall be at liberty to deduct / appropriate from the Security Deposit such sums as are due and payable by the bidder to the company as my be determined in terms of the contract and the amount appropriated from the Security Deposit shall have to be restored by further deduction from the bidders subsequent on account of running bills, if any.

19) REFUND OF SECURITY DEPOSIT : The refund of Security Deposit shall be subject to Company’s right to deduct/ appropriate its dues against the bidder under this contract or any other contract. On completion of the entire work and certified as such by the Officer in charge, 50% of the security deposit remaining with the company be refunded. The other 50% shall be



refunded to the bidder on the expiry of six months from the date of completion as intimated officially by the Officer in charge. 20) Every bidder is expected, before quoting his rates, to read carefully the requirements and conditions of contract and to inspect the work. He should quote specific rate for each item in schedule and the rates shall be rupees and paise. The rates shall be written both the in words and figures and the unit in words and the amount totalled. The rates for the work should be inclusive of all incidental, over heads, as may be attendant upon execution and completion of the items. It shall be deemed that the tenderer has inspected the work and got fully acquainted with the working conditions and other prevalent conditions and fluctuations there to whether he actually inspects the work or not and have taken all the factors into account while quoting his rates.

21) Corrections where unavoidable, shall be made by crossing out and rewritten duly attested with full signature and date by the tenderer. Erasing or over-writing in the tender documents may disqualify the bidder. 22) Bidder should communicate their acceptance by signing one copy of work order as a token of acceptance. 23) An intending bidder after obtaining tender documents on payment, having doubts as to the meaning of any part of the tender documents may submit to the official inviting tender a written request for interpretation or clarification thereof. Any interpretation or clarification of the tender document by formal addendum if issued by the official inviting tender shall only be final and valid and binding on the Company and the bidders. 24) The tender shall remain valid for a period of 120 days from the date of opening of tender (Part-I). The bidder shall not be entitled during the said period or within the period extended by mutual agreement, without the consent in writing of the Company revoke or cancel his tender or to vary the tender submitted or any terms thereof. Earnest Money will be forfeited if tender is withdrawn after submission. 24) The contract shall mean the notice inviting tender, the tender as accepted by the Company and the formal work order together with the documents referred to therein including general terms and conditions. Special conditions, specifications, if any. 25) The works shall mean the works required to be executed in accordance with the contract. 26) Contract amount shall mean : (a) In the case of lumpsum contracts the total sum for which tender is accepted by the company (b) In the case of other types of contract the total sum arrived at based on the individual rates quoted by the bidder for the various items shown in the bill of quantities of the tender document as accepted bys the Company with or without any alteration as the case may be. 28) CONTRACT DOCUMENTS:: 29) The following documents shall constitute the contract documents: a) Articles of agreement/ work order b) Tender document with General Terms and conditions of contract, special conditions, if any etc. 30) In the event of varying or conflicting provisions made in any of the document/ documents forming part of the contract, the SECL management’s decision/ clarifications shall hold good with regard to the intention of the document or contract as the case may be.

31) The bidder shall be responsible for correct and complete execution of the work without any gap, irregularity and inconvenience to the company or to the officer/ officers travelling in the vehicle so hired. 32) Log books shall be recorded jointly by the officer in charge or his authorized representative and by the bidder or his authorized representative and shall be signed and dated by both the parties. If the bidder has any objection, a note to that affect shall be made in the Log Book and signed and dated by both the parties. 33) The Company reserves the right to recover/ enforce recovery of any over payments detected after payment as a result of post payment audit or technical examination or by any o xther means, not withstanding the fact that the amount of disputed claims, if any, of the bidder exceeds the amount of disputed claims, if any, of the bidder exceeds the amount of such over payment and irrespective of the facts whether such disputed claims of the bidder are the subject or not. The amount of such over payments may be recovered from the subsequent bills under the contract, failing that from bidders claim under any other contract with the Company or from the tenderer’s security deposit or the bidder shall pay the payment of over payment on demand.

34) On cancellation of the contract or on termination of the bidder, the SECL shall have powers to carry out the incomplete work by any means at the risk and cost of the bidder.

35) The bidder shall, if required by the officer in charge, furnish to him books of accounts, papers, relevant documents as may be necessary to enable to the officer in charge to assess the amounts payable. The bidder shall not have any claim for compensation whatsoever either for abandonment or for reduction in the scope of work. 36) The bidder(s) shall familiarize themselves with and be governed by all Laws and Rules of India and local statutes and orders and regulations applicable to his/ her/ their work. 37) The work shall not be sublet to any other party, unless approved by officer in charge in writing. 38) Income Tax @ 2% of the gross amount of each bill or the rates so amended from time to time; by Government will be recovered on account of income tax which would be deposited/ will be paid to the Income Tax authority. 39} Vehicles having taxi permit will only be deployed by the contractor for the subject work and submit documentary evidence in proof of taxi permit. 40) Any document / information submitted by bidder can be made public at appropriate stage , as per Right to Information Act -2005.. 41) No night halting charges will be paid as deployment of vehicle is for 24 hours. 42) Whenever any vehicle hired is to be withdrawn and replaced for any reason the contractor should ensure prior replacement of such vehicle before withdrawal. Vehicle should be got approved by the user before withdrawal of earlier vehicle.

43) The owner shall ensure that if the vehicle is going out side Area on tour the driver should have sufficient money for minor maintenance etc.. In case of running of vehicle in the Area sufficient money should be given to the driver for meeting emergent need of vehicle and others. 44) The contractor shall apply all the provisions of payment of wages act, 1936, Minimum Wages Act, Workmen Compensation Act, 1923. Industrial Disputes Act’ 1947, Contract Labour (Regulation and Abolition) Act, 1970. Motor Transport Workers Act and other relevant status relating there to made from time to time and the total responsibility in this regard will be on the account of the contractor only. 45 i) In case the contractor fails to deploy the vehicle/alternate vehicle (in good running condition), no payment will be released for period of non-deployment and in addition recovery at twice the awarded rates shall be effected as penalty from the bills of the contractor. ii) If a party refuses or fails to provide vehicle against specific requirement the vehicle will be arranged from the market as per market rate and the entire amount will be deducted from the failing party’s pending bills and such party should be considered for black listing due to causing interruption in service after entering in to Contract. 46). Any loss or any expenditure for damage incurred by SECL will be recoverable from the Contractor either fully or partly if such loss of expenditure for damages have been caused either directly or indirectly due to any negligence or failure on the part of the Contractor. 47) The Contractor will be responsible for any injury/damage caused to his vehicle, to his employees or to our own employees and compensate for any losses that we may have to suffer thereon. Similar claims from any third party, if any, shall also be settled by the party at his own cost. 48). All payment shall be treated as advance and will be adjustable in the final bill.



PROCEDURE FOR SUBMISSION OF TENDER:

The tenderer should sign in each and every page of the offer. All corrections and manuscripts should be authenticated and initiated. Offer should be submitted as per NIT enclosed. The tender should be submitted in two separate sealed envelopes containing the price bid and commercial bid, both of which should be super-scribed with the tender number, date and due date of tender opening, the words “PRICE BIDS” AND “TECHNO COMMERCIAL BID” as the case may be. The Envelope No. 1: Techno-commercial bid should contain commercial terms and conditions as indicated earlier at ‘NOTES/ GUIDELINES”. Any deviation from NIT terms should be clearly spelt out. It should also contain the list of past experience with SECL or Govt. Deptt. along with copies of work order and rate contracts. The Envelope No. 2: Price Bid : should be submitted only in the prescribed form of price bid. Nothing other than rates as per prescribed format to be submitted in price bid failing which tender will be regretted/ rejected.. Price bids will be opened in respect of the bidders who qualify in Techno-commercial bid. SECL reserves its right to accept or reject any offer wholly or partly without assigning any reason whatsoever. Only authorized representative will be allowed to attend the opening of commercial bid/ price bid. Representatives not in position to submit specific authorization letter, may not be allowed to attend the openings. No representative of the firm whose offers are not received before the due date and time of tender submission and whose offers are commercially not acceptable will be allowed to attend the opening of commercial bid/ price bid as the case may be. No information regarding terms and conditions of various offers and comparative statement thereof shall be passed on to the tenderer after opening. Tenders received at the time of opening shall be read out as they are, for information of the attending tenderers. Further information can not be furnished thereafter once the same has been read out at the time of opening. BIDDERS MUST SUBMIT BIDS COMPLETE IN ALL RESPECT AS DETAILED ABOVE.
