ABOUT CHARLOTTE PRIDE Charlotte Pride is the annual lesbian, gay, bisexual, transgender, questioning, and queer (LGBTQ) Pride celebration in the Carolinas. Since the 1970s, several Pride events in Charlotte have been held celebrating the diversity, cultural history, and pride of the LGBTQ community. Charlotte Pride’s mission is to produce a fun, safe, and empowering event where LGBTQ and allied people can stand together as unique individuals and as a community, with the purpose of uniting us as a creative, social, economic, and influential force. Last year’s event was a two day festival with over 45,000 in attendance. This diverse crowd provided a unique marketing opportunity for businesses intent on creating relationships within the LGBTQ community. Everyone is welcome to attend. We pride ourselves in our free admission policy for festival attendees and overall low cost for vendors. Primary funding for the festival comes from our Sponsors and Advertisers. The following sponsorship package provides a brief description of what to expect at 2013 Charlotte Pride. The 2013 Charlotte Pride planning committee is pleased to announce this year’s festival will be held on August 24 and 25, 2013 in Uptown Charlotte. We are excited to announce that we will have the first Charlotte Pride Parade and the first parade in Charlotte in 19 years. In addition to this year’s festival and parade we are also planning to organize and host various events throughout the upcoming year, as well as a Pride Week leading up to the festival. Detailed event information will be posted as it becomes available at CharlottePride.org. By The Numbers

• Charlotte Pride is the largest Pride celebration in the Carolinas and between Atlanta and Washington, D.C. with more than 45,000 people attending the 2012 festival.

• 2012 saw the debut of Pride’s first television commercial which provide top-tier sponsors with a media value of over $24,000.

• The CharlottePride.org website had more than 210,962 unique visitors during the month of Pride a 282% increase over 2012.

• The Charlotte Pride Facebook page has more than 8,100 fans. o 58.7% of the fans identify as women and 39.9% identify as male. o 1.3% are age 13-17, 19.1% are age 18-24, 32.5% are age 25-34, 25.2% are

age 35-44, 14.4% are age 45-54, and 5.9% are age 55+. o 74% live in the Charlotte Metro area. 17.2% are in the NC/SC area (excluding

the Charlotte Metro area), with 8.8% outside the Carolinas. • A recent study by Gallup shows that the LGBTQ population accounts for at least 8

HRC’s Buying for Equality guide to ensure that their money was spent at fair-minded businesses.

• A recent survey by Harris-Interactive® demonstrated that 48% of gay & lesbian adults reported that they liked to keep up with the latest trends and styles, compared to only 38% of their heterosexual counterparts.*

• More than 70% of gay and lesbian individuals reported that they have switched products and or service providers because they learned that the company supported the LGBTQ community or had LGBTQ-friendly policies.*

In addition, our full-color program guides will be extensively distributed prior to the event throughout the Carolinas and will be published on CharlottePride.org.

OPPORTUNITIES TO SPONSOR There are six levels of Charlotte Pride sponsorship available. In order to secure your sponsorship, complete the sponsorship form and accept all of the terms and conditions. You may also download the 2013 Charlotte Pride Sponsorship Brochure, which includes all forms. All levels require a minimum cash investment and/or out-of-pocket expense coverage.

Sponsorship Levels: Presenting Sponsor ($20,000+)

Benefit Definitions & Details • Logos: your organization logo must be provided in camera-ready art form

for both web and print publications. • Pride Guide: annual publication produced exclusively for Charlotte Pride and

distributed throughout North Carolina and South Carolina. • Sponsoring organization must provide camera-ready artwork. • Sponsorship: Charlotte Pride will furnish Sponsor with the sponsorship rights and

amenities for 2013 Charlotte Pride according to the Sponsorship Level selected and paid for by Sponsor.

Term. The term of this Sponsorship Agreement begins on the Effective Date and terminates upon the conclusion of the 2013 Charlotte Pride event on Sunday, August 25, 2013.

Payment. Invoices will be issued at the time completed applications are submitted. Sponsor will pay the agreed upon rate (less the value of any in-kind contribution) within thirty (30) days of receipt of an invoice from Charlotte Pride. All payments must be received before to any benefits (i.e., banners, print media, on-site space) will be conveyed.

Trademarks and Copyrights. Use of Event Marks. Charlotte Pride grants Sponsor, during the Term and for 30 calendar days thereafter, a non-exclusive license to use “2013 Charlotte Pride” and its variations in the same form they are provided by Charlotte Pride (the “Event Marks”) in connection with the Sponsor’s 2013 Charlotte Pride activities in a manner consistent with Charlotte Pride’s guidelines for use of the Event Marks, this Sponsorship Agreement, and the Sponsor’s Sponsorship Level. Sponsor will comply with Charlotte Pride’s reasonable requests regarding the use of the Event Marks.

Use of Sponsor Marks. Sponsor grants to Charlotte Pride a non-exclusive, royalty-free license to use the Sponsor marks in camera-ready format (the “Sponsor Marks”): (i) during the Term in connection with Charlotte Pride’s promotional and publicity activities, including print, video, and electronic materials, for 2013 Charlotte Pride; and (ii) after the Term in reference to Sponsor’s sponsorship of 2013 Charlotte Pride.

Liability. Neither Charlotte Pride nor its representatives will be responsible for any injury, loss, harm or damage that may occur to the Sponsor from any cause whatsoever. Under no circumstances will Charlotte Pride be liable for lost profits or other special or consequential damage. The foregoing will apply regardless of how any claim is brought or how damages are characterized, including whether brought in contract, tort or otherwise.

Event Contents. Sponsor may photograph or otherwise record its presence at 2013 Charlotte Pride, but will not otherwise record or reproduce any portion of 2013 Charlotte Pride, including the marks or presence of other sponsors, the entertainment, or the attendees, in any format without Charlotte Pride’s prior written consent. Sponsor’s actions to photograph or otherwise record its presence will take place only in the public access areas of 2013 Charlotte Pride and shall not interfere with the normal operations of the event.

Reschedule or Cancellation. 2013 Charlotte Pride is scheduled to take place from August 24-25, 2013. Charlotte Pride reserves the right to reschedule or cancel 2013 Charlotte Pride or any individual events comprising it if necessary for any reason, including: (i) weather; (ii) failure to receive commitments from the necessary number of sponsors; (iii) failure to reach agreement with the applicable authorities on any issue related to 2013 Charlotte Pride; or (iv) acts of God or any other cause beyond Charlotte Pride’s reasonable control, e.g. war, fire, strike, change of law or regulation, public catastrophe. If 2013 Charlotte Pride is cancelled in whole, Charlotte Pride will issue refunds at pro-rata amounts, based on sponsorship amounts actually paid, of the total sponsorship fees received less the expenses incurred by Charlotte Pride. No further refunds or other amounts will be due from Charlotte Pride for any reason. In no case will the amount of refund to a Sponsor exceed the amount of the sponsorship fee paid.

Termination. Charlotte Pride reserves the right to accept or reject sponsors at its sole discretion. Charlotte Pride may terminate this Sponsorship Agreement at any time, in which case Sponsor’s rights to use the Event Marks will terminate immediately, and Charlotte Pride will refund to Sponsor any sponsorship fees paid to Charlotte Pride less any out of pocket expenses incurred, and return any unused in-kind contribution received, under this Sponsorship Agreement.

Tax Status. Charlotte Pride is registered as a non-profit corporation with the North Carolina Secretary of State. Our application for reinstatement of our tax-exempt status is currently under review with the Internal Revenue Service.

Miscellaneous. This Sponsorship Agreement represents the entire agreement between Charlotte Pride and Sponsor, and there is no other agreement or warranty between the Sponsor and Charlotte Pride. This Sponsorship Agreement establishes a non-exclusive relationship between Sponsor and Charlotte Pride, and Charlotte Pride retains the right to enter into other Sponsorship Agreements at its discretion. All legal matters pertaining to 2013 Charlotte Pride and this Sponsorship Agreement will be governed by and construed under the laws of the state of North Carolina without regard to any provision of North Carolina law that would require or permit the application of the substantive law of another jurisdiction. Sponsor irrevocably consents and submits to the personal jurisdiction of the courts in and for North Carolina for any actions arising out of or relating to this Sponsorship Agreement.

This Sponsorship Agreement may be executed in multiple counterparts, each of which will be considered an original and all or any one of which constitute one and the same agreement. Facsimile or email copies will be treated as originals for these purposes. This Sponsorship Agreement is personal to the parties and neither party may assign it without the prior written consent of the other party.
