STANDARD WARRANTY

Buyer tbd Warranty Start Date – Original Delivery Date
This Standard Warranty is valid when it has been executed by the Buyer simultaneously with a Michigan CAT Equipment Sales and Security Agreement that is accepted by an Officer of Seller. The Warranty Start Date is the day that the Equipment was delivered to the Buyer. All Warranties begin on the original delivery date regardless
of the date of sale. This warranty applies to the Caterpillar Equipment identified above.
SPECIFIC CONDITIONS WARRANTY PERIOD: For new equipment and attachments installed on such equipment prior to delivery (unless covered by the Caterpillar Work Tool Warranty
statement or another manufacturer's warranty), the warranty period is the number of months or the number of hours specified above in TERMS, whichever occurs first, starting from the original delivery date.
CATERPILLAR WARRANTY: Caterpillar warrants the above equipment sold by it and operating within the geographical area serviced by authorized USA and Canadian dealers to be free from defects in material and workmanship. Caterpillar work tools and certain Caterpillar brand ground engaging tools may be covered under
a different Caterpillar Warranty. Caterpillar Undercarriage, Mobile-trac belts and Caterpillar brand batteries may be covered by a different Caterpillar Warranty.
This warranty is limited to repair or replacement (including both parts and labor) of parts inspected by Michigan CAT Certified Employees that have been determined by
Michigan CAT to be defective in material or workmanship. If a defect is found during the warranty period, Michigan CAT, will, during Michigan CAT's normal working
hours and at a Michigan CAT place of business 1) provide (at Michigan CAT's choice) new, remanufactured or Caterpillar approved repaired parts or assemble components needed to correct the defect 2) replace lubricating oil, filters, grease, air conditioner refrigerant, antifreeze, and other service items only if made unusable by
the defect and 3) provide reasonable and customary labor needed to correct the defect, except in the case of a new replacement engine originally installed by other than a
Caterpillar dealer.
TRANSPORTATION CHARGES: ALL MACHINE TRANSPORTATION COSTS OR FIELD SERVICE TRAVEL EXPENSES TO AND FROM THE
MACHINE LOCATION ARE THE SOLE RESPONSIBILITY OF THE BUYER.
ANALYSIS PROGRAM: THE OIL SAMPLING SCHEDULE LISTED IN THE OMM (OPERATIONS MAINTENANCE MANUAL) MUST BE FOLLOWED. FAILURE TO COMPLY WITH SCHEDULED OIL SAMPLING REQUIREMENTS WILL VOID THIS WARRANTY. IT IS THE BUYERS
RESPONSIBILITY FOR MACHINES NOT COVERED BY A MICHIGAN CAT CUSTOMER SUPPORT AGREEMENT TO TAKE OIL SAMPLES AT THE
PRESCRIBED INTERVALS.
BUYER'S RESPONSIBILITIES: Normal maintenance service including but not limited to oil and filter changes, engine tune-ups, belts and hoses are not covered by
this Warranty. Replacement of items due to normal wear and tear is not covered by this warranty. The Buyer must have the covered equipment checked and serviced in accordance with the manufacturer's recommendations including but not limited to maintaining proper levels of lubricants and coolants. Failure to follow the
manufacturer's recommendations that apply to the Equipment may result in a denial of warranty coverage.
LIMITATIONS: A defect does not include the gradual reduction in operating performance where a failure has not occurred. This warranty is void if the service
meter has been stopped or altered or misrepresents the equipment's actual usage. This warranty does not include repairs due to misuse, abuse, accidents,
collisions, fire, road hazards, theft, riot, explosion, lightning, earthquake, freezing, rust, chemical corrosion, physical or mechanical erosion, windstorm, hail, water or flood, salt, chemicals, vermin, negligence, vandalism, acts of God, or use of the machine beyond its rated capacity or contamination of fluids, fuels,
coolants or lubricants. Michigan CAT is not responsible for failures resulting 1) from any use or installation which Michigan CAT judges improper; 2) from the
use of any attachments, accessory items and parts not sold or approved by Caterpillar; 3) improper repair; 4) users delay in making Equipment available after being notified of a potential product problem; 5) unauthorized repairs or adjustments and unauthorized fuel setting changes. The warranty shall not cover
normally scheduled preventative maintenance or maintenance services, including but not limited to valve lash adjustments and maintenance items including
filters, fuel nozzles, fuel injectors, thermostats, and seals and gaskets. The warranty does not cover the following parts: repair alternator, starter, air compressor, air conditioner, compressor and other bolt on attachments unless required in conjunction with the repair of a covered part. This warranty does not cover storage,
shop supply, or uncommon freight charges.
DISCLAIMER OF WARRANTIES: THE CATERPILLAR WARRANTY IS LIMITED TO CERTAIN RESPONSIBILITIES, ARE SUBJECT TO LIMITATIONS FOR FAILURES
RESULTING FROM CERTAIN SITUATIONS AND ARE SUBJECT TO THE BUYER'S RESPONSIBILITIES. THE CATERPILLAR WARRANTY IS EXPRESSLY IN LIEU OF ANY
OTHER WARRANTIES EXPRESSED OR IMPLIED INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
REMEDIES: CATERPILLAR'S STANDARD WARRANTY IS LIMITED TO THE PROVISION OF MATERIAL AND SERVICES AS SPECIFIED HEREIN. NEITHER MICHIGAN CAT
NOR CATERPILLAR IS RESPONSIBLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL MICHIGAN CAT OR CATERPILLAR BE LIABLE FOR ANY
OTHER LOSSES, DAMAGES, COSTS OR EXPENSES CLAIMED BY THE BUYER INCLUDING BUT NOT LIMITED TO LOSS FROM THE FAILURE OF THE EQUIPMENT TO
OPERATE FOR ANY PERIOD OF TIME AND ALL OTHER DIRECT, INDIRECT OR SPECIAL DAMAGES.
TAXES: Buyer shall pay when due all taxes and assessments (if any) on the repair of the Equipment.
TRANSFERABILITY: This Warranty is not transferable without the expressed written consent of an officer of Michigan CAT who reserves the right not to consent in
its sole discretion.

The Warranty Period from Caterpillar varies and may be less than Michigan CAT’s warranty period. Caterpillar work tools and certain Caterpillar brand ground engaging
tools may be covered under a different Caterpillar Warranty. Caterpillar Undercarriage and Caterpillar brand batteries may be covered by a different Caterpillar Warranty.
MICHIGAN CAT TOTAL PLUS EXTENDEDWARRANTY: This warranty is limited to repair or replacement (including both parts and labor) of parts inspected by

FAILURE TO COMPLY WITH SCHEDULED OIL SAMPLING REQUIREMENTS WILL VOID THIS WARRANTY. IT IS THE BUYERS
RESPONSIBILITY FOR MACHINES NOT COVERED BY A MICHIGAN CAT CUSTOMER SUPPORT AGREEMENT TO TAKE OIL SAMPLES AT THE PRESCRIBED INTERVALS.

MICHIGAN CAT STANDARD WARRANTY WITH EXTENDED POWERTRAIN WARRANTY: This warranty is limited to repair or replacement (including
both parts and labor) of parts inspected by Michigan CAT Certified Employees that have been determined by Michigan CAT to be defective in material or workmanship. If a defect is found during the warranty period, Michigan CAT, will, during Michigan CAT's normal working hours and at a Michigan CAT place of business 1) provide
(at Michigan CAT's choice) new, remanufactured or Caterpillar approved repaired parts or assemble components needed to correct the defect 2) replace lubricating oil,
filters, grease, air conditioner refrigerant, antifreeze, and other service items only if made unusable by the defect and 3) provide reasonable and customary labor needed to correct the defect, except in the case of a new replacement engine originally installed by someone other than a Caterpillar dealer. No components other than those listed
in Attachment “B” are covered under the Extended Powertrain Warranty.
TRANSPORTATION CHARGES: ALL MACHINE TRANSPORTATION COSTS OR FIELD SERVICE TRAVEL EXPENSES TO AND FROM THE
MACHINE LOCATION ARE THE SOLE RESPONSIBILITY OF THE BUYER.
ANALYSIS PROGRAM: The oil sampling schedule listed in the OMM (Operations Maintenance Manual) must be followed to maintain warranty availability.
FAILURE TO COMPLY WITH SCHEDULED OIL SAMPLING REQUIREMENTS WILL VOID THIS WARRANTY. IT IS THE BUYERS
RESPONSIBILITY FOR MACHINES NOT COVERED BY A MICHIGAN CAT CUSTOMER SUPPORT AGREEMENT TO TAKE OIL SAMPLES AT THE PRESCRIBED INTERVALS.
BUYER'S RESPONSIBILITIES: Normal maintenance service including but not limited to oil and filter changes, engine tune-ups, belts and hoses are not covered by this Warranty. Replacement of items due to normal wear and tear is not covered by this warranty. The Buyer must have the covered equipment checked and serviced in
accordance with the manufacturer's recommendations including but not limited to maintaining proper levels of lubricants and coolants. Failure to follow the
manufacturer's recommendations that apply to the Equipment may result in a denial of warranty coverage.
LIMITATIONS: A defect does not include the gradual reduction in operating performance where a failure has not occurred. This warranty is void if the service
meter has been stopped or altered or misrepresents the equipment's actual usage. This warranty does not include repairs due to misuse, abuse, accidents, collisions, fire, road hazards, theft, riot, explosion, lightning, earthquake, freezing, rust, chemical corrosion, physical or mechanical erosion, windstorm, hail,
water or flood, salt, chemicals, vermin, negligence, vandalism, acts of God, or use of the machine beyond its rated capacity or contamination of fluids, fuels,
coolants or lubricants. Michigan CAT is not responsible for failures resulting 1) from any use or installation which Michigan CAT judges improper; 2) from the use of any attachments, accessory items and parts not sold or approved by Caterpillar; 3) improper repair; 4) users delay in making Equipment available after
being notified of a potential product problem; 5) unauthorized repairs or adjustments and unauthorized fuel setting changes. The warranty shall not cover
normally scheduled preventative maintenance or maintenance services, including but not limited to valve lash adjustments and maintenance items including filters, fuel nozzles, fuel injectors, thermostats, and seals and gaskets. The warranty does not cover the following parts: radiator, alternator, starter, air compressor,
air conditioner, compressor and other bolt on attachments unless required in conjunction with the repair of a covered part. This warranty does not cover storage,
shop supply, or freight charges.

Service Workmanship Agreement
Michigan CAT warrants the following repair to be free from defects in material and workmanship for six months from WORK
ORDER completion.
Our obligation under this warranty shall be limited to, as an exclusive remedy, repair or replacement including both parts and labor
of any part which in our sole judgment is found to be defective in material or workmanship within the warranty period. All re pairs
or replacements must be performed at the Michigan CAT service department that originally performed the work or other such
locations as seller and purchaser may mutually agree. The intent of this warranty is not to restore failed components to like -new
condition, but rather to repair or replace only the failed components covered by the warranty. This warranty is limited to the repair
or replacement, whichever Michigan CAT elects, of any part which is found upon Michigan CAT inspection to be defective in
material or workmanship, along with the labor of such new or repaired part s. Such parts and labor will be provided without charge
to the customer during normal working hours at a Michigan CAT place of business or other establishment authorized by Michigan
CAT. This warranty does not include costs for transporting the machine to such place of business or establishment. This warranty
DOES NOT COVER TRAVEL TIME, R & I, OVERTIME LABOR, ANY MACHINE TRANSPORTATION COSTS OR PARTS
FREIGHT CHARGES.

damages, costs, or expenses claimed by you including losses from failure of the machine to operate for any period of time, an d all other direct, indirect, special,
incidental, or consequential damages, including all personal injury and property damage due to alleged negligence or strict liability of Michigan CAT
The extended warranty coverage shall not be applicable by Caterpillar, Inc. Product Improvement Programs. THE EXTENDED WARRANTY SET FORTH ABOVE IS
IN LIEU OF ALL OTHER WARRANTIES BY MICHIGAN CAT EXPRESS OR IMPLIED BY LAW. WITHOUT LIM ITING THE GENERALITY OF THE
FORGOING, MICHIGAN CAT MAKES NO WARRANTY OF MERCHANTABILITY OR FITNESS OF THE MACHINE FOR ANY PARTICULAR PURPOSE.
Our representatives may not change the forgoing warranty and purchaser's acceptance of the product acknowledges familiarity with the terms a nd conditions of this
warranty.
CUSTOMER RESPONSIBILITIES:
1. Customer shall be responsible for compliance with all
recommendations included in the Caterpillar Lubrication and
Maintenance Guide for the model covered.
2. Customer is solely responsible to perform all maintenance service
(such as engine tune-ups, adjustments, the replacement of injector
nozzles, belts and filters) or normal replacement of service wear
items.
3. Customer shall be responsible for scheduled oil samples on each
oil compartment at time of recommended maintenance and shall
timely provide Michigan CAT copies of reports at each interval.
4. Customer shall be responsible for giving timely notice of
warrantable failure and promptly making machine available for
repair.
5. Customer shall make machine available for inspection during the
warranty period on reasonable notice from Michigan CAT.
6. Customer shall be responsible for travel time, mileage, overtime
labor, and machine transportation costs and parts freight charges.
7. Customer shall be responsible for removal and installation of
component and system cleanout. Customer must confirm that oil
coolers meet Caterpillar reusability guidelines.
8. The service-hour meter must be maintained in good condition
and Michigan CAT must be notified in writing if meter is
changed or set back.
LIMITATIONS AND EXCLUSIONS:
1. All items not specifically listed "as covered" are excluded.
2. Items eligible for coverage are those defined in "VA. Extended
Warranty" as defined by Caterpillar as Powertrain Components.
Ask your Product Support representative for a detailed list of
covered components. (Bulletin 4.3)
3. Michigan CAT shall not be obligated to make any repairs
necessitated by misuse, abuse, accident, negligence or use of
machine beyond its rated capacities.
4. The machine may not be altered or modified in any manner which
effects the mechanical operation of the machine as designed by
Caterpillar, Inc.
5. Repairs made by Michigan CAT pursuant to this warranty
coverage shall not extend the stated warranty period.
6. Loaner or Rental machines are not supplied under the terms of
this warranty.
7. This warranty is to the original buyer of the overhaul and is not
transferable to subsequent owners of the machine in which the
component is installed.
Diamond Tools Limited Warranty
Diamond Products Limited warrants all of its diamond tools against defects in material and workmanship for a period of one (1) year from the date of shipment to Customer. All laser welded blades and bits are warranted against segment loss due to weld failure. Determination of the applicability of warranty will be made after the product is inspected by our Warranty Claims Department. The warranty does not cover any tool which Diamond Products determines to have been used in an improper application, subjected to negligent abuse, improperly mounted, altered, involved in a non-application accident or miscellaneously damaged. The responsibility of Diamond Products under this Warranty is limited to repair or replacement at Diamond Products’ option free of charge. In no event shall Diamond Products be liable for consequential or incidental damages. This warranty includes all labor, parts and shipping costs via UPS ground. Proof of purchase in the form of an invoice showing the date of shipment to be within one (1) year must accompany all warranty claims. Diamond Products reserves the right to prorate any warranty claim based upon a percentage of tool life prior to the failure in question. THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES EXPRESSED OR IMPLIED, AND ALL SUCH OTHER WARRANTIES ARE HEREBY DISCLAIMED.
Abrasive Limited Warranty
Diamond Products Limited warrants all of its abrasive products against defects in material and workmanship for a period of one (1) year from the date of shipment to Customer. The warranty does not cover any products which Diamond Products determines to have been used in an improper application, subjected to negligent abuse, improperly mounted, altered, involved in a non-application accident or miscellaneously damaged. The responsibility of Diamond Products under this Warranty is limited to repair or replacement at Diamond Products’ option free of charge. In no event shall Diamond Products be liable for consequential or incidental damages. This warranty includes all labor, parts and shipping costs via UPS ground. Proof of purchase in the form of an invoice showing the date of shipment to be within one (1) year must accompany all warranty claims. Equipment Limited Warranty
Diamond Products warrants all products manufactured by it against defects in material and workmanship under normal use and service for a period of one (1) year from the date of shipment to Customer. The responsibility of Diamond Products under this Warranty is limited to replacement or repair of defective parts at Diamond Products’ Elyria, Ohio factory, or at a point designated by it, of such parts as shall appear to us upon inspection at such point, to have been defective in material or workmanship, with expense for transportation and labor born by Customer. In no event shall Diamond Products be liable for consequential or incidental damages arising out of the failure of any product to operate properly. Integral units such as gasoline engines, electric motors, batteries, tires, transmissions, etc., are excluded from this Warranty and are subject to prime manufacturer’s warranty. THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES EXPRESSED OR IMPLIED, AND ALL SUCH OTHER WARRANTIES ARE HEREBY DISCLAIMED.
Highway Grooving Machinery Limited Warranty
Diamond Products LTD makes the following limited warranty: Diamond Products warrants each new and unused grooving or grinding machine and accessory equipment sold by it (except items not manufactured by Diamond Products such as engines, pumps, transmissions, and other trade accessories sold with, attached to, or operated with Diamond Products’ products), to be free from defects in material and workmanship under normal use and service for one (1) year from the date of shipment from the Diamond Products factory, the obligation under this warranty being limited to the replacement or repair at the Diamond Products factory, or at a point designated by it, of such parts as shall appear to it upon inspection at such point to have been defective in material or workmanship at the time sold, provided that the parts or parts claimed defective are returned to inspection points, transportation charges prepaid. If after inspection of the returned products, Diamond Products determines that the defect is a result of misuse, mishandling, installation, abnormal conditions of operation, unauthorized repair or modification, or due to the Buyer’s failure to install, maintain or operate the product in compliance with the written instructions, all expenses incurred by Diamond Products in connection with the replacement or repair of the product shall be for the account of the Buyer. Any product returned to Diamond Products for replacement shall become the property of Diamond Products. The Buyer shall be responsible for all costs of shipping, customs clearance and other related charges in connection with Diamond Products’ replacement or repair of products located outside the continental United States pursuant to the limited warranty. This warranty applies only to new and unused grooving or grinding machines and accessory equipment which after shipment from the Diamond Products factory have not been altered, changed or repaired in any manner. Maintenance items, such as filters, V-belts, air cleaners, wheels or Blade shaft bearings, are not covered under this warranty.
The validity, performance and interpretation of the limited warranty shall be governed by the internal laws (and not the laws of conflicts) of the State of California. All disputes arising in connection with the limited warranty shall be resolved, if not sooner settled, by a court of competent jurisdiction located in Stanislaus County, California, U.S.A. Exclusive Remedy: Replacement or repair of the Diamond Products’ products as provided under this warranty is the Buyer’s exclusive remedy. This exclusive remedy will not be deemed to have failed of its essential purpose so long as Diamond Products is willing and able to replace or repair any defective product in the prescribed manner. In the event Diamond Products fails to replace or repair the product as aforesaid, 2 - Diamond Products’ entire liability shall not exceed the amount paid by the Buyer to Diamond Products for its purchase of the defective product. Limitations on Warranty: In no event shall Diamond Products be liable for any indirect, special, incidental, consequential or other damages, including but not limited to damage to or loss of property or equipment, lost revenues or profits, or harm to goodwill or business reputation directly or indirectly arising from the sale, handling or use of the product, or from any other cause relating thereto and Diamond Products’ liability hereunder. Diamond Products shall not be liable to the Buyer for any claims, demand, injuries, damages, actions or causes of action what so ever based on negligence or strict liability. Exclusions of Warranties: Diamond Products, LTD makes no warranty that the products sold hereunder shall be merchantable or that such products shall be fit for any particular purpose. Moreover, Diamond Products makes no express or implied warranties except for the Limited Warranty outlined above. In addition, no representation or warranty, express or implied, made by any distributor, sales representative, or field agent of Diamond Products which is not specifically set forth herein shall be binding on Diamond Products

LIMITED PRODUCT WARRANTY Subject to the terms and conditions below, Magnum Power Products, LLC (“Magnum”) warrants that products manufactured by it (other than components subject to an OEM Warranty) (collectively, the “Products”), when used as intended and designed, shall be free from defects in material and/or workmanship for the applicable Warranty Period. Warranty coverage under the Warranty begins on the date of first operation of a Product, or six (6) months after the Product ship date from Magnum and shall continue for the time period(s) set forth in Exhibit A (the “Warranty Period”). Warranty claims must be submitted promptly to Magnum in writing, and actually received within the applicable Warranty Period, describing in detail: (i) the applicable Warranty, (ii) the claimed Product deficiency, defect or failure, (iii) Product information required by Magnum, and (iv)sales or purchaser order for any replacement parts (sent to Magnum’s Parts Sales Department). Magnum will reimburse necessary labor to repair the Products for a reasonable allotment of time to diagnose and replace defective Products as set forth in Exhibit A. Purchaser’s exclusive remedies under this Warranty shall be, at Magnum’s sole discretion: (i) repair; or (ii) replacement; or (iii) payment of or credit for the original purchase price of the Products. These remedies are expressly limited to the repair or replacement of the defective Products (or part(s) thereof), and do not include the replacement of the entire Product. The Warranty does not cover sales tax or any incidental costs, including without limitation: shipping or associated transportation charges, travel to and from repair sites, damages related to the loss of use, lost rentals, re-rental expenses and damages to property or other equipment. It is the responsibility of the purchaser to carry genuine replacement parts and provide Warranty service for the Products. Magnum will not ship replacement parts to purchasers, or end users, free of charge. Magnum will ship the replacement parts and issue an invoice to purchaser for shipping costs. The Warranty shall not apply to the extent Product defect has been caused by any of the following: (i) Product operator negligence or intentional misconduct (other than by Magnum), (ii) casualty or accident to the Products; (iii) use and operation of the Products) not in conformance with Magnum’ s training and/or operation manuals, or operation exceeding Magnum’s ratings for the Products, including misuse and abuse; (iv) maintenance, service and/or repair of the Products not in conformance with Magnum’s recommended service and maintenance schedules; (v) improper installation (other than by Magnum) not in material conformance with Magnum’s specifications; (vi) unauthorized modification of or alternations to the Products; (vii) improper load sizing (other than by Magnum); (vii) transportation damage; or (ix) Product exposure to the elements or other acts of God. Engines and driven components used in all Magnum Power Products carry a separate manufacturer’s (OEM) warranty (the “OEM Warranties”), unless otherwise expressly stated. OEM Warranties are in addition to this Warranty. All warranty claims for defects in material and/or workmanship on Magnum’s Products’ components, must be directed through the OEM distributor/dealer network. OEM Warranties may vary and are subject to change. Magnum shall have no liability under OEM warranties. Please contact your local Magnum sales representative for a list of these providers. The express warranties provided herein are offered in lieu of all other warranties, and to the greatest extent permitted by applicable law, Magnum’s repair and/or replacement of the Products, shall be purchaser’s sole and exclusive remedies and Magnum shall have no additional obligations. MAGNUM MAKES NO WARRANTY, REPRESENTATION OR GUARANTEE TO PURCHASER OR ANY THIRD PARTY EXCEPT AS EXPRESSLY PROVIDED IN AND BY THIS WARRANTY. Miller’s True Blue® Limited Warranty shall not apply to:1. Consumable components; such as contact tips,
cutting nozzles, contactors, brushes, relays, workstation table tops and welding curtains, or parts thatfail due to normal wear. (Exception: brushes andrelays are covered on all engine-driven products.)
2. Items furnished by Miller, but manufactured by others,such as engines or trade accessories. These items arecovered by the manufacturer’s warranty, if any.
3. Equipment that has been modified by any party other thanMiller, or equipment that has been improperly installed,improperly operated or misused based upon industrystandards, or equipment which has not had reasonableand necessary maintenance, or equipment which hasbeen used for operation outside of the specifications forthe equipment.
MILLER PRODUCTS ARE INTENDED FOR PURCHASE ANDUSE BY COMMERCIAL/INDUSTRIAL USERS AND PERSONSTRAINED AND EXPERIENCED IN THE USE ANDMAINTENANCE OF WELDING EQUIPMENT.In the event of a warranty claim covered by this warranty, theexclusive remedies shall be, at Miller’s option: (1) repair; or (2)replacement; or, where authorized in writing by Miller in appropriatecases, (3) the reasonable cost of repair or replacement at anauthorized Miller service station; or (4) payment of or credit for thepurchase price (less reasonable depreciation based upon actualuse) upon return of the goods at customer’s risk and expense.Miller’s option of repair or replacement will be F.O.B., Factory atAppleton, Wisconsin, or F.O.B. at a Miller authorized service facilityas determined by Miller.
