2. Purpose:
Comprehensive Maintenance Contract for Computer Systems, System Peripherals, Net Working
and related components in the premises of SBIIT, SBIIT Sanchar Bhawan, Road No.12, Banjara
Hills, Hyderabad – 500034.
3. Invitation:
The bidders desirous of undertaking Maintenance Service of Computer Systems, System
Peripherals, Net Working and related components for State Bank Institute of Innovation
Technology hereinafter called “SBIIT” are invited to submit their bids. This RFP seeks
proposals from as on date empanelled hardware AMC vendors of State SBIIT of India Local Head
Office, Hyderabad only.
This RFP is not an offer by SBIIT, but an invitation to receive responses from the Bidders. No
contractual obligation whatsoever shall arise from the RFP process unless and until a formal
contract is signed and executed by duly authorized official(s) of SBIIT with the successful Bidder.
The bidders have to submit the Bid covering letter (annexure-2) along with.
4. Eligibility Criteria:
Bid is open to as on date empanelled hardware AMC vendors of State SBIIT of India Local Head
Office, Hyderabad only.
5. Disclaimer:
The information contained in this Request for Proposal (RFP) document or information provided
subsequently to Bidder(s) or applicants whether verbally or in documentary form by or on behalf
of SBIIT, is provided to the Bidder(s) on the terms and conditions set out in this RFP document
and all other terms and conditions subject to which such information is provided.
This RFP is neither an agreement nor an offer and is only an invitation by SBIIT to the interested
parties for submission of bids. The purpose of this RFP is to provide the Bidder(s) with information
to assist the formulation of their proposals. This RFP does not claim to contain all the information
each Bidder may require. Each Bidder should conduct its own investigation and analysis and
should check the accuracy, reliability and completeness of the information in this RFP and where
necessary obtain independent advice. SBIIT makes no representation or warranty and shall incur
no liability under any law, statute, rules or regulations as to the accuracy, reliability or
completeness of this RFP. SBIIT may in its absolute discretion, but without being under any
obligation to do so, add all amend or supplement the information in this RFP. No contractual
obligation whatsoever shall arise from the RFP process until a formal contract is signed and
executed by duly authorized officers of the SBIIT with the selected Bidder.
The SBIIT reserves the right to accept or reject any Bid/ offer received in part or in full, and to
cancel the bidding process and reject all Bids at any time prior to contract of award, without
thereby incurring any liability to the affected Bidder or Bidders or any obligation to inform the
affected Bidder or Bidders of the grounds for the SBIIT’s action. SBIIT reserves the right to reject
any Bid on security and / or other considerations without assigning any reason.

SBIIT reserves the right to cancel the entire Bidding / procurement process at any stage without
assigning any reason whatsoever.
6. Earnest Money Deposit (EMD)
All the bidders have to deposit a sum of Rs.25,000 (Rupees Twenty Five thousand only) as
Earnest Money Deposit to be remitted online to “SBIIT Collection A/c.” No.10009420546, IFS
Code. SBIN0008022 or in the form of DD/BC before they are allowed to participate in the bid.
Proof of remittance has to be submitted to the Institute for this purpose.
The EMD of the bidders who are shortlisted (L1,L2 &L3) for the Commercial Bid, will be retained
by the SBIIT till the completion of the commercial bid process. The EMD would be returned without
interest to all the other bidders who are not shortlisted. The EMD of the shortlisted bidders will
returned after signing of agreement by the selected bidder or with in 15days from the date of
opening of the bids whichever is earlier.
If EMD is forfeited for any reason, the concerned bidder will be debarred from further participation
for the RFPs to be floated by the SBIIT during next one year, at the sole discretion of the SBIIT.
The EMD may be forfeited:
If a Bidder withdraws or amends the bid during the period of Bid the validity of which is specified
herein or If a Bidder makes any statement or encloses any form which turns out to be false /
incorrect at any time prior to signing of contract; or In case of a successful Bidder, if the Bidder
fails to sign the contract with the SBIIT within a period of 15 days from the opening of bids;
7. Security Deposit:
At the time of executing the agreement for AMC a performance guarantee for the value of
10% of AMC annualized amount in the form of SBIIT Guarantee from any of the
nationalized SBIIT other than SBI need to be submitted.
8. Bidding Document:
8.1 Cost of Bidding: The Bidder shall bear all costs associated with the preparation and
submission of its bid. SBIIT will not responsible or liable for these costs, regardless of the
conduct or outcome of the bidding process.
8.2 Content of Bidding Document
8.2.1 The biding document provides overview of the requirements, bidding procedures and
contact terms. It includes Introduction, Instructions to Bidder, and Terms & Conditions of
Contract, Eligibility Criteria, Technical Bid and Financial Bid.
8.2.2 The Bidder is expected to examine all instructions, statements, terms and
specifications in the bidding document. Failure to furnish all information required by the
bidding documents or submission of bid not responsive to the bidding documents in every
respect will be at the Bidder’s risk and may result in rejection of the bid. SBIIT has made

considerable effort to ensure that accurate information is contained in this RFP and is
supplied solely as guidelines for Bidders. Furthermore, during the RFP process, SBIIT is
entitled to issue corrigendum / addenda to item RPF information relevant to the Scope of
Work as per Annexure - 1. Nothing in this RFP or any addenda is intended to relieve Bidders
from forming their own opinions and conclusions in respect of the matters addressed in the
RFP or any addenda.
8.3 Clarifications & Amendments:
8.3.1 If deemed necessary the SBIIT may seek clarifications on any aspect from the bidder.
However that would not entitle the bidder to change or cause any change in the substances of
the bid already submitted or the price quoted. The bidder may be asked to give presentation
for the purpose of clarification of the bid.
8.3.2 The Bidders requiring any clarification on the bidding documents or process should attend
the Pre-Bid Meeting on 17/09/2018 at 03.00 pm to get clarifications across the table.
8.3.3 At any time prior to the deadline for submission of bids, SBIIT may modify or alter the
bidding document by issuing an amendment.
8.3.4 Any clarification issued by SBIIT will be in the form of an addendum / corrigendum and
will be available in SBI’s website – https://www.sbi.co.in. The amendment will be binding on all
bidders. SBIIT, at its discretion may extend the deadline for submission of bids which shall be
informed to all through SBI’s website- https://www.sbi.co.in Home Page bottom of the
page Procurement Empanelled Service Providers & Others procurement news.
9. Bidding Process:
9.1 The bidders need to submit item wise pricing (exclusive of taxes) for all the items in the annexures sheets. All the equipment’s that are there under warranty within the contract period, maintenance charges should be quoted in pro-rata basis. Warranty dates are mentioned in the annexures against each item. The summary sheet should contain the grand total of the all the annexures and same will be considered for shortlisting of the vendor. In case there is any difference in annexure total and the summary sheet total the summary sheet total will be considered as final and the bidder should bind to that price. The bids should be submitted in single closed envelope super-scribed as “BID FOR HARDWARE SYSTEMS ANNUAL MAINTENANCE CONTRACT FOR AT SBIIT, BANJARA HILLS HYDERABAD”.
9.2 All pages of the Bid document should be serially numbered and shall be signed by the authorized person(s) only. The person(s) signing the bid shall sign all pages of the bid and rubber stamp should be affixed on each page except for an un-amended printed literature.
9.3 Any interlineations, erasers or overwriting shall be valid only if the person(s) signing the
bid sign(s) them in full.
9.4 Bid should be typed and submitted on A4 size paper [font times new roman 12], spirally
bound securely and in serial order. Bidders responding to this RFP shall submit covering

letter included with the bid and compliance certification statement required for submission
of a proposal.
9.5 In the event of the target date for the receipt of bids being declared as holiday for the SBIIT,
the bids will be received till the target time on the next working day. The SBIIT may at its
discretion extend the bid submission date. The modified target date & time will be notified
on the web site of the SBI.
10. Bid Information
10.1 Validity Period of Bid:
Bid shall remain valid for 90 days from date of submission mentioned under Bid Details. A bid
valid for shorter period is liable to be rejected. The bidder may require to give consent for the
extension of the period of validity of the bid beyond initial 90 days, if so desired by the SBIIT in
writing or by FAX. Refusal to grant such consent would result in rejection of bid without
forfeiture of the EMD. However any extension of validity of bids will not entitle the bidder to
revise / modify the bid document.
10.2 Bid Integrity:
Wilful misrepresentation of any fact within the Bid will lead to the cancellation of the contract
without prejudice to other actions that the SBIIT may take.
10.3 Bid Currency: Prices shall be expressed in Indian Rupees only. 10.4 Late Submission of bids: Any bid received by the SBIIT after target date and time prescribed in Bid details will be rejected
and /or returned unopened to the bidder at his risk and responsibility.
10.5 Modification and Withdrawal of Bids: Once bid is submitted no modification is permissible. No bid may be withdrawn in the interval
between the deadline for submission of bids and the expiration of period of bid validity.
11.Opening and Evaluation of Bids:
11.1Opening of Technical Bid: All the Bids will be opened at the date, time & locations
mentioned under the “Bid Details”.
11.2 Evaluation process
11.2.1 Preliminary examination:
The bids will be examined by the SBIIT to determine whether they are complete and whether
required bid security has been furnished. A bid determined as not substantially responsive
will be rejected. The SBIIT may, at its discretion waive any minor non-conformity or
irregularity in a bid which does not constitute a material deviation.Any effort on the part of
bidder to influence bid evaluation process or award of contract may result in the rejection of
the bid.

12.Award & Signing of contract:
SBIIT will notify successful bidder in writing by letter in duplicate or fax that its bid has been
accepted. The Selected bidder has to return the duplicate copy of the letter within 7 working days
duly Accepted, Stamped and Signed by Authorized in token of acceptance.
The successful bidder shall be required to enter into a contract with the SBIIT, within 15 days of
the award of the tender or within such extended period as may be decided by the SBIIT along
with the letter of acceptance, and other terms and conditions as may be determined by the SBIIT
to be necessary for the due performance of the work in accordance with the Bid and acceptance
thereof.
13.Subcontracting THE VENDOR will not without the prior written consent of SBIIT subcontract or permit anyone
other than THE VENDOR personnel to perform any of the work , services or other performance
required of THE VENDOR under this agreement
14.Cancellation of Contract The SBIIT shall have the right to cancel the contract with the selected bidder at any time during
the contract period, by giving a written notice of at least one (1) month, without assigning any
reason.
15.Liquidating Damages
If contract fails to perform services as mutually agreed the SBIIT shall, without prejudice to its
other remedies under the contract, deduct from the contract price, as liquidated damages, a sum
equivalent up to 3% of the bill amount.
16.ARBITRATION:
All disputes and differences of any kind whatever arising out of or in connection with this
Agreement shall be referred to arbitration. The arbitrator may be appointed by both the parties or
in case of disagreement each party may appoint an arbitrator and each arbitrator will appoint third
arbitrator and majority decision of the arbitrators shall be final; and binding on both the parties.
Such arbitration to be governed by the provisions of arbitration act and Reconciliation act 1996
as amended by state of Andhra Pradesh, Hyderabad. Any legal issues will be resolved within the
legal Jurisdiction of Hyderabad
17.Period of Contract:
Initial period of the contract is One (1) year from the date specified in the Agreement of AMC
Contract. After one year from the date of contract, the performance of the vendor will be reviewed
by a committee formed for this purpose. Based on the recommendations of such committee only,
continuation of the contract for a further period will be decided.
After initial contract period of one year the contract may be renewed on the same rates, terms
and conditions for a further period of one year, at the discretion of the SBIIT.

18. Commencement Period:
The work has to be commenced from the date specified in the Agreement. If the Vendor delays
the commencement of the work for more than 7 days the SBIIT will be at liberty to cancel the
award of contract without giving any notice. Failure to commence the contract within the above
period will lead to forfeiture of the EMD amount.
19. Manpower, Wages, etc.
19.1 THE vendor shall place 2 (Two) exclusive resident qualified Engineers at SBIIT,
Hyderabad. The Engineers will be reporting to the Chief Manager, (Systems) SBIIT at 9.15
am, on all the working days and on holidays, if warranted. The time may be adjusted in case
of exigencies. SBIIT can interview the Engineers in order to check the competency levels to
handle the required work at SBIIT. In case SBIIT feels the replacement of any of the Engineers
at any point of time on reasonable grounds the VENDOR will do accordingly. The Vendor
cannot remove/replace the engineers placed without acceptance of SBIIT and not showing
suitable ground(s). Please note that being an IT Training Institute the engineers need to
handle considerably technical allied time bounded jobs.
19.2 The vendor should ensure to comply with all the provisions of Labour Act / State /Central
Govt. Agreed procedures. The Vendor shall be solely responsible for compliance of
provisions of Various labour and industrial laws and all statutory obligations such as minimum
wages as per Central Govt. Rules, allowances, compensations, EPF, Bonus, gratuity,
Insurance, ESIC, etc. relating to personnel engaged by them. The SBIIT shall have no liability
in this regard.
19.3 All personnel provided by the Vendor will be on the payrolls of the Vendor / Vendor and
there will be no Employee and Employer relationship between the personnel engaged by the
Vendor and the SBIIT. The Vendor will not sub-contract or permit any other person to perform
any of the work or services agreed to without prior written permission from the SBIIT.
19.4 The Vendor shall ensure the availability of a reliever for weekly off and a substitute is
provided if a person is absent. Vendor’s personnel or their family members shall not be
allowed to stay / reside in the premises of SBIIT. The documents related to submission of
EPF, ESIC, salary paid, etc., to the respective statutory bodies has to be submitted on
demand by the SBIIT.
20. Safety, Security, etc.
That the SBIIT shall not be liable for any compensation in case of any fatal injury / death caused
to any of the vendor’s employees while performing / discharging their duties/ visiting SBIIT’s
premises for inspection or otherwise. The vendor shall alone be fully responsible for safety and
security & insurance or life insurance of their personnel who are engaged for maintenance work.
In no case, safety norms shall be violated.

The vendor agrees that its personnel shall comply with security regulations in effect from time to
time at SBIIT’s premises. The vendor alone shall be fully responsible for safety and security &
insurance or life insurance of their personnel.
The vendor shall be responsible for the good conduct and performance on the part of his
personnel and the vendor shall be deemed, for all legal and contractual purposes, the employer
of the said personnel engaged by him and such persons shall not have any claim for employment
in the SBIIT in whatsoever and howsoever manner or in any connection therewith against SBIIT
now or at a future date. The vendor will at the request of the authorized officer of the SBIIT /
Establishment will remove from the work place any person engaged by him for the services, who
may be unsuitable or incompetent or whose conduct is not trustworthy or who misbehaves and /
or is not courteous/not polite with the employees of the SBIIT or it’s customers. The vendor should
undertake to thoroughly verify the antecedents, addresses, qualifications, character, family
background and technical qualification of its personnel.
21. Termination of the Contract
The contract shall be terminated by expiry of contract period or earlier, by one month's notice at
the option of the Institute. The Vendor shall have the option to terminate the agreement after
giving three months’ notice to the Institute of such termination.
22. Force Majeure
Neither party shall be liable for delay in performing obligations or for failure to perform obligation if at he
delay or failure results from any of the following (whether happening in India or elsewhere) force majeure
Act of God or any government act, fire, earthquake, explosion , accident, industrial dispute, civil
commotion, or anything beyond the control of either party. The parties shall use all reasonable endeavours
to minimize any such delay. Upon cessation of the event giving rise to the delay the parties shall in so far
as may be practicable under the obligation hereunder notwithstanding the forgoing if any of the above
mentioned event shall preclude THE VENDOR from meeting any or all of its obligations hereunder, for a
period of more 3 (three) months form the date of occurrence of such act, it shall be open to either party to
rescind this contract by giving 1 (one) months’ notice
23. Signing of Agreement of Maintenance Contract
This RFP document shall be the basis for the Maintenance Contract Agreement to be entered
into with the successful bidder and the offer shall be strictly in line with the terms specified herein.
No deviation from the terms and conditions specified shall be acceptable. For this purpose, the
tenderer shall submit all the documents as specified in this tender duly signed and stamped on
each page as a token of acceptance.
24. Bid price:
The rates offered by the Vendor shall remain unchanged throughout the period of contract.
25. Costs of Agreement:
The Vendor shall bear all the costs and expenses in respect of all charges, including stamp duty,
registration etc. of agreement and / or any other documents / agreements, which are required to
be executed.

26. Method of Payment of Monthly Bills to Vendor:
Payment shall be made in arrears by the Institute by means of affording credit to Vendor’s account
for agreed price at agreed time interval after deducting any applicable dues and taxes applicable.
27. Scope of Work:
27.1 During the term of this Agreement THE VENDOR agrees to maintain the Hardware Items
referred in Annexure A-Q (EQUIPMENT) in good working order and for this purpose will provide the
following Repair and Maintenance Service:
27.2 THE VENDOR shall correct any faults and failures in the EQUIPMENT and shall repair
and replace worn-out or defective parts of the EQUIPMENT during SBIIT’s normal local
working hours/after working hours on all working days/Sundays/ Holidays. In cases where
unserviceable parts of the EQUIPMENT needs replacement THE VENDOR shall replace
such parts, at no extra cost to SBIIT with brand new parts or those equivalent to new parts in
performance, provided that if THE VENDOR is required to replace consumables being Printer
Heads, Ribbons, Cartridges, Floppy disks, Printer bands, LaserJet Fusers, Laptop Batteries,
Projector Lamps, LCD Panels of TFT Monitors, Network Cabling etc. these will incur an
additional charge as per procurement price in case SBIIT will arrange same will be installed
by the VENDOR for free of cost. THE VENDOR is effecting any such replacement shall not
remove the EQUIPMENT or any part of parts thereof until THE VENDOR is ready to move in
EQUIPMENT to replace it. If the replaced part or parts are not identical in all respects to the
part replaced, THE VENDOR shall inform SBIIT in writing at the time of such replacement.
SBIIT in such case have the rights to request THE VENDOR to replace the parts with the
original compatible parts only and THE VENDOR shall comply with such requests forth with.
27.3 THE VENDOR shall place two exclusive resident qualified Engineers at SBIIT,
Hyderabad as part of contract no separate payment will be made to them by SBIIT. The
Engineers will be reporting to the Chief Manager, (Systems) SBIIT at 9.15 am, on all the
working days and on holidays, if warranted. The time may be adjusted in case of exigencies.
SBIIT can interview the Engineers in order to check the competency levels to handle the
required work at SBIIT. In case SBIIT feels the replacement of any of the Engineers at any
point of time on reasonable grounds the VENDOR will do accordingly. The VENDOR will held
responsible for the all labour/ any law and statutory related issues of the resident Engineers.
27.4 THE VENDOR shall ensure that the faults and failures intimated by SBIIT as above are
set right immediately. The maximum downtime for any device will be 24hrs. In case the repair
time is more than specified the vendor need to replace the device with workable one till the
original device got repaired and bring back
27.5 Preventive Maintenance: THE VENDOR shall conduct preventive maintenance
(including but not limited to inspection, testing, satisfactory execution of all diagnostics,
cleaning and removal of dust and dirt from the interior of the EQUIPMENT, and necessary
repairing of the EQUIPMENT) once within the first 15 days of the commencement of the
maintenance period and once within the first 15 days of every subsequent quarter during the
SBIIT, HYD. RFP FOR SYSTEMS HARDWARE ANNUAL MAINTENANCE CONTRACT 2018-19 Page 11 of 15
concurrency of this agreement, on a day and at a time to be mutually agreed upon.
Notwithstanding the foregoing, THE VENDOR recognizes SBIIT’s operational needs and
agrees that SBIIT shall have the right to require THE VENDOR to adjourn preventive
maintenance from any scheduled time to a date and time, not later than fifteen working days
thereafter..
27.6 All Engineering changes generally adopted hereafter by THE VENDOR for equipment
similar to that covered by this Agreement, shall be made to the equipment at no cost to SBIIT.
27.7 All repair and maintenance service described herein shall be performed by qualified
maintenance engineers totally familiar with the EQUIPMENT.
27.8 THE VENDOR shall maintain at SBIIT’s site a written maintenance and repair log; and
shall record therein each incident of EQUIPMENT malfunction, date and time of
commencement and successful completion of repair work and nature of repair work
performed on the EQUIPMENT together with the description of the malfunction or as a
regularly scheduled preventive maintenance. SBIIT shall also record the nature of faults and
failures observed in the EQUIPMENT, the date and time of their occurrence and the date and
time of their communication to THE VENDOR.
27.9 Any worn-out or defective parts withdrawn from the equipment and replaced by THE
VENDOR shall become the property of THE VENDOR and the parts replacing the withdrawn
parts shall become the property of SBIIT.THE Vendor’s maintenance personnel shall, subject
to clause herein, be given access to the EQUIPMENT when necessary, for purposes of
performing the repair and maintenance services indicated in this Agreement.
27.10 SBIIT shall arrange to maintain appropriate environmental conditions, such as those
relating to space, temperature, power supply and dust to within the acceptable limits required
for equipment similar to that covered by this agreement. All the devices at the Institute will be
operated by well-trained officials only.
27.11 No term or provision here of shall be deemed waived and no breach excuses, unless
such waive or consent shall be in writing and signed by the party claimed to have waived or
consented. Any consent by any party to, or waiver of a breach by the other whether express
or implied, shall not constitute a consent to, or waiver of, of excuse for any other, different or
subsequent breach.
28. Penalty Clause:
In case the Vendor, or any of his/her employees, fails to fulfil his obligations for any day or any
number of days, to the satisfaction of the Institute, for any reason whatsoever, Vendor shall pay
by way of liquidated damages as decided by the Institute and the Institute shall without prejudice
to its other rights and remedies, shall be entitled to deduct such damages from the money, if any,
payable to the Vendor. With reference to clause no 27.4 if the services not rendered as specified

in the said clause an amount upto 5 times of the device maintenance cost specified by the vendor
will be levied.
29. CONFDIDENTIALITY:
29.1 THE VENDOR acknowledges that all material and information which has or will come
into its possession or knowledge in connection with the Agreement or the performance hereof,
consists of confidential and proprietary data, whose disclosure to or use by third parties will
be damaging or cause loss to SBIIT. THE VENDOR agrees to hold such material and
information in strictest confidence, not to make use thereof other than for the performance of
this Agreement, to release or disclose it to any other party. THE VENDOR agrees to take
appropriate action with respect to its employees to ensure that the obligations of non-use and
non-disclosure of confidential information under this agreement is fully satisfied and if any
loss to the bank by such acts of the employees of the vendor, the Vendor undertakes to
indemnify the SBIIT.
29.2 SBIIT acknowledges that all material and information which has or will or into its
possession or knowledge in connection with this Agreement or the performance thereof,
consists of confidential and proprietary data, whose disclosure to or use by third parties will
be damaging or cause loss to THE vendor agrees to hold such materials and information in
strictest confidence not to make use thereof other than for the performance of this agreement,
to release it only to employees requiring such information and not to release or disclose it to
any other party. SBIIT agrees to take appropriate action with respect to its employees to
ensure that the obligation of non-use and non-disclosure of confidential information under this
agreement is fully satisfied.
30. LIABILITY AND INDEMNITIES:
30.1 THE CIOMPANY represents and warrants that the repair and maintenance
service/products hereby sold do not violate or infringe upon any patent, copy right, trade
secret or other property right of any other person or other entity. THE VENDOR agrees that
it will, and hereby does, indemnify SBIIT from any claim, directly or indirectly resulting from
or arising out of any breach or claimed breach of this warranty.
30.2 THE VENDOR shall be responsible for any direct or indirect or consequential losses out
of any failure in the EQUIPMENT.
31. BUSINESS TERMINTION:
In the event that THE Vendor (COMPANY) shall cease conducting business in the normal course,
or windup, make a general assignment for the benefit of creditors, suffer or permit the appointment
of a receiver for its business or assets or shall avail itself of, or become subject to, any proceeding
under any act or statute of any country or state relating to insolvency or the protection of rights of
creditors, then (at the option of SBIIT notwithstanding period of contract) this Agreement shall
terminate and be of no further force and effect and any property or tights of such other party,
tangible or intangible, shall forthwith be returned to it. In which case the performance guarantee
can be invoked by the SBIIT.
