BOD MEETING MINUTES

1. 11-9-16 Teleconference Minutes f. ACTION REQUIRED – MOTION—Dorothy Korszen made a motion to

accept the consent agenda, Jennifer seconded it and the motion carried.

IV. Mission Moment BP Oil Spill Settlement, Dorothy Korszen a. Dorothy explained the issue and our offer and acceptance of $469,731

on or before January 15, 2017. She said 39 of her clients accepted their settlement out of 40 and only one wanted to ignore the offer and stay with the claim.

b. We decided it may be too long to wait it out and too difficult to come up with documents requested in a short time period with employee changes in our accounting office. And it will be easier to fund raise for the capital campaign if we have a good amount to start with.

c. Cathy and the entire board thanked Dorothy for work and for absorbing the accounting fees.

are in a very competitive market place in our community and we need something that make us different from rest.

xii. We will discuss with Resource & Development Committee and come to the January 25, 2017 meeting with a board proposal.

V. Governance with Dorothy Korszen

a. New BOD Member for vote: Mark Morin; i. Dorothy reviewed his excellent resume with the board including,

IBM retiree and Ad Litem volunteer work which is incredibly noteworthy.

ii. Chris Romine made a motion to approve Mark Morin as a new board, Rick Hager seconded it and all were in favor. Chris Romine will mentor Mark.

iii. Other Suggestions for Board Membership Discussion 1. Venice - 2

a. Cathy Kuhlman will speak with David Dignam who knows many local people

b. Dorothy Korszen will speak with Bob Klingbeil whose sons went to SCF and his wife on VPOPs committee

c. If these two are not interested, the board will approach Ed Campbell, Jr.

2. Sarasota a. Dianne Anderson—hard worker, involved, avenues

committee and would be first choice b. Shay Atlura—delightful, young, moved his company

here from values colleges, toured Venice campus re Gator Engineering Den

c. Lowe Morrison – knew nothing about us, involved with Mote, Sabal Trust, interested in colleges

3. North Sarasota a. Paul Tarantino is on our Asset Management

Committee with Mike Fuller.

b. Rose-Anne Franco, William Parker Estate planning; she turned us down once. Cassandra will approach her first.

4. Bradenton: a. Dr. Tinsworth loves the dental hygiene program and is

chair of Kiwanis Foundation Board b. Chris Pennewill would be a good fit, but drives to

Tampa daily. c. Phill Baker on our Avenues Committee and with Boyd

Insurance. 5. Lakewood Ranch

a. Barbara Najmy with Michael Saunders and Cassandra will speak with her after the holidays.

b. Chris Romine will look for other names. b. Accountant Search: 2nd person we offered it to decided she only wanted

to work part time so search is starting again. c. Website Portal Update: Everyone likes the new Board Member Portal

and found it convenient to use.

VI. Old Business a. Audit Discussion

i. Cassandra reported the date changes on the audit 1. January 4th – Audit Committee Review 9AM 2. Director questions are solicited & answered 3. January 11th – 990 Audit Committee Review 4. Director questions are solicited & answered 5. January 18th – Board of Director Packet Sent to Directors 6. Included Audit Report & 990 7. January 25th – Board of Director Meeting & Motion 8. Then SCFF Audit Report & 990 are include in Trustee

consent agenda for motion to approve 9. February 21, 2017 10. Then SCFF submits to FSC Chancellor’s Office

ii. She noted any questions should go to Chris Romine once audit and 990 draft are released.

b. Scholarship Luncheon, October 5, 2016 results i. Allison reported Donors gave a total of $4,650 ii. IMG had AC issues so it was quite warm, but chosen as convenient

for students who can go back to class after the luncheon. 1. Michaels on East may be a better option next year. It was

noted the Michael Klauber’s son is a student at our collegiate school and may be willing to work with us on price.

2. Also the Polo Grill could be an option. May have to provide transportation if we do leave the area.

iii. Allison reported some of her donors who were not at our free luncheon were at the PACE Luncheon the following day. We may

be making a change in our luncheon if people are willing to pay to attend, by making it more of a fund raiser with sponsorships.

iv. It was noted that Suncoast Credit Union increased their sponsorship by $2,500 for a total of $6,000.

v. Allison explained the term Pass Thru Scholarship, which is a scholarship where the donor (usually a club or organization) chooses their own student and the amount they provide and the money literally passes through the foundation. Allison is doing presentations at some of the larger groups to get them to have scholarship with us instead of pass throughs.

vi. She has a new scholarship from Maury & Diana Kolchaklan ’73 in honor of Dr. George & Sally Spears who was a former English Dean of Education here.

c. Giving Challenge Results, September 22, 2016: $57,000 d. 100% participation from BOD thanks to Rick Hager e. Employee Campaign results—big gaps are with new employees so need

to find a way to capture them. f. Music Excellence Update

i. So far a total of $35,890 (surpassed goal of $34,640) ii. We do need Sponsor cohesiveness and integration ideas for

BSO, Music Excellence and other friends of Music. iii. Have Music Excellence event on Friday, December 2. iv. Have January 19 Music Student Showcase as they are

preparing for state competition. We need ideas for this.

iv. Dr. P. will be meeting with Cutler Construction representatives for more sponsorship. They offered more when they spoke with Jodi Allen at the LLC groundbreaking. Architect is giving more than builder at this time.

technology is to his/her education and workforce. In a recent Gallop poll that only 11% of the students are prepared for the workforce.

iv. Mary Parker, who is 102 years old/young—loves nursing program and has donated $158,000 for the nursing control room at LWR.

v. See PowerPoint for other grants vi. Darlene explained how each foundation prefers different

approaches—some letters of intent, some individual meetings and/or application. She noted it might be helpful to have a student when the Duckwall Foundation is visited.

VIII. New Business: Cassandra Holmes

a. Executive Director Yearly Goals & Objectives: slides were in your packet which is on the Board Member Portal.

b. This year she wants to up the retention rate of current donors which is at 47%, which is 4% better than current average.

c. Chris Romine mentioned the most philanthropic zip codes from our area is Venice, then Bradenton, then Palmetto. She noted Bradenton has been very difficult to get new donors.

d. Need volunteers to introduce Sundays at Neel performances. e. Send positive thoughts to Mike Fuller regarding his Dad’s accident.

I. President Chris Pfahler called the meeting to order at 3:40 p.m. She welcome Victoria Stultz to her first BOD Meeting and noted new BOD Member, Lois Lucek is out of town.

f. Jennifer Michell made a motion to accept the consent agenda and Cathy Kuhlman seconded it and the motion carried.

IV. Reflections from Dr. Probstfeld a. State College of Florida, Manatee-Sarasota, has been awarded a

Strengthening Institutions Program Grant from the U.S. Department of Education. Also known as a Title III grant, this five-year grant is focused on increasing student success and begins Oct. 1, 2016. SCF is one of three Florida College System institutions to receive a Title III grant this year, and will receive $447,614 in each of the five years for a total of $2,238,070. This grant has the potential to have a very positive impact on our students and our institution.

b. She reported the SCF Faculty have voted to unionize. c. Dr. Richard Barnhouse has been hired as a new VP for Strategic Enrollment

Management. He has Title III grant experience and plans to “eliminate funnel rash” (bad customer experiences) for our students and improve their process.

d. She noted we kicked off our 60th anniversary today on all campuses which will be a yearlong celebration.

e. Please check SCF website on Thursday for Throw Back Thursdays.

V. Governance: Dorothy Korszen a. Dorothy welcomed the following new officers and thanked them:

i. President/Chair: Cathy Kuhlman (eleventh year on the Board) ii. Vice President/Vice Chair: Mike Fuller on also on Asset Committee iii. Treasurer: Lisa Bristow iv. Secretary: Cassandra Holmes

b. She welcome New BOD Members: i. Lois Lucek (Pam Swain will be her mentor) ii. Victoria Stultz (Dorothy Korszen volunteered to be mentor) iii. She welcomed June Phillips our new Foundation Specialist or Director of

First Impressions. iv. She welcomed Erica Wuorio our new Alumni Coordinator and noted Erica

assisted with over $50,000 in donation on Tuesday’s Giving Challenge.

c. Our new SCFF Website BOD Portal www.scf-foundation.org is finally up and running. Board packet materials will be added to the portal one week before each meeting

d. SCFF Conflict of Interest Forms need to be signed and returned to Brenda. e. Honoring BOD Members Chris Pfahler & Ed Nicholas termed out and leaving

the board—we shall miss you both! i. We had the ceremonial passing of the gavel from President Chris Pfahler

to new President Cathy Kuhlman. We honored Chris Pfahler who is termed out at this time for being our president and longtime BOD Member. She noted this was her first board experience and SCFF holds a special place in her heart.

ii. Ed Nicholas has been on the board for nine years and is now termed out. He noted it has been a privilege and honor to be on the board and feels he is leaving it in good hands. He noted the first order of the board is to raise money and he has always had the best interest of the board in mind.

VI. SCFF Strategic Calendar

a. Pam Swain made the motion to accept the tentative calendar, Lisa Bristow seconded and the motion carried.

b. Cassandra reported the compressed Audit timeline with the goal to get our 990 and audit to BOT by December 6 so we will be fully prepared and ready to fund raise in the New Year. Audit Committee will meet November 9 & 21. (Unfortunately, this was changed due to unforeseen circumstances that has slowed the process and Audit meetings will be January 4 & 11, 2017.)

c. Allison Nash invited all to attend one of the performances of GREASE (October 21 - 23) to see Cassandra in her debut production as Patty.

VII. SCFF Portfolio Performance by Mike Fuller, Chairman of Asset Management

Committee a. The Asset Management Committee recommends the spending policy effective

rate at 4.15% which was previously at 4.6%. However, the 4.15% is the prudent thing to do so we can maintain purchasing power, absorb inflation cost and have enough money to give back to the college. This will also keep our investments in perpetuity. Dorothy Korszen made the motion to accept the spending policy at 4.15%; Lisa Bristow seconded the motion and the motion carried.

b. During our last Asset Management meeting, we reviewed the performance of SEI and decided at this time we would stay with them and not complete an RFP at this time. They are very supportive of our events, have much historical information and doing a great job even with our catholic foundation restricted funds. The last RFP was five years ago and committee agreed we would not do one right now but review SEI performance annually. Cassandra will email Astrid Rau and Glenn Harris’ bio to the board.

VIII. 2016-2017 Budget a. The board agreed they were comfortable with the $4,000 get or give

commitment for the next fiscal year.

b. Jamie Smith, Director of Creative Services and Marketing reviewed our Marketing Budget of $60,000 and noted it is a good amount at this time. She said is it low considering our managed funds, but way better than last year. People need to know we exist and she has recommended an integrative approach, using all channels to get the message out. She noted radio has a great reach and volume with baby boomers and played examples of radio ads for the meeting. The Finance Committee has recommended this budget.

c. Cassandra noted we are trying to get accrual basis for month by month to know where we are financially. This should alleviate some of what Mauldin and Jenkins are doing.

d. Mike Fuller made the motion to accept the budget, Jennifer Michell seconded it and the motion carried.

IX. 2015-2016 Results & Celebration, Cassandra Holmes

a. Cassandra reported Board Leadership is at 100% participation in goals and giving challenge. Since we exceeded our get and give goal by $1,000 per Board Member, it has been increased to $4,200 vs. $3,200 each for this year

b. We exceeded our goal on the Giving Challenge with a total of $57,975 with 100% BOT & BOD participation. She noted Trustee Hager did an excellent job and reported he is now Chairman of BOT, but will still be our BOT liaison.

c. Cassandra noted we needed to decide where to place the $347,000 BOD Fund raising results. Lisa Bristow suggested we use the funds for capital projects, but not specify which one at this time to allow donors to support their favorite. Dorothy Korszen made a motion to use the money for capital projects, with no specification on which one; Pam Swain seconded the motion and the motion carried.

X. Scholarship Luncheon, October 5, 2016, Allison Nash

a. Allison invited all BOD members to attend and noted the extra invitations on desks for someone you might want to bring to the luncheon. She noted this is the Suncoast Credit Union’s 16th year of sponsorship and are at $6,000 this year. Please thank them during the luncheon.

b. Table Captains specific jobs during the luncheon: i. As host, please welcome all guests and talk to them as to why you support

SCF. Introduce yourself and encourage conversation and above all thank donors for their current and past support.

ii. Please do not give out Scholarship Pins until Dr. Probstfeld makes the announcement.

iii. Now practice asking here. Bring out your check book and show your example. Our goal is $5,000. We will have extra cards on the tables. With all of the student stories and excitement this is the easiest time to make an ask

4. Dr. George and Sally Spears Scholarship – Merit based for student with financial need

XI. New Avenues this year: a. New name: Avenues to the Future to include all aspects of the college, not

just art this year. b. We will not have an event planner this year but will have Bill Murphy & Phill

Baker as co-chairs. c. Pam would like to have more ideas and suggestions and students to assist. d. Please encourage people to think about getting a table for family, coworkers,

your child’s school, purchasing a table fill with community service personnel, police, fire, etc.

e. There are Avenues’ Packets on your table for sponsorship which also includes a case to support college, committee member list, etc. Auction items include a house in North Carolina donated for a stay from one of Pam’s friends, birthday party at the farm for 40 children and many other new items.

Asset Management Committee Meeting AGENDA 8:30 A.M., Wednesday, October 19, 2016 Selby Room, CIT, SCF Lakewood Ranch

Present: Cassandra Holmes, Brian Watterson, Mike Fuller, Jennifer Michell, Raul Elizalde, Glenn Harris, Tim Videnka, Cathy Kuhlman, Paul Tarantino

I. Mike Fuller called the meeting to order at 8:40 a.m. II. Adjustments to the Agenda—Discuss Bon Secours Discussion

a. Raul Elizalde reviewed the Venice Bon Secours document (see attached document). He feels all matching money should go into the fund and the foundation should invest the funds in ethical standards. He noted article 4 management fees—says one time only fee for management which has already happened.

b. The Committee agrees matching money was to be part of it and no restrictions on asset allocation other than socially responsibility. As Catholic Diocese changes over time we still must live by intent of donor. Mike Fuller noted the one-time fee is not reasonable as money cannot be management that way over time. The Foundation has to pay for management of the assets.

c. Cassandra noted if this is true we may need to discuss the Marie Vail bequest.

d. It was decided we would have Steve Prouty, SCF General Counsel review the document and report at our next Asset Committee Meeting on January 18, 2017. It was noted that Steve may have been on the Board at the time as well. Mike noted this also enhances due diligence of this committee.

III. Old business a. Approval of August 24, 2016 minutes: Brian Watterson made a

motion to accept the minutes, Cathy Kuhlman seconded the motion and the motion carried.

b. More Bon Secours discussion i. Glenn reported he did not feel we had been financially

penalized because of using socially responsible funds as on average over 10 years it increased over 20 basis points net. He believes it has had minimal impact over the short time as well. Neither does he see any significant drag over the long haul and believes we should stay true to the mission.

ii. Interest rates over last few years have been low so if they do rise, a larger proportion of Venice funds might detract from the portfolio, but the lowest we can go for Venice pool is 35. Cassandra asked if 10 years ago the committee input, would have affected this fund; Glenn will track, but thought it was minimal if any.

iii. Target goal was 60/40 which is a fair mix and have tried to keep at 50. Glenn noted it protects committee down the

road if we have flexibility. iv. Mike agreed we are doing the correct thing. v. Next meeting we will review investment policy and have

Steve Prouty review the legal aspects of the Bon Secours document.

IV. Glenn SEI Report a. Page 2 & 3 summarize info papers videos, coming events of

interest; strategic asset allocation video may be of interest by Ryan Schneck, Director of Client Portfolio Strategies.

b. Page 4 is the new website information; Glenn noted he can add a link for committee access. Please email Glenn to arrange individual logons.

c. Fiscal year ended on September 30, 2016. Cassandra noted the BOD accomplished their goal of $1.9 million and the goal this year is $2 million which includes all our fundraising events, scholarships, etc.

d. Page 5 is Executive Summary e. Past year very interesting up 4.7% quarter return; Venice is 4.9%

endowed 7 ¼. Emergency markets and international had very good run. Equities 5.4% increase for the quarter. Our fiscal year may be higher as this is from June 30. Hedge fund had positive return of 4.5%; private real estate bet 1.75 and 2.5, which should give us a higher return at end of year.

f. Page 7 shows risks environment—all generating strong returns except commodities.

g. Page 8 markets responded favorably because of Brexit vote so people purchased value stocks expecting higher returns later. Value has finally outpaced volatility.

h. Expect interest rates to continue low at 2 or 2 ¼. Glenn noted if fed raises rates there could be a recession.

i. Page 9 reviews the Central Bank Policy. j. Page 8 review high confidence in holding equities as SEI does not

believe there will be recession. Gradual level of growth of next few years is expected. Expect in the future more managers exceed their benchmarks page 11. Significant exposure to about 50/50, large, mid and small cap; half active, half passive.

k. Defensive stocks global select equity stocks are now available for United States and have been in Europe for a while.

l. Agenda items for next meeting include emerging markets with global prospective.

m. Page 15 summarizes assets; Glenn noted fixed income has been aggressive;

n. Fees will come down dramatically in 2018 because of distribution of capitol.

o. Glenn noted a very strong performance with diversification adding value.

V. Front line news from Cassandra Holmes

a. Cassandra reported on a very successful October 3 New Library groundbreaking with many BOD Members, BOT, builder, architect and several community members in attendance. She noted it will be a very high-tech building with only 25% books. It is scheduled to open January 2018. Currently, the foundation has raised 40% of the $1 million for the interior items.

b. Avenues to the Future will be a different event this year and will include participation by Siesta Key Rum Distillery, Disney tickets, staycations, and restaurants. It will also include more college departments, not just art department and will end with a fireworks display and all will be in conjunction with our 60th anniversary celebration.

c. Evening Under the Stars is April 1, 2017. d. Cassandra thanked everyone for their time and support of our

11-9-16 Teleconference RE: BP Claim

Present: Dorothy Korszen, Lisa Bristow, Cassandra Holmes, George Williamson (from Farr Law Firm), Josh (Accountant & Expert), Cathy Kuhlman, Brenda Boynton (note taker).

Special Note: As a requirement of this offer, you are not allowed to share or forward these meeting minutes. See sealed notice.

We have received an offer from BP Claims and have until next Tuesday, November 15 to accept it. They are offering $626,308 and will pay by January 15, 2017 or up to $3.5 million if we ignore current offer and wait out settlement which may be up to three years or longer. With that option, we risk our claim being denied and receiving nothing up to $3.5 million. Farr Law firm takes up to 30% off the top for their work which equals $438,415. Some thought we might get $2,200,000 which is $1,540,000 after fees.

Much detail work will have to be completed if we continue with the claim. All numbers must be verified and matched with documents. Our numbers from May through July 2011 and 2010 are what qualifies us. Our revenue went down in 2010 vs 2009, 2008 and 2007. However, we must be 100% confident that our number were reported in the correct month. January through April doesn’t matter but if earned in May could be an issue. The claims center wants all documentation for matched information. We must be able to back up all information, supply contracts, receipts. We are to concentrate on 2007 through 2011. If we cannot do that they may deny it and throw out as unreliable. There is no leeway to be incorrect and we must be confident that our documentation is reliable. Josh was concerned about outlying single events and quarterly administrative fees and we have to tie all cash to accruals. Lisa Bristow noted her clients’ earlier claims went through much easier than now.

Josh ran our numbers through special accounting software and divided revenue by 12 as if equal through the year and our claim popped out at $3.1 million. He noted claims department may back out our investment income so will be just donations.

Cassandra will interview Ron McDonough, our previous accountant for his confidence level. We could hire college accountants or others to assist, but they must know what they are looking for. EMERGENCY BOD MEETING RE BP OIL SPILL SETTLEMENT Selby Room, CIT Building, Lakewood Ranch Campus

PRESENT: Rick Hager, Cathy Kuhlman, Jennifer Saslaw, Pam Swain, Lisa Bristow, Dorothy Kuhlman, Jodi Allen, Cassandra Holmes, Brenda Boynton ABSENT: Mike Fuller, Lois Lucek, Dr. Probstfeld, Chis Romine, Victoria Stultz Cathy Kuhlman called the meeting to order at 9:23 a.m. Dorothy Korszen provided a brief history: After 2010 spill BP agreed to settlement paying out claims. Companies have to calculate revenue loss because of the spill and prove numbers only. They are using a like 3 month period for 2007, 2008 and 2009. George Williamson, an attorney in Farr Law Firm has been the attorney of record regarding these claims. Ten days ago they started offering expedited settlements. They have determined ours to be $626,308 and the deadline tomorrow, November 15, 2016. If we accept, we receive a check January 15, 2017. Dorothy noted we have had a CPA review the number and use special software for verification and create a spreadsheet with our financials. If we do not accept the offer by tomorrow, we will still be part of the claims process and may be able to get up to $3,500,000 in the regular pipeline. We have had two, one-hour long telephone conversation with CPA Josh and George Williamson. However, we do have outlying issues regarding the state match program; in-kind revenue, administrative fees, sponsorships, and accrual inconsistencies. If we are not able to answer the questions that may arise with these issues and provide backup documentation within a short period of time—3 days record request, we can lose the whole amount, be placed on the bottom of the pile, or receive a reduced amount. Since we currently have an interim accountant with possible hire on January 1, 2017, we would have to hire Ron McDonough (or like accountant if he is not available) to review the information and provide quick response. We have to be aware of the risks involved as well as staff time, finding supporting documents involved. We also need to determine the time value of money and fees involved including attorneys, CPA’s, etc. Dorothy Korszen has graciously agreed to absorb $18,000 in her costs so fee will be 25%, and we will receive $469,731. Lisa Bristow reported confidentially New College accepted their offer. We operate in the sunshine laws but this process is a sealed confidential discussion. Rick Hager made motion to accept the offer as submitted, Pam Swain seconded, and the motion carried. All voted yes except Dorothy Korszen as it was a difficult decision for her to make. It was noted it is easier to write grants if we use this money for Studio for the Performing Arts (SPA). Grantees like to know that organizations already have a good financial start

Maury & Diana Kolchakian '73 recently created a Scholarship in honor of former English Dean George Spears and his wife Sally. Dr. George & Sally Spears had a huge impact on these two MJC Grads, and they wanted to honor this former Dean of English.They were very generous and sincerely wanted to help young people. Dr. Spears had a passion for helping students who had the desire to learn from his wisdom, said Mr. Kolchakian. Diana and I were like "family" and we even named our son Griffin Spears Kolchakian in their honor.Maury Kolchakian will be the Alumni Speaker at this year’s Fall Graduation on December 16.

• SCF will ring in the holiday season with a performance of Handel’s “Messiah” at 8 p.m. Friday, Dec. 2, in SCF’s Neel Performing Arts Center. General admission is $15.

• SCF will offer Introduction to Physical Anthropology with a lab for the first time in Spring 2017. The 4-credit-hour course, which will focus on how humans become human, will begin Feb. 9. Sandra Forney, who has completed archaeological field work in Italy, China, Russia and the U.S., will teach the class.

• Spring Registration: In-state freshmen and sophomores, $102.48 per credit hour and baccalaureate degree-seekers, in-state tuition and fees total $112.08 per credit hour. SCF offers a variety of payment options, including gift cards (a great Christmas present) and a tuition payment plan.

• Our Model United Nations team just won a team award and one individual award at SRMUN 2016 Atlanta conference. Our team, consisting of 8 students from across our campuses and including three SCFCS students, featured Alyssa Amos, Juliana Arias, Lucas Broems, Heather Mazer, Hanna Nussair, Kyle Pearson, Carol Sakowitz, and John Thompson.

• The Workforce Solutions of SCF offers affordable, non credit customized training and professional development to local workers and their employers delivered at an employees worksite which include diverse industries, such as manufacturing, construction and nonprofits, including the Sarasota County Sheriff’s Office, Sterling Manufacturing, Children First, Inc., and Village on the Isle.

• The Ralph S. French Charitable Foundation has donated $25,000 to SCFF to be used for the new Library & Learning Center. The French Foundation was established to support organizations that educate and empower individuals to help themselves and others in need. Ralph S. French was a doctor who owned a home on Anna Maria Island. He believed not only in helping people, but also empowering them to help themselves.

• SCF music students will present a holiday chamber music concert at 7:30 p.m. Thursday, Dec. 8, at SCF’s Neel Performing Arts Center, 5840 26th St. W. Several of SCF’s Music Ensembles, including the Guitar Ensemble, Presidential String Quartet, Presidential Jazz Quartet and Brass Quartet, will present a variety of holiday and seasonal music.

• We congratulate 78 students who have been inducted into the SCF Bradenton Nu Zeta Chapter of Phi Theta Kappa, the International Honor Society of two-year colleges. Eligible students must have completed 12 hours of coursework toward an associate’s degree and have a grade point average of at least 3.5.
