CST Greetings, Ford Audio-Video Systems LLC (Ford AV) is grateful for the opportunity to submit our enclosed response to the above referenced RFP # 07-16 for your review and consideration. For over 40 years, Ford AV has been providing leading edge technology audio, video, and lighting solutions to a broad base of customers that include, churches, corporations, educational, government, commercial and sporting venue facilities nationwide. Ford AV excels in the design and installation of complex and demanding audio/video systems with projects such as Ericsson Stadium in Charlotte, N.C., U.S. House of Representatives in Washington, D.C. and Mt. Rushmore’s Visitor Center in South Dakota as evidence of our organizations expertise. Ford AV has obtained contractor licenses in more than 20 states and we routinely manage 50-60 projects simultaneously, completing more than 600 installations each year. No matter the size or scope of the project, Ford AV has the capability to provide state of the art audio/video solutions. The utilization of video technology in the education sector as increased significantly over the past few years and as budgets allow many school districts are upgrading their system capabilities to provide their students with the best possible tools to be successful. Video technology in the classroom benefits both the students and the teacher’s, it keeps the students actively engaged in learning and provides a tool for the teachers to be more effective and efficient in their daily responsibilities. Ford AV offers the latest audio/video technology to meet our customer’s specific requirements and is excited for the potential opportunities that may develop as a selected Region 14 ESC/NCPA approved contracted vendor. We have prepared our enclosed response to RFP # 07-16 for consideration and look forward to working with Region 14 ESC/NCPA cooperative membership base and establish long term partnerships in servicing their audio and video equipment needs. Ø ThetermForceMajeureasemployedherein,shallmeanactsofGod,strikes,lockouts,orotherindustrialdisturbances,actofpublicenemy,ordersofanykindofgovernmentoftheUnitedStatesoranycivilormilitaryauthority;insurrections;riots;epidemics;landslides;lighting;earthquake;fires;hurricanes;storms;floods;washouts;droughts;arrests;restraintofgovernmentandpeople;civildisturbances;explosions,breakageoraccidentstomachinery,pipelinesorcanals,orothercausesnotreasonablywithinthecontrolofthepartyclaimingsuchinability.Itisunderstoodandagreedthatthesettlementofstrikesandlockoutsshallbeentirelywithinthediscretionofthepartyhavingthedifficulty,andthattheaboverequirementthatanyForceMajeureshallberemediedwithallreasonabledispatchshallnotrequirethesettlementofstrikesandlockoutsbyaccedingtothedemandsoftheopposingpartyorpartieswhensuchsettlementisunfavorableinthejudgmentofthepartyhavingthedifficulty

♦ PrevailingWage

Ø ItshallbetheresponsibilityoftheVendortocomply,whenapplicable,withtheprevailingwagelegislationineffectinthejurisdictionofthepurchaser.ItshallfurtherbetheresponsibilityoftheVendortomonitortheprevailingwageratesasestablishedbytheappropriatedepartmentoflaborforanyincreaseinratesduringthetermofthiscontractandadjustwageratesaccordingly.

Ø Eitherpartymaycancelthiscontractinwholeorinpartbyprovidingwrittennotice.Thecancellationwilltakeeffect30businessdaysaftertheotherpartyreceivesthenoticeofcancellation.Afterthe30thbusinessdayallworkwillceasefollowingcompletionoffinalpurchaseorder.

♦ OpenRecordsPolicyØ BecauseRegion14ESCisagovernmentalentityresponsessubmittedaresubjecttorelease

aspublicinformationaftercontractsareexecuted.Ifavendorbelievesthatitsresponse,orpartsofitsresponse,maybeexemptedfromdisclosure,thevendormustspecifypage-by-pageandline-by-linethepartsoftheresponse,whichitbelieves,areexempt.Inaddition,therespondentmustspecifywhichexception(s)areapplicableandprovidedetailedreasonstosubstantiatetheexception(s).

♦ ContractAdministrationØ ThecontractwillbeadministeredbyRegion14ESC.TheNationalProgramwillbe

administeredbyNCPAonbehalfofRegion14ESC.♦ ContractTerm

therelevantstatutes,ordinances,rulesandregulationsthatgovernitsprocurementpractices.NCPAwillassisttheleadagencyinevaluatingproposals.Recommendationsforcontractawardswillbebasedonmultiplefactors,eachfactorbeingassignedapointvaluebasedonitsimportance.

♦ NCPAAdministrativeAgreementØ ThevendorwillberequiredtoenterandexecutetheNationalCooperativePurchasing

AllianceAdministrationAgreementwithNCPAuponawardwithRegion14ESC.Theagreementestablishestherequirementsofthevendorwithrespecttoanationwidecontracteffort.

♦ Clarifications/Discussions

Ø Region14ESCmayrequestadditionalinformationorclarificationfromanyoftherespondentsafterreviewoftheproposalsreceivedforthesolepurposeofeliminationminorirregularities,informalities,orapparentclericalmistakesintheproposal.Clarificationdoesnotgiverespondentanopportunitytoreviseormodifyitsproposal,excepttotheextentthatcorrectionofapparentclericalmistakesresultsinarevision.Aftertheinitialreceiptofproposals,Region14ESCreservestherighttoconductdiscussionswiththoserespondent’swhoseproposalsaredeterminedtobereasonablysusceptibleofbeingselectedforaward.DiscussionsoccurwhenoralorwrittencommunicationsbetweenRegion14ESCandrespondent’sareconductedforthepurposeclarificationsinvolvinginformationessentialfordeterminingtheacceptabilityofaproposalorthatprovidesrespondentanopportunitytoreviseormodifyitsproposal.Region14ESCwillnotassistrespondentbringitsproposaluptothelevelofotherproposalsthroughdiscussions.Region14ESCwillnotindicatetorespondentacostorpricethatitmustmeettoneitherobtainfurtherconsiderationnorwillitprovideanyinformationaboutotherrespondents’proposalsorprices.

♦ GeneralTermsandConditionsØ TheMasterAgreement,attachedheretoasTab1andincorporatedhereinbyreferenceas

thoughfullysetforthherein,andthetermsandconditionscontainedthereinshallapplytothisAgreementexceptasexpresslychangedormodifiedbythisAgreement.

Ø NCPAshallbeaffordedalloftherights,privilegesandindemnificationsaffordedtoRegion14ESCundertheMasterAgreement,andsuchrights,privilegesandindemnificationsshallaccrueandapplywithequaleffecttoNCPAunderthisAgreementincluding,butnotlimitedto,theVendor’sobligationtoprovideappropriateinsuranceandcertainindemnificationstoRegion14ESC.

Ø Vendorshallperformallduties,responsibilitiesandobligationsrequiredundertheMasterAgreementinthetimeandmannerspecifiedbytheMasterAgreement.

Ø NCPAshallperformallofitsduties,responsibilities,andobligationsasadministratorofpurchasesundertheMasterAgreementassetforthherein,andVendoracknowledgesthatNCPAshallactinthecapacityofadministratorofpurchasesundertheMasterAgreement.

provided,however,thattheobligationtopayallamountsowedbyVendortoNCPAthroughtheterminationofthisAgreementandallindemnificationsaffordedbyVendortoNCPAshallsurvivethetermofthisAgreement.

♦ FeesandReportingØ TheawardedvendorshallelectronicallyprovideNCPAwithadetailedmonthlyor

Project Methodology Overview:

The successful management of a project's engineering and installation processes is founded upon the structure and organization of the Ford AV Job Center which includes: project engineering, project management, in-shop fabrication, installation personnel and job-site supervision. Ford AV project engineers (PEs) and project managers (PMs) are vitally important to the successful completion of the AV system integration process. Our PEs and PMs are also key members of the overall construction project team. They work hand-in-hand with the architect's design consultants and the owner's construction representatives during each critical project phase, from pre-construction through final close-out, to implement appropriate refinements to the system's functionality. This allows a highly coordinated approach to the project installation from both an architectural perspective, as well as a technical one. We have learned that when all members of the project design and construction team work together, the overall result will be a smoother, more coordinated installation schedule that better meets the client's needs. An additional benefit to this collaborative approach to systems integration is that minor design changes may be made early in the project before they become more costly further into the construction process.

1. Project Management Coordination:

Ford AV's Project Management team is experienced interfacing and coordinating with the General Construction process. All of the General Construction infrastructure requirements are carefully documented and coordinated via the submittal drawing process, and reviewed with the General, Electrical, Mechanical, and related trades by our field management personnel. This process ensures that the design concept implemented by the architect, the architect's consultants, and the owner's construction representatives will be installed in a precise and timely manner.

2. Dedicated Project Engineering:

We take great pride in the level of detail our Engineering Center produces for field construction documentation. Every detail necessary to provide a properly coordinated and installed system is thoroughly documented through our meticulous shop drawing process. From simple conduit risers to complicated schematic diagrams; from basic projector mounting details to complex, multi-driver loudspeaker arrays; our highly trained engineering personnel have gained a wealth of experience of successfully meeting the challenges of the ever-increasing complexity of these systems. The drawings and documents they produced by the engineering team become the permanent record for each phase of the installation process. Drawings detailing equipment rack fabrication details, AV millwork, speaker cluster mounting hardware and assemblies, custom plates and panels, customized or modified electronic components and assemblies, wire and cable pulling procedures and documentation, field device installation and termination procedures and requirements, AV control system, GUI interface design, layout, and programming, are representative of the specialized and detailed installation documentation provided by our Project Engineers. 3. Full Time Project and Field Management Personnel: Our full-time project management and job site field management representatives use the field construction drawings to direct the in-shop fabrication and field installation process. Project Managers coordinate and supervise in-shop assembly of all equipment racks, custom plates and panels, custom suspension mounting assemblies, speaker assembly, etc. Our shop assembly and fabrication process simplifies the more customized and tedious aspects of the on-site field installation process. Ford Audio-Video Systems LLC (Ford AV) utilizes a variety of marketing strategies for communicating our organizations experience and capabilities to current and potential customers. With over 40 years of industry experience we have identified which strategies what work best and how to get the best value for our marketing dollars when targeting specific market segments. Our strong industry reputation and proven sales strategies are effective as we have consistently grown our business year over year with revenues in excess of $ 90M in fiscal 2015. If chosen as a selected vendor as a result of our response to RFP # 07-16 – Audio Visual Product and Services, Ford AV will compile a file of comprehensive contract information that is readily available to our field sales team to present to their customers that may utilize the NCPA Cooperative. We will train our sales team with the appropriate tools and understanding on how they can best leverage this contract with their customers. Ford AV takes prides in keeping our employees updated with the latest technology and information so this will be very valuable for our team to be able to identify and secure potential NCPA opportunities. Our marketing team will also establish an initial campaign to notify the NCPA Cooperative membership and our current qualified customers that we have been chosen as a selected vendor. We will identify and cross reference our customer database with the NCPA Cooperative membership list targeting decision makers that may be involved with purchasing audio / visual equipment or projects. We will provide the vetted contact list with information regarding Ford AV’s history, capabilities and highlighting some of our recent successful projects with local school districts, colleges and universities. successfully managing projects from concept through design, installation and completion. We will provide clear and concise information on how to contact Ford AV to initiate discussions on potential projects and how to secure formal project estimates/quotes. . The vast majority of our marketing will be accomplished via email and on-line marketing efforts. We will also look at participating in any tradeshows targeting the NCPA membership. Our goal will be to educate the NCPA membership that choosing Ford AV for their Audio Visual equipment needs is the right choice as we can supply virtually anything they need and we have the proven experience and talent to handle from general basic to the extremely complex professional audio video projects. Describe how you intend to introduce NCPA to your company. Working with our marketing team FAV will make a formal presentation in our weekly organization team meetings to inform our team of the specific details and history of the NCPA and the broad base of customers that are eligible to use their established contracts. Our sales team will also receive regular updates as necessary with information that may impact this cooperative contract and be encouraged to offer it as a potential option when qualifying potential customers and projects. Our sales team is educated on the variety of cooperative contracts we have and to have access to one with the NCPA will give them an additional valuable tool to generate new business. Describe your firm’s capabilities and functionality of your on-line catalog / ordering website. As a commercial AV integrator, Ford AV’s core business is primarily project based and requires a direct hand on approach when working with our customers. Our current on-line presence is an ongoing development project to identifying and implement the best possible programs to support our customer base. At present, we have an online catalog available where customers can search for A/V equipment from over 300 of the A/V industry’s top suppliers that we partner with. Our catalog provides product pictures, specifications and manufacturer’s part numbers. On-line ordering is still in the early design stages as we prefer to deal with our customer’s directly to ensure the equipment they are purchasing meets all of their specific requirements. In regards to customer support, our on-line presence allows our customers to reference their complete order history for A/V projects or equipment purchases. Our website provides all the important project and warranty documentation in a concise format for our customers to access and save in their files. Describe your company’s Customer Service Department hours of operation, number of service centers, etc. Ford AV operates a centrally located, state-of-the-art Service Center to meet our customers’ needs for responsive service and maintenance. Preventative Maintenance / Service Level Agreements are frequently requested by our customers to ensure that the equipment they have purchased is consistently functioning to their expectations Ford AV's Preventive Maintenance Plans (PMP) or Service Level Agreements (SLA) are customized for each customer and project and encompass the complete system or equipment requested. Ford AV typically provides all service functions utilizing full-time company employees but also has a network of outsourced technical support professionals on a retainer in the event that additional expertise is required. Ford AV offers a wide range of service and maintenance programs available for our customers and will offer any of these programs to the Region 14 ESC/NCPA cooperative members so that they may select the programs that best suit their needs. The following service options are available: 1) Full time technical support technician residing at the customer’s facility 2) Routine maintenance visits scheduled annually, biannually, quarterly or monthly. 3) On-call service technician dispatched upon customer request. 4) Help desk phone support 5) Website support (chat-support online) 6) The programs may be tailored to the customer's needs for response times, 24/7, etc. Unique service plans: (1) in addition to the service offerings listed above, each Ford AV customer will be issued an ID and password that will allow them to enter a secure portal on the Ford AV website where they may review all installation jobs and all service work orders. All current jobs, completed jobs, and service work orders will be available in real time for viewing on line. * Installation: Ford AV excels in installing large scale complex audio video system projects. Having completed thousands of A/V projects, we treat each project, large or small, with the same level dedication to ensure our customer’s receive the results they expect. Our installation teams include project engineers, project managers, job supervisors, and installation technicians who have the responsibility to install the A/V systems for our customer’s. Our install teams have time and time again impressed our customer’s with the professional and systematic approach we take to ensure they are pleased and fully trained on the systems capabilities before we leave the jobsite. Our install teams are routinely installing projects nationwide which provides us the ability to pursue and secure opportunities anywhere there is a requirement for A/V equipment. Ford AV takes considerable pride in the proven results of our installation teams as they are an integral reason that our customer’s keep coming back whenever they have additional A/V needs.

*Warranty

Ford Audio Video Systems, LLC. Warrantees the Following:

A. Equipment will be new, unless noted otherwise.

B. All workmanship provided by Ford AV will be free of deficiencies and defects, and will be repaired, free of charge, for a period one (1) year from the date of substantial completion or the first date of beneficial use of the system, whichever date occurs first. Substantial completion shall be defined as the point where the work or designated portion thereof, is sufficiently complete so that the system can be used for its intended purpose. C. All equipment and materials provided by Ford AV that were manufactured by other companies will be warranted under the standard warranty terms of the original manufacturer. D. If any questions arise now or in the future about the installation or operation of the system, a Ford AV engineer will be available to assist and answer any questions by phone. E. The warranty does not include, nor cover expendable materials used with the system installation (e.g. light bulbs, lamps, light fixture lamps, fuses, batteries, portable connection cables, etc.). F. Any adjustments made by the Customer or the Customer's agent(s), other than routine operational adjustments, shall not be covered under this warranty statement. Recalibration of settings shall be considered by Ford AV to be billable time to the Customer at Ford AV's standard engineering rates. G. Procedures such as routine preventative maintenance functions (e.g. keeping filters clean and the system environment free from foreign materials, etc.) are the responsibility of the Customer and is not included within this warranty agreement. Failure on the part of the Customer to perform these routine maintenance functions shall void this warranty. H. If warranty work is necessary within the warranty period, Ford AV will, at its option, repair the defective equipment or return it to Ford AV's service center for repair. I. Repairs, modifications, or other work performed by personnel not authorized by Ford AV during the period of warranty on any equipment of the system may invalidate the warranty. J. Ford AV will not be responsible for damages, or cost of repairs due to modifications, adjustments, or additions to the system performed by personnel not authorized by Ford AV prior to acceptance of the system by the Customer. K. Ford AV may withhold warranty service in the event that the Customer has an unpaid outstanding account balance.

Ford AV was founded in 1973 by Jim and Claire Ford. Claire Ford, CEO, graduated from the Oklahoma College of Liberal Arts and later

received her law degree from Oklahoma City University. She was admitted to the bar in 1989. Jim Ford, President, received a BS degree in electrical engineering from the University of Oklahoma in 1969 and later became registered with the State of Oklahoma as a Professional Engineer.

Ford AV currently employs 220 individuals within seven divisions located in Oklahoma City, Tulsa,

Dallas, Austin, Houston, Denver, and Las Vegas. The state-of-the-art 50,000 square foot Corporate Headquarters located in Oklahoma City was specifically designed to provide a highly efficient production facility for the engineering, fabrication, and testing of electronic systems. In addition, it houses a fully equipped audio/video rental center.

Ford AV excels at project management and engineering of large, complex and demanding audio/video installations similar to the Panther football stadium in Charlotte, NC shown above. With licenses in more than 20 states and a bonding capability of $20,000,000 per project, Ford AV routinely manages forty projects simultaneously and completes more than three hundred installations each year.

Ford AV’s strength lies in its experienced technical staff. With nearly 30 electrical engineers and 17 project managers, the Ford AV Job

Center schedules its own work force of job superintendents and installation technicians. Ford AV takes responsibility for a complete installation including software programming, service, warranty, and training.

Ford AV also has a team that specializes in Religious Facilities. From small to large, Ford AV has engineered and installed sound, video and lighting systems for thousands of churches, such as the 9,000 seat Prestonwood Baptist Church located in Dallas, TX.

Customer training is emphasized and facilitated in Ford AV’s new Training Center. The Training Center features a 2,500 square foot studio and a seventy seat multilevel auditorium with high definition rear screen projection. The auditorium is equipped with the latest audio, video, computer, and lighting systems installed and ready for “hands on” demonstration. An annual schedule of training seminars provides customers with continuing education on systems operation.

audio and video systems in their day-to-day business success. It does not matter whether your installation is a mission critical command and control center, a 24/7 paging announcement system in one of the busiest airport terminals in the world, a house of worship, or a hotel convention and meeting facility – you require, and should expect, prompt attention to your service and maintenance requests.

Ford AV operates a centrally located, state-of-the-art Service Center to meet our customers’ needs for responsive service and maintenance. The Corporate Service Center, located in the Oklahoma City Corporate Headquarters, functions as the central hub of a network of seven Service Centers located in the Division offices. The Service Center employs a dedicated team of management and support personnel to ensure that Ford AV customers’ requests for service are handled promptly, efficiently, and accurately.

Our staffs of Service Technicians and Project Engineers are dispatched from either a local Ford AV Division office or from the Corporate Service Center depending upon the nature of the service request. The Corporate Service Center supports and manages all Service Center activity. The Service Center Manager and Coordinators answer the customer’s incoming service calls, properly document the customer’s request for service, dispatch the appropriate service technician or engineer, and track the service work throughout the entire service process.

No one cares how much we know until they know how much we care. Customer service and quality work is a top priority at Ford AV. Therefore, the Service Center will remain in contact with the customer until the system functions correctly. day-to-day business success. These systems are technical and complex, which means that training is fundamental to ensure that your staff can fully utilize the systems. Technology continues to develop and becomes more apparent in today’s world. Therefore, we strive to provide our customers with a user-friendly system and support documentation to ensure that any one can comfortably operate it. Our Training Center guarantees it!

The Training Center, a recent addition to Ford Audio-Video, satisfies our customers’ need for training materials specific for their unique systems. The Training Center develops customized training materials for every system installed by our team. Customers can select from a variety of different materials based on their specific training needs. Some need it for five system operators and others need it for 150 operators. No matter how large or small, we want it to be a tool to help utilize all functions of the system.

The Training Coordinator, Project Managers and Project Engineers work together to develop the training materials and provide you an accurate, reliable resource for your system. The documents are written in layman’s terms, so that all system users can understand. We develop Operation Guides, PowerPoint Presentations and Video Productions, as well as conducting on-site training. We create the materials focused on our customers’ training audience. The training options selected by our customers will be mixed and matched to fit your training needs.

Ford Audio-Video also offers a series of training seminars on audio, video and lighting systems. These seminars are held monthly in various cities to encourage customers to enhance their knowledge and utilization of audio, video and lighting system equipment. PROJECT METHODOLOLGY: SYSTEM INSTALLATION SERVICES

Ford AV provides installation services; detailed policy and procedures are stated below:

1. Project Methodology Overview:

The successful management of a project's engineering and installation processes is founded upon the structure and organization of the Ford AV Job Center which includes: project engineering, project management, in-shop fabrication, installation personnel and job-site supervision.

Ford AV project engineers (PEs) and project managers (PMs) are vitally important to the successful completion of the AV system integration process. Our PEs and PMs are also key members of the overall construction project team. They work hand-in-hand with the architect's design consultants and the owner's construction representatives during each critical project phase, from pre-construction through final close-out, to implement appropriate refinements to the system's functionality. This allows a highly coordinated approach to the project installation from both an architectural perspective, as well as a technical one. We have learned that when all members of the project design and construction team work together, the overall result will be a smoother, more coordinated installation schedule that better meets the client's needs. An additional benefit to this collaborative approach to systems integration is that minor design changes may be made early in the project before they become more costly further into the construction process.

2. Project Management Coordination:

Ford AV's Project Management team is experienced interfacing and coordinating with the General Construction process. All of the General Construction infrastructure requirements are carefully documented and coordinated via the submittal drawing process, and reviewed with the General, Electrical, Mechanical, and related trades by our field management personnel. This process ensures that the design concept implemented by the architect, the architect's consultants, and the owner's construction representatives will be installed in a precise and timely manner.

3. Dedicated Project Engineering:

We take great pride in the level of detail our Engineering Center produces for field construction documentation. Every detail necessary to provide a properly coordinated and installed system is thoroughly documented through our meticulous shop drawing process. From simple conduit risers to complicated schematic diagrams; from basic projector mounting details to complex, multi-driver loudspeaker arrays; our highly trained engineering personnel have gained a wealth of experience of successfully meeting the challenges of the ever-increasing complexity of these systems.The drawings and documents they produced by the engineering team become the permanent record for each phase of the installation process. Drawings detailing equipment rack fabrication details, AV millwork, speaker cluster mounting hardware and assemblies, custom plates and panels, customized or modified electronic components and assemblies, wire and cable pulling procedures and documentation, field device installation and termination procedures and requirements, AV control system, GUI interface design, layout, and programming, are representative of the specialized and detailed installation documentation provided by our Project Engineers.

4. Full Time Project and Field Management Personnel:

Our full-time project management and job site field management representatives use the field construction drawings to direct the in-shop fabrication and field installation process. Project Managers coordinate and supervise in-shop assembly of all equipment racks, custom plates and panels, custom suspension mounting assemblies, speaker assembly, etc. Our shop assembly and fabrication process simplifies the more customized and tedious aspects of the on-site field installation process.

WARRANTY INFORMATION

FORD AUDIO-VIDEO SYSTEMS, LLC. GUARANTEES THE FOLLOWING:

A. Equipment will be new, unless noted otherwise.

B. All workmanship provided by Ford AV will be free of deficiencies and defects, and will be repaired, free of charge, for a period one (1) year from the date of substantial completion or the first date of beneficial use of the system, whichever date occurs first. Substantial completion shall be defined as the point where the work or designated portion thereof, is sufficiently complete so that the system can be used for its intended purpose.

C. All equipment and materials provided by Ford AV that were manufactured by other companies will be warranted under the standard warranty terms of the original manufacturer.

D. If any questions arise now or in the future about the installation or operation of the system, a Ford AV engineer will be available to assist and answer any questions by phone.

E. The warranty does not include, nor cover expendable materials used with the system installation (e.g. light bulbs, lamps, light fixture lamps, fuses, batteries, portable connection cables, etc.).

F. Any adjustments made by the Customer or the Customer's agent(s), other than routine operational adjustments, shall not be covered under this warranty statement. Recalibration of settings shall be considered by Ford AV to be billable time to the Customer at Ford AV's standard engineering rates.

G. Procedures such as routine preventative maintenance functions (e.g. keeping filters clean, keeping system environment free from foreign materials, etc.) is the responsibility of the Customer and is not included within this warranty agreement. Failure on the part of the Customer to perform these routine maintenance functions shall void this warranty.

H. If warranty work is necessary within the warranty period, Ford AV will, at its option, repair the defective equipment or return it to Ford AV's service center for repair.

I. Repairs, modifications, or other work performed by personnel not authorized by Ford AV during the period of warranty on any equipment of the system may invalidate the warranty.

J. Ford AV will not be responsible for damages, or cost of repairs due to modifications, adjustments, or additions to the system performed by personnel not authorized by Ford AV prior to acceptance of the system by the Customer.

K. Ford AV may withhold warranty service in the event that the Customer has an unpaid outstanding account balance.

ADDITIONAL AVAILABLE SERVICES

Preventative Maintenance Plans (PMP) or Service Level Agreements (SLA)

Preventative Maintenance / Service Level Agreements are frequently requested by our customers to ensure that the equipment they have purchased is consistently functioning to their expectations. Ford AV is dedicated to providing industry leading service for the equipment we provide our customers to minimize any potential downtime that may have impacted its operation. The labor rates below will be incorporated into any PMP’s or SLA’s that are mutually agreed upon.

1. Job Superintendent : $ 81.00 per hour 2. Project Manager : $ 96.00 per hour 3. Engineering Services : $ 100.00 per hour 4. Installer : $ 72.00 per hour 5. In Shop Assembly Services : $ 53.00 per hour 6. Maintenance & Support Services : $ 96.00 per hour

Ford AV's Preventive Maintenance Plans (PMP) or Service Level Agreements (SLA) are customized for each customer and project and encompass the complete system or equipment requested. Ford AV typically provides all service functions utilizing full-time company employees but also has a network of outsourced technical support professionals on a retainer in the event that additional expertise is required.

Ford AV offers a wide range of service and maintenance programs available for our customers and will offer any of these programs to the Region 14 ESC / NCPA cooperative members so that they may select the programs that best suit their needs.

The following service options are available:

1) Full time technical support technician residing at the customer’s facility 2) Routine maintenance visits scheduled annually, biannually, quarterly or monthly. 3) On-call service technician dispatched upon customer request. 4) Help desk phone support 5) Website support (chat-support online) 6) The programs may be tailored to the customer's needs for response times, 24/7, etc.

Unique service plans: (1) in addition to the service offerings listed above, each Ford AV customer will be issued an ID and password that will allow them to enter a secure portal on the Ford AV website where they may review all installation jobs and all service work orders.

All current jobs, completed jobs, and service work orders are available are available for viewing on line. This data shall be in real-time.

Outside of the manufacturer’s standard equipment warranty coverage, Ford AV will conduct an evaluation to determine the cost of providing the service for any PMP or SLA. The factors that often effect the cost of performing service are issues such as: (1) the physical location of the device, (2) the difficulty in accessing the device as it is installed (for example; height above the floor, manner of attachment to the building, weight of the device, number of persons required to mount, un-mount and move the device), (3) the likelihood of the device failing over a given period of time, (4) the cost of the device, (5) the level of support provided by the manufacturer of the device, (6) and the availability of parts. All of these factors play a part in determining the cost to service a device installed.

SLA response times are determined by the agreement negotiated between Ford AV and the Customer. The response times typically depend upon the nature of the service being provided. In situations where the meetings are ongoing and interruption of the meeting is not acceptable, then the service system set in place would need to provide for immediate response both over the network and in person with technical support personnel. In general, response times are dictated by the SLA agreement and ranked by 1) the severity, 2) the priority and 3) response level.

Once a service ticket is issued for a failed device our support technician will investigate I the device. If it appears that the device is defective a request will be issued by the technician to the Inventory Control Manager for a replacement item from the spares inventory. If the item is available the technician will replace the item and turn the defective unit over to the Inventory Control Manager for repair/replacement.

The Maintenance & Support Services pricing shown above will be used to determine the cost of the SLA's once the scope is determined. Travel will be factored into the cost based off the federal government reimbursements rates for mileage and the CONUS rates allowed for lodging and per diem if required.

Ford AV shall provide technical support on the systems and products it provides. On-line or via telephone Technical Support is a service provided at no charge to our customer’s. All Technical Support agents are employees of Ford AV.

Technical Support hours are from 8:00 am CST to 7:00 pm CST. If support is needed after hours the Customer may call the toll free 800 number (800-654-6744) for a Service Center representative. The Customer will receive a call back within 30 minutes.

DISADVANTAGEDBUSINESSPARTICIPATION

ThisContractissubjecttotherequirementsofTitle49,CodeofFederalRegulations,Part26,“ParticipationbyDisadvantagedBusinessEnterprisesinDepartmentofTransportationFinancialAssistancePrograms”,therefore,itisthepolicyoftheDepartmentofTransportation(DOT)toensurethatDisadvantagedBusinessEnterprises(DBEs),asdefinedin49CFRPart26,haveanequalopportunitytoreceiveandparticipateintheperformanceofDOT-assistedcontracts.

1) Non-DiscriminationAssurances.Contractororsubcontractorshallnotdiscriminateonthebasisofrace,color,nationalorigin,orsexintheperformanceofthisContract.Contractorshallcarryoutallapplicablerequirementsof49CFRPart26intheawardandadministrationofDOT-assistedcontracts.FailurebyContractortocarryouttheserequirementsisamaterialbreachofthisContract,whichmayresultintheterminationofthisContractorothersuchremedyaspublicagencydeemsappropriate.EachsubcontractContractorsignswithasubcontractormustincludetheassuranceinthisparagraph.(See49CFR26.13(b)).

2) PromptPayment.ContractorisrequiredtopayeachsubcontractorperformingWorkunderthisprimeContractforsatisfactoryperformanceofthatworknolaterthanthirty(30)daysafterContractor’sreceiptofpaymentforthatWorkfrompublicagency.Inaddition,Contractorisrequiredtoreturnanyretainagepaymentstothosesubcontractorswithinthirty(30)daysafterthesubcontractor’sworkrelatedtothisContractissatisfactorilycompletedandanylienshavebeensecured.Anydelayorpostponementofpaymentfromtheabovetimeframesmayoccuronlyforgoodcausefollowingwrittenapprovalofpublicagency.ThisclauseappliestobothDBEandnon-DBEsubcontractors.ContractormustpromptlynotifypublicagencywheneveraDBEsubcontractorperformingWorkrelatedtothisContractisterminatedorfailstocompleteitsWork,andmustmakegoodfaitheffortstoengageanotherDBEsubcontractortoperformatleastthesameamountofwork.ContractormaynotterminateanyDBEsubcontractorandperformthatWorkthroughitsownforces,orthoseofanaffiliate,withoutpriorwrittenconsentofpublicagency.

3) DBEProgram.InconnectionwiththeperformanceofthisContract,ContractorwillcooperatewithpublicagencyinmeetingitscommitmentsandgoalstoensurethatDBEsshallhavethemaximumpracticableopportunitytocompeteforsubcontractwork,regardlessofwhetheracontractgoalissetforthisContract.Contractoragreestousegoodfaitheffortstocarryoutapolicyintheawardofitssubcontracts,agentagreements,andprocurementcontractswhichwill,tothefullestextent,utilizeDBEsconsistentwiththeefficientperformanceoftheContract.

ENERGYCONSERVATIONREQUIREMENTS

ContractoragreestocomplywithmandatorystandardsandpoliciesrelatingtoenergyefficiencywhicharecontainedintheStateenergyconservationplansissuedundertheEnergyPolicyandConservationAct,asamended,42U.S.C.Sections6321etseq.and41CFRPart301-10.

FEDERALCHANGES
