1.0 BACKGROUND OF THE WORK :

RAHIMATPUR city is rapidly growing city in district Satara. Being a important city, the population growth rate is substantial over past decade. The water supply scheme for the town with the rte of 135 lpcd sanctioned under Maharashtra Suvarnjayanti Nagaroththan Mahaabhiyaan is under execution. Hence, RMC wishes to execute the sewerage scheme for the entire town in order to check the pollution and treat the raw sewage before its disposal.

2.0 SCOPE OF WORK :

The work Expected from Company/Consultant for preparation of DPR on Sewerage Schemes shall be:

(a) Preparation of complete project report of under ground sewerage scheme including main sewer lines, built in connections, pump house, sewage treatment plant, etc. for RAHIMATPUR city.

(b) To collect all the data regarding population and forecasting of population for the design period of 30 years.

(c) To establish the Temporary Bench Marks from the BM shown by the officers of the RAHIMATPUR Municipal Council which shall be evenly distributed all over the city.

(d) To carry out the detailed survey of the RAHIMATPUR along with the alignment survey.

(e) To prepare the contour map based on available base map of the city.

(f) To collect data regarding ward-wise populations so as to calculate the population density.

(g) To work out sewage quantity for immediate and ultimate stage based on the population forecast, rate of water supply, etc.

(h) To get the data about the soil strata.

(i) To finalize the basic design parameters with the Council officials.

(j) To prepare design, as per CPHEEO manual, for all sewer lines, branches, mains, etc. with invert levels, manhole details etc.

(k) To prepare hydraulic design including all the details of all the sub-components.

(l) To work out the cost estimates based on the latest schedule of rates for various items.

(m) To work out the annual O and M cost including the cost of manpower, chemicals, electricity, etc.

(n) To take the technical sanction for the scheme from the competent authority for the funding scheme.

SCOPE OF THE WORK FOR PROJECT MANAGEMENT CONSULTATION :

The work expected from PMC for the project of Rahimatpur Sewerage Scheme sanctioned under the funding scheme shall be: 1. PMC shall prepare Tender Notice/ Re-tender notice/ Corrigendum for the execution work if

necessary.

2. PMC shall prepare Bidding documents for execution work.

3. PMC shall scrutinize the Received tenders and give the report to Municipal Council for finalization of tender.

4. PMC shall evaluate the techno-economics of the bids received by Municipal Council and submit its evaluation report in order to facilitate Municipal Council to take decision on the received bid.

5. PMC shall prepare the revised estimate if necessary in case of supplementary estimate.

6. PMC shall assist Municipal Council for obtaining various permissions from other Dept. i.e. Irrigation, P.W.D., M.J.P. etc.

7. PMC shall attend the meetings and discussion with Municipal Council at Government level / S.L.N.A. or represent Municipal Council in exceptional cases if any municipal authority is unable to attend the meeting.

8. To check and approve the various designs / Layouts of Pumping Stations, Sewage Treatment Plants, etc. submitted by contractor.

9. To assist / coordinate, arrange third party technical audit at various work stages.

10. To monitor the testing of materials brought by contractor, from Engineering College / Government dist. Labs / Polytechnics

11. PMC shall supervise the tendered work i.e. to :

11.1 Check the level survey done by contractor and assess the working survey done by the contractor.

11.2 Check line out of the work as per approved plans and design.

11.3 Inspect work day to day and as per requirement of executing agency or Municipal Council by appointing necessary technical staff as per requirement and for the purpose to execute the work as per the specification and to maintain the quality of work.

11.4 Inspect the various field tests.

11.5 Supervise Excavation, Lowering, Laying and Jointing of Pipes and hydraulic testing of pipe during execution as per I.S. code and standard practice.

11.6 Inspect the foundation strata of structure and decide out safe bearing capacity.

11.7 Check technically reinforcement as per bar bending schedule of RCC designs, Centering and formwork of R.C.C. works.

11.8 Submit the detailed work progress report at the interval of every 15 days and also completion report of various stages of works.

11.9 Maintain the supervision technical note and submit it to Municipal Council.

11.10 Certify the bills submitted by contractors and prepare Measurement Books and submit it to Municipal Council for further disposal. Final decision is to be taken by Municipal Council.

11.11 To assist Municipal Council in case of arbitration or dispute in the work.

11.12 Guide to Municipal Council in case of any claims of contractor.

11.13 Inspect the site in lieu of technical difficulties and give the technical advice to Municipal Council in such cases.

11.14 Follow all the instructions and compliances issued by the Chief Officer from time to time and will make all the compliances and submit report which may be sought by the Council in consonance with and for implementation of said project.

11.15 Shall make every possible effort to get the said work completed from contractor well within the stipulated period mentioned in the agreement of the contractor for bona-fide reasons and the reasons beyond capacity, the consultant may advise the council for extension of time period to contractor in proportionate way with due and proper reasons thereof.

11.16 Shall prepare quarterly and monthly reports to be submitted to competent authorities on the behalf of RMC.

11.17 Shall assist the RMC in technical third party inspection. 3.0 ELIGIBILITY AND QUALIFICATION REQUIREMENTS :

The consultation firm (the bidder) shall satisfy the following qualification criteria:

- The bidder shall have sufficient experience in designing and preparing the detailed project reports under the central government’s funding schemes such as AMRUT, NAGARUTTHAN, etc.

- The bidder shall have successfully completed at least two works of similar nature under such funding schemes.

- The bidder should have completed at least three works of preparation of Detailed Project Report on Sewerage Scheme costing not less than Rs. 40 crore in hand / completed.

- The bidder shall have completed or shall have at least one work in hand of similar nature in which the sewer line length shall not be less than 25 km.

- The bidder shall have sufficient experience of designing Sewage Treatment Plant of at least 5 MLD in private sector or in government sector.

- The bidder shall have sufficient experience in getting the sanction of the sewerage schemes and at least two schemes should have got the funds for the execution.

- The bidder should have got registered with RAHIMATPUR Municipal Council before __.__.2019. 4.0 EARNEST MONEY DEPOSIT (EMD) :

- EMD shall be Rs. 10,000/- and shall be paid online along with the tender fees. The scan copy of the the on line payment shall be uploaded in Envelope – I

- The Bid shall be treated as invalid and shall be summarily rejected if scanned copies are not submitted online along with the bid.

- The amount of earnest money will be refunded to the unsuccessful bidder, on deciding about the acceptance or otherwise of the bidder or on expiry of the validity period whichever is earlier, without any interest.

- In case of the successful bidder earnest money will be transferred towards a part of security deposit to be paid after awarding of the work. If successful bidder does not complete the agreement bond with Municipal Council in the specified time limit, then his earnest money deposit will be forfeited.

5.0 COMPLETION PERIOD :

The D.P.R. shall be completed in 6 (Six) Calendar months excluding monsoon. This period will be counted from the date of work order. The period for P.M.C. shall be as per the time schedule mentioned in the tender documents.

6.0 ISSUE OF BLANK TENDER FORM :

Blank tender forms will be available on websites https://maharashtra.etenders.in/ from date __/__/2019 to __/__/2019 up to 01.00 PM

7.0 VALIDITY OF OFFER :

120 days (One Hundred and Ten days Only) from the date of opening of tender. 8.0 MANNER OF SUBMISSION OF TENDER :

In addition to the above mentioned documents, the Declaration and other documents as given in Annexure-“C” and any other necessary document mentioned in this tender shall be uploaded in Envelope-I{Technical Bid}. Documents in the Technical Bid shall be uploaded as per the format specified on line. Nowhere in the Technical Bid shall the price be quoted. And if it is found that the price is quoted in Technical Bid, then that particular bid shall be summarily rejected. Envelope – II (Price Bid) Envelope-II shall contain the price bid in prescribed format only. The price shall be quoted only in this bid and if it is seen that the price is quoted in any other place and any sort of form, then that particular bid shall be summarily rejected. If the taxes are not mentioned separately then the rates shall be assumed to have included all taxes and duties. The name of the file of the price bid shall not be changed while uploading the price bid.

Submission of Tender: - Envelope-I {TECHNICAL BID} and Envelope-II {PRICE BID} shall be submitted as per E-Tendering procedure only. Tenders offered or received after the prescribed date and time will either not be accepted or if inadvertently accepted will not be opened and shall be returned to the bidder unopened. All bidders are cautioned that the tenders containing any deviation from the contractual terms and conditions, specifications and other requirements and conditional tenders will be rejected.

Opening of Tender: - On the date specified in the detailed tender notice following procedure will be adopted for opening to the tenders. Envelope No. I: First of all, Envelope Number I of all the bidders will be opened to verify its contents as per requirements. If the various documents contained in this envelope do not meet the requirements of the RAHIMATPUR Municipal Council, a note will be recorded accordingly by the tender opening authority and the said bidder's Envelope Number II may not be considered for further action and the same will be recorded.

Envelope No. II : This envelope shall be opened after opening of Envelope No. I. Only if the contents of Envelope Number I are found to be acceptable to the RAHIMATPUR Municipal Council, RAHIMATPUR, the Envelope No. II shall be opened.

Evaluation of Tender :

Bid evaluation shall be done on marking based system as given below. The total marks shall be 100. The technical bid shall have 80 marks and financial bid shall have 20 marks.

Technical Evaluation Technical evaluation shall be based on the supporting documents provided by the bidders and the marks obtained by him. The marking system of the Technical Bid will be as given below:

Price Bid Evaluation Price bid maximum marks shall be 20 for the Lowest Bid. Price Bid Marks for other bidders shall be calculated as given below : Marks = (L1/Bidder’s Offer) x 20

Total Bid Evaluation The overall experience of the bidder to carry out such types of works and his quoted offer will play a major role in the acceptance of the tender. Bid shall be evaluated as per the marks calculated as mentioned above. The bidder scoring maximum marks shall be awarded the work. However, the right to accept / reject all or any one bid is reserved with the Chief Officer.

9.0 RIGHT RESERVED :

Right to accept or reject all or any one Bid for the said work is reserved by the CO, RAHIMATPUR Municipal Council. Right to rejects any or all tenders without assigning any reason there of is reserved by the CO, RAHIMATPUR Municipal Council and whose decision will be final and legally binding on all the bidder.

CONDITIONS OF CONTRACT

1.0 General Provisions:

1.1 Definitions : Unless the context otherwise requires, the following terms whenever used in this Agreement have the following meanings :

(a) “Applicable Law” means the laws any other instruments having the force of law in India (as they may be issued and in force from time to time).

(b) “Agreement” means the agreement signed by the parties, to which these General Conditions of Agreement are attached.

(c) “Effective Date” means the date on which this agreement comes into force.

(d) “G C” means these General Conditions of Agreement.

(e) “Government” means the Government of India, Government of Tripura.

(f) “Local Currency” means Indian Rupees.

(g) “Services” means the work to be performed by the Consultants pursuant to this Agreement for the purposes of the project.

(h) “RAHIMATPUR MC”, “Client”, “RMC” means the RAHIMATPUR Municipal Council.

(i) “Third Party” means any person or entity other than the Government, the Client, the Consultants or a Sub-consultant.

1.2 Law Governing Agreement:

This Agreement, it’s meaning and interpretation and the relation between the parties shall be governed by the Applicable Law of India. 1.3 Language:

This agreement has been executed in English, which shall be the binding and controlling language for all matters relating to the meaning or interpretation of this Agreement. 1.4 Headings:

The heading shall not limit, alter or affect the meaning of this Agreement. 1.5 Notices:

Any notice, request or consent required or permitted to be given or made pursuant to this Agreement shall be in writing. Any such notice, request, or consent shall be deemed to have been given or made when delivered in person to an authorized representative of the Party to whom the communication is addressed, or when sent by registered mail, telex, telegram or facsimile to such Party at the address specified below:

A party may change its address for notice hereunder by giving the other Party notice of such changes to other party. 1.6 Location: The Services shall be performed within the limits of RAHIMATPUR Municipal Council. 1.7 Authorised Representatives:

Any action required or permitted to be taken, and document required or permitted to be executed, under this Agreement by the Client or the Consultant may be taken or executed by the officials, authorised by RAHIMATPUR MC and the consultants. 1.8 Taxes and duties:

The Consultants shall pay all such taxes, duties, fees and other impositions as may be levied under the Applicable Law from time to time. If he wishes to include in the fees then it is not necessary to mentioned it separately. It may be noted that if GST is not mentioned separately then the offer shall be assumed to be inclusive of the GST. Consultant shall not be entitled for getting any extra payment from RAHIMATPUR Municipal Council on account of any revision in rate of taxes, if taxes are not mentioned as extra.

2.0 Modifications :

Modification of the terms and conditions of this Agreement, including any modification of the scope of the Services, may only be made by written agreement between the Parties. However, each party shall give due consideration to any proposals for modification made by the other Party.

3.0 Obligations of the Consultants :

3.1 General: 3.1.1 Standard of Performance: The Consultants shall perform the Services and carry out their obligations hereunder with all due diligence, efficiency and economy, in accordance with generally accepted professional techniques and practices, and shall employ appropriate advanced technology. Consultants shall always act, in respect of any matter relating to this Agreement or to the services, as faithful advisers to the Client and give his opinion within the frame work of relevant national and if required international standard code of practices’ provisions, and shall at all times support and safeguard the Client’s legitimate interests in any dealings with Third Parties. 3.1.2 Responsibility of consultant: The consultants shall be fully responsible for the soundness/ correctness of the services given by them. The consultants shall perform their services and carry out their obligations hereunder with all due diligence, care, efficiency in accordance with national and international codes, professional practices etc. Consultant shall comply all the remarks raised by the approving agency and get the DPR technically sanctioned from the technical sanctioning authority. 3.1.3 Client’s interests: The Consultant shall protect the interest of client against any damage or loss arising on account of neglect of care and diligence or neglect of professional duty while providing the services as per the agreement. 3.1.4 Law Governing Services: The Consultants shall perform the Services in accordance with the Applicable Law and shall take all practicable steps to insure that any sub-consultants, as well as the Personnel and agents of the Consultants and any sub-consultants, comply with the Applicable Law. The Client shall advise the Consultant in writing of relevant local customs and the Consultants shall, after such notifications, respect such customs. 3.1.5 Confidentiality:

The Consultants, their sub-consultants and the Personnel of either of them shall not, either during the term or within Five (5) years after the expiration of this Agreement, disclose any proprietary or confidential information relating to the Project, the Services, this Agreement or the Client’s business or operations without the prior written consent of the Client.

3.1.6 Liability of the Consultants:

Subject to additional provisions, if any, set forth in the Agreement, the Consultant’s liability under this Agreement shall be as provided by the Applicable Law. In order to ascertain that the consultant is well aware of the site conditions, the site inspection report signed by C.O. shall form a part & parcel of the Envelope-I. 3.1.7 Documents prepared by the Consultants to be the Property of the Client: All plans, drawings, specifications, designs, reports and other documents prepared by the Consultants in performing the Services shall become and remain the property of the Client, and the Consultants shall, not later than upon termination or expiration of this agreement, deliver all such documents to the Client, together with a detailed inventory thereof. The Consultants may retain a copy of such documents. 3.1.8 Documents furnished by the Client: Documents made available to the Consultants by the Client, or representative of the Client, shall be the property of the Client and shall be marked accordingly. Upon termination or expiration of this Agreement, the Consultant shall make available to the Client an inventory of such documents and shall dispose of such documents in accordance with the Client’s instructions.

4.0 Obligations of the Client :

4.1 Assistance and Exemptions:

Client shall use its best efforts to ensure that the Client shall provide the Consultants, Sub-consultants and Personnel with all requisite facilities pursuant to applicable law as shall be necessary to enable the consultants, sub-consultants or Personnel to perform the Services; 4.2 Change in the Applicable Law:

If alter the date of this Agreement, there is any change in the applicable Law with respect to taxes and duties which increases or decreases the cost or reimbursable expenses otherwise payable to the Consultants under this Agreement shall be increased or decreased accordingly by agreement between the Parties hereto. 4.3 Payment:

In consideration of the Services performed by the Consultants under this Agreement, the Client shall make to the Consultants such payments and in such manner as is provided by Appendix ‘A’ of this Agreement. Payment shall be made in the form of DD or account payee cheque drawn or through net banking in favour of the consultant. All the payments made to the consultant shall be non-refundable.

4.4 Currency of Payment:

All payments shall be made in Indian Rupees only.

4.5 Payment Period:

Generally this period shall be fifteen days after submitting the bill as per the payment schedule mentioned in Annexure ‘B’ 4.6 Scrutiny Charges:

The Client shall bear the scrutiny charges for getting the DPR technically scrutinized or technically sanctioned from the competent authority as directed by the funding scheme.

5.0 Security Deposit:

The successful consultant shall have the deduction from his each bill towards the Security Deposit as follows: Total Security Deposit shall be 10% of accepted Tender amount. As mentioned earlier, the EMD shall be converted in to Security Deposit. From each R.A. bill the security deposit shall be deducted at the rate of 10% on the billed amount as per the payment schedule mentioned in Annexure ‘B’.

Refund of Security Deposit:

The security deposit shall be refunded after six months of completion of the assignment (i.e. approval to Final DPR).

6.0 Force Majeure:

Force Majeure clause shall be applicable to this contract. The consultant shall not be held responsible for the doings or for the things beyond his control such as acts of God, riots, terrorists’ activities, etc.

7.0 Technical Sanction:

Consultant has to take the technical sanction for the designed scheme. However, the consultant has to take the technical approval / sanctioned only at once irrespective of whether the RahimatpurMC gets the funds under that particular scheme or not. If RAHIMATPUR MC wishes to adopt a different funding scheme other than in which the technical sanction is already taken, then consultant shall be paid extra for getting the fresh technical sanction under that new / different funding scheme.

8.0 Risks and coverage:

The Consultant(s) shall take out and maintain at their own cost but on the terms and conditions approved by the Client against the risk and for their coverage on account of : 1.0 Professional liability 2.0 Employers' liability and workers' compensation insurance of the personnel of consultants. 3.0 Insurance against loss or damage to

a. Equipments purchased in whole/ part with funds provided under the contract. b. Consultants property used in performance of services c. Any documents prepared by Consultants in the performance of service

9.0 Fairness And Good Faith:

The Parties undertake to act in good faith with respect to each other’s rights under this Agreement and to adopt all reasonable measures to ensure the realization of the objectives of this Agreement.
