    Executive Summary of the proposed project

    PRIDE Network, Inc. (“PRIDE Net”), a wholly owned subsidiary of NTS Communications, Inc.

    (“NTS”), was granted funding for two applications during Round One of the American Recovery

    and Reinvestment Act of 2009 (ARRA) stimulus session. PRIDE Net is determined to provide

    reasonably priced, quality broadband service to areas of persistent poverty and to communities

    that have experienced the worst in the current economic recession. As evidenced by its prior

    granted awards and NTS’s extensive experience with Fiber-To-The-Premise (“FTTP”) and other

    communications networks, it is apparent that PRIDE Net is well suited to implement, manage,

    and succeed with projects of this magnitude and to comply with all rules and procedures required

    by the ARRA.

    The PRIDE Net North Shore Project plans and service objectives advance the goals of the FCC’s

    National Broadband Plan as published on March 15, 2010 by making available download speeds

    exceeding 5 megabits per second to the majority of the population in the project service area in

    advance of the time line proposed in the National Broadband Plan. As the PRIDE Net, North

    Shore Project evolves with technological improvements and reinvestment of income generated

    by the network, improvements in the speed capability will be expanded to a greater portion of the

    service area in realization of the goals of the National Broadband Plan.

    The communities that will be served by the North Shore Project will include Amite, Franklinton,

    Independence, Montpelier, Tickfaw, Natalbany, Hammond, and Ponchatoula, Louisiana. None

    of the areas listed have full access to Advanced Broadband Services today. Portions of the

    proposed project areas to have access to high speed internet access; however, such service is not

    affordable to most of the people that reside in those communities, including those that have lost

    their jobs during the current financial crisis and need the advantages that Advanced Broadband

    services can provide with respect to job training, placement, and new entrepreneurial ventures.

    Where broadband service is available, service is sporadic in terms of coverage, reliability, and

    speed. PRIDE Net will offer a competitive choice that will be far more affordable, reliable, and

    ubiquitous for the targeted populations in these difficult economic times.

    According to Children’s Defense (http://cdf.childrensdefense.org/site/DocServer/la-

    3.pdf?docID=653), Louisiana ranks 49th among states in the percent of children who are poor,

    with 73% of eligible persons receiving food stamps. This is an unsettling statistic, and it has been

    proven time and time again that the key to diminishing these high poverty numbers is with the

    availability of resources that people in urban areas have access to everyday. With Advanced

    Broadband Services, people in the state of Louisiana would have more access to the tools they

    need to be successful, take care of their families, and to thrive.

    Louisiana has a poverty level of 19.4% and is ranked 48th in the nation in this category. See:

    level). Moreover, Louisiana has 80% of fourth graders reading below grade level, and 79%

    fourth graders below grade level in math. In St. Helena, Tangipahoa, and Washington Parishes,

    the site of the proposed construction, 26.6% of the population under age 18 is below poverty.

    Over the last 20 years, Louisiana’s poverty rate has fluctuated considerably, but today it is only 3

    points lower than it was in 1980. While the South narrowed the gap with the rest of the country

    during that time period, Louisiana’s poverty rate remains more than 50% above the national

    average.

    The North Shore Project will make affordable Advanced Broadband Services available to the

    following Louisiana communities: Amite, Franklinton, Independence, Montpelier, Tickfaw,

    Natalbany, Hammond, and Ponchatoula. The proposed construction sites will be in portions of

    St. Helena, Tangipahoa, and Washington Parishes. The North Shore Project will be extended to

    additional communities not listed above that also lack access to affordable Advanced Broadband

    service as profits are reinvested in new infrastructure construction. In this way, by first using

    federal grant/loan dollars to build the core of the network and its initial passings, and then by

    allowing future profits to further expand network growth, PRIDE Net will create a continuous

    benefit cycle to the entire region for generations to come.

    NTS, through its wholly-owned subsidiary PRIDE Net, is fully capable of constructing and

    operating the North Shore Project in a competent manner in compliance with all applicable

    Federal, state, and local laws. NTS and its sister company in Louisiana, Xfone USA, Inc., have

    an operating history of more than 30 years in the communications industry. Their operations

    have consistently proved their respective capability to provide high quality and low cost

    communications services to the communities they serve.

    NTS Communications, Inc. was formed in 1981 and achieved competitive local exchange carrier

    ("CLEC") status in 1999. NTS operates as a wholly owned subsidiary of Xfone, Inc. (NYSE

    Alternext: “XFN”). NTS is headquartered in Lubbock, Texas and with its staff of 300-plus

    employees, provides a full range of wireline voice and data services to customers in Arizona,

    Colorado, Kansas, New Mexico, Oklahoma, and Texas. Acting in a management capacity, NTS

    also directs the business and service delivery of its sister company, Xfone USA, Inc., which

    provides a full range of similar voice and data services to customers in Louisiana and

    Mississippi.

    Since 2004, NTS has engaged in an aggressive build-out of FTTP networks in Lubbock,

    Wolfforth, and Woodrow, Texas. To date, NTS has constructed approximately 650 route miles

    of fiber optic distribution plant encompassing in excess of 18,000 gross passings in these

    communities. Using its FTTP facilities, NTS provides full featured voice, IPTV video, and data

    services to its customers. Of note, one of NTS’s subsidiaries, NTS Telephone Company, LLC, is

    the recipient of an $11 million USDA Broadband Loan to bring FTTP voice, video, and data

    services to the communities of Levelland and Smyer, Texas. The project is currently in its last

    phases of construction. Implementation of this project has increased the management experience

    of NTS with regard to construction methodologies, unique accounting treatment, and overall

    project management required by RUS funded projects. Further, PRIDE Net is a recipient of two

    combination grant/loan awards from the USDA Broadband Initiatives Program for a total of

    approximately $65 million.

    PRIDE Net’s parent company, NTS, as described above, operates a large existing network that

    will provide a reliable support framework, back-office, and network interface infrastructure for

    the North Shore Project. PRIDE Net, via a service agreement with NTS, will have the resources

    it requires to allow it to immediately provide carrier class service and reliability for the North

    Shore Project service area. A service agreement with PRIDE Net’s sister company Xfone USA

    will also be in place to cover co-location and local sales and field support. These existing

    capabilities and resources will be instrumental in PRIDE Net’s ability to maintain the project

    schedule and provide the ongoing sales, back-office, and field support for North Shore Project

    network operations.

    There are no co-applicants with this application. However, it should be noted that PRIDE Net

    has collaborated with the City of Hammond, Louisiana in constructing the network plan. The

    City of Hammond was awarded grant funding for the improvement of water/sewer and public

    safety as part of ARRA.

    Full details regarding the cost of the entire project is set forth in the Attachment 22 – Project

    Capital Investment. The overall infrastructure cost of the proposed system is $36,198,857.

    Overall passings for the project are estimated to be 13,075 and expected subscriber take-rate

    projections, using our most conservative model, estimate providing Advanced Broadband

    Services to 5963 customers within the pro-forma period.

    PRIDE Net estimates the creation of 720 jobs to construct and operate the PRIDE Net North

    Shore project. This estimate is based on studies finding that 20 jobs are created for each $1

    million in investment in the construction of a fiber to the premises network (Jeffrey Eisenach,

    Hal Singer, and Jeffrey West, Empiris, LLC, Economic Effects of Tax Incentives for Broadband

    Infrastructure Deployment, pp. 8-9 (January, 2009)).

    In addition, by accelerating affordable Advanced Broadband deployment to communities without

    access to such state of the art technology today, the North Shore network will attract new

    businesses to these communities, which will generate economic activity and create

    approximately an additional 596 jobs. These projections are based on studies showing the

    indirect creation of one job for every 10 subscribers to an Advanced Broadband network.

    Effectiveness

    passed.
