    PART – A

    TECHNICAL BID:

    1. PREAMBLE OF TENDER

    (Rate contract for Printing of different sizes of textbooks and allied works)

    The Tamilnadu Textbook Corporation, a Government of Tamilnadu undertaking, intends to invite tenders for printing different sizes of textbooks and allied works, Under the Samacheer Kalvi Thittam proposed to be introduced by the Government of Tamilnadu from the academic Year 2010 – 2011 onwards. The printing and supply of books before is scheduled to be completed before 30.04.2010.

    The TNTBC, on its part to implement this programme of the Government, is planning to print and supply Textbooks of improved quality. So the TNTBC has decided to enlist printers with latest technology and capacities like CTP / P.S. plate for printing etc. Based on the offers received, TNTBC will decide the technology to be adopted and size of the books to be printed. The decision of TNTBC is final in this regard.

    Sheetfed printer is expected to print 2500 reams and deliver the books in 30 days. Web offset printer is expected to print 4000 reams and deliver the books in 30 days. The printer should have necessary printing and binding capacity.

    Submission of a bid implies that the Bidder is agreeable to print and deliver the textbooks at the designated godowns of TNTBC.

    For this purpose the, TNTBC proposes to enter into a Rate Contract for printing of textbooks as per specifications stipulated in the tender and delivering the same at the designated godowns. The TNTBC Rates finalised shall be valid from 01.12.2009 to 31.12.2010.

    The successful Bidder(s) should work closely with TNTBC in achieving the scheduled targets.

    4. GENERAL INSTRUCTIONS

    The Bidders are requested to go through the instructions, terms & conditions and specifications given in the Tender carefully. Failure to furnish all required information in every respect will be at the Bidder's risk and may result in the rejection of their bid.

    4.1 Clarifications in the Tender

    a) A prospective Bidder requiring any clarification in the Tender may address the Tender Inviting Authority by letter or by Fax. TNTBC will respond in writing to any request for clarification in the Tender.

    b) The responses to the clarifications will also be notified in TNTBC's website.

    4.2 Amendments to the TenderTNTBC reserve the right to amend the Tender Conditions upto 2 days prior to the time fixed for receipt of the Tender. Such amendments will be notified inGovternment of TN website : http://www.tenders.tn.gov.in or TNTBC's Website : http://www.textbookcorp.tn.nic.in.Also, amendments to the tender may be given in response to clarifications by prospective Bidders solely at the discretion of TNTBC.

    a) TNTBC at its discretion may or may not extend the due date and time for the submission of bids on account of amendments.

    b) All the Bidders must periodically browse TNTBC's website till theclosing date of this Tender for any amendments or corrigendum issued inconnection with this Tender. TNTBC will not be responsible for anymisinterpretation of the provisions of this tender document on account of the Bidders' failure to update the bid documents based on changes announced through the website.

    4.3 Language of the Bida) The bid prepared by the Bidder as well as all correspondence and documents

    4.4 Any offer made in response to this tender when accepted by TNTBC will constitute a contract between the parties.

    4.5 CORPORATION NOT BOUND BY ANY PERSONAL REPRESENTATION

    The printer shall not be entitled to any increase in the rates or any other right or claim whatsoever by any reason or any representation, explanation or statement or alleged representation, promise or guarantee given or alleged to have been given to him by any person of the Corporation.

    4.6 MEMBERS OF THE CORPORATION NOT INDIVIDUALLY LIABLE :

    No official or Employee of the Corporation shall, in any way, be personallybound or liable for his / her acts or obligations of the Corporation under the contract or answerable for any default or omission in the observance or performance of any acts, matters or things which are herein contained.

    5. ELIGIBILITY CRITERIASl. No

    Minimum Eligibility Criteria Proof to be submitted for fulfilling the eligibility.

    1. Bidders should be in printing work of text books and allied works.

    Certificate of Registration under Press Registration Act. Bidder should furnish necessary certificate (self-attested) to this effect.

    Minimum godown / storage space of1000 sq.ft. (own / hired)

    9. Address Proof of the printing press. Copy of Property tax demand or Telephone Bill orBank pass book 1st page.

    The Bidders should meet the above said Eligibility Criteria for bidding the tender and the proof for the Eligibility should be provided in the Technical Bid.

    The existing printers who are currently undertaking printing work from TNTBC can also participate in this Tender provided, they fulfill the eligibility criteria stipulated and subject to the condition that the printer will abide by the decision of TNTBC regarding the allotment of work under the ongoing printing work and books to be published under Samacheer Kalvi Thittam.6. TENDER COST AND EMD6.1 Cost of Tender Document:

    a) The cost of Tender document is Rs. 100/-(Rupees One Hundred only) inclusiveof Tax and Rs. 150 /- if required to be sent by post. The Tender document is nottransferable to any other Bidder. Alternatively the Tender document can be

    b) The Tender document cost may be paid by Demand Draft drawn in favour of “Tamiladu Textbook Corporation”, payable at Chennai.

    6.2. Remittance of EMD / Refund / Forefeiture/ Adustment of EMD towards Security Deposit.

    a) Tender shall be accompanied by the Earnest Money Deposit of Rs. 25,000/- inrespect of Sheet-fed offset Printers and Rs. 25,000/- in respect of Web offsetPrinters by Demand Draft on any Nationalised Bank drawn in favour of theTamilnadu Textbook Corporation, payable at Chennai. The EMD can also bepaid through irrevocable bank guarantee or through small savings scrip. Thetender received without Earnest Money Deposit will be rejected. Any categoryof tenders specifically exempted by the Govt. from the payment of EMD will notbe required to make such a deposit provided they furnish evidence to thiseffect ie the downloaded copy of certificate of Micro Small and MediumEnterprises dept. (self attested) and if successful, qualified tenderer will berequired to furnish appropriate security deposit.

    b) The Earnest Money Deposit of Tenderers who fails to accept the rates offeredby the Corporation will be refunded on requisition.

    c) The EMD amount held by TNTBC till it is returned to the unsuccessful Bidderswill not earn any interest.

    d) The EMD amount of Successful Bidders will be adjusted as part of the SecurityDeposit (SD) due for successful execution of the contract.

    e) Any bid not secured with the EMD amount will be rejected by TNTBC asnon-responsive.

    f) The EMD amount shall be forfeited:(i) If the Tenderer is found that he does not possess the machineries and

    equipments as certified by the Tenderer in the Tender or technical bid form.(ii) If in the case of successful tenderers who fail to execute agreement or fail to

    furnish security deposit within the time limit.(iii) If a Bidder withdraws the bid during the period of bid validity specified in the

    tender.6.3 Cost of Bidding

    The Bidder shall bear all costs associated with the preparation and submission of its bid and the TNTBC will in no case be responsible or liable for these costs, regardless of the conduct or outcome of the bidding process.

    7. SUBMISSION OF TENDERSubmission of Tender: Two-cover system will be followed: 7.1 General Instructions:a) The Tender proposes two covers Bid system viz. (1) Technical Bid and

    (2) Price Bid. The first stage enables the TNTBC to know whether the Bidder is

    technically competent and capable of executing the order. Only those who qualify in the first stage would be eligible to take part in the second stage viz.Price Bid. The Price Bids of Bidders who failed in the first stage will not beopened.

    b) The bids should be submitted in two sealed envelopes viz.Envelope-A: Technical Bid / PART – A and Annexure I to IIIEnvelope-B: Price Bid/Price Bids / PART – B Annexure IV to VIII)

    c) Both the covers must be sealed separately and superscribed with Tender number, due date and Name of the Envelope on the respective covers.These two covers should be enclosed in a separate cover and addressedto the Tender Inviting Authority.

    7.2 Details to be furnished in the Envelope-A Technical Bid:a) Crossed Demand Draft / Bankers' cheque/ irrevocable bank guarantee or

    through small savings scrip towards EMD should be enclosed only in the Envelope-A.(Technical Bid)

    b) Filled up Technical Specification Vide Annexure – I & II.c) Authorisation letter (Annexure - III) from the Competent Authority of the firm to

    sign this Tender document. Documents received without such authorisation willnot be considered for further processing.

    d) Letter of I.T. Clearance certificate / Assessment orders / I.T. returns to beenclosed (Xerox Copy).

    e) VAT and TIN registration number / CST number (Xerox Copy)f) Certificate of Registration under Press and Registration Act (Xerox Copy)g) Downloaded copy of (self attested) certificate of Micro Small and Medium

    Enterprises dept. for exemption from remittance of EMDh) All the required documents for Eligibility Criteria and other documents wherever

    insisted in the Tender.7.3 Signing of Bidsa) The bids shall be typed or written in indelible ink and shall be signed by the

    Bidder or a person or persons duly authorised to bind the Bidder to the Contract. Bidders are requested to sign each and every page of the tenderdocument including Schedules attached thereto. Tender document will berejected if all the pages are not signed.

    b) Any alterations, erasures shall be treated valid only if they are authenticated byfull signature by the person or persons authorised to sign the bid. Tenderdocuments should be free from over writing.

    7.4 Details to be furnished in the Envelope-B (Price Bid)a) Firm rates must be quoted only in the Price Bid Form (Please see the “PART-B-

    PRICE BID”). Rates quoted for printing of textbooks and other allied works shall be applicable for supply of textbooks to the TNTBC Godowns. The rates should also include freight charges for taking delivery of board and kraft from TNTBC

    Godowns and return of textbooks loading, unloading and stacking charges. Thepaper for printing will be supplied by the TNTBC through TNPL at the placeof printing. For details see Annuexure-X page 34.

    7.5 Mode of Submission :

    The submission of tender form shall be as follows :

    a) Two cover system will followed and both the sealed Envelopes viz.Envelope-A and Envelope-B must be sealed separately put in a biggersingle cover, sealed and must be superscribed “Tender for Printing ofTextbooks and Allied Works”. It shall be addressed to The Secretary andGeneral Manager i/c, Tamilnadu Textbook Corporation, D.P.I. Campus, CollegeRoad, Chennai-6.

    b) The Tender must be dropped in the Tender box kept at Tamilnadu Textbook Corporation, D.P.I. Campus, College Road, Chennai-6, on or before the duedate/time.

    c) Alternatively, the Tenders must reach TNTBC on or before the due date andtime by registered post/courier. TNTBC will not be liable or responsible forPostal/Courier delay, if any.

    d) The Tenders received after due date and time or tenders unsealed or inIncomplete shape or Tenders submitted by Facsimiles (FAX) or by Electronicmail will be summarily rejected.

    e) A Bid once submitted shall not be permitted to be altered or amended.

    7.6. Service of Notice:

    Any notice hereunder may be served on the Successful Bidder by Registered Post at his last known address. Proof of issue of any such notice should be conclusive of the Successful Bidder having been duly informed.

    8. OPENING OF TENDERS

    8.1 Tender Opening:

    a) Tenders will be opened at the prescribed date and time in the presence of Bidders or their representatives who choose to be present. The representatives of Bidders must bring the authorisation letter for attending the Tender opening. Not more than two representatives for each Bidder would be allowed to take part during the bid opening process.

    b) If the date on which the tender is to be opened is declared to be a holiday, the tender be deemed to remain open till 2.30 p.m. of the next working day.

    c) Envelope-A containing Technical Bid would be opened first. Eligibility Criteria such as payment of EMD and compliance with pre-qualification conditions will be checked. The supporting documents would be checked wherever required.

    d) Only the Technical Bid will be opened on the due date.

    e) The date, time and venue of opening the Price Bid will be intimated separately.

    f) Tenders non compliant with any of the tender terms will not be considered for the next stage i.e. for opening of the Price Bid.

    8.2 Period of Validity of Bids

    a) Bids shall remain valid for a period of from 01.12.2009 to 31.12.2010.

    b) In exceptional circumstances, the TNTBC may solicit the Bidder's consent for an extension of the period of validity. The request and the responses thereto shall be made in writing.

    9. TENDER EVALUATION CRITERIA:

    The evaluation of Tenders will be done by TNTBC as detailed below:

    9.1. Technical Bid evaluation.

    a) Compliance with Technical specifications and (as mentioned in Annexure-II)minimum requirements of Machineries for printing textbooks and allied works.

    b) Submission of EMD.

    c) Compliance with the eligibility Criteria indicated in page number 10.

    TNTBC will prepare a list of eligible Bidders based on the compliance of detailed Technical Specifications as given in Annexure-I in Tender form. The Tenders, which do not confirm to the Technical Specifications or Tender conditions or Tenders without minimum machine requirements shall be rejected. The Eligible Bidders alone will be considered for further evaluation.

    9.2 PRICE BID EVALUATION :

    Opening of Envelope-B Price Bid:

    Bidders who have qualified in Technical Bid (Envelope-A) only will be called for Price Bid opening. The technically qualified Bidders alone will be informed of the date and time of opening of the Price Bid and their Price Bids alone will be opened on the due date and time in the presence of the Bidders or their authorised representatives who choose to be present. The decision of TNTBC will be final in this regard.

    10. NEGOTIATION

    TNTBC reserves the right to negotiate with the L1 Bidders whose offer is the lowest evaluated rates for further reduction of rates. TNTBC also reserves the right to negotiate with other Bidders to match the negotiated L1 rates.

    11 GENERAL TERMS

    a) The participating Tenderers should possess the minimum required machineries for printing of Textbooks and Allied Works as indicated in Annexure-II

    b) The premises of the Tenderers will be inspected by the officers/employees of the Corporation or committee nominated by the Tamilnadu Textbook Corporation to assess their actual printing capacity with reference to the details contained in the Annexures I & II.

    c) The Bidder must quote the rates in words and figures in the Annexuresenclosed herewith duly filling the relevant columns. Tenders are liable to berejected if the rates are not quoted as per the columns in theAnnexure. The original and all Annexures of the tenders shall be signed by thetenderers.

    d) Successful tenderers who have failed to perform the entrusted printing works in previous tenders with TNTBC and who have been removed from the list ofapproved printers or whose EMD/Security Deposit has been forfeited by the Corporation due to non-performance or who have been blacklisted by theGovernment of Tamilnadu. are not eligible to participate in this Tender.Tender(s)if received from such printers will be rejected.

    e) Tenderer shall state in what capacity he is signing the tender such as sole proprietor or as a partner of a partnership firm or Secretary/ Manager/ Director for Ltd.. Company or Karta of Hindu undivided family or under Power of Attorney on behalf of so and so and proof for the above should be furnished. Any suppression of facts will lead to rejection of tender or cancellation of agreement as the case may be and forfeiture of all deposits furnished by him.Besides the Corporation reserves the right to recover the cost of paperand materials supplied by the Corporation.

    f) The rates specified in this Annexure are inclusive of charges for thefollowing:

    (i) The paper for printing of Textbooks will be supplied by the TNTBC throughTNPL as detailed below :Paper will be supplied to the printers by the TNTBC through TNPL. It is the endeavour of the TNTBC to remove the difficulties of transporting the paper from the godowns to the printers. The unloading of paper will be done by TNPL. Stacking and safeguarding the paper will be the responsibility of the printer. The supply of paper by TNPL is subject to the following conditions.

    1. The paper will be supplied to the printer in the state of Tamil Nadu at a cost that will be borne by TNTBC.

    2. For the printers located outside the state, the paper will be delivered by TNPL.The cost of transport will be borne by TNTBC as indicated below.

    a. Up to Rs. 800 /- M.T : TNTBCb. Above Rs. 800 /- M.T. : The difference cost above Rs. 800 /- M.T. alone will have to be borne by the printer.

    The tax liability applicable in the state of Tamil Nadu over and above Rs. 800 /- per M.T. will have to be borne by the printer. In respect of other states tax liability will have to be borne by the printer irrespective of the cost / M.T.

    The printers while quoting the rates may take in to consideration the abovepoints.

    (ii) The printer should take delivery of the duplex board / virgin coated board andkraft paper from the Regional Godowns of the Corporation. The transportcharges for taking delivery and to return unused paper, board and kraft papershould be met by the printer. The printer can choose the Regional Godown fromthe list of Regional Godowns detailed in Annexure – IX.

    (iii) The duplex board / virgin coated board and kraft paper should be taken deliveryat the cost of the printer from the godowns of the Tamil Nadu TextbookCorporation after furnishing an acknowledgment duly signed by the printer. Thedelivery will be effected only against his signature. The details of the RegionalOffices and their addresses are detailed in the Annexure – IX.

    g) Delivery of printed books :Printed books should be delivered by the printer at his risk in the Corporation's godowns within the city of Chennai or at the Regional Godowns of theCorporation. The printer may indicate his choice from among the list of RegionalGodowns detailed in Annexure – IX at his cost.However, the TNTBC reserves the right to direct the printers to deliver the printed books at different locations. In case such a location is farther than the location chosen by the printer, then the TNTBC will reimburse them for the extra cost at the millege rates approved by the TNTBC. The rates are.

    This will also apply to the printers outside the state of Tamil Nadu. However anyadditional tax liability will have to be borne by the printers.(i) The printer should take adequate care for the Corporation's materials taken

    delivery by them and they are responsible for their return to the corporation.(ii) Delivery of books include conventional stacking of the books in the

    Corporation's Godown as per the directions of the Godown-in-charge.(iii) While quoting the rates it should be taken into account that the Tenderers

    will be benefited by way of sale proceeds of paper jellies, gunnies.

    (iv) The printer shall supply proofs for the matter sent from time to time for carrying out the corrections therein, whenever necessary. Final copies shall be printedonly after the final proofs are approved by the Corporation and strike order isgiven by the Corporation. No extra charges will be paid for attending to the author's corrections.

    h). The Tenderer shall strictly abide by all the rules and regulations of theCorporation.

    i). The contract or any part / share of interest in it shall not be transferred or assigned by the Successful Bidder directly or indirectly to any person or persons.

    j). The enclosures, to the Tender Document, viz. the detailed final offer of the Successful Bidder will form part of this contract. Wherever the offer conditions furnished by the Successful Bidder are at variance with conditions of this contract, the latter shall prevail over the offer conditions furnished by the Successful Bidder.

    k). The Tender conditions and other documents accompanying the Tender documents will form an integral part of this contract.

    l). Any notice to the Successful Bidder shall be deemed to be sufficiently served, ifgiven or left in writing at their usual or last known place of abode or business.

    12. SPECIAL TERMS1. Tenderers shall print only with CD / positives supplied by the Tamilnadu

    Textbook Corporation.2. The Printer shall not on any account print more than the specifically ordered

    quantity by the Corporation. The marginal number of copies, if any, printed in excess shall be delivered to the Corporation free of cost.

    3. The printer will be supplied with the quantity of printing paper, board and kraft paper of the quality necessary for the work entrusted to him, in installments or otherwise at the discretion of the Corporation on the basis of requirementswhich shall be delivered by the TNTBC in respect of paper and by the printer in respect of other materials at his own expenses and the printer shall duly and properly account for the printing paper, board and kraft paper supplied to him. For calculating the paper requirements the following percentages of wastage willbe allowed:

    (a) For Text Printing by sheet-fed printing machines half percent per colour per side in respect of paper.

    (b) For Text Printing by Web-Offset, two percent for single/first colour in all forboth sides and 0.5 percent for each subsequent colour for both sides in all on the nett weight of reels.

    (c) In respect of print orders for Text by Sheet-Fed, when the number ofcopies to be printed is 5000 and less, one percent per colour per side. Inthe case of Web-offset when the number of copies to be printed is 5000and less, 3 percent for single colour for both sides in all on the nett weightof reels.

    (d) For wrapper printing, one percent per colour which includes half percentwastage of the total for Binding operations.

    (e) In respect of Kraft paper for bundling of Textbooks, half percent of totalrequirement of kraft paper.

    No printing charges will be paid on the wastage allowed inclusive of 6specimen copies to be supplied with the first printing bill.

    4. The printer shall use only the paper, board and kraft paper supplied by the Corporation and if it is noticed that he has used paper, board and kraft paper other than that supplied by the corporation action will be taken either toterminate the contract or impose such penalty or both as the Corporation maydeem fit.

    5. The recoveries that may become due on account of excess consumption of paper or wastages or due to failure to return unused paper shall be effected atthe open market rate or at purchase price plus 25% thereon.

    6. In the case of short supply of books, the selling price of the book or 125% of the cost of material supplied whichever is higher will be recovered.

    7. The printing work will be awarded to the eligible tenderers at the lowest rate quoted in the tender in respect of each category of operations subject to acceptance by bidders to undertake the work at the rates offered by the Corporation. The quantum of work that will be awarded to the eligible tenderers will be based on an assessment of the printing capacity of the printers by the Corporation. In this respect the decision of the Chairman and Managing Director of the Corporation will be final.

    8. Packing of books should be done in the conventional form and the required quantity of kraft paper will be supplied by the Corporation. 25% of cost of kraft paper will be recovered by the Corporation from the amount payable to the printer.

    9. The eligible Tenderer shall treat the type setting, printing of books entrusted by the Corporation as strictly confidential and shall not print or publish translations, annotations, commentaries or guides in connection with the book or any part of the books printed by him. For any breach of this condition the tenderer shall be liable to pay damages to be fixed by the Chairman and Managing Director of the Corporation without prejudice to the other legal rights of the Corporation.

    10. The printer shall correctly print the required number of copies neatly, accurately and clearly according to the agreement. If copies of the Textbooks printed and supplied are found defective due to pages not being printed or readable and printed upside down, etc., for such copies recovery shall be effected at the sale price of the books. For this purpose a sum of Rs. 10,000/- shall be paid by the printer as a deposit for defective copies to be kept for a period of 3 years. No interest will be paid on such deposit.

    In the case of readable defective copies, appropriate penalties will be levied by the Corporation and the decision of the Corporation shall be final.

    11. The printer shall at times during the currency of the work carry out in all respectmeticulously, the orders, instructions and directions of the Corporation and allofficers acting under its orders and to act in all or any of the matters and thingsherein contained and offer all facilities for the inspection of the work executedand the relevant account of materials supplied by any authorised officer of theCorporation at any hour of the day or night and the above persons shall abide bythe decision of the Corporation in all matters relating to or in any way concerningthe transaction of the agreement or any matter or thing herein contained or anyquestion arising there of and every such decision as aforesaid shall be final,conclusive and together operative and binding on the above persons.

    12. The Tenderer shall be liable to indemnify and reimburse the Corporation against any damages sustained by the Corporation including loss of reputation on a account of the failure of the above persons to fulfill any of the terms and conditions of his tender.

    13. If the tenderer fails to return to the Corporation the unused paper and other materials to the Corporation, the Corporation shall enter upon the premises of the contractor and recover the materials and goods belonging to the Corporation and also attach the properties and assets of the printer including taking of legal action.

    14. The Chairman and Managing Director, Tamilnadu Textbook Corporation, on behalf of the Corporation reserves to himself the right to reject any or all tenders without assigning any reason whatsoever and the decision of the Chairman and Managing Director shall be final.

    15. ACCEPTANCE OF TENDER

    a) The final acceptance of the Tender is entirely vested with TNTBC whichreserves the right to accept or reject any or all of the Tenders in full or inpart.

    b) After acceptance of the Tender by TNTBC, the Bidder shall have no right to withdraw his Tender or claim higher rates. The Tender accepting authority may also reject all the Tenders for reasons such as changes in the scope of procurement, lack of anticipated financial resources, court orders, accidents or calamities and other unforeseen circumstances.

    c) Under Rate Contract, TNTBC has a right to issue Print Orders to more than oneBidder.

    d) The approved rates will be intimated to all the qualified Tenderers by the Corporation by Post. The qualified Tenderers who accept the rates offered by the Corporation shall intimate their acceptance within seven days, from the date of receipt of the communication. The Corporation is not responsible for anypostal delay. The approved rates will also be put up on the notice board of the Corporation.

    13. SECURITY DEPOSIT (SD):

    I. Remittance of Security Deposit

    a) Eligible Tenderers shall furnish security deposit of Rs. 50,000/- for a sum equalto 5% of the estimated value of charges to be paid to the Tenderers by means ofDemand Draft on any Nationalised Bank. irrevocable bank guarantee from anyNationalised Bank or small savings scrips. Security Deposit will not bear interest.

    b) Earnest Money Deposit will be adjusted as a part of security deposit in the caseof tenderers who accept the rates offered by the Corporation.

    II. FORFEITURE OF S.D.

    a) Forfeiture of SD: If the Successful Bidder fails to act according to the Tender conditions or withdraws the offer after their Tender has been accepted, their SDwill be forfeited.

    b) In the event of any work executed by the Tenderer under these conditions,being in the opinion of the Corporation, unsatisfactory or not in accordance withthe directions or instructions issued by the Corporation in regard to the same(such opinion being final and not open to question by the Tenderer) it shall belawful for the Corporation to reject the work executed by the above persons andto direct them to do the same again to the satisfaction of the Corporation freeof cost to the Corporation and the above person shall also be liable for allexpenses, cost, loss and / or damages sustained by the Corporation by thereasons of any bad, inaccurate, unsatisfactory or delayed execution of work. Insuch cases The Corporation reserves its right to terminate the contract andentrust the work to some other agencies and the above person shall be liable topay the extra cost, if any, involved an account of the work being entrusted andexecuted by another agencies, besides forfeiture of Security Deposit.

    III. RELEASE OF S.D.

    The Security Deposit will be refunded to the Successful Bidder on completion of entire supply and subject to satisfaction of TNTBC. Such completion would be arrived at when the entire quantity of Textbooks is supplied by the Bidder as per the Agreement. The S.D. will be refunded only after original receipt issued byTNTBC is returned.

    14. BANK GUARANTEE & INSURANCE FOR SUPPLY OF MATERIALS

    (i) The successful Tenderers should furnish in favour of the Corporation,Irrevocable Bank Guarantee for an amount equal to 20% of the total value ofpaper / board / kraft paper that would be supplied to the Tenderers by theCorporation.

    (ii) The entire value, that is 100% of the value of paper / board / kraft paper that would be supplied by the Corporation should be covered by insurance in the name of the Tamilnadu Textbook Corporation at the cost of the eligible Tenderer against fire, earth quake, theft, burglary, riot, strike, flood, cyclone and tsunami.

    (iii) Irrevocable Bank Guarantee and insurance coverage should be valid for the period of contracts and must cover for the period upto 31.12.2010.

    15. EXECUTION OF AGREEMENT:

    1. The qualified Tenderers who accept the rates shall execute an agreement in the prescribed form within seven days from the date of receipt of print order issued by the Corporation.

    2. The tenderers shall not assign or sub-let the allotted work in whole or in part or any benefit thereunder.

    16. AWARD OF PRINT / WORK ORDER TO ELIGIBLE BIDDERS1. The printing works will be awarded to the eligible tenderers at the lowest rate

    quoted in the tender in respect of each category of operations subject to acceptance by bidders to undertake the work at the rates offered by the Corporation. The quantum of work that will be awarded to the eligibletenderers will be based on an assessment of the printing capacity of the printersby the Corporation. In this respect the decision of the Chairman and Managing Director of the Corporation will be final.

    2. The Corporation reserves the right to place additional orders.17. DELIVERY AND PENALTY CLAUSE:a) The books shall be bundled as per the instructions of the Sales Officer before

    giving delivery to the authorised representatives of the Corporation in the premises of the Corporation's Godowns. The printer shall make satisfactory arrangements at his own risk and expenditure for the proper delivery of the bundles to the agent of the Corporation as per the Corporation directions. Thebooks shall be neatly packed in kraft paper supplied by the Corporation and tied on the four sides with thick jute twine and labelled with a printed label on two sides of the bundle, all being done at the cost of the printer.

    b) During printing and before despatch of books, the same is subject to scrutiny and certificate by the employees / Officers of the Corporation.

    c) The time for various operations involved in the production of textbooks, printingand binding time will be allowed as specified in the print / work order.Failure to adhere to the time schedule mentioned in the print/work order will entail penalty at half percent per day of the charges payable for the delayed supply of quantity.Besides the above mentioned penalty the Corporation reserves the right toterminate the contract without giving notice for such termination, to recover the paper and other materials without prejudice to other legal rights.

    d) The printing materials i.e. CD / Positives should be returned to the Corporationimmediately after the printing is over. Penalty of Rs.50/- per day of delay will belevied if it is returned after 7 days from the last date of delivery of books.

    e) The excess of printing Paper / Board / Kraft paper shall be returned to theCorporation godown immediately after it becomes known to the printers. If the

    same is not delivered a penalty of Rs.100/- per tonne per day will be levied forsuch deliveries. Besides the above mentioned penalty, the Corporationreserves the right to recover from the Irrevocable Bank Guarantee furnished orfrom the outstanding bills of the printers without prejudice to other legal rights.

    18. PAYMENT TERMS :

    a) Printing charges will be paid after the receipt of the delivery of books, necessary technical certificate and paper accounts are received.

    b) Payment will be made for 80% of the amount payable after the delivery of booksat the Corporation's godown if the work is found satisfactory. The remaining20% of the amount will be paid only after scrutiny as regards paperconsumption, return of negatives / positives, manuscripts, illustrations /diagrams and wrapper designs, final approved proofs, art-pulls, unused paper,wrapper, etc., and the finalisation for all relevant accounts. The Tenderer shalltake due care of all the Corporation materials. If any one of them is damaged,lost or not made available to the Corporation the cost of it will have to be borneby the Tenderers and if already paid by , the corporation, the same will berecovered from the tenderers. In respect of other allied works payment willbe made as mentioned above.

    c) The bills relating to the cost of printing and binding of the books shall be subjectto technical scrutiny of the Corporation in respect of quality for each consignmentof books delivered and the decision of the Corporation in passing the bills shallbe final.

    19. FORCE MAJEURE CONDITIONS :If at times during the continuance of the Agreement/Contract, it becomesimpossible by reason of war or war-like operations, epidemical sickness,pestilence, earthquake, fire, storm or floods, the supplier shall during thecontinuance of such contingencies not be bound to execute the contract as perthe agreement/contract. The work shall be resumed immediately after thecontingency/cies has / have ceased or otherwise determined and theSuccessful Bidder’s obligations shall continue to be in force for correspondinglyextended period after the resumption of execution. The Successful Bidder shallhowever inform the Corporation by registered post about such act at once.In the event of delay lasting over one month, if arising out of cause of ForceMajeure, the Corporation reserves the right to cancel the contract without anycompensation.Only events of Force Majeure which affects the order progressing at the time ofits occurrence shall be taken into cognizance. The Corporation shall not beliable to pay extra costs due to delayed supplies made under Force Majeure.

    20. JURISDICTION :All disputes and the action on proceedings in respect of tender and the mattercovered by this tender shall be determined only before the courts in Chennaiand no other courts shall have any jurisdiction to entertain or proceed with ordetermine any such dispute, claim or proceedings.

    21. CONCILIATION :The Director of Stationery and printing, Government of Tamilnadu, Chennai or his incharge shall be the CONCILIATOR. Conciliation efforts are mandatory before invoking Arbitration Clause. The concilator shall endeavour to conclude his proceedings within 3 weeks from the date of reference of a dispute or claim to the conciliator The C.M.D. of the Tamilnadu Textbook Corporation can delegate a person of staff or Legal Adviser to participate in conciliation proceedings on his behalf.

    22. ARBITRATION:All matters relating to any dispute which may arise during the execution of thecontract shall be referred to Arbitration of an Arbitrator to be mutually agreedupon between the successful tenderer and Tamil Nadu Textbook CorporationLtd. In case of failure, the dispute shall be referred to the award of twoArbitrators one to be appointed by Tamil Nadu Textbook Corporation Ltd. Andother by the tenderer. The two Arbitrators shall appoint an Umpire in advanceof their consideration of any point of dispute. The decision of the Arbitrator incase of former and that of the Umpire in the case of latter shall be final andconclusive and binding on both the parties. The provisions of the IndianArbitration and Conciliation Act, 1996 and the Rules made there under and any statutory modification thereof shall be deemed to form a part of contract. The venue of such arbitration shall be at CHENNAI only. Arbitration suits or any other claims filed in any Court of Law outside Chennai City will not be binding on TNTBC.     4. Required kraft paper will be supplied by the Corporation with half percentextra for test checks to be made in the press by Technical Staff / Officers andat delivery points for number of copies per bundle only by the godown staff.

    5. Rates should also incorporate transport charges for the transport of board, kraft paper from the Regional Godowns and supplying printed Textbooks to Regional

    Godowns of the TNTBC.6. 25% of the cost of the kraft paper will be recovered from the printer.7. Saddle stitching to be done for 96 pages and less, and more than 96 pages should be

    ANNEXURE - XSupply of Paper :

    Paper will be supplied to the printers by the TNTBC through TNPL. It is the endeavour of the TNTBC to remove the difficulties of transporting the paper from the godowns to the printers. The unloading of paper will be done by TNPL. Stacking and safeguarding the paper will be the responsibility of the printer. The supply of paper by TNPL is subject to the following conditions.

    1. The paper will be supplied to the printer in the state of Tamil nadu at a cost that will be borne by TNTBC.2. For the printers located outside the state, the paper will be delivered by TNPL. The cost of transport will be borne by TNTBC as indicated below.

    a. Up to Rs. 800 /- M.T : TNTBC b. Above Rs. 800 /- M.T. : The difference cost above Rs. 800 /- M.T. alone will have to be borne by the printer.

    I. For e.g. Kottayam II. For e.g. Bhadravathi per M.T. cost Rs. 875 /- per M.T. Cost Rs. 770 /-

    TNTBC share of cost Rs. 800 / - TNTBC share of cost Rs. 770 / -

    The tax liability applicable in the state of Tamil Nadu over and above Rs. 800 /- per M.T. will have to be borne by the printer. In respect of other states tax liability will have to be borne by the printer irrespective of the cost / M.T.
