The conditions stated below shall constitute a part of the agreement resulting from an order for the whole or any part
of the apparatus covered by this quotation unless expressly excepted herein. The word “YIN” used herein shall mean
and represent PT. YOKOGAWA INDONESIA.
The words Purchaser used herein shall mean : PT.PP (Persero) Tbk - Divisi EPC
* ACCEPTANCE
All orders based on this proposal shall be subject to the approval and acceptance of YIN as to price,
quantity, delivery and other conditions not stated herein.
* SCOPE OF SUPPLY AND WORK
No equipment nor service other than expressly stated in and covered by this proposal is included in the
scope of supply of YIN.
* PRICE
3.1) All price pertaining to an order shall be based on YIN written quotation.
3.2) All quoted prices are in US Dollars unless specified otherwise in the quotation.
* TERMS OF VALIDITY
If an extension of validity period is required, the purchaser shall make this request in writing to YIN.
YIN reserves the right to alter this proposal whether in whole or in part, upon such request.
Validity shall be 30 days from this proposal date.
* SPECIFICATION CHANGES AND CANCELLATIONS
Upon confirmation of order, no addition to or modification of any of the specification shall be binding
upon YIN unless made in writing and signed by a duly authorised officer of YIN.
Any change from the original specification on which YIN quotation is based shall be documented and
advised to YIN in the form of a revision of Purchase Order. All charges by Purchaser are binding only
if accepted by YIN.
5.1) Additional cost due to such specification change shall be quoted by YIN within 30 days after
receipt of revision of order.
5.2) The following table indicates the rate of cancellation charges at various stages of progress of
factory orders.

After release of production but prior to completion of manufacture 60%
After completion of manufacture but prior to shipping 100%
Whenever there are item in this proposal that are subcontracted by YIN to a third party, the terms
involving changes in specification and for cancellation between YIN and the third party shall apply to
the purchaser.
* TYPING ERRORS
YIN reserves the right to correct at typographical or clerical errors which may be present in the prices or
specifications in this proposal.

Time of shipment stated herein is approximate and subject to prompt receipt of Purchase Order, and
all necessary system design and engineering information by YIN at its factory.

* DELIVERY OF PLACE
Delivery of place Free On Truck at Site Gresik East Java ( Exclude Loading & Unloading at Site )
* SUSPENSION OF THE WORKS
In the event that the Purchase requires, after establishment of the contract, to temporarily suspend the
work order processing for some time or indefinitely or requires to defer the agreed delivery time, and
that YIN accepts such request, YIN RESERVES THE RIGHT TO CLAIM FROM THE Purchaser an
equitable compensation for all the expenses directly or indirectly caused by such suspension of the work
or postponement.
* WARRANTY
YIN warrants that all its manufactured equipment shall be free from defects in material or workmanship
under normal or proper usage. YIN’s obligation is limited to replacing, free of charge, any part of an
instrument or apparatus which shall be returned, transportation charges prepaid, by the purchasers
within twelve (12) months after starting-up or otherwise eighteen (18) months from shipment by YIN
whichever comes first, and which examination proves not to be within the specified limit of calibration
or to be defective in material or workmanship. In no event shall YIN be liable for consequential damages.
However, consumable item and fragile item, thermo-couples, resistance bulbs are not subject to
replacement unless returned unused.
On equipment other than YIN manufactured, supplied by YIN the Warranty of the original manufacturer
applies.
* INSPECTION
All equipment shall be tested before shipment by YIN or its sub-contractors. The inspection or test by
Purchaser or purchaser nominated inspector is acceptable, provided that the costs for such inspection
such as man-hour rate, travel expenses, etc.,. shall be borne by Purchaser nominated inspector. Timing
for such inspection shall be by prior agreement between YIN and Purchaser.
* DOCUMENTATION
The document to be submitted by YIN shall be in YIN standard form.
* LANGUAGE
All documents and working language for this contract shall be in English.
* EXPORT PACKAGING
Export Packing, if required will be made in accordance with YIN standard procedure.
* FORCE MAJEURE
YIN shall not be liable for loss, damage, detention or delay caused by fire, strike, civil or military authority,
insurrection or riot, or for any other course beyond its reasonable control.
* DISPUTES
All disputes and differences in opinions arising our of or in connection with orders based on his proposal
shall be settled between Purchaser and YIN in an amicable way. The validity, performance and construction
of these terms and conditions and any sale made shall be governed by the laws of Republic Indonesia and
subject to the exclusive jurisdiction of the courts of Repulic Indonesia.
* OTHERS
All other item and conditions shall be subject to mutual agreement. The definitions and understanding
of works used herein and in the contract, resulting from this quotation shall be subject to
INCOTERM 1980 (International Rules for the Interpretation or Trade Terms) by the international
Chamber of Commerce.

Prices do not include any foreign or local taxes or duties, new or hereafter enacted, applicable to the
Equipment sold where YIN is obliged to pay these taxes or duties in the first instance, the Purchaser
shall reimburse YIN the same amount.

The conditions stated below shall constitute a part of the agreement resulting from an order for the whole or any part
of the apparatus covered by this quotation unless expressly excepted herein. The word “YIN” used herein shall mean
and represent PT. YOKOGAWA INDONESIA.
The words Purchaser used herein shall mean : PT.PP (Persero) Tbk - Divisi EPC
* ACCEPTANCE
All orders based on this proposal shall be subject to the approval and acceptance of YIN as to price,
quantity, delivery and other conditions not stated herein.
* SCOPE OF SUPPLY AND WORK
No equipment nor service other than expressly stated in and covered by this proposal is included in the
scope of supply of YIN.
* PRICE
3.1) All price pertaining to an order shall be based on YIN written quotation.
3.2) All quoted prices are in US Dollars unless specified otherwise in the quotation.
* TERMS OF VALIDITY
If an extension of validity period is required, the purchaser shall make this request in writing to YIN.
YIN reserves the right to alter this proposal whether in whole or in part, upon such request.
Validity shall be 30 days from this proposal date.
* SPECIFICATION CHANGES AND CANCELLATIONS
Upon confirmation of order, no addition to or modification of any of the specification shall be binding
upon YIN unless made in writing and signed by a duly authorised officer of YIN.
Any change from the original specification on which YIN quotation is based shall be documented and
advised to YIN in the form of a revision of Purchase Order. All charges by Purchaser are binding only
if accepted by YIN.
5.1) Additional cost due to such specification change shall be quoted by YIN within 30 days after
receipt of revision of order.
5.2) The following table indicates the rate of cancellation charges at various stages of progress of
factory orders.

Whenever there are item in this proposal that are subcontracted by YIN to a third party, the terms
involving changes in specification and for cancellation between YIN and the third party shall apply to
the purchaser.
* TYPING ERRORS
YIN reserves the right to correct at typographical or clerical errors which may be present in the prices or
specifications in this proposal.

Time of shipment stated herein is approximate and subject to prompt receipt of Purchase Order, and
all necessary system design and engineering information by YIN at its factory.

* SUSPENSION OF THE WORKS
In the event that the Purchase requires, after establishment of the contract, to temporarily suspend the
work order processing for some time or indefinitely or requires to defer the agreed delivery time, and
that YIN accepts such request, YIN RESERVES THE RIGHT TO CLAIM FROM THE Purchaser an
equitable compensation for all the expenses directly or indirectly caused by such suspension of the work
or postponement.
* WARRANTY
YIN warrants that all its manufactured equipment shall be free from defects in material or workmanship
under normal or proper usage. YIN’s obligation is limited to replacing, free of charge, any part of an
instrument or apparatus which shall be returned, transportation charges prepaid, by the purchasers
within twelve (12) months after starting-up or otherwise eighteen (18) months from shipment by YIN
whichever comes first, and which examination proves not to be within the specified limit of calibration
or to be defective in material or workmanship. In no event shall YIN be liable for consequential damages.
However, consumable item and fragile item, thermo-couples, resistance bulbs are not subject to
replacement unless returned unused.
On equipment other than YIN manufactured, supplied by YIN the Warranty of the original manufacturer
applies.
* INSPECTION
All equipment shall be tested before shipment by YIN or its sub-contractors. The inspection or test by
Purchaser or purchaser nominated inspector is acceptable, provided that the costs for such inspection
such as man-hour rate, travel expenses, etc.,. shall be borne by Purchaser nominated inspector. Timing
for such inspection shall be by prior agreement between YIN and Purchaser.
* DOCUMENTATION
The document to be submitted by YIN shall be in YIN standard form.
* LANGUAGE
All documents and working language for this contract shall be in English.
* EXPORT PACKAGING
Export Packing, if required will be made in accordance with YIN standard procedure.
* FORCE MAJEURE
YIN shall not be liable for loss, damage, detention or delay caused by fire, strike, civil or military authority,
insurrection or riot, or for any other course beyond its reasonable control.
* DISPUTES
All disputes and differences in opinions arising our of or in connection with orders based on his proposal
shall be settled between Purchaser and YIN in an amicable way. The validity, performance and construction
of these terms and conditions and any sale made shall be governed by the laws of Republic Indonesia and
subject to the exclusive jurisdiction of the courts of Repulic Indonesia.
* OTHERS
All other item and conditions shall be subject to mutual agreement. The definitions and understanding
of works used herein and in the contract, resulting from this quotation shall be subject to
INCOTERM 1980 (International Rules for the Interpretation or Trade Terms) by the international
Chamber of Commerce.

6.6. CERTIFICATION AND WARRANTY
Certification only applies for Pressure Vessel and PSV Supply. (Certification provide from DEPNAKER ) Mechanical Warranty will provide for period 18-months from Installation or 12-months from
Commissioning. Mechanical Warranty cover only for manufacturing defect. Other defect cause by Installation are excluded
Process Warranty will cover 12-months after Installation, subject to Inlet Process Data as per our Proposal. Any change on inlet process data will make our warranty to be review based on change of data.
6.7. INCLUSION
Anchor Bolt (Supply Loose) Delivery to Site Gresik Supervision for Installation, Start-Up and Commissioning, (for max. 5-days duration)
Beyond 5-days, Daily Rates will be applied

Certification only applies for Pressure Vessel and PSV Supply. (Certification provide from DEPNAKER ) Mechanical Warranty will provide for period 18-months from Installation or 12-months from
Commissioning. Mechanical Warranty cover only for manufacturing defect. Other defect cause by Installation are excluded
Process Warranty will cover 12-months after Installation, subject to Inlet Process Data as per our Proposal. Any change on inlet process data will make our warranty to be review based on change of data.
6.7. INCLUSION
Anchor Bolt (Supply Loose) Delivery to Site Gresik Supervision for Installation, Start-Up and Commissioning, (for max. 5-days duration)
Beyond 5-days, Daily Rates will be applied
