This 1.5-day module focuses on the important elements and impact of disruptions in technology and

cybersecurity on business and organizations now and in the future. Agriculture and financial services

CPE Credits

FCC Services is registered with the National Association of State Boards of Accountancy (NASBA) as a sponsor of continuing professional education on the National Registry of CPE Sponsors. State boards of accountancy have final authority on the acceptance of individual courses for CPE credit. Complaints regarding registered sponsors may be

submitted to the National Registry of CPE Sponsors through its website: www.learningmarket.org. CPAs requiring continuing education credits are required to sign in on the Sign-In sheet located at the back of each session room to receive CPE credits for that session. You must also complete and sign a Request for CPE Credits Form, available at the conference registration desk. CPEs can be awarded in the following categories (all sessions offered as Group-Live delivery method):

Total CPEs* 15.2 CPEs *The total number of CPEs you receive for a session depends on you signing in for each session on the Sign-In Sheet. If you don’t sign in for each session, you will not receive CPE credits for that session.

Registration Cancellation Policy

Registration fees are non-refundable and it is encouraged you find a director from your organization to

substitute in the event of a cancellation. If you must cancel, please send an email to

[email protected]. FCC Services will confirm your cancellation by email within 72 hours of

receipt. Registration fees may be transferred from one registrant to another without penalty.

Katherine Charlet

Katherine Charlet is the inaugural director of Carnegie’s Technology and International Affairs Program. She works primarily on the security and international implications of evolving technologies, with a focus on cybersecurity and cyber conflict, biotechnology, and artificial intelligence.

Charlet most recently served as the acting deputy assistant secretary of defense for cyber policy, where she managed the development of the U.S. Department of Defense’s cyber policy and strategy, the development of cyber capabilities, and the expansion of international cyber relationships.

Charlet is the recipient of the Secretary of Defense Meritorious Civilian Service Award and has served in senior advisory roles on the Defense Science Board Task Forces on Cyber Deterrence, on Cyber as a Strategic Capability, and on the Presidential Commission on Enhancing National Cybersecurity.

Prior to working on cyberspace issues, Charlet served as the director for strategic planning at the National Security Council, led teams at the U.S. Department of Defense working on Afghanistan strategy and policy, and conducted research on issues at the nexus of science & security at the Center for Strategic and International Studies.

Leslie Hilton

Leslie Hilton is FCC Services’ Vice President of Governance and Board

Development, where she oversees the organization’s practice in cooperative

board and governance education, training, consulting, and facilitation,

including the highly-regarded Premier Governance Series and Advanced

Governance Series programs for cooperative directors. Leslie is committed to

continually developing and enhancing these and other programs to develop

cooperative board excellence and performance. She brings strategic insight and clarity to partner with

clients in developing solutions to fit their needs and objectives.

Leslie has a diverse background that includes consulting, legal and cooperative experience. Prior to

joining FCC Services Leslie managed her own consulting firm, SuccessPartner, LLC, where she worked

primarily with executives and senior managers at organizations ranging from large, publicly traded

corporations to smaller entrepreneurial companies and non-profits to develop leadership and team

effectiveness. Among her clients was a member-owned credit union, providing her key insight into the

cooperative model. Through providing assessment, evidence-based executive and team coaching,

facilitation, and training Leslie focused on the development of highly effective leaders and teams.

Earlier in her career, Leslie held legal roles in a corporate general counsel’s office where she dealt, in part,

with legislative affairs, experience that serves cooperative organizations such as Farm Credit well given

the recent increased focus on board governance and standards of conduct. She has also served as a

director and as board chair for several non-profit organizations, so understands the requirements and

challenges of meeting the fiduciary responsibilities that are key to the board’s role.

Leslie holds a Bachelor of Arts degree from University of Colorado and a Juris Doctor degree from

University of Colorado School of Law. She earned a Master of Science in Management degree, with an

emphasis in Coaching and Consulting for Change, from the University of Oxford and HEC Paris.

Scott Klososky

Writer of TechnologyStory, Former CEO of Three Successful Startup Companies

Scott is a thought leader that specializes in helping leaders see the world in new ways. He

has used innovation, velocity, and future vision to build his own companies, and to advise

clients. He speaks to audiences across the market spectrum and never fails to send them

home with at least three new ideas that can be applied right away. Scott is one of very few people that can

translate where technology and trends are going with a high level of flair. It is also rare to find someone that

has his combination of both "over the horizon" vision, and "in the trenches" experience. He is about

TRANSFORMING, not informing.

Scott Klososky currently engages clients on a broad array of advisory tasks that include IT department

restructuring, software implementation and design, and technology utilization within organizations. In

addition, he speaks professionally on subjects such as technology and leadership, and currently serves as an

Advisory Board Member for Critical Technologies, a company he served as CEO from 2001 until 2004.

Klososky's role at Critical Technologies was to build-out a fledgling Web-based imaging product, rebuild the

employee base and product line while also adding referenceable customers.

Previous to his position with Critical Technologies, Klososky served as Vice President of Production for iBEAM

Broadcasting Corporation. Klososky led a 150-person team that covered the geographical areas of California,

Oklahoma, New York and London. Under his leadership iBEAM completed two acquisitions, produced $40

million of business to become one of the industry's leading streaming communications solutions provider.

Scott was the founder and CEO of webcasts.com, a premier Internet broadcaster for interactive webcasts.

Webcasts.com established itself as the Web's only full-service broadcast production company, helping clients

in the corporate, sports and entertainment industries webcast the most interactive, cost-effective, highest-

quality productions. Webcasts.com was acquired by iBEAM for approximately $115 million in stock in April of

2000.

Klososky's predecessor company to webcasts.com was an interactive marketing company, which effectively

continued to operate as a division of webcasts.com. In 1999, he spearheaded the acquisition by webcasts.com

of The Rock Island Group, a network design and management company, which developed and operated

webcasts.com's network for webcast delivery.

Klososky's vision and leadership positioned webcasts.com to lead with innovations that include the first music

CD to launch to the Internet, the first interactive CD-ROM to be used to lobby Congress, and the first CD-

ROM/Web-based product designed to generate donations for a non-profit organization. The company's clients

included IBM, Compaq, AOL, Hewlett-Packard, Conoco Inc., and BMG Music, among others.

Cybersecurity, Risk, and Oversight

This session will be an extensive, interactive presentation and discussion of cyber-threats, cyber-security,

and the board’s role in oversight and management of these risks.

Objectives:

Participants will learn how to understand the various risks presented by cyber-threats and cyber-

security

Participants will learn about the cyber-threat landscape and the role of various players including

government, service providers, and customers

Participants will learn about the interplay of cyber-security issues and tradeoffs with technology

in enterprise risk management

Technology Disruption: Risks, Opportunities, and Oversight

This will be an in-depth, interactive presentation and discussion of the board’s role in connection with the

risks and opportunities presented by technology and disruption.

Objectives:

Participants will learn how to understand the various risks and opportunities presented by

technology disruption and innovation, and about the board’s role

Participants will learn the value of monitoring technology disruption and providing appropriate

oversight and decision-making

Participants will learn about the interplay of technology and cybersecurity issues and tradeoffs in

enterprise risk management

Wrap-up, Takeaways

This facilitated session will allow participants to reflect on key takeaways and learning from this module

for themselves and for their boards.

Objectives:

Participants will leave with a short list of important lessons and/or action items to increase their

own effectiveness as directors, and to increase the overall effectiveness of their boards.
