1. INVITATIONS FOR BIDS This invitation Bid is for selection of Service Provider to conduct a Comprehensive System Audit (including Security Audit) of Project ANNAPOORNA and also to conduct an Audit of Data Migration from AIC’s earlier data to centralized ANNAPOORNA Applications as per the scope/requirement specifications detailed in this Tender, Templates & Forms given in section 5, and instructions given in section 2, of this document. Sealed offers prepared in accordance with the procedures enumerated in section 2 should be submitted to the Deputy General Manager (IT) AIC. Eligible Bidders may submit their Bids not later than the date specified in “Important Dates” section. All Bids must be accompanied by a Bid Security in the form of Account Payee Demand Draft of Rs. 2,50,000/- (Rupees Two Lakh Fifty thousand only) .

1.1.2 About AIC

Agriculture Insurance Company of India Limited (AIC) has been formed under the aegis of the Government of India and promoted by 6 Public Sector Companies as a specialty Crop Insurance provider to the Indian farming community. AIC was incorporated on 20th December, 2002 with an Authorized Share Capital of INR 15 billion and a Paid-up Capital of INR 2 billion. AIC commenced business operations from 1st April, 2003, by taking over Crop Insurance operations from its major

Promoter, General Insurance Corporation of India.

Currently, AIC covers 25 million farmers under its various crop insurance schemes, making it by far the largest Crop Insurance Company in the world. Of these, more than 86% belong to the small & marginal category. The major challenge was to reach the remotest farmer in the country and service him at an affordable cost. If every last- mile farmer is to be reached by the Company or vice-versa, the service loading on the premium ticket would become financially crippling to him.

Since our Company is engaged in the service of the farming community of the country, the overwhelming majority of whom are poor, we have modeled our resource pattern in accordance with those economic compulsions. Accordingly, to keep our management costs to the ground, the Company functions with only around 250 employees on the rolls, but insures around 25 million farmers. We operate out of 17 Regional Offices only, but have to deal with around 150 thousand Bank Branches & Primary Agricultural Co-op. Societies at the grassroots level.

1.1.3 General Conditions

AIC may, at its discretion, waive any minor non-conformity or any minor irregularity in an offer. This shall be binding on all Bidders and AIC reserves the right for such waivers.

AIC reserves the right to scrap the tender at any stage without assigning any

reason.

AIC will provide existing basic PC infrastructure to the audit team for this exercise. AIC will not provide any extra software components, tools, utilities. All the required components, whatever required for successful implementation of the offered solution have to be provided only by the successful Bidder.

If at any stage of project implementation, it is observed that offered service does not meet AIC’s requirement and or fails to provide requisite performance and required reports due to any reason not attributable to the AIC, the Bidder shall have to take suitable measures without any additional cost to the AIC.

1.1.4 Present IT Setup

To bring uniformity, security and centralized access AIC has embarked upon its IT Systems Solution Project, titled ANNAPOORNA with the help of a technology partner, M/s TCS. This technology initiative is the only viable and feasible solution to serve the remotest farmer in economical manner.

Project ANNAPOORNA, the end-to-end, web-based, integrated, online project, has been envisioned as an enabler for streamlining the business processes of the Company and to automate the operational and administrative functions. It covers the whole gamut of IT needs of the Company, from Hardware and Software to Networking and Support. The full Application Stack under Project ANNAPOORNA is presented in the following table:

The Project also includes value-added Satellite Services like Call Center, Payment Gateway, SMS Gateway, and E-mail, etc. Overall, there is an IT Helpdesk for monitoring and crisis resolution. Project ANNAPOORNA inter-connects all the AIC touch points through a high speed MPLS network. It also connects AIC to the outside world through a single internet pipe, secured by state-of-the-art Firewalls, Intrusion Detection/Prevention Systems, 2-factor Authentication, etc. which allows “anytime-anywhere-access”.

As part of the Project, AIC aims to achieve the highest level of standardization in

Security and Service delivery through ISO 27001 Certifications. The Project has been architected as a seamlessly integrated eco-system to provide a single view of data in an info secure environment. All Applications and Databases are hosted centrally at a Data Center and mirrored at a Disaster Recovery Center, located in different seismic zones. All AIC touch points are tightly coupled over the secure high-speed MPLS network, with failure tolerance < 0.018% and packet delivery target > 99%. An alternate business channel is deployed by AIC by tying-up with 4 giant General Insurance Public Sector (GIPSA) Companies of India, - who are its Promoters as well, to utilize their Agency infrastructure for marketing of Crop Insurance Agency Force Tie-up – for last mile reach of personalized service. ANNAPOORNA IT System of AIC, was upgraded for seamless integration with the IT Systems of the GIPSA companies and automatic data transmission from GIPSA IT System to AIC IT system through Web-service implementation.

2 INSTRUCTIONS TO BIDDERS

2.1 Scope of Work AIC intends to appoint competent Service Provider to conduct a Comprehensive System Audit (including Security Audit) of Project ANNAPOORNA and also to conduct an Audit of Data Migration from AIC’s earlier data (mostly from legacy systems) to centralized Project ANNAPOORNA.

2.1.1 Applications Audit (including Security Audit)

The Bidder is required to carry out a complete audit and comprehensively end to end functional test of Applications under Project ANNAPOORNA. Application functionality review and Security Review also need to be done. The selected Bidder will have to work closely with AIC’s Implementation Vendor (ImV) [i.e. M/s Tata Consultancy Services Limited] and InfoTech Systems Consultant [M/s Wipro Limited] of Project ANNAPOORNA, AIC IT team and the Business Units/Departments of AIC in conducting Application Audit on the end-to-end solution implemented.

2.1.1.1 Functional Test Audit

The Bidder has to perform a Comprehensive Functional Test of the Business and other Applications to ensure that all the functionality implemented are functioning as per the business requirements of AIC. The successful Bidder will have to interact and collect all necessary inputs, clarification and confirmations regarding business requirements/processes from respective User Departments of AIC. The Bidder is expected to perform the following minimum set of activities related to testing for all the Applications, modules, satellite services, delivery channels, products, processes:

Development of suitable testing methodology with supporting processes, templates and develop test data.

Develop testing strategy document

Development of test calendars (encompassing day ends, month ends, quarter ends, season ends, year ends).

Development of business test case scenarios with related test cases, scripts and test data to execute

Conduct individual Application testing for the core and other Applications, modules, products, processes, interfaces, etc.

Understand the transaction mechanism and data flow within the application

Develop scenarios based on the understanding obtained above to test the controls in-built in the application

Review maker / checker process including segregation of duties

Develop and import the detailed test scripts.

Daily, weekly status reporting.

Train the AIC’s team in test script development and testing methodology.

Correctness of data being presented in the reports

Point out gaps, errors, bugs.

Explain the bugs, errors and gaps to AIC and Implementation Vendor.

Provide Application Audit reports

Review automated application controls and Password parameters, account lockout policies, and sign-on procedures

Review for existence of audit trails in the applications under review and the process of periodical review of audit trails to prevent/ detect unauthorized

access

Submit all documents on methodology, strategy, test scripts, test cases, test documentation, customization requests, solution etc. to AIC.

2.1.1.2 Application Security and Governance

The Bidder is required validate whether the Application is functioning as per standard security and governance procedures with following minimum activities:

Review of Security policy and implementation

Vulnerability Assessment and Penetration Testing o Review the existing Vulnerability Assessment (VA) and Penetration

Testing (PT) process and reports o Comprehensiveness of the VA-PT reports, closure activities and

management action plans based on the findings in the VA-PT report o Use tools and scripts to conduct VA to identify system vulnerabilities

on internal infrastructure components such as Servers, Operating System, Databases, Routers etc.

o Conduct PT on public IP/internet facing IT infrastructure (Firewall, Switches etc.) to identify network security issues

o Review network device configuration for default values

Review of Business continuity – Disaster Recovery preparedness o Review the BCP/ DR policy, BCP framework and its alignment with

Disaster Recovery o Review business impact assessment methodology o Understand the rationale behind criticality rating, Recovery Time

2.1.1.3 Compliance Test The successful Bidder is expected to conduct additional one round of defect correction testing after the corrections or implementation of recommendations is done by the Implementation Vendor (ImV).

2.1.1.4 Automated Tool based audit

The successful Bidder is required to use an automated tool for Application audit. The Bidder is expected to make available to AIC all the test cases, processes included in the automated tool. AIC will not provide any license, software components, tools, utilities. All the required components, whatever required for tool based audit have to be provided only by the successful Bidder. The tool should have at least the following features:

The tool should support n-tier infrastructure (presentation, Application/middleware, database, etc.).

The tool should be capable of testing Project ANNAPOORNA Applications.

2.1.2 Data Migration Audit

The successful Bidder will conduct a data migration audit of data migrated from AIC’s earlier software and/or hardcopy/files as per the scope given below. It is expected that the entire process of audit verification will be done centrally and at Regional Office level also, if required, for which the selected Bidder will have to work closely with the Implementation Vendor of Project ANNAPOORNA. However there may be need for the Bidder to visit some sample ROs so as to confirm the exceptions identified. AIC will not bear any additional cost for the RO visit.

The scope for data migration validation would cover the following:

Understand the legacy and present Applications at a high level

Perform an assessment of the Data Migration strategy defined for each Application

Understand the migration key parameters such as nature of migration, number of rounds of migrations, tests performed etc.

Understand the data cleansing performed including the rules used for the same

Understand the data enrichment performed to include the new mandatory fields in the old data

Review the data mapping between fields in the legacy system/other data and the present systems

100% Data migration verification has to been for selected fields.

Review the test cases and test results of the tests performed in the rounds of

migration

Selection of sample fields will be done based on discussion with stakeholders

Perform a test of completeness and accuracy on 100% of the data

The data migration verification has to be done for both pre migration and post migration activity.

2.2 Procedure for submission of Bids In order to participate in the bidding process, Bidders should follow the procedure described below for submitting their Bids. A failure to do so may result in the Bid being eliminated at the examination stage as non-responsive. The documents comprising the Bids are listed in section 2.5.2. Eligible Bidders may submit their Qualification Bid and Commercial Bid as described in Envelope I and Envelope II. Collecting information about AIC’s requirement will be the responsibility of the Bidders.

2.2.1 Envelope I –

One original + One copy (hard) and one copy (soft) (word and/or excel in CD/DVD) of Qualification Bid comprising of a letter describing the qualifying technical competence and experience of the Bidder and also certifying the period of validity of Bids upto the date mentioned in the “Important Dates” section in accordance with section 2.6. 2.2.1.1 All the original, hard/soft copies of Qualification Bid should be a complete

document, bound as a volume and placed in separate sealed envelopes.

2.3 Cost of Tender The Bidder shall bear all costs associated with the preparation and submission of the Bid, including cost of presentation and demonstration for the purposes of clarification of the Bid, if so desired by AIC. AIC will in no case be responsible or liable for all costs, regardless of the conduct or outcome of the bidding process.

2.4 Tender Document

2.4.1 Content of the Tender document

The Bidder is expected to examine all instructions, terms, forms, and specifications in this document. Failure to furnish all information required by the tender document or submission of a Bid not substantially responsive to the tender document in every respect will be at the Bidder’s risk and shall result in the rejection of the Bid.

2.4.2 Clarification of Tender document

A prospective Bidder requiring any clarification of the T ender document may notify AIC in writing (both in hardcopy as well as a softcopy) at AIC’s correspondence address as mentioned in section 1.1.1 before <As mentioned in “Important Dates” Section>. AIC will respond to any request for clarification of the tender document in the Pre-Bid meeting at the d a t e , t i m e a n d v e n u e to be notified on AIC website (www.aicofindia.com – “Tender” Tab) at least 3 days prior to the Event. Due to paucity of space, only those who have sent written queries will be allowed to attend.

2.4.3 Amendment of Tender document

Up to 7 days prior to the deadline for submission of Bid, AIC may, for any reason, whether at its own initiative or in response to a clarification requested by a prospective Bidder, modify the tender document by an amendment. The Amendment shall be published on Company’s website (www.aicofindia.com – “Tender” Tab). In order to afford prospective Bidders reasonable time in which to take the amendment into account in preparing their Bids, AIC may, at its discretion, extend the last date for the receipt of Bids.

2.5 Bid Preparation

2.5.1 Language of Bids The Bids prepared by the Bidder and all correspondence and documents relating to the Bids exchanged by the Bidder and AIC, shall be written in the English language. Any printed literature furnished by the Bidder may be written in another language so long the same is accompanied by an English translation in which case, for purposes of interpretation of the Bid, the English translation shall govern.

2.5.2 Documents comprising the Bid The Bids prepared by the Bidder shall comprise of the following components: 2.5.2.1 Qualification Bid as per criteria specified in section 2.6 to be submitted before <As mentioned in “Important Dates” Section 1.1.1>. 2.5.2.1.1 A letter on the Bidder’s letter-head:

2.5.2.1.1.1 Describing the Qualifying experience of the Bidder, 2.5.2.1.1.2 Certifying that the period of validity of Bids as mentioned

2.5.2.1.6 The Bidder should have a positive net worth (measured as paid up capital plus free reserves) for the previous financial year (2013-14).

2.5.2.1.7 The Bid security of Rs. 2,50,000/- in the form of a Account Payee Demand Draft/Banker’s Pay issued by a Nationalized / Scheduled Bank. Bid validity should be upto <As mentioned in “Important Dates” Section 1.1.1>.

2.5.2.1.8 Bidder’s proof of valid ISO 9001:2000 standards certification and/or SEI CMMi Level 4 or above. (Template given in section 5.8).

2.5.2.1.9 Bidder’s proof of having 2 CISA qualified professionals in its payroll. 2.5.2.1.10 Bidder’s proof of empanelment with CERT - Information Security

Auditor 2.5.2.1.11 The references of Bidder’s clients (along with job completion

certificates/citations) that have conducted end-to-end Application audit in at least 1(One) Public Sectors/Government Department in India. (Refer section 2.6 for qualifying reference criteria). Also provide the name, designation, and contact details of a contact person (template given in section 5.10) for each reference.

2.5.2.1.12 The references of Bidder’s clients (along with job completion certificates/citations) that have completed at least one Data Migration Audit in at least 1 (One) public sectors/Government Department in India. (Refer section 2.6 for qualifying reference criteria). Also provide the name, designation, and contact details of a contact person (template given in section 5.10) for each reference.

2.5.2.1.13 Power-of-attorney granting the person signing the Bid the right to bind the Bidder as the ‘Constituted attorney of the company’. section 2.6.14)

2.5.2.1.14 Selected Bidder shall submit PAN number, Service Tax number/Sales Tax number etc.

2.5.2.1.15 Qualification Checklist (Template given in section 5.5). 2.5.2.1.16 Statement of deviation from tender terms and conditions section 5.1. 2.5.2.1.17 Schedule of delivery section 5.2. 2.5.2.1.18 Detailed Project Plan: The Bidder is required to submit a detailed Project

2.5.3 Bid Prices

The Bidder shall indicate in the proforma prescribed in section 4.4 to 4.5 of the commercial Bid, the unit prices and total Bid prices of the services proposed to be delivered under the contract.

2.5.4 Firm Price

Prices quoted by the Bidder must be firm and final, and shall not be subject to any escalation whatsoever during the period of the contract. Prices should indicate the price at site and should on the final finished supplies tendered for. All Applicable Taxes shall be paid to the Awardee by AIC.

Prices should be shown separately for each item of services and other aspects as detailed in Bid documents. Tenders not containing item-wise prices are liable to be rejected. The prices quoted should also include all rights (if any) of patent, registered design or trademark and the Bidder shall indemnify AIC against all claims in respect of the same.

2.5.5 Bidder's Qualification

The “Bidder” as used in the tender documents shall mean the one who has signed the tender form. All certificates and documents received hereby, shall as far as possible, be furnished by the representative and the developer. It is further clarified that the individual signing the tender or other documents in connection with the tender must certify that he/ she signs as ‘Constituted attorney of the company’.

2.5.6 Bid Security

The Bidder shall furnish, as part of his Bid as a Bid security of Rs. 2,50,000/- in the

form of a Account Payee Demand Draft/Banker’s Pay issued by a Nationalized / Scheduled Bank in favor of “Agriculture Insurance Company of India Limited” payable at New Delhi. The Bid security is required to protect AIC against the risk of Bidder’s conduct, which would warrant the security’s forfeiture in the following scenario: 2.5.6.1 If a Bidder withdraws his Bid during the period of Bid validity specified by

the Bidder in the Bid; or 2.5.6.2 In the case of a successful Bidder, if the Bidder fails to, 2.5.6.2.1 Sign the contract in accordance with section 2.8.5; or

2.5.6.2.2 Furnish Performance Security in accordance with section 2.8.6. The Bid security shall be denominated in Indian Rupees, and shall be in the form of a Account Payee Demand Draft. Unsuccessful Bidder’s Bid security will be returned as promptly as possible. The successful Bidder’s Bid security will be returned upon the Bidder signing the contract, pursuant to section 2.8.5 and furnishing the Performance Security, pursuant to section 2.8.6. No interest will be payable by AIC on the amount of the Bid Security.

2.5.7 Period of validity of Bids

Bids shall remain valid upto <As mentioned in “Important Dates” Section 1.1.1>. A Bid valid for a shorter period may be rejected by AIC as non-responsive. In exceptional circumstances, AIC may solicit the Bidder’s consent to an extension of the period of validity. The request and the responses thereto shall be made in writing (or by fax). A Bidder may refuse the request without forfeiting his Bid security. A Bidder granting the request will not be required nor permitted to modify his Bid.

2.5.8 Format and Signing of Bids

The Bidder shall prepare three copies each of the ‘Qualification Bid’ and ‘Commercial Bid’, clearly marking each as ‘Original’, ‘Copy (Hard)’, and ‘Copy (Soft)’, in accordance with section 2.2. The Bidder shall submit the ‘Soft Copy’ (word and/or excel) each of the ‘Qualification Bid’ and ‘Commercial Bid’, clearly marking each as ‘Copy (Soft), in accordance with section 2.2. In the event of any discrepancy between them, the ‘Original’ shall govern.

The original and all printed copies of the Bid shall be typed or written in indelible ink and shall be signed by the Bidder or a person(s) duly authorized to bind the Bidder to the contract in accordance to section 2.5.5. This authorization shall be indicated by written power-of-attorney accompanying the Bid. The person(s) signing the Bid shall initial all pages of the Bid, except for unmodified printed literature. The Bid shall contain no interlineations, erasures or overwriting except as necessary to correct errors made by the Bidder, in which case the person(s) signing the Bid shall initial such corrections.

2.5.9 Disclosure of Prices

Prices in any form or by any reasons should not be revealed in qualification Bid or before opening the commercial Bid, failing which the offer shall be liable to be rejected.

2.5.10 Terms and conditions of Tendering Firms Printed terms and conditions of the Bidders will not be considered as forming part of their Bids. In case terms and conditions of the contract applicable to this invitation to Bid are not acceptable to any Bidder, clearly specify the deviation in section 5.1.

2.5.11 Local Conditions

It will be imperative on each Bidder to fully acquaint with the local conditions and factors, which would have any effect on the performance of the contract and / or the cost.

2.5.12 Proposal Ownership

The proposal and all supporting documentation submitted by the vendor shall become the property of the AIC.

2.5.13 Proposal Format

Solution providers are requested to submit a written proposal containing full details of the proposed solutions to cover the requirements of this Tender. In the interests of consistency and in order to enable an efficient and fair evaluation process, proposals are required to conform to the following:

1. Proposals shall mirror the format and sequence of the Tender. 2. Proposals shall include specific statements of compliance or otherwise, for

each requirement within this Tender. 3. Proposals shall be self-contained and not rely on references to manuals or

brochures

2.6 Eligibility Criteria for Qualification of Bidders Following is the minimum (compulsory) eligibility criteria for qualification of tender:

a) The Bidder must be a Registered Company with legal presence in INDIA and having Operations for minimum period of 5 Years.

b) The Bidder should have conducted end-to-end application audit in at

least 1 (One) different public sectors/Government Department in India.

c) The Bidder should have completed at least one Data Migration Audit in

at least 1(One) public sectors/Government Department in India.

d) The Bidder’s annual sales turnover should be more than Rs. 5 Crore

(Rupees Five Crores) for each of the two previous financial years (2012-

13, 2013-14).

e) The Bidder should have positive net worth (measured as paid-up capital plus free reserves) for the previous financial year (2013-14).

f) The Bidder should possess necessary experience, expertise and knowledge in carrying out Application audit by using automated tools. Necessary relevant documentary proof will have to be submitted to this effect.

g) The Bidder should not be blacklisted in past / present by any Govt. organization /PSU. Further there should be no legal case pending presently.

h) The Bidder should not be restricted by any regulatory authorities to offer such audit.

i) The present Implementation Vendor (ImV), InfoTech System Consultant, System integrators, Software solution provider, Networking and Hardware Service Providers cannot participate in this tender.

j) It is mandatory for the Bidder to quote for all the items mentioned in the

tender.

k) The Bidder should have at least 2 (two) CISA qualified professionals in its payroll.

l) The Bidder must be empanelled with CERT - Information Securi ty Auditor

m) The Bid must be signed by a person with the proper authority to bind the company as a ‘Constituted attorney of the company’.

2.7 Bid Submission

2.7.1 Sealing and marking of Bids

The Bidders shall seal and mark each of the copies (Original, and one copy (Hard) & one copy (Soft) of the qualification Bid and the commercial Bid respectively strictly in accordance with section 2.2. In case of non-compliance, AIC will assume no responsibility for the Bid’s misplacement or premature opening.

2.7.2 Last date of Receipt of Bids Bids must be received by AIC at the address specified under section 1.1.1 not later than the time and date specified in section 1.1.1. In the event of the specified date for the receipt of Bids being declared a holiday for AIC, the Bids will be received till the appointed time on the next working day. AIC may, at their discretion, extend the last date for the receipt of Bids by amending

the tender document in accordance with section 2.4.3, in which case all rights and obligation of AIC and Bidders previously subject to the last date will thereafter be subject to the last date as extended.

2.7.3 Late Bids Any Bid received by AIC after the last date & time for receipt of Bids prescribed by AIC (refer section 1.1.1) will be rejected and/or returned unopened to the Bidder.

2.7.4 Modification and withdrawal of Bids

The Bidder may modify or withdraw his Bid after the Bid’s submission, provided that written notice of the modification or withdrawal is received by AIC prior to the last date prescribed for receipt of Bids. The Bidder’s modification or withdrawal notice shall be prepared, sealed, marked and dispatched in accordance with the provisions of section 2.7.1. A withdrawal notice may also be sent by fax but followed by a signed confirmation copy, post marked not later than the last date for receipt of Bids. No Bid may be modified subsequent to the last date for receipt of Bids.

No Bid may be withdrawn in the interval between the last date for receipt of Bids, and the expiry of the Bid validity period specified by the Bidder in the Bid.

Withdrawal of a Bid during this interval may result in forfeiture of the Bidder’s Bid security.

2.7.5 Address for correspondence

Bidder: The Bidder shall designate the official mailing address, place, telephone number, fax number and e-mail address to which all correspondence shall be sent by AIC. AIC: Correspondence with AIC should be made at the address specified under section 1.1.1 AIC will not be responsible for non-receipt of any communication sent by the Bidder or for any communication sent to any other office of the Agriculture Insurance

Company of India Ltd.

2.7.6 Opening of Bid by AIC

All Bids will be opened at the location mentioned in section 1.1.1. On the basis of the Qualification information (section 2.5.2.1) given by the Bidder and the Qualification criteria (section 2.6), Bidders will be short-listed for Commercial Bid. Commercial Bids of all eligible Bidders will be opened by AIC in the presence of the

representatives of the Bidders who choose to attend, at the time and date mentioned in section 1.1.1. The Bidders’ names, modifications, Bid withdrawals and the presence or absence of the requisite Bid security and such other details, as AIC at their discretion, may consider appropriate will be announced at the Bid opening.

2.7.7 Clarifications

If deemed necessary, AIC may seek clarifications on any aspect from the Bidder. However, that would not entitle the Bidder to change or cause any change in the substance of the Bid submitted or price quoted. AIC may, if it so desires, ask the Bidder to give presentation for the purpose of clarification of the tender. All expenses for this purpose, as also for the preparation of documents and other meetings, will be borne by the Bidders.

AIC will examine the Bids to determine whether they are complete, whether any computational errors have been made, whether required Bid security has been furnished, whether the documents have been properly signed, and whether the Bids are generally in order. Arithmetical errors will be rectified on the following basis. If there is a discrepancy between the unit price and the total price that is obtained by multiplying the unit price and quantity, the unit price shall prevail and the total price shall be corrected. If the Bidder does not accept the correction of the errors, his Bid will be rejected. If there is a discrepancy between words and figures, the amount in words will prevail. A Bid determined as not substantially responsive will be rejected by AIC and may not subsequently be made responsive by the Bidder by correction of the non-conformity. AIC may waive any minor informality or non-conformity or irregularity in a Bid, which does not constitute a material deviation, provided such waiver does not prejudice or affect the relative ranking of any Bidder.

2.7.9 Evaluation and Comparison of Bids

All Qualification Bids and commercial Bids shall be evaluated by an Evaluation Committee, i.e. the ANNAPOORNA Monitoring Group (AMONG) of AIC. Qualification Bid shall be evaluated and the Bidders will be short-listed for commercial Bid on the basis of qualification information and support document given by the Bidder for the qualification criteria specified in the section 2.6. Commercial Bids of all eligible Bidders will be opened by AIC in the presence of the representatives of the Bidders who choose to attend.

2.7.10 Verification AIC reserves the right to conduct a verification of the customer references submitted by the Bidder. AIC also reserves the right to conduct a verification of the competency and infrastructure of the Bidder. AIC will conduct all or any of these verifications to satisfy itself on the Bidder’s capability to supply the tendered products and services compliant to the requirement specifications defined in this tender.

In the event of the verification revealing that a Bidder does not have the capability to supply the tendered services compliant to the requirement specifications defined in this tender, AIC may at its discretion reject the Bid.

2.7.11 Exerting Undue Influence

Bidder shall NOT contact AIC on any matter relating to this Bid, from the time of the submission of commercial Bid to the time the contract is awarded. Any effort by a Bidder to influence AIC Bid evaluation, Bid comparison or contract award decision may result in the rejection of the Bid.

2.8 Award of Contract

2.8.1 Post qualification

In addition to the qualification, AIC will determine to their satisfaction whether the Bidder selected as having submitted the lowest evaluated responsive Bid is qualified to satisfactorily perform the contract. The decision of AIC is final in such cases. The determination will take into account the Bidder’s financial, technical and support capabilities. It will be based upon an examination of the documentary evidence of the Bidder’s qualification submitted by the Bidder, pursuant to section 2.5.2.1 and section 2.6. An affirmative determination will be a pre-requisite for award of the contract to the Bidder.

2.8.2 Award criteria

Pursuant to the Qualification criterion mentioned in section 2.6, Bidders will be

short-listed for Commercial Bid. Commercial Bids will be opened only for the Bidders who succeed the Qualification criterion. The unopened Bids for the disqualified Bidders will be returned on request. AIC will review the commercial Bids of the short-listed Bidders to determine whether the technical Bids are substantially responsive. Bids that are not substantially responsive are liable to be disqualified at AIC discretion. AIC will award the contract to the successful Bidder whose Bid has been determined to be substantially responsive and has been determined as the Lowest Commercial Bid (L1) based on the Final Commercial Quote, provided further that the Bidder is determined to be qualified to perform the contract satisfactorily.

2.8.3 AIC’s Right to accept any Bid/reject any or all Bids

AIC reserves the right to accept any Bid, and to annul the tender process and reject all Bids at any time prior to award of contract, without thereby incurring any liability to the affected Bidder or Bidders or any obligation to inform the affected Bidder or Bidders of the grounds for AIC’s action.

2.8.4 Notification of Award

Prior to the expiration of the period of Bid validity, AIC will notify the Bidder(s) in writing by letter or by fax or by e-mail, that his Bid has been accepted. The receipt of acceptance should be sent by the Bidder in writing through post or by fax or e-mail. The Notification of Award will constitute the formation of the Contract in terms of this Tender. Upon the furnishing of performance security by the Bidder(s) pursuant to section 2.8.6, AIC will notify each unsuccessful Bidder and will discharge the Bid security, pursuant to section 2.5.6.

2.8.5 Signing of Contract

At the same time as AIC notifies the Bidder that his Bid has been accepted, AIC will send the Bidder the contract form as per section 5.3 provided in the tender document, incorporating all agreements between the parties. On receipt of the contract form, the Bidder shall sign and date the contract form, and return it to AIC on a mutually decided date.

2.8.6 Performance Security

Within 7 days of the receipt of notification of award from AIC, the Bidder shall furnish the performance security in accordance with the conditions of contract, in the contract performance guarantee bond prescribed as per section 5.3. Failure of the Bidder to comply with the requirement of section 2.8.5 or section 2.8.6 shall constitute sufficient grounds for the annulment of the award and forfeiture of the Bid security, in which event AIC may make the award to the other Bidders or call for new Bids.

Any publicity by the Bidder in which the name of AIC is to be used, should be done only with the explicit written permission from AIC.

2.10 Disclaimer

This Tender is not an offer by the Company, but an invitation to receive offer from vendors. No contractual obligation whatsoever shall arise from the tender process unless and until a formal contract is signed and executed by duly authorized Officers of the Company with the vendor.

3 GENERAL TERMS AND CONDITIONS OF CONTRACT

3.1 Definitions, Acronyms, and Abbreviations In this document the following terms shall be interpreted as indicated: Terms Definitions

Bidder The firm or the company which may provide or provides the Services to the Purchaser under the Contract unless excluded by the terms of the Contract.

Contract Price The price payable to the Bidder under the contract for the full and proper performance of his contractual obligations.

Service

Service refers to the services specified in Scope in this Tender. Service also includes services ancillary to the use of the tools owned by Bidder, such as provision of technical assistance, training and other such obligations of the Bidder covered under the contract.

3.2 Applicability These general conditions shall apply to the extent that they are not superseded by provisions in other parts of the contract.

3.3 Use of Contract document and Information The Bidder shall not, without AIC prior written consent, disclose the contract or any provision thereof, or any specification, design, drawing, pattern, sample or information furnished by or on behalf of AIC in connection therewith, to any person other than a person employed by the Bidder in the performance of the contract. Disclosure to any such employed person shall be made in confidence and shall extend only as far as may be necessary for purposes of such performance.

The Bidder shall not without AIC prior written consent, make use of any document or information forming a part of this tender except for purpose of performing the contract. Any document forming a part of this tender, other than the contract it shall remain the property of AIC.

3.4 Patent Rights The Bidder shall indemnify AIC against all third party claims of infringement of patent, trademark or industrial design rights arising from the use of providing services or any part thereof including Intellectual Property Rights (IPR).

3.5 Performance Security

Within 7 days after the receipt of notification of award of the contract from AIC, the Bidder shall submit Performance Security as per proforma given in Section 5.4. Performance Security shall be for an amount of Rs. 15,00,000 (Rupees Fifteen Lakh only). Performance Security may be furnished in the form of an Account payee Demand Draft, Fixed Deposit Receipt from a Commercial bank, Bank Guarantee from a Commercial bank. 3.5.1 Performance Security should remain valid for a period of sixty days beyond

the date of completion of all contractual obligations of the supplier including warranty obligations.

3.5.2 Bid security should be refunded to the successful Bidder on receipt of Performance Security.

3.6 Delivery & Project Completion The total time to complete the Audit and delivery of final reports would be 4 months approximately from the date of issuance of notification of award. Bidder is required to complete project in schedule of 4 months approximately. AIC requires the vendor to submit a detailed plan for such service with qualification Bid. Delivery of the services and associated documents shall be made by the Bidder in accordance with the terms specified by AIC in their notification of award.

3.7 Payment Terms The payment will be made as per the tentative milestones identified below as percentage of the cost of the service including Documentation, and Training, etc.

3.9 Change Orders AIC may at any time, by a written order given to the Bidder pursuant to section 3.23 make changes within the general scope of the contract in the service to be provided by the Bidder. If any such change causes an increase or decrease in the cost of, or the time required for the Bidders performance of any part of the work under the contract, whether changed or not changed by the order, an equitable adjustment shall be made in the contract price or delivery schedule, or both and the contract shall accordingly be amended. Any claims by the Bidder for adjustment under this clause must be asserted within thirty days from the date of the Bidder’s receipt of AIC change order.

3.10 Contract Amendment

No variation in or modification of the terms of the contract shall be made except by written amendment signed by the parties.

3.11 Assignment The Bidder shall not assign, in whole or in part, his obligations to perform under the contract, to any other party or persons, except with AIC prior written consent. The permission, if any, of AIC has to be taken before award of the contract.

3.12 Sub Contract

The Bidder shall notify AIC in writing of all subcontracts awarded under the contract if not already specified in his Bid. Such notification, in his original Bid or later, shall not relieve the Bidder from any liability or obligation under the contract. AIC reserves rights to accept such arrangement or reject the proposal outright. Proof of such contracts should be submitted to AIC.

3.13 Project Schedule In the Qualification Bid the Bidder will provide the broad timeline for completing the Project keeping in mind various milestones. Qualification Bid will have complete project plan along with expectations from AIC. The final timelines for the complete project will be worked out jointly by the successful Bidder and AIC.

3.14 Delays in the Bidder’s performance

The performance of audit service shall be made by the Bidder in accordance with the time schedule agreed jointly by successful Bidder and AIC in the contract (Refer 5.2). Any delay by the Bidder in the performance of his service/other obligations will be evaluated by the Evaluation Committee of AIC and decide a performance delay on account of Bidder which shall render the Bidder liable to any or all of the following sanctions: 1. forfeiture of his performance security, 2. imposition of liquidated damages, and/ or 3. termination of the contract for default. If at any time during performance of the contract, the Bidder should encounter conditions impeding timely completion, performance of services, the Bidder shall promptly notify AIC in writing of the fact of the delay, its likely duration and its cause(s), before the scheduled delivery / completion date. AIC shall evaluate the situation after receipt of the Bidders notice and may at their discretion extend the Bidder’s time for delivery / completion, in which case the extension shall be ratified by the parties by amendment of the contract. If the Bidder’s request to delay for completion and performance of services is not found acceptable to AIC, the above mentioned clause would be invoked.

3.15 Liquidated Damages

Subject to section 3.17, if the Bidder fails to deliver and complete the audit process or to perform the services within the time period(s) specified in the contract, AIC shall without prejudice to its other remedies under the contract, deduct from the contract price, as liquidated damages, a sum equivalent to the 0.5% of the Contract price for every week (seven days) or part thereof of delay, up to maximum deduction of 10% of the Contract price. Once the maximum is reached, AIC may consider termination of the contract pursuant to section 3.16. Performance of services shall be within the norms specified in the Service Level Agreement (SLA) forming a part of the Contract (section 5.3). Any penalty decided as such shall be adjusted at the end of the project, i.e. in last payment milestone.

3.16 Termination for Default AIC may, without prejudice to any other remedy for breach of contract by written notice of default sent to the Bidder, terminate the contract in whole or in part:

3.16.1 If the Bidder fails to deliver any or all of the services within the time period(s) specified in the contract, or any extension thereof granted by AIC pursuant to section 3.14,

OR 3.16.2 If the Bidder fails to perform any other obligation(s) under the contract In the event AIC terminates the contract in whole or in part, pursuant to above mentioned clause, AIC may procure, upon such terms and in such manner, as it deems appropriate, services similar to those undelivered and the Bidder shall be liable to AIC for any excess costs for such similar services. However, the Bidder shall continue performance of the contract to the extent not terminated.

3.17 Force Majeure Notwithstanding the provisions of section 3.14, 3.15 & 3.16 the Bidder shall not be liable for forfeiture of his performance security, liquidated damages or termination for default, if and to the extent that, his delay in performance or other failure to perform his obligations under the contract is the result of an event of Force Majeure. For purposes of this clause, “Force Majeure” means an event beyond the control of the Bidder and not involving the Bidder and not involving the Bidder’s fault or negligence and not foreseeable. Such events may include, but are not restricted to, acts of AIC either in its sovereign or contractual capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions and freight embargoes. If a Force Majeure situation arises, the Bidder shall promptly notify AIC in writing of such conditions and the cause thereof. Unless otherwise directed by AIC, the Bidder shall seek all reasonable alternative means for performance not prevented by the Force Majeure event.

3.18 Termination for Insolvency

AIC may at any time terminate the contract by giving written notice to the Bidder, without compensation to the Bidder, if: 3.18.1 The Bidder becomes bankrupt or otherwise insolvent, provided that such termination will not prejudice or affect any right of action or remedy which has accrued or will accrue thereafter to AIC. 3.18.2 The Bidder being a company is wound up voluntarily or by the order of a court or a receiver, or manager is appointed on behalf of the debenture/shareholders or circumstances occur entitling the court or

debenture/shareholders to appoint a receiver or a manager, provided that such termination will not prejudice or affect any right of action or remedy accrued or that might accrue thereafter to the AIC.

3.19 Termination for Convenience

AIC may by written notice sent to the Bidder, terminate the contract, in whole or in part at any time at its discretion. The notice of termination shall specify that termination is for AIC convenience, the extent to which performance of work under the contract is terminated, and the date upon which such termination becomes effective.

3.20 Arbitration

AIC and the Bidder shall make every effort to resolve amicably by direct informal negotiation, any disagreement or dispute, arising between them under or in connection with the contract.

If, after thirty (30) days from the commencement of such informal negotiations, AIC and the Bidder have been unable to resolve amicably a contract dispute, either party may require that the dispute be referred for resolution to the formal mechanism specified below. In the case of a dispute or difference arising between AIC and the Bidder relating to any matter arising out of or connected with this contract, such dispute or difference shall be referred to the award of two arbitrators, one arbitrator to be nominated by AIC and the other to be nominated by the Bidder or in case of the said arbitrators not agreeing, then to the award of an umpire to be Audit appointed by the arbitrators in writing before proceedings to the reference, and in case arbitrators cannot agree to the umpire, he may be nominated by the Arbitration Council of India. The award of the arbitrators, and in the event of their not agreeing, of the umpire appointed by them or by the Arbitration Council of India, India shall be final and binding on the parties. The Indian Arbitration Act, 1940, the rules there under and any statutory modification or re-enactments thereof made till the date of signing of contract, shall apply to the arbitration proceedings. The venue of arbitration shall be the place from where the contract is issued i.e. Jurisdiction of Delhi High Court.

The contract shall be written in the language of the Bid, as specified by AIC in the instructions to Bidders. Subject to section 3.22, that language version of the contract shall govern its interpretation. All correspondence and other documents pertaining to the contract, which are exchanged by the parties, shall be written in that same language.

3.22 Applicable Law

The contract shall be interpreted in accordance with the Indian Laws for the time being enforced and will be subject to the exclusive jurisdiction of Courts at Delhi (with the exclusion of all other Courts)

3.23 Notices

Any notice by one party to the other pursuant to the contract shall be sent in writing or by fax/ e-mail and confirmed in writing to the address specified for that purpose in the contract. A notice shall be effective when delivered or on the notice’s effective date, whichever is later.

3.24 Prices

The itemised prices quoted for the entire project shall be firm throughout the period of contract and shall not be subject to any escalation. Enhancement in Scope: AIC reserves the rights to enhance the scope of project as per the need of AIC on the rates that has been identified in this process of tendering.

3.25 Deduction

Payments, as envisaged in section 3.7, shall be subject to deductions (such as TDS) of any amount, for which the Bidder is liable under the agreement against this tender.

3.26 Taxes and Duties

All Applicable taxes shall be paid by AIC.

3.27 No Claim Certificate

The Bidder shall not be entitled to make any claim whatsoever against AIC under or by virtue of or arising out of this contract, nor shall AIC entertain or consider any such claim, if made by the Bidder after he shall have signed a “No Claim” certificate in favour of AIC in such forms as shall be required by AIC after the works are finally accepted.

3.28 Limitation of Liability

Bidder’s cumulative liability for its obligations under the contract shall not exceed the contract value and the Bidder shall not be liable for incidental, consequential, or indirect damages including loss of profit or saving.

3.29 Confidentiality

Bidder understands and agrees that all materials and information of (or provided by) AIC are valuable assets of AIC and are to be considered AIC’s proprietary information and property. Bidder will treat all materials and information provided by AIC with the highest degree of care necessary to insure that unauthorized disclosure does not occur. Bidder will not use or disclose any materials or information provided by AIC without AIC’s prior written approval. Bidder shall not be liable for disclosure or use of any materials or information provided by AIC or developed by Bidder which is: 3.29.1 possessed by Bidder prior to receipt from AIC, other than through prior disclosure by AIC, as documented by Bidder's written records; 3.29.2 published or available to the general public otherwise than through a breach of Confidentiality; or 3.29.3 obtained by Bidder from a third party with a valid right to make such disclosure, provided that said third party is not under a confidentiality obligation to AIC; or 3.29.4 Developed independently by the Bidder. In the event that Bidder is required by judicial or administrative process to disclose any information or materials required to be held confidential hereunder, Bidder shall promptly notify AIC and allow AIC a reasonable time to oppose such process before making disclosure.

Bidder understands and agrees that any use or dissemination of information in violation of this Confidentiality Clause will cause AIC irreparable harm, may leave AIC with no adequate remedy at law and AIC is entitled to seek to injunctive relief. AIC does not wish to receive the Confidential Information of Bidder, and Bidder agrees that it will first provide or disclose information, which is not confidential. Only to the extent that AIC requests Confidential Information from Bidder will Bidder furnish or disclose Confidential Information. Nothing herein shall be construed as granting to either party any right or license under any copyrights, inventions, or patents now or hereafter owned or controlled by the other party. The requirements of use and confidentiality set forth herein shall survive the expiration, termination or cancellation of this tender. Confidential Information disclosed under this contract shall be subject to confidentiality obligations for a period of five years following the initial date of disclosure. Nothing contained in this contract shall limit the Bidder from providing similar services to any third parties or reusing the skills, know-how, and experience gained by the employees in providing the services contemplated under this contract.

3.30 Tools and Equipment

The Bidder shall provide and use all necessary tools and software required for the audit services. The details of tools and equipment should be enlisted in the proposal by the Bidder.

3.31 Supervision

The Bidder shall ensure that all activities are carried out under the direct on-site supervision of qualified / certified personnel.

3.32 Cancellation of the contract & compensation

The Company reserves the right to cancel the contract placed on the selected

Bidder and recover expenditure incurred by the Company in the following circumstances:

3.32.1 The selected Bidder commits a breach of any of the terms and conditions of the Bid.

3.32.2 The selected Bidder goes in to liquidation voluntarily or otherwise. 3.32.3 The progress made by the selected Bidder is found to be unsatisfactory 3.32.4 If deductions on account of liquidated Damages exceeds more than 10%

of the total contract price.

The Company reserves the right to recover any dues payable by the selected Bidder from any amount outstanding to the credit of the selected Bidder, including the pending bills and security deposit, if any, under this contract or any other contract/order.
