TERMS AND CONDITIONS I GENERAL 1. Tender should be sent by the Original Equipment Manufacturers (OEM) and authorized

agents. However, there is no such condition for accessories.

2. Tenders for each item should be submitted in duplicate. Quotations should be typed and free from over-writing, erases, correction or additions must be attested.

3. All tenders(Technical & Commercial Bids) should be sent in one cover duly sealed and superscripted with Item S. No., Item Name & Tender No. 7804/B due on 26.11.2007 GENERAL MANAGER Indo-German Tool Room Sector-E, Sanwer Road Indore – 452 015 Madhya Pradesh

4. The tender should reach the above officer by 5.00 PM on or before 26.11.2007and the same (Technical Bid) will be opened at 11.00 AM onwards on 27.11.2007 in the Conference Hall of IGTR, Indore. The tenderer or their authorized representative may be present at the time of opening of tenders. The date of opening of Commercial Bid shall be informed later.

5. The Indo-German Tool Room, Indore does not bind itself to accept the lowest or any tender but reserves the right to accept full or part of any tender at its discretion.

6. Rate should be quoted in the units given in the Enquiry on FOR work site basis as specified under delivery head and that shall be valid for a period of 6 months from the due date of opening of tender. The rates should be quoted both in figures and words.

7. The tenderer must indicate Tariff items, Number and rate of Excise Duty applicable. Original Excise Duty Gate Pass will be required to be furnished in case charged to IGTR Indore.

8. Only Central Sales Tax as applicable at the time of supply is to be charged. However, if any tenderer finds that any other Sales Tax is to be paid, it should clearly be mentioned in the tender.

9. Where there is provision for payment of Sales Tax extra, it will only be paid if registration numbers, both under the Sales Tax and Central Sales Tax are specifically mentioned on the bill/invoice.

10. Supplier Sales Tax Registration Number/ TIN Numbers should be mentioned in the quotation positively.

11. Transit insurance will be arranged by the concerned supplier.

12. No enhancement of rate for whatever cause will be allowed once the quotation is

accepted. Withdrawal of the quotation or failure to make the supply within the scheduled period will entail cancellation of the order in addition to forfeiture of Earnest Money.

II. SPECIFICATIONS :

1. Specifications are in two parts. Essential specifications are not negotiable and should conform to those given in the booklet. Quotations not conforming to one or more essential specifications (s) will not be considered.

2. Technical Specifications of the machines quoted should be listed in the tender documents as per PART- I and catalogues should be supplied separately and submitted in one envelope & super-scribed as Technical Bid.

3. Commercial/Price-bid should be given in the format as per PART – II and submitted in one envelope & super-scribed as Commercial Bid.

4. Specifications and rate of each item of the standard accessories should be given in the format as per Annexure-I.

5. Additional/Optional accessories recommended by the supplier can be quoted separately in Annexure- II along with the specifications.

III. INSPECTION

1. IGTR reserves the option of inspecting the goods at suppliers works prior to packing and dispatch. Supplier shall provide all facilities for carrying out the inspection.

2. Inspection formats/Test Reports used and the standard (ISI/BSS/DIN) adopted should be supplied alongwith quotation.

IV. GUARANTEE

1. The supplier shall furnish guarantee in respect of material and machining defect in Machine Tools, performance and against any manufacturing defect for a period of minimum 12 months from the date of commissioning.

2. The supplier shall also provide free After-sales-service and free replacement of defective parts during the Guarantee period.

V. EARNEST MONEY DEPOSIT

1. The Tenderer will have to give Bank Guarantee against Earnest Money for amount as specified in the Tender Notice in the prescribed format Annexure-IV from any of the Nationalised/Commercial Bank in India. The Bank Guarantee shall be in favour of the General Manager, IGTR, Indore and should be submitted alongwith Technical bid.

2. The Tenderer of the bidders who do not deposit Earnest Money in the prescribed manner are liable to be rejected.

VI. DELIVERY 1. Delivery of the goods will have to be made to the consignee at the place mentioned below :

2. Supplies shall be securely protected and the goods packed against loss, damage etc. making and consignee details shall be as per the Purchase Order.

3. Delivery period of machine should not exceed 4 months from the date of placement of Purchase Order.

4. A penal charge @ ½ % of the tender value will be levied for delay of every 15 calender days beyond the agreed delivery period.

5. IGTR reserves the right to cancel the order or a part thereof in case of delay beyond two months forfeiting the earnest money.

6. The goods shall be dispatched only through reputed transporter having All India Permit on Door Delivery basis.

VII INSTALLATION & COMMISSIONING 1. Installation of the machine will be arranged by IGTR while commissioning will be the

responsibility of the supplier at their cost.

VIII PAYMENT 90% payment will be released within 15 days from the receipt of the machine in good

condition. The final payment of 10% will be released within 30 days of successful commissioning of the machine.

IX ARBITRATION In the event of any dispute arising under these terms and conditions of Contract, the same

shall be referred to the General Manager, Indo-German Tool Room (A Govt. of India Society), 291/B-302/A, Sector – E, Industrial Area, Sanwer Road, INDORE 452 015, Madhya Pradesh or other officer nominated by him who will be the sole arbitrator. The award of the arbitrator shall be final and binding on the parties of this contract. The venue of the arbitration in all cases shall be Indore.
