Wednesday, June 18, 2014 – Isla Grand Beach Resort – South Padre
Island Board President Mary Kay Fischer called the meeting to order
at 4:10 p.m.

1. Consider the minutes from the January 24, 2014, board
meeting.
Motion by Ron Stutes was made and seconded by Frank Garza to
approve the minutes and the minutes were unanimously
approved.
2. Thirteenth Annual Riley Fletcher Basic Municipal Law Seminar
update and evaluations,
consider video-only for 2015. Staff updated the board on the
seminar. After discussion of video-only option for 2015, a motion
was made by Alan Bojorquez and seconded by Dottie Palumbo to
continue the live version of the seminar in 2015 and beyond. The
motion passed 9-1, with Frank Garza voting no.
3. Criteria for Outstanding Mentor Award(s).
Mary Kay Fischer began by suggesting that the award be officially
divided into two categories: retired and current. After discussion,
Kathy Davis mentioned that two official categories probably aren’t
necessary because the board can award more than one at its
discretion under the current criteria. Following further
discussion, a motion was made by Dottie Palumbo and seconded by
Alan Bojorquez that the criteria remain the same and that
the board consider how many mentors to recognize on a case-by-case
basis. The motion passed unanimously.
4. Approve program for TCAA Fall Conference in Houston, scheduled
for October 2, 2014.
Discuss how speakers are selected for TCAA conferences per Alan
Bojorquez. Staff presented the proposed fall program to the board.
The legislative forecast was extended to one hour, which eliminated
the PUC presentation. A motion was made by Alan Bojorquez and
seconded by Frank Garza to approve the program, and the motion
passed unanimously. After discussion of the speaker selection
process, the consensus was that no change is needed.
5. TCAA/TxAPA Land Use Seminar per Alan.
After discussion about whether TCAA should join with TxAPA to
provide a land use seminar for elected officials, a motion was made
by Karen Kennard and seconded by Dottie Palumbo that TCAA not
participate in a joint seminar, and that the proper action for
TxAPA would be to contact TML. The motion passed unanimously.
6. Adopt TCAA budget for fiscal year 2014-2015. Staff reported on
the proposed 2014-2015 budget, including the proposed deficit.
Dottie requested “group rate” pricing, but no motion was made. The
previous vote to continue Riley Fletcher as a live conference
necessitated putting those revenue and expense provisions back into
the proposed budget. A motion was made by Frank Garza and seconded
by Kathy Davis to adopt the budget as corrected and the motion was
unanimously approved.
7. Adjourn.
The next TCAA Board meeting will be held from 4:00 – 6:00 p.m. in
Houston on October 1, 2014, in Room 332A of the George R. Brown
Convention Center.

Presenters were entertaining and brought life to subjects that can
be difficult to follow. Being a new city manager, I received useful
information from each presentation. Well worth my time and effort.

was inconsistent. Could not hear the questions-they should have a
mike or speaker should repeat them. The audio of the livecast was
spotty. Sometimes distorted, and volume levels varied. Thank you
for making this available via internet livecast for us El Pasoans!

Dear Anita, Art and Marcus: On behalf of Mary Kay, please allow me
to thank you all for agreeing to serve on the 2014-2015 TCAA Board
Nominating Committee. Once again this year, I do not envy your
position. We received five applications, and most are top-notch
municipal lawyers. There are two positions to be filled this year:
one director position, due to the customary succession plan of
officers “rising through the ranks,” and the TML board
representative position. Tyrone Cooper is currently serving as the
TCAA representative to the TML board of directors. The term of the
TML board representative was extended several years ago to two
years (to coincide with the TML Constitution). Some of you will
remember that the change in the TML board term has created a little
bit of a problem in the customary “succession” and caused some past
presidents to be “skipped over” if you will (the TML board
representative is customarily filled by a TCAA past president). We
do not “advertise” for the TML board position for that reason,
i.e., there are a number of past presidents who still wish to serve
in that capacity. It is up to you to decide who is the best past
president for the position. A list of the past presidents from the
past few years who have not previously served as the TML board
representative, and who have expressed an interest, is as

I have been with the City of Temple since May, 2012. I am currently
serving as Interim City Attorney. My duties include, reviewing and
drafting contracts for the City. I handle real estate transactions,
including buying and selling property. I assist with economic
development, including drafting Chapter 380 agreements and tax
abatement agreements. I also work closely with the public works and
parks departments on multiple issues ranging from obtaining
easements to enforcement of city and state regulations.

Since joining the City of Temple and becoming a member of TCAA, I

Hyatt Lost Pines Resort, Bastrop
TCAA has signed a contract with the Hyatt Lost Pines Resort and Spa
for the
following dates:
June 17 – 19, 2015
June 15 – 17, 2016
The 2015 and 2016 TCAA Summer Conferences will be the best TCAA has
ever put
on. Staff will do everything in our power to make it so. Three
things will affect the
outcome of the move to the Hyatt Lost Pines: (1) unpredictability
of attendance and
length of attendee stay; (2) sponsor receptions; and (3) the
board’s inevitable
“sticker shock” reaction to prices at a first-class property.
To alleviate the stress involved with the three items above, we
will: (1) promote the
conference early and open reservations very early for sponsors and
attendees – we
will open reservations in the fall (2014) for the 2015 conference;
(2) Scott will visit
in person with the three reception sponsors (Bickerstaff – Brad
Young, McKamie
Krueger – Mick McKamie, Denton Navarro – Lowell Denton) to see what
they will
be willing to do – this effort may require some assistance from
board members at
some point; and (3) explain to the board in detail how we will run
a deficit budget
for two years and then be balanced with a healthy reserve
remaining. The following
is the transition plan in Q&A format. (Note that, with so many
variables, changes
to the plan may be needed. If that occurs, staff will notify the
board.)
Why did staff choose to conduct both 2015 and 2016 at the Hyatt
Lost
Pines?
The choice was made based on the motion approved at the last board
meeting:
A motion was made by Kathy and seconded by Ron that, for the 2015
and
2016 conferences, staff move forward with going to the Hyatt Hill
Country
one year and the Hyatt Lost Pines the other, but if one provides
TCAA a
significant cost savings then the conference should be at that
location for both
2015 and 2016. The motion was unanimously approved. (Note: Dottie
and
Karen Horner were no longer present by conference call.)
There were a number of cost-saving reasons, but the key factor was
the room rate.
The rates originally provided by the Hyatt Hill Country in response
to our proposal
were $199 and $209. However, upon closer inspection, those rates
were available
only for a Sunday – Wednesday pattern. The board was clear that
moving the
pattern wasn’t acceptable. The best rates the Hyatt Hill Country
would do for our
pattern were $239 and $244. That number is substantially more than
the $195

offered by the Hyatt Lost Pines for BOTH years, and is
psychologically too
expensive for city attorneys.
What is in our Hyatt Lost Pines Contract and what to expect
financially:
The following are the highlights:
Room rate of $195 for both years.
Resort fee lowered from $25 per night to $15 per night. TCAA will
pay the
resort fee on behalf of all attendees, and the fee will not appear
on attendee
bills. This could cost TCAA as much as $3,750.
Food and Beverage minimum in the contract was lowered to
$10,000.
However, that number will be far outspent. First class hotels are
expensive,
period. We expect two breakfasts and three breaks to cost around
$40,000.
Compare that to the Isla Grand, which charged around $10,000.
That’s an
increase of $30,000 for food and beverage costs alone, not
including
receptions. We will work with the hotel to try and provide quality
breaks for
less money, but that’s what I’m budgeting.
Audio/visual charges will be substantially more as well. A/V costs
at the Isla
Grand were around $3,000. We expect A/V charges to increase to
around
$20,000. A large portion of those charges should include Wi-Fi in
the meeting
room – the lack of functioning Wi-Fi was a chief complaint in
Padre. (Almost
every hotel now charges a fee to provide that service.)
What do the cost increases mean for the 2014-2015 budget (which
includes
the 2015 conference)?
The increased expenditures will cause the 2014-2015 budget, which
the board will
review and adopt in June, to run a deficit of as much as $50,000.
That is large, but
consider the huge surplus TCAA has accrued over the last 10 years:
In 2002, TCAA
had net assets of $10,785. In 2013, TCAA had net assets of
$175,879.
What do the cost increases mean for the 2015-2016 budget (which
includes
the 2016 conference), and how will the budget ultimately be
balanced?
With sponsor revenue increase ($1,000 to $2,000 for “basic”
sponsors, $16,000
additional projected revenue for 2015-2016) and registration fee
increase ($250 to
$299 in 2014-2015 budget, $8,820 additional projected revenue for
2015-2016), that
deficit will be closer to $25,000 for the 2015-2016 budget. A $15
membership dues
increase in 2015 ($6,750 increased revenue), a final registration
fee increase to $349
for 2016 ($9,000 increased revenue), along with tweaks on the
expense side, should
bring us to at least a balanced budget by the 2016-2017 budget
year. At that time,
the reserve will have gone from around $180,000 down to around
$130,000, which is

still a healthy reserve that would cover one year of operating
expenses with zero
income.
Are the increases to cover the new expenses too much for the
membership?
No. In 2002, TCAA had net assets of $10,785. In 2013, TCAA had net
assets of
$175,879. That $165,094 increase in reserves came about through
three main
reasons: (1) a small dues increase 10 years ago; (2) better
conference expenses
management; and (3) the implementation in 2005 of a sponsorship
program.
In 2007, the board had questions about the large amount of reserve
funds held by
TCAA. Staff prepared a legal memo explaining that the mere presence
of large cash
reserves does not affect nonprofit status or cause other legal
issues. Around that
time, some suggestions were made about the propriety of having the
large reserve,
but no significant programs were implemented. A few one-time,
larger
expenditures have been made, including $10,000 in 2007 to fund a
portion of a
sexually oriented business survey and $25,000 to sponsor the 2012
IMLA Austin
Conference. Drawing down on reserves to perform TCAA’s core
function –
education – makes perfect sense.
Dues were last increased 10 years ago in 2004. Current membership
dues for TCAA
members are as follows:
Active members who are assistant city attorneys: $30.00
Associate members: $70.00
The TCAA Constitution provides, in Article VI, Section 1 (Dues),
that:
The dues of each active member and of each associate member of
the
association shall be payable annually in advance, and may be
changed
upon recommendation of the executive committee and approved by
a
majority vote of the members present at any annual or
semi-annual
meeting.
TCAA membership voted to approve a flat dues increase of $10.00 for
each class of
membership at the Business Meeting at the Semi-Annual Conference in
South
Padre on June 10, 2004. In support of the recommendation, the TCAA
Board of
Directors showed the following:
The last dues increase was 10 years previous in 1994. That dues
increase
was the first in 13 years and raised dues from $20.00 for all
members to

(associate members).
Due to increased operating costs over the past 10 years and the
addition of
TCAA programs, including a website, the dues increase was necessary
to
adequately fund the activities of the association.
Membership dues for associate members are only $5.83 per month
after the
proposed increase.
Membership dues for active members who are city attorneys are only
$5.00
per month after the proposed increase.
Membership dues for active members who are assistant city attorneys
are
$2.50 per month after the proposed increase.
What is the timeline for implementation of the transition
plan?
March 2014 Inform sponsors of new 2015-2016 location in their
renewal emails.
Sponsorship prices remain the same for 2014 ($1,000), but will
increase by
$1,000 (to $2,000) for 2015, projected to increase revenue by
$16,000 annually
beginning in 2015.
Spring 2014 Include basic information about future move in South
Padre “Catch the Last
Wave” publicity.
Adopt deficit budget for 2014-2015 to include 2015 lost
pines.
Cancel Isla Grand contract (no penalty).
Hand out “Catch the Last Wave” Tshirts to attendees, free of charge
(one-
time $4,000 unbudgeted expenditure).
At the conference, start rolling out the 2015 conference through
printed
publicity and video to be shown at conference. Continue on
Friday.
