November 10, 2015 The special meeting of the Highway Committee was called to order by Chair Paul Schwandt at 5:30 PM on Tuesday, November 10, 2015. The requirements of the Open Meeting Law were certified as being met. Present: Paul Schwandt Absent: Ben Moderow Vicki Bernhagen Rich Slate Others Present: Amy Brooks, Highway Commissioner Dawn Klockow, Corporation Counsel Pledge of Allegiance The Pledge of Allegiance was recited. Agenda Motion/second (Slate, Moderow) to approve the Agenda. Motion Carried. Correspondence None Public Comment None Ordinance 1129-2015 Amending Chapter 160, Article IV, Implements of Husbandry Explanation and discussion took place on changes to IoH with ACT 15, adding two more types of vehicles, Category 1Ag CMV and 2-vehicle combinations transporting by trailer or semitrailer. Two typographical errors were found and corrected. Motion/second (Slate, Bernhagen) to approve amending the ordinance with corrections and sending on to County Board for approval. Motion carried. November 11, 2015 The regular meeting of the Highway Committee was called to order by Chair Paul Schwandt at 5:31 PM on Wednesday, November 11, 2015. The requirements of the Open Meeting Law were certified as being met. Present: Paul Schwandt Absent: Ben Moderow Vicki Bernhagen Rich Slate Others Present: Amy Brooks, Highway Commissioner Dawn Klockow, Corporation Counsel Aaron Wagner, Patrol Superintendent Jeff Hess, WisDOT Duane Prachel, Patrol Superintendent Tony Daley, Berlin Journal Harley Reabe, Supervisor District 11 Pledge of Allegiance The Pledge of Allegiance was recited. Agenda Motion/second (Slate, Moderow) to approve the Agenda. Motion Carried. Approval of Minutes Motion/Second (State, Moderow) to approve the minutes of 10/14/2015. Motion Carried. Correspondence None Public Comment None Appearances Jeff Hess, DOT appeared to discuss the 2016 Routine Maintenance Agreement (RMA) and to answer any questions. Hess thanked the county for efforts maintaining State Highways. The RMA is $1,300 less in 2016 than 2015 due to wages and fringe benefits. Lauree Renaud, Green Lake Greenways did not appear. DOT Request for Services, 2016 Routine Maintenance Agreement Motion/second (Slate, Bernhagen) to approve the 2016 Routine Maintenance Agreement in the amount of $536,900.00. Motion Carried. Bike Signs Lauree Renaud, Green Lake Greenways was not able to attend the meeting. The Bike Route Sign Placement Agreement will be brought back in December. No discussion. Monthly Vouchers Motion/Second (Bernhagen, Slate) to approve the November 11, 2015 vouchers for $240,227.25. Motion Carried. Financial Reports Financial Reports were reviewed. Equipment Rating Discussion held on equipment rating.

Truck and Equipment Purchase(s) Motion/second (Slate, Moderow) to develop specifications and obtain bids for a chip spreader. Motion Carried. Deer Pick Up Discussion held on car killed deer removal. Option of contracting out or county forces removing deer. More cost effective to contract out. Recommended to obtain an audit from current contractor on how many deer they are notified of and how many are picked up. Motion/second (Slate, Bernhagen) to spend up to $400 per month on a contractor to pick up car killed deer. Motion Carried. Highway Committee Meeting Location Highway Committee Meeting location will be moved to the Training Room at the Government Center. An email will be sent out when packets are available and a hard copy will be at the meeting. Office Relocation Discussion held on options for a Highway building and office locations. Recommended to wait until Schenk survey becomes available, bring back to Highway in January and then recommend to P&I. Near Miss Policy Discussion held. Committee would like to see a quarterly report of near miss occurrences. Motion/second (Moderow, Slate) to approve near miss policy and receive a quarterly report. Motion Carried. Job Shadow Motion/second (Bernhagen,Moderow,) to approve student job shadowing the Highway Commissioner. Motion Carried. 2016 Winter Road School Jan 18th-20th, 2016 Wisconsin Dells Motion/second (Bernhagen, Moderow,) to send Highway Commissioner and any other Committee member to the 2016 Winter Road School. Motion Carried. Railroad Consortium Bernhagen gave an update on work completed on CTH A and CTH Q and approved capital outlay plan for the Railroad. Committee Discussion County crews have completed CTH A reconstruction; completed mowing ditches; rubber crack filling; bridge maintenance; culvert maintenance and inspections; grading shoulders; surface maintenance; mount plow equipment; installing snow fence. Anticipated activities for the next three months include surface maintenance as needed; rubber crack filling; cutting trees and brush; mount plow equipment; install snow fence; winter maintenance as needed; PASER road evaluations. Permits issued in October were 1 Driveway/ROW, 2 Utility, and 2 Overweight/size. October crash data consisted of 13 deer, 3 county damages, and 1 other. Next Meeting Date December 09, 2015. Bike Route Sign Placement Agreement This Agreement is between Green Lake County (“County”), a quasi-municipal corporation with its seat of government, and principal place of business located at 571 County Road A, Green Lake, WI 54941, and Green Lake Greenways, Inc., a registered non-profit organization in the State of Wisconsin.

Now, in consideration of the promises and covenants herein contained and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Purpose and Scope.

a. Purpose. This Agreement is for the placement of bike route signs on County

highways. The Parties recognize that bike route signage is a valuable asset to the County and improves bike safety.

b. Scope. The area which will have bike route signs installed is the Green Lake Greenways, Inc., Huckleberry Loop, as shown on the attached map, which is incorporated by reference as if fully set forth herein as Exhibit “A”.

c. If Green Lake Greenways Inc., requests additional bike route signs installed, any additional bike route must be approved by the Green Lake County Highway Committee and must be considered desirable as shown on the Green Lake County Bicycle Priorities and Key Linkages with Current Bicycling Conditions map as provided by Wisconsin Department of Transportation.

2. Definitions

“Bike route” means any highway which has been duly designated by the Green Lake County Highway Committee in conjunction with Green Lake Greenways, Inc., and which is identified by appropriate signs and markings. “Install” means to construct, manufacture, fabricate, build, raise, assemble, place, affix, attach, create, paint, draw, or in any other way bring into being or establish a sign or sign structure, but it does not include any of the foregoing activities when performed as customary maintenance of the sign or sign structure. “Maintain” or “maintenance” means to keep in a state of repair, efficiency, or validity; to preserve from failure or decline; and to allow to exist.

3. Signs a. The sole authority for sign size, design, installation, maintenance, and placement

belongs to the County by and through the Green Lake County Highway Department. Installation, placement and maintenance shall be consistent with the Wisconsin MUTCD or other applicable state laws, administrative codes or other industry accepted standards.

b. Installation/Maintenance

i. Signs will be installed and maintained by Green Lake Highway Department personnel under the direction of the Green Lake County Highway Commissioner and recorded in a sign database. All sign supplies will be stored in a location designated by the Green Lake County Highway Commissioner or designee.

ii. Signs may be installed on approved existing sign posts when feasible,

consistent with the Wisconsin MUTCD or other applicable state laws, administrative codes or other industry accepted standards. If an existing sign post cannot accommodate a Bike Route sign, the Green Lake County Highway Commissioner shall have the sole authority to determine where the Bike Route sign post shall be installed.

iii. This agreement is solely for the installation of Bike Route signs on County

Trunk Highways. Any bike route signs for the Huckleberry Loop required on Town, City or Village roads require approval from each respective municipality. The County will not install bike route signs on Town, City or Village roads, without the express written consent of the governing body of the Town, City or Village.

iv. The County reserves the right to remove Bike Route signs if they present a

danger to the motoring public. If the County determines that a sign must be removed, it will inform Green Lake Greenways, Inc. at least 10 business days before removal, unless an emergency situation renders advance notice infeasible.

c. Cost

i. Green Lake Greenways will be responsible for the cost of the signs and posts. The County will mail an invoice for the cost of the signs and posts to the address in paragraph 5.c. below. Payment is due 30 days after the receipt of the invoice. Late payments will incur a 1.5% interest charge on invoices unpaid after 40 days.

ii. The County will be responsible for initial sign installation costs, which

includes labor and incidental supplies.

iii. If a sign or sign post is damaged due to accident, the County will attempt to

recoup the cost of repair/replacement from the individual who caused the damage. If the County is unable to recoup the costs, the cost of repair /replacement shall be allocated as follows:

1. If the damaged Bike Route sign and post is affixed to a post with a county

sign, the county will be responsible for paying for the repair/installation.

2. If the damaged Bike Route sign and post does is not affixed to a post with a county sign, Green Lake Greenways, Inc., will be responsible for paying for the repair/installation.

iv. Green Lake Greenways is responsible for all sign maintenance costs,

including but not limited to replacement signs, supplies and labor. The County will provide an invoice for the cost maintenance, payment of which is due 30 days after the receipt of the invoice. Late payments will incur a 1.5% interest charge on invoices unpaid after 40 days.

4. Liability for Accident and Injury Notwithstanding anything to the contrary, the County expressly retains its protections under Wis. Stat. §895.825, 895.529 and 893.80, and any other liability limiting statute.

5. Miscellaneous

a. This Agreement shall be construed according to the laws of the State of Wisconsin and venue shall lie in the Green Lake County Circuit Court.

b. This Agreement shall remain in force until superseded or suspended at a later date. Either party may terminate this Agreement with 30 days’ written notice to the other party.

c. Notices. All notices regarding this Agreement shall be delivered by United States mail first-class postage prepaid and will be deemed delivered three (3) days after mailing. Notices may also be delivered by commercial carrier. Notices shall be delivered to the following addresses: Green Lake County: Green Lake County Highway Commissioner

d. The captions in this Agreement are for reference only and shall not be used to construe the Agreement.

e. Each party has participated in negotiating and drafting this Agreement, so if an ambiguity or a question of intent or interpretation arises, this Agreement is to be construed as if the Parties had drafted it jointly, as opposed to being construed against a Party because it was responsible for drafting one or more provisions of this Agreement.

f. If any term of this Agreement is to any extent illegal, otherwise invalid, or incapable of being enforced, such term shall be excluded to the extent of such invalidity or unenforceability; all other terms hereof shall remain in full force and effect; and, to the extent permitted and possible, the invalid or unenforceable term shall be deemed replaced by a term that is valid and enforceable and that comes closest to expressing the intention of such invalid or unenforceable term.

g. The parties acknowledge that they will not hold themselves out as an agent, partner or co-venturer of the other and that this Agreement is not intended and does not create an agency, partnership, joint venture or any other type of relationship, except the contract relationship established herein.

h. No amendment to this Agreement shall be valid and effective unless made in writing and signed by an authorized representative of each of the parties.

i. This Agreement may not be assigned without the express written permission of the other party, which consent shall not be unreasonably withheld.

j. This Agreement may be executed in counterparts, each of which shall be deemed to be an original, but all of which, taken together, shall constitute of one and the same document.

6. Effective Date

This Agreement will become effective once all parties have completed any required approval process and the appropriate representative of each party has signed below. Each individual signing this Agreement attests that they have the authority to bind their respective party to this Agreement.

GREEN LAKE COUNTY STANDARD TERMS AND CONDITIONS

(Request for Bids, Proposals, and Contracts)

1. APPLICABILITY. The terms and conditions set forth in this document are adopted by Green Lake County (“County”), a municipal corporation in Wisconsin, and apply to Request for Proposals (RFP), bids, and all other transactions whereby Green Lake County acquires goods or services, or both. Any person or entity that submits bids or offers to Green Lake County is hereafter referred to as “Contractor”.

2. ENTIRE AGREEMENT. These Standard Terms and Conditions shall apply and be fully incorporated into any contract subject to these terms and conditions. Said written contracts, which will be required, with referenced parts and attachments shall constitute the entire agreement, and no other terms and conditions in any document, acceptance, or acknowledgement shall be effective of binding unless agreed to in writing by the county. Unless otherwise stated in an agreement, these Standard Terms and Conditions supersede any other terms and/or conditions applicable to this agreement.

3. SPECIFICATIONS. The specifications herein are the minimum acceptable. When specific

manufacturer and model numbers are used, they are to establish a design, type of construction, quality, functional capability or performance level that is desired. When alternates are proposed, they must be identified by manufacturer, stock number and/or such other information necessary to establish equivalency. Green Lake County shall be the sole judge of equivalency.

4. DEVIATIONS AND EXCEPTIONS. Deviations and exceptions from terms, conditions or

specifications shall be described fully on the contractor’s letterhead, signed and attached to bid or proposal. In the absence of such statement, the bid shall be accepted as in strict compliance with all terms, conditions, and specifications and the contractor shall be held liable for any damages or injuries resulting from any deviation or exceptions.

5. QUALITY AND QUANTITY. Unless otherwise noted in the request, all materials shall be

first quality and no pre-owned, obsolete, discontinued, or defective materials shall be used unless the county agrees in writing. The quantities shown on the request are based on estimated needs and the county reserves the right to increase or decrease quantities to meet actual needs.

6. ACCEPTANCE AND REJECTION. Green Lake County reserves the right to accept or

reject any or all bids, including bidder’s unwillingness to enter into a written contract and bidder’s failure to comply with applicable bidding laws; to waive any minor technicality in any bid submitted; and to accept any part of a bid as deemed to be in the best interests of

Green Lake County. Submission of a proposal or a bid constitutes the making of an offer to contract and gives the county an option valid for 60 days after the submission date to the county. Bids may be dated and time stamped by the appropriate department on or before the date and time that the bid is due. Actual receipt of the bid is necessary and timely deposit in the mail is not sufficient. For evaluation purposes, any line item left blank will be considered as non-responsive and may cause the bid to be rejected due to our inability to do a fair evaluation without the requested information. The “required data” spaces are critical. The information in these areas is required to evaluate and confirm compliance. Therefore, all requested information must be entered in the space provided. Failure to provide any requested information may cause the bid to be rejected as non-responsive.

7. METHOD OF AWARD. Unless otherwise allowed by law, awards will be made to the

lowest responsible, responsive bidder who conforms to the applicable specifications, terms, and conditions that is in the best interests of Green Lake County. Either written or oral notice of award to the successful bidder will be considered sufficient notice of acceptance.

8. PAYMENTS. Unless otherwise agreed, Green Lake County will pay properly submitted

invoices within thirty (30) days of receipt of goods and services. Payment will not be made until the goods or services are delivered, installed (if required), and accepted as specified. Invoices presented for payment shall be submitted in accordance with the agreed upon terms.

9. WAIVER OF DEFAULT. In no event shall the making of any payment or acceptance of any

service or product required by this agreement constitute or be construed as a waiver by Green Lake County of any breach of the covenants of the agreement or a waiver of any default and does not impair or prejudice the right to the recovery of damages or other remedies.

10. GUARANTEED DELIVERY. Failure to adhere to the delivery scheduled as specified or to

promptly replace rejected materials shall render the contractor liable for all costs in excess of the contract price when alternate procurement is necessary. Excess costs shall include administrative costs.

11. APPLICABLE LAW AND VENUE. This agreement shall be governed by and construed in

accordance with the laws of the State of Wisconsin and venue for any legal action between the parties shall be in Green Lake County. Contractor shall at all times and at their sole responsibility abide by any and all state and local statutes, ordinances, rules and regulations applicable to the provisions of goods or services to be provided, including, but not limited to, prevailing wage, payment and performance bonds, and bidder’s certification.

12. ASSIGNMENT/DELEGATION. Neither party shall assign or delegate any rights, interests, or duties under this agreement unless all parties consent in writing.

13. IDEMNIFICATION. The Contractor shall indemnify and hold harmless the County, its officers, agents, employees and members, of and from any and all claims, demands, actions, causes of action, including costs and attorney's fees, arising out of or by reason of the execution or performance of the work or services provided for herein and further agrees to defend at its sole cost and expense any action or proceeding commenced for the purpose of asserting any claim of whatsoever character arising hereunder. In no event shall Contractor or any other party to this agreement including parties which may claim to have a direct or indirect reliance on Contractor’s services, be liable to the other parties for incidental, indirect, or consequential damages arising from any cause unless caused by or resulting from Contractor’s gross negligent conduct or willful misconduct. All indemnifications and limitations of liability will survive the termination of this agreement.

14. INDEPENDENT CONTRACTOR. The County retains the Contractor as an independent

contractor upon the terms and conditions set forth in this Agreement. The Contractor shall determine the means, methods, personnel, and resources necessary to accomplish the objectives of the Agreement. The Contractor is not an employee of the County. The Contractor may utilize subcontracted services subject to limitations established in this Agreement and law. The Contractor shall furnish any and all supplies, equipment, and incidentals necessary for Contractor's performance under this Agreement. County and Contractor agree that Contractor shall not at any time or in any manner represent that Contractor or any of Contractor's agents or employees are in any manner employees of the County.

15. INSURANCE. The Contractor shall purchase and maintain insurance, including Worker’s

Compensation insurance, to protect itself from any and all claims deriving from the work or services provided under this Agreement. The Contractor shall purchase and maintain insurance to protect itself from claims for damages because of bodily injury, including personal injury, sickness or disease, or death of any of its employees or of any person other than its employees; and from claims for damages because of injury to or destruction of tangible property including loss or use resulting therefrom and from claims arising out of the performance of this Agreement by the Contractor.

16. WARRANTY. Unless specifically expressed otherwise in writing, goods and equipment

purchased as a result of this request shall be warranteed against defects by the contractor for one (1) year from the date placed in service. An equipment manufacturer’s standard warranty shall apply as a minimum and must be honored by the contractor. Bidder will be responsible for pick-up from and delivery back to Green Lake County Shop.

17. CANCELLATION. The county reserves the right to terminate any agreement due to non-

appropriation of funds or failure of performance by the contractor. This provision shall not

relieve the county of its responsibility to pay for services or goods provided or furnished to the county prior to the effective date of the termination.

18. RECORDS. The county intends to maintain an open and public process in the solicitation,

submission, review, and approval of procurement activities. The county and the contractor shall comply with the Wisconsin Public Records Law, as it applies to all data, created, collected, received, stored, used, maintained, or disseminated to the county by the contractor. In the event contractor receives a request to release data, the contractor must immediately notify the county. If the contractor asserts any records of it business practice are protected from disclosure by law, the county will not release such records without first notifying the contractor of the request and affording the contractor an opportunity to challenge the requester’s right to access such records. The entire burden of maintaining and defending such protection shall be upon the contractor. The contractor acknowledges and agrees that if the contractor shall fail to initiate the appropriate legal action in a timely manner to prevent disclosure or is unsuccessful upon such a request, the county shall be obligated to and will release the requested records.

19. WAIVER. Any waiver by either party of a breach of any provisions of this agreement shall

not affect, in any respect, the validity of the remainder of this agreement.

20. SEVERABILITY. Any enforceable portions of this agreement shall be enforced even though other portions of the agreement may be deemed unenforceable.

21. TAX EXEMPT. Green Lake County is exempt from Wisconsin and Federal sales and excise

taxes.

MINIMUM SPECIFICATIONS FOR CHIP SPREADER

HYDROSTATICALLY DRIVEN 4 WHEEL DRIVE CHIP SPREADER: It is the intent of this specification to describe a Hydrostatically Driven, 4 Wheel Drive, self-propelled Chip Spreader. Materials listed shall be the least minimum standard as specified and of a quality used commercially, conforming to current engineering and manufacturing practices. The Chip Spreader shall be of a current model under standard production by the manufacturer, with not less than two years of production and field use. The Hydrostatically Driven Chip Spreader shall have the capability, while operating; to tow a 56,000 pound GVW loaded dump truck up a minimum 15% grade. Successful bidders shall maintain a representative inventory of replacement parts and service facilities for servicing the equipment within 100 miles of the purchaser’s main equipment yard. Descriptive literature for unit and warranty statements shall be included and shall be considered part of the quote. Maximum loaded gradeability: Location of nearest servicing dealer:

FUNCTION: The self-propelled 4 Wheel Drive Chip Spreader shall be designed and constructed to supply a uniformly distributed application of cover and seal coat aggregates over a width ranging from 10 feet to 22 feet in increments.

POWER TRAIN ENGINE: Shall have a diesel engine and to include electric start, alternator, voltage regulator and battery. Engine shall have dry type air cleaner, disposable element type oil filter, heavy-duty cooling, and electric throttle actuator. Engine shall have high water temperature / low oil pressure warning system and meet all E.P.A. Tier III requirements. Lockable fuel tank large enough for minimum run time of 10 working hours.

4-WHEEL HYDROSTATIC DRIVE: Four wheel hydrostatic drive providing infinitely variable forward and reverse speeds from 0 to no less than 15 mph.

TRANSMISSION: Electronically controlled variable hydrostatic 125 cc pump driven by direct engine bell housing mount, electronically controlled hydrostatic motors directly coupled to the front and rear axles. Infinite working speed range 0 to 15 mph. Fan cooled oil cooler. Lockable hydraulic tank.

TIRES & WHEELS: Four (4) each 385/65R22.5-G tubeless, radial, wide base tires mounted on heavy duty steel disc wheels, plus one spare mounted rim and tire.

OPERATORS STATION: One control console station which can be moved from side to side for total operational control from either side of the Chip Spreader. Joystick to control forward/reverse and rate of speed. Instruments panel shall have digital display for application rate, product size, speed, oil pressure, coolant temperature, battery voltage, hydraulic oil temperature, percent of fuel remaining, engine hours and engine RPM’s. All engine and hydraulic alarm system with lights and buzzer shall be included. Shall include a lockable control panel cover for vandal protection and one adjustable suspension seat with armrests and mounted umbrella. Speed adjustments for conveyor and auger functions.

STEERING: Full hydrostatic power steering with dedicated flow independent of engine speed. Turning radius shall be approximately 20 feet.

CONVEYORS: Must have two independently activated conveyors. Electric switches for each conveyor control to have easy access mechanical override. Hooded, aggregate deflectors to be located at the head of each conveyor. Each belt to have automatic on/off controls to control aggregate level in the spread hopper. There shall be an override control to enable the operator to manually start or stop the conveyors as needed.

VARIABLE WIDTH SPREAD HOPPER: Shall be 10 feet to 22 feet variable width, raise and lower, two section hopper system with electric vibrators. Hoppers shall be capable of varying the spreading width on the run. Each hopper shall include hydraulic driven augers and spread rollers. Spread rolls shall be hydraulically driven and actuated by power gate opening control. The hydraulic system to have all pumps, hoses, valves, cylinders and controls to operate system. Operating controls shall be capable of being located at both the driver and front co-operator stations. The hoppers shall have expandable metal in the top of each hopper with replacement grates under the conveyor hoods. Also to include, individual controlled gates, to allow aggregate spreading in one foot increments across the variable width hopper by individual gate controls which can be open/close from the operator’s station.

BRAKES: Mechanical axles front and rear having hydraulic internal drum brakes controlled by pressing down on the foot pedal actuator. Also to include a spring applied, hydraulic or air release parking brake.

TRUCK HITCH: This unit shall be equipped with an adjustable truck hitch, which can be released from the drivers or front operator’s positions. Hitch height to be controlled from the driver’s position.

APPLICATION RATE COMPUTER: The Application Rate Computer shall monitor the actual speed of the Chip Spreader, and varies gate opening in order to maintain the set application rate of the selected aggregate, regardless of the speed of the unit. The computer shall be able to store different aggregate/application rate settings. The application rate should be able to vary as desired while operating.

RECEIVING HOPPER: Hopper shall be a minimum of 120 inches wide with a capacity of approximately 4 cubic yards. Hopper to have folding paver style wings controlled from the operator’s station.

MISCELLANEOUS: This unit is to have headlights, stop and tail lights and turn signals. An electric horn, electric back-up warning alarm and mounted strobe light is to be furnished. Must include an engine warning system. Unit to have one full length walkway with skid resistant surface adjacent to one side of the conveyor system. A steel lockable toolbox shall be mounted to unit. Unit to have a mounted fire extinguisher.

MANUALS: Two sets of Parts Manuals, one paper, one disc. Two sets of Operators Manuals. Service Manual with computer program software and training. Parts and service manuals shall be provided upon delivery of the completed unit.

TRAINING: Bidder to provide operator and mechanic training.
