The newwarehouse/office complexreplaces the former locationat Sylvan Way, Winnipeg.

David Collignon, Manitoba regionalmanager, said, “The move to the newfacility will enable us to grow the productsoffered to a market that has been verysupportive of us for many years. It has been a year since the collapse of thefinancial markets reverberated into theeconomy. Since then, our industry hassuffered a tremendous setback. Thetonnage of foreign pipe imported into theUS peaked in the fourth quarter of last year,and together with the severe decrease indemand has left more than a year's supplyof inventory on the ground. The Dollar hasfallen dramatically causing import pricesto rise on future orders. The domestic steelproducers have idled over 50% of theircapacity in response to the fallen demandfor commercial building, home building,cars, appliances and infrastructure work.

Against this backdrop, our political leaderspile up debt at alarming rates with no end insight. The current bills working their waythrough Congress will certainly raise ourtaxes and increase our regulatory burdens.We are all familiar with the Trillion DollarHealth Care Bill, but other bills notreceiving much attention will also greatlyaffect our country and our industry. One ofthese is the Waxman Markey Bill or Capand Trade bill. This bill will attempt todecrease the CO2 emissions by mandating,

through the renewal portfolio standards(RPS), the increased use of renewableresources.

M a n y s o u r c e s h a v e p r o j e c t e dunemployment to peak in second quarter ofnext year at around 10%. At our meeting inChicago we heard concerns from ourspeakers that any recovery will be delayedand slow. This is not good news for ourmembers. We are struggling to reduceinventory in a depressed market as manywonder what happened to the stimulusmoney. Many of our members are gravelyconcerned about the direction of the fiscaland regulatory legis la t ion beingcontemplated in Washington. However you

In these challenging economic times,NASPD is adapting to the businessenvironment and striving to offer morevalue than ever to our members. I've lookedat more financial charts in the last year thanduring my previous 39 years combined.While each chart tells a slightly differentpart of the story, none of them show arecovery as sharp as the decline. So the realfocus is about finding a new normal, and indoing that, hopefully we will all be smarter,more flexible and more pragmatic than ineasier times. At the NASPD, we remindourselves that while we are good at hostinggreat events at luxurious locations, our true

value is in providing our members with thetraining, information and resources theyneed to succeed in any economy.

Our Steel Pipe Basic Education Course iscelebrating its 4th anniversary with theaddition of an OCTG specialty course -thanks to the hard work and expertise ofBeau Urech with Tubular Synergy Group.We are honored to be hosting the U.S. ArmyCorps of Engineers at this course. It is furtherconfirmation that we have some of the mostcomprehensive information on steel pipethat can be found anywhere. We could nothave created this course without the hardwork and expertise of our presenters.

We are in the process of completelyrenovating our Tubular Products Manual. We

hope to have the revised manual availableby first quarter of 2010.

Bayou Companies To Expand Coverage with Acquisition ofGarneau Inc.'s Pipe Coating and Insulation FacilityLocated in Western Canada

Sept. 2009 — The Bayou Companies, Inc. (“Bayou”), a subsidiary of InsituformTechnologies, Inc. announced its agreement with Garneau, Inc. to acquire Garneau's pipecoating and insulation facility and associated assets located in Camrose, Alberta Canada.Bayou Perma-Pipe Canada, Ltd., a joint venture between Bayou and Perma-Pipe, Inc., willacquire the Garneau facility and assets and serve as the operating company for Bayou'sCanadian operation.

“This acquisition represents another strategic step for Insituform's energy and miningdivision. A pipe coating and insulation facility in Western Canada will allow Bayou to betterserve its customers and will increase Bayou's addressable market by approximately $200million,” said Jerry Shea, Bayou's Managing Director, Business Development. Shea furthercommented, “Bayou has the largest pipe coating, fabrication and logistics capability on theGulf Coast. This acquisition will allow Bayou to broaden that reach and extends Bayou'sgeographic coverage and its ability to serve important customers in Canada.”

With over 40 years of operating experience, Garneau has developed significant expertise aswell as innovative technologies. Garneau also has maintained a long-term focus oncontinuously improving the pipe coating process with cost-effective quality coatings. TheCamrose facility, constructed in 1997, was upgraded in 2007 and provides over 75,000 squarefeet of space in its coating facility.

Bayou's joint-venture partner, Perma-Pipe, is the leading manufacturer of pre-insulateddistrict heating and cooling piping systems in North America. Perma-Pipe also offers pre-insulated products for subsea oil and gas gathering, LNK terminals and long distancepetroleum pipeline transportation. Bayou and Perma-Pipe have been partners in Bayou FlowTechnologies (“BFT”) for approximately 10 years. BFT markets subsea flow assuranceproducts and services to oil companies operating in the Gulf of Mexico.

Fati Elgendy, President of Perma-Pipe said, “Perma-Pipe's long history with Bayou has beenvery successful. We're honored to join them in this endeavor to bring insulation solutions tothe portfolio of products offered in Canada.”

Garneau's shareholders are expected to vote on the agreement, which has been approved by itsBoard of Directors, in late October 2009. The transaction is expected to close on or beforeOctober 31, 2009.

Independence Tube Announces ExpansionSept. 2009 — Independence Tube Corporation, one of NorthAmerica's leading structural tube producers,has announced the expansion of their manufacturing facility in Marseilles, Illinois. The new mill willbegin production in the fourth quarter of 2009. Independence Tube currently has operations in Chicago(headquarters), Decatur, Alabama, and Marseilles, Illinois.

This green field, 170,000 sq. ft. expansion, will include a new manufacturing mill capable of producingHSS tubing 1.66” OD through 5.00” OD. This expansion will give Independence Tube the full size rangeon their ITC50 Pipe Size Tubing from 1.66” OD though 12-3/4” OD as well as compliment their 2” SQthrough 12” SQ. tube sizes.

When fully operational, the re-tooled facility isexpected to create up to 120 jobs at an averageannual salary of $39,000 plus benefits.

Governor Jindal said, "Working to retain andexpand existing companies is our top economic-development priority. We've also worked hard toattract companies to revitalize old facilities thatwere once major employers for different regionsin our state. Today, we're marking the rebirth ofyet another idled facility.

"Northwest Pipe's decision to reinvest in ourstate and revitalize its manufacturing operationsin Bossier City will build upon NorthwestLouisiana's recent economic momentum.Louisiana continues to attract new investment ata time when investment has been dwindlingthroughout the country."

To strengthen their presence in the energymarket, Northwest Pipe Co.'s tubular productsgroup is refitting the once idle 27-acre plant tomanufacture oil country tubular goods, orOCTG, and pipe for the oil and gas industry.

Northwest Pipe Co. CEO Brian Dunham said,"Reviving manufacturing operations at thisfacility reinforces our commitment to growNorthwest Pipe Co. during these challengingeconomic times. Bossier City is ideally locatedto serve our energy pipe customers. Based upontheir market demand, we hope to re-commissionthe plant by mid-2010. We are committed to theenergy pipe business, and we believe in BossierCity as an excellent manufacturing location."

Northwest Pipe Co.'s investment in Bossier Citywill be completed in two phases. Phase Iincludes relocating a recently modernizedexisting mill from its Portland, Ore. facility.Once operational, the mill will produce pipe thatis 2.375 inches to seven inches in diameter withwall thicknesses up to .375 inches. The projectrepresents the company's largest internalinvestment project in its history. When fullyoperational, Phase I will require 50 permanentand full-time employees to meet the 120,000 tonproduction capacity. Currently in the planningstage, Phase II of the project will add furtherprocessing and inspection, which will create upto 70 jobs.

GBEDF President David Rockett said,"Northwest Pipe Co.'s commitment to re-establish its facility in Bossier City is a greatvictory for this community. In the midst of anational recession, our area continues tocompete with major metro areas for projects --and we are winning. Announcements like theseprove that we have something special to offerhere in Northwest Louisiana."

Northwest Pipe Co. is expected to utilize theLouisiana Quality Jobs program and theIndus t r ia l Tax Exempt ion Program.Additionally, the company will partially financethe project through Recovery Zone FacilityBonds issued by the Caddo-Bossier PortCommission.

feel about a particular bill, it is importantthat you make yourself heard inWashington. We ask that each of youcontact your representatives and let themknow how you feel.

The NASPD will attempt to become morepolitically active by addressing the needs ofour members as it relates to particularlegislation and forwarding these views tothe involved legislators. The contactinformation for any member of Congresswill be posted on our website for easyaccess. If you need further assistance orinformation, either Gail or Susannah will beglad to assist you. The NASPD will alsocontinue to bring interesting and relevantspeakers to our conventions in an effort tokeep our members highly informed of thecurrent market conditions and futuredirection of National legislation as it relatesto the pipe industry.

The deadline to submit nominations for the 2009 Knowles-Rubenstein Award of Excellence is January 14, 2010. Any or all ofthe following types of service are considered as the basis fornominating an individual for theAward of Excellence:

A) Unusually productive service to the NASPD over a substantialperiod of time.

Alice Womble, matriarch of the Womble clanand NASPD member Womble Company, Inc.long ago chose the horse as a symbol for her lifeand work. Alice explains, "The horse is adisciplined service animal that throughteamwork with it's master achieves neededresults.” The same proud symbol of the horse isused in both the Womble Co. and HorsegateRanch logos. "A horse" Alice explains, "isalways open to improvement, anxious to please,devoted to service and ready to perform anygiven task.Ahorse readily accepts challenges asthey are presented and, even under extremecircumstances, is loyal without hesitation."These qualities that Alice respects in her noblehorses are the same attributes that are instilled inthe family pipe coating business.

The idea that set Womble Company in motionbegan one day while Alice and her late husbandJohn were at a fast food drive-thru. They had justdelivered a steam cleaning machine to an oilfield company in Houston. They stopped for aquick bite to eat when Alice noticed a garbagetruck driving up to a trash receptacle next to theircar. The smell was overwhelming. Alice turnedto John and asked “is there anything that can bedone about that smell?” John replied “What isthe name of that company?” They say timing iseverything. Browning and Ferris (now known asBFI) was searching for a new look and image.Alice and John contacted them and negotiated acontract to clean and paint their containers andthe rest, as they say, is history.

Through strict adherence to customer service,they gradually built the business that they nowproudly refer to as a family. Womble Co., Inc. isa family run business that began in 1972 in

Houston, Texas and now operates 3 locations - acorporate headquarters and two pipe servicefacilities.

John and Alice both had farm and ranchbackgrounds. In the late 1980s, they purchasedsome land in Hempstead, Texas and startedHorsegate Ranch. The ambition and philosophyfor Horsegate Ranch is no different than theWomble Company. Horsegate Ranch strives toprovide a quality product in the sport horse andseed stock cattle industries. Alice explains that it'snever about quantity and only quality producespositive results.

Alice has passed down her commitment to serviceand ethics to her three children in the familybusiness. Alice's son Todd, has many talents. Hisdynamic approach to life and love for people arethe perfect attributes that allow him to reach out tocustomers and work toward satisfying their needs.Todd views being the head of the WombleCompany Sales Department as an excitingchallenge each and every day. Her eldest daughterAndrea, has a unique way of thinking outside thebox. Recession ProofingYour Business

With the U.S. economy in another recession, afaltering financial industry, high unemployment,and a new federal administration all play into oureconomic insecurities. Steel pipe distributors areexperiencing fewer project starts, slower payingcustomers and tighter credit restrictions. The firstreaction by many has been to batten down thehatches and prepare for the worst.

But, is that the right approach? Does it makesense to downsize a business when, in fact,another economic upswing is right around thecorner?

The good news is thatrecessions are a logicalphase in every businesscycle. They often follow aperiod of economicexuberance and are, insimple terms, a naturalreflection of the market toclose one cycle beforestarting another. Insteadof fearing recessions,business owners shoulda c t i v e l y p o s i t i o nthemselves to leveragethe next logical step in thee c o n o m i c f l o w o finnovation and corporategrowth. This articleprovides four ways toproactively move yourorganiza t ion in to aposition to achieve higherlevels of corporate value.

Doy o u r p r o d u c t s a n dservices still make sense?Are your customers ableto easily espouse yourvalue proposition, or haveyour offerings gone theway of the wagon wheel -still useful but hardlyeffective in the newtechnological age. Mostbusinesses cling far toolong to their treasuredproducts and servicesh o p i n g t h a t n e wcustomers can be found torevive ailing revenues.To d a y, w i t h t h o s erevenues slowing down,business leaders are in anideal position to invest insimple forms of marketresearch to assess whethertheir existing productsand services still makessense.

Ensure relevance.

Focus on Innovation. In periods of economicexuberance, businesses waste corporateresources. After all, when times are good, whyshould business leaders be interested in squeezingmore out of their asset pool? In contrast, whenthere is a recession and financials are tumblingdownward, owners frantically seek to exploithidden value from their organizations, oftenmaking the mistake of jettisoning assets thatappear worthless.Although maximizing corporatevalue should be a full-time effort regardless of the

business phase, it is only during recessionaryperiods that business leaders are motivated totake action.

Pessimistic businessleaders assume that a recession will never end.Realistic leaders realize that the recession willeventually roll into the next business cycle.While pessimists will be actively selling offcorporate assets, realists will recognize thisperiod as a time to step into either horizontal orvertical markets, expanding the size and

complexi ty of theircustomer base.

Horizontal and verticalmarket expansion is areflection of corporateinterests. Horizontalexpansion is defined asmoving into markets thatare logical extensions ofyour current businessmodel. Vertical expansionis actually a shrinkage inthe overall market asfirms seek higher levelsof specialization in theirchosen industry. From astrategic perspective,neither approach is rightor wrong; it is merely areflection of corporatedesires.

In periods ofeconomic slowdown,business leaders spend aninordinate amount of timetrying to “optimize” thesales, marketing, finance,a n d a d m i n i s t r a t i v eactivities, an effort akin toreshuffling deck chairs ona sinking ship. It is anonproductive use oftime as these functionsare considered non-coreactivities having little, ifany, impact on overallcorporate value.

Instead, resources shouldbe expended on refiningthe core functions of thecorporation: operationsand delivery. These arethe functions that providereal value and help setyour corporation apartfrom its competitors.

That's not to say that there are not opportunities toreduce costs and increase productivity in thesenon-core functions. After all, it is possible toreduce the cost of any organization by 20%without negatively impacting the entity'sproductive output. (That figure rises to 60% withgovernment entities!)

The larger question is why you waited until aneconomic downturn to focus your attention onthese aspects of the business. The advice issimple: during a recessionary period, seek tomodify your core activities, leaving your non-core functions for a time when corporatecompetitiveness is less in question. The timespent will be better rewarded as the economiccycle moves to its next phase.

Recessions are periods of corporate re-birth.While many business leaders flounder, prudentowners realize recessions are an opportunity tore-establish one's business in a new competitivelight. Focus on predicting your next marketdemand, and position your firm to reap thebenefits of the next upward economic swing.

Northwest Pipe Company announced that itssubsidiary, Northwest Pipe Asia (NWPA), hasbegun producing pipe for the Marine CoastalExpressway (MCE) project in Singapore. NWPAis working as a subcontractor to deliverapproximately 30,000 tons of structural piling toSamsung, the prime contractor on the project.

NWPA is producing the pipe from a new facilitylocated on the island of Batam, Indonesia, acrossthe Singapore Straits from Singapore. Thecompany installed a newly completed SpiralWeld Pipe Mill into this new facility, which islocated on the property of DSAW, an Indonesiancompany, which is also producing structuralpiling for Samsung. "We are looking forward to asuccessful project. This will be our first projectbuilt in Indonesia," said Brian W. Dunham, CEOof the Company. "We are using our newest millwhich was designed and built by our subsidiarycompany."

NWPA has begun delivering and will finishproduction by the end of the second quarter ofnext year. The company is evaluating otheropportunities to place this mill after this projectis completed, including the option of keeping themill in Indonesia.

NWPA is a subsidiary of Northwest PipeCompany which was formed in 2009 and isheadquartered in Singapore. NWPA's primarybusiness is the design and manufacture of SpiralWeld Pipe Mills.

Insituform Technologies, Inc. (NASDAQ GlobalSelect Market: INSU) announced that theMexican national oil and gas company PetróleosMexicanos ("Pemex") has awarded an additional$13.9 million contract to United Pipeline deMexico, S.A. de C.V. ("UPM"), Insituform'sMexican joint venture. This contractcomplements Insituform's award of a $12.4million pipeline project for Pemex which wasannounced in September 2009.

As with the initial contract announced inSeptember, it is expected that Insituform willutilize its subsidiaries to provide additionalservices required for this project. CorrproCompanies, Inc. will provide installation of acathodic protection system and The BayouCompanies, Inc. will provide prefabricationservices for skid-mounted equipment. DorwinHawn, Vice President United Pipeline Systemsfor Insituform, said, "By contracting this worksimultaneously with the associated pipelineconstruction and rehabilitation activities, thisadditional project allows Pemex to benefit fromimproved economies of scale."

Rochelle Jacobson receivesTorch of Liberty Award

Recently, Rochelle Jacobson was presentedwith the Torch of Liberty Award by theSouthwest Region of the Anti-DefamationLeague. NASPD congratulates her on thespecial recognition.

The Anti-Defamation League (ADL) was founded in1913 “to stop the defamation of the Jewishpeople and to secure justice and fairtreatment to all.” Now the nation's premiercivil rights/human relations agencyfighting anti-Semitism and all forms ofbigotry, ADL defends democratic idealsand protects civil rights for everyone. Aleader in the development of materials,programs, and services,ADLbuilds bridgesof communication, understanding, andrespect among diverse groups, carrying outits mission through a network of 30 regionaland satellite offices in the United States andabroad. The Southwest Region of the ADLcovers Texas from El Paso to Beaumont andall points south. Houston, Austin, SanAntonio, Corpus Christi, and McAllen areincluded in its service area.
