AmazonAmazon service provider shall provide Launchpad Services to all the start-ups, shortlisted or specifically selected by KBITS, subject to their acceptance of terms and conditions governing participation in the Launchpad program. Acceptance of terms and conditions of the Launchpad program would constitute an agreement between the participant and Amazon Service Provider. Amazon service provider shall on abest effort basis:Provide all the participating startups with periodic support and services in improving their presence in the market, generating demand of their product, and guiding them towards sustainable business growth under the Launchpad program for the term of this MoU: and Enroll and register Karnataka startup cell as a network partner under the Launchpad program to provide the privilege of referring its portfolio startups for participation in the Launchpad Program.


Argus Partners

Argus service provider shall provide

a) Drafting, reviewing and settling entire gamut of commercial contracts in theordinary course of business, such as for instance, service agreements; supplycontracts; employment/appointment letters; licensing agreements etc, = Rs.7,500/-per document.

b) Reply to + Insurance of legal notices in connection with potential litigation / disputesmatters = Rs. 7,500/- per notice.

Note: the above indicative fees may be revised as may be mutually agreed betweenthe Argus and the concerned Startup on a case-by-case basis depending on thescope, range and depth of individual work involved in each matter.

c) General legal advice under Indian law on legal issues faced on a rolling basis =

Rs. 1500/- per hour blended hourly rate across partners and associates (a fixed or acapped fee understanding can be put in place as mutually agreed between Argusand the concerned Startup, on a case-by-case basis depending on the scope, rangeand depth of work involved).

d) Attending to + handling litigation and arbitration matters, including filings andpleadings in court, and attending hearings in court / arbitration panel = to bemutually agreed between the Argus and the concerned Startup, on a case-by-casebasis depending on the scope, range and depth of work involved.

e) All out-of-pocket expense including clerkage, to be reimbursed by the concernedStartup on actuals and reasonable basis, subject to production of necessaryvouchers / bills by the Argus, as possible.

f) The bills / invoices of Argus are to be paid by the concerned Startups within 30 daysof their receipt. All bank details of the Argus will be supplied directly to each Startupreceiving services from the Argus.

Booster Kit Partners Offerings g) TDS to be deducted and paid by the concerned Startups only on the professional

fees / charges of the Argus, Startups to provide all relevant supportingdocumentation to the Argus to enable it to claim appropriate credit for such TDSdeducted.

h) Liability to pay “Goods and services TAX” (GST) is on the concerned Startups, as therecipient of the services provided by the Argus, on the basis of the “Reverse ChargeMechanism”, in terms of Section 9(3) of the Central Goods and Services RAx Act,2017 (the GST Act).

The Argus has been exempted from availing GST Registration in terms of Section 9(3) of the CGST Act, read with Notification No. 5/2017, dated June 19, 2017

Digital OceanDigital Ocean service provider shall provide

3. Cloud Credits: Digital Ocean will offer 2 tiers of credits to startups associated with the Government of Karnataka’s (GoK) Startup Cell.

4. A $100 one-time credit for all companies, which are a part of Government of Karnataka’s (GoK) Startup Cell.

5. A $1000 one-time credit for companies in which Government of Karnataka has directly made an investment.

5. The credits will have a one-year life span, expiring beyond that point.

6. Companies are only eligible for one credit, and cannot utilize multiple credits even if the company uses multiple accounts.

7. The startup must not generate any duplicate accounts for the credit program (duplicate accounts are ineligible and the credits will be revoked if any cases of theabuse are identified).

8. For the credit, verification of the eligibility successfully matching the billing addressand email on file to Digital Ocean to that of the legal address and official email for the company on GoK’s Startup Cell records.

9. These credits will be valid only for those startups who have not availed Digital Ocean credits earlier through any other program/channels.

10. Digital Ocean reserves the right to reassess and modify the program at its discretion.
