As she stated, the Project is dedicated to bringing theater productions and affordable classes that encourage community members, ages three through adult, to embrace the dramatic arts as an adventure of daily living, Very appropriately, the word Selah appears 71 times in the Book of Psalms and it is probably either a liturgico- musical mark or an instruction on the reading of the text, something like "stop and listen." This, in a real sense, sums up the philosophy and goals of the Selah Project. The Selah Project is a non-profit organization which was founded in 2012 by LaTasha. She produced the company’s first show with a small budget, and lots of support from family and friends. Since its founding, Selah Theatre has become the leading year-round dramatic arts education programming in Front Royal and the Shenandoah Valley. It draws its support and membership not only from Front Royal and Warren County, but Shenandoah, Clarke, Frederick, and Page counties, as well as Winchester. The Theatre offers the opportunity to create theater together in an educational, supportive, and professional environment to all ages, to children of differently advantaged backgrounds. Each year, as it has grown and developed, it has offered original theater productions, teen productions, children’s theater, and community theater productions. It also offers pre-professional theatrical training and youth development through the Selah Theatre Teen Company, composed of high school students 13-18; dramatic arts education; in-school residencies and after-school programs; and Selah Young Artist Drama Academy theater classes for kids of all ages. A sliding pay scale is available to these classes, as they try to provide affordable artistic opportunities to students regardless of ability to pay. As she noted, the Project has received and is continuing to receive recognition from beyond our immediate boundaries. The students have successfully participated in regional and state projects, and attracted notice from well beyond Front Royal. As she stated, this fall they will be presenting Fences, by August Wilson. As noted by Robert Light, this is quite impressive, since it is difficult to gain approval from the agency controlling Wilson’s plays. They are very particular about who they allow to do his plays. On our Wednesday meeting, President-Elect Rob explained that we had finally crossed the finish line on our goal ofbecoming a 501(c)(3) club, a project that had begun under President Barbara in July 2016, was continued under PresidentKarl and President Kristen. It has been a process that has required the hard work and input of many people in the Club, butespecially the aid and assistance of Rob and Mike Noble.

When the process began, we were under the impression that in order to become a 501(c)(3), we would have to establisha separate board, constitution, and by-laws, as well as a completely separate accounting process. We were also afraid thatwe could not alter the Club’s constitution without risking our Rotary Charter. We contacted Rotary International and foundthat we could alter our charter “as necessary” and that RI has a provision for clubs that change from a 501(c)(4) to a501(c)(3), much to our relief.

We transmitted IRS Form 1023 on January 24, 2018, and received a follow-up from the IRS on June 25. They hadseveral concerns, and gave us a deadline of July 1 to respond. One of their primary concerns was about our contributionsto Project Eure in Brazil. They wanted to make sure that this was not a terrorist organization, or an organization withterrorist ties. They also asked for additional information about our actual charitable work, but after talking with Rob, theyextended the deadline to August 1 for us to get all the material to them.

The information that the IRS sought was sent to them (after Rob spent several tension-filled days seeking answers). OnJuly 30, we received a letter from the IRS, approving our application, but requesting two changes to our constitution, andthat we notify RI of our status change. They did not require a follow-up or proof that we had done this, and Rob assuredthem that it was as good as done.

The first change requires that we change the wording in the heading of Article 4 from “Object” to “Purpose,” andinclude the following language (in Bold): “The Club is organized for charitable purposes, including, for suchpurposes, the making of donations to organizations that qualify as exempt organizations as described under Section501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.”

The second change requested was that we include language in the section on Dissolution of the Club. As the IRSpointed out, we did not spell out exactly what would happened if the Club dissolved, nor did it mention the Club’s status asa 501(c)(3) if that occurred. As a result, the following language will be added: “[Upon the dissolution of] theorganization, assets shall be distributed for one or more exempt purpose within the meaning of Section 501(c)(3) ofthe Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to thefederal government, or to a state or local government, for a public purpose as [chosen by the then existing Board ofDirectors of this club.] Any such assets not disposed of shall be disposed of by a court of competent jurisdiction inWarren County, Virginia, exclusively for such purposes or to such organization or organizations, as said Court shalldetermine, which are organized and operated exclusively for such purposes.”

As a result, these changes will be voted on at our Club Assembly on August 26, and requires a two-thirds vote bymembers present. Our status as a 501(c)(3) is effective, retroactively, to January 24, 2018. Now exactly what this means,as regarding tax-deductible contributions to our Club will be explained in greater detail at the Club Assembly.

Clearly this has been a long and difficult process, and we owe all of the individuals who worked tirelessly on this(especially Rob and Mike) our sincerest thanks.

George reminded us that the blue buckets on our tablesare there to collect any spare change you might have in yourpockets or purses for Coins for Alzheimer’s Research Trust(CART) fund. The money collected is used for grants bepresented to the scientists researching attempting to find acure for this terrible disease. These researchers are oftenworking on the cutting edge of science, without federalgrant money, and have had some very interesting andpromising research results. As Woody Sadler, VicePresident of CART reported last year, CART had awardedsix grants for a total of $700,000 last year, so givegenerously.
