Fletcher and the Delta Township Board From: Courtney Nicholls, Finance Director/Deputy Treasurer & WWTP Project Team Date: October 11, 2021 Subject: Introduction of Resolution of Intent to Issue Sewer System Revenue Bonds As we continue to move forward with the bond issuance process through the State Revolving Fund for the Wastewater Treatment Plant project, we are now at the point that the Board needs to pass the Resolution Authorizing Notice of Intent to Issue Sewer System Revenue Bonds. The purpose of this resolution is to authorize the publication of a Notice of Intent, which informs the community that we plan to issue not to exceed $90 million in revenue bonds through the State Revolving Fund for the major capital improvements at the Wastewater Treatment Plant. This includes the anticipated total project cost including Phase 1 and 2, which was most recently estimated at $86,166,000 in June 2021. This is a not to exceed amount. The State Revolving Fund is a reimbursement style program, so the Township will only be required to pay back the costs that are actually incurred plus interest. Once the notice is published in the paper, a 45 day referendum period on the bond sale begins. 2,714 signatures of registered voters would need to be gathered with the 45 day period to force an election to occur to authorize the sale of the bonds. If no referendum is filed, the next step in the bond issuance process for the Board will be consideration of the Bond Authorizing Ordinance in February/March 2022. This information is being presented at this Committee of the Whole meeting in anticipation that it will be on the agenda for action at the November 1, 2021 meeting. Jeff Aronoff and Bill Danhof from Miller Canfield (Bond Counsel) and Robert Bendzinski from Bendzinski & Co (Financial Advisor) will be attending the meeting to answer any questions.

RESOLUTION AUTHORIZING NOTICE OF INTENT TO ISSUE SEWER SYSTEM REVENUE BONDS

A RESOLUTION TO APPROVE: • Publication of a Notice of Intent to Issue up to $90,000,000 of sewer revenue bonds

for improvements to the Township’s wastewater treatment plant. • Principal of and interest on the revenue bonds shall be payable from sewer system revenues. • Anticipated low interest loan funding from State Revolving Fund. • Voters will have 45 days after publication to petition for referendum.

WHEREAS, the Charter Township of Delta, County of Eaton, State of Michigan (the “Township”) determines it to be necessary for the public health, safety and welfare of the Township and its residents to construct and equip major capital improvements to the wastewater treatment plant, together with any appurtenances and attachments and any related site improvements (collectively, the “Project”); and

WHEREAS, the Township anticipates it will obtain a low interest loan to fund the Project through the Clean Water State Revolving Fund (“CWSRF”) program administered by the Michigan Department of Environment, Great Lakes and Energy (“EGLE”) and the Michigan Finance Authority (the “MFA”); and

WHEREAS, in order to obtain loans from the CWSRF program, the Township must issue bonds, and the Revenue Bond Act, Act 94, Public Acts of Michigan, 1933, as amended (“Act 94”), provides a means for financing the acquisition and construction of public improvements such as the Project through the issuance of bonds payable from revenues of the Township’s Sewer System (the “System”); and

WHEREAS, the issuance of bonds under Act 94 payable from revenues of the System (the “Revenue Bonds”) for the purpose of financing the Project represents the most practical means to that end, and Section 33 of Act 94 requires the Township to publish a notice of intent before the Township can issue the Revenue Bonds; and

WHEREAS, it will be necessary for the Township to issue the Revenue Bonds in an aggregate amount not-to-exceed Ninety Million Dollars ($90,000,000).

NOW, THEREFORE, BE IT RESOLVED THAT:

1. The Township Clerk is hereby authorized and directed to publish, or cause to be published, a notice of intent to issue the Revenue Bonds in the Lansing State Journal, a newspaper of general circulation in the Township. The notice of intent shall be published as a one-quarter (1/4) page display advertisement in substantially the following form:

OF INTENT TO ISSUE REVENUE BONDS AND THE RIGHT OF REFERENDUM THEREON

PLEASE TAKE NOTICE that the Township Board of Trustees of the Charter Township of Delta, County of Eaton, State of Michigan (the “Township”), intends to issue and sell revenue bonds pursuant to Act 94, Public Acts of Michigan, 1933, as amended, in an amount not to exceed Ninety Million Dollars ($90,000,000) for the purpose of paying costs to construct and equip major capital improvements to the wastewater treatment plant, together with any appurtenances and attachments and any related site improvements.

The Township anticipates that the revenue bonds will be delivered to the Michigan Finance Authority to document a low interest loan from the Clean Water State Revolving Fund. The revenue bonds may be issued in one or more series as shall be determined by the Township Board of Trustees. Each series of the revenue bonds will mature in annual installments not to exceed the maximum permitted by law, with interest on the unpaid balance from time to time remaining outstanding on said bonds to be payable at rates to be determined at sale of the revenue bonds but in no event to exceed such rates as may be permitted by law.

SOURCE OF PAYMENT OF REVENUE BONDS THE PRINCIPAL OF AND INTEREST ON THE REVENUE BONDS SHALL BE

PAYABLE solely from the revenues received by the Township from the operations of the Township’s Sewer System (the “System”), except as provided below if the revenue bonds are sold to the Michigan Finance Authority in connection with the State of Michigan’s Clean Water State Revolving Fund loan program. The revenues will consist of rates and charges billed to the users of the System, a schedule of which is available www.deltami.gov. The rates and charges may from time to time be revised to provide sufficient revenues to provide for the expenses of operating and maintaining the System, to pay the principal of and interest on the revenue bonds and other obligations of the System, and to provide reserves for these purposes.

ADDITIONAL POTENTIAL SOURCES OF PAYMENTS IN THE EVENT THAT THE REVENUE BONDS ARE SOLD TO THE MICHIGAN

FINANCE AUTHORITY, THE TOWNSHIP MAY PLEDGE FOR THE PAYMENT OF THE BONDS MONEY RECEIVED OR TO BE RECEIVED BY THE TOWNSHIP DERIVED FROM IMPOSITION OF TAXES BY THE STATE AND RETURNED OR TO BE RETURNED TO THE TOWNSHIP AS PROVIDED BY LAW, except for money the use of which is prohibited for such purposes by the State Constitution. The Township may enter into an agreement providing for the payment of taxes, which taxes are collected by the State and returned to the Township as provided by law, to the Michigan Finance Authority or a trustee, and such funds may be pledged for the payment of the revenue bonds.

IN THE EVENT THAT THE REVENUE BONDS ARE SOLD TO THE MICHIGAN FINANCE AUTHORITY, THE TOWNSHIP MAY PLEDGE ITS LIMITED TAX FULL FAITH AND CREDIT AS SECURITY FOR THE REVENUE BONDS, IN WHICH EVENT DEBT SERVICE ON THE BONDS SHALL BE PAYABLE EITHER FROM REVENUES OF

THE SYSTEM OR FROM AD VALOREM TAXES THAT MAY BE LEVIED ON ALL TAXABLE PROPERTY IN THE TOWNSHIP, SUBJECT HOWEVER, TO CONSTITUTIONAL, STATUTORY AND CHARTER TAX RATE LIMITATIONS.

RIGHT OF REFERENDUM THE REVENUE BONDS WILL BE ISSUED WITHOUT A VOTE OF THE

ELECTORS UNLESS A VALID PETITION REQUESTING SUCH A VOTE SIGNED BY NOT LESS THAN 10% OF THE REGISTERED ELECTORS RESIDING WITHIN THE BOUNDARIES OF THE TOWNSHIP IS FILED WITH THE TOWNSHIP CLERK WITHIN FORTY-FIVE (45) DAYS AFTER PUBLICATION OF THIS NOTICE. IF SUCH PETITION IS FILED, THE REVENUE BONDS MAY NOT BE ISSUED WITHOUT AN APPROVING VOTE OF A MAJORITY OF THE QUALIFIED ELECTORS RESIDING WITHIN THE BOUNDARIES OF THE TOWNSHIP VOTING THEREON. If such petition is filed and the electors of the Township voting thereon approve the issuance of the bonds, then the bonds may be payable from revenues or from ad valorem taxes that may be levied on all taxable property in the Township without limitation as to rate or amount.

THIS NOTICE is given pursuant to the requirements of Section 33, Act 94, Public Acts of Michigan, 1933, as amended.

2. The Township Board of Trustees hereby determines that the foregoing form of notice of intent to issue the Revenue Bonds, and the manner of publication directed, is adequate notice to the electors of the Township and the users of the System, and is the method best calculated to give them notice of the Township’s intent to issue the Revenue Bonds, the purpose of the Revenue Bonds, the source of payment of the Revenue Bonds, the security for the Revenue Bonds, and the electors’ right of referendum, and that the provision of forty-five (45) days within which to file a referendum petition is adequate to insure that the Township’s electors may exercise their legal rights of referendum, and the newspaper named for publication is hereby determined to reach the largest number of persons to whom the notice is directed.

3. The Township may incur expenditures for the Project prior to receipt of proceeds of the Revenue Bonds, and may advance moneys for that purpose from the funds of the System to be reimbursed from proceeds of the Revenue Bonds when available.

4. The Township hereby makes the following declaration of intent for the purpose of complying with the reimbursement rules of Treas. Reg. § 1.150-2 pursuant to the Internal Revenue Code of 1986, as amended:

(a) As of the date hereof, the Township reasonably expects to reimburse itself with the proceeds of debt to be incurred by the Township for costs of the Project that were or will be paid subsequent to sixty (60) days prior to the date hereof.

(b) The maximum principal amount of debt expected to be issued for the Project is $90,000,000.

(c) The expenditures described above are “capital expenditures” as defined in Treasury Regulation § 1.150-1(b), which are any costs of a type which are properly chargeable to a capital account (or would be so chargeable with a proper election or with the application of the definition of placed in service under Treas. Reg. § 1.150-2(c)) under general Federal income tax principles (as determined at the time the expenditure is paid).

5. The Township requests that Bendzinski & Co., Municipal Finance Advisors continue to serve as Municipal Advisor to the Township in preparation and planning for the sale of the Revenue Bonds.

6. The Township requests Miller, Canfield, Paddock and Stone, P.L.C. (“Miller, Canfield”) to continue as bond counsel to the Township for the Revenue Bonds. The Township has been advised that Miller Canfield has represented the MFA in the past and may represent the MFA in connection with various matters including the CWSRF loan program. The Township requests that Miller, Canfield continue as bond counsel, notwithstanding the potential concurrent representation of any such potential participant regarding any unrelated matter.

7. The Finance Director is authorized to apply to a rating agency for a credit assessment if necessary to comply with requirements to participate in the CWSRF program.

8. The officers, administrators, agents and attorneys of the Township are authorized and directed to take all other actions necessary and convenient to facilitate preparation of the Revenue Bonds for participation in the CWSRF program. The Revenue Bonds will be sold only after the Township Board of Trustees approves an ordinance authorizing issuance and sale of the Revenue Bonds.

9. All resolutions and parts of resolutions, insofar as they conflict with the provisions of this resolution, are hereby rescinded.

I hereby certify that the foregoing is a true and complete copy of a resolution adopted by the Township Board of Trustees of the Charter Township of Delta, County of Eaton, State of Michigan, at a Regular meeting held on Monday, November 1, 2021 at 6:00 p.m., Eastern Time, and that said meeting was conducted and public notice of said meeting was given pursuant to and in full compliance with the Open Meetings Act, being Act 267, Public Acts of Michigan, 1976, and that the minutes of said meeting were kept and will be or have been made available as required by said Act 267.

7. Township Board adopts Ordinance Authorizing Issuance of Bonds.† The Township Board authorization of the issuance of revenue bonds is referred to as an ordinance in Act 94, but these ordinances are rarely, if ever, included in the code of ordinances, and the approval procedure is closer to that for a resolution. This ordinance can be adopted at the meeting at which it is introduced under Section 6 of the Revenue Bond Act (MCL §141.106), regardless of other statutory or charter provisions, and will become effective upon adoption.

BackgroundWillow Lift Station Located on Willow Highway, near Willow

Ridge Elementary School Constructed in 1986 (same as WWTP) Provides service to nearly all residential

sanitary sewer customers located west of the interstate

Pumps flow more than 2 miles to east, through a 14-inch diameter force main, under freeway to gravity sewer near Canal Road

ProblemCapacity Since the mid-2000’s, nearly all residential

development in Delta Township has occurred west of the interstate

Residential development pressure is expected to continue in Willow lift station service area

The station is nearly at capacity, with approximately 190 residential connections available

Station cannot be easily upgraded due to small wet well and building size and configuration

On June 17, 2021, President Joseph Biden signed into law legislation that would establish June 19 (Juneteenth) as a federal holiday. The historical legacy of Juneteenth is recognized as our Nation’s second Independence Day. As such, we bring forward a proposal to discuss replacing the Independence day extension holiday with Juneteenth. The following schedule reflects the proposed 2022 holiday schedule:

New Year’s Day 12/31/21 – Friday1 Martin Luther King Day 01/17/22 – Monday Good Friday 04/15/22 – Friday Memorial Day 05/30/22 – Monday Juneteenth (to replace Independence Day Ext.) 06/20/22 – Monday2 Independence Day 07/04/22 – Monday Labor Day 09/05/22 – Monday Thanksgiving Day 11/24/22 – Thursday Thanksgiving Day Extended 11/25/22 – Friday Christmas Eve 12/23/22 – Friday3 Christmas Day 12/26/22 – Monday

1 New Year’s Day 2022 will fall on a Saturday and therefore be celebrated January 3, 2022. 2 Juneteenth was proclaimed as a Federal Holiday on June 17, 2021; in 2022 June 19 falls on a Sunday and would be celebrated on June 20th. 3 Christmas Eve and Christmas Day fall on Saturday and Sunday in 2022

This change would affect all non-union employees. Currently under the Collective Bargaining Agreement, the Delta Township firefighters receive holiday pay for 12 holidays throughout the year. Any changes to Holiday payment would happen through collective bargaining. Recommended Action: No action. If consensus to move forward with this change, we will bring the discussion back to the board for the October 18, 2021 board agenda for approval with the following motion:

“I move that the Delta Township Board approve the 2022 Holiday Schedule. I further move that the Employee Manual, Chapter 4B be revised to reflect the new holiday schedule.”

Streaming Board and Commission Meetings

The Township Board began livestreaming in person board meetings in July of this year and posting the meetings on YouTube for the public. Recently the board discussed streaming other board and commission meetings such as the Corridor Improvement Authority.

As staff develops proficiency and experience with the equipment and streaming of meetings, I would recommend expanding the meetings that we stream to also include the following regular commissions:

• Corridor Improvement Authority• Planning Commission• Zoning Board of Appeals

This would be consistent with many other larger communities regarding streaming access to other board and commission meetings.

Recommended Action:

Consensus moving forward to livestream these boards and commissions.
