Townsend Entertainment Group, LLC, is the parent company of Townsend Films, LLC (the production arm) and Sage Media Partners, LLC (the financial arm).

Set in the “Heart of the Entertainment industry”, Los Angeles, California, Townsend Entertainment will fund, produce and market A-List, socially conscious, motion pictures and episodic television.

Townsend Films will produce slates of movies & television shows to diversify product and investment opportunities. To ensure Townsend Films productions will achieve premium artistic quality with the strongest sales potential, it will only produce films which combine standout literary material with bankable star actors in both lead and supporting roles. Townsend Films will integrate talented writers and filmmakers, discovered through various Film Festivals, or through Project submission to Townsend Films, into productions featuring notable movie professionals. Moreover, partnerships with top talent agencies, distribution companies, and international sales agents will set the stage for enterprise success.

Sage Media Partners will raise capital to finance the production of films, television shows, and their associated marketing campaigns, as well as invest in gap financing and completion funding.

Sage Media Partners, LLC aims to raise $500,000,000.

As a Media Fund, Sage Media will invest and finance up to 50% of the projectʼs budget into Blockbuster potential Motion Pictures and Television shows. This means that all projects will have A-List attachments of actors with proven high returns at the Box Office, in addition to Experienced Directors & Theatrical Distribution in place to increase the commercial viability of each project.

Townsend Films will work closely with the project owner, usually the Writer and/or Producer. Townsend Films will bring on our own Line Producer/UPM (Production Manager) to oversee all the accounting/books and make sure that the budget is administerd responsibly. Townsend Films will be part of the Production from start to finish. We will become partners on all films we fund, which means we will have a 25-50% ownership and will usually see a profit for up to 10 years and sometimes longer on each project we fund, depending on which windows of exploitation we select. These windows can include DVD, Sattelite, Cable, Syndication, Internet, and Ancillary Rights.

Each project must be submitted to Townsend Films and “Approved” by our board members. Townsend Films will not be responsible for paying out any “finders fees” to any broker acting as the Projectʼs Executive Producer. Any Broker that has the title of E.P. must be included in the Budget with the appropriate title as a budget line item with a specific rate. Townsend Films will allow, if necessary, any State Tax Credit/Incentives and Distribution MGʼs to be cashed out if the projectʼs owner cannot raise the other percentage of its budget in equity. Townsend Films prefers to use those Incentives/Tax Credit and MGʼs as a secured backing in case something goes wrong and the Project is not completed or doesnʼt make a return on its investment. Townsend Films will be paid back first by cashing out the Incentives, Tax Credits or MGʼs.

Movie and television markets have grown consistently and aggressively over the last 110 years. Additionally, filmed entertainment shows increased, not decreased, revenues during down economies. The low cost and large consumer base for filmed entertainment makes it almost a recession proof industry. Townsend Films principals and board members have over twenty years experience in the business of producing, selling, marketing and distributing independently financed films.

Townsend Filmsʼ management brings strong relationships with leading Executives in the industry, including, Larry Namer (Founder of E! Entertainment), Kia Jam (K Jam Media), Producer Jeff Rice, Director Michael Bay and many more. Townsend Films works closely with BD Fox Independent and Inferno who will provide Distribution for all of Townsend Films projects.

As a Co-Production Company and Partner with each project we fund, Sage Media Partners will offer the Investors 100% recoupment of their initial investment plus 15% per year for 3 years. Townsend Films will most likely see its first return of profits within 6 months to 1 year.

Our investors will also receive the following from the Townsend Films:

Wrap Party invites for them plus 30 of their friends and family

Premiere invitation for them plus 15 of their friends and family

Potential small parts in movies for them and/or the investorʼs family members

Investment in any new business model and/or feature film production is speculative and involves risk. Presented below are certain factors that potential investors should consider with respect to an investment in Townsend Films, LLC through Sage Media Partners, LLC. Participation in any of these investment opportunities involves various risks relating to, among other things, the nature of the film industry, world events, film markets and competing productions. Investment is suitable only for persons or entities with the financial capability of making and holding long-term investments and of sustaining the loss of a portion or all of their investment. In addition to the risk factors set forth below, risks and uncertainties not presently known or that are currently deemed immaterial may also impair the business, financial condition or operating results of Townsend Films, LLC.

Cash Distribution The date that distributions to the Members will actually commence, or their subsequent timing or amount, cannot be accurately predicted. There is no guarantee that such distribution will, in fact, be made or, whether it will be made when anticipated. The production and distribution of a Production involves the passage of a significant amount of time. Pre-production on a Production may extend for several months or more. Principal photography may extend for several weeks or more. Post-production may extend from several months or more. Distribution and exhibition of films generally and of a Production in particular may continue for years before profits may be generated, if at all.

No Protection Under the Investment Company Act In reliance upon a statutory exemption for privately offered securities by entities that would otherwise be deemed to be “investment companies,” Townsend Films, LLC has not registered as an investment company under the Investment Company Act of 1940 (as amended, the “40 Act”). Among other things, the 40 Act generally requires investment companies to have a minimum of forty percent (40%) independent directors and regulates the relationship between the investment adviser and the investment company. Such protections, and others afforded by the 40 Act, will not be applicable to Townsend Films, LLC.

Foreign Investors Prospective investors that are foreign persons that invest directly in Townsend Films, LLC generally will be subject to federal income tax each year on their distributive share of the taxable income of Townsend Films, LLC that is deemed to be “effectively connected” with a U.S. trade or business as if they were U.S. citizens or residents, regardless of whether the Production Entity makes any cash distributions. It is expected that at least a significant portion of taxable income will be deemed “effectively connected.

Prevention of Money Laundering The Uniting and Strengthening America By Providing Appropriate Tools Required to Intercept and Obstruct Terrorism Act of 2001 (the “USA PATRIOT Act”), signed into law on and effective as of October 26, 2001, requires that financial institutions establish and maintain compliance programs to guard against money laundering activities. The USA PATRIOT Act requires the Secretary of the U.S. Treasury to prescribe regulations in connection with anti-money laundering policies of financial institutions. The Financial Crimes Enforcement Network (“FinCEN”), an agency of the U.S. Treasury, has announced that it is likely that such regulations would subject certain pooled investment vehicles to enact anti-money laundering policies. It is possible that legislation or regulations could be promulgated that would require Townsend Films, LLC, in connection with the establishment of anti-money laundering procedures, to share information with governmental authorities with respect to the Members. Townsend Films, LLC reserves the right to request such information as is necessary to verify the identity of a Member and the source of the payment of subscription monies, or as is necessary to comply with any customer identification programs required by FinCEN and/or the Securities and Exchange Commission. In the event of delay or failure by the applicant to produce any information required for verification purposes, the subscription monies relating thereto may be refused.
