This is to inform you that in view of the outbreak of COVID-19 pandemic, the 33rd

Annual general Meeting (‘AGM/Meeting’) of the members of Kamadgiri Fashion

Limited (‘the Company’) will be convened through Video Conference (‘VC’)/Other

Audio-Visual Means (‘OAVM’), in compliance with the applicable provisions of

the Companies Act, 2013 and the rules made thereunder, read with General

Circulars issued by the Ministry of Corporate Affairs dated April 08, 2020, April

13, 2020 and May 05, 2020 (collectively called ‘MCA Circulars’) and the Securities

and Exchange Board of India Circular dated May 12, 2020 (‘SEBI Circular’)

The 33rd (Thir ty-Third) AGM of the members of the Company will be held on

Tuesday, September 29, 2020 at 10:00 a.m. Indian Standard Time (‘IST’) through

VC/OAVM facility provided by National Securities Depository Limited (‘NSDL’) to

transact the businesses as set out in the Notice convening the AGM.

The copy of the Notice of the Meeting along with Annual Repor t for the financial

year 2019-20 will be made available on the website of the Company at

www.kflindia.com and on the website of Stock Exchange at www.bseindia.com.

Members can attend and participate in the AGM ONLY through the VC/OAVM

facility, the details of which will be provided in the Notice of AGM. Accordingly,

please note that no provision has been made to attend and par ticipate in the 33rd

AGM of the Company in person, to ensure compliance with the directives issued

by the government authorities with respect to COVID-19 pandemic. Members

attending the meeting through VC/OAVM shall be counted for the purpose of

reckoning the quorum under Section 103 of the Companies Act, 2013.

The Notice convening the AGM along with the Annual Report of the Company will

be sent to those Members who have registered their e-mail address with the

Company/Registrar & Share Transfer Agent (‘RTA’)/Depository Participant(‘DPs’).

As per the SEBI Circular no physical copies of the 33rd AGM Notice and the

Annual Report will be sent to any Shareholder.

The Company is pleased to provide its members, the facility to exercise their

right to cast their vote by electronic means in respect of all resolutions as set out

in the Notice, through e-voting services (‘remote e-voting’) as provided by the

NSDL. Additionally, the Company shall also provide the facility of e-voting at the

AGM. Detailed procedure for remote e-voting before the AGM/at the AGM will be

provided in the Notice of the AGM.

Members who are holding shares in physical form or who have not registered

their email address with the Company can cast their vote through remote e-voting

or through the e-voting system at the meeting by following the process laid down
