MEMORANDUM OPINION

JohnSon, J., May 19, 2014. On October 15, 2013 a hearing was held to determine the validity of Charles Calkins’ claim of breach of contract to will. Specifically, Charles Calkins (hereafter “Calkins”) contends that he is entitled to date of death value of 100% of the real property located at 1203 State Route 118, Jackson Township, Columbia County, Pennsylvania (hereafter, “the Cab-in”), or, in the alternative, the present value of work he performed during the decedent’s lifetime in reliance upon Charles Kasych’s oral promise to devise the cabin to him or, to bequeath him assets sufficient for him to acquire a comparable property. Charles Kasych (hereafter “Kasych”) died testate on September 8, 2010 leaving his entire estate to St. Luke’s Hospital. The personal representative, the sole testate heir, and the Attorney General in its capacity as parens patriae for charities, disputed the existence of any agree-ment or promise by Kasych as alleged by Calkins and opposed the award of damages in any amount.

Calkins’ evidence was limited to the testimony of two friends who had assisted him in performing work at the cabin when they

were in high school and college during the years 1972 through 1977, and the testimony of his mother, Mildred Calkins (hereafter, “Mildred”), who is the sister of the decedent. Calkins’ testimony was barred by the Dead Man’s Rule, 42 Pa. C.S.A. §5930. (N.T. pp. 52-71.) The personal representative, the testate heir and the Attorney General neither cross-examined Calkins’ witnesses nor presented any witnesses. At the conclusion of the unrebutted tes-timony presented by Calkins, the Court heard oral argument from Calkins and the residuary legatee. Thereafter, by Order dated October 17, 2013, the Court denied Calkins’ claim for failure to prove it by clear, precise and convincing evidence. Calkins timely filed Exceptions to that Order, and argument on the Exceptions was held on February 18, 2014. For the reasons set forth below, the Exceptions are denied and dismissed.

Calkins concedes that a promise to devise real estate is un-enforceable by reason of the statute of frauds. In re Estate of Beeruk, 429 Pa. 415, 241 A.2d 755 (1968). He also acknowledges that to prevail on his claim that Kasych promised to provide him with sufficient funds to purchase a comparable property, he must prove by clear, direct, precise and convincing evidence the exis-tence of a contract with terms that are certain and lucid. Estate of Friedman, 483 Pa. 614, 620-21, 398 A.2d 614, 625-26 (1978). We remain convinced that Calkins failed to meet this burden.

The clear and convincing standard of proof requires that “...witnesses must be found to be credible, that the facts to which they testify are distinctly remembered and the details thereof narrated exactly and in due order, and that their testimony is so clear, direct, weighty and convincing as to enable the jury to come to a clear conviction, without hesitancy of the truth of the precise facts in issue.” In re Estate of Hosfeld, 414 Pa. 602, 604-605, 202 A.2d 69, 71 (1964) (citing Stafford v. Reed, 363 Pa. 405, 70 A.2d 345 (1950)). As the finder of fact in this case, the Court considered the follow-ing to assess the credibility of the witnesses:

… how each witness testified, their demeanor, their ability to remember, what the witness’ interest was in the outcome, and the intelligence, manner and appearance of each witness ... . [weighing] ... any bias, prejudice, or other

motive that would affect a witness’ testimony ... [as well as] ... common sense and understanding of human nature ... Cuyar, Incapacitated Person, 18 Fiduc.Rep.2d 466-467 (O.C. Cambria, 1997).

The testimony of Calkins’ high school/college friends con-sisted almost exclusively of general recollections of remarks by Calkins approximately 35-40 years ago regarding how much he loved the Cabin and his hope that Kasych would someday give him the Cabin in recognition of his work on the property (N.T. pp. 15-16; 20), and that when Kasych was present during the work week-ends at the property “ ... he was always extremely complimentary regarding Charlie’s efforts, his work ethic, and his devotion to the property.” (N.T. 10/15/14, p. 14.) Neither of these witnesses testi-fied that Kasych made a promise of any kind to Calkins. The tes-timony of Mildred, Calkins’ 88-year-old widowed mother, was that Calkins worked on the Cabin, most often with Kasych, from the time he was 10 years old through his college years and some time thereafter. (N.T. pp. 35-38.) She further testified that during dis-cussions at the Cabin among family members, all of whom other than Calkins are now deceased, “... when we were sitting down after dinner and things like that ...” Kasych “... talked about all of the work that [Calkins had] done and [that] he will always remem-ber that and hopefully take care of it with him, and have him being paid back for it because he deserved—if anyone deserved it he did.” (N.T. p. 40.) She further testified that “pay back” meant “... if [Kasych] could give [Calkins] something even in money, you know, because he did a lot of work ...” (N.T. p. 40), and that Kasych “... was going to make sure that there was money there for [Calkins], that he could have this place, because he’s the only one who de-serves it.” (N.T. p. 41.) Mildred provided no testimony regarding when any of these statements were made by Kasych. We find that the facts about which Mildred testified were neither distinctly remembered (see N.T. pp. 27-29; 34-35; 38-39), nor detailed and narrated exactly and in due order. Mildred presented as a devoted mother who is proud of her son and firmly convinced that he is deserving of compensation for the work he performed at the Cabin over the course of his childhood and early adulthood (“You can’t watch a son work and work and work and work and not think

“An Introduction to VA Pension and Aid & Attendance Benefits”

Presented by: Dionysios C. Pappas, Esq. Tuesday, September 23, 2014

The Department of Veterans Affairs (VA) offers a broad range of benefits and services that can enhance the lives of many clients and their families. Unfortunately, veterans, family members, and attorneys are either unaware such programs exist or they are unable to successfully navigate the byzantine VA bureaucracy. The purpose of this session is to highlight a specific benefit, VA Pension, in the hope that attorneys will routinely inquire about the veteran status of their clients, and where applicable, incorporate VA Pension eligibility into estate, disability, and long-term care planning. The term “pension” is misleading because eligibility is not based on a veteran’s term of service; rather, VA Pension is a “needs based” program that provides a monthly cash benefit to eligible wartime veterans (up to $2,085/month) or surviving dependents (up to $1,130/month). Historically, VA Pension benefits were considered “a polite form of welfare for wartime veterans”. More recently, VA Pension benefits have become particularly valuable to elderly veterans and surviving spouses because they can help defray the high cost of long-term care. Because VA Pension is a “needs based” benefit, dependent on qualifying assets and income, estate planning opportunities exist to help clients who would not otherwise be eligible. That said, planners must be especially careful because actions taken to create entitlement may have a negative impact on entitlement to other benefits (e.g. Supplemental Security Income (SSI), Medical Assistance (Medicaid). Negative tax consequences may also occur (e.g. personal income tax, realty transfer tax). Accordingly, planners must be well versed not only in VA Pension law, but in other areas, including but not limited to Medicaid, trust and estate planning, disability planning, and personal income tax. This session will provide a general overview of the VA Pension program, discuss basic planning strategies to help clients create eligibility, and identify potential pitfalls. Attorney Dionysios C. Leadership – the response to given challenges throughout an individual lifetime. Abraham Lincoln’s leadership was embodied in his love of country and his belief in the nation’s laws and judicial system. He demanded integrity from his associates, his Cabinet, his Generals and himself.

He chose a Cabinet of noted gentlemen of both political parties. These men were patriots and Lincoln drew upon each man’s talent and input for the needed success of maintaining the Union. Leadership was also reflected in his Generals. Having no real military background, he had to learn about warfare. His quick grasp at learning the differences in both Eastern and Western Theatres of the War helped him deal with the individualism of his Generals.

The Supreme Court of Pennsylvania CLE Board Important New Rules on CLE Requirements

February 4, 2014 – the Pennsylvania Continuing Legal Education Board has announced changes in rules and regulations that will permit more credits to be earned via distance learning, and will increase the annual ethics requirement.

By Supreme Court Order, Pa.R.C.L.E. Rule 108 (e) has been changed to increase the amount of credits lawyers may earn via alternate delivery methods from four (4) to six (6) credits annually. The board also adopted a regulation change to increase the ethics component of the annual CLE requirement from one (1) to two (2) credit hours. The total number of CLE credits required annually will remain 12 hours.

The amendments to the rules and regulations will take effect with CLE compliance periods that have requirement deadlines in 2015. Group 1 Starting 5/1/14 ending 4/30/15 Group 2 Starting 9/1/14 ending 8/31/15

Drafting and use of POA’s has been a major part of his practice for the past 20 years as an elder law attorney. Attorney Vasiliadis, past chair of PBA’s Elder Law Section (2012-2013) and current President of the Pennsylvania Association of Elder Law Attorneys (PAELA), is a Certified Elder Law Attorney (CELA) as accredited by the Pennsylvania Supreme Court. No other attorney in the Lehigh Valley has attained this distinction. His firm represents clients throughout eastern Pennsylvania, primarily in connection with long-term care planning, trusts and estate administration, and estate planning. His practice also includes litigation on behalf of elderly and incapacitated persons in state and federal court, including successful representation in the landmark case, Mertz v. Houstoun, 115 F. Supp. 2d 415 (E.D. Pa. 2001). A graduate of Lehigh University, Attorney Vasiliadis received his law degree from Temple University in 1974. His affiliations include membership in the National Academy of Elder Law Attorneys and the Elder Law Section of the Pennsylvania Bar Association, serving on its Board of Directors. In the field of Elder Law, Attorney Vasiliadis has been selected as a Pennsylvania Super Lawyer every year since 2005. When small and medium sized business engage in Succession Planning or prepare organizational documents at the time of the setup of the business there are commonly buy/sell terms in the agreement that mandate the equity owners purchase Life Insurance on the life of the other owners to fund the purchase of equity ownership at the death of any owner in the business by the surviving owners. Traditionally the ownership of these policies were held by the individual equity owners of the business, often leading to multiple policies being owned by each individual owner. Additionally, there can be adverse income tax implications at the time of the payout of an insurance policy under the IRS rules for ‘transfer for value’. Recently practitioners in the field of business and succession planning have developed the use of Insurance LLCs as a substitute method of perpetuating the goals of traditional buy/sell planning in place of the cross ownership of insurance policies. During this seminar the following will be discussed regarding the development and use of Insurance LLCs:

Historical structure of the cross ownership of insurance policies in buy/sell agreements

Structure and procedures in creating an Insurance LLC Benefit of the ownership of smaller number of policies

about paying him back,” N.T. p. 40), but her testimony falls far short of clearly and convincingly establishing that Kasych ever agreed or promised to do so.1

For the foregoing reasons, the Exceptions are denied and dismissed.

NOW, this 19th day of May, 2014, after argument held on February 18, 2014 on the Exceptions to the Order Dated October 17, 2013 filed on November 5, 2013 by Sandor Engel, Esquire on behalf of Charles B. Calkins, and upon consideration of the sup-porting brief and the legal memorandum in opposition filed on February 4, 2014 and February 11, 2014, respectively, and for the reasons set forth in the annexed Memorandum Opinion;

IT IS ORDERED that the Exceptions to the Order Dated October 17, 2013 are denied and dismissed.
