Speech By Y. BHG. DATO’Executive Chairman, Bina Puri Holdings Bhdat Bina Puri Assembly 4 February 2010

Assalamualaikum warahmatullahi wabarakatuh, salam sejahtera, and a very good morning.

I like to take this opportunity to wish allDirectors in the Group, management and staffa happy, prosperous and fruitful New Year for2010.

The global economic and financialenvironment of year 2009 has been extremelychallenging particularly due to the globalfinancial crisis that was sparked by the fall ofone of the biggest global investment banks inUnited States, The Lehman Brothers inSeptember 2008. This has created a snowballfinancial effect globally that became worst inthe first quarter of 2009. This financial crisishas led to the significant reduction of worldproduction, world trade and increasedunemployment rate.

Many advanced and emerging economiesentered into deep recession and several otherswell-known global financial institutionsdisappeared overnight. The global economiccrisis saw policy makers and governmentsresponding strongly by adopting immediateand proactive measures to protect theirrespective countries. For Malaysia, it is noexception.

Our Government has responded swiftly withthe implementation of two Economic StimulusPackages totaling RM67 billion (approximatelyUS$ 20.3 billion) which was announced on 30November 2008 and 10 March 2009respectively. Other countries which alsoannounced their stimulus packages includes;United States (USD 787 billion), Germany (USD118 billion), Indonesia (USD 6.32 billion),Thailand (USD 3.30 billion), Philippines (USD7.01 billion).

The stimulus packages has been successful instabilizing our economy when it was reportedthat “The Malaysia economy registered animprovement in the third quarter with areduced contraction of 1.2% in the thirdquarter 2009 (2Q 09 : -3.9%) amidst positivegrowth in domestic demand and stabilizationof the external demand. The growth impetusemanated mainly from domestic demand, as aresult of stronger private consumption andhigher public sector spending. Improvementsin the global economy, particularly the regionaleconomies, helped to stabilize the externalsector. On the supply side, all economic

sectors, except agriculture, recorded improvedperformance”.

This is a good indication that the financial crisishas reached its bottom and is now on the wayto recovery. Our Prime Minister, who is also theFinance Minister, Yang Amat Berhormat Dato’Sri Mohd Najib Tun Razak while attending theAPEC Forum in Singapore last November 2009has announced that a 5.0% economic growthcould be achievable with the new EconomicModel that would be unveiled soon. This neweconomic model is crucial for Malaysia toremain competitive in view of the challengesfrom countries such as China, India, Indonesiaand Vietnam which have attractedconsiderable Foreign Direct Investments (FDIs).

Many initiatives and measures which havebeen proposed by our Government for the2010 budget are for the betterment of ourliving and to stimulate the domestic economy. These include:

i) Introducing 1Malaysia Concept - PeopleFirst, Performance Now.

ii) Liberalising 27 sub-services and financialsectors.

iii) Implementation of NKRAs and KPIs.iv) Abolishing the Foreign Investment

Committee guidelines and establishingEkuiti National Berhad (Ekuinas).

v) Implementing programmes to ease theburden of Rakyat including rancanganperumahan rakyat and rural infrastructure.

vi) Launching of Amanah Saham 1Malaysia toencourage domestic investment.

For year 2010, RM9 billion would be allocatedfor infrastructure projects, including, provisionof RM4.7 billion for road and bridge projectsas well as RM2.6 billion for water supply andsewerage services. Meanwhile, anotherRM899 million is reserved for rail facilities,RM820 million for ports and sea services aswell as RM276 million for airport projects.

In addition to the RM 9 billion, the Ministry ofRural and Regional Development will spendsome RM2.3 billion to construct and upgradeinfrastructures in rural areas including :

This adds to more that RM3 billion to our total book order withbalance of on going works worth at RM 2.0billion for both domestic and overseasprojects as at 31 December 2009. Thistranslates to be RM 1.164 billion of currentbook orders or 57% of the total for projectsin Malaysia and RM 867 million or 43% ofthe total for our overseas projects.

The Board of Directors of our HoldingsCompany is pleased that we have managedto secure new overseas projects in BruneiDarussalam and Pakistan. Presently, we lookforward to venture into Saudi Arabia as aconstruction license has been granted toour associate company, Bina Puri Saudi CoLtd. In 2010, Saudi Arabia government hasannounced that projects worth USD90billion will be implemented. The

opportunity and timing and future for BinaPuri in the Kingdom of Saudia Arabia (KSA)looks bright. We are confident that SaudiArabia would be a new and good marketto expand our construction business. OurPrime Minister Yang Amat Berhormat Dato’Sri Mohd Najib Tun Razak has paved theway for an improved economic andcommercial bilateral relations during hissuccessful visit to Saudi Arabia recently.

Ladies and Gentlemen:

Apart from remaining focused in our corebusiness, the top management is alsolooking into diversification into our ownproperty development projects, mining andother ventures which could bring us arecurring income yearly. We would belaunching our “Jesselton Hilltop Project”soon after the success of our first JesseltonCondominium project in Kota Kinabalu.

The Group has achieved turnover and profitbefore tax of RM529.4 million and RM6.9million respectively for the first 3 quartersof 2009. We expect to reach an annualturnover of more than RM700 million forthe whole year of 2009. It is very importantfor Bina Puri Group to attain better financialresults and to strengthen our Balance Sheet. It is the responsibility of all our subsidiariesin Bina Puri Group to improve on theirfinancial results by maximizing the profitlevel. The global financial crisis hasreminded us that we need to be resilient tosurvive the challenging economicenvironment and we have to take steps to

message4curb expenses and leakages, minimizecapital expenditure and to be moreproductive in terms of application ofadvanced and cost reduction constructiontechnologies, value management and valueengineering.

Bina Puri Holdings Bhd has recently paid aninterim dividend for Year 2009 of 2% lesstax @ 25% on 8 January 2010. For theFinancial Year 2008, we paid a total of 4%dividend to shareholders. We have to meetour shareholders’ expectation in deliveringhigher profit and to pay respectable andimproved level of dividends. Our Grouppolicy on dividend pay-out states that wewould strive to maintain a minimumdividend payment of 5% per annum to ourshareholders and we should target toimprove further the level of dividendpayments in the near future. Likewise, allsubsidiaries in the Group have to beconscious to instill financial discipline toachieve the 5% net profit margin as ourobjective and to set priorities in declaringdividends as well.

Management effort

I would like to congratulate Bina PuriConstruction Sdn Bhd and Bina Puri SdnBhd for passing the ISO 14001 ~Environmental Management Systemcertification audit on 30 and 31st December2009. This was achieved through the effortsand commitment of the Board of Directors, management and staff of both subsidiaries. We would like to encourage othersubsidiaries to emulate the success of thesetwo subsidiaries.

The Malaysian Government has recognizedthe importance of Key PerformanceIndicators (KPIs) to measure theperformance of all Government’s ministriesand agencies and has assigned two (2)Ministers to look into these KPIs. We in BinaPuri Group have also started to adopt theKPIs approach in our operations. The TaskForce Committee for the KPIs for the Grouphas been established and this committeewill establish the relevant KPIs for allsubsidiaries in early 2010. It is important forall management and staff to understandand put priority to the KPIs and achieve thetargets set. This would enable all to be morefocused in your daily works by having ameasurable target ahead. We have to putmore effort in achieving a better profitmargin thus achieving genuine growth.High turnover as a measure of growth is notsufficient. We should associate growth andsuccess of our Group with better profitmargin. This will be the way forward forBina Puri Group of Companies. In this new year of 2010, I would like to seeBina Puri Group plan and work towardsachieving greater integration between

business units of various subsidiaries. Wemust give priority in supporting our ownbusiness divisions such as in projectmanagement, project development, quarryoperations, production of ready mixconcrete, manufacturing of bricks andproduction of Polyol systems. The synergiesbetween these business divisions wouldretain profits and cashflow within Bina PuriGroup and to create internal businesses forall our subsidiaries to survive in the currentchallenging economic environment. Allcompanies in Bina Puri Group must worktogether with a common objective ofgenerating more projects and businesses forthe whole Group. For example, one of thekey factors that enable us to secure thehousing project in Brunei Darussalam isowing to our experience in constructing thelow cost housing scheme in Thailand wherewe have shown our capability to implementlarge scale housing project.

At the subsidiary level of Bina Puri Group, all departments must work together toenhance efficiency, productivity and reducewastages to generate higher profit margins. We expect improvement in inter-departmental communication and dealingsso that all of us could work together toachieve our business objectives. We expectto face many challenges in 2010 such as theescalating prices of oil and fuel, buildingmaterials costs and we expect the bank’sBase Lending Rate to go up towards 2ndhalf of 2010. All these factors would have anegative impact on our bottom line. It iswise for us to plan ahead to mitigate thesefactors to reduce our costs and to completeour projects faster. We have to instillfinancial discipline in our cashflowmanagement by reducing our bankborrowings so that we can have bettergearing ratio and savings through lowerinterest payments.

In the area of project management, it is alsoimportant to be quality conscious inmanaging our construction projects andproducts such as aggregates, ready-mixedconcrete, bricks and Polyol systems. Havingquality works and products would reducewastages in production as well as reducingrectification costs for our constructionprojects. This would result in time saving forearly project completion and wouldenhance our image and at the same timeenhance our profit margin.

Needless to say, I have the confidence thatour management and staff are able dobetter than what we have achieved so far. Ican assure you that the Board of Directorsvalues your contribution and wouldrecommend rewards accordingly.

Ladies and Gentlemen:

On behalf of myself and on behalf of YangBerhormat Senator Tan Sri Datuk Tee HockSeng and members of the Board, I wouldlike to extend our thanks and gratitude toall management and staff for yourcommitment and support to the Group andon this strength we hope to achieve higherlevel of success.

I would like to take this opportunity to wishan early Gong Xi Fa Cai to all our Chinesecolleagues. And to all our Directors, management and staff in our Group, I liketo extend all good wishes for Year 2010.

message 5MESSAGE FROM

THE GROUP MANAGING DIRECTOR

First of all, I wouldlike to wish allthose celebratingChinese New Year“Gong Xi Fa Chai”!! May good healthand happiness fallon everyone duringthis festive season.2009 had been agood year for theGroup in that wemanaged to securenew projects inexcess ofRM1.4billion, withalmost 50% of it

achieved through the successfulprocurement of the 2,000 units affordablehousing from the Brunei EconomicDevelopment Board. Our unbuilt bookorder was also its highest in the last 5 yearsin excess of RM2billion. Well Done TeamBina Puri !! A BIG thank you to all of youwho had put in the efforts, time and hardwork in ensuring that the Group progressfurther than the year before.

We continue to register a record revenue inexcess of RM779 million, an increase ofmore than fiveteen percent (15%), whilewe are targeting a net profit increase ofmore than thirty percent (30%). The Grouphas to work even harder as the profit

margin is nothing to shout about in that itrepresents only a very low percentage overour revenue. However, we should take theimprovement as an encouragement to doeven better in this coming year.

This is achieved within a climate whereprices of construction materials hadstabilized substantially as compared to 2008where some prices of raw materials hadreduced by more than 50% .

We are still very much dependent on theconstruction sector in that it accounts formore than 89% of our Group Turnover, with Quarry Division accounting for 8% andthe balance between the Polyol andProperty Division. The Management isaware of this over-reliance and it is with thisa questionnaire had been sent out to all thetop management of the Group to providefeedback on how to move the Groupforward than it already is. To all those whoreplied early and provided your valuableintuitive non-bias feedback, I would like tothank you and I assure you that this will betaken up in the upcoming brainstormingsession to be organized soon.

With the implementation of the 10thMalaysian Plan to be tabled sometime in themiddle of this year, to be implemented andreviewed over a two year period as opposedto 5 years previously, the construction sector

will most likely feel the effect sometimenext year in 2011 or beyond. It is with thisthat we have to look at tenders on offerboth from the private and governmentsector. Under YAB Dato’ Seri Najib TunRazak’s stewardship, there have been nonew projects that have been awarded viadirect negotiation thus far. Rather, theGovernment is now more serious inimplementing projects on Private FinanceInitiave or Private Public Partnerships wherethus far, the details on how it is to beimplemented or to be tendered out arevague but advertisements for tender forRequest for Proposal (RFP) have been issuedout.

The Property Division should see somelaunches this year from our development inKota Kinabalu, Segambut and hopefully,Johor Bahru, which is long and overdue. Wehad jointly purchased a 3.343 acres in BukitSegambut with Norwest Sdn Bhd toundertake development of high end semi-detached landed houses, where the GrossDevelopment Value is approximatelyRM48million. As with any joint-venture, itrequires a lot of understanding, patienceand sincerity to make it a successful oneand so far, our Group have had many goodpartners over the years and we believe ourJV with Norwest will be as successful. TheDevelopment Team must understand thattime is of the essence and must always

work to ensure that timelines are met andthat there are holding costs associated todelay in launching our development.

I said sometime last year that “The year2009 looks to be a promising year”, andindeed it turned out to be a good year. Withsuch a high base/platform that we had setout in 2009, it will indeed be difficult tobetter or match in 2010, but once again, Ichallenge Team Bina Puri to meet thechallenges laid out.The Group have to strive to increase ourhigher profit margin with project team andthe Headquarters being productive, efficient

while being lean and mean, with no excessstaff. Project team must have the teamworkspirit in order to meet objectives while beingable to deliver tasks on a fast track basis.Personal interests, differences and egosshould be set aside in order to achieveproper teamwork.

While project implemention is important, itis also important to manage the cashflowof each project while maintaining a cordialand personable relationship with the client. All these factors must be in place inensuring the success of a project. It is withthis that Key Performance Indicators (“KPI”)

have been set out for the Group, Division,Departments and individuals in that wewant performance to be measurable. Don’tbe afraid of KPI’s, if you can perform thereshould be no worries. KPI’s cannot beimposed on and should be realistic andachievable. It is with this a SeniorManagement meeting on 3rd Februaryagreed for the revision of our Group NetProfit Margin be revised from 5% to 2% for2010.

As usual, I stress once again that the benefitof the Group should always be aboveeverything else. Respective heads ofdivisions and departments must not beselfish and be over-protective of their staff.Grooming and succession plan shouldalways be in place. No one is indispensable.

On the international front, I would like tothank the overseas project team in AbuDhabi, Brunei, Pakistan and Thailand fortheir sacrifice in meeting the projectmilestones in those countries. As we look toexplore into old and new markets such asIndia and Saudi Arabia, we must bestringent in our costing while at the sametime be very cost-conscious. Bina PuriGroup of Companies has been one of themore enterprising and recognizedcontractors in Malaysia that have venturedoverseas and we should be proud of thisfact. It is with this I would like to encouragemore staff to register their interest with theHuman Resource Department to venturewith the Group abroad.

Our KL-Kuala Selangor Expressway haveachieved almost 49% physical progress andis on tract to be ready by 1st Quarter 2011.This Expressway will contribute positivecontribution to our Group in year 2016 andwill be more substantial from year 2020onwards. Our Polyol division will be movingto a new location in Beranang, Selangorand will be building its new factory there inorder to achieve further expansion of itsoperations.

Staff within the Group should participate inmore Sports Club activities, especially theSenior Management, as it is a time to knownew colleagues. Bina Puri Group ofCompanies has many incentives such asinsurance and education subsidies, incentives for Project Performance, SportsClub contributions by the Group, just toname a few. Staff should always look at thebenefits as opposed to looking at just theshortfall.

The Management have agreed forincrement and one month bonus in view ofthe hard work everyone put in during2009,the better f inancial outlook as
